CONSTITUTION
ARTICLEI•ACCEDINGTOTHEGENERALCONSTITUTIONTheChurchintheDioceseofNewark,asaconstituentpartoftheProtestantEpiscopalChurchintheUnitedStatesofAmerica,accedestotheConstitutionandCanonsofthatChurch,andacknowledgestheirauthority.
ARTICLEII•THEDIOCESANCONVENTION1. ThereshallbeaConventionoftheChurchinthisDiocese,onthesecondSaturdayinMayineachyear,oronsuchotherdayasmaybespeciallyappointedbytheEcclesiasticalAuthority.TheConventionshallbeheldattheCathedralunlesstheEcclesiasticalAuthorityappointsotherwise.2. SPECIALCONVENTIONSTheBishop,oriftheEpiscopatebevacantortheBishopbeincapacitatedfromacting,theStandingCommitteeshallhavethepowerwhenitappearsrequisiteforthegoodoftheChurchinthisDiocesetocallaSpecialConvention.Nobusinessshallbetransactedatanysuchmeetingotherthanthatstatedinthenotice.3. NOTICEOFCONVENTIONWrittennoticeofeveryConventionshallbegivenbytheSecretaryoftheConventionbymailatleastfour(4)weeksprevioustothedateoftheConvention,statingthetimeandplace.SuchnoticeshallbegiventoallClergyentitledtoseatintheConvention,everyParishandAidedParishinunionwiththeConvention,andeveryIncorporatedMissionandMission.InthecaseofaSpecialConventionthenoticeshallspecifythepurposeforwhichtheConventioniscalled.4. MEMBERSOFTHECONVENTIONTheConventionshallbecomposedof:
(i) TheBishops:
(ii) EveryPresbyterandDeaconcanonicallyresidentintheDiocesefourteen(14)daysimmediatelyprecedingthemeetingoftheConvention,exceptthatavoteshallnotbeaccordedtoretiredpriestswhoseserviceintheDiocesewasfewerthanfiveyearspriortoretirement;and
(iii) Three(3)LayDeputiesfromeachParishandAidedParishinunionwiththeConventionandfromeachIncorporatedMissionandMission.
(iv) One(1)YouthDeputyandone(1)AlternateYouthDeputyelectedbyeachDistrictConvocation.Eachshallbeatleast14yearsofageandundertheageof20,andnoneshallserveatmorethantwoconsecutiveDiocesanConventions.
5. EXCLUSIONOFLAYDEPUTIESFROMVOTINGINCERTAINCASESLayDeputiesshallnotbeentitledtoseat,voiceorvoteatanysessionoftheConventionofthisDioceseinanyofthefollowingcircumstances:
(i) IncasetheParish,AidedParish,IncorporatedMission,orMissionsendingsuchDeputiesshallfortheyearimmediatelyprecedinghavefailedtoreporttotheBishopasrequiredbyCanon.
(ii) IncasetheParish,AidedParish,IncorporatedMissionorMissionsendingsuchDeputies,havingbeenforthetwo(2)yearsimmediatelyprecedingwithoutaMinister,andnothavingprovidedforregularservices,shallhavefailedtonotifytheBishopthereof,andtorequestthataMinisterbeassignedtoit.
(iii) IncasetheParish,AidedParish,IncorporatedMission,orMissionsendingsuchDeputiesshallforoneyearimmediatelyprecedingwillfullyrefusetocomplywithanyprovisionofthisConstitutionortheCanonsafterhavingbeendulynotifiedbytheEcclesiasticalAuthorityofitsfailuretocomply.

6. PRESIDENTOFCONVENTIONThePresidentoftheConventionshallbesuchoneofthefollowingasshallbepresent,andintheordernamed:theBishop;theBishopCoadjutor;theSuffraganBishop;andthePresidentoftheStandingCommittee.7. QUORUMANDMANNEROFVOTINGSubjecttotheprovisionsofthisConstitutionpertainingtoelectionofaBishop,thePresbytersentitledtovotewhomaybepresentatthetimeofmeeting,withtheDeputiesfromten(10)Parishes,AidedParishes,IncorporatedMissions,andMissionsshallconstituteaquorum.Onthedemandoffive(5)Clergyentitledtovote,oroffive(5)LayDeputieseachfromadifferentParish,AidedParish,IncorporatedMission,orMission,thevoteuponanyquestionshallbebyorders,eachClericalandeachLayDeputyvotingindividually;and,whenavoteisthustaken,aconcurrentmajorityinbothordersshallbenecessarytocarryanymeasure.8. SECRETARYOFTHECONVENTIONAteachannualConventionaSecretaryshallbeelected.ThepersonelectedshallbeacommunicantoftheDioceseingoodstanding.TheSecretaryshallgivenoticeofallConventionsasrequiredbytheConstitution,takeMinutesoftheproceedings,preservethejournalsandrecords,attestthepublicactsoftheConvention,andperformsuchotherservicesasmayfromtimetotimebeprescribedbytheCanonsorbytheConvention.Atthecommencementofthetermofofficeofasuccessor,theoutgoingSecretaryshalldelivertohis/hersuccessorallbooksandpapersrelatingtotheconcernsoftheConventionandtotheofficeofSecretary.ThetermofSecretaryshallcommenceattheadjournmentoftheConventionatwhichtheSecretarywaselectedandshallcontinueuntiltheadjournmentofthenextAnnualConvention.9. ASSISTANTSECRETARIESTheSecretaryshallappointasufficientnumberofAssistantSecretaries,notexceedingthree,toassistinperformingthedutiesoftheoffice.IntheeventofavacancyintheofficeofSecretary,theseniorAssistantSecretaryinpointofserviceshallbeactingSecretary.IfnooneoftheAssistantSecretariesisableorwillingtoactasSecretary,theSecretaryoftheStandingCommitteeshallactuntilaSecretaryiselected.10. SECRETARYTOPREPAREREPORTTheSecretaryshallprepare,immediatelyaftertheadjournmentoftheDiocesanConventionnextprecedingtheregularmeetingofeveryGeneralConvention,andforwardforthwithtotheSecretaryoftheHouseofDeputiesoftheGeneralConvention,areportintheformandcontainingtheinformationrequiredbytheCanonsoftheGeneralConvention.11. TREASURERANDASSISTANTTREASUREROFTHECONVENTIONAteachAnnualConventionaTreasurerandAssistantTreasurershallbeelectedtoserveuntilthenextAnnualConvention.Eachshallgivesatisfactorysecurityforthefaithfulperformanceofhis/herduties.TheTreasurershallbeentitledtoaseatintheConventionandshallsubmitastatementoftheaccountstoeachAnnualConvention.TheAssistantTreasurershallperformsuchdutiesasmaybeassignedbytheTreasureroftheConvention.IncasetheTreasurershoulddie,resign,movefromtheDioceseorotherwisebeincapableofacting,theAssistantTreasurershalloncertificationoftheEcclesiasticalAuthority,assumeallofthedutiesandpowersoftheTreasurer,untilsuchtimeastheTreasurershallresumehis/herdutiesorasuccessorbeelectedorappointed.TheEcclesiasticalAuthoritymayfillavacancyintheofficeofTreasurerorAssistantTreasurer.

ARTICLEIII•CHANCELLORThereshallbeaChancellorappointedbytheBishopforatermofthree(3)years.TheChancellorshallbeacommunicantoftheDioceseingoodstandingandlearnedinthelaw.He/sheshallbethelegaladvisoroftheEcclesiasticalAuthorityandtheConventionandshallbeentitledtoaseatintheConvention.
ARTICLEIV•THESTANDINGCOMMITTEETheStandingCommitteeshallconsistoffour(4)PresbytersentitledtovoteintheConventionandfour(4)LayCommunicantsoftheDiocesewhoshallbeelectedbytheConventionforatermoffour(4)years,providedthatnopersonshallbeelectedtoservemorethantwo(2)fulltermsinsuccession.Assoonasconvenientaftereachelection,theStandingCommitteeshallorganizeandchooseaPresidentfromamongitsmembersandaSecretary.DuringtheintervalswhentheConventionisnotinsession,theStandingCommitteemayfillvacanciesinitsmembership.
ARTICLEV•DEPUTIESTOTHEGENERALCONVENTION1. AttheAnnualConventioninthecalendaryearnextbeforetheyearinwhichthetriennialGeneralConventionisheld,four(4)Clericalandfour(4)LayDeputiesfromtheDioceseshallbeelected.Thevotingshallbebyballot,theClergyandLaityvotingbyorders,andamajorityinbothordersshallbenecessarytoconstituteanelection.Deputiessochosenshallholdofficeforthreeyears.AcorrespondingnumberofsupplementaryDeputiesineachordershallbeelectedinlikemanner,exceptthatamajorityofthetotalvotecastshallbenecessarytoconstituteanelection.2. TheDeputies-electshallsignifytotheBishopatleastthirty(30)daysbeforethemeetingofGeneralConventiontheirintentiontoperformtheirdutiesassuch:indefaultofwhichtheBishopshalldesignatesomanyofthesupplementaryDeputies,intheorderoftheirelection,asmaybenecessarytoinsureafullrepresentationoftheDiocese.IfsuchrepresentationcannotbeobtainedfromamongtheDeputiesandsupplementaryDeputies,theBishopshallappoint,withconsentoftheStandingCommittee,sufficientindividualstoachievesuchrepresentation.SupplementaryDeputiessodesignatedandotherindividualssoappointedshallhavethesamepowerandauthorityasDeputieselectedbyConvention.IncaseofavacancyintheEpiscopate,thepowerconferredinthissectionupontheBishop,shallbeexercisedbytheStandingCommittee.
ARTICLEVI•DEPUTIESTOTHEPROVINCIALSYNODThosepersonselectedasDeputiestoGeneralConventionpursuanttotheprovisionsofArticleVhereofshallbyvirtueofsuchelectionbeDeputiestotheProvincialSynod.ThosepersonselectedassupplementaryoralternateDeputiestoGeneralConventionpursuanttotheprovisionsofArticleVhereofshallbyvirtueofsuchelectionbesupplementaryoralternateDeputiestotheProvincialSynod.
ARTICLEVII•ELECTIONOFABISHOP1. ElectionofaBishopshallbemadeatanAnnualConventionorataSpecialConventiondulysummonedasprovidedinthisConstitution.2. Thevotingshallbebyballot,theClergyandLaityvotingbyordersandaconcurrentmajorityofbothordersshallbenecessarytoconstituteanelection.AquorumfortheelectionofaBishopshallbeatleastamajorityofthePresbytersentitledtovoteandLayDeputiesfromamajorityofParishes,AidedParishes,IncorporatedMissionsandMissions.

ARTICLEVIII•ADMISSIONOFNEWPARISHESAnewParishmaybeadmittedintounionwiththisConventionbyamajorityofvotesprovideditshallhavesubmitted:
(i) SatisfactoryevidenceoftheconsentoftheBishopuponadviceoftheStandingCommittee,oriftheEpiscopateisvacant,oftheconsentoftheStandingCommittee;
(ii) Authenticatedcopiesoftheproceedingsofitsorganization;
(iii) AcopyofitsCertificateofIncorporation;and
(iv) Anauthenticatedcopyofaresolutionofitsincorporators,Wardens,andVestrypromisingconformityandobediencetotheDoctrine,DisciplineandWorshipoftheProtestantEpiscopalChurchintheUnitedStatesofAmericaandtotheConstitutionandCanonsofthatChurchandofthisDiocese.
ARTICLEIX•AMENDMENTSThisConstitutionmaybeamendedinthefollowingmanneronly:TheproposedamendmentoramendmentshavingbeensubmittedtotheConventionandapprovedbyamajorityofthemembersvotingbyordersshalllieoveruntilthenextConvention;andthenifapprovedbyamajorityofthemembersvotingbyordersshallthereuponstandadopted.ThesecondConventionatwhichsuchamendmentoramendmentsarevotedshallnotbeheldlessthanfour(4)monthslaterthanthepriorConvention.
ARTICLEX•INCLUSIVELANGUAGEThelanguageofthisconstitutionshallbeinclusive.

THECANONSCANON1•THECONVENTION1. THEROLLOFCLERGYTheBishop,orinthecaseofavacancyintheEpiscopate,theStandingCommittee,shallnolaterthanone(1)weekbeforethedayofmeetingofaConventionorSpecialConvention,causetobedeliveredtotheSecretaryoftheConventionacertifiedlistofallClergycanonicallyresidentintheDioceseandeligibleforvotesorseatsattheConventionpursuanttoArticleII,section4(ii)oftheConstitution,togetherwiththenamesoftheirrespectivecuresorotherstationsorassignments.InthecaseofClergywhohavebeenordainedorreceivedintotheDiocesewithintheyearimmediatelypreceding,thedateoftheirordinationorreceptionshallalsobegiven.Fromthelistsofurnished,theSecretaryshallpreparetherollofClergyentitledtovotesorseatsintheConvention.Therollthuspreparedshallbeprimafacieevidenceoftherightsofclericalmembers.Shouldanydisputearise,itshallbereferredtoacommitteeoftwoPresbytersandoneLaypersonappointedbytheConvention,whoshalldecideandreportoneachcaseasearlyasmaybe;andthedecisionsthusmade,ifacceptedbytheConvention,shallnotbecalledinquestionagainduringthesamesession.2. THETESTIMONIALOFLAYDEPUTIESLayDeputiestotheConventionshallpresentcertificatesoftheirelectioninthefollowingform:(NameoftheChurch,thePlace,andDate)ThiscertifiesthatatameetingoftheCongregationofthisChurch,heldforthepurposeofelectingChurchOfficersandDeputiesandAlternateDeputiestotheDiocesanConvention(or,forthepurposeofelectingDeputiesandAlternateDeputiestotheDiocesanConvention,ifthemeetingbeforthatobjectalone),A.B.,C.D.,andE.F.,beingCommunicantsoftheChurchingoodstanding,andqualifiedvotersinthisParish(AidedParish,IncorporatedMission,orMission),werechosenasDeputies;andB.C.,D.E.,andF.G.,alsobeingCommunicantsingoodstanding,andqualifiedvotersinthisParish(AidedParish,IncorporatedMission,orMission),weredulychosenasAlternateDeputiestorepresenttheParish(AidedParish,IncorporatedMissionorMission),inthatbodyfortheyearensuing.IntestimonyofwhichIhavehereuntosetmyhand(oriftwoWardenssubscribe,wehavesetourhands),thedayoryearabovewritten.ThiscertificateinthecaseofaParishorAidedParishshallbesignedbytheRector,ortheSecretaryorClerkoftheVestry,orbytheWardens;andinthecaseofanIncorporatedMissionorMissionbytheMinisterincharge,orbytheClerk,orbytheWardens,andtransmittedtotheSecretaryoftheConvention,withinthirty(30)daysaftertheelection.3. IfanyoftheDeputieselectedbeunabletoattendtheConvention,theRector,ortheMinisterinchargeofanIncorporatedMissionorMission,oriftherebenoRector,thentheWardens,orifitbeanIncorporatedMissionorMission,theWardens,maydesignatesomanyoftheAlternateDeputies,inorderoftheirelection,asmaybenecessarytoinsureafullrepresentationoftheParish,AidedParish,IncorporatedMissionorMission. 4. THEROLLOFLAYDEPUTIESFromthesaidcertificateofLayDeputies,theSecretaryoftheConventionshallpreparearolloftheLayDeputiesentitledtoseatsandvoteintheConvention.TherollthuspreparedshallbeprimafacieevidenceoftherightsoftheLayDeputies.Butshouldanydisputearise,itshallbereferredtoacommitteeofone(1)Presbyterandtwo(2)LaypersonsappointedbytheConvention,whoshalldecideandreportoneachcaseasearlyasmaybe;andthedecisionsthusmade,ifacceptedbytheConvention,shallnotbecalledinquestionagainduringthesamesession.5. ATTENDANCEOFMEMBERSOFCONVENTION

ItshallbethedutyofeveryClergypersonandLaypersonhavingaseatintheConvention,toattendeverymeetingthereof.6. MANDATEDFUNCTIONSATTHECONVENTIONAcelebrationofHolyCommunionshallbeincludedwithintheofficialscheduleofeveryConvention.TheBishop'sAddressandEpiscopalCharge,ifany,shallbepublishedinthejournal.7. CONVENTIONRESOLUTIONSAnyResolutioncallingfortheestablishmentofataskforce,committee,commissionoranyotherentitywithalifespanofgreaterthanoneyearshallalsocontain,ataminimum,eachofthefollowingelements:
1.Adescriptionofthepurposeormissionoftheentitytobecreated;2.Amechanismforcreatingmembersoftheentity,eitherthroughappointmentorelection,alsoincludingadefinitionofthetermsofmembership;3.AstatementofaccountabilityidentifyingwithparticularitywhethertheentitytobecreatedisresponsibletotheBishop,theConventionortheCouncil;4.Astatementdetailingwhethertheentitytobecreatedwillrequirefundingandwherethatfundingwillcomefrom;5.Astatementoutliningtheanticipatedcostsoftheentityandthebenefitstobegainedfromthatexpenditure;and6.Astatementofwhethertheentitytobecreatedhasalimitedlifespanispermanentinnatureorneedstobere-authorizedbytheConventionafteraspecificperiodoftime.
CANON2•VOTINGANDELECTIONS1. UponanyquestionforwhichprovisionisnototherwisespecificallymadeintheConstitutionorCanons,avoicevoteshallbetakenby"ayes"and"nays",allmemberspresentbeingentitledtovote.ThePresidentshallforthwithannouncetheresult.But,ifthePresidentisindoubtorforothergoodcauseoruponappealfromhis/herannouncementoftheresult,thevoteshallbetakeneitherbyastandingvoteorbyashowofhandsinwhichcaseeachmembershallhaveonevote.2. IfanyoftheDeputieselectedbeunabletoattendtheConvention,theRector,ortheMinisterinchargeofaParishorAidedParish,oriftherebenoRector,thentheWardens,orifitbeanIncorporatedMissionorMission,theWardens,maydesignatesomanyoftheAlternateDeputies,inorderoftheirelection,asmaybenecessarytoinsureafullrepresentationoftheParish,AidedParish,IncorporatedMission,orMission.3. InallelectionsinwhichprovisionisnototherwisespecificallymadeintheConstitutionorCanons,thevoteshallbebyballot;eachmemberhavingonevoteforeachvacancytobefilled;andthosecandidateshavingamajorityofthevotescastforthenumberofvacanciestobefilledineachofficeshallbeelected,provided,however,thatbyunanimousconsent,theballotmayinanycasebedispensedwithandanelectionmadebyvoteasinparagraph1ofthisCanonoruponsuchothertermsastheConventionmaybymajorityvotedetermine.4. WheretheConstitutionorCanonsprovideforthefillingofvacanciesintheinterimbetweenConventions,apersonsochosenshallholdofficeonlyuntilthefollowingAnnualConvention.5. Exceptincasesofdeathorincapacity,noindividualelectedorappointedpursuanttotheConstitutionorCanonsmayberelievedofhis/herdutiesuntilasuccessorassumessuchduties.6. NopersonshallbeeligibleforelectiontoanyofficeatConvention,norshallanypersonelectedbyDistricts,orappointedtoserveonDiocesanCouncilorotherDiocesanStandingCommittees,CommissionsorBoardsaccedeto

thatoffice,unlessthatpersonshallhavefirstcompletedorarrangedforthecompletionofanti-racismdialoguesandanti-sexismtrainingasapprovedbytheBishopafterconsultationwiththeDiocesanbodiesresponsibleforeachtraining.
CANON3•THEREGISTRARTheBishopshallannuallyappointaRegistraroftheDiocese,whosedutyitshallbetocollectandactascustodianforrecordsanddocumentsrelatingtothehistoryoftheChurchorwhichmaybeusefulornecessarytotheadministrationoftheaffairsofthedioceseincludingbutnotbywayoflimitation:journalsoftheproceedingsoftheConvention;deedsorotherinstrumentsoftitleofpropertyofthedioceseincludingpropertyheldinthenameofTrusteesoftheEpiscopalFundandDiocesanPropertiesoftheDioceseofNewark;theminutebooksandcorporaterecordsofcorporations,committeesandcommissionsoperatingundertheauthorityoftheDiocese;registersofdissolvedordormantparishesandmissionsoftheDiocese;copiesofhistoriesandotherdocumentsofhistoricalinterestpertainingtothehistoryoftheDiocese,itsparishesanditsmissions.TheDiocesanCouncilshallprovidesuchfinancialandotherresourcesasmaybereasonablynecessaryforthedischargeofthedutiesoftheRegistrar.TheRegistrarshallactinaccordancewithsuchpoliciesconcerningtheretentionanddisposalofdocumentsasmaybeadoptedbyDiocesanCouncilfromtimetotimeorinabsenceorinapplicabilityofsuchpoliciesastheRegistrarmaydeemreasonableinthecircumstances.TheRegistrarshallbeentitledtoseektheadviceoftheChancellorinthedischargeofRegistrar’sresponsibilities.TheRegistrarshallreporttotheDiocesanCouncilandtotheConventionannuallydescribingtheperformanceoftheRegistrar’sdutiesduringtheyearthenending.
CANON4•THECOMMISSIONONMINISTRYCOMPOSITIONThereshallbeaCommissiononMinistryconsistingoftheBishoptogetherwithnofewerthanten(10)Clergyandten(10)Laypersonsanduptoforty-five(45)persons,comprisedofequalnumbersofClergyandLaypersonstotheextentfeasible,whoshallbeappointedbytheBishopwiththeconcurrenceoftheConvention.NopersonshallserveasamemberoftheCommissiononMinistryandtheStandingCommitteeatthesametime.DUTIESANDFUNCTIONSTheCommissiononMinistryshallperformsuchdutiesandinsuchmannerasprescribedbytheCanonsofGeneralConventionandasdirectedbytheEcclesiasticalAuthority.
CANON5•THEDIOCESANCOUNCIL1. COMPOSITIONThereshallbeaDiocesanCouncilconsistingoftheBishop(s);TheSecretaryoftheConvention,whoshallalsobeaSecretaryoftheDiocesanCouncil;TheTreasureroftheConvention,whoshallalsobeTreasureroftheDiocesanCouncil;anduptotwenty-seven(27)additionalmembers.TheChancelloraslegaladvisortotheCouncilshallbeaffordedseatandvoiceatallmeetingsoftheCouncil.Oftheadditionalmembers,eighteen(18)CouncilmembersshallbeelectedatDiocesanConvention,whoshalltakeofficeuponadjournmentoftheAnnualConvention.Nine(9)ofthesemembersshallbefromtheclergyorder,andnine(9)fromthelayorder.Theremainingnine(9)shallbeappointedbytheBishoptoensurebroadrepresentationacrossthediocese,withappointmentsnamedandapprovedatDiocesanConvention.Membersshallbeelectedorappointedtoserveforatermofthree(3)years,providedthatnopersonshallbeelectedtoservemorethantwo(2)fulltermsinsuccession.DiocesanCouncilshallhavetheauthoritytoestablishclasses,andtofillvacanciesbetweenAnnualConventions.

Atthe147thDiocesanConventionin2021,uptosixpeopleshallbeelected,threelayandthreeclergy.TheBishopshallappoint3peoplefromeitherordertotheclassof2024andanadditionalindividualfromeitherorder,foratwoyeartermtotheclassof2023.AteachofthenexttwosubsequentConventions,thereshallbeelectionsforuptothreelayanduptothreeclergy,andtheBishopshallappointuptothreeadditionalmemberseachyear.Inallthreeconventionsreferenced,allincumbentmembersofCouncilasofJanuary2020shallhavetheircurrenttermsobserved,andiftheyareeligibleforasecondtermasdefined,theymayrunintheirrespectiveelections.DiocesanCouncilshallhavetheauthoritytoestablishclassestoinsureequalclergyandlayrepresentationonDiocesanCouncil.2. PURPOSETheDiocesanCouncilshallactfortheConventionintheinterimbetweenmeetings,andworkingwiththeBishopsandstaff,shallberesponsibleforlong-rangeplanninganddeterminingprogrampriorities,presentingthemclearlytotheConventionforconsideration.TheCouncilactingfortheConventionshallfromtimetotimereviewandevaluatetheprogramapprovedbytheConvention.TheCouncilshallhaveallpowernecessarytocarryoutitsfunctionsanddutiessubjecttolaw,theConstitutionandCanonsoftheGeneralChurch,andtheConstitutionandCanonsofthisDiocese.3. ORGANIZATIONThePresidentoftheConventionshallpresideovertheCouncil,andtheCouncilshallhavepowertoenactBy-lawsandRegulationsfortheperformanceofitsdutiesnotinconsistentwiththeConstitutionandCanonsofGeneralConventionandofthisDiocese.TheCommitteesofCouncilshallbeassetforthinitsBy-lawsandshallincludeaFinanceCommittee.TheFinanceCommitteemayincludeaminorityofnon-Councilmembers,asprovidedbytheBy-laws,whoshallbeappointedbytheBishop.4. DUTIES
a. Analyzeneeds,determineprimaryconcernsandprogrampriorities,anddevelopgoalsandpolicyfortheDiocese.
b. ReviewandevaluatetheprogramoftheDiocese,setstandards,gatherandanalyzedata,andcompareresultswithgoalsandpolicy.
c. EstablishsuchplanninggroupsastheCouncilmaydeemappropriatetocarryoutitspurposesandduties.
d. Engageconsultantsandutilizeresourcessufficienttoaccomplishtheplanningprocess.
e. SupervisethefinancialaffairsoftheConvention,includingbudgetarymatters.
f. SubmitannuallytotheConventionaunifiedbudgetfortheensuingyeartoprovideforthetotaloperationoftheDiocese.
g. IntheeventtheConventionfailstoadoptaunifiedbudgetatitsannualConvention,toprovideforsuchabudgetfortheensuingyearinaccordancewithanygeneralorspecificmandatesoftheConvention.
h. Adoptaworkingbudgetannually.
i. ProvideforthemaintenanceofsoundandacceptedbusinesspracticesintheaffairsoftheDiocese,itsinstitutions,organizations,andagencies,anditsParishes,AidedParishes,IncorporatedMissions,andMissions.ToaccomplishthisdutytheCouncilshallbeempoweredtomakeregulationsconcerningtheinvestmentoftrustfunds,thebondingoftreasurersandcustodians,methodsofkeepingbooksofaccount,provisionsforauditingandreportingthereof,maintenanceofinsurance,andsuchothermattersconsistentwiththisCanon,providedthatallsuchregulationsshallbesubjecttoreview,alteration,oramendmentbyConvention.
j. Giverecognitiontoaccreditedorganizations,institutions,andotheractivitiesoftheDioceseandprovideregulationswherebysuchrecognitioncanbegiven.Nosuchorganization,institution,orotheractivityshallreceivefinancialsupportfromthebudgetfortheprogramoftheDioceseorshallbepermitted

touseinitstitleanydesignationindicatingittobeaffiliatedwiththeDioceseorinanyotherwayholditselfoutasaDiocesanorganization,institution,oragencywithoutfirsthavingreceivedrecognitionfromtheDiocesanCouncil.TheDiocesanCouncilshallhavethefurtherpowerofestablishingstandards,requiringreports,andthelikeinconnectionwithallsuchorganizations,institutions,andactivities.

CANON6•DEPARTMENTOFFINANCEADepartmentofFinanceisherebyprovidedforasrequiredbyTitle1,Canon6,Section2oftheCanonsoftheProtestantEpiscopalChurchintheUnitedStatesofAmerica.SaidDepartmentshallbeheadedbyaChiefFinancialOfficer,whoshallbeappointedbytheBishop.TheConvention,theDiocesanCouncilortheBishopmaydelegatetosaidDepartmentmattersrelatingtothefinancialaffairsoftheDiocese.TheChiefFinancialOfficershallhavetheauthoritytoactinthenameandonbehalfoftheDepartmentofFinanceinallmattersnotinconsistentwiththeConstitutionandCanonsoftheProtestantEpiscopalChurchintheUnitedStatesofAmericaorofthisDiocese.SaidDepartmentandtheChiefFinancialOfficer,asmaybeappropriateinthecircumstances,shallreporttotheConvention,theDiocesanCouncilortheBishopwithregardtomattersithasconsideredandactionstaken.
CANON7•DIOCESANADMINISTRATION1. TheBishopshallberesponsiblefortheadministrationandimplementationofallprogramsandfunctions
adoptedbytheConvention.2. TheBishopmayallocateresponsibilitiesfortheprogramoftheConventionamongdesignateddepartments,
commissions,andcommitteesasnecessary,whichshallbesubjecttohis/herregulationandcontrol.3. TheBishopshallberesponsibleforthecoordinationofthevariousDiocesanactivities,organizations,and
institutions,amongthemselvesandwiththeircounterpartsintheGeneralChurch.4. TheBishopmaydeterminethemannerandcompositionofeachdepartment,commissionorcommittee,
whetherbytheBishop'sownappointment,byConventionelection,orotherwisesubjecttotheprovisionsofsuchdepartments,etc.,asmaybeincorporated,etc.
5. TheBishopshallhaveauthoritytoemployandsupervisesuchstaffasmaybenecessarytoadministerthe

(i) everyclergypersoncanonicallyresidentorlicensedtoofficiateintheDiocese,whoregularlyservesaParish,AidedParish,IncorporatedMissionorMissioninthedistrictasanofficiatingclergypersonandanycanonicallyresidentnon-parochialorretiredclergypersonresidentinthedistrict;
(ii) three(3)LayPersons(ifpossible,atleastoneofwhomshallbeaWarden,Treasurer,Clerkor
memberoftheVestryorExecutiveCommitteeandatleastoneofwhomshallbebetweentheagesof14and21)fromeachParish,AidedParish,IncorporatedMissionorMissioninthedistrictelectedatanannualorspecialmeetingoftheParish,AidedParish,IncorporatedMissionorMission.
3. EachConvocationshallelectitsownofficersinaccordancewithBy-lawsadoptedbyDiocesanCouncil.4. TheConvocationsshallhavethefollowingfunctionsandpowers:
(i) toelecttheirrepresentativestotheDiocesanCouncil;(ii) toprovidecommunicationbetweenthelocalcongregationsandtheDiocese;and(iii) toprovideanetworkofsupportforparishlifeanddevelopment,aclergycollegialityandlay

CANON9•PARISHESANDMISSIONS1. CLASSIFICATIONOFCONGREGATIONS(a) AllcongregationswhichareapartoftheDioceseofNewarkshallbeclassifiedinoneofthefollowing
categories:(1) Parish
(2) AidedParish
(3) IncorporatedMission
(4) Mission2. CREATIONOFPARISHESParishesshallbecreatedasprovidedbythelawsoftheStateofNewJerseyandtheConstitutionofthisDiocese.3. CREATIONOFMISSIONS
(a) MissionsshallbecreatedbytheBishopwhoshallbeex-officiotherectorthereofandwhomayappointaVicartobeinchargeofeachMissionandtoserveduringthepleasureoftheBishop.Noterminationofsuchappointmentshallbemadeexceptonone(1)month'snotice.
(b) ThetemporalaffairsofaMissionshallbeinchargeofanExecutiveCommitteewhichshallbeelectedatan
organizationmeeting.(c) SuchorganizationmeetingshallbeheldonthecalloftheBishop,orathis/herdirectionoftheArchdeacon
havingjurisdiction.ThemeetingshallbepresidedoverbytheBishoporsuchArchdeacon,orbyapriestdesignatedbytheBishop.AttheorganizationmeetingsuchpersonsshallbeentitledtovoteasshallsignanapplicationfortheestablishmentoftheMissioninsuchformastheBishopshallrequire.

(e) TheannualelectionofmembersoftheExecutiveCommitteeshallbeheldontheMondayfollowingthefirst
SundayinAdventorsuchotherdayastheBishopshallappoint.AtthefirstannualelectionthenoticeoftheannualelectionorofanyspecialmeetingshallbegivenasprovidedinthecaseofParishmeetings.TheVicar,orsuchpersonsasmaybedesignatedbytheBishop,shallpresideatallmeetingsoftheMissionorIncorporatedMissionandoftheExecutiveCommittee.
(f) TheBishopshallhavethepowertosetasideanyelection,tosuspendtheannualelectionandtoremove
fromofficeanyandallofficersandmembersoftheExecutiveCommitteeofaMission.(g) TitletoallrealandpersonalpropertyofaMission,exceptingfundsreceivedforthecurrentexpenses
thereof,shallbevestedintheTrusteesoftheEpiscopalFundandDiocesanPropertiesoftheDioceseofNewark,aNewJerseycorporation,oranothercorporationdesignatedbyit.UpontheMissionbecominganincorporatedParishinunionwiththeConvention,theTrusteesoftheEpiscopalFundandDiocesanProperties,orsuchcorporation,shallwiththeconsentoftheBishopandStandingCommitteetransferallsuchpropertytotheParish.
(h) AllpowersandauthoritygivenbytheprecedingsubsectionsofthissectiontotheBishopshallintheevent
ofvacancyintheEpiscopatebeexercisedbytheStandingCommittee.
4. REGISTERSANDREPORTS
(a) IneveryParish,AidedParish,IncorporatedMissionandMissionthereshallbemaintainedaregisterinwhichshallberecordedundertheappropriatedatethenamesofallpersonsbaptized,confirmed,marriedorburied.Inthecaseofbaptismofchildren,thenamesoftheparentsandsponsorsalsoshallberecorded.Eachentryshallbesignedbythepersonperformingtheaction.
(b) EveryParish,AidedParish,IncorporatedMissionandMissionshallmaintainsuchotherrecords
andmakesuchreportsasmaybeprovidedbyGeneralConventionorbyorpursuanttoauthorityoftheConventionofthisDiocese.
5. QUALIFICATIONOFVOTERSThepersonsentitledtovoteatanymeetingofaParish,AidedParish,IncorporatedMissionorMissionshallbe:
(a) Baptized;
(b) Atleast16yearsofage;
(c) Ofgoodmoralcharacter;
(d) AdherentsoftheProtestantEpiscopalChurch;
(e) RegularattendanceattheservicesoftheParish,AidedParish,IncorporatedMissionorMissionforsix(6)calendarmonthsbeforethemeeting;and
(f) RegularcontributorsforthesameperiodoftimetothecurrentexpensesoftheParish,AidedParish,IncorporatedMissionorMission.ArecordoftheregularcontributorsforthesupportoftheParish,AidedParish,IncorporatedMissionorMissionshallbemaintainedbytheTreasurer,withthedatesoftheircontributions.Suchrecordsshallbesufficientevidenceastothequalificationofavoterwithrespecttothelastprecedingrequirement.
6. QUALIFICATIONOFOFFICERS

(b) NopersonshallhereaftersucceedherselforhimselfmorethantwiceintheofficeofWarden,andnopersonshallservemorethansix(6)consecutiveyearsinsuchoffice.
7. BOUNDARIESOFPARISHES,AIDEDPARISHES,INCORPORATEDMISSIONSANDMISSIONSInanycasewhereitshallbeexpedient,theBishop,upontheadviceoftheStandingCommittee,oriftheEpiscopatebevacanttheStandingCommitteemayestablishtheboundariesofParishes,AidedParishes,IncorporatedMissionsandMissionsofthisDiocese.AnopportunitytobeheardshallfirstbegrantedtothevariousrepresentativesofanyParish,AidedParish,IncorporatedMissionorMissionwhichmaybeaffectedbytheestablishmentofsuchboundaries.Boundariesthusconstitutedshallbevalidforallcanonicalpurposes,andalsoforfixingParochialconnectionofallpersonsdesiring,orentitledto,theministrationsofthischurch,whohavenotbysomeactoftheirownbecomeattachedtoacongregationandfordefiningforeachRectororVicartheextentofhis/herresponsibilityforthecureofsouls.8. CLERGYCOMPENSATION(a) AllParishes,AidedParishes,IncorporatedMissionsandMissionswithintheDioceseofNewarkshallprovide
theirfull-timeclergywithnotlessthantheminimumstipendandotherperquisitesestablishedbyDiocesanConvention,exceptwiththeconsentoftheBishopandtheStandingCommittee.Nothinghereinshallpreventtheacceptanceofvoluntaryservicebynon-stipendiaryclergy.TheprovisionsofthisparagraphshallnotapplytoClergyholdingcureswithintheDioceseatthetimeofitsadoptionwithrespecttosuchcures.
(b) AnyParishwhichisunabletopaytheminimumcompensationtoitsRectormaynotifytheDioceseofits
needforfinancialassistance.DuringanyperiodofDiocesanassistance,itshallcontinuetofunctionasaParishoftheDioceseinallrespectsexceptthatduringsuchtemporarystatus,noassetsorendowmentfundsoftheParishshallbeexpendedwithoutnotificationtotheFinanceOfficeoftheDiocese.
9. AIDEDPARISHES(a) AParishmaybereclassifiedtoAidedParishstatusif:
(1) TheParishrequestsreclassification;OR
(2) TheParishisnolongerabletosupportthenecessaryoperatingexpensesandindebtednessoftheparish:OR

(1) ReportbytheBishoptotheStandingCommitteewithrecommendationofreclassification;AND
(2) ConcurringactionbytheBishopandStandingCommitteerecommendingreclassificationtotheDiocesanCouncil;AND
(3) WrittennotificationbytheStandingCommitteetotheRectorandVestryadvisingofrecommendationofreclassificationandoftheirrighttoappearbeforetheDiocesanCounciltoopposereclassification,suchnoticetobegivennotlessthanthirty(30)dayspriortotheDiocesanCouncilconsideringsuchrecommendation;AND

(4) AhearingbeforetheDiocesanCouncilataregularorspecialmeetingthereofonnotlessthanthirty(30)dayspriornoticetothemembersoftheDiocesanCouncil;AND
(5) Theaffirmativevoteofnotlessthantwo-thirdsofthemembersoftheDiocesanCouncilpresentandvoting.(c) AnAidedParishshallcontinuetofunctionasaParishoftheDioceseinallrespectsasfollows:
(1) ItshallbeeligibletoapplyforfinancialassistancefromtheDiocese;
(2) TitletoallrealandpersonalpropertyandendowmentfundsshallimmediatelybetransferredtotheTrusteesoftheEpiscopalFundandtheDiocesanPropertiesoftheDioceseofNewark,intrustforthatchurchuntilsubsequentlyreclassified.
(d) NocongregationmaymaintainthestatusofAidedParishformorethanthree(3)consecutiveyears.AtthethirdDiocesanConventionfollowingthereclassificationtoAidedParishstatus,suchcongregationshallbe(a)restoredtofullParishstatus;or(b)reclassifiedtoIncorporatedMissionstatus,effectiveonthethirdanniversaryofreclassificationtoaidedparishstatus.TheBishopandStandingCommitteemay,attherequestofamajorityofthemembersoftheVestryofanAidedParish,delayactiononreclassificationtoincorporatedmissionstatustothefourthDiocesanConventionfollowingreclassificationtoAidedParishstatus.(e) Atanytimepriortotheexpirationofthree(3)years,anAidedParishmayberestoredtofullandregularParishstatusbyapprovaloftheBishopandStandingCommitteeortheDiocesanConventioneitherupontheinitiativeoftheBishoporuponpetitionoftheVestryoftheAidedParish.IfanAidedParishshallremaininsuchstatusforaperiodofthree(3)years,thenaspecialmeetingoftheAidedParishshallbecalled,andbymajorityvotethereof,shalldeterminetopetitionforrestorationtofullParishstatusortobechangedtothestatusofanIncorporatedMission.(f) TheDiocesanCouncilshallberesponsibleforadministeringallDiocesanfinancialaidtoAidedParishes,subjecttoguidelinesandproceduresadoptedbyit.AlldecisionspertainingtofinancialaidtoAidedParishesshallrequiretheconsentoftheDiocesanCouncil.10. INCORPORATEDMISSIONS(a) AnAidedParishmaybereclassifiedtoIncorporatedMissionstatusasfollows:
(1) CertificationbyBishopthatAidedParishisnolongerviabletotheRector,WardensandVestryoftheParishconcerned;
(2) ReportbyBishoptoanannualorspecialConventionoftheDiocesetogetherwithhis/herrecommendationthattheParishbereclassified;and
(3) AdoptionbyConventionoftherecommendationoftheBishop.
(b) ThefailureofConventiontoadopttherecommendationoftheBishopforreclassificationtoIncorporatedMissionStatuswillhavetheeffectofrestoringtheAidedParishtofullParishstatus.(c) IfaParishoranAidedParishrequestsreclassificationtoIncorporatedMissioninwritingsignedbyamajorityofallcurrentmembersoftheVestry,theBishopmaypresentsuchrequestbeforeStandingCommitteewhichmayactonsuchrequestandreclassify.(d) TheEcclesiasticalstatusofanIncorporatedMissionshallbethatofaMission,anditshallbegovernedbyalloftheprovisionsoftheseCanonsapplicabletoMissions,exceptasotherwisespecificallyprovidedherein.(e) UponreclassificationtoIncorporatedMissionstatus,theRectorrelinquishestenure,exceptRectorsincuresatthetimeofadoptionofthiscanon.AnysuchRectorwillretaintenurenotwithstandingreclassification,butuponvacancyintheofficeofRector,theIncorporatedMissionlosetherighttocallasuccessorwhilesoclassified.ARectorretainingtenureunderthissectionshallbecometheVicaroftheIncorporatedMission,andshallactatalltimesundertheauthorityoftheBishopwhoshallbetheexofficioRectorofsuchIncorporatedMissionandPresidentofthecorporation.

(f) AnIncorporatedMissionshallretainthecorporatestructureithadasaParishandshallelectofficersandconductitsbusinessinaccordancewiththeprovisionsofitscorporatecharter,subjecttotheprovisionsoftheseCanons.(g) AnIncorporatedMissionmaybereclassifiedtoMissionstatusupontheapprovaloftheBishop,theStandingCommittee,andamajorityofthedeputiestoanannualorspecialConventionoftheDiocesevotingbyorders.Inaddition,ifanIncorporatedMissionrequestssuchreclassificationinwritingsignedbyamajorityofthequalifiedvotingmembersofcongregation,anIncorporatedMissionmaybecomeaMissionwiththeconsentoftheBishopandStandingCommittee.(h) UponreclassificationtoMissionstatus,thechurchcontinuestofunctionasaMissionoftheDiocese,buttheParishcorporationshallbedissolved.11. AREAMINISTRIESTwoormoreParishesmaychoosetoenterintoacompacttoestablishanAreaMinistrywiththepriorconsentoftheBishopandtheStandingCommittee.Similarly,oneormoreParishesmaychoosetoenterintoacompacttoestablishanAreaMinistrywithoneormoreIncorporatedMissionsorMissionsoperatingundertheauthorityoftheDiocesanCouncil.ThetermsandconditionsofsuchcompactshallbeasareagreeduponbytherespectiveRectors,WardensandVestries(inthecaseofParishes),theDiocesanCouncil,andtherespectiveExecutiveCommittees(inthecaseofMissionsandIncorporatedMissions)andapprovedbytheBishopandStandingCommittee.Thosetermsandconditionsshallincludethefollowing:
(1) Provisionsfortheselection,termandcompensationofclergyservingtheAreaMinistry;
(2) ProvisionsfortheadministrationofsuchAreaMinistry;
(3) ProvisionsforwithdrawalfromanyAreaMinistrybyanymemberchurch;and
(4) ProvisionsforthedissolutionoftheAreaMinistry.
12. EMERGENCYPOWERS
a) IntheeventthatthecapitalassetsofaParishareinimminentdangerofbeingtransferred,expendedordissipatedinviolationoftheCanonsoftheEpiscopalChurch,theBishop,withtheconsentofthree-fourths(3/4)ofthemembersoftheStandingCommittee,maydirectthatnosuchtransferorexpenditurebemadependingadeterminationbytheDiocesanCouncilastowhetherreclassificationtoAidedParishStatusisappropriate.
b) IntheeventthattheTreasurerofanyParishfailstoactinaccordancewithhisorherdutiesorengagesinactswhicharecontrarytohisorherdutiesortheCanonsoftheEpiscopalChurch,andtheVestryhavingfailedtosecuretheTreasurer'scompliancewithhisorherdutiesortheCanons,theBishop,withtheconsentofthree-fourths(3/4)ofthemembersoftheStandingCommittee,maytemporarilysuspendsuchTreasurerandappointatemporaryreplacementuntiltheTreasurereitherresignsfromthatofficeoragreestocomply.SuchactionmaybeappealedtotheDiocesanCouncil,whichmayover-rulethesuspension.
13. DISSOLUTIONOFMISSIONSTheBishopandStandingCommitteeinanycasewheretheydeemitbeinthebestinterestsoftheChurchtoterminateaMissionmaydeclaresuchMissiontobedissolved.
CANON•10LEASESAParishmayenterintoaleaseorleasesofParish-ownedproperty,otherthanforresidentialuse,withoutthepriorconsentoftheBishopandStandingCommitteeprovidedthetermofsuchleasedoesnotexceed(1)yearinduration,andtheleasedoesnotobligatetheParishtoextendorrenewthetenancybeyondoneyear.NoParish-ownedpropertyshallbeusedorleasedforresidentialpurposeswithoutthepriorconsentoftheBishopandStandingCommittee,inwriting,regardlessoftheextentofsuchuseandthedurationofsuchlease,exceptthatnosuchconsentshallberequiredfortheoccupancyofParish-ownedpropertybyClergyorlayemployee(s)ofsuchParish.

CANON11•PLEDGETOBUDGETItistheresponsibilityofeverycongregationintheDioceseofNewarktomakeafinancialpledgetotheUnifiedBudgetoftheDioceseofNewark.Writtenpledges,inaccordancewiththeapprovedsystemofdiocesangiving,foreachcalendaryeararedueintheDiocesanFinanceOfficebyDecember1oftheprecedingyear.

CANON15•TRUSTEESOFTHEFUNDFORAGEDANDINFIRMCLERGY1. TheTrusteesoftheFundforAgedandInfirmClergyconsistingoftheBishopandthemembersoftheStandingCommitteeshalladministertheseveralfundscommittedtotheircarepursuanttothetrustsuponwhichtheywereestablished.2. THEAUTOMATICPENSIONFUNDInthecaseoftheAutomaticPensionFundtheTrusteesshallannuallydivideasofMayfirsttheincomereceivedontheFundduringtheprecedingyearamongthoseClergywho:
a) haveattainedtheageofsixty-five(65)yearsandhavenotifiedtheTrusteesofthatfactpriortoMayfirstoftheyearinquestion;and
b) werecanonicallyresidentintheDioceseforthefive(5)yearsimmediatelyprecedingsuchnotification;and
c) wereforatleastfive(5)yearsoftheirlasttermofcanonicalresidencesettledMinistersorMissionariesdulyappointedbytheEcclesiasticalAuthority;and

CANON16•THEDIOCESANINVESTMENTTRUSTThemanagementoftheDiocesanInvestmentTrustshallbeunderthecontroloftheBishopoftheDiocese,whoshallbePresidentthereof,andten(10)otherTrusteeswhoshallbeelectedbytheBishopandtheStandingCommitteefortermsoffive(5)years.InthecaseofavacancyintheEpiscopate,theelectionshallbebytheStandingCommittee.Ifatrusteeleavesofficewithouthavingservedthefulltermforwhichheorshewaselected,asuccessorshallbeelectedfortheunexpiredterm.Initially,trusteesmaybeelectedfortermsoflessthanfive(5)years,butonlyforthepurposeofestablishingaprogramwherebythetermsoftwo(2)trusteesshallexpireeachyear.

EFFECTIVEDATEThe2009provisionsofCanon17asfirstadoptedinoraboutJanuary1995andsubsequentlyamended,remainineffectthroughJune30,2011and,exceptasprovidedinTitleIV,Canon20.3oftheGeneralConvention,arerepealed.2. INCORPORATIONThoseprovisionsofTitleIVoftheGeneralConventionCanonswhichareapplicabletotheDioceseareherebyincorporatedaspartofthisCanon17.TotheextentthatanyoftheprovisionsofthisCanon17areinconflictorinconsistentwiththeprovisionsofTitleIV,theprovisionsofTitleIVshallgovern.3. CANON19•AMENDMENTS1.
