    DISTRICTINCORPORATION

    Adistrictmayincorporateonlyifitscorporatedocumentsinclude11provisionsrequiredbyRIandithasfulfilledallofRI'sincorporationrequirements.Whenadistricthasdecideditwishestopursueincorporation,thegovernorshouldcontactthedistrict'sClubandDistrictSupportrepresentativefordetailedinformationaboutRotary'srequirements.

    AdistrictmayseektheapprovaloftheBoardtoincorporate.Atleasttwo-thirdsoftheclubsinthedistrictmustapprovetheproposaltoincorporateinavoteatadistrictconferenceorinaballot-by-mail.Ineitherprocess,eachclubisentitledtoonevote.

    Whenadistrictisincorporated,thecorporationandtheformerunincorporateddistrictbecomeoneentity.Theincorporateddistrictpossessesallofthepowers,rights,andprivileges,andmustperformalloftheobligationsandrequirementsofadistrictundertheconstitution,bylaws,andpoliciesofRI.

    ThecorporatedocumentsofanincorporateddistrictmustbeconsistentwiththeRIconstitution,bylaws,andpolicies,asfaraslocallawspermit.IfanyamendmenttotheseRIdocumentsorpoliciescausesadistrict'scorporatedocumentstobeinconsistent,thedistrictmustimmediatelyamenditscorporatedocumentstorestoreconsistency.DistrictcorporationsmustactinaccordancewithRI'sconstitution,bylaws,andpoliciesandmaynottakeanyactioninconsistentwiththem.Thedistrictmust

    submittothegeneralsecretaryonbehalfoftheBoardthecorporatedocumentsrequiredtobesubmittedtothelocaljurisdictioninordertoincorporate.

    Thedistrictgovernorisresponsibleforoverseeingtheincorporationprocess.ThestructureoftheincorporateddistrictmustfacilitatetheDistrictLeadershipPlan.AgovernormustimmediatelynotifytheBoardofanydissolutionorotherchangeinthestatusofthedistrictcorporation.
