Sub: Limited Tender – Sale of Jatropha curcas Semi-finished Biofuel from CBDA Plant, Raipur. LT NO. - CBDA/2015/LT/002A Chhattisgarh Biofuel Development Authority (CBDA) has been formed by the Government of

Chhattisgarh through a gazette notification on 26th January 2005 for promotion of bio-fuel through cultivation of biofuel species on revenue wastelands and degraded lands and production of biodiesel in the State.

Since inception, CBDA have augmented plantation of more than 1.50 crores of Jatropha

saplings in revenue wasteland throughout the State of Chhattisgarh. This initiative has increased the green cover of the State and generated rural livelihood opportunities in remote villages. Till date CBDA has produced more than 1,80,000 litres of semi-finished biofuel from its pilot scale production plant at VIP Road, Raipur by procuring Jatropha seed from and within the State.

Jatropha Semi-finished Biofuel is an important co-product obtained during the process of

biodiesel production. Chhattisgarh Biofuel Development Authority (hereinafter referred to as “CBDA”), is planning to

sale Jatropha curcas Semi-finished Biofuel. CBDA solicits your ‘Quotation’ in competition with other interested parties for Provision of ‘Sale of Jatropha curcas Semi-finished Biofuel from CBDA Plant, Raipur’.

The technical specifications are more fully described in the attached

documents.

1. CBDA, invite sealed bids for provision of ‘Sale of Jatropha curcas Semi-finished Biofuel from CBDA Plant, Raipur’.

5. General: 5.1 Bidder to submit their Quotes by the due date, quotes / bids not received by the due date and time shall be responsibility of the tenderer. CBDA takes no responsibility for delay, loss or non-receipt of tender documents sent by post/courier. Fax/ e-mailed offer shall be accepted and CBDA takes no responsibility for delay, loss or non receipt of bid. 5.2 CBDA shall not be responsible for any expense incurred by bidders in connection with the preparation & delivery of their bids, site visit and other expenses incurred during bidding process. 5.3 CBDA reserve the right to assess bidder’s capability and capacity to execute the work using in-house information and by taking into account other aspects such as concurrent commitments and past performance. 5.4 Bidder submitting his bid should not be under liquidation, court receivership or similar proceedings.

5.5 Bids submitted through Fax/ e-mail shall be avoided.

6.0 The bidder has to submit their bid in Hard Copy (printed form) with all information requested or to be provided / appended thereto, and is to be submitted strictly in accordance with the documents accompanying this Tender Document, within the Closing Date and Time stipulated. For your ready reference, few salient points of the Tender Document are highlighted below:

7.0 The Techno commercial Bid is to be submitted as per Scope of Work and Specification of the tender (Section II). The Price Bid rates shall be quoted per unit as specified in the “Schedule of Rates”

8.0 Bid submitted by the Tenderer shall remain valid and open for acceptance for a period of 3 months from the date of opening of Techno-commercial part of the tender. The rates quoted in the schedule of rates shall remain firm during the validity period and Contract period subject to escalation clause.

1. CBDA shall hereinafter be referred to as CHHATTISGARH BIOFUEL DEVELOPMENT AUTHORITY, Raipur as owner and the successful bidder is referred to as buyer.

2. The offer shall be valid for 30 days from the date of placing of sales intimation letter. 3. The material offered for sale can be inspected prior to due date of submission of price bid.

For inspection of the material, bidder may contact Sh. Samailal at 8370008695 (Mob) or Sh. Puran at 8370008696 at CBDA Plant, Raipur. Material is lying at CBDA Plant, Raipur.

4. The material offered for sale ( true representation) can be inspected during the working days (10.00am to 5.00pm) from the date of publication of this tender and prior to due date of submission of price bid.

5. The Contract shall be treated as having been entered into as soon as the bid is confirmed by CBDA in favor of the successful bidder(s) and SD is submitted by the successful bidders. The contract shall be deemed to be complete as soon as the total quantity allotted (no part lifting is allowed) is lifted and tankage is cleared of the entire material allotted within stipulated time i.e. within 30 days from the date of sales intimation letter.

6. All the material is offered for sale on “As is where is” and on Ex works basis. Rate must be quoted in Rupees per unit (MT) only. The quantity indicated is indicative.

7. The minimum threshold price of Jatropha curcas Semi-finished Biofuel will be Rs. 50000.00 (Rupees Fifty thousand only) per ton of material ex-CBDA Plant, Raipur. Bidder have to quote SOR rate of Jatropha curcas Semi-finished Biofuel per ton from CBDA Plant, Raipur over and above the minimum threshold price.

8. CBDA will have the right to reject the tender if minimum threshold price is not received. 9. The estimated quantity included in tender is 20 MT. The quantity in actual may be more or

less than the estimated quantity. In the event of quantity turning out to be more than the estimated quantity the buyer has to lift the allotted quantity (+/-10%). Allotment of additional (+) 25% quantity is on sole discretion of the CBDA. In the event of actual quantity turning out to be less than the estimated quantity, the buyer shall not be entitled to claim any damages, loss of interest or compensation on this count.

10. Rate must be quoted exclusive of VAT/Sales taxes. However, CST/VAT will be charged, in case applicable, from the buyer. Any variation in VAT/Sales tax will be borne by the buyer. Rates are to be quoted in Indian Rupees in words and in figures. In case of any difference between the two, the rates quoted in words would be considered as final and authentic.

11. Presently, applicable CST rates are 0.5% against form C. Advance C form will be required from successful bidder before invoicing the product for sales against C form. In the event of non submission of advance C form, buyer has to submit additional interest free security deposit for applicable differential Tax value. At present, Full VAT rate (including surcharge) is 4.2%, hence differential tax value would be (4.2-0.5) 3.7%. This security deposit will be refunded only after receiving of C form with in the due date of submission (within 60days after completion the quarter).

12. The bidders shall be evaluated on the basis of the highest quoted amount for the material. 13. H1 bidder will get entire material i.e. 20MT (+/- 10%). 14. In the event, the H1 bidder is unable to lift the material, H2 bidder would be approached

for matching H1 and so on. 15. Bidder shall submit his/their partnership deed / Memorandum & Article of Association

etc./ Firm registration documents as and when demanded by Owner. 16. The buyer’s workmen shall have to abide by the rules regulation including safety & security

regulation of the relevant statutory Acts/Labour laws etc.


17. The Buyer will employ his own labour and means; at his own cost for removal/collection/shifting of Jatropha curcas Semi-finished Biofuel as per schedules and payment of wages/compensation to the labourers will be the sole responsibility of the buyer. The buyer shall ensure that his workmen do not litter around/within the stores area of the factory areas. They shall not touch any material except those materials shown to them. If any of his workmen is even found violating these restrictions, the buyer shall be responsible for making compensation on account of the loss to the owner on which their decision shall be final and binding.

18. DELIVERY PERIOD: The successful bidders shall lift the allotted material by employing his own labor and transport at his own cost within 10 days from the placing of sales intimation letter.

19. PAYMENT METHODOLOGY: Payment by the contractor for every batch of 20 MT (+/- 10%) of Jatropha curcas Semi-finished Biofuel, lifted from CBDA Plant, Raipur shall be made in advance before/ on the date of delivery of material through online credit i.e. RTGS/NEFT to CBDA’s Bank Account. Detail of CBDA’s Bank Account will be made available at the time of placing the work order. Balance, if any, due from the contractor, must be credited thru’ online credit to CBDA’s Bank Account within 24 hours of delivery of material.

20. CBDA reserves the right to withdraw in part or full or to close the contract any time during the currency of contract without assigning any reason thereof. This will not entitle the buyer to demand compensation or right for delivery of full quantity by way of extension of contract.

21. In case any amount is due/recoverable from the customer, M/s Chhattisgarh Biofuel Development Authority will be within its rights to deduct the amount either from the existing fund deposited or from the fund deposited in future, without any recourse to the customer.

22. All the material offered are kept in covered space, however may contain foreign particles, dust and moisture etc. After the submission of bid(s) by the Buyer, a presumption would be drawn that the buyer has inspected the material and has satisfied himself about the nature, quantity, quality, location, condition, packaging and other technical specifications, taxes-duties and legalities prior to the price bid. No complaint, whatsoever, on the points referred above, and deterioration of the product as well as packaging material due to weather condition during contract period would be entertained after the submission of the bid.

23. Bidder has to attach duly self attested CST/ VAT registration certificates, if required.

24. CONFIDENTIALITY : The Contractor shall not, without CBDA's prior written consent, disclose the contract, or any provision thereof, or any specification, plan, drawing pattern, sample or information furnished by or on behalf of CBDA in connection therewith, to any person other than a person employed or contracted by Contractor in the performance of the contract. Disclosure to any such employed person shall be made in confidence and shall extend only as far as may be necessary for purposes of such performance. Contractor shall not, without CBDA’s prior written consent, make use of any document or information except for purposes of performing the contract.


25. INSURANCE: The Contractor shall maintain at its own cost, all insurances necessary to cover its liabilities for the performance of the Services under this Contract.

26. NOTICES: All notices and communications under this Contract shall be in writing by hand, post, e-mail or fax so long as in each case proof of delivery can be demonstrated by the sending Party to the person at the address, e-mail account or fax number as stated below or such other person or address as may be notified to the other Party from time to time.

27. Bidder has to quote their price against the lot in the “Price bid schedule” provided in the tender document.

PART-B

1.0.0 ENTIRE CONTRACT

1.1.0 This Contract represents the entire Contract between the CBDA and the Contractor in relation to the performance of the Services by the Contractor. Copies of or notice of requirements under other Contracts between the CBDA and others shall not imply additional duties or requirements, nor by implication add to or modify the Services.

2.0.0 SEVERABILITY

2.1.0 If any term of this Contract shall be held to be invalid, illegal or unenforceable, the remaining terms or provisions shall remain in full force and effect and such invalid, illegal or unenforceable terms and provisions shall be deemed, from the beginning, not to have been part of this Contract.

3.0.0 FORCE MAJEURE

3.1.0 The obligations (except the obligation to make payment hereunder) of each Party under this Contract shall be suspended during the period and to the extent that Party is prevented or hindered from complying with them by any cause beyond its reasonable control including but not limited to an act of God, strikes, floods, fire, storm, failures of electrical or telephone supplies, change in the laws, rules, regulations or orders of any national or municipal or other governmental body, acts of war or terrorism, riots, civil disturbance or natural disasters.

3.2.0 In the event of either Party being so hindered or prevented, the Party concerned shall give notice in writing of suspension as soon as reasonably possible to the other Party stating the date and extent of the suspension and its cause. A Party whose obligations have been suspended as aforesaid shall resume the performance of those obligations as soon as reasonably possible after the removal of the cause and shall so notify the other Party. In the event that the cause continues for more than Four (4) months, and Contract to a Change is not a reasonable way of removing the hindrance or prevention, the Parties agree that performance of the Services under this Contract shall terminate automatically.

4.0.0 TERMINATION 4.1.0 CBDA shall be entitled to terminate this Contract if the Contractor– 4.1.1 fails to comply with the material terms of the Contract 4.1.2 materially breach of the Contract

4.1.3 is adjudicated or found bankrupt or insolvent or any order is made or resolution passed for winding up, liquidation or dissolution of the Contractor, 4.1.4 makes a general assignment for the benefit of the creditors

4.1.5 owned property is assigned to any Receiver by a Court of Law

4.1.6 has abandoned the Contract before the Delivery Date/Primary Term, or

4.1.7 has failed to commence Work or has without any lawful excuse under the prevailing conditions suspended the progress of the work necessary for Supply for more than seven (7) days after receiving a written notice from the CBDA to proceed with the works. 4.1.8 CBDA in turn also assures to make payment of material supplied within the specified timeline else Contractor will be at liberty to stop further delivery of next batch of material till clearance of dues.


5.0.0 GOVERNING LAW & ARBITRATION

5.1.0 Governing Law: This Contract is to be construed and governed in accordance with laws of India. The Parties hereto irrevocably submit to the exclusive jurisdiction of the courts at Raipur, Chhattisgarh, India. 5.2.0 Arbitration: This Contract shall be governed by and construed in accordance with the laws of India. Any dispute between the CBDA and the Contractor in respect of matters arising out of and relating to this Contract shall be resolved amicably through good faith negotiation. If any dispute cannot be resolved amicably, the aggrieved Party shall be entitled to refer the unresolved dispute(s) to arbitration by serving notice on the other Party. The provisions of Indian Arbitration and Conciliation Act 1996 or any statutory modification or re-enactment thereof for the time being in force shall govern such Arbitration proceedings. The venue for such arbitration shall be Raipur, Chhattisgarh India.

6.0.0 COMPLIANCE TO HEALTH AND HYGINE

6.1.0 That Contractors working on behalf of CBDA shall conform to all the norms of safety, health and environmental upkeep.


SECTION II

Scope of Work:

The scope of work under this contract shall include in general but not limited to the following:

1. Sale of Jatropha curcas Semi-finished Biofuel from CBDA Plant, Raipur as per specific quality criteria given below

Transportation will be borne by the bidder from Point of transfer of ownership.

3. Payment methodology: Assuming that average density @ 35 deg. Celcius is 0.915 kg./cu.m. of

Jatropha curcas Semi-finished Biofuel in liquid form stored in tank trolley
