DUTIES OF CHAPTER OFFICERS

A. DUTIES

1. President:

a. Must communicate with the AVVA members in your chapter. b. Must communicate with your state president or state representative on a

regular basis. c. Part of this communication includes sending reports of your chapter’s

activities to your state representative or state president on a quarterly basis, which dates will coincide with the deadline dates for the UPDATES Newsletter. Contact your state representative or president at the end of each calendar year, or periodically, for dates.

d. Must register with the national secretary for the National Information

Distribution List. (Also known as the Flash Notice email list.)

e. Must lead the chapter within the guidelines of AVVA’s policies and bylaws.

f. Shall be the voting delegate for their chapter at AVVA state meetings.

Should the chapter representative be unable to attend the state meeting, he/she may appoint an alternate.

g. Shall be the voting delegate for their chapter at AVVA national

conventions. Should the chapter representative be unable to attend the national convention, he/she may appoint an alternate.

h. Ensures that all forms, tax returns, documents, etc. required for the

chapter are filed and copies sent to the National Office.

i. Oversees all financial records and accounts.

j. Ensures that at the end of their term, all records documents, forms, files, etc., are turned over to their successor within thirty (30) days. (See Sec. 5.XIII. Orderly Transition.)

k. Oversees the filing of the chapter association’s Annual Financial Report.

This must be done sixty (60) days prior to the national convention in an election year, or by July 1st of non-election years.

2. Vice-President: The vice-president shall give assistance to the chapter president in all projects at the chapter-level, and shall assume the duties of the chapter president in his/her absence. In the event that the chapter

president cannot fulfill the duties of the office, the vice-president shall assume the office of chapter president until the end of the current term.

3. Secretary: The secretary shall record and maintain minutes of all meetings held by the chapter. The secretary is responsible for the accuracy and completeness of the minutes. He/she is the keeper of all pertinent information and files with the exception of the financial records.

4. Treasurer: the treasurer shall be responsible for maintaining the bank account and financial records of the chapter. The treasurer shall give a financial report at all chapter-level meetings, or as requested by the chapter officers. The treasurer is responsible for filing all federal and state financial reports. The treasurer shall assist the chapter president with all financial aspects of the maintenance of the chapter’s incorporation status.

B. QUALIFICATIONS – ALL OFFICERS 1. Must be at least twenty-one (21) years of age.

2. Must be an AVVA Regular Member in good standing for at least three (3)

months prior to the election, with no pending disciplinary actions against them. Exception: If it is a newly formed chapter holding their first election.

3. Must be actively involved in the AVVA chapter to which he/she belongs, as determined by the majority of the members of that chapter, and must possess the basic skills for the position they seek.

INSTRUCTIONS FOR CHAPTER BYLAWS

The bylaws are set on a template that will make it simple for you to insert the information needed. Insert your chapter’s information in any area that you see in red text, and then change the text color to black. We suggest that you print the template for your membership to review before doing your final draft. The AVVA National By-laws Committee must approve any additions other than inserting the requested information. If additions or changes other than the requested information are made, send the changes to the incorporation chair before you begin the legal process of incorporation. This will avoid any additional cost.

• Remember to change the ink color from red to black when you add your information.

• The “Corporation” referred to in these bylaws is National Associates of Vietnam Veterans of America, Inc.

• Section 5.01 - this is for your regular scheduled meetings. • Section 5:04 – Quorum: Be careful not to make this number so high or so low that

you cannot legally conduct business. A percentage or a fraction of members may be used here instead of a number. Example: 51%, 60%, etc. Or, 2/3, 3/4, etc. Using a percentage or a fraction will prevent you from having to change your by-laws if the number of your membership changes significantly. Also think about the situation: If, for example, your chapter has 20 members on the roster, but only 7 or 8 ever show up for meetings or events. You may want to be sure you are looking at a number that represents your actual situation, such as 5, rather than saying 2/3 because 2/3 of your roster would be more people than you can get to come to a meeting.

INSTRUCTIONS FOR THE INCORPORATION PROCESS:

1. We recommend that you seek legal council to complete the incorporation process. However, this is not mandatory.

2. We recommend that you seek information on Surety Bonding for your treasurer within your county or state.

3. State laws vary for incorporating non-profits. Check and follow the laws of your state to

assure accuracy.

4. You will incorporate as a 501 (c) (3), through the Secretary of State Division in your state. You will be covered under the National Organization Tax Exempt Status. (Please note: Incorporating under any other tax status is not permitted.)

a. Using your search engine (e.g. Google, Bing. etc), search the internet for the

Secretary of State Division in your state. (example: “Idaho Secretary of State”). Make sure you are on the official Secretary of State Website.

b. You will find the link to the Secretary of State Division official web site. On this website, you should be able to find the information to proceed with the incorporation process.

c. If you cannot find the information you are looking for, there will be contact information that you can use to get the exact information that you need.

d. When you search (the internet) for your secretary of state, be sure you search using the correct words as shown in 3.a, so that you do not end up on a third- party website who will charge you unnecessary fees.

5. Your Purposes of Incorporation should read as follows: (Some states mandate the

purposes for you and some do not. Items 1 and 6 are needed. Items (a) through (g) might be optional. * items 1 and 6 must also appear in your Articles of Incorporation in states that use them rather than a charter.

1. The Associates of Vietnam Veterans of America, (your chapter name and #)

is organized for charitable, religious, educational, and scientific purposes, including for such purposes, the making of distributions to organizations that qualify as exempt organizations described under section 501(c)3 of the Internal Revenue Code, or corresponding section of any future tax code. The primary mission of the Corporation is to support our Veterans of all generations and our communities by providing education and scientific research information of serious concerns to veterans, their families and the community.

a. To help foster, encourage, and promote the improvement of the condition

of the Vietnam-era veteran, their families, and other generations of veterans;

b. To promote physical and cultural improvement, growth and development, self-respect, self-confidence, and usefulness of all veterans, their families, and our community;

c. To eliminate discrimination experienced by Vietnam-era veterans, their

families, and other generations of Veterans, to develop channels of communication which will assist veterans, their families, and others, and to maximize self-realization and enrichment of their lives and enhance life fulfillment;

d. To study, on a non-partisan basis, proposed legislation, rules, or

regulations introduced in any federal, state or local legislative or administrative body, which may affect the social, economic, educational, or physical welfare of the Vietnam-era veterans, their families, or other generations of veterans, and on a very limited basis encourage people to help improve the quality of life of the Vietnam-era veteran, their families, and other generations of veterans especially in the areas of employment, education, training, and health;

e. To conduct and publish scientific and educational research on a non-

partisan basis, pertaining to the relationship between Vietnam-era veterans and the American society, the Vietnam War experience, the role of the United States in securing peaceful co-existence for the world community, and other matters which affect the social, economic, educational, or physical welfare of the Vietnam-era veteran, their families, or other generations of veterans;

f. To assist disabled and needy veterans including veterans and their

dependents, and the widows and orphans of deceased veterans. In furtherance of the corporate purposes, the Corporation shall have all the general rights and powers conferred upon nonprofit corporations by the (your state name) Corporation Act as now in effect or as may hereafter be amended, including, but without limitation, the rights and powers to receive gifts, devises, bequests and contributions in any form, and to use, apply, invest and reinvest, the principal or income there from or to distribute the same for the above purposes;

g. The corporation will at no time participate in any lobbying or substantial

legislative activity except on a limited basis to inform its members of pending legislation so that as individual citizens they may contact their state or local legislators.

(If your state does not allow for all the purposes to be included in your Articles, you must include the first paragraph (item 1.) and as many as you legally are allowed)

6. Your incorporation must include a dissolution clause as follows:

Dissolution clause: Upon the dissolution of the corporation, all liabilities of the corporation shall first be paid, after which assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or the corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose. Any such assets not so disposed of shall be disposed of by a court of competent jurisdiction of the county in which the principal office of the corporation is then located, exclusively for such purposes or to such organization or organizations, as said court shall determine, which are organized and operated exclusively for such purposes.

When making decisions or taking actions on behalf of AVVA, all officers, representatives, or other agents shall be mindful of the practical and ethical implications of each decision or action, as stated in the Associates of Vietnam Veterans of America Core Values. All Associate of Vietnam Veterans of America state and chapter entities are bound by the National Policy and Procedure Manual, except for any policy you may want to follow in your local area that is not spoken to in the national manual, or which gives more detail. Please familiarize yourself with the National Policy and Procedure Manual. Below you will find some basic information to help you get started in your newly incorporated chapter.

I. CHAPTER OFFICERS - RESPONSIBILITIES

(ii) Must register with the national secretary for the National Information Distribution List. (Also known as the Flash Notice email list.)

c. Must lead the chapter within the guidelines of AVVA’s bylaws, core values and

policies and procedures. d. Shall be the voting delegate for their chapter at AVVA state meetings. Should the

chapter representative be unable to attend the state meeting, he/she may appoint an alternate.

e. Shall be the voting delegate for their chapter at AVVA national conventions. Should the chapter representative be unable to attend the national convention, he/she may appoint an alternate.

f. Ensures that all forms, tax returns, documents, etc. required for the chapter are filed and copies sent to the National Office.

g. Oversees all financial records and accounts. h. Ensures that at the end of their term, all records documents, forms, files, etc., are

turned over to their successor within thirty (30) days. (See Sec. 5.XIII, Orderly Transition.)

i. Oversees the filing of the chapter association’s Annual Financial Report. This must

be done sixty (60) days prior to the national convention in an election year, or by July 1st of non-election years.

2. Vice-President: The vice-president shall give assistance to the chapter president in all projects at the chapter-level, and shall assume the duties of the chapter president in his/her absence. In the event that the chapter president cannot fulfill the duties of the office, the vice-president shall assume the office of chapter president until the end of the current term.

3. Secretary: The secretary shall record and maintain minutes of all meetings held by the chapter. The secretary is responsible for the accuracy and completeness of the minutes. He/she is the keeper of all pertinent information and files with the exception of the financial records.

4. Treasurer: the treasurer shall be responsible for maintaining the bank account and financial records of the chapter. The treasurer shall give a financial report at all chapter-level meetings, or as requested by the chapter officers. The treasurer is responsible for filing all federal and state financial reports. The treasurer shall assist the chapter president with all financial aspects of the maintenance of the chapter’s incorporation status.

B. QUALIFICATIONS – ALL OFFICERS 1. Must be at least twenty-one (21) years of age.

2. Must be an AVVA Regular Member in good standing for at least three (3) months prior

to the election, with no pending disciplinary actions against them. Exception: If it is a newly formed chapter holding their first election.

3. Must be actively involved in the AVVA chapter to which he/she belongs, as determined by the majority of the members of that chapter, and must possess the basic skills for the position they seek.

II. CHAPTER ELECTIONS CHAIR

A. DUTIES AND QUALIFICATIONS

III. CHAPTER ELECTIONS A. Chapter elections are held in April of the even numbered years.

B. Incorporated chapters must maintain a minimum of ten (10) members to retain their status,

and hold valid elections.

C. Chapter members wishing to hold an office must send a “Letter of Intent” to the chosen election chair two weeks before the date of the election. (see P&P section 5.V.D.2 for details)

D. Ballots, Sign in Sheets, and Election Results Forms must be used in all elections, and

must be turned in to the proper person within thirty (30) days after the election, as explained in P&P section 5.V.D.11.

E. The chapter president is the official delegate to state level meetings and elections, as well

as national conventions, unless the chapter president and other members of the chapter wish to designate an alternate.

F. Special elections may be approved on a case by case basis. Please refer to section 5 of

the national Policy and Procedure Manual for all election details. (www.avva.org/documents.html )

IV. ADDITIONAL POLICY

A. WHAT CAN WE DO OUTSIDE OF THE NATIONAL POLICY AND PROCEDURE

MANUAL? 1. You can create detailed chapter policy for anything that is not mentioned in the Bylaws

or national P&P, as long as it does not conflict with the national Bylaws, policy or the core values of AVVA. Some examples are: a. Policy regarding details of how you conduct an audit of your books b. Policy regarding the details of how your committees (if any) function c. Policy regarding behavior at meetings and events

V. DEFINITION OF TERMS A. Corporation: Associates of Vietnam Veterans of America, [chapter number] Association,

Inc.

B. National Bylaws: Bylaws of the Associates of Vietnam Veterans of America, Inc., adopted in January 1999 and revised in convention years.

C. Corporation Bylaws: Bylaws of the Associates of Vietnam Veterans of America, [chapter

number] Association, Inc. adopted in 1st year of incorporation.

D. Fiscal Year: The fiscal year shall commence on March 1st and end on the last day of February in each year.

E. Accounting Method: The prescribed method of accounting shall be the Cash Method of

Accounting.

F. Chart of Accounts: Refers to the official listing of account names and numbers used in the financial records.

G. Board of Directors: corporation officers, chapter representatives and presidents, and the

state at-large representative.

VI. CHAPTER FINANCES

A. A chapter will conduct an audit of the financial books and bank statements at least one (1)

time per year, and file the results in the chapter records indefinitely.

B. ANNUAL FINANCIAL REPORTS 1. Subsidiaries are required to submit their Annual Financial Report and proof of their

IRS filing, by the deadline date determined and announced each year by the national finance committee. The Annual Financial Report consists of form F-FIN04.06, which is available on the national AVVA website, www.avva.org/forms.html. a. During an AVVA election year (odd numbered years), the Annual Financial Report

must be received by the VVA Accounting staff member at least sixty (60) days prior to the national convention.

b. During a non-election year (even numbered years), the Annual Financial Report,

and accompanying proof of IRS tax filing, must be RECEIVED by the VVA accounting staff member no later than July 15th.

C. FAILURE TO COMPLY

1. Failure to turn in financial reports endangers the tax status and life of the entire

Corporation. Therefore, subsidiaries that are non-compliant may be subject to suspension of their Charter, and loss of delegate voting privileges.

2. If non-compliance persists following bona fide attempts by national to rectify the problems, the Charter of the organization may be revoked.

3. Should this become necessary, the IRS and the Secretary of State of the affected state shall be notified that the subordinate is no longer recognized as a part of the parent Corporation.

D. All incorporated subsidiaries of the Associates of Vietnam Veterans of America, Inc.

(AVVA) are required to file financial reports with the VVA staff accountant who handles AVVA’s accounting, by the deadline dates. Please see the national P&P section 4.VI for more details.
