Pursuant to 11 U.S.C. §§ 330 and 331 and in accordance with the Order

Establishing Procedures for Interim Compensation and Reimbursement of Expenses of

Professionals, entered June 26, 2020 (the “Interim Compensation Order”),2 Kelley Drye &

Warren LLP (“Kelley Drye”) hereby submits its second monthly application (the “Application”)

for compensation for professional services rendered and reimbursement of expenses incurred as

lead counsel to the Official Committee of Unsecured Creditors (the “Committee”) of John

Varvatos Enterprises, Inc., et al., the above-captioned debtors and debtors-in-possession

(collectively, the “Debtors”), for the period from June 1, 2020 through and including June 30,

2020 (the “Application Period”). In support of its Application, Kelley Drye respectfully

represents as follows:

BACKGROUND

1. On May 6, 2020 (the “Petition Date”), each of the Debtors filed a

voluntary petition for relief under chapter 11 of the Bankruptcy Code with this Court. Since the

Petition Date, the Debtors have remained in possession of their assets and have continued to

operate and manage their businesses as debtors-in-possession pursuant to sections 1107(a) and

1108 of the Bankruptcy Code.

2. On May 18, 2020, the Office of the United States Trustee for Region 3

appointed a five-member Committee consisting of: (i) Tessa Knox, as the class representative of

the class action claimants; (ii) Vornado Realty Trust; (iii) Verde Garment Manufacturing

Limited; (iv) Meenakshi India Limited; and (v) L Industries Limited.3 The Committee selected

Kelley Drye & Warren LLP as its lead counsel and Potter Anderson & Corroon LLP (“Potter

Anderson”) as local counsel.

3. On June 12, 2020, Kelley Drye filed its application for an order approving

and authorizing the Committee to retain Kelley Drye as lead counsel nunc pro tunc to

May 19, 2020 (the “Retention Application”).4 On June 30, 2020, this Court entered an order

approving the Retention Application.5

4. Pursuant to the Interim Compensation Order, if no objection to a monthly

fee application is served within fourteen (14) days of filing the application, the respective

professional may be paid eighty percent (80%) of the fees and one hundred percent (100%) of

the expenses set forth in the applicable monthly fee application.

SUMMARY OF SERVICES RENDERED

5. Kelley Drye rendered professional legal services to the Committee

throughout the Application Period, including, but not limited to:

a. Analyze historic transactions involving the Debtors’ direct and indirect owners, Lion Capital and Lion/Hendrix Cayman Limited (collectively, “Lion”) for potential claims and causes of action.

b. Analyze Lion’s right and ability to credit bid for the Debtors’ assets, and potential revisions to the proposed sale to address the Committee’s concerns;

c. Draft a complaint and motion for standing to pursue claims against Lion, including to recharacterize Lion’s debt as equity;

d. Draft an objection to the sale of the Debtors’ assets to Lion, and conduct related research;

e. Resolve the Committee’s omnibus objection to the

Debtors’ DIP financing and bid procedures motions, and revise both orders to incorporate resolution;

f. Continue to negotiate the terms of alternative DIP financing

from a third-party bidder; and

g. Conduct regular telephonic meetings and provide email updates to the Committee regarding the general status of the case, the Debtors’ business operations, the marketing and sale process, the status of the complaint, standing motion, and sale objection, as well as other pleadings filed, and Kelley Drye’s ongoing negotiations with the Debtors regarding various pending matters.

SUMMARY OF SERVICES BY PROJECT

6. To assist the Court in its review of the fees requested in this Application,

Kelley Drye has divided its time entries into the project categories set forth below. The detail

attached hereto as Exhibit A identifies the attorneys and paraprofessionals that have rendered

services in each category, along with the number of hours for each individual and the total

compensation sought for each category.

Case Administration (Fees: $8,342.00 – Hours: 10.3)

7. This category represents time spent by Kelley Drye addressing general and

administrative matters attendant to the commencement of these cases. During the Application

Period, Kelley Drye revised its initial task list and critical dates chart, and regularly conferred

internally and with Potter Anderson regarding case strategy and immediate tasks to address in

these cases, including various tasks related to the sale process and the challenge to Lion’s credit

bid. Also during the Application Period, Kelley Drye prepared for and participated in the June

26 telephonic 341 meeting, and corresponded with individual committee members, and internally

regarding same.

Pleadings Review (Fees: $707.00 – Hours: 1.2)

8. This category represents time spent by Kelley Drye monitoring the case

docket and conducting initial reviews of pleadings. During the Application Period, Kelley Drye

reviewed various pleadings for case impact, including the notice of adjournment for the “second

day” hearing, the notice for the 341 meeting, the “second day” hearing agenda, and various

orders entered by the Court, including the final DIP financing order.

Retention Matters (Applications & Objections) (Fees: $14,564.50 – Hours: 19.4)

9. This category represents time spent by Kelley Drye attendant to all matters

regarding the retention of professionals in this case. During the Application Period, Kelley Drye

continued to prepare its retention application and an initial budget and staffing plan for

Committee review, and conferred internally and with Potter Anderson regarding issues related to

same. Kelley Drye also continued to analyze the proposed retention of the Debtors’ investment

banker, including the proposed success fee and indemnification provisions, and conferred with

counsel to the Debtors regarding issues related to same. Also during the Application Period,

Kelley Drye reviewed the declarations and related materials of the Debtors’ ordinary course

professionals including Epstein Baker and Hughes Hubbard for compliance with Court’s order

approving the retention of the Debtors’ ordinary course professionals.

Fee Matters (Applications & Orders) (Fees: $10,222.50 – Hours: 16.7)

10. This category represents time spent by Kelley Drye preparing its first

monthly fee statement for legal services rendered in May 2020. Also during the Application

Period, Kelley Drye reviewed the Debtors’ motion to establish interim compensation procedures,

and provided comments to same. In connection therewith, Kelley Drye conferred with Potter

Anderson regarding the Debtors’ timing for filing a certificate of no objection for their motion to

establish interim compensation procedures.

Financing and Cash Collateral (Fees: $24,026.50 – Hours: 28.9)

11. This category represents time spent by Kelley Drye related to the Debtors’

motion to approve debtor-in-possession financing. During the Application Period, Kelley Drye

analyzed the Debtors’ financing motion, DIP credit agreement, case budget, interim DIP order,

and the scope of the proposed senior and subordinated DIP liens. Kelley Drye continued

negotiations regarding alternative DIP financing, including review of the term sheet for

alternative financing, and engaged in discussions with Lion, as the DIP lender, regarding

improvements to its original DIP proposal. Kelley Drye revised the proposed final DIP order to

resolve the Committee’s concerns. Kelley Drye also regularly conferred with Lion and the

Debtors to negotiate a consensual financing package.

Asset Analysis, Recovery and Disposition (Fees: $61,233.00 – Hours: 94.8)

12. This category represents time spent by Kelley Drye related to the

disposition and recovery of the Debtors’ assets. During the Application Period, Kelley Drye

analyzed the Debtors’ motion to sell substantially all of their assets, including the bid procedures

and the Lion stalking horse asset purchase agreement. Kelley Drye worked with the Debtors and

Lion to resolve its procedural issues associated with the bid procedures, including the expedited

sale timeline. Kelley Drye revised the proposed order approving revised bid procedures and

negotiated an extended sale timeline. Kelley Drye also continued to analyze the Debtors’

prepetition marketing efforts and proposed sale process going forward, including alternative

offers.

13. Also during the Application Period, Kelley Drye began drafting an

objection to the sale and the Lion credit bid. Kelley Drye reviewed the APA and researched the

Committee’s ability to recharacterize Lion’s debt as equity, as well as other potential causes of

action. Kelley Drye prepared a written memorandum on potential challenges to the credit bid

that would constitute cause to limit the bid and discussed the Committee’s strategy internally.

Kelley Drye also reviewed a limited sale objections filed by Dark Triumph and Chubb Insurance.

Executory Contracts and Leases (Fees: $2,148.00 – Hours: 3.4)

14. This category represents time spent by Kelley Drye in connection with the

treatment of the Debtors’ executory contracts and unexpired leases. During the Application

Period, Kelley Drye reviewed the Debtors’ second omnibus rejection motion for impact on the

Debtors’ estates, and summarized same for the Committee. Also during the Application Period,

Kelley Drye reviewed the Court’s order approving the Debtors’ first omnibus lease rejection

motion.

Claims Administration (Analysis & Objection) (Fees: $5,359.50 – Hours: 6.3)

15. This category represents time spent by Kelley Drye related to the analysis

of claims against the Debtors’ estates. During the Application Period, Kelley Drye analyzed the

Debtors’ motion to extend their deadline to file schedules and statements of financial affairs and

subsequent supplemental extension requests for impact on the sale process and the Committee’s

deadline to challenge the validity of Lion’s purported liens on the Debtors’ assets. In connection

therewith, Kelley Drye conferred with Potter Anderson regarding filing a brief objection and

reservation of rights opposing the Debtors’ extension motion.

Committee and Creditor Communication (Fees: $35,345.50 – Hours: 44.6)

16. This category represents time spent by Kelley Drye preparing for and

conducting regular Committee meetings as well as communicating extensively with Committee

members on an individual basis as well as other creditors involved in these cases. During the

Application Period, Kelley Drye conducted regular telephonic meetings with the Committee, as

well as numerous individual phone calls and email updates with committee members, to discuss

various pending matters, including the sale process and the challenge to Lion’s credit bid.

Kelley Drye also further revised the bylaws in connection Committee member comments

regarding same. Also during the Application Period, Kelley Drye drafted an 1102 motion

regarding the exchange of confidential information between the Committee and the Debtors.

Court Hearings (Fees: $9,796.50 – Hours: 12.0)

17. This category represents time spent by Kelley Drye preparing for and

attending hearings on various matters before the Court. During the Application Period, Kelley

Drye prepared for the June 8 “second day” hearing to consider the Debtors’ motions seeking

approval of final DIP financing and bid procedures for the sale of substantially all of the

Debtors’ assets. Kelley Drye also reviewed the agenda for the June 12 omnibus hearing and the

notice cancelling same.

Relief from Stay/Adequate Protection (Fees: $7,410.00 – Hours: 9.7)

18. This category represents time spent by Kelley Drye attendant to all matters

regarding requests for stay relief or adequate protection. During the Application Period, Kelley

Drye reviewed the class action creditors’ (the “Class”) motion seeking relief from the automatic

stay to fix the amount of the Class claim and recover against the proceeds of the Debtors’

insurance policy with Ironshore. In connection therewith, Kelley Drye reviewed the Debtors’

insurance policy and related letters regarding payment of defense costs, and conferred internally

regarding same.

Contested Matters (Fees: $7,848.50 – Hours: 11.5)

19. This category represents time spent by Kelley Drye in connection with

contested matters in these cases. During the Application Period, Kelley Drye assessed the

Class’s complaint against Lion and the viability of the Class claims against Lion. Kelley Drye

also analyzed Lion’s motion to dismiss the Class complaint and conferred internally regarding

same.

Meetings and Communications with Debtors (Fees: $16,750.00 – Hours: 21.4)

20. This category represents time spent by Kelley Drye conferring and

communicating with the Debtors. During the Application Period, Kelley Drye routinely

conferred with Debtors’ counsel regarding case status and various relief, including the

Committee’s confidentiality agreement with the Debtors to govern the information sharing, the

Debtors’ request for DIP financing, approval of bid procedures, and the overall marketing and

sale process. Also during the Application Period, Kelley Drye drafted document requests

regarding the Debtors’ historic transactions with Lion and corresponded with the Debtors

regarding same. Kelley Drye also discussed the Debtors’ timing for filing its schedules and

statements of financial affairs and its opposition to the Debtors’ multiple requests to extend their

deadline for filing their schedules and statements of financial affairs.

Insider Investigation (Fees: $131,771.50 – Hours: 183.1)

21. This category represents time spent analyzing the Debtors’ prepetition

acquisitions, debt restructurings, and potential claims against Lion. To facilitate the

Committee’s investigation, Kelley Drye drafted document requests and reviewed thousands of

pages of responsive discovery produced by Lion and the Debtors. Kelley Drye also regularly

conferred internally and with Lion and the Debtors regarding the timing of production and

additional information needed by the Committee to complete its investigation.

22. Kelley Drye also conducted extensive research into potential theories to

challenge Lion’s debt and prepared a memorandum to the Committee on potential claims and

causes of action. Simultaneously, Kelley Drye analyzed the scope and validity of Lion’s liens on

the Debtors’ assets and prepared an analysis of same.

23. Kelley Drye utilized the results of its document review and research to

prepare a complaint against Lion. The complaint sought (i) to recharacterize Lion’s liens as

equity, (ii) to avoid Lion’s prepetition liens in unencumbered cash and commercial tort claims,

and (iii) a declaratory judgment that the prepetition liens do not attach to the Debtors’ leasehold

interests, chapter 5 avoidance actions, and foreign intellectual property. Kelley Drye also began

preparing a motion seeking standing to pursue the Committee’s claims against Lion.

VALUATION OF SERVICES

24. Attorneys and paraprofessionals of Kelley Drye billed a total of 463.3

hours in connection with these cases during the Application Period. A detailed breakdown of the

hours spent and services performed are set forth in the attachments hereto.

25. The rates charged are Kelley Drye’s normal hourly rates for work of this

character and pursuant to the firm’s agreement with the Committee. The reasonable value of the

services rendered by Kelley Drye to the Committee during the Application Period is $335,525.00

26. At all relevant times, Kelley Drye has been a disinterested person as that

term is defined in section 101(14) of the Bankruptcy Code and has neither represented nor held

any adverse interest to the interest of the Committee.

27. Kelley Drye has reviewed the requirements of Local Bankruptcy Rule

2016-2 and believes that this Application complies with its requirements.

28. All services for which compensation is requested by Kelley Drye were

performed for or on behalf of the Committee, and not on behalf of the Debtors or other persons.

There is no agreement or understanding between Kelley Drye and any other persons, other than

members of the firm, for the sharing of compensation to be received for services rendered in

these cases.

29. In accordance with the factors enumerated in section 330 of the

Bankruptcy Code, the amount requested is fair and reasonable given (a) the complexity of these

cases; (b) the time expended; (c) the nature and extent of the services rendered; (d) the value of

such services; and (e) the costs of comparable services other than in a case under this title.

30. The fees billed for this Application Period total $335,525.00, and the

expenses incurred during this Application Period are $209.96. Pursuant to the proposed Interim

Compensation Procedures, if no objection is raised, the Debtors are authorized and directed to

pay Kelley Drye $268,420.00 (80% of the fees incurred during the Application Period) and

$209.96 (100% of the expenses incurred during the Application Period), for a total of

$268,629.96.
