Whereas, the Chief Appraiser of the Appraisal District in which the District

participates has certified the tax roll of the District for the year 2020.

Whereas, in determining the tax rate to be levied, the Board has considered 1) the

amount which should be levied for maintenance and operation purposes; 2) the amount which

should be levied for the payment of principal, interest, and redemption price of each series of

bonds or notes payable in whole or in part from taxes; and 3) the percentage of anticipated tax

collections and the cost of collecting taxes, all in accordance with § 54.602(b) of the Texas

Water Code.

Whereas, a majority of the electors voting in an election held for and within the

District have heretofore approved and authorized the levy and collection of a tax for operations

and maintenance purposes.

Therefore be it ordered by the Board of Directors as follows:

I.

The Board hereby directs that there be levied on all taxable property within the

District an ad valorem tax for the year 2020 at the rate of $0.62 per $100 of assessed valuation

for debt service.

II.

The Board hereby directs that there be levied on all taxable property within the

District an ad valorem tax for the year 2020 at the rate of $0.06 per $100 of assessed valuation

for maintenance and operations.

III.

The Board hereby approves the tax roll of the District as prepared by the tax

assessor-collector for the year 2020.

IV.

Taxes shall be due and payable when billed and shall be paid on or before January

31, 2021. All taxes not paid before February 1, 2021 shall become delinquent on that date, and

penalty and interest will be added in accordance with the Texas Property Tax Code.

V.

The Board hereby authorizes and instructs the District’s tax assessor-collector to

assess and collect the taxes authorized by the Board in this Order.

Whereas, the governing body of Chambers County Improvement District No. 1 has heretofore filed with the County Clerk of the County (or Counties) in which said District is located a Statement of Directors Furnishing Information Required by Section 49.455(b), Texas Water Code, as amended (hereinafter called the “Statement”).

Whereas, certain changes have recently been made in the information contained in said Statement, and an amendment should be filed setting forth such changes, as required by Section 49.455(e) of said Code.

The district is located in whole or in part in the extraterritorial jurisdiction of the City of Baytown. By law, a district located in the extraterritorial jurisdiction of a municipality may be annexed without the consent of the district if the municipality complies with the procedures and requirements of Chapter 43, Texas Local Government Code, as amended. The law also provides that, except in very limited circumstances, a municipality may not annex land in its extraterritorial jurisdiction without the consent of the landowners and/or voters in the area proposed to be annexed. If all of the area in a district is annexed, the district is dissolved. If the district and a municipality are parties to a strategic partnership agreement specifying the procedures for full purpose annexation of all or a portion of the district, the terms of that agreement will apply concerning annexation.

The purpose of the District is (1) as set out in Article III, Section 52, Article XVI, Section 59 and Article III, Section 52-a of the Texas Constitution, including, but not limited to: promote, develop, encourage, and maintain employment, commerce, economic development, and the public welfare in the commercial areas of municipalities and metropolitan areas of the State of Texas, to supplement the municipal services of the municipality, to serve a public use and benefit, to further the public purposes of development and diversification of the economy of the State, the elimination of unemployment and underemployment, and the development or expansion of transportation and commerce, to promote the health, safety, and general welfare of residents, employers, employees and consumers in the District and the general public, to provide needed funding for metropolitan areas to preserve, maintain and enhance the economic health and vitality of the areas as community and business centers, to serve the public purpose of securing expanded and improved transportation and pedestrian facilities and systems, to further promote the health, safety, welfare, morals, convenience and enjoyment of the public by landscaping and developing certain areas within the District that are necessary for the restoration, preservation and enhancement of scenic and aesthetic beauty, to promote and benefit commercial development and commercial areas throughout the State, all as authorized by Chapter 375, Local Government Code; (2) the control, storage, preservation and distribution of its storm water and floodwater, the water of its rivers and streams for irrigation, power, and all other useful purposes, the reclamation and irrigation of its arid, semiarid and other land needing irrigation, the reclamation and drainage of its overflowed land and other land needing drainage, the navigation of its inland and coastal water, to control, abate and change any shortage or harmful excesses of water, the protection, preservation and restoration of the purity and sanitary condition of water within the State and the preservation of all natural resources of the State, all as authorized by Chapter 54, Texas Water Code; (3) the acquisition, purchase, construction, reconstruction, repair and equipping, improvement, or extension of rail facilities, including but not limited to any real, personal, or mixed property, or any interest in that property that is determined to be necessary or convenient for the provision of a rural rail transportation system and all property or interests necessary or convenient for the acquiring, providing, constructing, enlarging, remodeling, renovating, improving, furnishing, using or equipping of the system, including rights-of-way, earthworks and structures, trackwork, train controls, stations, rolling stock, and maintenance facilities, all as authorized by Article 6550c, Vernon’s Texas Civil Statutes; (4) the acquisition of land and waterways and all improvements on or to the land and waterways and to acquire, purchase, construct, enlarge, extend, repair, maintain, operate, or develop wharves, docks, warehouses, grain elevators, bunkering facilities, belt railroads, floating plants and facilities, lightening and towing facilities, everything appurtenant to them, and all

This Second Amendment (the "Second Amendment") to that certain "Water Supply

Agreement between the City of Baytown, Texas, and Chambers County Improvement District No.

1" is made by and between the same parties on the date hereinafter last specified.

W I T N E S S E T H:

WHEREAS, the City of Baytown (the "City") and Chambers County Improvement District

No. 1 (the "District") did enter into a Water Supply Agreement on May 23, 2007 (the "Agreement");

and

WHEREAS, on January 14, 2011, the parties amended the Agreement through the

"Interlocal Agreement for the Provision of Water and Wastewater Services to Certain Property"

to expand the Service Area (the "First Amendment"); and

WHEREAS, the District has requested additional points of connection from the City of

Baytown in an effort to improve water pressure and supply in the District; and

WHEREAS, the District has requested that the capacity reserved be increased from

500,000 gallons per day average daily flow to 750,000 gallons per day average daily flow; and

WHEREAS, the City has considered the District's requests and finds that the increases

and additional points of connection are reasonable and within its ability to provide once the

Baytown Area Water Authority's East Plant is operational;

NOW THEREFORE, for and in consideration of the mutual covenants and agreements

herein contained, the parties hereto do hereby mutually agree as follows:

Unless a different meaning clearly appears from the context, words and phrases as used in

this Second Amendment shall have the same meanings as in the First Amendment and the

Agreement.

II.

Article I, "Definitions," Section 1.07 "Service Area" of the Agreement is hereby amended

to read as follows:

1.07 "Service Area" shall mean the area within the boundaries of the

District as such boundaries are more particularly described in Exhibit "A," which

is attached hereto and incorporated herein for all intents and purposes.

Article II, "District's System," Section 2.05 "Points of Connection" of the Agreement is

hereby amended to read as follows:

2.05 Points of Connection. The District shall be permitted to make

connection to the City's system at the points shown in Exhibit "A". The District

may make such additional points of connection between the City's System and the

District's System as are approved in advance in writing by the Director.

Article III, "Ownership, Operation and Maintenance of Systems," Section 3.03 "Outside

Service Contracts" of the Agreement is hereby amended to read as follows:

3.03 Outside Service Contracts. The District agrees that should the

District desire to delegate responsibility for maintenance or for supervision of its

System to any individual or entity other than its own employees holding any

permit or certificate required by law, the District shall provide complete contact

information for such individual or entity to the City and shall have the obligation

to keep such information on file with the City updated at all times. Failure to

provide such information or keep such information updated shall be considered an

Event of Default. Any agreement for the operation or maintenance of the District's

System shall contain a clause terminating the service agreement as to the District

on the date of annexation of the District by the City.

Article IV, "Quantity and Capacity," Section 4.01 "General" of the Agreement is hereby

amended to read as follows:

4.01 General. Subject to the terms and conditions of this Agreement,

City agrees to sell and deliver (or cause to be delivered) to the District, the

District's Water requirements, and the District agrees to purchase from City,

the District's Water requirements for resale during the term of this Agreement

to be supplied to the Service Area as defined in Article I hereof. The District's

total treated Water requirements shall mean the total quantity of Water the

District needs to conduct operations, use or resell within the Service Area

and shall not exceed 750,000 gallons per day average daily flow.

Article IV, “Quantity and Capacity,” of the Agreement is hereby amended to include Section 4.04

as follows:

4.04 Water for Commercial or Industrial Uses. The City and the District

agree that the Agreement is limited to the supply of potable water for human

consumption. The City and the District acknowledge and agree that the Agreement in no

way limits or prohibits the District from obtaining untreated water rights or an alternate

source of untreated water supply for resale or use within the Service Area for commercial

or industrial purposes.

III.

The provisions of this Second Amendment and the provisions of the First Amendment

and the Agreement should be read together and construed as one agreement; provided that, in the

event of any conflict or inconsistency between the provisions of this Second Amendment and the

provisions of the First Amendment and/or the Agreement, the provisions of this Second

Amendment shall control.

IV.

IN WITNESS WHEREOF, the parties hereto have executed this Second Amendment in

multiple copies, each of which shall be deemed to be an original, but all of which shall constitute

but one and the same amendment, this day of , 2020.
