1. Introduction
The year 2011 was another a colourful and fruitful year for the Centre for the
Study of European Contract Law.
Important highlights in the life of the Centre in 2011 included: the inaugural
lectures held by Evelyne Terryn and Aukje van Hoek; the successful defence of
her doctoral thesis by Joasia Luzak; the conference organised bij Jaap Baaij, on
‘The Role of Legal Translation in Legal Harmonisation’, and a workshop,
organised together with the Amsterdam Center for International Law and the
Amsterdam Centre for European Law and Governance, on ‘Framing and
Taming Postnational Rulemaking’.
Two members of the Centre, Hugh Beale and Martijn Hesselink, were
members of a European Commission Expert group that published a Feasibility
Study which became the basis, later that year, for the European Commission's
proposal for a regulation on a Common European Sales Law (CESL). Moreover,
Chantal Mak and Marco Loos, together with researchers of the Institute for
Information Law, published a report for the European Commission on ‘digital
content’, that also had an important impact, specifically with regard to digital
content, on the Commission’s proposal for a CESL.
Finally, in 2011 the CSECL was happy to welcome two new PhD candidates
(Josse Klijnsma and Candida Leone) and one new post-doc (Marija Bartl).

2. CSECL’s mission and research theme
Mission The Centre for the Study of European Contract Law (CSECL) was founded in
2006. Its research programme focuses on the interplay between the European,
national and international laws of contract. Contract law is understood in a
broad sense, namely the law governing economic transactions in Europe. The
research group aims to play a leading role in the academic debate on
European contract law.
General research theme The theme of CSECL’s research is European contract law. This includes both
commercial and consumer contracts, and both general and specific contract
law. It also includes the relevant aspects of general patrimonial law and the
general law of obligations. Moreover, it also includes important aspects of
property law and insolvency law, and, albeit to a lesser extent, of tort law.
European law is understood here as the law which is applicable in Europe. The
definition is based on the concept of multi-level governance: the research
focuses on the interplay between the relevant national (civil code, common
law), European (current and new acquis) and international (eg CISG) law.
Finally, law is understood here also in a broad sense including not only ‘soft
law’ but also the ‘context’ in which the ‘black letter’ rules operate. As a result,
research will often be multi-disciplinary combining insights from comparative
law, economic analysis, legal theory, political analysis, constitutional analysis,
sociology and psychology.
CSECL’s specific focus is on four specific themes: 1) the interaction between
national and community (consumer) private law, 2) economic transactions,

property law and Europe, 3) European contract law, social justice and
democracy, and 4) European private law and legal method.
CSECL’s research also includes other subjects within the general theme of
European contract law as defined above, than those relating to the four
themes.
1. The interaction between national and community (consumer)
private law (directed by Marco Loos) This theme deals, in particular, with the impact of Community law on
the national private laws of the Member States. Specific subjects
include: the different strategies for transposing directives; the spill-
over effects of specific directives; the consequences of harmonization
for the systematic character of private law and for the ideal of
codification. In view of its predominance in EC private law, the focus
will be mainly, though not exclusively, on consumer law. This theme
includes, in particular, the work of Hugh Beale, Diana Dankers-
Hagenaars, Aukje van Hoek, Bram Duivenvoorde, Jeroen Kortmann,
Marco Loos, Joasia Luzak, Sacha Tamboer and Gerard de Vries.
2. Economic transactions, property law and Europe (directed by
Arthur Salomons) As said, the main object of our research is the law of contract
understood in a very broad sense, i.e. as the law of economic
transactions. Clearly, property law is an important part of the private
law concerning economic transactions, not only because many
transactions (notably sales) aim at the transfer of property but also
because contracts are often secured by property or similar interests.
Therefore, this research theme explores, in the first place, the
possibility of convergence, harmonisation or even unification of
property law in Europe. Moreover, it analyses the implications and

spill-over effects of the Europeanization of the law of contract
(understood in a strict sense) on property law. Finally, it also addresses
certain fundamental questions which property law and contract law
have in common and where contract law research could learn from
property law research. This theme includes, in particular, the work of
Selma de Groot, Dewi Hamwijk, Arthur Salomons, and Rolef de Weijs.
3. European contract law, social justice and democracy (directed
by Martijn Hesselink) In this stage, we will both broaden and deepen our research. In
particular, we will further explore the implications of different social
justice theories for questions of European private law; the specific role
of the courts in delivering social justice; and the relationship between
the Europeanization of private law and the democratic deficit in
Europe. This theme includes, in particular, the work of Tim de Booys,
Guido Comparato, Martijn Hesselink, Josse Klijnsma, Chantal Mak and
Lyn Tjon Soei Len.
4. European private law and legal method (directed by Martijn
Hesselink) Legal method plays an crucial role in both the development of
European private law and its analysis. Surprisingly, however,
methodological issues in European private law are not so often studied.
Our aim is to contribute to the theory and practice of European private
law methodology. This theme includes, in particular, the work of
Marieke Oderkerk on the methodology of comparative legal research
and of Martijn Hesselink on the idea of a European legal method and its
implications. Moreover, in all PhD projects methodological choices are
explicitly addressed and justified, which contributes to the
methodological state of the art in the field. In some cases, including

notably Jaap Baaij, Guido Comparato and Lyn Tjon Soei Len, developing
an own analytical framework (on law & language, nationalism and
capabilities respectively), is a central part of the research.

Prof. Evelyne Terryn
Evelyne is a professor at the KULeuven, where she teaches commercial law. As
of 1st of September 2010 she held the 'Wisselleerstoel voor Privaatrecht' of the
Dutch-Belgian Tijdschrift voor Privaatrecht. Her research i.a. focuses on
consumer law and European private law. While in Amsterdam, her research
focused on the enforcement of consumer law and she was involved in the
course "Consumentenrecht", taught by Prof. Marco Loos, who was hosting
the Wisselleerstoel.

Ronan Tigner
Ronan specializes in the field of new technologies law. As of 1st of August
2010 he joined the CSECL to work on a study funded by the European
Commission on the "legal framework for digital content services to
consumers," which is led by Prof. Marco Loos.

4. Collaborations
Members of the research group participate in the following international
research groups and collaborations:
The Common Core of European private Law (‘Trento Project’) The aim of this project is to establish common rules with respect to certain
fields of private law of the different members of the European Union,
although their methods of research are totally different.
European Law Institute The Joint Network on European Private Law (Co-PECL) has been
concluded. Several members of the CSECL have become members of the
European Law Institute that was founded in 2011.
The Study Group on Social Justice in European Private Law Within the Social Justice Group CSECL researchers co-operate with
researchers of the Paris I, the London School of Economics, the European
University Institute (Florence), the University of Helsinki, ZERP (Bremen),
the Karl-Franzens-Universität Graz and the University of Catania. This
group conducts common research of social justice and regulatory
legitimacy within the European Contract Law.
The Ius Commune Research School CSECL co-operates with the Faculties of Law of the University of Utrecht,
the University of Maastricht, the Catholic University Leuven (Belgium) and
with individual researchers of the University Stellenbosch (South Africa),
the University of Edinburg (Scotland), the Free University in Amsterdam,
Tilburg University and the Erasmus University Rotterdam.

Several specific research projects by members of the research group are
carried out within the framework of one or more of these international
collaborations. The aim is to intensify and extend international collaboration
and exchange.
Moreover, CSECL is partner of the Finnish Centre of Excellence in the
Foundations of European Law and Polity Research.
Furthermore, there are numerous international collaborations on an
individual basis with scholars from many leading European and American
universities including Harvard, EUI, LSE, Oxford and Sciences Po.
Locally, the CSECL collaborates with other academics outside the Faculty of
Law, especially with the Amsterdam Centre for Law and Economics (ACLE),
through joint research projects and seminars.
Inside the Faculty CSECL participates in the Research Priority Area (RPA)
‘European Private and Public Law’, launched formally in 2009. The RPA
includes three research groups, each with their own specific research
programmes and research centres (the Amsterdam Centre for European Law
and Governance (ACELG), the Amsterdam Centre for Tax Law (ACTL) and the
Centre for the Study of European Contract Law (CSECL)). Although there are
no common research activities planned for the area as a whole, there have
been important collaborations between certain researchers from different
groups. The most prominent example is the project ‘The Architecture of Post-
National Rulemaking: Views from Public International Law, European Public
Law and European Private Law’ (see www.jur.uva.nl/architecture/about.cfm)
that is directed by Deirdre Curtin (ACELG) and Martijn Hesselink (CSECL)
together with André Nollkaemper (Public International Law).

5. Organisation
Management Prof. dr. Martijn W. Hesselink is Director of the Centre for the Study of
European Contract Law (CSECL). He is assisted by Coordinator dr. Chantal
Mak and Management Assistant LLM Yvonne ter Horst.
The specific (four) themes within the research programme are led by the
senior researchers prof. dr. Arthur Salomons, prof. dr. Marco Loos and prof. dr.
Martijn Hesselink.
The CSECL consists of a diverse research group where researchers interact
with other researchers from different backgrounds in terms of nationality,
gender, education et cetera. By creating attractive positions for assistant
professors (more research time), occasionally in combination with the
possibility of a ‘tenure track’ to become associate professor, the CSECL has
managed to attract and retain talented researchers.
All researchers, including PhD students, participate in the Ius Commune
research school. Moreover, all researchers are facilitated to excel in their work
by showing confidence in their capacities to be innovative while at the same
time showing a real interest in their ideas and projects.
Weekly meetings In this respect bi-weekly seminars are organized on Mondays and are
dedicated to discuss each others’ research during internal seminars and to
discuss recent developments in the field of (European) regulation and
literature during lunch meetings. In a series of CSECL Seminars, which take
place twice-monthly on Mondays and which are public, invited leading
scholars from across the world present and discuss their working papers.

Interaction with teaching The Master’s programme in European Private Law is directed and co-
ordinated and, for the most part, taught by members of our research group.
Students in that programme are invited to participate in CSECL seminars,
conferences, and, where possible, research.

6. Teaching
Private law in Europe has undergone rapid transformation over the last two
decades. From being a branch of law that was hardly affected by European
Community (EC) legislation, it has become the object of a multitude of
harmonisation measures, to the point that the idea of a European civil code is
now a priority on the political agenda. This development has given rise to a
growing demand within the legal profession, within national and EC
institutions and in academic research for lawyers with a thorough
understanding of both existing European private law and the ongoing
Europeanisation process and its dynamics.
The Master's programme in European Private Law gives students a thorough
understanding of this developing multilevel system of private law in Europe.
Relevant insights from other disciplines such as Economics and Political
Science are integrated into the discussion of legal questions, thereby
broadening and deepening the debate.
The Master’s programme in European Private Law is directed and co-
ordinated and, for the most part, taught by members of our research group.

7. PhD research
The Centre for the Study of European Contract Law supervises PhD students
and so-called JUDOOZ.1 PhD students are appointed during three years and
they have no teaching obligation, unless this is relevant to their research.
PhD students and JUDOOZ are supervised by a supervisor and co-supervisor.
They receive training offered by the Ius Commune research school and/or the
Faculty of Law. In addition they attend relevant conferences and the CSECL
seminars.
The CSECL actively searches for talented PhD students. All PhD positions are
widely advertised in the CSECL’s international networks. PhD students spend
some time at a foreign university (mostly at Harvard, Columbia, NYU and the
MPI in Hamburg). They are stimulated to develop their own research profiles
which are visibly distinct from that of the research leaders.
On 29 November 2011 Joasia Luzak defended her PhD thesis The implied duty
of a service provider to warn about a risk of construction defects resulting from
a contract with a third party, with emphasis on defects resulting from design
failures. Supervisor: prof. dr. M.B.M. Loos, co-supervisor: dr. G.J.P. de Vries
In 2011 the Centre for the Study of European Contract Law supervised 10 PhD
students (see Chapter 3), of whom 2 are JUDOOZ (Baaij and Tamboer). 2 PhD
students whose PhD appointment has expired (De Groot and Manko) are
working on their thesis and it is expected that they will finish it soon.

8. Publications
The research group aims to play a leading role in the academic debate on
European contract law, on the four research themes, and on the subject in
general. For that purpose, it is required that the permanent staff members
(full-time employed, having a 60% research task)2 publish either,
A. two articles per year (i.e. six articles in three years), on a subject within
our research theme as defined above, in one of the leading
international journals (notably European Review of Private Law,
European Review of Contract Law, European Law Journal, Zeitschrift für
Europäisches Privatrecht, Common Market Law Review, Journal of
Consumer Policy3) (‘A publication’), or, alternatively,
B. one such international A publication plus two other articles, on a
subject within our research theme as defined above, in leading national
journals (in the Netherlands: WPNR, NTBR, Themis, NJB4) or
international journals or books of good quality but with a lower degree
of international competition and impact than the top international
journals5 (eg national reports and other invited contributions) (‘B
publication’).
For the same reason it is required that junior researchers complete their
doctoral theses within the agreed three years. In addition, the members of the
research group (especially seniors) are also expected to organise international

conferences and seminars, and to publish books (text books, conference
proceedings, monographs). A monograph in English may count as up to three
A publications, depending, inter alia, on the international reputation of the
publisher and on the referee system adopted by the publisher.6

Conference The Role of Legal Translation in Legal Harmonisation,
Amsterdam, 21 January 2011
On 21 January 2011 the Centre for the Study of European Contract Law and the
Amsterdam Circle for Law & Language (ACLL) hosted an international
interdisciplinary conference on the Role of Legal Translation in Legal Harmonisation.
The conference was sponsored by the University of Amsterdam School of Law.
The international, interdisciplinary conference examined the function of legal
translation in the harmonisation of national laws in the European Union.
Legal translation is a necessary and indispensible step in the harmonisation of
national laws in the EU. Legal harmonisation requires the uniform interpretation and
application of EU legislation. Legal translation plays a vital role in aiming for
sufficient legal uniformity of all 23 equally authentic language versions of EU
legislation. The conference speakers examined the role of legal translation in legal
harmonisation and explored from different theoretical and practical perspectives the
ways in which legal translation can be made to contribute to legal harmonisation.
The conference was divided into three sessions. The practices of legal translation in
the EU legislative procedure was analyzed in the first session. The second session
examined various approaches to legal translation best suited for the purpose of legal
harmonisation. The third session examined the the influence of Europe's
multilingualism on the feasibility of harmonised law in the EU.
The papers from the conference will be published in a conference volume.

The workshop addressed three clusters of questions:
How should we conceptualize post-national rulemaking? How can post-national
rulemaking by public institutions and private or hybrid bodies be compared
within the same conceptual framework? Can rulemaking at the European and
international level be examined under a single conceptual framework?
Is the well-established distinction between public and private law applicable in
the post-national sphere? Can we properly speak of rulemaking by private actors?
Is private autonomy still the only legitimate base for post-national private law
rulemaking?
Which elements of the compound construction of legitimacy are irreplaceable and
can be applied to international and European, public and private law? What are
the core elements necessary to legitimize the effects of post-national rulemaking?
Or does the legitimacy of any type of rulemaking ultimately depend on who is
affected by the resulting norm?

Who’s Afraid of the Total Market? On the horizontal application of the free
movement provisions in EU Law
After Viking and Laval, efforts to limit the direct horizontal application of the EU law
provisions on free movement of services and workers would seem to have lost all
conceptual coherence. For some, this is to be accepted cheerfully as just another
instance of the constitutionalisation of the internal market. After all, 'Who's afraid of
the total constitution?' The trouble with this line of thought, it will be argued, is that,
absent any principled distinction between 'fundamental freedoms' and economic
rights, the horizontal application of the free movement provisions may as easily turn
out to be an instance of the 'marketisation' of the EU constitution.

Cross-Citations between Supreme Courts in Europe
Should courts consider cases from other jurisdictions? The use of foreign law
precedent has sparked considerable debate in the United States, and this question is
also controversially discussed in Europe. In this paper and within the larger research
project from which it has developed, the dialogue between different European
supreme courts quantitatively is studied. Using legal databases in Austria, Belgium,
England and Wales, France, Germany, Ireland, Italy, the Netherlands, Spain, and
Switzerland, a dataset has been hand-collected of transnational citations between the
highest courts of these countries, in total searching 636,172 decisions decided
between 2000 and 2007. It is showed that citation of foreign law by supreme courts is
not an isolated phenomenon in Europe, but happens on a regular basis. 1,426
instances were found in which these courts have cited the supreme courts of the
other nine countries. The majority (1,077) of these citations have been made for
purely comparative reasons. A regression analysis was also undertaken in order to
understand the differences between the cross-citations. Whether such citations take
place and in what quantity depends on the particular legal culture and its relationship
to others. Austria and Ireland, which stand in an asymmetric relationship with
Germany and England respectively, seem to be particularly receptive to foreign
influence on their legal systems. But even controlling for these outliers, it has been
possible to identify that the population of the cited country and a low level of
corruption, native languages and language skills, legal origins and families, and
cultural and political factors all matter for which courts are likely to be cited. Two

Security rights: Scotland and The Netherlands compared
This paper will compare and contrast the main forms of asset
security in Scotland and the Netherlands. Security over immovable
property and corporeal and incorporeal movable property will be
considered. Reference will be made to particular rules which are different in the two
jurisdictions, as well as fundamental principles such as accessoriness and specificity.
The paper will conclude by looking at what lessons there are for the future
development of security rights law in Europe, with Book IX of the Draft Common
Frame of Reference also being considered.

What is "Law and Governance"?
In the last decade, a number of academic institutions, research groups and chairs for
“Law and Governance” have been established in the Netherlands and other countries
of the world. Does this mean that “Law and
Governance” has become a new scientific
discipline? Or is “Law and Governance” simply
a nice etiquette, a trendy catchword for a better
marketing of research activities in virtually all
fields of legal and social science?
It is submitted that taking “Law and Governance” seriously is a scientific necessity. To
date, several discourses on governance in relation to specific areas of law and policy

take place: Governance and the public administration, Governance and legal theory,
Governance and the European Union, Governance and European private law,
Corporate governance, etc. These discourses run to a large extent separately from
each other. An in-depth analysis of the relationship between law and governance in
general, linked to a comparison of the governance dimensions of many different fields
of law, is arguably still missing.
A good definition of “governance” could be “societal organisation and policy-making”.
It is about “governing with or without the government”, policy-making with or
without (traditional) politics. It is about organising institutions, or relationships
between human beings and/or institutions, by pursuing one or more policy
objectives.
“Law and Governance” is not only about multi-level governance. It is not only about
public-private governance, public and private interests, public and private actors. It is
not only about good governance in the sense of more democracy, transparency,
accountability, and human rights impact. It is submitted that exploring the
governance dimensions of the law also includes the highlighting of the policy
dimension(s) of all legal phenomena, from lawmaking to interpreting, applying and
enforcing the law. Thus a “Law and Governance” perspective could help exploring and
discussing the (latu sensu) political dimension of every field of law, including private
law.

Mandatory Contract Law
Reasoning from the normative underpinnings of contract law, default rules should be
the norm and mandatory rules should be the exception. In the
reality of current European legislation, the relationship is the just
the opposite as mandatory law is not the exception but the rule.
The obvious explanation is that the EU has focused on consumer
law, i.e. on the regulation of transactions between a business and a
consumer. Within B-to-C relationships, the consumer is perceived
as the weaker party which requires protection against the more powerful business
entity. The upcoming presentation challenges the assumption that consumers are
weak and that the ‘weakness’ of consumers forms the normative basis for the

European law of consumer protection. However, this does not mean that the existing
body of rules of consumer contract law must be done away with entirely. What is
really needed is a principled re-evaluation of the acquis in order to identify the
situations where legal intervention in the mode of mandatory rules is justified. As it
turns out, this is the case with regard to parts of the acquis, but not with regard to all
of the existing directives. In running this evaluation, the presentation reviews the
proposed Directive on Consumer Rights and the relevant provisions within the Draft
Common Frame of Reference.

Understanding and Evaluating the Legal Critiques of the Public/Private
Distinction and their Implications
This presentation gives an overview of the various critiques that
have been made of the public-private distinction by legal
scholars over the course of the 20th Century. Situating them in
their various geographical, cultural, and political contexts, the
presentation looks into their (potential) reception and
appropriation in European contexts. This involves making an
analysis of the potential and limitations of the critiques, as well
as some sort of assessment of the contexts of reception. The question pursued is: in
view of the profound nature of the critiques, can they become a structural motive in
the development of legal scholarship in Europe? Or are they to remain at the margins?
Specific elements of Juan Amaya Castro’s thesis are treated.

Individual and collective labour contracts : choice of law issues?
The aim of the presentation is to address some of the many difficulties arising in
private international law when it comes to collective agreements. Although very
common in labour law, collective agreements are not a PIL category, and therefore,
many questions remain unsolved when it comes to international labour relations.
It will be argued that the present state of law is very confusing and that some
clarification could be made.

Comparing legal argument: notes toward a research method
This paper offers suggestions for a method for the comparison of legal argument
forms across jurisdictions.
There is a common divide, in comparative legal scholarship,
between projects that focus on what foreign law does (often
called ‘functionalism’) and those focused on what foreign law
means (somewhat less often, but still helpfully, called
‘expressivism’). The former are often accused of ignoring local
context and of having to rely on unwarranted assumptions as to
similarities between specific foreign and domestic legal problems and solutions. The
latter, in turn, are said to lead to depictions of individual legal systems that are
virtually un-comparable for lack of a common framework.
The paper discusses ideas to bridge this divide between doing and meaning through
reliance on basic assumptions as to what foreign law is. Whatever else may be going
on in the foreign setting to be studied, the argument goes, comparative legal
investigations can rely on the fact that at least some of the social practices –
procedures, written materials, institutional structures etc. - under observation are

recognized by foreign local participants as law. Both the ‘solutions’ and ‘meanings’
sought by functionalists and expressivists, that is, are, at least to some extent,
conditioned by the “internal logic of juridical functioning”. The methodological notes
presented in this paper propose to make strategic use of what we know about this
‘internal logic’ in order to compare the meaning of legal argument among different
(Western) legal systems.
In particular, the paper defends and expands on the following assumptions: (1) An
assumed overriding objective of legitimization which informs the meaning of all legal
argumentation; (2) The assumption that this ‘legitimization problematic’ will always
turn, at least in part, on the management of an appropriate degree of relative
autonomy and ‘closedness’ of the legal order (i.e. of its relative formality), according
to local standards and using local means; and (3) The basic structuralist assumption
that the meaning of elements of legal discourse will always be relative to that of other
elements, so that the elaboration of meaning will always involve a process of
(internal) comparison. Taken together, the paper argues, these elements sustain a
method of comparison that can be beneficially both ‘maximally internal’ and
‘minimally functionalist’.

Passing of risk and the risk of mystification – some drafting issues
The Feasibility study contains one chapter (seven articles) dealing with the passing of
risk in sales contracts. Loss of, or damage to, the goods after the risk has passed to the
buyer does not discharge the buyer from the obligation to pay the price, unless the
loss or damage is due to an act or omission of the seller. In this paper, the author
argues that the Feasibility study’s model of non-performance and remedies would be
more coherent and accessible if the rules on passing of risk were substituted by
minor adjustments of the rules on delivery or by an adjustment of the rules
concerning the effects of the buyer’s non-performance of the obligation to take
delivery. Including rules on passing of risk is only one of several examples of drafting
with traditional notions rather than in descriptive language and self-explaining
formulas.

The Myth of Efficient Breach: New Defenses of the Expectation Interest
We defend contract law’s preference to protect
the expectation with a liability rule against
prominent doctrinal and moral critics who
argue that a promisee should have a right to
specific performance or to a restitutionary
remedy. These critics argue that liability rule
protection limited to contractual expectations unjustifiably favors promisors, by
allowing a promisor to capture the entire gain from unilaterally exiting a contract, as
long as she compensates her promisee for the profit he would have realized had he
received the goods or services the contract described. The critics prefer to vindicate
contractual expectations with a property rule or restitution.
We show that a promisee’s gross payoff under the typical contract is invariant to the
remedy the law accords him. Current defenders and critics focus on gross
payoffs. In this analytic universe, no remedy can be shown to be superior to any
other remedy. We argue below that the promisee’s net payoff, for transaction cost
reasons, is higher under a contract that protects his expectation with a liability
rule. This claim supports the dual performance hypothesis, which holds that
promisees typically give their promisors discretion either to trade the goods or
services at issue or to make a transfer to the promisee in lieu of trade. A promisor
who transfers rather than trades therefore does not breach; rather, she breaches only
when she rejects both trade and transfer. On this view of the law, a promisee’s suit to
recover his expectation is a specific performance action to enforce the contract’s
transfer term. We further explain that this approach renders contract law coherent;
it is consistent with the law’s immanent normativity; and it is consistent also with the
morality of promising.

Duties, Liabilities, and Damages
This essay defends three propositions about the law of damages in common law
regimes: (1) there is no duty to pay damages; (2) the leading theoretical explanations
of damages law—rights-based and utilitarian explanations—must be rejected

because each supposes that the law should recognize a duty to pay damages; (3) the
value of damage awards lies fundamentally not in what they do, but what they
represent—and what they represent is the law’s effort to do the
next best thing to actually enforcing legal duties. Stated differently,
the essay argues that damage orders are structurally similar to
judicial orders to pay fines: in neither case does the order give
effect to a pre-existing legal duty and, more generally, in neither
case is the order intended to motivate compliance with a moral
duty.

Consumer protection law relating to online contracts in the case-law of the
CJEU and the role of the Advocate General
The lecture started with a general presentation of
the Court of Justice of the European Union. The
focus was given to the role of the Advocate
General. In continuation, the preliminary ruling
procedure was presented. In this connection, the
lecture illustrated three cases relating to online contracts. All of them deal with
various legal issues that arise in online contracts. The first two (Messner, C-489/07,
and Heinrich Heine, C-511/08) deal with the rights of a seller or a consumer in case
of withdrawal from the contract. The third one (joined cases Pammer and Hotel
Alpenhof, C-585/08 and C-144/09) concerns the question of jurisdiction. The lecture
ended with a presentation of an action for failure to fulfil an obligation. One of such
cases from the field of consumer law (C-177/04, Commission/France) was illustrated.

Comparative legal research and sources of law
The prevalence of debates on the nature and the sources of law
suggest that more fundamental issues may be at stake than is
perhaps generally acknowledged in concrete
presentations/discussions about these topics. The comparatist’s
understanding of law is not simply one question among others
within a comparative method, but relates to a set of background
assumptions and conceptions that inform nearly everything
comparative lawyers do. This point was illustrated by discussing one (more
traditional) research project in which Adams was involved, and subsequently this
was related to a position on the future of comparative legal research.

Aukje van Hoek national expert EU project ‘Removing obstacles to access

Aukje van Hoek (together with Joris Kocken, UvA/Groningen) acts as national expert
in the project “Removing obstacles to access to (e)Justice through mediation in
Europe: ensuring enforcement and a smooth cooperation with judicial and non-
judicial authorities.” This project receives funding from the EU under the programme
JLS/2010/JCIV/10-1AG – Specific transnational projects – “Specific programme Civil
Justice 2007-2013”. The project started on 1 May 2011 and will run till 30 April 2013.
In 2011 a first national report was submitted, which was discussed at a meeting in
Genoa/Imperia on 11 November 2011.

The research programme is funded, in the first place, by the direct funding
from the University (1e geldstroom). Participating in the research priority area
Private and Public European law, the CSECL receives funds from the university
for a postdoctoral researcher for the project The Architecture of Postnational
rule making.
Moreover, the group applies constantly, where appropriate, for additional
public funding (2e en 3e geldstroom) from the NWO (including HIIL), FP7, the
European institutions et cetera. In particular, the framework contract with the
European Parliament has been renewed in April 2010. Also, submission of
new PhD projects to the MaGW Open Competition is mandatory and passing
the test of eligibility (i.e. admission to the second round) for a Veni scholarship
is a condition for a permanent position as an assistant-professor (universitair
docent) at the CSECL.

11.1 HIIL/NWO project National resistance against
Europeanisation of private law: a multi disciplinary
investigation into the roles of nationalist ideology
and the behaviour of firms and consumers This project seeks to explore the resistance that exists against
European integration in the field of private law by looking at two
reasons for such resistance: nationalist ideology and the behaviour of
firms and consumers. It thus proposes an interdisciplinary approach in
trying to answer one of the most fundamental questions about
unification of (private) law: what explains national resistance against
unification? In particular, this project focuses on the role of two
particular factors which can explain national resistance, i.e. nationalist
ideology (expressed in the guise of cultural and economic arguments)
and the behaviour of the actors to be affected by legal unification. The
answer to this question provides fundamental insights into the best
way in which an effective European integration of law is to be achieved
and what the role of the European and national legislator in this
respect should be.
Prof. Martijn W. Hesselink, Professor in European Private Law, and prof.
Jan Smits (University of Tilburg) have obtained a HIIL/NWO grant.
PhD student Guido Comparato has joined the CSECL to write a thesis
about the subject; Gary Low is PhD student at the Tilburg team.
Guido finished his manuscript in September 2012 and then took up a
post-doc position in a research project on European private law of prof.
Hans Micklitz (European University Institute, Fiesole). Guido’s
manuscript was approved by his supervisors at the end of 2011. The

11.2 EC project The legal framework for digital content
services for consumers In January 2010 the CSECL started, together with the Institute for
Information Law (IVIR), the research project ‘the legal framework for
digital content services for consumers'. The project was assigned by the
Executive Agency for Health and Consumers and financed by the
European Commission. The project concluded in August 2011.
In February 2011, report 2 was submitted to the Commission and discussed
in an expert workshop in Amsterdam on 25 February 2011. This report
contained the comparative analysis of the country report as well as a
recommendations for draft rules on digital content contracts that could be
included in a possible future EU instrument for European contract law. In
June 2011, the third and final report was submitted to the EAHC and the
Commission. This report consisted of a revised version of report 2,
including a Law & Economics analysis of selected aspects pertaining to
digital content contracts. The report was presented during a stakeholder
meeting, organised by the European Commission on 16 November 2011.
11.3 EC Expert Group on a Common Frame of Reference in the
area of European Contract Law Prof. dr. Martijn W. Hesselink and prof. dr. Hugh Beale have been
appointed by the European Commission as a member of an Expert
Group on a Common Frame of Reference in the area of European
contract law. The group's task will be to assist the Commission in the
preparation of a proposal for a Common Frame of Reference in the area
of European contract law, including consumer and business contract
law, and in particular in: selecting those parts of the Draft Common
Frame of Reference which are of direct or indirect relevance to contract

law; and restructuring, revising and supplementing the selected
contents of the Draft Common Frame of Reference, taking also into
consideration other research work conducted in this area as well as the
Union acquis.
On 3 May 2011, after one year's work, the Expert Group published its
report ‘A European contract law for consumers and businesses:
Publication of the results of the feasibility study carried out by the
Expert Group on European contract law for stakeholders' and legal
practitioners' feedback’ which became the basis for the European
Commission's proposal, published a few months later, for a regulation
on Common European Sales Law.
11.4 European Parliament framework contract European
contract law, including consumer law In April 2010 the CSECL has been assigned a tender on ‘European
contract law, including consumer law’, funded by the European
Parliament. Members of the research group will provide their expertise
on European contract law to the Committee on Legal Affairs of the
European Parliament in a form of standard briefing notes and ad hoc
briefing papers. This should strengthen the Committee’s knowledge on
the subject and enable her to respond to proposals made by the
European Commission and provide a solid basis for some of the
Committee’s own initiatives. The framework contract will run until 31
December 2014.
11.5 UVA research priority area project The Architecture of Post-National Rulemaking: Views from Public International Law, European Public Law and European Private Law The University of Amsterdam has granted a funding to the research
priority area Private and Public European law in which the CSECL, the

Amsterdam Centre for European Law and Governance (ACELG) and the
Amsterdam Center for Tax Law (ACTL) participate.
As of 1 January 2010 ACELG, CSECL and Public International Law
conduct together the project The Architecture of Post-National
Rulemaking: Views from Public International Law, European Public Law
and European Private Law.
The CSECL recruits to this end a post-doctoral researcher.
The project aims to provide new reflections and insights into the
discussion on the legitimacy of post-national rulemaking starting from
three distinct but in this project uniquely combined legal perspectives.
The main objective is to relate perspectives from public international
law, European public law and European private law on post-national
rulemaking and to examine through a new lens any legitimacy concerns
that may arise from the new arrangements. The project will further
develop a normative framework for the analysis of post-national
rulemaking applicable across all three areas. This will require
theoretical work on the concepts of rulemaking and legitimacy starting
from the perspectives of the three different areas of law.
After some time having been spent on reconciling concepts and
defining future activities, the project in 2011 experienced a powerful
official start sign with the organisation of a workshop entitled ‘Framing
and Taming Postnational Rulemaking. Views from Public International
Law, European Public Law and European Private Law’. The event,
besides showing that the project’s theme attracts intense interest,
resulted in the formulation of a clear mission statement, available on
the project website that was also launched in 2011. In parallel with the
move from the organisational to the content exemplified by the
workshop, the regularly held project meetings focussed on the
discussion of project member’s papers and resulted in the publication
of working papers and regular papers.

11.6 EC Complementary study on the legal aspects of the
posting of workers in the framework of the provision of
services in the European Union
In 2011 Prof. Aukje van Hoek was project coordinator of the study
team on the legal aspects of the posting of workers in the framework of
the provision of services in the European Union (contract
VC/2011/0096). She was assisted by dr. Mijke Houwerzijl (University
of Groningen ). Furthermore, the study team consisted of 15 national
experts. A kick-off meeting took place in Amsterdam on 28 and 29 April
2011. The study complements an earlier study undertaken by Van
Hoek & Houwerzijl, which covered the other 12 Member states. The
report of this first study was published in 2011 through

The Posting of Workers Directive 1996/71/EC aims to reconcile the
exercise of companies' fundamental freedom to provide cross border
services under Article 49 EC with the need to ensure a climate of fair
competition and respect for the rights of workers.
The study examines any questions and difficulties which may arise in
the practical application of the posting of workers legislation, as well in
its enforcement in practice. It carries out further analysis of the main
problems regarding the implementation, application and enforcement
of the Directive 96/71/EC. It also identifies cases of good practice and
outlines suggestions to address such problems and improve the legal
and practical situation in the Member States in that respect. The study
results in a list of 46 recommendations which contributed to the
preparation of and discussion on two draft proposals submitted by the
EC in 2012: COM(2012)130 and COM(2012)131.

11.7 Common Core: Interpretation of Commercial Contracts
In 2010 Jaap Baaij initiated and launched a new comparative legal
study for the Common Core of European Private Law. It is the most
comprehensive comparative study on interpretation methods to date.
In 2011 twenty-four legal scholars from fifteen European legal systems
and South-Africa joined as ‘national reporters’. In 2011 Jaap and his co-
editors, Laura Macgregor and David Cabbrelli, from the University of
Edinburgh, meticulously crafted a Questionnaire on the basis of which
the national reporters drafted their draft reports. These reports will be
reviewed and revised in 2012, after which the editors will commence
their comparative analyses. The full manuscript is expected to be
finalized late 2013.
