CONDIZIONI GENERALI DI VENDITA

PrezziIl presente listi no annulla e sosti tuisce i precedenti e sarà valido fi no ad emissione di un nuovo listi no.I prezzi di listi no si intendono franco fabbrica, IVA esclusa.ALLAMTIC Srl si riserva la facoltà di apportare modifi che al listi no prezzi in qualsiasi momento e di mett erle a conoscenza del Committ ente con un preavviso minimo di 15 giorni.

Evasione ordiniI termini di consegna decorrono dal ricevimento dell’ordine e si intendono espressi in giorni lavorati vi. Eventuali ritardi indipendenti dalla nostra volontà non possono dar luogo né a pretese per danni, né ad annullamento o riduzione del contratt o da parte del Committ ente.L’ordine viene assunto da ALLMATIC Srl senza alcun impegno e subordinatamente alle possibilità di approvvigionamento delle materie prime occorrenti alla produzione; eventuali mancate esecuzioni totali o parziali non possono dal luogo a reclami e riserve per danni. Cause di forza maggiore possono impedire l’atti vità di ALLMATIC Srl ed in tal caso la sospensione o il ritardo nell’evasione degli ordini sono giusti fi cati . Tali cause, oltre a quelle previste dal C.C., sono: eventi atmosferici, terremoti , incendi, scioperi non preavvisati , interruzione dei trasporti e delle comunicazioni, scarsità di energia e della materia prima necessaria, guasti ai macchinari ed agli impianti di produzione.

SpedizioneLa spedizione potrà essere eff ett uata tramite corriere convenzionato con ALLMATIC Srl con addebito dei costi relati vi in fatt ura oppure il riti ro potrà essere fatt o con mezzi di fi ducia del Committ ente previo accordo all’att o della conferma dell’ordine.La merce si intende resa franco stabilimento ALLMATIC Srl di Lenti ai (BL) e viaggia a rischio e pericolo del Committ ente, anche se spedita in porto franco. ALLMATIC Srl non è responsabile per eventuali smarrimenti o danni causati dal trasporto. E’ importante che il Committ ente controlli sempre la merce al momento della consegna; nel caso venga riscontrata qualche anomalia o danni all’imballo è necessario annotare la riserva sulla lett era di vett ura ed informare tempesti vamente tramite lett era raccomandata il trasportatore e per conoscenza ad ALLMATIC Srl.

ImballoL’imballo è compresso nel prezzo; richieste parti colare o imballi speciali verranno addebitati al costo.

Condizioni di pagamentoI prezzi del presente listi no si intendono per pagamenti eff ett uati in contanti all’att o consegna della merce.Nel caso di pagamenti diff eriti , il mancato rispett o del termini patt uiti comporterà l’addebito degli interessi di mora in misura pari agli interessi bancari correnti e la decadenza immediata del benefi cio del termine. Eventuali inadempienze del Committ ente autorizzano ALLMATIC Srl sia a sospendere l’esecuzione di tutti gli altri ordini ed eventuali spedizioni che fossero in corso all’epoca, che ad esigere il pagamento di ogni altra scadenza, anche se non ancora maturata.

GaranziaLa garanzia di ALLMATIC Srl ha validità a termini di legge a parti re dalla data stampigliata sul prodott o ed è limitata alla riparazione o sosti tuzione gratuita dei pezzi riconosciuti dalla stessa come difett osi per mancanza di qualità essenziali nei materiali o per defi cienza di lavorazione.ALLMATIC Srl non si assume alcuna responsabilità per danni o difetti dovuti ad agenti esterni, non corrett a installazione o manutenzione del prodott o, sovraccarico, usura naturale o altre cause non imputabili ad ALLMATIC Srl. Per i prodotti manomessi non sarà riconosciuta l’assistenza in garanzia. Chi eff ett ua le istallazioni deve att enersi scrupolosamente alle istruzioni sull’uso e la manutenzione a corredo del prodott o ed alle normati ve vigenti . Per i prodotti fuori garanzia ALLMATIC Srl garanti sce la riparazione contro addebito delle spese di riparazione e sosti tuzione.

Reclami ALLMATIC Srl acceterà eventuali reclami entro 8 giorni dal ricevimento della merce e li assolverà secondo quanto previsto dalle condizioni di assistenza in garanzia.Il reclamo non potrà in alcun modo causare l’annullamento o la riduzione dell’ordine da parte del Committ ente, né dar luogo a richieste di risarcimento per danni diretti o indiretti .

ResiGli eventuali resi di merce si accett ano solo se preventi vamente concordati ed autorizzati ; le spese inerenti al reso ed al successivo invio sono a carico del Committ ente.

Disdett a di un ordineIl Committ ente nel caso di disdett a di specifi ci ordini di produzione non in catalogo è tenuto a corrispondere ad ALLMATIC Srl una indennità risarcitoria pari al 40% dell’ordine annullato, salvi i diritti per danni ulteriori.

Responsabilità Allmati c srlI dati riportati sono puramente indicati vi. Nessuna responsabilità potrà essere att ribuita ad ALLMATIC Srl per riduzioni di portata o disfunzioni dovute ad interferenze ambientali.La responsabilità a carico ALLMATIC Srl per danni a chiunque derivanti da incidenti di qualsiasi natura cagionati dalla difett osità dei nostri prodotti sono quelle contemplate inderogabilmente dalla legge italiana.

Foro competentePer qualsiasi controversia dovesse insorgere nella esecuzione del contratt o si sti pula per patt o espresso che sarà competente il Foro di Belluno e che si applicherà esclusivamente la legge italiana.

Accett azione condizioni generaliAll’att o della sott oscrizione del contratt o o della conferma dell’ordine il Committ ente accett a le condizioni generali di vendita che prevalgono sulle condizioni di acquisto del Committ ente.Ogni ordine implica la tacita accett azione di tutt e le voci delle condizioni di vendita qui stabilite. Qualsiasi modifi ca alle condizioni generali deve essere autorizzata da ALLMATIC Srl e sti pulata per iscritt o prima dell’ordine.Ai sensi dell’Art. 13 del D.Legs. n°196 del 30/06/2003 il Committ ente acconsente all’inserimento dei propri dati personali negli archivi informati ci e cartacei della ALLMATIC Srl ed al loro tratt amento per fi nalità amministrati ve e commerciali. Dichiara altresì di essere a conoscenza dei diritti che, in relazione al tratt amento di tali dati derivano dell’Art. 7 del medesimo Decreto.

PricesThis price list supersedes all previous ones and will be in force ti ll next revision.Prices are quoted free ex-works and do not include VAT. ALLMATIC Srl reserves the right to modify the price list at any moment subject to giving the Customer at least 14 days’ noti ce.

Meeti ng OrdersDelivery dates are calculated from the date on which the order is received and are calculated in working days. We are not liable for any delays for which we are not responsible and they do not enti tle the Customer to make compensati on claims or to cancel or reduce orders that have been placed. ALLMATIC Srl places himself under no obligati on by accepti ng the order and accepts it subject to the availability of the raw materials required for producti on. Parti al or total failure to meet orders does not justi fy claims being made, or moneys’ being withheld for compensati ons. Force majeure may impair ALLMATIC Srl’s acti viti es and in such cases failure to meet orders or delays in meeti ng orders are justi fi ed. Force majeure and the events envisaged by the Italian Civil Code are: inclement weather, earthquakes, fi res, unexpected strikes, power shortages and shortages of the required raw material, machinery faults and faults in producti on systems.

DispatchThe goods may be dispatched via a carrier approved by ALLMATIC Srl with the relevant costs being invoiced or else the products may be collected by vehicles approved by the Customer on the basis of arrangements made when the order was confi rmed. The goods are deemed to be dispatched free ex-ALLMATIC Srl works at Lenti ai (province of Belluno) and carriage is at the Customer’s risk and hazard, even if the goods are dispatched carriage paid. ALLMATIC Srl is not liable for loss or damage during transit. The Customer must always check the goods upon taking receipt and if he detects any fault or damage to the packing he must record the fault or damage on the delivery note and promptly noti fy the carrier by registered lett er and noti fy ALLMATIC Srl for its informati on.

PackingThe cost of packing is included in the price. The cost of special requests or packing will be charged for.

Terms Of PaymentThe listed prices refer to payments made in cash at the moment of delivery of the goods. In the case of payments by instalments, interest will be charged on late payments at a rate that is the same as current bank rates and enti tlement to pay by instalments will be immediately withdrawn. Any non-compliance by the Customer shall enti tle ALLMATIC Srl both to suspend all other orders and any deliveries and to require the payment of all other outstanding amounts, even if they are not yet due for payment.

WarrantyALLMATIC Srl’s warranty runs for In compliance with legislati on from the date stamped on the product and is limited to the free repair or replacement of parts that ALLMATIC Srl acknowledges to be defecti ve because of defi ciencies in essenti al material properti es or manufacturing faults. ALLMATIC Srl accepts no responsibility for damage or faults that are due to external agents or incorrect installati on or maintenance of the product, overload, natural wear and tear or other causes for which ALLMATIC Srl is not responsible. Products that have been tampered with are not covered by the warranty. The person carrying out installati on must comply completely with the use and maintenance instructi ons supplied with the product and with current regulati ons. ALLMATIC Srl undertakes to repair products that are not covered by warranty but will charge for repair and replacement costs.

ComplaintsALLMATIC Srl will accept complaints within 7 days of receipt of the goods and will follow the complaints procedure specifi ed for goods under warranty. The complaint shall under no circumstances enti tle the Customer to cancel or reduce the order and shall not enti tle him to claim for compensati on for direct or indirect damage.

Returned GoodsReturned goods will be accepted only if the return has been previously agreed and authorised. The cost of returning and then dispatching the goods shall be borne by the Customer.

Cancelling An OrderIf the Customer cancels orders for products that are not in the catalogue he shall pay ALLMATIC Srl compensati on amounti ng to 40% of the value of the cancelled order and this shall not aff ect ALLMATIC Srl’s enti tlement to further compensati on.

Allmati c Srl’s ResponsibilityThe informati on is provided for guidance only. ALLMATIC Srl is not responsible for any reducti ons in product range or for faults that are due to environmental interference. ALLMATIC Srl’s liability for accidents of any kind to any person that are due to faults in our product is defi ned exclusively by Italian law.

Place Of Jurisdicti onThe place of jurisdicti on for any controversies arising from the performance of this agreement is the court of Belluno and the agreement is governed exclusively by Italian law.

Acceptance of the general terms of saleBy signing this agreement or his order confi rmati on the Customer accepts the general terms of sale, which override the Customer’s terms of purchase. By placing an order the Customer tacitly accepts the terms of sale set out here. Any modifi cati on to the general terms of sale must be authorised by ALLMATIC Srl in writi ng before the order is placed. In accordance with Law 5/96 the Customer agrees to his personal data being fi led in electronic form and on paper in the records of ALLMATIC Srl and to their being processed for administrati ve and commercial purposes. He also declares that he is aware of his personal data protecti on rights as specifi ed in arti cle 13 of Law 675/96.l
