1. DEFINITIONS

Bunkering: Refuelling of a cargo vessel or ferry using or converted to liquefied natural gas as fuel.

Côte-Nord: (See maps 3 and 4).

Final agreement: The agreement to be concluded between the Proponent(s) of a Recommended project (approved by the Government of Québec, where appropriate) following the phase of discussions on an exclusive basis. This agreement will define the conditions governing the implementation of the Recommended project (approved by the Government, where appropriate) and will be based on the content of the Agreement in principle and the elements agreed by the parties during the negotiations following the announcement of the Retained proponent(s).

Agreement in principle: An agreement to be concluded on the principal conditions of the Final agreement to be concluded between the Proponent(s) of a Recommended project and the Government of Government of Québec. This agreement will be concluded prior to the phase of exclusive discussions in accordance with article 3.6.

Energy-intensive businesses: Businesses in the Côte-Nord and the Nord-du-Québec regions that consume important amounts of fossil energy, mainly aluminum smelters, iron ore pellets production plants and mines.

Greenhouse gases (GHG): Gases formed essentially of water vapour, carbon dioxide (CO2), methane (CH4), nitrous oxide (N2O) and ozone (O3). CO2, CH4 and N2O are the GHG that must be calculated in the context of the Call for projects.

Delivery: The step allowing to move liquefied natural gas from a main LNG storage unit, as the case may be, to the Final user’s designated delivery point.

Member: in the case of a Proponent comprising a group of persons, any Person who, directly or indirectly in any way, holds equity in the Proponent selected to carry out the Project.

LNG: Liquefied natural gas.

Government of Québec or government: The Lieutenant Governor of Québec and the Conseil exécutif du Québec.

MERN: Ministère de l’Énergie et des Ressources naturelles.

The Nord-du-Québec region: (See maps 5, 6 and 7).

Person: An individual, a legal entity, a corporation (including a limited partnership), a trust, fund, association, organization or any other group of persons that is incorporated or not

incorporated, and any individual or any other person acting in its capacity as a trustee, a liquidator, an executor or legal representative.

Project: The entire array of activities necessary to implement the Proposed solution including minimally the conception, the implementation and the financing.

Recommended project: The project(s) submitted to the Government of Québec for approval following the evaluation process described in this Call for projects.

Selected project: The Project(s) selected by the government.

Proponent: Until the deadline for receiving Proposals, any legal Person (corporation or joint venture) or general partnership that submitted a duly completed registration form in response to this Call for projects.

From the moment of the reception of Proposals, any legal Person (corporation or joint venture) or general partnership that submitted a Proposal in response to this Call for projects.

Retained proponent: The Proponent(s) whose Project will have been considered as being the one offering the best potential following the evaluation process described at section 3.

Proposal: The entire array of documentation prepared and provided by a Proponent to document the Project of this Call for projects, having as a main purpose the presentation of the Proposed solution as well as the means necessary for its implementation. Any information resulting from verification made by the MERN or the SPN as well as all the additional precision obtained through the evaluation process of the Project of the Proponent or during the exclusive discussion process are part of the Proposal.

Official representative: The Person designated in article 5.1 of this Call for Projects.

Proposed solution: The combined steps of the supply chain providing a reliable and safe supply of LNG on the Côte-Nord and, if applicable, the Nord-du-Québec regions. The proposed supply chain can evolve in time in order to correspond to the objectives of section 2 of this Call for Projects.

GHG emission cap-and-trade system: Targeting businesses of the industrial and electricity sectors that emit 25,000 metric tonnes of CO2 equivalent or more per year (ex.: aluminum smelters, cement plants, electricity producers, etc.) as well as the distributors of fossil fuels that must cover the GHG emissions related to all of the products that they distribute in Québec (gasoline, diesel fuel, propane, natural gas and heating oil). The costs related to the carbon market and the cap-and-trade system must not be included in the calculation of the cost to the Final user.

Area covered by the Plan Nord: The area covered by the Plan Nord refers to the entire Québec Territory situated north of 49 degrees north latitude and north of the Saint-Lawrence River and of the Gulf of Saint-Lawrence (See map 1).

Transport: The step allowing to move LNG from the liquefaction site to the main LNG storage tank, if applicable.

Final user: Energy-intensive business, institutional organization or any other potential user of natural gas that purchases the energy for consumption and not for resale.

Industrial port zone (IPZ): A defined territory used for industrial purposes located near port services as well as road and rail infrastructures.

2. THE PROJECT

IMPLEMENTATION CONTEXT

Currently, the natural gas distribution grid does not serve all of Québec’s regions, including regions part of the area covered by the Plan Nord such as the Côte-Nord and the Nord-du-Québec, even if the Government of Québec has an interest to offer a solution to supply natural gas to energy-intensive businesses.

The Government of Québec previously carried out several initiatives to support the establishment of a natural gas supply chain, including a feasibility study1 for the construction of a gas pipeline linking the existing grid from the Saguenay region to the Côte-Nord region. This study was launched in 2012 but was not completed because of the prohibitive cost of building a 450 kilometer (km) gas pipeline combined with an uncertain potential demand for natural gas in the wake of a significant drop in price of iron in the global market. Moreover, potential users couldn’t conclude the long-term supply contracts needed to ensure the profitability of a pipeline service by Énergir2, the main distributor of natural gas by pipeline in Québec regulated by the “Régie de l’énergie”.

The Côte-Nord is one of the only industrial regions of Québec that is not serviced by natural gas despite the fact that industrial consumption of petroleum products is high. By gaining access to natural gas, the Côte-Nord and the Nord-du-Québec’s industrial producers, mines, ship owners and maritime transporters would enjoy a considerable advantage. For want of access to natural gas by pipeline in the short and medium terms, the Government of Québec could, if necessary, accept to support financially, for a limited period, a solution to transport it, in its liquid form, commonly named LNG, to meet the potential demand stemming from the conversion to natural gas of businesses that are already established in the region. The availability of natural gas would provide, among others, an incentive for new businesses and project developments, thereby contributing to making LNG supply services profitable in the Côte-Nord and the Nord-du-Québec regions by increasing the quantities consumed.

A stable and competitive access to this energy source as well as the establishment of an efficient supply chain for its delivery are among the conditions that are likely to foster the economic development of the Côte-Nord and the Nord-du-Québec regions. Indeed, the introduction of natural gas would enhance the competitiveness of already established businesses of the industrial, mining and maritime sectors, while attracting new investments to develop the natural resources located in the area covered by the Plan Nord, generating significant spinoff for these regions and for Québec as a whole.

Furthermore, a natural gas supply service would gradually reduce the reliance on more polluting petroleum products such as heavy and light fuel oil, which are mainly used in the industrial processes of aluminum smelters and iron pellet production plants. Conversion of industrial installations to natural gas would help to attain the ambitious targets that the Government of Québec has set with regard to GHG reduction by 20303 . The increased use of natural gas in the rail and maritime transport sectors would also contribute to the attainment of this objective.

The use of natural gas also offers a financial advantage for large consumers of non-renewable energy, including businesses subject to Québec’s GHG emission cap-and-trade system4. GHG emission reductions by these businesses would reduce their financial obligations under the cap-and-trade system.

Accordingly, for want of short and medium-term supply by pipeline, the use of LNG is an alternative to serve more remote areas that are accessible by land or maritime transport.

In this regard, the Government of Québec announced in The Québec Economic Plan, March 2018, its intention to identify a LNG supplier to service the Côte-Nord and, if possible, in the Nord-du-Québec region.

The development of Northern Québec is a large-scale project for which the government wishes to maximize all benefits. Supplying the Côte-Nord and the Nord-du-Québec with natural gas would be a major advantage for these regions.

From an environmental standpoint, this form of energy reduces greenhouses gas emissions by industries, the majority of which currently use fuel oil and diesel.

From an economic standpoint, it can boost the profitability of existing businesses and those contemplating locating their activities in the Côte-Nord and Nord-du-Québec regions, since using natural gas helps making them more competitive.

Accordingly, The Québec Economic Plan, March 2018, provides for a call for projects that will be launched to determine one or more suppliers to provide liquefied natural gas in the area covered by the Plan Nord.

The call for projects, planned for 2018, will be conducted jointly by the Société du Plan Nord and the Ministère de l’Énergie et des Ressources naturelles. They will be responsible for the financial and environmental cost-benefit analysis for each of the proposals received. Once the Call for projects is completed, recommendations will be transmitted to the government concerning the project having the best potential.

It is in this context that the MERN and the SPN are jointly launching a Call for projects to supply LNG, first and foremost to the Côte-Nord region and, if possible, to the Nord-du-Québec region, both of which have promising development opportunities in the mining and industrial sectors.

CHARACTERISTICS OF THE REGIONS TARGETED IN THE AREA COVERED BY THE PLAN NORD

Specific context of the Côte-Nord region

The Côte-Nord region is vast (see maps 3 and 4). The portion located in the area covered by the Plan Nord lies north of the 49th parallel is delimited to the south by the coast between Pointe-aux-Outardes and Blanc-Sablon, and extends north to Fermont and Schefferville. The region has close to 80,0005 residents, living mainly between Baie-Comeau and Sept-Îles.

The territory of the Côte-Nord included in the Plan Nord is home to 7 Innu communities. The Innu community Takuaikan Uashat Mak Mani-Utenam is located near Sept-Îles and has a population of approximately 3,5006 inhabitants. Further north, in the Schefferville region, the Innu community of Matimekush has a population of approximately 8277 inhabitants and the naskapi community of Kawawachikamach is home to 680 inhabitants8 (see map 2).

Historically, the Côte-Nord region has developed through the exploitation of its hydropower, mining and forest resources. The region has two aluminum smelters, two iron pellets production plants and four operating iron and/or titanium mines situated in Havre-Saint-Pierre, Fermont and Schefferville. Numerous iron ore projects could emerge in the medium and long terms in the Labrador Trough, which would necessitate a diversity of energy sources.

The Côte-Nord region is accessible by water (cargo vessel, LNG converted ferry and rail ferry), air and land. From Sept-Îles, a multi-user railway is also in service to serve inland communities such as Labrador City and Fermont as well as the Schefferville area. Private railways are also used to access mineral resources on the territory.

Route 138 is accessible year-round. It links the coastal cities of the region (notably Baie-Comeau, Port-Cartier, Sept-Îles and Havre-Saint-Pierre) up to Kegaska. A ferry on the rivière Saguenay links the Côte-Nord region and Québec’s major urban centres, that is Québec City and Montréal.

A large portion of the Basse-Côte-Nord region is only accessible by boat or by aircraft. It spans from La Romaine to the village of Saint-Augustin, near Blanc-Sablon. The easternmost communities, starting from Vieux-Fort are linked to Labrador’s road network.

North of Baie-Comeau, Route 389 leads to the community of Fermont and, in Labrador, to the communities of Labrador City and Wabush. It is partly asphalted and will undergo major reconstruction in the coming years.

The Schefferville region is accessible by air or train from Sept-Îles.

The Côte-Nord region has three deep-water ports located respectively in Baie-Comeau, Port-Cartier and Sept-Îles. Other smaller ports and wharves that are not accessible during the period of ice cover are also found between Havre-Saint-Pierre and Blanc-Sablon.

The Côte-Nord region also has three industrial port zones (IPZs)9 located in Baie-Comeau, Port-Cartier and Sept-Îles. They are intended to foster manufacturing investment projects that create jobs and increase the value of Québec’s exports, in a sustainable development perspective.

2.2.1.1. Expressed Local Objective

Several stakeholders in the region have expressed a shared desire to gain access to natural gas. Moreover, a pilot project is under way at the Port-Cartier’s iron pellets production plant to convert part of its manufacturing process and certain plant operations to LNG 10.

In addition, several stakeholders in the Côte-Nord and Nord-du-Québec regions have grouped together in the coalition Plein Gaz au Nord11. The coalition’s main objective is to study and document the issue and the importance of natural gas for the region it represents and to inform the government on these matters.

Specific context of the Nord-du-Québec region

Some 45,000 people12 inhabit the Nord-du-Québec region, which has an area of more than 700,000 km2.

In Nunavik, the 11,400 Inuit residents are spread among 14 communities13 (see map 2). Isolated and far from each other, they are solely accessible by aircraft or by boat. However, the marine infrastructure of these communities is still barely developed as they don’t allow large volume transport. All of the buildings and facilities in Nunavik communities obtain electricity from off-grid diesel power plants and rely on fuel oil for heating. The harsh climate makes the access to these communities by boat difficult several months per year.

Two nickel mines are in operation in Nunavik. They also obtain their electricity from off-grid diesel power plants. One of them also uses wind power. Ore is transported by ice breaker from Deception Bay, near the Inuit village of Salluit.

The southernmost portion of the Eeyou Istchee James Bay region is accessible by road, airplane and in some cases by train. The Cree14 communities located on this territory have a population of approximately 17,000 people15. Some of these Cree communities also have access to marine infrastructure but they are small and barely developed.

The four main non-aboriginal municipalities are Chibougamau, Chapais, Lebel-sur-Quévillon and Matagami. They count around 13,000 inhabitants.

Several mines are active on the territory of Eeyou Istchee James Bay. Gold, copper, zinc and diamonds were the main mineral resources mined in 2018. More than 2,700 jobs are directly related to mining operations in the Nord-du-Québec region. Yet, no ore processing occurs in the region.

Gold, lithium, iron, titanium and vanadium mining projects are under development on this territory and could emerge in the short and medium terms.

Most of the active mines on the Eeyou Istchee James Bay territory have access to hydroelectricity since they are connected to Hydro-Québec’s network. It is not the case for Stornoway Diamond Corporation’s Renard diamond mine, which is supplied with LNG that is delivered by truck from Montréal.

OBJECTIVES

Satisfying current and future needs

In the short and medium terms, the Proposed solution to provide a consistent LNG supply must be adaptable to satisfy the consumption estimated by the Proponent (see article 4.4). However, to allow the comparison of the Proposals, the Proposed solution must present a base scenario to supply a minimum of 245,000 m³ of LNG per year to the Côte-Nord region, starting thirty-six (36) months after the signature of an Agreement in principle between the Government of Québec and the Retained proponent(s).

The Proposed solution must also adapt to the evolution of the needs of current and potential natural gas users in the Côte-Nord region according to the anticipated consumption over the ten (10) years following its implementation.

Each Proponent is responsible for establishing its forecasts of potential LNG consumption over the ten (10) years following its implementation. However, the Official representative could provide, for information purposes, information pertaining to the estimated short and medium-term consumption of the main existing potential users. Such information will be shared confidentially with the Proponents who request it following the signature of a confidentiality agreement.

If demand warrants doing so, a supply by pipeline might be contemplated.

Priority geographic area

The Proposed solution must, first and foremost, meet the potential demand of the Côte-Nord region.

Within the businesses in the Côte-Nord region, some could have facilities or development projects elsewhere in the area covered by the Plan Nord or accessible

from this area, notably in the regions of the Nord-du-Québec and of Labrador. The needs for LNG from these projects could also be considered in the Proposed solution for the Côte-Nord. However, a distinct section concerning facilities located in the Labrador Trough must be added to the Proposition in order to measure their impacts on the Project.

Optional geographic area

The Proposed solution can be improved by adding a component that would allow to supply LNG to other regions located in the area covered by the Plan Nord (ex.: Nunavik, Eeyou Istchee James Bay) without, however, being an eligibility requirement of the present Call for projects. Such an enhancement of the Proposed solution must be included in a separate section for the Nord-du-Québec region in order to determine the impact on the cost of the Project.

This enhancement could be part of the Selected project(s) insofar as the inclusion allows for a reduction in the Project’s risks.

The industrial sector

For the industrial sector, the Proposed solution must take into account, without being limited thereto, the needs of energy-intensive businesses operating in the industrial sector and that are located in the Côte-Nord region and, if applicable, in the Nord-du-Québec region.

A minimal amount of concerned businesses must have indicated to the Proponent their interest and their engagement to convert their facilities, their equipment and their processes to natural gas as soon as the solution is implemented and to purchase a minimum volume to be determined with the Retained proponent(s) for a minimum period of five (5) years, in accordance with the conditions of the Proposed solution.

The Projects under development by businesses operating in the industrial sector could be considered in the Proposal if they are highly likely to materialize.

Mining sector

For the mining sector, the Proposed solution must take into account, without being limited thereto, the needs of mining businesses owning facilities in the Côte-Nord region and, if applicable, in the Nord-du-Québec region.

In order for the volumes to be included in the Proposed solution, the concerned mining businesses must have indicated to the Proponent their interest and their engagement to convert to natural gas their facilities, their equipment and their

processes as soon as the Proposed solution is implemented and to purchase a minimum volume to be determined from the Retained proponent(s) for a minimum period of five (5) years, in accordance with the conditions of the Proposed solution.

The Projects under development by mining ventures could be considered in the Proposed solution if they are highly likely to materialize.

The Proposed solution could also take into account the use of natural gas in all mining activities, including ore transportation (in the event that mobile equipment is converted), according to the needs expressed by the mining ventures.

Maritime sector

For the maritime sector, the Proposed solution must take into account, without being limited thereto, the needs of ship owners and maritime transporters that engage in activities in the Côte-Nord region, on the St. Lawrence Seaway.

In order for the volumes to be included in the Proposed solution, the concerned ship owners and maritime transporters must have indicated to the Proponent their interest and their engagement in using natural gas for maritime transportation as soon as the solution is implemented and to purchase a minimum volume to be determined with the Retained proponent(s), for a minimum period of five (5) years, in accordance with the conditions of the Proposed solution.

The projects under development or the acquisition of vessels by ship owners and maritime transporters could be considered in the Proposal if they are highly likely to materialize.

Completion time

The LNG supply chain must be fully functional for users in the Côte-Nord region thirty-six (36) months after the date of signing an Agreement in principle between the Government of Québec and the Retained proponent(s). The Proposed solution can be adapted over time to meet the needs within the required timeline and in order to optimize and make the operation profitable and to meet the evolving consumption needs as estimated by the Proponent for a ten-year (10) period.

If a Proposed solution includes a component that aims at supplying the Nord-du-Québec region with LNG, this component of the Proposed solution could be implemented after the thirty-six (36) month deadline.

Financial engagement

In order to facilitate the deployment of LNG supply in the targeted regions, the Government of Québec could offer a short-term financial support. The Retained proponent will, however, need to offer sufficient financial guarantees to ensure the Proposed solution’s implementation.

SUPPLY CHAIN

Steps of the supply chain

The Proposed solution must include each step necessary to supply users with LNG, when applicable, including:

Natural gas sourcing;

Liquefaction;

Loading, unloading and bunkering;

Transport mode(s);

Mode(s) of delivery to each Final user’s site;

Storage;

Regasification.

The Proposed solution shall present, in a distinctive manner, the sourcing process for the natural gas in its gaseous state and the best purchasing price at which the Proponent could source this natural gas and indicate the possibility, or not, for the Final users to negotiate themselves the purchase of the molecule in its gaseous state as well as the requirements of the Proponent for the integration of this step to the Proposed solution.

Reliability and permanency

2.4.2.1. Supply guarantee

The supply of LNG must be sustainable in the short and the mid-term. As a first step, the Proponent must commit to supply LNG during a minimal period of five (5) years in accordance with the conditions set out in its Proposal. For the subsequent five-year period (5), the Government of Québec and the Proponent(s) will establish the conditions to be complied with in the Final agreement.

The Proposed solution must guarantee regular LNG supply to the Final users’ facilities throughout the year. Storage of LNG in the Côte-Nord

region, and where applicable, in the Nord-du-Québec region, must be sufficient to meet the Final users’ needs in case of temporary supply interruption.

Provision must be made for redundancy measures to avoid supply interruptions in the logistics chain. Such measures must take into account the distinctive nature of the territory and climatic conditions.

2.4.2.2. Reliable and safe transport logistics

The Proposed solution must hinge on a reliable logistics chain proven in Canada or elsewhere in the world or provide a convincing demonstration of its applicability and efficiency.

The Proposed solution must minimize risks related to transporting, loading and unloading LNG, bearing in mind the entire array of restrictions and the regulatory obligations applicable in Québec.

2.4.2.3. Proven and sustainable technologies

The Proposed solution must have been proven in conditions similar to those prevailing in the Côte-Nord region, and if applicable, in the Nord-du-Québec region, or provide a convincing demonstration that it is applicable to these regions.

The Proposed solution must also allow the quality and stability of LNG to be ensured, such that its high performance is guaranteed.

Adaptability and flexibility

The Proposed solution must be capable of adapting quickly to fluctuations in the demand and prices of natural gas and its substitute products. It must be sufficiently flexible to meet the particular needs of users in the industrial, mining and maritime sectors.

The environment

2.4.4.1. Environmental footprint

The Proposed solution must emit the minimum possible GHG emissions in the supply chain between the LNG producer and the Final user. As far as possible, it must also include compensatory or mitigation measures in the event irreversible environmental impacts occur, in particular regarding water, air and soil’s quality.

2.4.4.2. Minimization of threats to the environment and public safety

The Proposed solution must include the entire array of measures necessary to minimize environmental and public safety risks related to LNG supply throughout all the steps starting at the liquefaction plant up to the delivery of LNG to the Final users.

Competitive selling price

The Proposed solution must encourage the transition from using more polluting petroleum products toward a less polluting energy source: the LNG. To this end, the Proposed solution must offer competitive selling prices to the Final users in relation to other fossil fuel sources used in industrial processes. Moreover, while considering the region’s context, the selling price to Final users must be competitive compared to those in the global markets.

The price of LNG in the Côte-Nord region and, if applicable, in the Nord-du-Québec region, must be competitive throughout the period during which the Government of Québec’s financial assistance is necessary, if applicable. Failing this, the government reserves the right to terminate its financial support or any other commitment to the Retained proponent(s) in favor of a project providing natural gas with more benefits to the users while being less costly for Québec.

In the medium term, the Proposed solution must be financially viable without government support.

Stability of the selling price

The Proposed solution must provide sufficient stability and some level of predictability in the LNG selling price for energy-intensive businesses, unless, because of unforeseeable events, a significantly volatility in the price of the natural gas molecule in its gaseous state occurs.

Spinoff for local and aboriginal communities

The investments directly related to the implementation of a LNG supply service in the Côte-Nord region and, if applicable, the Nord-du-Québec region, could prove to be beneficial for local workers and businesses.

The Proposed solution will be evaluated bearing in mind, among other things, efforts that will be made to foster job creation and local contracting in the communities of the Côte-Nord region and, if applicable, of the Nord-du-Québec region, and the hiring of local and Aboriginal workers.

COMPLIANCE WITH THE LEGISLATION AND REGULATIONS IN FORCE

The Proposed solution must comply with all legislation and all regulations applicable in the province of Québec and in Canada. It must also respect the agreements and conventions that have been concluded with the Aboriginal communities living in the concerned territory. A Proposition including requests for legislative or regulatory amendments can be admissible if these requests are mentioned in the article 3.4.2.

Legislative or regulatory amendments

Without committing itself to do so, the Government of Québec could eventually propose to the National Assembly minor amendments to the statutes under its authorities if doing so is deemed desirable to implement the Selected project(s).

3. EVALUATION OF THE PROJECTS

The Project(s) showing the best potential will be recommended to the Government of Québec for approval once the evaluation process is finalized. A Project will be recommended to the Government of Québec, provided that at least one of the Proposed solutions is satisfactory.

The Government of Québec reserves the right not to select any Project once the Proposals are analyzed. It also reserves the right to select more than one Project insofar as each of the Retained projects satisfies particular or complementary needs.

The evaluation of the projects is based on criteria presented in this section and the entire array of documentation submitted by the Proponents according to the requirements of section 4. This is to evaluate the quality and verifiability of the information submitted by the Proponent. For example, the proposed cost of LNG will be evaluated not only in light of the cost submitted by the Proponent, but also bearing in mind the soundness of the entire array of hypotheses underlying the data proposed.

Four types of evaluation criteria will be taken into account:

Automatic rejection criteria;

Compliance criteria;

Disqualifying criteria;

Selection criteria.

AUTOMATIC REJECTION CRITERIA

A Project will be rejected automatically if the Proposal is not submitted before the time and date indicated in article 5.2 or if it is submitted at a location other than the one indicated in article 5.3.

COMPLIANCE CRITERIA

The outcome of the verification of the compliance criteria will be “success” or “failure” for each of the criteria. The Proposal’s failure to comply with any compliance criterion may lead to the rejection of the Project. However, the MERN and the SPN reserve the right, but do not have the obligation, to request clarifications or additional information from the Proponents in order to better understand the contents of the Proposals and rule on their. The compliance criteria are indicated below:

a) The Proposal must be written in French.

b) The registration form must have been completed and accompanied by the non-

refundable deposit of ten thousand dollars ($10,000), as stipulated in the Call

for projects.

c) The Proposal must be signed by a duly authorized person.

d) The information and the forms stipulated in articles 4.1 to 4.8 of section 4 must be

duly completed and included in the Proposition.

e) Neither the Proponent nor its Members must be registered in the Registre des

entreprises non admissibles aux contrats publics (RENA).

DISQUALIFYING CRITERIA

The outcome of the verification of the disqualifying criteria will be “success” or “failure” for each of the criteria. Any disqualifying criterion that does not attain the minimum requirements expected may lead to the rejection of the Project. However, the MERN and the SPN reserve the right, but do not have the obligation, to request clarifications or additional information from the Proponent in order to better understand the contents of his Proposal and rule on its compliance. The Proposal must address the following disqualifying criteria of articles 3.3.1 and 3.3.2.

Compliance with the Basic Parameters

The Proposed solution must:

be fully functional for the Final users in the Côte-Nord region and allow a minimal annual supply of 245 000 m3 of LNG, no later than thirty-six (36) months after the date of the signature of the Agreement in principle between the Government of Québec and the Proponent, considering that a Final agreement will have to be signed three to four months after the signature date of the Agreement in principle;

demonstrate and guarantee a consistent year-round LNG supply up to the Final users’ facilities for a minimum commitment period of five (5) years;

comply with the legislation and regulations in force such as the ones applying to navigation, road and public safety, and the environment.

The Proposal must include a commitment or minimally a promise of support from some of the Final users to use a minimal volume of LNG, which has to be agreed upon with the Proponent, for a minimum period of five (5) years.

Other eliminatory criteria

The credibility and the integrity of the Proponent and its partners;

The financial soundness of the Proponent and its partners and its ability to obtain funding;

An understanding of the mandate, context and stakeholders;

Complete documentation of the supply chain, transport logistics, and storage and regasification equipment.

SELECTION CRITERIA

The Proposals deemed eligible following the evaluation of the compliance criteria and the disqualifying criteria will be analyzed such that the Projects will be ranked according to the selection criteria.

The selection criteria are presented according to their level of importance which is either “high” or “moderate” for the analysis of the Project’s potential.

Selection criteria of high importance

The selection criteria of high importance are the following:

a) Minimize the government’s level of financial commitment while satisfying market needs.

b) Offer to the Final users a price for the LNG delivered to their installations that is competitive both in relation to other energy sources and in the global markets.

c) Offer a long-term, flexible technology that can be adapted to market changes over time.

d) Demonstrate the relevant experience of the senior executives and members of management responsible for implementing the Solution.

Selection criteria with moderate importance

The selection criteria of moderate importance are the following:

a) The implementation time frame and the availability of natural gas to Final users.

b) The commitment of the Proponent to maintain its solution beyond the minimum duration of five (5) years.

c) The Final users’ commitment to use LNG beyond the minimum duration of five (5) years.

d) The servicing of the area covered by the Plan Nord either via land, rail and/or maritime infrastructure (number of customers, sectors supplied).

e) The carbon footprint and the environmental impact, taking into account all of the steps of the Proposed solution.

f) The economic spinoff and the job creation in the Côte-Nord region, the Nord-du-Québec region and elsewhere in Québec including local and aboriginal job creation.

g) The requests other than those having a financial nature submitted to the Government.

CONFIDENTIAL DISCUSSIONS

During the Call for projects process, the MERN and the SPN reserve the right to engage in confidential discussions with the Proponents in order to better understand their Project.

AGREEMENT IN PRINCIPLE

Following the Projects’ evaluation, the MERN and the SPN are entitled to conclude an Agreement in principle with one or more Retained proponents. At the conclusion of the Agreement in principle, a financial guarantee of one hundred thousand dollars ($100,000) must be submitted as stipulated in the article 5.10.1. in order to confirm the commitment of the Retained proponent(s) to implement the Proposed solution in compliance with the conditions of the Agreement in principle. The Retained Proponent(s) must engage to permanently carry out its (their) activities in an establishment that is located in Québec at the moment of the implementation of a Project that have entered into a Final agreement with the Government of Québec.

RECOMMENDATION TO THE GOVERNMENT OF QUÉBEC

The Project(s) offering the best potential, presented by the Proponent(s) having concluded an Agreement in principle, must be recommended to the Government of Québec by the minister de l’Énergie et des Ressources naturelles and minister responsible for the Plan Nord. The Government of Québec remains free to support or not a Recommended project, notably in financial terms.

DISCUSSION ON AN EXCLUSIVE BASIS AND FINAL AGREEMENT

In the event that the Government of Québec decides to provide support, financially or by another means to Recommended projects, discussions on an exclusive basis will be undertaken between the Retained proponent(s) and the representatives of the MERN, the SPN or other Government of Québec representatives, if necessary.

These exclusive discussions, which will take place as part of the Agreement in principle preparation, will have the objective of concluding a Final agreement between the Government of Québec and the Retained proponent(s). Should the Parties fail to agree on the terms of the Final agreement, the Government of Québec reserves the right to either resume discussions with one or more Proponents, cancel the Call for projects process, or start over the process from the beginning.

At the conclusion of the Final agreement, a financial guarantee of five hundred thousand dollars ($500,000) must be submitted as stipulated in the article 5.10.2. with the objective to confirm the commitment of the Proponent(s) to implement the Proposed solution in compliance with the terms of the Final agreement.

4. PRESENTATION OF THE PROPOSAL AND OF THE REQUISITE INFORMATION

Other than the other documents required elsewhere in this Call for projects, the Proposal will have to comprise the array of documents required under this section.

GENERAL INFORMATION

A separate document entitled “General information” must be appended to the Proposal. The document must include the follow elements:

a) A text of two pages at the most (letter size) that demonstrates that Proponent fully understands the nature of this Call for projects, the specific conditions to respect in its realization, and the challenges related to the main stakeholders. The text must also demonstrate compliance with the basic parameters defined at the article 3.3.1. Precise references to relevant information contained in the Proposal can be made if necessary.

b) A description of the legal and commercial structure of the Proponent’s business, of its Members and affiliated enterprises as well as all of the other major partners associated with the Proposal, by submitting the following documents:

an administrative organizational chart of the Proponent and its Members;

the resumes of the directors of the Proponent’s enterprise and its Members who will be responsible for the implementation of the Proposed solution.

c) A description of the similar experiences of the Proponent, and of all of its major partners associated with the Proposal, with regards to the production, transportation and delivery of LNG.

d) Documents demonstrating the financial soundness of the Proponent, its Members and its strategic partners, namely:

the proofs confirming the Proponent’s ability to carry out the project;

the audited financial statements for the past three (3) years;

credit rating reports, if available;

recent unaudited internal financial statements;

any pertinent financial information that can influence positively or negatively the MERN and the SPN’s views on the Proponent’s financial capacity or on his reputation (litigation, contracts, claims, lawsuits, convictions, etc.).

e) A table that includes all components of the Proposed solution subject to the legislation and the regulations applicable in Canada and in Québec and the measures contemplated complying with them as well as the required timeline to do so.

f) A commitment from the Proponent to ensure LNG supply services according to the logistical, technical and financial terms and conditions of the Proposed solution provided under this Call for projects over a minimum period of five (5) years.

g) The Proponent and its Members must submit in writing their consent to undergo due diligence initiated by the MERN or the SPN.

TECHNICAL INFORMATION

A distinct document entitled “Technical information” must be appended to the Proposal. This document must include, but is not limited to:

a) A description of the Proposed solution and a demonstration of its effective application on the Côte-Nord and, if applicable, in the Nord-du-Québec, including, but not limited to, the following steps:

natural gas sourcing;

the production of LNG;

the transportation, loading, unloading, bunkering and other activities related to LNG transport logistics in the Côte-Nord region and, if applicable, the Nord-du-Québec region;

LNG storage and, where applicable, regasification prior to delivery to the Final users;

the delivery method for each of the Final users;

storage and regasification at the Final user’s site, if applicable.

b) An explanation of the measures applicable to the Proposed solution and their adaptability, within a reasonable timeframe, to an increase or decrease in the amount of LNG consumed over a ten-years (10) period.

c) A description of the Proposed solution from the standpoint of facilities, equipment and technologies related to the production, transportation, delivery, storage and regasification as well as a description of the attendant performance guarantees, including storage and regasification equipment installed on the Final users’ sites. An independent technical review of the technologies of liquefaction and storage proposed that proves their reliability and the quality as well as the characteristics of the end product will also have to be appended to the Proposal.

d) A convincing demonstration of the performance of the facilities, equipment and technologies proposed in conditions similar to those found in the Côte-Nord region and, where applicable, the Nord-du-Québec region.

e) A description of the transportation and delivery mode(s) proposed (land, maritime, rail), the route, the frequency, the transportation cycle, the mode of operation and duration of energy autonomy for the Final users. An analysis must show that the specific conditions in the Côte-Nord region and, if applicable, the Nord-du-Québec region, have been taken into account in the solution to ensure a stable supply year-round and that redundancy measures are provided in the event of a disruption in the supply chain.

f) A description of the location considered for the installation of new transportation, delivery and storage infrastructure in the Côte-Nord region and, if applicable, in the Nord-du-Québec region.

g) Where warranted, a description of the improvements and modifications that will have to be made to existing land and maritime transportation infrastructure related to the Proposed solution in the Côte-Nord region and, if applicable, in the Nord-du-Québec region.

h) An estimate, ideally based on empirical experience, of the reduction in the quantity of natural gas (expressed in m3) stemming from leaks during the supply process, that is, from the liquefaction to the delivery on the Final user’s site.

i) A realistic implementation time frame that encompasses critical stages including the design and construction of strategic facilities, equipment purchases, the issuance of permits, and so on. The time frame must demonstrate the plausibility of a fully functional implementation thirty-six (36) months after the date of signing an Agreement in principle between the Government of Québec and the Retained proponent(s).

MARKET OUTLOOK

A distinct document entitled “Market outlook” must be appended to the Proposal. This document will present the most likely economic assumptions concerning forecasted demand and supply for natural gas, LNG and other fossil energy sources on the North American continent and the expected prices. The economic variables demonstrating market changes must be presented for the short and medium terms:

in the short term (0 to 5 years) starting in 2020;

in the medium term (5 to 10 years) starting in 2020.

This document must also include a credible forecast of prices for LNG sold in the other industrialized nations for a five-year (5) period starting in 2020. This forecast should allow an evaluation of the Proposed solution’s level of competitiveness in the global market.

In the analysis of the future movements in the LNG price, the price of LNG must be put into relation with the prices of other fossil fuels used by potential customers in the Côte-Nord region and, where applicable, the Nord-du-Québec region, for example, fuel oil and diesel fuel, in order to demonstrate the economic profitability of the conversion to natural gas and the possible selling price spreads for the five (5) years beginning at the implementation of the Proposed solution.

BUSINESS PLAN

A document entitled “Business plan” must be appended to the Proposal. This document must present the main assumptions and hypothesis of the financial model pertaining to the Project for the ten (10) years following its implementation. It must include, but is not limited to, the following items:

a) The Proponent’s anticipated sales volume for existing businesses and the development projects of enterprises located in the Côte-Nord region and, where applicable, in the Nord-du-Québec region (list of potential customers, area of activity: industrial, mining (including railway and maritime transport), sales volume by customers, letter of engagement to purchase a minimal volume of natural gas).

b) A description of each of the development project of the enterprises taken into account by the Proposed solution and included in the Proponent’s anticipated sales volumes as well as a mention of the development and commitment stage of the Project as of the Proposal’s submission date.

c) The estimated selling price for each of the Final users over the first five (5) years following the implementation of the Proposed solution, including all production, transportation, delivery, storage and regasification costs, at the Final user’s site.

Where warranted, the measures adopted to ensure some degree of price stability must be described. The breakdown of the selling price must be presented according to the following components:

the selling price of natural gas in a gaseous state;

the price of the liquefied molecule;

transportation and delivery costs between the liquefaction plant and the Final user;

the cost of storage and regasification, including such costs on the Final user’s site.

d) The value of infrastructure and equipment investments to implement the Proposed solution (present the investments to be made in Québec and those to be made outside Québec separately), broken down over ten (10) years on an annual basis.

The value of the investments must be broken down according to the following categories:

the production of LNG, for example, the liquefaction plant;

transportation-related equipment and facilities such as trucks and ships;

storage, loading, unloading, and bunkering equipment and facilities at the production site, intermediate sites and on the Final user’s site, where applicable;

regasification equipment and facilities;

other investments related to the Proposed solution.

e) An annual investment calendar by expenditure grouping and territory (present the investments made in Québec and those made outside Québec separately).

f) The useful life of the infrastructure and equipment as well as the major maintenance work required, their frequency and their costs.

g) The estimated operating and maintenance cost for each step of the Proposed solution.

h) A list of financial assumptions (for example, inflation rate, interest rate, rate of return, actualization rate).

i) An analysis of financial risks resulting from the Project and planned mitigation measures.

j) The sources of financing for the Project and their specific parameters (rate, duration, set-up costs, cash flow profile over time):

financing from private sources such as capital investments, financial institutions, and so on;

requests for public financing (Québec, Canada, and so on), the desired intervention arrangements (grants, loans, equity, infrastructure investments, and so on) and the annual breakdown;

other sources of financing, where applicable.

k) A sensitivity analysis based on economic and financial assumptions, notably concerning the anticipated sales volumes, the price of the molecule, the transportation costs and the interest rate.

l) A description of the risk sharing between the Proponent and the Government of Québec, if applicable.

The Excel file serving as the financial model and supporting the above mentioned information must also be provided, with all formulas and without any locked cells.

ECONOMIC SPINOFF

A distinct document entitled “Economic spinoff” must be appended to the Proposal. This document must present, but is not limited to, the following elements:

a) Economic spinoff and financial impact in Québec.

b) The jobs created and the contribution to Québec’s GDP:

the overall number of direct jobs created in Québec by job class for the Proposal;

the average wage of direct jobs by job class.

c) Tax spinoff and financial impact:

estimated sales (annual time frame); or

estimated total operating expenses (annual time frame).

IMPACT ON LOCAL AND ABORIGINAL COMMUNITIES

A distinct document entitled “Impact on local and aboriginal communities” must present the steps taken to foster social acceptability that could be implemented, the awarding of contracts to local businesses and the hiring of local manpower, especially in Aboriginal communities.

THE ENVIRONMENT

A distinct document entitled “impact on the environment” must present the GHG generated by Proposed solution, from the liquefaction plant to the Final user, with a distinct presentation of the information for each step if the supply chain.

Moreover, the following information must be provided:

a) The quantification of GHG emissions attributable to the modes of transportation, if applicable, from the liquefaction plant to the Final user’s site.

b) The quantification of GHG emissions attributable to methane leaks when LNG is transported and stored.

The Proponent must also identify the potential environmental hazards and threats to local populations related to the implementation of the LNG supply chain in the Côte-Nord region and, if applicable, in the Nord-du-Québec region, and the compensatory or mitigation measures stipulated in the Proposed solution to minimize such threats and their potential impacts.

COMPLIANCE WITH QUÉBEC AND CANADIAN LEGISLATION AND REGULATIONS

A roadmap of the measures stipulated to comply with regulatory and legal requirements must be appended to the Proposal.

REGISTRATION FORM

Any Person interested in submitting a Proposal must complete the registration form appended in Appendix II, designate a contact person who will serve as the focal interlocutor for the Official Representative and submit all of the items before 4 PM, Québec time, on the date indicated in article 5.2, item 1.3, to the following address:

The form constitutes the notice of intention to submit a Proposal pursuant to this Call for projects.

Any Person interested in submitting the registration form must express its intention of doing so no later than 4 PM, Québec time, on the date indicated in article 5.2, item 1.2, to the following address:

Upon receipt of the registration form, the Official Representative will send an acknowledgement of receipt to the email address of the person designated by the Proponent. Any question or request must be submitted to the Official Representative by the person designated by the Proponent at the above-mentioned email address.

If he wishes so, a Proponent could submit more than one Project. Under these circumstances, the Proponent must submit a Proposal for each Project. However, he does not have to fill a new Registration form.

REGISTRATION FEE

A registration fee of ten thousand dollars ($10,000), including taxes, must be paid by certified cheque or bank draft payable to the Société du Plan Nord upon submission of the Registration Form to the Official Representative. The fee is not refundable except in cases where the Government of Québec cancels the Call for projects before the deadline for submitting Proposals.

If a Proponent submits more than one Project, he must pay additional five thousand dollars ($5,000) registration fee for each additional Proposal. However, a Proposal which proposes variant(s) to a Proposed solution in order to compare alternative components into the Proposed solution does not require additional registration fee.

COMMUNICATIONS

Discussions with the Proponents

During the period of elaboration of the Project, if the Proponent requires clarification or information on the contents of the Call for projects document, the Proponent must submit a written request to the Official Representative.

The latter undertakes to answer the questions submitted by a Proponent registered within the meaning of article 5.3, within seven working days, provided that such questions are submitted no later than the date indicated in article 5.2.

The responses to the questions are provided in writing and are transmitted electronically to the person designated by the Proponent. Except in special circumstances, the questions and answers are transmitted to all the Proponents by the Official Representative without identifying the applicant.

No interpretation, revision or other communication from the MERN and the SPN concerning the Call for projects document is valid unless it is transmitted in writing by the Official Representative.

The MERN and the SPN do not assume any responsibility with respect to any information that the Proponent obtains verbally or from another source.

All requests for clarification will be subject to the following process:

a) The MERN and the SPN reserve the right to refuse to respond to any request for clarification bearing in mind fairness to all of the Proponents and the integrity of the selection process.

b) A Proponent can request that the response to a request for clarification be kept confidential if he believes that the contents of such a request contain confidential elements specific to his Proposal. If the MERN and the SPN decide that a question or the response of the MERN and the SPN should be transmitted to all of the Proponents, the Official Representative will allow the applicant to withdraw the question rather than receive a response.

c) Subject to paragraph a) above, any request and any response, including to clarify a question indicated in paragraph b) above can, at the discretion of the MERN and the SPN, be transmitted, in whole or in part, to all of the Proponents. The Official Representative can, in addition, decide to keep the question and the response confidential if, according to the MERN and the SPN’s judgment, it is fair and appropriate to do so.

ADDENDUM

Any modification of the Call for projects document takes the form of an addendum issued by the Official Representative and is an integral part of the Call for projects document. The addenda are transmitted electronically to all of the Proponents registered within the meaning of article 5.3.

CONFIDENTIAL DISCUSSIONS

The MERN and the SPN reserve the right to have confidential discussions with one or more Proponents in order to clarify the elements of their Proposal.

VERIFICATION OF THE CALL FOR PROJECTS DOCUMENT

The Proponent is responsible for becoming acquainted with each section of the Call for projects document in order to fully understanding its meaning and intent.

The Proponent must notify the Official Representative of any divergence, contradiction or omission that he could notice in the Call for projects document and, where warranted, obtain any interpretation from the Official Representative.

He may also make a request for clarification concerning the Call for Proposals or a request for the postponement of the date of submission of the Proposal, if he can justify that the time prescribed to produce the requested documents is insufficient. These requests must be received before the date set out in article 5.2, item 1.4. The Official Representative undertakes to study any request and to send to the Proponents a written notice within ten (10) days of receipt.

If the Official Representative is of the opinion that it is necessary to modify the Call for projects document, the modifications will take the form of an addendum issued by the Official Representative. If an addendum is likely to affect the cost or the preparation time of the Proposal, the addendum will be issued ten (10) days prior to the deadline for submitting Proposals. If it is impossible to abide by this deadline, the deadline for receiving Proposals will be postponed by as many days as necessary to allow compliance with the minimal time limit.

THE PROPOSAL

Signature

If the Proponent is a legal entity, the Proposal must be signed by a person duly authorized to do so.

If the Proponent is a corporation or a joint venture, the Proposal must be signed by each of the partners or a person duly authorized by the corporation or the joint

venture to do so. The proxy in favour of each of the signatories must be appended to the Proposal.

Period of validity of the Proposal

The conditions of the Proponent’s Proposal must be valid for a period of one hundred eighty (180) calendar days starting from the submission date for the Proposals. All data and information as well as the prices contained in the Proposal will remain fixed, irrevocable and applicable until the expiry of this period or the date of signing of the Final agreement between the Retained proponent(s) and the Government of Québec, depending on which occurs first.

Attestation respecting the Proponent’s integrity

The Proponent must append to its Proposal the “Attestation relative à la probité du Proposant” form, appended in Appendix III, duly completed and signed.

Attestation of the Agence du revenu du Québec

A Proponent that maintains an establishment in Québec must append to its Proposal an attestation issued by the Agence du revenu du Québec, called the “Attestation de Revenu Québec”16. When a Proposal is submitted by a joint venture, each entity therein must submit the “Attestation de Revenu Québec”.

A Proponent that does not maintain an establishment in Québec or permanently engage there in its activities must complete and sign the “Absence d’établissement au Québec” form, appended in Appendix IV.

Declarations concerning lobbying activities

The Proponent must append to its Proposal the “Déclaration concernant les activités de lobbyisme exercées auprès de tous représentants gouvernementaux”17, appended in Appendix V.

Declaration of conflict of interest

If, among the Members or main subcontractors of the Proponent, a person occupying a position in direct relation to the preparation of the Proposal or who

has a financial interests in one of the enterprises that benefit from the Proposal or who is a relative or a relative by marriage (in particular the father, mother, son, daughter, brother, sister, spouse, legal spouse or common-law spouse, sister-in-law, brother-in-law) of an employee of the MERN or the SPN participating in the selection process pertaining to the Call for projects, the Proponent has the obligation to inform the Official Representative accordingly. The MERN and the SPN may, at their sole discretion, issue a directive indicating to the Proponent how to remedy such a situation.

FINANCIAL GUARANTEES

Agreement in principle

When the Agreement in principle is signed with one or more Proponents, each of them will have to provide a financial guarantee of one hundred thousand dollars ($100,000) with a view to confirming the commitment of the Proponent(s) to implement the Proposed solution according to the conditions of the Agreement in principle. Such a financial guarantee must take the form of an irrevocable letter of credit issued by a recognized financial institution in the form indicated in Appendix VI and must be valid at least until:

the date of signing the Final agreement; or

the date on which the Government indicates in writing that it has signed a Final agreement with another Proponent and that it no longer wants to sign the Final agreement with the Proponent;

the date on which the government indicates in writing that it is no longer interested in signing a Final agreement with any Proponent or that the selection process has ended.

Final agreement

When the Agreement in principle is signed with the Proponent(s), a financial guarantee of five hundred thousand dollars ($500,000) must be submitted by the signatory Proponent(s) with a view to confirming the commitment of the Proponent(s) to implement the Proposed solution according to the conditions of the Final agreement. Such a financial guarantee must take the form of an irrevocable letter of credit issued by a recognized financial institution, the model of which is appended in Appendix VI, and must be valid at least until the date on which the expenses incurred by the Proponent to implement its solution are three (3) times greater than the amount of the financial guarantee.

SUBMISSION OF THE PROPOSALS

Date and place

The Proponent must submit its Proposal at the office of the Official Representative whose address is indicated in article 5.3, before 4 PM, Québec City time, on the date indicated in article 5.2, item 1.5.

Instructions

The presentation of the documentation and the information provided must comply with the directives in the Call for projects, in particular those specified in sections 4 and 5.

Each box or envelope containing the information and documentation required for the Proposal must bear the name, exact address of the Proponent, the number of the Call for projects and the reference, “CONFIDENTIAL PROPOSAL.”

The Proponent must submit a signed printed original copy and two full electronic copies (USB key) using version 2010 (or earlier) of Microsoft Office and version XI of Adobe Reader (or earlier version). All electronic documents must be easily printable.

WITHDRAWAL OF A PROPOSAL

The Proponent may at any time withdraw its Proposal in person or by registered letter before the deadline set for the receipt of Proposals without thereby relinquishing its right to submit a new one.

In cases where the Proponent decides to withdraw its offer after the deadline for the submission of Proposals, the Official Representative reserves the right, in addition to its other rights and without prejudice to its other recourse, to reject some or all of the Proposals submitted by the Proponent, its affiliated companies or its partners, as the case may be.

OPENING OF PROPOSALS

The opening of Proposals will take place on the date indicated in article 5.2 at the office of the Official Representative. It is not public.

The Official Representative will disclose publicly the quantity of Proposals received.

EVALUATION COMMITTEE

An evaluation committee mainly comprising representatives of government departments and public and parapublic bodies will evaluate the Proposals according to the evaluation criteria in section 3.

PHYSICAL PROPERTY

The Proposals submitted and the attendant documents remain the physical property of the MERN and the SPN and will not be returned to the Proponent. Proposals that are received late will be returned to the Proponents.

CONFIDENTIALITY

The MERN and the SPN will share all of the information obtained in conjunction with this Call for projects with the members of the Evaluation Committee.

The Proposal documents submitted by the Proponents will be kept confidential by the MERN, the SPN and the members of the Evaluation Committee.

The MERN and the SPN may use the information in the Proposals in order to make recommendations to the Government of Québec.

CONFIDENTIALITY AGREEMENT

The signature of a confidentiality agreement with the Proponent is provided for subsequently within the process of this Call for projects.

RESERVE

The only commitment of the MERN and the SPN respecting this Call for projects is to analyze the Proposals in order to recommend one or many projects offering the best potential to the government. The decision to support a project can only be taken by the Government of Québec.

WAIVER OF ALL JUDICIAL PROCEEDINGS

The Proponent must assume all costs incurred, whatever their nature, in the context of the preparation of its Proposal, in particular the costs related to all discussions, negotiations or agreements reached or to be reached between the Proponent and the Final users or the local community.

The Proponent releases the MERN and the SPN from any responsibility for any damage howsoever arising from the conditions set by the Final users or by the local community.

The Proponent indemnifies and holds harmless, at its expense, the MERN and the SPN, their directors, senior executives, employees, representatives and assigns, relative to any claim or judicial proceeding stemming from its discussions, negotiations or agreements with the Final users or the local community, and indemnifies them in capital and interest, the indemnity stipulated in the Civil Code of Québec, legal costs and costs determined by a solicitor and client basis, claim expenses and expenses of any other nature, for any conviction pronounced against them.

MISLEADING INFORMATION

Should it be noticed during the Call for projects process that a Proponent has provided erroneous information, falsely presented its financial capacity or omitted to provide relevant information, the MERN and the SPN reserve the right to reject the Proposal(s) submitted by the Proponent.

TRANSMISSION TO THE PROPONENTS OF THE RESULTS

No information on the evaluation of the Proposals will be communicated before the government made its decision.

CONTRACTUAL OBLIGATION PROGRAM (EMPLOYMENT EQUITY)

A Québec Proponent that employs one hundred (100) people or more in Québec and that applies for a contract or a grant of one hundred thousand dollars ($100,000) or more must undertake to establish an affirmative action program in accordance with the Québec Charter of human rights and freedoms.

To prove its commitment to establish such a program, the Proponent must append to his Proposal an “Engagement au programme” (form appended hereto) or, if it has already submitted the form, indicate the official number of the “Attestation d’engagement” it holds or the number of the “Certificat de mérite”, where applicable.

If the Proposal comes from outside Québec but from elsewhere within Canada and the Proponent employs one hundred (100) people or more in Canada and is applying for a contract or a grant of one hundred thousand dollars ($100,000) or more, the Proponent must submit beforehand an attestation according to which it has committed itself to the employment equity program in its province or territory if there is one or, failing that, a federal employment equity program.

GOVERNMENT POLICY RESPECTING THE USE AND QUALITY OF THE FRENCH LANGUAGE IN THE ADMINISTRATION

To comply with a requirement of the government policy respecting the use and quality of the French language in the administration, a Proponent that maintains an

establishment in Québec which, during a period of six (6) months employ fifty (50) or more persons and is subject to the Chapter V of Title II of the Charter (the francization of businesses) must, in order to obtain a contract or a grant, possess one of the following documents issued by the Office québécois de la langue française (OQLF):

a) an attestation of registration issued within less than thirty (30) months for businesses registered with the OQLF prior to October 1, 2002, or within less than eighteen (18) months for businesses registered after October 1, 2002;

b) an attestation of application of a francization program;

c) a francization certificate.

Consequently, any Proponent concerned must provide for its Proposal the document required that confirms compliance with this requirement.

The Proponent whose name appears on the list of service providers that have not complied with the francization process established by the Office québécois de la langue française may not obtain a contract or a grant.
