1 Description of the works

1.1 Executive overview

All Cabling, Stringing, Earthing, Erection of Equipment; Installation of protection and telecoms panels and related works for Nieuwehoop Substation

1.2 Employer’s objectives and purpose of the worksThe Employer (Eskom) is kicking off the development of the Solar Park by constructing a 100 megawatt (MW) Concentrating Solar Power (CSP) plant at the Solar Park near Upington in the Northern Cape Province. This employs an array of mirrors controlled by tracking systems to focus a large area of sunlight into a small beam. The resulting heat is used to generate electricity. CSP also has the backing of the World Bank, which views it as the only zero-emission technology that could potentially rival coal-fired power. Eskom received a positive Record of Decision (RoD), approving a 100MW CSP facility for this project in August 2007. The Department of Energy is busy negotiating with several Independent Power Producers (IPPs) to construct solar plants at the Solar Park in an attempt to source sufficient electricity to make up the 5 000 MW planned for the Solar Park. These solar plants will utilise a variety of technologies including CSP solutions and concentrated photovoltaic technology (CPVT). The electricity generated at the Upington Solar Park (by IPP’s and Eskom) will need to be integrated into the National Grid. The purpose of this Solar Park Integration Project is to address the major infrastructural investment that Eskom will need to make in order to tie the Upington Solar Park into the National Grid. The proposed Solar Park Integration Project entails the construction of a substation at the Upington Solar Park, a 90km 400kV transmission lines to NIEUWEHOOP SS and UPINGTON MTS to feed the electricity into Eskom’s National Grid as well as the construction of a number of 132kV power lines inter-linking the IPP solar plants with the Eskom Grid and distributing the power generated to Upington. For the purposes of this contract, construction will be carried out at the new UPINGTON MTS and NIEUWEHOOP SS.

2 Management and start up.

Records of these meetings shall be submitted to the Project Manager by the person convening the meeting within five days of the meeting.

All meetings shall be recorded using minutes or a register prepared and circulated by the person who convened the meeting. Such minutes or register shall not be used for the purpose of confirming actions or instructions under the contract as these shall be done separately by the person identified in the conditions of contract to carry out such actions or instructions.

2.2.3 Daily Site DiariesThis is a suitable carbon copy book, size A4, with two detachable sheets for a page per day where all events affecting execution of the works, such as arrivals of plans, breakdown of Equipment, weather conditions etc., are entered. The Contractor keeps these records and submits copies of these records to the Supervisor on a weekly basis in the form of these daily site diaries and shall contain, but not limited to the following information:

These daily site diaries may be used to establish the validity of claims for Compensation Events.

2.3 Health and safety risk managementThe Contractor shall comply with the health and safety requirements contained in (Form 74 – SHE Specification). The Contractor shall also ensure and allow for in his pricing structure that all Personal Protective Equipment (PPE) issued to his employees are in accordance with the Employer’s Personal Protective Equipment Specification (240-44175132).

In addition to the above, the following shall apply:During construction, all workers on structures shall use the following:

Full body harnesses

Double Lanyards

Double climbing hooks, alternatively fall arrest system approved by the Employer.

The fall arrest system is to be installed and used prior to any erection, dressing or stringing operations.

When working on towers, only head protecting helmets that conform to Standard Reference Number EN 12492:2000 - Mountaineering equipment - Helmets for mountaineers - or EN 397:2000 Industrial Safety Helmets are acceptable.  In addition, the requirements of SABS 0333:1999 part 3 and SABS 1833:1999 shall apply.

The Contractor shall supply his Health and Safety Plan in accordance with the Occupational Health and Safety Act and the Construction Regulations prior to the commencement of work on Site.

The Contractor shall supply the Project Manager with a monthly safety report indicating the total number of employees on site, the number of hours worked, the number of hours lost due to injury and details of any incidents/accidents.

Minutes of Safety Meetings are forwarded to the Project Manager.Reporting of incidents shall be in accordance with Employer’s procedure.

Termination due to Non Compliance.The Employer reserves the right to terminate the contract in the event that the Contractor is found to be consistently non-compliant to any SHEQ related issue.

Penalty for Health and Safety statistics

Should the LTIR at any stage during the contract exceed the Employer’s target of 0,4 a penalty of R100,000.00 will be imposed by the Employer. This penalty will be refunded in the event that the LTIR drops below 0,4 at contract completion.

Penalties Health and Safety violations

The following penalties will apply for Health and Safety violations and are non – refundable:

The Employer’s Life Saving rules violation (1st Violation): R5, 000.00 per event, payable by the Contractor.

The Employer’s Life Saving rules violation (2nd Violation): Removal of repeat offender from Site and R10, 000.00 payable by the Contractor.

Risk assessment and / or method statement not in place or available at activity: R10, 000.00 per event

Non-compliance to Legislation: R10, 000.00 per event

Penalties for Sub – Contractor management Sub-contractors are to be managed in accordance with the requirements of the Employer’s

SHE Specification (NFM 74). Failure to comply will result in a fine of R10, 000.00 per non-compliance.

All the above penalties will be implemented by the Project Manager at his discretion after all necessary investigation has been finalised.

2.4 Environmental constraints and managementThe Contractor shall comply with the environmental criteria and constraints stated in the Employer’s SHE Specification (NFM 74) as well as in the EMP.

The following penalties will apply for Environmental non-compliance and are non-refundable:

Penalties for Environmental related issues Legal contravention and non-compliance: R20, 000.00 per event.

The Contractor shall supply the Project Manager with a monthly waste disposal report indicating the type, total mass of waste disposed of.

2.5 Quality assurance requirementsThe Contractor shall comply with the Employer’s quality management criteria and constraints stated in (PDPMAN-SP-28).

The Contractor shall also comply with the quality management criteria and constraints as stated in the South African National Standards (SANS 2001 and all other SANS standards being referred to).

The following penalties will apply for Quality and are non – refundable:

Penalties for Quality related issues

NCR’s not closed out satisfactorily within 30 days: R10, 000.00 per event.

In addition to the above, the following shall apply:

The Contractor implements and maintains a quality management system in order to ensure compliance with the Works Information and also as a minimum meets the requirements of the ISO 9000 series for quality management systems. In addition, the Contractor is to meet the requirements of “Quality Requirements for the Procurement of Assets, Goods and Services”. In this regard the Supervisor may instruct the Contractor to perform quality inspections prior to his own inspections, or to assist in inspections.

The Contractor ensures that his staff and sub-contractors are conversant with the content of the scope of work, quality control plans and work instructions.

The involvement of the Contractor's Appointed Inspection Authority (AIA) is a requirement to ensure that all the conditions of the code are met, but this does not absolve the Contractor from any of his responsibilities for quality.

The Contractor compiles, in conjunction with the Project Manager and his AIA, a product inspection and test plan. This document shows at which stages during the contract the AIA is required, and what types of inspection, testing, witnessing etc. are carried out to ensure that the requirements of the works information are met.

The Contractor ensures that the works is carried out in accordance with the inspection and test plans, acceptance test procedures and other specifications in the Works Information.

The Contractor ensures that all specifications and requirements are communicated to the relevant parties in his organisation. Copies of all relevant specifications and drawings must be available on Site.

All documentation has a clearly stated revision number and previously similar documentation is revoked.

Any quality-related problems/issues are to be reported to the Supervisor immediately and resolved as soon as possible.

All completed work is signed-off on inspection and test plans and control sheets on a daily basis and all the relevant signatures are on the documentation. A weekly status report of completed work/activities is made available to the Project Manager, if required.

The Contractor ensures that his staff and sub-contractors are conversant with the content of the Works Information, quality control plans and work instructions.

2.6 Programming constraints The Contractor must allow for 10 days of rain above the average rain fall (and the effects of rain) on the critical path of all foundation activities. Allow a further 10 days for rain above the average rain fall (and the effects of rain) on the critical path of the structural steel assembly and erection activities. Lastly, allow a further 10 days for rain above the average rain fall (and the effects of rain) on the critical path of all other construction activities.

The Contractor shall allow for and schedule at least one (1) Work Stoppage per month for the entire duration of the contract. These work stoppages shall be dedicated to all Health, Safety and Environmental topics. The Contractor shall utilize this day for, but not limited to: Awareness training Addressing all housekeeping issues Vehicle safety inspection checks Safety inspection checks on all tools, equipment, etc. The scheduling of these work stoppages shall not impact on the Contractors daily morning health, safety and environmental discussions and inspections which should continue unabated.

The programme is to be submitted for Acceptance in accordance with Core Clause 31 in the Engineering and Construction Contract, in terms of which resources to complete each activity must be clearly identified. The programme is to be submitted within two weeks of the starting date. It is suggested that Gantt or bar chart formats be used for project planning, while progress graphs/schedules be submitted at bi-weekly project meetings to monitor progress.

The programme is to include all the requirements of Clause 31.2 of the Engineering and Construction Contract.

The Contractor shall take note that should the Contractor fail to provide the Project Manager with regular updates on progress; the Project Manager will appoint his own scheduler/planner who will conduct this activity which the Contractor will be responsible for carrying the cost at a rate set by the Employer.

ProgressThe Contractor monitors progress weekly in conjunction with the Supervisor. A weekly progress report is to be submitted to the Project Manager every Thursday.

The Contractor submits his record of Work Done to Date (verified by the Supervisor) to the Project Manager on the fifteenth (15th) of each month. (The application is to have the same format as the relevant bill of quantities, and show present, previous and total quantities to date).

2.7 Contractor’s management, supervision and key peopleThe Contractor shall submit an organizational structure showing his human recourses and their lines of authority/communication.

The Contractor shall provide experienced and competent personnel in the following key positions:

Contracts Manager/sCompetency level: Electrical Engineering/Construction Management/Surveying/Quantity Surveying.

Site Manager/AgentCompetency level: Electrical Engineering/Construction management/Surveying/Quantity Surveying or a minimum of 10 years relevant construction experience.

SupervisorsCompetency level: As specified in Form 74 (SHE Specification).

The Contractor shall conduct his own compliance assessment on all his subcontractors prior to giving them access to Site, in order to determine whether they comply with the Employer’s and all other statutory requirements. These assessments shall be made available to the Project Manager prior to the subcontractors being allowed on Site. All subcontractors to the Contractor who will be performing electrical installations such as the installation of the Non-Lethal Fence shall be registered with the Electrical Contracting Board of South Africa, proof of which shall be made available to the Project Manager upon request.

3.5.2 Limitations on subcontractingThe Contractor shall not subcontract more than twenty-five percent (25%) of the whole of the contract.

5 ConstructionThe Contractor shall comply with all the requirements of the Employer’s SHE specification, RoD, EMP and all relevant statutory requirements.

5.1 Preliminary and General5.1.1 Site Establishment

The Contractor shall ensure that his method statement for establishing Site is submitted to the Project Manager at least two (2) weeks prior to him commencing with any establishing activities on Site.

5.1.2 Site Access and Security Control The Contractor shall upon contract award submit all his site specific Safety, Health, Hygiene, Environmental and Quality plans to the Project Manager for review and acceptance purposes. The Employer will only allow access to Site once the Project Manager has accepted the Contractor’s site specific Safety, Health, Hygiene, Environmental and Quality plans. It is thus the Contractor’s responsibility to ensure that these site specific plans are submitted to the Project Manager as early as possible once the contract has been awarded.

It is important to note that authorization shall be obtained from the Northern Cape Grid HV Plant Manager by the Contractor before access will be granted, therefore the Contractor shall prior to commencement on Site forward all ORHVS (32-846), Fire warden and First aid certificates of all proposed responsible persons to the Northern Cape Grid HV Plant Manager for authorization. Once authorization has been obtained, only then will the Contractor be granted access to Site.

Where work is required in live (restricted, prohibited or live chambers) HV Yards the Contractor shall adhere to Eskom’s Operating Regulations for High Voltage Systems (ORHVS). The Contractors personnel or proposed responsible persons will be expected to have completed the necessary ORHVS modules in order to be issued with a permit to work in these yards. The Contractor shall have a minimum of at least two (2) ORHVS authorized responsible persons employed on Site for the entire duration of the contract.

5.1.3 People restrictions on Site; hours of work, conduct and recordsWorking hours are: 07h00 to 17h00.

5.1.4 Basic conditions of employment will be strictly adhered to – a forty-five (45) hour week will apply, with a maximum of ten (10) hours overtime.

5.1.5 Health and Safety Facilities on Site The Contractor shall comply with all the requirements of the Employer’s SHE specification (NFM 74), processes and procedures to which it makes reference to and all other relevant statutory requirements.

5.1.6 Environmental controls, fauna & flora, dealing with objects of historical interest The Contractor shall comply with all the requirements of the Employer’s EMP, processes and procedures to which it makes reference to and all other statutory requirements.

5.1.7 Site Services and Facilities Provided by the Contractor for the Employers useThe Contractor is to provide the following items to facilitate the Supervisor and other Employer staff for project administration within two (2) weeks of contract award:

a) Printing, faxing, scanning, wireless internet facilities and stationary for a maximum of six (6) people for the entire duration of the contract.

b) Cleaning services for the entire duration of the contract.c) The Contractor will be responsible for connecting the Employers site offices with

water, sewer, including the installation of prefabricated sewer tanks and electrical connections and also maintain these services for the entire duration of the contract.

d) Weather station to measure rainfall, temperature and wind speeds. It must be equipped with a data logger for storage and data must be downloadable to a PC

The Contractor shall provide sanitary amenities, first aid and firefighting facilities as required by the Occupational Health and Safety Act and all other items as specified by the Employer’s SHE Specification (NFM 74) for the use by Employer appointed staff.

5.1.8 Power Supply & Other ServicesThe Contractor shall make all his own arrangements concerning the supply of electrical power and all other services. No direct payment will be made for the provision of such services. The cost thereof shall be deemed to be included in the rates and amounts tendered for the various items of work for which these services are required.

5.1.9 Camp SiteThe establishing of a camp site (site accommodation) will not be allowed, thus the contractor may not house any employees other than the security guards on the site. The Contractor should make his own arrangement for accommodating his employees in the area.

5.1.10 Site SecurityThe Employer will be appointing security guarding services for the Site. However, the Contractor might have to appoint additional security guarding services and if so agreed with the Project Manager the Contractor shall ensure that the security services will comply with the following specifications: PDPMAN-SP-30

5.1.11 Community Liaison OfficerThe Contractor shall appoint a Community Liaison Officer (CLO) from the local community, after the Ward Councillor and Ward Committee have identified a person suitable for this position.The Community Liaison Officer shall perform the following duties: Meet regularly with Ward Councillor, ward committee and the community; Attend and report at site meetings; Coordinate community activities with construction works; Arrange special meetings; Interact with the Contractor daily Facilitate in resolving community disputes; Manage the labour desk

- Coordinate local labour matters,- Give feedback to the community on local labour matters,- Recruit local labour and local entrepreneurs,- Keep record of the wages and labour force,- Facilitate in resolving labour disputes.

5.1.12 De-Establishment, Rehabilitation and LandscapingThe Contractor shall within fourteen (14) calendar days after Completion, completely remove from Site all his Plant, Materials, Equipment, stores and any other assets belonging to the Contractor and shall leave the Site in a tidy and rehabilitated condition to the satisfaction of the Project Manager.

All areas on Site affected by construction activities shall be rehabilitated. The Contractor shall cover the entire areas to be rehabilitated with at least seventy-five (75) millimetres of topsoil previously conserved for later reuse. The Contractor shall also plant the following vegetation after topsoiling has been done; on embankments, V-drains and all other areas affected by construction activities: Indigenous Grass such as Digitaria eriantha (smuts finger grass) or Chloris gyana

(Rhodes grass) and/or Portulacaria afra (Spekboom). Other vegetation as specified in the EMPOn completion of planting, the planted area shall be well watered and not allowed to dry out by the Contractor for the entire duration of the contract.

The Contractor shall ensure that all building rubble, debris, etc. is removed from Site and disposed at a registered landfill site. Small remaining soil heaps must be shaped in such a way as for it to blend in with the surrounding natural ground level.

5.2 Temporary works, Site Services & Construction Constraints5.2.1 Employer’s Laydown/Equipment Storage Area

The Contractor shall provide a laydown area for the Employer’s electrical equipment to be neatly stored in. The laydown area shall have a minimum area of 2 500m2 which shall be fenced off completely with at least two (2), 6m wide double-leaf access gates. The fence shall be constructed all in accordance with drawing 0.54/4963 sheets 1-5. The entire laydown area shall also be covered with a 50mm thick layer of 26, 5mm nominal diameter yard stone treated with approved herbicide. The Contractor shall also provide two (2) pad locks with keys handed over to the Supervisor.

5.2.2 Height Restriction StructuresWhenever overhead lines or conductor are present on Site, the Contractor shall install temporary height restriction structures (wooden poles) to ensure that no vehicle, construction plant, etc. entering these areas will encroach the safe clearance distances of these overhead lines or conductor.

5.2.3 Cooperating with and Obtaining Acceptance of OthersDuring the course of the contract, Others (departments of the Employer and other contractors) may be working in the general area surrounding the working areas. The Contractor must make allowance for the necessity to interface with the activities of Others, and to allow for the safe access and working conditions. The success of the project depends on the effective co-operation of all contractors on site, and the Contractor, if necessary, must discuss any changes to the Accepted Programme on a day to day basis with the Project Manager to ensure effective co-ordination.

5.2.4 Contractor’s EquipmentRecords are to be kept of Equipment on Site including whether it is owned or hired. This includes any scaffolding, rigs, heavy lifts and cranes. The Contractor shall inform the Project Manager prior to the removal of any Equipment during the contract period from the Working Areas.

5.3 Completion, testing, commissioning and correction of Defects5.3.1 Work to be done by the Completion Date

On or before the Completion Date the Contractor shall have done everything required to provide the works except for the work listed below which may be done after the Completion Date but in any case before the dates stated. The Project Manager cannot certify Completion until all the work except that listed below has been done and is also free of Defects which would have, in his opinion, prevented the Employer from using the works and Others from doing their work.
