Mississippi Canyon Area, through Block 41 in Mississippi Canyon Area and Blocks 1003, 959 to A-Marlin TLP in Block 915. Viosca Knoll Area; one 5 5/8-inch Electro/Hydraulic Umbilical (SN 16086), 2.52 miles in length, from D5 Well in Block 129, to Block 85, D6 Well, all in Mississippi Canyon Area; and one electro/hydraulic umbilical (SN 19420), 15.20 miles (80,250 feet) in length from Platform A in Block 915. through Blocks 959. and 1003 in Viosca Knoll Area, through Blocks 41, 40, and 84 to a SUTA in Block 85, all in Mississippi Canyon area.

This assignment is subject to the Outer Continental Shelf Lands Act o f August 7, 1953, 67 Stat. 462; 43 U.S.C. 1331 etseq., as amended (the "Ac t " ) , and Assignee(s) is subject to, and must fully comply with, all applicable regulations now or to be issued under the Act. Notwithstanding any agreement between the Assignor(s) and Assignee(s), the parties' liability to the Bureau ofSafety and Environmental Enforcement is governed by 30 CFR 250.

This Assignment of Federal OCS Pipeline Right-of-Way Grant wi l l be made effective between the parties hereto as o f August 1.2016 , upon approval by the Bureau ofSafety and Environmental Enforcement, United States Department o f the

Interior.

This instrument may be executed in any number of counterparts, each o f which wi l l be deemed an original instrument, but all o f which together wi l l constitute but one and the same instrument provided. However, this instrument and any other counterpart hereof, wi l l not be binding unless and until executed by all o f the parties, and wi l l not be accepted by the Bureau ofSafety and Environmental Enforcement unless all counterparts are filed simultaneously.
