There is no doubt that in this media driven age that leadership can sometimes be mixed up with charisma. We tend to judge a politician’s leadership skills by how they appear on TV rather than actual policies or actions. Therefore those who may not feel particularly charismatic can begin to doubt their leadership aspirations.

The truth is of course that the foundation for leadership is based first on real knowledge of the business or profession in which we seek to lead others and secondly a desire to accept the responsibilities of leading others.

As for providing leadership – it is not about charisma but rather a series of learnable skills. Indeed experience with coaching many business leaders and empirical research shows that there five key skills that lead to the development of lasting leadership qualities.

Good Leaders Exhibit Strong Characters Of crucial importance to your team is their individual importance to you and your attitude to developing and testing their skills. In short they are asking you to create challenges and opportunities for them as well as providing useful critiques of their work. Indeed it is all about helping them to perform by improving either the environment, systems or strategies of the team overall.

This is where character rather than charisma becomes very clear. Your team will judge you not on a wonderful speech - but rather on your everyday performance and the example you set for them. If you are transparent, treat others with respect, constantly search for improvement from yourself and your team, are passionate about your clients and your team – then you will be leading by example - delivering what you are asking them to deliver.

Relationship BuildingHere you need to work with individuals and your team as a whole. Communication is a must. Issues such as how their team performance contributes to the company overall should be understood by the team as a whole. You should be seeking ideas from them and when relevant using them. Giving credit to the team or team member who thought up the idea is critical. Be quick to let incompetent people go if you are satisfied that it is their incompetence not that of the team or the company which is at fault. The old saying about bad apples in barrels is quite true. Don’t be seen to reward incompetence. Look for ways to celebrate with your team – rather than with individuals. At the end of the day – it is the team that you want to deliver. Lastly be accessible I know one senior chairman in the communication industry who always tried to answer his own phone. Rather than be inundated by trivia his team appreciated his availability and used it wisely.

Leading Change“If it’s not broke don’t fix” it is in many cases a truism of business. However if it is ‘broke’ then it is time to demonstrate your leadership by looking to change the way your company or your team does business. Chances are your team will feel threatened by the difficult operating climate and even more threatened when you set out to make changes. It is therefore critical to set out clearly why changes are required and co-opt the support of the team to implement them. Your relationship with the team will now be critical. Set objectives involve the team in your strategies and keep them abreast of the success resulting from change.

Focus on ResultsUltimately good leadership is judged by positive results. And if you are to accept the accolades and rewards for good leadership then you must realise that your individual performance is a key ingredient of leadership. Here are a few questions you should be asking yourself on a regular basis:

• What stretch goals need to be set for my company, my team and for me?

• Do I constantly focus on the goals we set or do I drift off and think only of today’s operational jobs?

• Do I give feedback to my team on their performance?

• Have I provided a clears vision for my team?

• Do I give strong consideration to the needs of my clients with appropriate customer service standards?

• How can I improve?

Personal Skills Jack Nicklaus once said that many golfers failed because they tried shots that they were not capable of completing successfully. He was saying that we need to understand our level of skill and then if we want to improve – set about improving those skills.

Just as leading sports stars have to constantly set new goals and develop new skills via coaching, applying psychology, constant practise – so too, today’s business leaders need to constantly improve.

You should consider attending professional workshops, reading journals in your industry and associated industries, seek business coaching and mentoring and learn to use technology more effectively.

Seek inspiration from those around you. Talk to your coach about setting personal goals, talk to and copy other leaders or people you respect. Most of all accept that the hardest person to change is ourselves. Many who are happy to change others do not like change being instituted in relation to their own roles. So accept the challenge of change and consider:

• New ways to improve productivity

• New approaches to client service and marketing

• New systems and tools

• New ways to train and develop your team.

In short, step outside your comfort zone. With each step you will grow as a leader.

Be An Effective LeaderWe began by suggesting that charisma is often confused with leadership. It is true that many great leaders have charisma. Some leaders are shaped by circumstances such as a family with a history of leaders in business or the services. However for 95% of current and future leaders the areas we have outlined make up a manual for learning great leadership skills.

This article is really about improving your game. Lifting your skills so that you will be a better leader capable of helping others also improve both as an individuals and team members.

It is a pity when there are mechanisms in place to resolve lease rent disputes that are carefully negotiated between the parties, but fail due to a lack of competence, due care or a “culture” of so-called experts to do their work properly.

INTRODUCTION

A process evolved over many years which culminated in a House of Lords decision to appoint a valuer as an expert to settle disputes by expert determination.

The decision is covered in ‘The Law Affecting Rent Review Rental Valuations’ by Alan Hyam Barrister-at-law. Page 1 refers to United Scientific Holdings Ltd v Burnley Borough Council [1978] AC 904.

Let us think about it. There is no other process to bring about an immediate adjustment to an expense provided that it is done correctly to current market rent. Rent can rise and fall based on proper analysis of the facts.

The International Valuation Standards (‘IVS’) defines Market Rent as “The estimated amount for which an interest in real property should be leased on the valuation date between a willing lessor and a willing lessee on appropriate lease terms in an arm’s length transaction, after proper marketing and where the parties had each acted knowledgeably, prudently and without compulsion” Gilbert (1995).

This definition fails for retail property as the permitted use for comparison purposes is vital. State Tenancy Laws (abbreviated) make up for this and require a valuer to:

Make a “determination of the current market rent, the specialist retail valuer must determine the rent …. would reasonably be expected to be paid for the shop if…. unoccupied and offered for leasing for the use for which the shop may be used under the lease or a substantially similar use; ……… gross rent, less the lessor’s outgoings………… on an effective rent basis (adjusted for incentives); and………. not have regard for the value of the goodwill of the lessee’s business (super-profit) or the lessee’s fixtures and fittings in the retail shop; and must have regard to terms and conditions of the lease (basic common sense; rewritten back into the Act so that SRVs would consider it); and submissions from the lessor and lessee and other matters prescribed in regulation..”

TWO PRIMARY METHODS COVERED IN TWO PAPERS PRESENTED BY THE AUTHOR

There are two Primary Methods:

a. Comparison Method (one seeks to gather a body of like evidence for comparison purposes); and

b. Profits Method.

We use both methods and several other checks and balances (provided information is available) which often cross over to “lock on” to a more accurate figure.

The first method will always almost be subjective which can be accidental and or engineered, the second method if done correctly is far more accurate as it has specific trading data for a business.

EXAMPLES OF VALUERS FAILING TO DETERMINE CURRENT MARKET RENT

The article is limited to 750 words so herewith abbreviated examples.

Specialist Retail Valuer A: SRV A works for a Real Estate firm. This must pose the problem that there could be a high probability of a conflicts of interest. Valuers should not work in Real Estate Offices.

Firm has been involved in selling “investment” property with accountants to Self-Managed Superfunds. It appears lack of due diligence has not been conducted on leases and or quality of rental income streams. Determinations of current market rent downwards (reasons warranted) has been challenged and or attempted to be thwarted by SRVs working for Real Estate firm.

SRV B: Quality of SRVs ability to analyse evidence, use of evidence, knowledge of basic retail KPIs, ability to link evidence to a lease (the rent), bona fides for being independent had come under the spotlight. Reports are poorly written, structured, reader could not follow reasoning and logic. Following determination SRV admitted to Lessee he had single bit of “evidence”; it was an “Offer to Lease” (no probability of contract) for quite different permitted use, notwithstanding the fact that the probability of being incorrect is mathematically and statistically very high. Lease never came into existence and an “engineered answer” suited SRVs case. QCAT overturned determination.

SRV C: Took highest rent and lowest and split difference (was for an “Offer to Lease” i.e. no probability of “offer and acceptance”) and supplanted into shop in question. We were instructed to “peer review” determination for possible litigation. SRVs “determination” came within “reasonable limits”, but mathematically and statistically could easily have been incorrect.

SRV D: SRV used three bits of “evidence” to make a determination when the parties were around say $180,000 off $250,000 appart. This opens up door both statistically and mathematically to be challenged from both parties as being the “reasonable rent”.

CONCLUSIONA lease rental determination based on FACTs and properly carried out by a capable competent determining valuer is the quickest and easiest way for rentals to be adjusted (up or down).

Even if a competent determining valuer charged $15,000 per determination, amortised over five or eight years, fees are negligible.

Our firm recently adjusted a pharmacy lease back from $375,000 per annum to $171,000. It may seem enormous, but based on FACTs we did this in accordance to the necessary legislation. The “evidence” pointed to rental range of $110,000 to $210,000 say. Cross-referenced and checked back via several other methods including industry benchmarks. Benefits of determination easily outweigh downside. Eg. lending on the inflated value of an asset; prospective investor purchasing same or the shop falling vacant soon after purchasing the asset.

Two SRVs made submissions. One for Lessor and Valuer B above for Lessee. Unbelievably both used very dated or non-comparable or hardly useful evidence. The suggested range was unbelievable. $225,000 to $384,000 (even outside our determination range). Backing our determination was a lease for a better site (in every way) negotiated for the same permitted use 600.0 metres down the road for a similar lease at $160,000 per annum within three months of doing determination.

It takes an enormous amount of time effort energy analysis due diligence to get these things right.

When the decision is made to sell your business it is as important to understand the capital gains tax implications as it is to ensure that you maximise your selling price. There are a number of concessions within the Australian tax law that if applied correctly can result in a small business owner walking away with a significantly reduced tax bill. The following summary steps you through the process.

STEP 1.The first step is to work out if you meet the basic conditions. Generally you may be eligible to apply the concessions if:-

1. You are a small business entity (i.e. you carry on a business and have a turnover of less than $2 million); or

2. Meet the maximum nett asset value test (Your nett worth and that of your associates is less than $6 million).

If you are invested in a number of businesses through various entities, you would need to combine the turnovers of all entities that you control to be able to meet the turnover threshold in test 1.

Once you have determined that you meet the basic conditions, there are four different concessions that you can look to apply. They are as follows:-

1. The 15 year exemption;

2. The small business 50% active asset reduction;

3. The small business retirement exemption;

4. The small business rollover.

STEP 2.The 15 year exemption

This is the most attractive of the exemptions and allows you to disregard any capital gain from the business sale if you have held the business for more than 15 years continuously. To qualify for the exemption you would need to be over 55 years of age with the event being connected to your retirement or you are permanently incapacitated. If you are carrying any capital losses these do not need to be utilised before applying the exemption and can be held on to for application against other gains.

STEP 3. If you do not meet the requirements of the 15 year exemption and you have capital losses carrying forward from previous years or have incurred any in the present year these should be applied prior to applying any further concessions.

STEP 4. If you have been an owner of the business for more than 1 year you will qualify for the capital gains general discount which allows you to discount any gain by 50%.

STEP 5. The 50% active asset reduction

From here you can choose to apply any of the concessions you qualify for individually or together. The 50% active asset reduction allows you to reduce any capital gain by a further 50% allowing you to effectively reduce the taxable gain from the sale of a business to only 25% of the gain if no other concessions apply.

An active asset is an asset that you own and is used or held ready for use in the course of carrying on a business and may also include intangible assets such as goodwill.

STEP 6. The small business retirement exemption

Under this exemption a business owner would be able to disregard any capital gain in relation to the sale of a business up to a lifetime limit of $500,000 after applying any reductions/concessions previously discussed. To qualify the taxpayer would need to be either over 55 or if you are under 55 make a payment equal to the exempt amount to a complying superannuation fund or retirement savings account. An election to use this concession needs to be made in writing and importantly, you do not need to stop work to take advantage of this exemption.

STEP 7. The small business rollover

This concession allows you to defer all or part of the gain for 2 years or longer if you invest the proceeds from the business sale into a replacement asset (e.g. a new business or business asset) or you incur expenditure in making capital improvements to an existing asset. If no investment is made by the end of the 2 year period then you will be assessed on the amount of gain that has been deferred.

Having stepped through the process above, a lot of business owners are able to significantly reduce their capital gains tax liability if not to nil. However, this is a complex area of tax law and the discussion here is only to provide you with an insight of what may be able to be achieved with some proper planning. Prior to selling your business, it is advisable that you consult with a tax advisor to understand what the implications are of any sale taking into account your entity structure, age and future plans for working and retirement.

Pre Sale Check List

OneIt is essential that you have at least three years good financials available in a consistent format. It’s a good idea to make sure the financials only contain income and expenses directly related to the business.

TwoPolicies and Procedures: most businesses have some form of policies and procedures manuals, often necessary for compliance regulations. For example in the staff section, an outline of the responsibilities of each job together with the associated Key Performance Indicators will clearly establish what is expected of each staff member and assist in the efficient delivery of customer service.

ThreeKey performance indicators: Financial Accounts are a good start to evaluate the historic performance of the business, KPI’s offer a better insight into business and market trends, for example, in a manufacturing business/leisure business, forward orders/bookings this quarter compared with last year, or for a coffee shop average transaction value/ volume of coffee beans per week, provide these a prospective purchaser with a clearer view of the business and demonstrates good management control.

FourStaff are the lifeblood of every business, staff contracts of employment and wage rates need to be current and fully compliant. Consider who may stay post sale, also where applicable, consider offering an incentive to key staff so they remain post sale, providing continuity and adding value to the business. Consider how you are going to communicate the sale of the business to the staff, this is often overlooked and can derail negotiations.

FiveA comprehensive customer data base is a valuable asset of the business, together with an analysis of your specific market, what are the trends, for your own piece of mind it’s a worthwhile exercise to conduct a SWOT analysis on your own business once a year:

Strengths and Weaknesses are internal to which the business has direct influence and control, for example location, reputation, patents held.

Opportunities and Threats are external, for example, competitors, market trends, pricing, to which a business needs to anticipate and respond to rather than miss the signs and react.

SixIs your business dependent upon suppliers? Are supplier agreements in place? These are critical in some industries, particularly where a business is offered for sale with work in progress.

SevenReview your stock levels, fixed assets, debtors and provisions for long service leave, do they accurately reflect what is recorded on the balance sheet? Redundant stock needs to be disposed of, the values on the asset register must be realistic to current market conditions.
