    1. Executive summary

    Northern NSW Football (NNSWF) has identified the need to establish a football facility,which specifically caters for the requirements of an ever increasing number of identifiedboys and girls engaged within Northern NSW Footballs Talented Player Pathway.

    This is the Business Case prepared by NNSWF to support the development of asignificant football facility located on NSW Crown Land within Speers Point Park,Speers Point. The identified site is currently exclusively managed and utilised byNNSWFs second largest Member Zone, Macquarie Football (MF).

    NNSWFs Board of Directors has determined that the proposed football facility must befinancially self sufficient and therefore not place additional financial pressure ongrassroots participants through increased player registration fees. In response to thisdirection, NNSWFs Management has identified the opportunity to incorporate acommercial 5-a-side football centre within the facility.

    The key objectives of the project include;

    1. provide a legacyfor the sport;2. provide players engaged within NNSWFs and MFs Talented Player Pathway

    with access to facilities, and in particular playing surfaces that are conducive tohigh level skill development;

    3. be profitableand subsequently provide a sustainable revenue stream, which atleast covers the facilitys ongoing maintenance costs;

    4. provide more peoplewith more opportunity to play more football throughout theyear;

    5. provide an administrative basefor NNSWF and MF

    The proposed football facility will incorporate the following infrastructure;

    10, 5-aside synthetic football courts 2 International standard, full size synthetic football pitches A multi-purpose administration building measuring approximately 1500 square

    metres.

    A sealed car park with a minimum of 110 spots

    The key outputs resulting from this Business Case are:

    2. Identifiedsite

    NNSWF, MF and Lake Macquarie City Council (LMCC) have identified a suitable sitewithin Speers Point Park, Speers Point, which is currently managed twelve months ofthe year by Macquarie Football (MF) under delegated authority from LMCC. The site iscurrently utilised exclusively by MF as a training and playing facility for talented girls andboys between the ages of 9 and 14 years enrolled in the MF Academy. The site is notcurrently utilised by MF to host community football competitions.

    A comprehensive and specific population and projection analysis prepared by ADWJohnson Pty Ltd is attached asAppendix II. A brief summary of key points follows;

    The site is a short drive from residential suburbs within Newcastle and Lake

    Macquarie LGAs. There are a total of 70 suburbs within a 10km radius of the

    site.

    There are approximately 210,778 people residing within a 10km radius of the site

    (ABS 2006). Younger age groups are strongly represented in this 10km catchment with 33%

    of the total population in the 0-24 year old age category.

    The area has an age structure bias to younger cohorts within the family formation

    years with 53% of the population aged between 15 and 54 years.

    Population and housing projections made by the NSW Department of Planning

    and Infrastructure suggest a relatively strong growth rate for Newcastle and the

    Lake Macquarie area.

    The site is well located in terms of access and transport networks within Newcastle and

    Lake Macquarie areas. It is situated in close proximity to large residential subdivisions

    of Newcastle and Lake Macquarie that have experienced strong population growth in

    recent years and are expected to continue to grow as new release areas are developed

    and occupied. At present there are more than 210,000 people living within a 10km

    radius of the site, with over 33% of these people under the age of 25 years.

    3. Project objectives

    The objectives driving the development of the proposed football facility are:1. provide a legacyfor the sport;

    2. provide players engaged within NNSWFs and MFs Talented Player Pathway withaccess to facilities, and in particular playing surfaces that are conducive to highlevel ski ll development;

    3. be profitableand subsequently provide a sustainable revenue stream, which at theleast covers the facilitys ongoing maintenance costs;

    4. provide more peoplewith more opportunity to play more football throughout theyear;

    5. pilot a business modelwhich can be executed in appropriate locations throughoutNorthern NSW;

    6. provide an administrative basefor NNSWF and MF;

    7. establish the capacity to host significant football tournamentsand events;

    8. provide an alternative training venuefor the Newcastle Jets A-League, W-Leagueand Youth League Squads;

    9. Provide a base for elite team training camps (e.g. 2015 Asian Cup, AFCChampions League);

    10. Provide a training hubfor referees, coaches, administrators and volunteers;

    11. Provide a meeting placefor stakeholders;

    12. Allow for expansion of competitions which promote sport tourismto the region

    4. Proposed Lease Agreement

    NNSWF seeks a minimum initial lease term of 40 years. The proposed term reflects theestimated investment required to establish the proposed football facility.

    NNSWF proposes to execute a sub lease agreement with MF, which would provide MFwith the following entitlements throughout the term of the lease;

    An office and workstations for MFs administration staff within the administrationbuilding;

    Access to the meeting rooms;

    Utilisation of the common reception area;

    Access to the full size synthetic pitches and amenities for players engaged inMFs High Performance Programs;

    Access to the 5 a-side football centre and full-size synthetic pitches for thepurpose of conducting school development programs and competitions;

    Access to the 5 a-side football centre on Saturday mornings throughout Winter tohost local Small Sided Football hubs on a rotational basis; and

    Access to storage facilities

    NNSWF and MF have determined not to include the refurbishment of the existing turfpitch located at the entrance of the site within the scope of the project. MF will retain

    exclusive use of the pitch as a playing facility for their Academy squads.

    5. Background

    5.1. Northern NSW Football Company Profi le

    Northern NSW Football is a full Member Federation of Football Federation Australiarecognised by Local, State and Federal Government agencies as the peak bodyresponsible for the growth, development and promotion of the sport of Footballthroughout Northern NSW.

    NNSWF is a not-for-profit Company Limited by Guarantee, which is governed by aBoard comprising six independent, non executive directors. The organisation ismanaged by a Chief Executive Officer, 5 Department Managers, 10 full-time staff and 4casual Community Football Officers who are deployed throughout Regional NorthernNSW.

    NNSWFs Organisational Chart is attached asAppendix III.

    NNSWFs turnover in 2010.11 was approximately $5m, and Total Members Equityexceeds $4.8m.

    5.2. Projects l inks to NNSWFs Strategic Plan 2010-2014

    NNSWFs Strategic Plan 2010-2014 identifies a number of Core Goals that are linked tothe establishment of the proposed football facility including;

    Increased participation by 3% per annum; Fully investigated the viability of a commercial football centre and elite training

    facility; Made a significant contribution to National Teams; Increased the number of active referees by 5% per annum; Developed participation opportunities which extend footballs reach into the

    summer months; and Maintained current strong net asset position

    5.4. Macquarie Football (MF) Company Prof ile

    Macquarie Football is NNSWFs second largest Member Zone comprising 28 clubs and7400 registered players. MF is a not-for-profit Company Limited by Guarantee governedby 6 non-executive directors. The organisation is managed by a full-time OperationsManager and three administration staff.

    MFs turnover in 2010.11 was approximately $1.1m and accumulated Members Equity

    of approximately $1.4m.MFs Annual Financial Statements for year ended 30 September 2011 are attached as

    Appendix V.

    An initial financial assessment is attached as Appendix VI

    5 a-side football also has the potential to assist NNSWF to achieve a number of otherproject objectives including;

    provide a legacyfor the sport; provide more peoplewith more opportunity to play more football throughout the

    year; pilot a business modelwhich can be executed in appropriate locations

    throughout Northern NSW;

    establish the capacity to host significant football tournamentsand events; provide an alternative training venuefor the Newcastle Jets A-League, W-League and Youth League Squads; and

    Allow for expansion of competitions which promote sport tourismto the region

    The rapid rise in the popularity of 5-aside football throughout the United Kingdom andEurope has driven the establishment of more than 100 purpose built 5 a-side footballfacilities in the UK alone. The three primary providers of 5 a-side rebound football in the

    There are also a host of other providers who conduct leagues on suitable multi-purpose

    courts in schools, colleges and universities. The English Football Associationacknowledges that there are currently more people playing 5 a-side football thantraditional 11 a-side football.

    The growth of 5 a-side football in the UK has led to the development of several purposebuilt centres in Australia including;

    6. Scope

    The scope for the establishment of the proposed football facility at Speers Point Park,Speers Point is:

    10, 5-aside FIFA standard synthetic football courts with lights

    2 FIFA standard full size synthetic football pitches with lights and a number ofportable grandstands seating up to 50 spectators

    A multi-purpose administration building measuring approximately 1500 squaremetres, which will house NNSWFs and MFs administration and service theneeds of players and spectators utilising the facility.

    A sealed car park with a minimum of 110 spaces

    7. Relationship to Government Policy

    7.1. Principles of Crown Land Management

    7.1.2. That environmental protection princ iples be observed in relation to themanagement and administration of Crown Land

    In response NNSWF commits to:

    Operation and management of the land consistent with the principles of

    Ecologically Sustainable Development

    Adequate assessment and management of the environmental impacts of

    NNSWF activities on the land

    Integration of NNSWF operations with other public uses of Speers Point Park

    Operation and management of NSSWF activities consistent with any applicable

    Plans of Management for the land.

    Development Application documentation will set out details of this for

    assessment.

    7.1.3.That the natural resources of Crown Land (including water, soil, flora, faunaand scenic quality) be conserved where possib le

    In response NNSWF commits to:

    Ensuring the ongoing protection of significant local natural assets including:

    Lake Macquarie Cockle Creek

    Established parkland trees

    Esplanade Avenue tree planting

    Foreshore remediation planting

    Landscaping within Speers Point Park

    Development Application documentation will set out in detail how existing resources willbe conserved.

    7.1.4. That public use and enjoyment of appropriate Crown Land be encouraged

    The following identified project objectives are consistent with this principle;

    Allow for expansion of competitions which promote sport tourismto the region

    The publics primary access to the proposed football facility will be through the followingcommercial activities;

    Junior and Senior Leagues (based on school terms);

    Casual court hire (including parties and corporate activities);

    School holiday activities; and

    Tournaments (one day and weekends)

    NNSWF and Macquarie Football are also committed to providing the public withopportunities to use the facility at no charge through the following structuredactivities;

    Providing MFs Small Sided Football hubs with access on Saturday morningsthroughout Winter;

    Primary School 5 a-side Gala Days;

    Open days;

    School competitions (Fridays throughout Winter season);

    The facility will also be used by NNSWF and MF to host the following activities;

    Community and Elite coach education courses;

    Match Official accreditation courses;

    Volunteer training courses; and

    Stakeholder meetings

    7.1.5. That, where appropriate, multiple use of Crown Land be encouraged

    The Project Objectives and the specific activities outlined previously in the BusinessCase clearly indicate that the proposed facility will be available to a broad cross sectionof the community.

    It is worth noting that identified site is situated within the Speers Point Park, whichincorporates vast open space and a myriad of public amenities.

    In response NNSWF commits to:

    NNSWF will manage the land for its current and future sporting valuesrecognizing that the land also has broader community values.

    NNSWF commits to maintaining and improving as required the sporting capacity

    of the land and its related infrastructure

    Development Application documentation will set out in detail how care to ensure land

    and resources are managed to ensure perpetuity.

    7.1.7. That Crown Land be occupied, used, sold, leased, licensed or otherwisedealt with in the best interests of the State consistent with the above principles.

    NNSWF is confident that the identified objectives of the proposed project are consistentwith the Principles of Crown Land Management and in the best interests of the State.

    7.2. Local Govt. Act 1993 Core Objectives of Community Land Sportsgrounds& Parks

    7.2.1. Sportsgrounds

    7.2.1.1. To encourage, promote and facilitate recreational pursu its in thecommunity involv ing organised and informal sporting activities and games

    7.2.1.2. To ensure that such activit ies are managed having regard to any adverse

    impact on nearby residences

    NNSWF has identifiedthe following potential negative impacts on nearby residences:

    1. Light spill

    1.1. 5 a-side centre

    The regulations of 5 a-side football require players to keep the ball below the height of1.2m. This restriction enables the installation of 3m light towers, which eliminates thespill from lights impacting nearby residences. It should also be noted that the proposedlocation of the 5 a-side centre is a considerable distance from the nearest residences onthe opposite side of The Esplanade, Speers Point.

    NNSWF anticipates that the installation of state-of-the-art lights that restrict lighting tothe playing field will eliminate any impact on nearby residences. The proposed location

    of the full size fields is a considerable distance from the nearest residences on the otherside of The Esplanade, Speers Point. It should be noted that there is lighting on theexisting fields.

    2. Noise

    NNSWF acknowledges that additional noise will emanate from the proposed facility;however the impact of the additional noise will be minimal given the proximity of thenearest residences, which are located on the opposite side of The Esplanade, SpeersPoint, which is acknowledged as an extremely busy road. NNSWFs financial modelingprojects that the final 5 a-side time slot will conclude at 9.45pm (Monday to Friday).

    NNSWFs proposed layout also maintains the vast majority of trees, which provide anadditional noise buffer.

    3. Traffic

    LMCCs Management has acknowledged that the intersection of Park Road and TheEsplanade, Speers Point is already extremely busy and not coping with the increasedtraffic created by the establishment of the newly constructed Lake Macquarie VarietyPlayground.

    NNSWF proposes that LMCC and NSW Transport, Roads and Maritime Servicesconsider enforcing a no right turn on Park Rd onto the The Esplanade until theintersection is upgraded.

    The scope of this project does not include NNSWF being required to make any financialcontribution towards the upgrading of an intersection, which is already acknowledged asinadequately coping with local traffic.

    It is also worth noting that the majority of the facilities traffic movements will take placeafter 6pm and therefore not clash with the traffic created by the playground.

    4. Proposed Liquor License

    NNSWF acknowledges that there may be sensitivities relating to the provision of alimited liquor license. It should be noted that NNSWF proposes to limit the service ofalcohol on week nights between 6pm and 9.30pm to provide senior league players withthe opportunity to enjoy a drink after their match. This existence of a license would

    9. Technical capabili ty

    NNSWF has engaged ADW Johnson Pty Ltd (ADW) as a consultant throughout the pasttwo years to undertake feasibility studies at the following proposed locations;

    Part Lot 71 DP 1065169, Minmi Rd, Minmi Callaghan College, Kenrick Street, Wallsend Mayfield Sport and Recreation Club Arthur Street, Mayfield

    The feasibility activity undertaken on the previously identified sites has greatly assistedNNSWF to gain a very clear understanding of the imperatives, constraints and risks

    associated with the establishment of the proposed facility.

    NNSWF will also draw upon the experience and expertise of Football FederationVictoria (FFV). FFV has just completed and opened a similar facility comprising of 9, 5a-side football courts, a multi-purpose building and a full size synthetic pitch.

    NNSWF intends to contract ADW to fulfill the following services in relation to theproposed establishment of the described football facility at Speers Point Park, Speers

    Point.9.1. ADW Johnson Pty Ltd Company Profile

    ADW Johnson is a multidiscipline company specializing in Project Management,

    Engineering, Town Planning, Surveying, Social and Economic Impact Analysis. NNSWF

    has engaged ADW Johnson over a long period of time to assist in site identification and

    assessment and will be available to NNSWF to ensure that the project can be

    delivered. It is envisaged that ADW Johnson has already a sound understanding of theoperations of NNSWF and will be able to manage not only the entire planning approvals

    phase but also civil design and oversee the installation of all civil engineering

    components of the project, including stormwater management and any required

    earthworks. ADW Johnson has significant experience in such matters working on large

    development and infrastructure projects throughout the Hunter Valley. Further

    information about ADW Johnson and their capabilities can be found on their website.

    10. Funding

    NNSWF proposes to draw upon the following sources of funding to complete theproject;

    1. NNSWFs Members Equity $4.8m - refer to Appendix IV

    2. MFs Members Equity $796k refer to Appendix V

    3. FIFA Goals Program - The GoalProgram allows member associations (AFC) ofFIFA to receive funding for football development projects that respond to thespecial needs of their national associations (FFA). The Program has to dateprovided support for over 500 development projects across the world, with a totalof USD 200 million having been invested in them.

    In making this contribution to the world of football FIFA has helped and continuesto help build national association headquarters, training academies and artificialand grass pitches. In doing so it has responded to the FIFA Presidents primary

    objective of giving national associations with the least resources theinfrastructures they need to carry out their work.

    For the 2011-2014 cycle, and with the approval of the Congress, FIFAsExecutive Committee has set funding for each Goalproject at USD 500,000. Inaddition each project must be submitted to the GoalBureau for its approval.

    4. NSW State Government The State Governments Plan NSW 2021 specifically

    allocates $47m throughout the next ten years towards community infrastructureprojects to increase participation in sport.

    5. Federal Government Regional Development Australia Fund

    The Federal Government has allocated $1 billion to the RDAF. The Departmentof Regional Australia has released $200m in Round Two to support projectsthroughout regional Australia. NNSWF is well positioned to receive additional

    funding from the Department due to the fact that the project has receivedpreliminary support from the Department through the $140,000 allocated tofeasibility activity. Further information available atwww.regional.gov.au/regional/programs/rdaf.aspx

    12. Financial Analysis

    Preliminary financial modeling indicates that the proposed facility is financially viableand sustainable over the period of the initial proposed lease of 40 years. The followingfactors have been taken into consideration when preparing the Preliminary Feasibility

    Analysis (Appendix VI and XIV)

    12.1. Assumptions12.1.1. Revenue

    The facility will consist of 10, 5-a-side rebound football courts, together with 2, full

    size fields.

    Regarding the 5-a-side courts, the primary revenue streams include playerregistration fees and team competition fees for participation in our leaguecompetitions.

    Our modeling has been based on the following leagues:

    -

    4 x senior leagues consisting of 4x 40 min games per night over 4 nights /week; and- 2 x junior leagues consisting of 2x 40 min games per night over 4 nights /

    week.

    Competition fees from teams to participate in our leagues, together with individualplayer registration fees, represent our primary revenue stream (at around 55% oftotal revenue).

    8 of the 10, 5-a-side rebound football courts will be used to conduct the leagues withthe remaining 2 courts available for casual hire.

    Research obtained by Football Federation Victoria on a study tour of similar facilitiesin the United Kingdom revealed that 5 a-side centres were positioned in locationsthat had the potential to draw upon a minimum population density of approx.150,000 within a 10km radius and that the primary market for leagues is adult malesbetween aged between 24 and 50 years.

    When preparing our income estimates for the leagues, we have adopted aconservative utilisation rate of 60%. NNSWF will continue to monitor the utilization ofFootball Federation Victorias facility and adjust our financial modeling accordingly.

    A 60% utilization rate equates to approx. 1,700 players registering in leagues eachterm Newcastle Football and Macquarie Football currently have in excess of 16 000

    2 x designated 5-a-side courts have been set aside for casual hire at all times. All10 5-a-side courts are available for casual hire on a Friday night and on the

    weekend. Usage of the casual courts has been limited to an average utilisation of25% and includes all forms of casual hire including corporate events, birthdayparties, school groups and so on. Casual hire is not a primary revenue stream(representing approx. 7% of all revenue).

    The 2 x full size synthetic fields will be primarily used by NNSWF and MFs toimplement High Performance Programs. Subject to availability the full size pitcheswill be made available to local community clubs on a commercial basis. As outlined

    earlier the full-size pitches will be used by MF to implement school gala days andcompetitions.

    NNSWF intends to operate a Cafe and to apply for a limited liquor license. Anestimated spend per head for the cafe has been included based on maximumpeople movements x average utilisation. This per head spend is based onexperience and discussions with other like-facilities and is considered conservative.

    It is expected that there would be very little use of the centre during the hours of 9am 4pm. School groups have been included in the over-arching assumption forcasual hire and do not represent a material income stream.

    As NNSWF currently operates a merchandise business for our member clubs(known as First Touch Football Supplies), it is expected that a number of teams thatparticipate in our leagues will use our services to provide strips, etc.

    An allowance for centre sponsorship and signage opportunities has been included

    and is considered conservative given the branding opportunities available.

    12.1.2. Expenses

    The 5-a-side facility will require a Venue Manager, a Duty Manager, casual staff andcafe attendants. We have included wage and on-cost estimates for these positionswithin the financial model. The staffing structure is based on Football FederationVictorias model.

    An allowance for electricity usage has been included based on estimated lightingexpenses for the number of courts; however it is proposed that natural energysources (such as solar power) will be incorporated into the construction of thefacility.

    A sinking fund of $1m over 10 years (reflected as $100k pa) has been included to

    provide for the re-surfacing of courts and fields. A further $50k pa allowance for

    general property repairs & maintenance is also provided for within our estimates.

    Overall, the facility is expected to generate a return of approx. $150k per annum based

    upon a 60% utilisation.

    The subject site is located in Speers Point which is considered a central recreation and community

    hub for the west lakes and north Lake areas. It has excellent access and proximity to surrounding

    residential, retail and commercial areas.

    The area has direct access to:

    o Glendale retail and employment node which is only 5kms and 6 minutes drivefrom the

    site;

    o

    Cardiff Industrial and employment area which is 8km away by road;o The regions largest retail and service centre at Charlestown only 9kms or 15minutes

    drive away;

    o The Newcastle western growth corridor of Fletcher which is just over 10km by road;

    o The Sydney Newcastle Freeway within 15km at either Ryhope or Cameron Park.

    The site of the proposed football facility is ideally located on the south western side of The

    Esplanade at its junction of Five Islands Road. These are two of the main collector/distributor roadsfor west and north Lake area.

    The site has excellent visibility from Lake Road and The Esplanade and excellent vehicular access

    from The Esplanade via Park Road. It is an easily identifiable location in the mind of the

    surrounding community.

    The site is large enough to accommodate generous parking facilities and at grade form and semiformed parking can be easily achieved.

    The site sits comfortably amidst a collection of other sports venues and facilities including:

    o Walters Park (Rugby Union);

    o Tredinnick Oval (football );

    o Speers Point Park on the shores of the Lake including a community shed for hire for up

    to 200 people with power, plus open shelter and stage area, playground, BBQs andlighting;

    o Speers Point Aquatic complex (50m and 25m non heated outdoor pools);

    o Lake Macquarie all abilities play area; and

    o Speers Point Amateur Salting club.

    The site is a short drive from residential suburbs within Newcastle and Lake Macquarie LGAs. There

    are a total of 70 suburbs within a 10km radius of the site (see figure 3).

    There are approximately 210,778 people residing within a 10km radius of the site (ABS 2006).

    Table 2 shows the sex split of males and females in the catchment as at 2006. It is within 1.5% of

    the Hunter Statically Division percentages with 48.7% and 51.3% female.

    suggest a relatively strong growth rate for Newcastle and the Lake Macquarie area (see table 3 and

    4 below). Newcastle as a whole is expected to experience growth of .81% pa 2011 and remainingstrong but dropping to .4% by 2036. Growth In lake Macquarie commitments this with growth rate

    building to 2021-31 at .7%pa.

    Importantly the outer suburbs of both Newcastle and Lake Macquarie in particular haveexperienced strong population growth in recent years and this is projected to continue into the

    foreseeable future. This growth is underpinned by the Lower Hunter Regional Strategy (LHRS) and

    will continue to be supported by both local government and the NSW government.

    The suburbs of Maryland, Minmi and Fletcher grew by 24.6% over the period 2001-2006. This

    strong growth is primarily due to the large land release program for residential development in the

    area and compares to an average of 4.9% for the Hunter Statistic Division over the same period.

    The household structure of this area is supportive of families with children with predominantly

    medium density, single dwelling houses. The representation of households containing a couple

    family and children is slightly higher when compared to that for the Hunter Statistical Division.

    Conversely the representation of one parent families and lone person households is significantly

    lower. The higher concentration of families is supportive of the use of local sport and recreational

    facilities.

    In summary, the site is well located in terms of access and transport networks within Newcastle and lake

    Macquarie areas. It is situated in close proximity to large residential subdivisions of Newcastle and Lake

    Macquarie that have experienced strong population growth in recent years and are expected to
