Well-acquainted with the concrete specifications of burial vault manufacturers, Anderson has been a top salesman for concrete admixture and chemical suppliers. His most recent sales position was with Premiere Con-crete Admixtures out of Pioneer, OH. (Pioneer distributes chemicals throughout southern Ohio, Michigan and Wis-consin.) Prior to that he spent 13 years in sales for Axim Concrete Technologies, (headquarters in Middlebranch, OH), where he logged 12 years as a “million-dollar salesman,” and six years as National and International Accounts Manager for the Fritz Chemical Company (out of Dallas, TX). He has published articles in the Concrete Producers’ News, published by Fritz Chemical.

“There have been so many technological changes in the concrete industry in the past

Anderson wants burial vault products to look good, too, even though they are no longer seen after being placed in the ground. “The aesthetics of concrete are so much

To ensure that he is familiar with OSHA requirements and other important areas in-volved in an NCBVA plant inspection, Anderson has already been on inspection rounds

nity College. He lives in Holland, MI with his wife, Beth Ann Charles, an artist who has

still enjoys a good game of golf.

The deadline for returning your “Cost of Doing Business” survey has been extended to October 31, 2011. This study is the first of its type ever done by a concrete burial vault organization. Results of the survey are being compiled by the Mackay Research Group and all of the raw data collected will be held in strictest confidence by this third-party company. “The validity of the results depend completely on member participation,” said NCBVA President Hubert McQuestion.

In the last few weeks, several members have asked me questions regarding corporate taxes, corporate respon-

sibilities and corporate liability. I was somewhat surprised why they consulted

me, because most of the inquiries could have been answered by the

CPA or attorney. For the benefit of all members, however, answer-ing their ques-tions in the public forum of The

Bulletin seems to be a good idea.

Corporate SelectionThere are three types of corporate options that an owner should consider regarding categorizing his/her business. Briefly, they include the C corporation, which is the traditional form and which has the most flexibility in structuring ownership and benefits, including liability protection of personal assets. Keep in mind that liability issues can also be covered by insurance, which negates one of the main reasons for a C corporate form. But such a corpora-

profits; then, such profits are taxed again if they are paid to shareholders as dividends.

Two additional corporate concepts were developed and have been used for some time. These are S corporations and limited liability companies (LLCs). As your local CPA has probably advised you, these two are called “pass-through” entities because there is no tax at the entry level. Instead, profits or losses are passed through to the owners and reported on their individual tax returns.

Choosing the appropriate form of busi-ness is important. Even established busi-nesses change from one form to another during the lifetime of their companies. Some NCBVA members likely use more than one type of entity––for example, an

National Labor Relations Board Opens Door to UnionizationFor Burial Vault ManufacturersFollowing on the heels of the recent OSHA rule requiring trucks with boom cranes to have certified operators, the Federal Government has dealt another blow to burial vault manufacturers. The National Labor Relations Board (NLRB) has issued a final rule that impacts companies that seek to keep unions out or minimize their input in their operations.

The NLRB has issued its final rule on “Notification of Employee Rights Under the National Labor Relations Act.” The August 25, 2011 regulation, passed by a 3 - 1 vote of the Board, will have a significant impact on union-free and partially unionized burial vault manufacturers.

What the Rule RequiresThe regulation requires that all employers covered by the National Labor Relations Act conspicuously post a notice where other employment notices are customarily posted, as well as on a company “intranet or Internet site if the employer customarily communicates with its employees about personnel rules or policies by such means.” The notice informs employees of their right to organize, provides

contact information for the NLRB, and lists a litany of unlawful employer conduct.

Failure to post the notice may constitute an independent unfair labor practice and may be considered evidence of unlawful motive in certain proceedings before the NLRB. A failure to post also may toll the statute of limitations to file unfair labor practice charges for acts allegedly committed during the period in which an employer failed to post the notice.

Implementation date for the new rule: Employers will be required to post the notice beginning November 14, 2011.

Industry’s Objections to Proposed RuleThe NLRB issued a Notice of Proposed Rule-making on this issue in

December 2010. During the comment period that closed February 22, 2011, more than 7,000 public responses were submitted. Concerns raised by the management community included the following:

(1) the regulations and proposed posting exceed the NLRB’s rule-making authority;

(2) the proposed remedies were punitive and exceed the NLRB’s remedial authority;

(3) the posting is unnecessary and imposes an unneeded burden on employers; and

(4) the suggested language of the poster did not present a balanced picture of Section 7 rights under the NLRA.

Final Rule Closely Follows ProposalThe final rule closely follows the December 2010 proposal, but does contain some modifications. For example, it removes the requirement “. . . that employers distribute the notice via e-mail, voice mail, text messaging or related electronic communications if they customarily communicate with their employees in that manner.”

Concerning foreign language requirements, the final rule provides that . . . “[where] 20 percent or more of an employer’s workforce is not proficient in English and speaks a language other than English, the employer must provide notice . . . in

the language the employees speak. If an employer’s workforce includes two or more groups constituting at least 20 percent of the workforce who speak different languages, the employer must provide the notice in each such language.” The NLRB also has offered to translate the notice to employees who “. . . do not understand or speak English well.”

The 11-by-17-inch notice is similar in content and design to a notice of NLRA rights that must be posted by federal contractors under a Department of Labor rule.

The notice of rights will be provided at no charge by NLRB regional offices or can be downloaded from the Board web site (www.nlrb.gov) and printed in color or black-and-white.

Next Step for Employers;Prepare for ImplementationThe November 14, 2011 compliance date is now close at hand. Employers should prepare to be in compliance prior that date. Such preparation should include training supervisors now regarding the meaning of the notice, the company’s position on unionization, the significance of authorization cards, and how and when to communicate lawfully about these subjects.

The employer’s labor relations programs should be reviewed. This should include performing a bargaining unit analysis, and the pros/cons of posting their own notice (or otherwise communicating with employees) to help their staff understand the Board’s new posting and the employer’s position on the issue.

It may be advisable to consult a labor relations attorney to advise your business in connection with this rule, as well as all other aspects of labor and employment law and related issues.

Trigard Presents 2010 Sales Awards

Watts Vault & Monument Company was recognized for the Highest Sales Volume, Highest Percentage of Aegean® Sales and Highest Volume of Healing Tree® Products. The Highest New Dealer Sales Growth award was presented to Ideal Burial Vault Com-pany. Norwalk Vault Company had the Second Highest New Dealer Sales Growth. In the Small Business Division, Knight & Sons Monument Company had the Highest Growth Percentage. Bates Vault & Services, LLC, and Minchew Concrete followed with Second and Third Highest Growth Percentages, respectively.

For the Mid-Size Business Division, Baker Concrete Limited was recognized for the Highest Growth Percentage, followed by Forsyth Brothers Concrete Products and Heartland
