G.00 TERMS & CONDITIONS :

G.01 Definition of Terms :

The following terms used in the Tender Document shall generally have the meanings as stated against the respective terms unless they are repugnant to the Context otherwise.

(a) Company : BRIDGE & ROOF CO. (INDIA) LTD. Having its registered office at 2/1, RUSSEL STREET, KANKARIA CENTER, (5TH FLOOR), KOLKATA- 700 071, inviting this tender.

(b) Owner : M/s. NTPC Limited having its Registered Office at Engg. Office Complex, Plot A-8A, Sector-24, Noida-201301

(c) Tenderer (Bidder)

: The firm party who shall tender quotation to the Company.

(d) Engineering Associate

: The tenderer whose quoted offer will be accepted, either in full or in part, by the Company.

(e) Works : Jobs that are to be executed by the Engineering Associate

awarded to him by the Company.

(f) Work-Order/ Contract/ Agreement

: The formal letter / notification issued to the Engineering

Associate awarding the works in full or in part by the Company together with the applicable terms & conditions etc. as are finally and mutually agreed to between the Company and the

Engineering Associate.

(g) Engineer-in-Charge

: The Officer/Engineer nominated & authorised by the Company for the time being for the purpose of operating the Contract or any Work covered thereunder.

(h) Accepting Authority

: CHAIRMAN & MANAGING DIRECTOR / DIRECTOR (PM) OF THE COMPANY.

G.02 Duration of Engagement

G.02.1 The appointment of the Engineering Associate shall commence from the date of Issue of

LOI/LOA or Instruction to start work or this Agreement or from the time when the

Engineering Associate shall have begun to perform for the Company any of the services whichever is earlier.

G.02.2 All covenants and agreements herein contained will be extended to and be binding upon the successor and assigns of the Engineering Associate and of the Company.

G.02.3 If at any time after acceptance of the tender the Company decides to abandon or reduce the scope of work for any reason whatsoever and hence does not require the whole or any part of the work to be carried out, the Engineer-in-charge shall give notice to this

effect to the Engineering Associate and Engineering Associate shall have no claim to

any payment of compensation or otherwise, whatsoever on account of any profit or advantage which might have been derived from the execution of the work in full but which does not derive in consequence of the said abandoning or reduction of the whole or part of the works.

G.02.4 If the Company shall not require the Engineering Associate to resume the performance of services in respect of any postponed work within a period of 12 months from the date

of the Companies requirement in writing to the Engineering Associate to suspend the

carrying out of his services, such work shall be considered to have been abandoned and this Agreement shall terminate.

G.03. Sufficiency of Quotation :

The Tenderer shall be deemed to have satisfied himself before tendering as to the correctness and sufficiency of his offer for the work and of the rates/price quoted which shall, except as otherwise, provided, cover all his obligations and liabilities under the Contract and all matter and things necessary for the proper completion of the Works.

G.04 Time Schedule

The Company has worked out a Completion Schedule and the Engineering Associate

shall work out micro project time schedule and adhere to the time schedule fixed therein for the respective scope of work and the responsibilities.

G.05 Ownership of Documents and Copyrights

G.05.1 The copyright in all drawings, reports, calculations and other similar documents provided by the Engineering Associate in connection with the Project shall remain vested in the

Engineering Associate but the Company shall have a license to use such drawings and other documents for any purpose related to the Project. Save as aforesaid, the Company shall not make copies of such drawings or other documents nor shall he or they use the same for any purpose not related to the Project without the prior written approval of the

Engineering Associate and upon such terms as may be agreed between the Company

and the Engineering Associate

G05.2 The Engineering Associate may with the consent of the Company, which consent shall not be unreasonably withheld, publish along or in conjunction with any other person any articles, photographs or other illustrations relating to the Project.

G.06 Firm Price

Tenderer/Bidder quoted rates/prices for executing the activities under the Contract shall remain firm till completion of the entire work & shall not attract any escalation under any circumstances whatsoever.

G.07 Controlling Laws

The rights and obligations of the Company and the Engineering Associate under this

Agreement will be governed by the laws of the land

G.08 Non-Waiver of Defaults

Any failure by the Company or the Engineering Associate at any time or from time to

time to enforce observance and performance of and of the conditions of engagement will not constitute or be deemed to be waiver of such conditions of engagement and will not effect or impair such conditions of engagement in any way or the right of the Company or

the Engineering Associate at any time to avail itself of such remedies as it may have for

any breaches or breach of such conditions of engagement.

G.09 Language

The English language shall be used in all written communications between the Company

and the Engineering Associate with respect to the services to be performed under this

Agreement and with respect to all documents produced or prepared by the Engineering

Associate in connection with the Project.

G.10 Secrecy

The Engineering Associate shall use all the documents, drawings and other data and

information of a proprietary nature received from the Company, solely for the purpose of performing and carrying out the obligations on his part, under this Agreement and shall not disclose the same to any other person except to the extent required, in the performance of the work for the Project and shall maintain the utmost secrecy. The

Engineering Associate shall bind his employees who are involved in engineering of the Project by a suitable secrecy Agreement. The documents, drawings and other data and

information received from the Company shall not be used by the Engineering Associate

for any other purpose.

G.11 Performance Guarantee

G.11.1 The Engineering Associate shall carry out the services in conformity with generally

accepted norms and sound standards of engineering. The Engineering Associate shall

be responsible for the technical soundness of the services rendered. In the event of any

deficiency, in those services, the Engineering Associate shall properly redo such design and engineering, at no additional cost to the Company so as to enable the Company, as necessary, to carry out such modifications and/or rectifications as may be required.

G.11.2 The Engineering Associate shall guarantee the performance of the plant as per designs and specifications prepared by him. In the event of the plant failing to achieve the guaranteed performance as laid down in the Agreement due to reasons directly

attributable to the Engineering Associate, the Tenderer shall submit Performance

Bank Guarantee (PBG) towards his undertaking for the performance of the Contract

as to be awarded to him, equal to 5% (Five percent) of the Contract Value from a

Schedule ‘A’ Bank in Company’s approved proforma, within 15 days from the date of

receipt of L.O.I. The said Bank Guarantee shall, however, be kept valid till

completion of the Contract / upto defect liability period in all respect.

G.11.3 Defect Liability Period

The Defect Liability Period shall be 12 months from the date of completion as indicated in the completion certificate. In case there is delay because of Owner (NTPC) the guarantee shall be 18 months from date of readiness for commissioning.

OR

The Defect Liability Period shall be eighteen (18) months from the date of successful Completion of the Facilities (or any part thereof) or twelve (12) months from the date of Operational Acceptance of the Facilities (or any part thereof), whichever occurs first.

G.11.3 Notwithstanding anything herein contained or implied to the country, the Engineering

Associate shall in no circumstances be liable in respect of any consequential loss or

losses of profit suffered by the Owner/Company in connection with or arising within the Agreement.

G.12 Normal Services

The services to be provided by the Engineering Associate shall comprise :

(a) All or any of the services stated in the Scope of Work, and

(b) Advising the Company as to need for the Company to be provided with additional

services as required for completeness.

G.13 Additional Services not Included in Normal Services

G.13.1 All services additional to those specified in clause G.12, the Engineering Associate shall, if so requested by the company, provided or take all reasonable steps to arrange for the provisions of such services.

G.13.2 The Engineering Associate shall obtain the prior consent of the client to the

arrangement which he propose to make on the company’s behalf for the provision of any of the services specified in clause G.13.1. The company shall reimburse to the

Engineering Associate cost of such additional services as mutually agreed.

G.13.3 After the approval of arrangement and layout and other necessary construction drawing

by the company in writing, if the company gives any direction to the Engineering

Associate for any additional drafting or any change in the plans including any change

required by the manufacturer of equipment which would basically after the design of the scope of services or necessitate complete re-drafting, of the drawing the consulting engineering associate shall render such services at a mutually agreed rate.

G.14 Insurance

The Engineering Associate shall arrange for the cost of personal accident insurance in

respect of his employees assigned to the project site for performance of the obligations under the conditions of agreement.

G.15 Prints Drawings & Specification

The Engineering Associate will furnish within their quoted rates One (01) set of prints of all design calculations, data sheets, drawings, specifications, schedules etc. Including soft copy of all drawings (IN AUTOCAD) / documents for approval from NTPC.

G.16 Cost to be Borne by the Engineering Associate

No cost of work to be done under the conditions of engagement shall be borne by the Engineering Associate except those specifically mentioned below :

The Engineering Associate shall bear all costs of rendering the specified scope of

services except those costs, which are specially mentioned as reimbursable by the Client.

G.17 Patents

No patented or patent sending articles, methods or device shall be used or supplied in connection with the work or incorporated in the work without the prior written approval of the Client, if the terms of purchase involve or require the payment of any license fee or royalty in addition to the purchase price, and do not contain patent indemnification in a form satisfactory to the Client.

G.18 Information to be supplied to the Engineering Associate

The Company shall supply to the Engineering Associate free of any charge and within a

reasonable time all necessary and relevant data and information in the possession of the Company such as area maps, contours, test boring results and other soil data as may be in the possession of the Company, water analysis etc., and shall give such assistance as

shall reasonably be required by Engineering Associate in the performance of his

services.

G.19 The Company shall give his decision on all sketches, drawings, reports basic studies, recommendations and other matters properly referred to him for decision by the Engineering Associate in such reasonable time as not to delay or disrupt the performance by the Engineering Associate of the services.

G.20 Payment for services

The Company shall pay the Engineering Associate for services to be carried out under

Clause G.12. here in before.

G.21 Disbursement

The Company shall reimburse the Engineering Associate in respect of all the

G.23 Visit

Engineering Associate shall send his competent representative for outstation visits

connected for engineering works other than Engineering Associate’s city, as and when required and advised by company for which necessary arrangement for such travelling shall be made by company / or cost of such visits by Economy Air/AC2 Tier Train.

Per –Diem Charges shall be as per Schedule of Rates

G.24 Drawing office Accessories :

Engineering Associate shall, within his quoted rates / price, provide all drawing office

accessories etc. for execution of the work.

G.25 Manpower Deployment :

Engineering Associate/Contractor shall, within the quoted rates/prices deploy & engage all engineering and technical personnel for execution of the work including their all boarding, lodging, transportation etc.

G.26 Security Deposit :

5% of the certified gross value of Engineering Associate’s / Contractor’s Bill deducted by cash and retained with us as Security Deposit against his due and faithful performance of the work which will be released & refunded after expiry of defect liability period as per Company’s Contract with owner.

G.27 Income Tax

Income Tax will be deducted from Engineering Associate’s / Contractor’s bill as per

Prevailing Rules.

G.28 Penalty / Liquidated Damage for Delay in Completion :

The Engineering Associate / Contractor shall strictly and scrupulously follow to the Time

Schedule of the Work and shall earnestly and diligently endeavour to complete the works under his scope in all respect within the date as specified herein above.

In case work would not be completed within the schedule date due to reasons attributable to the Contractor/Engineering Associate and for which Company suffers

Penalty / Liquidated damage from the Owner, the amount, proportionate to Company’s

compensation to the Owner, shall be deducted from Engineering Associate/Contractor’s bills.

G.29 Arbitration :

In the event of any dispute or difference between the parties here to, then every effort should be made by the parties to resolve amicably such dispute or difference by mutual consultation.

If the same is not possible, the unresolved dispute or difference shall be referred to arbitration as per the provision of the Indian Arbitration and Conciliation Act, 1996 and all statutory re-enactment & modifications thereof & the rules made there under shall apply to such arbitrations.

Sole Arbitrator to be nominated by C&MD of the Company at Kolkata Jurisdiction.

1.0 GENERAL

1.1 The special conditions of the contract shall be read in conjunction with the Scope of Work, General terms and conditions, Technical Specification of works, Drawings and any other documents forming part of this contract.

1.2 Not withstanding the subdivision of the documents into these separate sections

/ parts, every part shall be deemed to be supplementary to and complementary of every other part and shall be read with and into the contract so far as it may be practicable to do so.

1.3 Where any portion of the General terms and conditions of contract is repugnant

to or in variance to any provisions of the special conditions of the contract, then the provisions of the Special conditions of the contract shall supersede the provision of General terms and conditions and shall, to the extent of such repugnancy of variation prevail.

1.4 Wherever it is mentioned in the specification that the contractor shall perform

certain work or provide certain facilities / material it is understood that the contractor shall do so at his own cost unless otherwise specified.

1.5 Except when specifically mentioned in the description of items itself, the rate for

any item of work shall apply to any position upto any height.

1.6 The materials, Design and Workmanship shall satisfy the relevant Standards, the job specifications contained herein and Codes referred to. Where the job specifications stipulate requirements in addition to those contained in the standard codes and specifications, these additional requirements shall also be satisfied.

2.0 LOCATION OF SITE Kudgi Super Thermal Power Project, Stage-I (3x800 MW) at KUDGI IN BIJAPUR

DISTRICT OF KARNATAKA, INDIA 3.0 CODES AND STANDARDS Codes and Standards as referred by NTPC Limited, as mentioned in their Tender

Document shall be followed, wherever applicable. 4.0 TIME OF COMPLETION The entire works as mentioned in the Scope of Work and in the Tender etc. shall

be completed as per following schedule : Completion Time : Basic and detail Engineering within 9 (NINE) months

from the date of LOI / FOA. As-Built Drawings and documents within 30 (Thirty) Months from the date of LOA / FOA.

5.0 SCOPE OF WORK

The Scope of work for Services has been defined in “Scope of Work” (Annexure – IV).

6.0 BASIS OF QUOTE

The Engineering Associate shall ensure submission of his quotation exactly as per the Schedule of Rate enclosed in Annexure- VI

7.0 FIRM PRICE

Engineering Associate’s quoted lumpsum price for providing engineering services for design and detail engineering for Station Piping Package for Kudgi Super Thermal Power Project, Stage-I (3x800 MW) at KUDGI IN BIJAPUR DISTRICT OF KARNATAKA, INDIA Of M/S NTPC Limited in schedule of rates in Annexure – VI shall remain firm till the completion of entire works under their scope of works and shall not attract any escalation under any circumstances whatsoever.

8.0 DELAY IN COMPLETION

In case the Engineering Associate cannot complete on their Part as per Scope of Works within the Scheduled time of completion due to reasons attributable to them then liquidated damage and not by way of penalty, a sum equivalent to ½% (half percent) of the Total Contract Value of entire work per week for such delay or part thereof which the Engineering Associate has failed to complete within time schedule of completion will be recovered from the Engineering Associate. It may be noted that such recovery of Liquidated Damages may be upto 10% of Total Contract Value of entire works which the Engineering Associate has failed to complete within the completion schedule.

And /Or The Company may cancel the Contract or a portion thereof by serving prior written notice to the Engineering Associate.

The liquidated damage for delay in completion of entire works thus accrued will be recovered by the Company from the bills for payment of the cost of works specified in the Contract from the bills for payment of the cost of Works submitted by the Engineering Associate in accordance with the terms of the Contract or otherwise.

9.0 STATIONERY ETC a) Engineering Associate shall provide within their Lumpsum fees all

papers / drawings Softwares, office appurtenances, accessories, materials etc. required for preparation of drawings, documents, specifications etc.

b) Engineering Associate shall within their Lumpsum Fees engage all technical personnel such as Engineers, Draftsman etc. required directly or indirectly for execution of their work in pursuant to this work.

10.0 DEDUCTION AGAINST INCOME TAX

Deduction towards Income Tax from the Bills will be made as per Rules. B&R will issue TDS against the same.

11.0 VISIT In case Engineering Associate is to attend meeting with Client, or make visit to site, as & when directed by B&R, the Engineering Associate shall arrange tickets for travelling, by Economic Air / Rail (2 A/C) and the Company shall bear expenses towards Tickets, lodging and local transport when the destination is at other places than Engineering Associate’s city. For such visits as & when directed by B&R, Per Diem Charges shall be reimbursed as per rate indicated in Schedule of Rates.

Lodging, when the destination is at other places than Engineering Associate’s city, lodging shall be arranged by B&R in B&R Guest house, if not available, accommodation may be arranged in hotel at tariffs payable to B&R officers and staffs of Equivalent rank. Payment is to be made against submission of Invoice with documentary evidence after completion of visit. Engineering Associate shall indicate in his offer the location of office from where Engineering documents shall be generated and Engineering Associate shall depute their engineering personnel. Reimbursement of Economic Air / Rail (2A/C) fare shall be considered against documentary evidence from this office/location. No payment against travelling, lodging, local transport and per diem charges shall be paid for attending meeting with B&R in Kolkata regarding progress review.

12.0 VALIDITY OF OFFER

The Tender submitted by the Bidder shall remain valid for acceptance for a period of 90 (Ninety) days from the Bid submission date as stated in the enquiry.

13.0 ARBITRATION

Company confidently feel that there shall not arise any disputes or differences during execution and completion of the work by the Contractor.

However, in the event of any disputes or difference arising between B&R (Company) and Contractor (hereinafter called the said Parties) touching or concerning the interpretation of the terms and conditions as performance of the order or in connection therewith or the rights and liabilities of either of the said parties hereto, the said parties shall endeavour to settle the same amicably through mutual agreement between them.

If the said Contractor hereto should fail to settle such difference or disputes by mutual agreement as aforesaid, the matter shall be referred for the arbitration on mutual consent in writing of the said parties.

Such arbitration, the venue of which shall be Kolkata, shall be conducted as per the provision of the Indian arbitration and Conciliation Act, 1996 & all statutory modifications or re-enactment thereof the rules made thereunder shall apply to such arbitration.

14.0 TERMS OF PAYMENT

ENGINEERING : 35% after code–II approval of Drg./Doc/ Design Calculation on pro-rata basis

: 45% after code–I approval of Drg./ Doc./Design Calculation on pro-rata basis

: 10% after review of vendor’s technical offer on pro-rata basis.

: 10% of L.S. value on completion of all works in all respect and submission of As-built Drawings & Documents on pro-rata basis Including soft copy.

5% of the certified gross value of the bill will be deducted by cash and retained with

us as Security Deposit which will be released and refunded to the Contractor after expiry of Defect Liability Period as mentioned else where in this NIT.

15.0 TAXES, DUTIES, LEVIES ETC.

a) VAT on Works Contract would not be applicable on above Contract

b) Income tax will be deducted from bill of contractor and income tax certificate shall be

issued to them time to time against their deduction as per statutory rules. 16.0 SERVICE TAX i) Unit Rates / Lumpsum prices in the Schedule of Rates shall be exclusive of

Service Tax.

ii) Service Tax shall be paid to the Contractor as legally leviable & payable by the Contractor under the provisions of applicable law/act. and against submission of Service Tax Invoice as per Rule 4A of Service Tax Rules within 30 days from the date of completion of such taxable service or receipt of any payment towards the value of such taxable service, whichever is earlier.

17.0 Bidder should submit one copy of our tender enquiry along with their offer

duly stamped and signed as a token of their acceptance.

18.0 B&R’S RIGHT TO REJECT TENDER

B&R shall always reserve the right to accept or reject any or all tender(s) without assigning any reason whatsoever thereof.

Dear Sirs,

In consideration of BRIDGE & ROOF CO.(INDIA).LTD. (hereinafter called "The Company" which expression shall

include its successors and assign) having awarded certain work for and relative to........................................

(name of the project/work) to ……………….................................. (name & address of the contractor) (hereinafter

called the "Contractor") upon certain terms & conditions interalia mentioned in the Company's Letter of Intent No./

Work Order No. ……………………….......... dated ........... (hereinafter called the Contract, which expression shall

include any formal contract entered into between the Company and the Contractor and all amendments and/or

modifications in the Contract) inclusive of the condition that the Company may accept a Bank Guarantee of a

Nationalised/Schedule-A Bank in India in lieu of Cash Deposit against Security and due & faithful Performance of

the said Contract:

................ having registered and Head Office at....... (hereinafter called "the Bank") at the request of the

Contractor and with the intent to bind the Bank & its successors and permitted assigns, do hereby unconditionally

and irrevocably guarantee payment to the Company of the unpaid balance upto an aggregate limit of Rs............

(Rupees………… ............................. only) AND undertake to pay to the Company on demand and without protest

or demur the unpaid balance of said Security cum Performance Guarantee subject to the aggregate limit of

aforesaid Rs............. (Rupees …………………................only).

AND the Bank do hereby further agree and undertake as follows:

1. The Guarantee/undertaking herein contain shall remain in full force and effect during the period that would

be taken for the performance of the said contract and the claim of the Company relative thereto satisfied

and/or discharged and the Company accordingly discharge the Guarantee/undertaking subject, however,

that the Company shall have no claim under this Guarantee/undertaking after .......... 200 , unless a

notice of the claim under this Guarantee/undertaking has been served on the Bank before the expiry of the

said date, in which event the same shall be enforceable against the Bank notwithstanding that the same is

enforced after the expiry of the said date namely ......... 200 .

2. The Company shall have the fullest liberty without reference to the Bank & without affecting in any way

the liability of the Bank under this Guarantee/undertaking, at any time and/or from time to time to anywise

vary the said Contract and/or any of the terms & conditions thereof or relative to the said Performance or

to extend time of performance of the said Contract in whole or part or to postpone for any time and/or from

time to time any of the obligations of the Contractor and/or power exercisable by the Company against the

Contractor and either to enforce or forbear from enforcing any of the terms & conditions of or governing the

said Contract or the said Performance or the Securities available to the Company or any of them and the

Bank shall not be released from its liability under these presents and the liability of the Bank shall remain

in full force and effect notwithstanding any exercise by the Company of the liberty with reference to any or

all the matters aforesaid or by reason of time being given to the Contractor or any other forbearance, act

or omission on the part of the Company or any indulgence by the Company to the Contractor or of any

other act, matter or thing whatsoever which under the law relating to sureties would, but for this provision,

have the effect of releasing the Bank from its liability hereunder or any part thereof.

3. It shall not be necessary for the Company to proceed against the Contractor before proceeding against the

Bank & the Guarantee/undertaking herein contained shall be enforceable against the Bank notwithstanding

the existence of any other security for any indebtedness of the Contractor to the Company(including

relative to the said Performance) and notwithstanding that any such security shall at the time when claim

is made against the Bank or proceedings taken against the Bank hereunder, be outstanding or unrealised.

4. The amount stated by the Company in any demand, claim or notice as the unpaid balance of the said

Security cum Performance Guarantee for the time being shall as between the Bank and the Company for

the purpose of these presents be conclusive of the said balance.

5. The liability of the Bank to the Company under this Guarantee/undertaking shall remain in full force and

effect notwithstanding the existence of any difference or dispute between the Contractor and the Company,

the Contractor and the Bank and/or the Bank and the Company, or otherwise howsoever touching or

affecting these presents or the liability of the Contractor to the Company, and notwithstanding the

existence of any instructions or purported instructions by the Contractor or any other person to the Bank

not to pay or for any cause withhold or defer payment to the Company under these presents, with the

intent that notwithstanding the existence of such difference, dispute or instruction, the Bank shall be and

remain liable to make payment to the Company in terms hereof.

6. The Bank shall not revoke this Guarantee/undertaking during its currency except with the previous consent

of the Company in writings and also agree that any change in the constitution of the Contractor or the Bank

or the Company shall not discharge the Bank's liability hereunder.

7. Notwithstanding anything herein contained the Bank's liability under this guarantee is restricted to Rs.…….

and the said guarantee shall remain in full force till ........... (date) unless a suit or action to enforce the

claim under this guarantee is filed against Bank within three month from the above date i.e., on or before

(date) .......... all rights of the Company under the said guarantee shall be forfeited and Bank shall be

relieved and discharged from all liabilities thereunder.
