WHEREAS, it is provided in the said contract that, in the event the said work is not completed by the second day of September, the said contractor shall pay to the Owner as liquidated damages an amount computed on the basis of 050.00 for each <&y the said work remains uncompleted after the aforesaid date; and

WHEREAS, for the reasons hereinafter enumerated, it has become impossible for the Contractor to perform the said contract within the contractual date for completion; viz. (see letter of Contractor to State Architect and Engineer)

WHEREAS, it appears the Contractor is not legally responsible for such delay in the completion of said contract and accordingly, liquidated damages should not be assessed;

Board Minutes December 1, 1939

The Board of Trustees of Bowling Green State University met in a regixlar session in its office in the Administration Building at 2:00 o'clock p.m. on December 1, 1939. The members of the Board present were Mrs, Bessie S. Dwyer, treasurer, Mr. J. J. Urschel and Dr. II. J. Johnston. Dr. Edward 13. Pedlow, president, and Mr. E. E, Coriell, secretary, were unavoidably absent. President F, J. Prout was also in attendance.

By unanimous consent Mr. Urschel acted as president pro-tem and Dr. Johnston acted as secretary pro-tem.

The minutes of tie meetings held September 15, September 27 and October 14-, 1939 were read aid approved.

It was moved by Dr. Johnston and seconded by Mrs. Dwyer feat the preliminary plans for the Infirmary building which is to be erected through participation with WPA be approved as a WPA project. Voting yes: Urschel, Mrs. Dwyer and Dr. Johnston. Motion carried.

It was moved by Mrs. Dwyer and seconded by Dr. Johnston that the sponsor's portion of the funds for the building of the Infirmary be appropriated from Rotary-A, Health, which at the present time totals approximately $9,000.00. Voting yes: Urschel, Mrs. Dwyer and Dr. Johnston. Motion carried.

It was moved by Dr. Johnston and seconded by Mrs. Dwyer that the following appointments of President Prout be confirmed at fee salary set opposite the name of each:

It was moved by Dr. Johnston and seconded by Ers. Dwyer that the Student Activity Fee be increased to $7.50 Per semester.effective the second semester of 1939-40. Voting yes! Urschel, Ers. Dwyer and Dr. Johnston. Eotion carried.

It was moved by Ers. Dwyer and seconded by Dr. Johnston that the following resolution be adopted:

Resolved that President Prout be authorized and directed to request the Regional Director of the Federal Works Agency for an extension of the project time on Docket OH-1390-F from December 12, 1939 to Eay 15, 1940 due to the following con- ditions:

Whereas, due to the unpredicted circumstances arising subsequent to the acceptance oT the amendatory offer aid last request for an extension of completion date, namely,

1. Difficulty in preparing adequate, detailed specifications subsequent to acceptance of amendatory offer for thirteen equipment contracts, painting and acoustic treatment,

P. The necessary time required to secure P.W.A. approval of said specifications and revising same to meet with P.W.A. approval,

3. Due to contract documents not as yet having been delivered to contractors to authorize them to proceed,

4. And, due to all bids on gymnasium equipment having exceeded the estimate and failure to secure bidders on window shades, it has therefore become necessary to revise specifications and secure P.W.A. approval thereof to proceed with readvertisingj

it will therefore be impossible to complete several of the equipment contracts and painting ad acoustic contracts prior to the present docket completion date, namely, December 12, 1939.

Therefore, due to the above conditions we are hereby requesting an extension of time for the docket completion date from December 12, 1939 to May 15, 1940 to enable complete execution of several of the equipment contracts and painting and acoustic contracts in an aggregate amount of approximately $21,000.00. The estimated time necessary for completion of all contracts is based on the following:

December 12 to January 15 January 16 to January 25 January 26 to February 15

February 15 to March 15

March 16 to May 15

Securing approval of revised specifications Readvertising Preparation of contract documents and securing approval of Board of Trustees and Attorney General of Ohio PWA approval of contract awards and delivery of con- tract documents to contractors. Required time for manufacture, assembly and delivery by contractor

Be it further resolved that President Protit be authorized and is hereby directed to sign all necessary federal and state papers in connection herewith.

It was moved by Dr. Johnston and seconded by Ers. Dwyer that the following resolution be adopted and that President Prout be aithorized to sign all federal and state papers in connection therewith:

WHEREAS, the Board of Trustees of Bowling Green State University (hereinafter re- ferred to as "Owner") and W. J. Gillespie (hereinafter referred to as "Contractor") have entered into a contract for the performance of certain work in connection with the equipping of college buildings, Docket OH-I39O-F, project of tie Owner;

WHEREAS, it is provided in the said contract feat, in the event the saidrork is not completed by the tenth day of December, 1939, the said contractor shall pay to the Owner as liquidated damages an amount computed on the basis of $50.00 for each day the said w>rk remains uncompleted after the aforesaiddate; and

BE AND IT IS HEREBY RESOLVED by the Board of Trustees of Bowling Green State University; (1) that the contractual date for completion of said con- tract be extended to December 11, 1939, incl.; (2) that the Board of Trustees of Bowling Green State University waives any and all claims for liquidated (images arising out of the failure of the Contractor to complete the work prior thereto; and (3) that said contractual provision providing for liquidated damages main in full force and effect provided, however, that liquidated after assessed in accordance with the terms of the contract only aforesaid extended date for completion of the work.

WHEREAS, it is provided in the said contract that, in the event the said work is not completed by the tenth day of December, 1939> the said contractor shall pay to the Owner as liquidated damages an amount computed on the basis of £-50»00 for each day the said work remains uncompleted after the aforesaid date; and

It was moved, by Dr. Johnston and seconded by Mrs. Dwyer tiat the following resolution be adopted and that President Prout be authorized to sign all federal and state papers in connection therewith:

WHEREAS, the Board of Trustees of Bowling Green State University (hereinafter re- ferred to as "Owner") and Durabilt Steel Locker Co. (hereinafter referred to as "Contractor") have entered into a contract for the performance of certain work in connection with the equipping of college buildings, Docket OII-1390-F, project of the Owner;

WHEREAS, it is provided in the said contract that, in the event the said work is not completed by the tenth day of December, 1939, the said contractor shall pay to the Owner as liquidated damages an amount computed on the basis of $50.00 for each day the said work remains uncompleted after the aforesaid date; and

WHEREAS, for the reasons hereinafter enumerated, it has become impossible for the Contractor to perform the said contractvithin the contractual date for completion; viz:

Contractor did not receive the contract and approval of contract documents, submission drawings and color plates in time to enable him to fabricate lockers and install them complete within the contract period.

WHEREAS, it appears the said Contractor is not legally responsible for such delay in the completion of said contract and accordingly, liquidated damages should not be assessed;

NOW, THEREFORE, BE AND IT IS HEREBY RESOLVED by the Board of Trustees of Bowling Green State University: (1) that the contractual date for completion of tie said contract be extended to January 12, 1940, incl.; (2) that the Board of Tr":-tees of Bowling Green State University waives any and all claims for liquidated damages
