RE: Approval to create and fill a Physician Position for the Shawnee County Health Agency -Community Health Center {SCHA-CHC) and fill a Licensed Practical Nurse {LPN) position to support the physician.

Action Requested: Approval to create and fill a Physician Position for the Shawnee County Health Agency -Community Health Center {SCHA-CHC) and fill a Licensed Practical Nurse {LPN) position to support the physician.

In an effort to continue to increase the capacity of the community health center to serve patients needing quality health care services, it is requested that a position be created and filled for a MD level physician with board certification. The physician would be located at the California Clinic.

The proposed pay for the position is $74.52 per hour plus benefits, continuing medical education reimbursement, and on-call pay. The anticipated cost for a full time physician would be $202,466. The costs associated with this position would be captured through reimbursement for services; grant funding and a small percentage of tax support at the position builds a patient base to increase reimbursement through biiling for services.

To support the clinical work of the physician, a 1.0 FTE LPN position {PCN HA I 096) is requested to be filled. The LPN position (annual salary $41,46 I) provides clinical support including but not limited to the following activities:

• rooming patients • collecting medical information • making referrals and/or follow up appointments • addressing medication refills request

The SCHA approved 2013 budget has been reviewed. In addition through ongoing review of operational needs and with slippage from vacant positions we would be able to fulfill this request and continue to increase the capacity to meet health care needs in the community.

This request has been reviewed with County Human Resources Teamsters Union.

Attached is an addendum that further details fiscal impact and a business case explaining the advantages and disadvantages of filling requested positions.

Addendum

Fiscal impact through 2013 with both positions filled- the costs associated with these positions would be covered through the repurposing of 2 active PCN, 1 PCN being filled as LPN and funds through vacancies that have occurred since early 2013.

Physician position • With an anticipated start date of July 1, 2013 the fiscal impact for 2013 would be $101,224

LPN position • With an anticipated start date of July 1, 2013 the fiscal impact for 2013 would be $20,728

Total2013 fiscal impact= $121,961

Fiscal impact in 2014- the costs associated with these positions will be incorporated in the 2014 budget allocation and covered through grant funding and reimbursement.

Total 2014 fiscal impact= $243,927

January 1, 2014, the Health Insurance Exchange (HIE) through the Affordable Care Act (ACA) takes effect and more people will be eligible for insurance coverage, thus increasing the need for more primary care providers. It is estimated that 7,084 Shawnee county residents will be eligible for subsidized insurance plans. With an increase in insured patients, there will be an increased need for providers.

In 2012, 37.7% ofSCHA patients were uninsured. Through the HIE, the availability of insurance plans will improve insurance coverage for patients and in turn increase reimbursement opportunities for the clinic.

SCHA Business Case

Request: To create and fill one (1) Physician and one (1) Licensed Practical Nurse (LPN) position

Description of Request: SCHA-CHC continues to work to meet the needs of the uninsured and underinsured in the community. The need for increased medical providers is great and the benefit of adding a physician will support the efforts to increase the number of patients served as well as decreasing stress on system.

ROI: These positions are funded at a% of grant dollars, tax allocation, and program income. These positions will use existing 2013 approved budget dollars from funded positions and slippage from vacancies that have occurred in 2013. Going forward these positions would generate program income created by Physician seeing approximately 3,000 encounters per year that generates approximately $245,000 in billable visits that will be able to be reinvested in the clinic to expand services such as dental, vision, etc. as part of the 330 grant program which will require hiring providers for these services and purchasing related equipment. The program income earned above cost can then be used to assist in covering increasing annual costs of operations due to salaries and other associated business expenses that will help maintain level funding. Visit revenue based on 2012 data: 48% uninsured = $70,325 27% Medicaid= $280,314 13% Medicare= $57,450 10% private insurance = $35,280 TOTAL POTENTIAL GROSS REVENUE= $443,369 TOTAL POTENTIAL NET REVENUE= $245,000 Net revenue takes into account write off and slidina fee amount.

1. Increase revenue by increasing the number of patients that can be seen. Increase in revenue 2. Decrease the wait time by 1 week for current patients who need an appointment to improve patient health and well being. 3. Increase the number of new patients to continue to assist the health needs of our community who are underserved. Estimated 2,300 patients which is an average of 3,000 new encounters. 4. Increase revenues to better support our clinics service expansion needs as part of our grant expectations (i.e. dental services). 5. Increased access to Meaningful Use funding for electronic health record utilization and reporting in the amount of approximately $46,000. 6. Addition of board certified provider increases perception of quality care by patients. 7. Costs associated with adding provider are incorporated in revenue and grants funds including malpractice insurance, CME 8. Interest has been expressed by two very well qualified physicians. Both with experience in community health center settings. Typical cost to recruit for through a placement agency is $28,000-30,000. 9. Better able to serve patients timely with scheduling patients which improves access and customer service.

1. Patients continue to wait on average 2-3 weeks to get an appointment. 2. We are unable to accept new patients and the community is in need of more access to care due to Marian Clinic not accepting new patients. 3. It will be more difficult to meet 330 grant requirements of expansion as we need to generate more income in order to expand and add additional services. 4. Decreased employee satisfaction and stress results in loss of key staff. 5. If turnover occurs, patients will not have continuity of care and possible longer wait times due to turnover. 6. If turnover occurs and we cannot quickly fill provider position we potentially may not meet 330 grant requirements that will negatively impact or decrease future funding.

1. Analyzed average patient load per provider to determine potential program income that could be earned to aid in covering cost of positions along with grant dollar, patient revenue and tax allocation. 2. Analyzed patient wait times to get an appointment and reviewed surveys to determine biggest complaints of customers which was access to care in a reasonable amount of time. 3. Fulfilling our mission to serve the health needs of the underserved community. Anticipation of more individuals with access to healthcare through Affordable Care Act continued implementation. 4. Analyzed type of positions needed to refill to meet the community needs at the most economic cost. A Physician's position best fills the needs vs. a PA/APRN for the following reasons:

-increases capacity of primary care physicians within the community.

-works to improve the primary care provider to patient ratio in SNCO as noted in community health assessment findings.

5. Retirement eligibility of current provider staff has been reviewed and a provider is currently eligible for retirement. The length of time to fill a vacancy with a well qualified applicant is 12-18 months. With addition of physician, the anticipated vacancy would not be as impactful on patients and staff. 6. Improves physician to mid-level ratio, thus providing increasing collaboration between providers in addressing patient needs.

1.12 Conflict of Interest: The vendor shall not knowingly employ, during the period of this contract or any extension·$ to it, any professional personnel who are also in the employ of the Shawnee County Sheriff's Office and who are providing services involving this contract or services similar in nature to the scope of this contract to the Shawnee County Sheriff's Office. Furthermore, the vendor shall not knowingly employ, during the period of. this contract or any extensions to it, any Shawnee County Sheriff's Office emplqyee who has par:ticipated in the making of this contract until at least one year after his/her termination of employment with the Shawnee County Sheriff's Office. duration of this agreem~nt and provide monthly email statements indicating the dollar amount spent on service and the total dollar amount left at the time of the email. If the total of service calls during the agreement period is less than the amount paid minus the Software Agreement cost, Shawnee County Sheriff Office will be credited the difference for the purchase of new product. If the cost is greater than the contact amount minus the Software Agreement cost, Shawnee County Sheriff's Office Will owe no additional funds.

System critical problems are problems that would prevent the system from performing its intended function (i.e. inability to communicate alarm signals, an electronically controlled .door that will not lock, etc.). System nmi;critical problem are problems that will not prevent normal operation (i.e. low batteries, an alarrii zone that can be bypassed, etc.). Twenty-four hour and seventy-two hour guarantees do not ~uarantee that the problems can be repaired in this time frame, but rather that we will be on ~~te within this time to determine what problems exist, and make repairs as soon as possible (notmally on the same trip) .

The original term of this warranty/service agreement shall be for (12) full calendar months after the date on this agreem~nt and will automatically continue for successive one (1 )­year periods from the last day of the original term unless either party gives the other at least thirty (3 0) days prior written notice of its intention to cancel the agreement at the end of the original term or at the end of any ren~wal term. Action Requested: Cancel Shawnee County Contract C64-2013 with Patricia Shaughnessy that provided for intermittent coding responsibilities for the Shawnee County Health Agency (SCHA).

On January 28, 2013, the Board of Commissioners approved Shawnee County Contract C64-2013 with Patricia Shaughnessy to provide intermittent coding duties until a full­time medical coder could be hired by SCHA.

On April 15, 2013, Patricia Shaughnessy was hired on a full-time basis to fill the open Medical Coding Specialist position at SCHA. The need for the intermittent contract no longer exists and SCHA requests that it be cancelled.

WHEREAS, the County is desirous of contracting with Contractor for the purpose of providing

intermittent services to function as the Coding Specialist for the Shawnee County Health Agency; and

WHEREAS, Contractor is desirous of providing said services as an intemtittent Coding

Specialist for the Shawnee County Health Agency;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties

agree as follows:

1. Contractor agrees to respond to requests for coding work within 24-hours of any request made by

telephone and/or email notification.

2. Contractor agrees to complete the coding of encounters within 48-hours of request being made.

3. The time and location of the delivery of the professional servi~es shall be by mutual agreement

between Contractor and County. It is agreed that the Contractor shall complete all coding at the

Shawnee County Health Agency facilities in order to ensure the safety and security of protected

health information or through the secure, remote access of the system via established mecltanism

coordinated with Shawnee County Information Technology.

4. The County will provide appropriate equipment for use by the Contractor. Such equipment shall

remain property of the Health Agency.

5. Contractor shall be responsible for:

Reviewing encounters and medical chart documentation to identify and document appropriate

CPT and ICD-9 codes for services provided.

Providing coded medical encounters to the business office for the purpose of billing

appropriate insurance carriers and/or clients.

• Participating in meetings as required to meet contract obligations. Some meetings may be

designated as appropriate for conference call participation.

6. In perfmming services under the tenns and conditions of this contract, the Contractor will comply

with all laws, public health regulations, grant agreements, and Shawnee County rules and ---------- -

regulations that govern the operation of the Shawnee County Health Agency. Contractor

specifically agrees not to discriminate against persons served or employed by the County on the

basis of race, age, creed, gender, national origin, or disability.

7. The Contractor shall furnish written verification of health status per Shawnee County Health

Agency policy, inchiding current"tuberculin skin test (annually), to the County.

8. Contractor is expected to work twenty (20) hours per· week. The County shall pay Contractor the

sum of Twenty-two and No/1 00 Dollars ($22.00) per hour for services provided.

9. The County may authorize the Contractor to provide additional services/activities, in addition to

what has been initially scheduled, when in the opinion of the County, such services/activities are

needed to maintain the work flow of coding encounters.

In the event the Contractor is requested to provide additional services by the County, the County

shall pay the Contractor for the hours worked at the agreed upon rate of pay. The Contractor is

not eligible to accrue sick or vacation leave.

The County shall not be liable for payment for any services conducted by the Contractor not

specifically authorized by the County.

10. This agreement shall become effective on the date approved by County and the Contractor. It is

specifically agt'eed by the parties hereto that County and/or Contractor retain the right to

tenninate this agreement unilaterally with ten days ( 1 0) written notice to the other party.

11. In no event should this engagement be intended or determined to constitute an

employee/employer relationship. Contractor is an independent contractor, not a County

employee. County and Contractor shall be separate contractual parties and Contractor shall be

responsible for its own tax liability and related issues and legal obligations. Contractor shall

accrue no benefits for such service position. Contractor warrants that he/she understands these

tenns and has had ample opportunity to have any questions regarding this relationship answered

prior to entering into this contract.

3. TERMINATION DUE TO LACK OF FUNDING APPROPRIATION_ Shawnee County is subject to the Kansas Cash Basis Law, KSA 10·1101 et seq. If, in the judgment of the Financial Administrator, Audit-Finance Office, sufficient funds are not appropriated to continue the function performed in this agreement and for the payment of the charges hereunder, County may terminate this agreement at the end of its current fiscal year. County agrees to give written notice of termination to contractor at least thirty (30) days prior to the end of its current fiscal year. Contractor shall have the right, at the end of such fiscal year, to take possession of any of conttactor's equipment, leased or otherwise, provided to County under the contract. County will pay to the contractor all regular contractual payments incurred through the end of such fiscal year, plus contractual charges incidental to the rctum ofany such equipment. Upon termination of the agreement by County, title to and possession of any equipment purchased by the County under the contract, but not fully paid for, shall revert to contractor at the end of County's current fiscal year. The termination of the contract pursuant to this paragraph shall not cause any penalty to be charged to the County or the contractor.

4. DISCLAJMBR OF LIABILITY. Neither the County of Shawnee nor any department thereof shall hold harmless or indemnit.y any contractor for any liability whatsoever.

5. ANTI·DISCRil'!llNAT!ON CLAUSE. The contractor agrees: (a) to comply with the Kansas Act Against Discrimination (KS.A- 44-1001 e1 seq_) and the Kansas Age Discrimination in Employment Act, (K.S.A- 44-1111 et seq.) and the applicable provisions of the Americans With Disabilities Act (42 U.S.C. 12101 et seq-) [ADA] and to not discriminate against any person because of race, religion, color, sex, disability, national origin or ancesll}', or age in the admission of access to or treatment or employment in, its programs or activities; (b) to include in all solicitations or advertisements for employees, the phrase "equal opportunity employer"; (c) to comply with the reporting requirements set out in KS.A 44-1031 and K_S-A 44-1116; (d) to include those provisions in every subcontract or purchase order so that they arc binding upon such subcontractor or vendor, (e) that a failme to comply with the reporting requirements of(c) above or if the contractor is found guilty of any violation of such acts by the Kansas Human Rights Commission, such violation shall constitute a breach of contract; (f) if the conttacling agency determines that the contractor has violated applicable provisions of ADA, that violation shall constitute a breach of contract; (g) if (c) or (f) occurs, the contract may be cancelled, terminated or suspended in whole or in part by the County_ Parties to this contract understand that subsections (b) through (c) of this paragraph number 5 life not applicable to a contractor who employs fewer than four employees or whose contract with the County totals $5,000 or less during this fiscal year.

WHEREAS, Business Associate performs ce11ain functions on behalf of and/or provides certain services that qualifies it as Health Agency's "business associate" pursuant to 42 C.P.R. §160.103; and

WHEREAS, in the perfmmance of such functions, and/or the provision of such services, Business Associate may require access to PHI (as that tetm is defined below) in Health Agency's possession, custody or control, or may create or receive PHI on behalf of Health Agency for the limited purposes identified below; and

WHEREAS, pursuant to the Federal Standat·ds for Privacy of Individually Identifiable Health Information, 42 C.P.R. Parts 160 and 164, Health Agency cannot disclose PHI to, or authorize the creation or receipt of PHI on its behalf by, Business Associate unless Health Agency obtains from Business Associate satisfactory assurances that Business Associate will property safeguard such information; and

WHEREAS, Business Associate is willing to provide such assurances to Health Agency.

NOW, THEREFORE, for good and valuable consideration, the receipt and adequacy of which are hereby acknowledged, the parties agree as follows:

1. Definitions Terms used, but not otherwise defined, in this Agreement shall have the same meaning as those terms in the Privacy Rule and the HITECH Act and its implementing guidance, rules and regulations.

a. Breach shall have the same meaning as provided in section 13400 of the HITECH Act.

b. Business Associate shall mean the Business Associate contracting to this Agreement and all of its employees, subcontractors, and agents.

c. Disclosure shall mean the release, transfer, provision of, access to, or divulging in any other manner of information outside the entity holding the information.

d. HIP AA shall mean the Health Insurance Portability and Accountability Act of 1996.

e. HITECH Act shall mean the Health Information Technology for Economic and Clinical Health Act.

f. Individual shall mean the person who is the subject of the protected health information ("PHI'') and shall include a person who qualifies as a personal

representative in accordance with 45 CFR § 164.502(g).

g. Privacy Rule shall mean the Federal Standards for Individually Identifiable Health Information at 45 C.F.R. Parts 160 and 164.

h. Protected Health Information ("PHI',) shall have the same meaning as provided in 45 C.F.R. §160.103, limited to the information created or received by Business Associate from or on behalf of Health Agency.

byHIPAA. j. Security Incident shall have the same meaning as set out in 45 CFR § 164.304. k. Security Rule shall mean the Federal Standards for the Protection of Electronic

Protected Health Infonnation set out at 45 C.F.R. Parts 160 and 164. 1. Unsecured Protected Health Information shall have the same meaning as set out in

section 13401 of the HITECH Act and any implementing guidance and/or regulations.

2. Obligations and Activities of Business Associate a. Business Associate agrees to comply with the applicable provisions of the

HITECH Act and any regulations and/or guidance issued by the Division of Health and Human Services with respect to the obligations of business associates under the HITECH Act. All requirements of the HITECH Act and all above­mentioned guidance and regulations are hereby incorporated into this agreement.

b. Business Associate agrees to not use or disclose Protected Health Information other than as permitted or required by this Agreement or as Required by Law.

c. Business Associate agrees to implement appropriate safeguards to prevent any use or disclosure of PHI other than those permitted by this Agreement. Business Associate shall implement administrative, physical and technical safeguards that reasonably and appropriately protect the confidentiality, integrity, and availability of the electronic PHI that it creates, receives, maintains, or transmits on behalf of the Shawnee County Health Agency, as required by the Security Rule, the HITECH Act, its implementing regulations and any applicable laws and/or regulations enacted in the future.

d. Business Associate agrees to enter into business associate agreements with all of its agents, including vendors or subcontractors, to whom it provides PID that is received from, created, or received by Business Associate on behalf of Health Agency. The business associate agreement with Business Associate's agents shall require Business Associate's agents to agree to the same restrictions and conditions that apply through this Agreement to Business Associate with respect to such PHI. As a result, Business Associate agrees to require all of its agents to notifY Business Associate of any breach of which the agent becomes aware as soon as the agent becomes aware of the breach and in no case longer than five business days after becoming aware of the breach. Business Associate agrees to require the agent to provide all of the information to Business Associate that Business Associate is required to provide to Health Agency, as set out below, within the same timeframe.

e. Business Associate agrees to provide access, at the request Health Agency, to Protected Health Information, including that within a Designated Record Set, to Health Agency or, as directed by Health Agency, to an Individual in the time and

manner sufficient to meet the requirements of 45 C.F.R. § 164.524. Business Associated agrees to make such PHI available in an electronic fmmat where required by the IDTECH Act.

f. Business Associate agrees to make PHI, including that within a designated record set, available for amendment and to incorporate any amendments or colTections to PHI, including that within a Designated Record Set, at the written request of

g. Business Associate agrees to make its intemal practices, books, and records relating to its uses and disclosures of PHI received from, or created or received by Business Associate on behalf of Health Agency available to Health Agency and/or the Secretary, upon request, for purposes of determining compliance with applicable law and/or this Agreement.

h. Business Associate agrees to document such disclosw·es of Protected Health Information and information related to such disclosures as would be required for Health Agency to respond to a request by an Individual for an accounting of disclosures of Protected Health Information in accordance with 45 C.F.R. §164.528. Business Associate agrees to provide such accounting to Health Agency in a time and manner sufficient for Health Agency to respond to a request by an Individual for the accounting in accordance with 45 C.F.R. §164.528. Where required by the HITECH Act and/or any implementing regulations, Business Associate will make its accountings available to an individual upon such individual's request. Business Associate also agrees to provide any additional information as may be required by the HITECH Act and/or its implementing regulations. Business Associate will maintain the Accounting with respect to each disclosure for at least six years following the date of the disclosure unless the HITECH Act and/or its implementing regulations or any other law require a longer retention period, in which case the longer retention period will be followed by Business Associate.

i. Business Associate agrees that when using, disclosing or requesting PHI from or on behalf of Health Agency, it shall use a Limited Data Set, if practicable and where required by the IDTECH Act and/or its implementing regulations. In all other circumstances, the Business Associate shall follow the minimum necessary standard set out in 45 C.F.R. § 164.502(b), as if it were a covered entity.

j. Business Associate shall notify Health Agency in writing of any use or disclosure of PHI that is contrat'Y to the te1ms of this Agreement of which Business Associate becomes aware, and of any Security Incident ofwhich Business Associate becomes aware, within five business days of having become aware of such disclosure or incident. Business Associate further agrees to mitigate any harmful effect that is known to the Business Associate resulting from the unauthorized use or disclosure, and/or incident. If it is unclear whether a certain disclosure constitutes a breach, Health Agency shall have final say in determining whether a breach occun·ed and Business Associate agrees to abide by Health Agency's determination. Business Associate agrees to keep all documentation regarding the potential breach for at least 6 years unless other law requir~s a

longer retention period, in which case the longer retention period will be followed.

k. Business Associate agrees to follow the Interim Rule on Breach Notification and any other breach notification laws, rules or regulations currently in place or enacted in the future. Should a breach occur by either Business Associate or any of its agents, Business Associate agrees to cooperate with Health Agency in

Business Associate further agrees to provide all of the following information to Health Agency within 5 business days after becoming aware of the breach. If any of the information is not available to Business Associate before the 5 day time limit, Business Associate will provide the missing infonnation to Health Agency as soon as it becomes available.

i. The number of individuals affected by the breach; ii. the identification of every individual affected by the breach;

iii. the date of the breach and the date of its discovery; iv. a description of the breach; v. a description of the types of information that were involved in the breach;

vi. the identification of the individual who made the unauthorized disclosure; vii. the identification of the individual who received the unauthorized

disclosure; viii. the steps affected individuals should take to protect themselves from

potential harm; ix. a description of what Business Associate or its agent is doing to

investigate the breach, mitigate the harm, and prevent further breaches x. contact information for someone who is able to provide infotmation about

the breach and answer questions about the breach on behalf of Business Associate or its agent;

l. Business Associate agrees not to receive any direct or indirect remuneration in exchange for any PHI of any Individual, except where allowed by HIP AA, the HITECH Act, and by Business Associate's underlying agreement with Health Agency.

3. Pe1mitted Uses and Disclosures by Business Associate. a. Business Associate shall not disclose PHI to a third party unless the following

conditions are met: i. the disclosure is required for one of the following:

1. to accomplish one or more of those purposes allowed by relevant law, provided such disclosures are required by that same law;

2. for the proper management and administration of Business Associate in accordance with applicable law; or

3. to cany out any of the legal responsibilities of the Business Associate, provided such disclosures are required by law;

ii. the disclosure is made to one of the following: 1. to an agent or subcontractor with which Business Associate has

entered into a written agreement that (a) requires the agent or subcontractor to safeguard PHI under conditions consistent with

and providing at least as much protection for the PHI as this Agreement, including, but not limited to, provisions requiring the agent or subcontractor to promptly notify Business Associate of any unauthol'ized use or disclosure of PHI; (b) includes a provision stating that the agent or subcontractor shall not be deemed to have an ownership interest in PHI; and (c) requires the agent or

2. to a person or entity to which Business Associate has a legal obligation to disclose Pill, provided that Business Associate give Health Agency prior written notice and an opp01tunity to intervene, unless Business Associate is prohibited from giving such notice by order of a court of competent jurisdiction; or

3. to a person or entity to which Health Agency and Business Associate are petmitted to disclose PHI under the Privacy Rule, the HITECH Act and any other applicable law, but only after full compliance with any specified conditions, obligations, and/or limitations thereunder.

b. Notwithstanding the foregoing, Business Associate shall not use or disclose PHI in violation of any instructions as Health Agency may provide from time to time, nor in any manner that is otherwise prohibited throughout the rest of this Agreement.

c. Business Associate agrees to allow, upon request, Health Agency to inspect any and all of its records and to perform an audit of Business Associate to ensure that Business Associate is operating in compliance with this Agreement, although Health Agency is under no obligation to perform such audit.

4. Obligations of Health Agency a. Health Agency shall notify Business Associate of any limitation(s) in its notice of

privacy practices of Health Agency in accordance with 45 CFR § 164.520, to the extent that such limitation may affect Business Associate's use or disclosure of Protected Health Information.

b. Health Agency shall notify Business Associate of any restriction to the use or disclosure of Protected Health Information that Health Agency has agreed to in accordance with 45 CFR § 164.522, to the extent that such restiiction may affect Business Associate's use or disclosure of Protected Health Infonnation.

5. Miscellaneous a. Tenn of Agreement

i. This Agreement shall become effective on the date it is fully executed, and shall continue in effect so long as Business Associate continues to perfmms certain functions on behalf of and/or provides certain services that qualifies it as Health Agency's "business associate" pursuant to 42 C.F.R. § 160.103, unless terminated as provided below, provided, however, certain provisions and requirements of this Agreement shall

survive its expiration or other termination in accordance with the survival provisions below.

b. Termination of Agreement i. A breach by Business Associate of any provision of this Agreement, as

determined by Health Agency, shall constitute a material breach of this Agreement and any other agreement or business relationship between

ii. Health Agency, may, at its discretion, allow Business Associate an opportunity to cure the breach within a time set by Health Agency.

iii. If Health Agency determines that neither cure of the breach or termination of this Agreement is feasible, Health Agency may continue the Agreement, but require Business Associate to take immediate action to mitigate the potential damage from the breach and to enact appropriate safeguards to prevent further breach.

iv. Upon termination of this Agreement for any reason, Business Associate shall retum or destroy all PHI received from, or created or received by Business Associate or its agents and subcontractors on behalf of, Health Agency that Business Associate has maintained in any form, and shall retain no copies of such PHI. This includes any PHI that is in the possession of Business Associate's employees, subcontractors or other agents. Business Associate and its agents shall not retain copies of any PHI. If return or destruction of the PHI is not feasible, Business Associate shall notify Health Agency in writing as to the conditions that make return or destruction not feasible, and upon Health Agency's confirmation of the same, continue to extend the protections of thls Agreement to such PHI, and limit its use or disclosure of such PHI to those purposes that make the retum or destmction of such PHI infeasible for such time as the cause of the infeasibility exists.

c. Indemnification i. The Business Associate agrees to indemnify, defend, and hold harmless

Health Agency and its employees, directors, officers, subcontractors, agents or other members of its workforce (each an "Indemnified Party") against all actual and direct losses suffered by the Indemnified Party and all liability to third parties, including fines, arising out of or in connection with any breach ofthisAgreement or from any negligence or wrongful acts or omissions, including failure to perform its obligations under the Privacy Rule, the HITECH Act and its implementing regulations, by the Party providing indemnification (the "Indemnifying Party") or its employees, directors, officers, subcontractors, agents or other members of its workforce. Accordingly, on demand, the Indemnifying Party shall reimburse any Indemnified Party for any and all actual and direct losses, liabilities, lost profits, fmes, penalties, costs or expenses (including reasonable attomey's fees) which may be imposed upon any Indemnified

Party by reason of any suit, claim, action, proceeding or demand by any third party resulting from the Indemnifying Party's breach under this Agreement.

d. Survival i. The respective rights and obligations of Business Associate and Health

of this Agreement indefinitely. e. Amendment and Waiver

i. This Agreement may not be modified, nor shall any provision be waived or amended, except in a writing duly signed by authorized representatives of the parties. A waiver with respect to one event shall not be construed as continuing, or as a bar to or waiver of any right or remedy as to subsequent events. The parties agree in good faith to amend this Agreement to cause it to conform to the requirements of the Privacy Regulations, the HITECH Act, or other provision of law.

f. No Third Party Beneficiaries i. Nothing express or implied in this Agreement is intended to confer, nor

shall anything herein confer, upon any person other than the Parties and the respective successors or assigns of the Parties, any rights, remedies, obligations, or liabilities whatsoever.

g. Notices i. Any notices to be given hereunder to a Party shall be made via U.S. Mail,

express courier, and/or facsimile to the address or facsimile number given below.

h. Counterparts and Facsimiles i. This Agreement may be executed in any number of counterparts, each of

· which shall be deemed an original. Facsimile copies hereof shall be deemed to be originals.

i. Injunctive Relief · i. Notwithstanding any rights or remedies provided for in this Agreement,

Health Agency retains all rights to seek injunctive relief to prevent or stop the unauthorized use and/or disclosure of PHI by Business Associate or any third patiy that received PHI from Business Associate.

j. Supersession i. This Agreement shall control over any conflicting terms in the Business

Associate's underlying agt·eement or any other agreement. This Agreement supersedes all prior business associate agreements between the parties. Any ambiguity in this or any other agreement shall be construed in a manner that allows Business Associate and Health Agency to comply with the Privacy Rule, Security Rule, the HITECH Act and all other applicable laws, rules and regulations.

k. Assignment i. Neither Business Associate or Health Agency shall assign any of its rights

or obligations under this Agreement without written consent from the other party.

1. Choice of Law i. It is agreed by and between the undersigned that all disputes and matters

whatsoever arising under, in connection with or incident to this contract shall be litigated, if at all, in and before a Court located in the State of Kansas, U.S.A., to the exclusion of the Courts of any other states or country. All contractual agreements shall be subject to, governed by, and

o. Arbitration, Damages & Warranties i. Notwithstanding any language to the contrary, no interpretation shall be

allowed to find Health Agency has agreed to binding arbitration, or the payment of damages or penalties upon the occurrence of a contingency. Further, Health Agency shall not agree to pay attomey fees and late payment charges; and no provisions will be given effect which attempts to

exclude, modify, disclaim or otherwise attempt to limit implied watTanties of merchantability and fitness fm· a particular purpose.

p. Insurance i. Health Agency shall not be required to purchase any insurance against loss

or damage to which this contract relates, nor shall this contract require the County to establish a "self-insurance" fund to protect against any such loss

Action requested: Approval to sign a contract with Patricia Shaughnessy, CPC, for the purpose of intermittent certified coding services for the Shawnee County Health Agency (SCHA) until vacant positions are filled.

The major responsibilities include:

• Reviewing encounters generated from clinical visits to ensure accurate billing.

• Ensuring accuracy of coding and appropriate level of documentation. Working closely with "providers as needed for clarification.

The position will be paid a rate of$22.00 per hour.

Announcement of Meeting: Jim Ogle, Chair called the meeting to order. Members Present: Dwane Kratochvil, Brett Oetting, Doug Reynolds, Danielle Kruse Thoele, Dave Jackson, L.J. Polly, Jim Ogle, Martin Weishaar, Richard Price, Kevin Rooney, Brian Austin, John Knight Members Absent: Howard Blackmon, Cassandra Taylor, J.R. Approval of Minutes: Chair presents March 20, 20I3 advisory board minutes for approval and asks if there are any adjustments or corrections needed.

New Business: Update on Master Planning Services

Mr. Knight thanks the members of the board that assisted with drafting and reviewing the RFPs, participated in the interview panel and narrowed down the final candidates.

After the last commission meeting, it was approved to split the proposed $IIO,OOO with $50,000 coming from the general fund and the Foundation funding the remaining $60,000. This will be an important plan for Shawnee County for the next I O-I5 years. Once the contract is approved by the County Commissioners the target start date is June I, 2013. Mr. Knight distributes a tentative schedule for the master plan to the board which includes tasks and anticipated start and completion dates. He states that this is not a complete, all-encompassing list and that the finished product should reflect the entire community.

Mr. Reynolds asks who was awarded the contract for the master planning. Mr. Knight informs the board that the contract was awarded to Pros Consulting. They are a firm out of Indianapolis but do have offices in the Kansas City and Topeka areas.

Mr. Ogle asks for a recommendation of acceptance or rejection on the master plan and asks the board for a motion. The recommendation to accept is approved and the motion is passed.

Operational Analysis - Golf Course Division

Mr. Knight informs the board that the County Commissioners asked him to provide them with a "white paper" pertaining to the golf course division, and specifically, whether we should be in the golf business. The operational analysis for the Golf Course Division was provided to the board as part of the agenda, and Mr. Knight points out that the golf division is able to recover 85% of its expenses through user fees.

Mr. Weishaar asks about the 85% and confirms that 85% of the costs are recovered through user fees and ifthis percentage is consistent for golf courses. Mr. Knight states that based on the privately owned public courses that were looked at, those courses are struggling to reach this percentage.

Mr. Reynolds would like to know why the commissioners are asking these types of questions so soon after the merger if the golf division is recovering 85% of monies spent. Mr. Knight feels that these concerns were raised when funds were requested for golf equipment; however, since this analysis the commissioners have approved the equipment requests.

Mr. Jackson comments that the commissioners asked a good question to protect the tax-payers' interests.

Mr. Reynolds states that he would like to compliment Mr. Knight for such a thorough and professional report. Mr. Jackson would like to second Mr. Reynolds' and moves that the board commend Mr. Knight for such a complete and thorough report. Board approves the motion.

Annual Report- 2012

As an agenda item, the board received the Parks and Recreation 2012 annual report, which is also available on the Shawnee County Parks and Recreation website. Mr. Knight informs the board that the Foundation is having its inaugural annual meeting Saturday, April20, 2013, to which all board members are welcome to attend. The annual report will be made available to the general public at the meeting and is also handed out to any speaking group that the Parks and Recreation directors attend.

In reviewing the yearly budgets, Mr. Knight informs the board that the $15 million budget for 2013 not only includes Parks and Recreation, but is now combined with the Westlawn Memorial Cemetery and facility maintenance, which includes the courthouse and north annex with no additional funds. He compares the 2010 Parks and Recreation budget, which was $18 million, with the 2013 budget, showing a reduction in funding along with additional growth.

Mr. Austin asks what types of things the Foundation funds. Mr. Knight explains that there are two funds that make up the Foundation: one is an endowment fund and the other is from special events whose monies that are raised by or through groups like Friends of Ted Ensley Gardens, Friends of Dornwood, etc. All money raised by these groups is put back into those programs. He states that most of the funds coming into the Foundation are private dollars, but that there is a small amount that comes from corporate dollars. The funds from both the City and County Foundations have also been combined into one Foundation fund.

Mr. Reynolds appreciates the report and feels that it is good.

Crestview Pool

Mr. Knight informs the board that we were forced into the decision to close Crestview Pool due to repair costs. The water was going out as fast as it was going in to the pool. He comments that Parks and Recreation is aware that the Passport to Adventure camp uses Crestview pool during the summer; however, there are plans for campers to go to other aquatic centers during camp. He also states that hopefully the master plan will produce information as to the pool situation in that area; do we need one there; how big should it be; does it meet the community needs, etc.

Mr. Jackson asks about the pool being in the flood plain and couldn't something be built up to protect the pool if repaired. Mr. Bertels explains that it isn't just in the flood plain but in the flood way and that it would not be the right place for a new pool or to repair the pool based on currently required pool specifications. We will need experts to work with us to help determine the right place to build a pool.

Mr. Rooney asks about the Crestview Community Center being in the flood plain. Mr. Bertels states that the community center is also in the flood plain, but that the building is in pretty good condition. It just isn't in the right place.

Mr. Price asks about the life of the community center. Mr. Bertels explains that since the pool was in need of drastic repairs that is why the closure decision was made.

Mr. Rooney asks about transportation services for the neighborhood children to other aquatic centers due to the closure. Mr. Luebbe informs the board that Lynn Bishop, supervisor, has been talking with the Topeka Metro Transit Authority regarding transportation services for the neighborhood residents.

Division Reports Recreation -Randy Luebbe

Mr. Luebbe distributes the new Parks and Recreation summer catalog to the board. He states that they are also planning a ribbon-cutting ceremony for the computer labs from our partnership with the Topeka & Shawnee Public Library on May 15,2013 at Central Park Community Center at 10a.m. The computers are being installed in the community centers.

He informs the board that over the coming months he will be introducing one of his staff to present his or her facilities and programs to the board. He then introduces Olivia Mayer, supervisor, who oversees the Velma K. Paris Community Center, along with Dover and Auburn recreation programming.

Ms. Mayer informs the board that the Velma K. Paris Center is in the· Montara neighborhood, and they currently run a before- and after-school program. The before-school program consists of 30 children and the after-school program consists of 50 children. The center also works with Pauline South and Pauline Central schools and has participated in their Health and Wellness Nights as well as their Family Nights. She states that they are getting ready for summer; Teen Camp, based at Lake Shawnee, is already half full, and the South Summer Adventure Camp, which has 260 camp openings, completely filled within just an hour and half of opening registration. She hopes to expand the program and host more children in the future. The Dover Viking Camp is almost full at this time and summer staff has been hired and are busy training for the season. They are also involved in a community garden and work with master gardeners who work with the after-school and summer camp programs. Some of the larger events they recently hosted were the Daddy & Daughter Date Night (Attendance: 110 the first session, 115 the second

session), Mother & Son Date Night (120 attended), the Halloween Spooktacular and Pumpkin Derby, Breakfast With Santa, Visit to the North Pole, Polar Express and three Easter egg hunts. Radio Disney did a safety fair at eight community centers nationwide and Velma K. Paris Community Center was one of the chosen few.

Parks- Terry Bertels

Mr. Bertels tells the board that the second annual Lake Shawnee water quality meeting was held April11, 2013 and had speakers who addressed the water quality issue at Lake Shawnee and how participants can improve it. The event went well, with over 100 people in attendance, and volunteers have been identified to help improve the lake's water quality.

Grounds maintenance now has enough part-time help hired to start mowing parks and have begun to do so. Horticulture staff is waiting for the tulips to bloom. Construction on the tea house has begun, but the weather has hindered its progress.

Athletics and aquatics is still busy getting the pools ready for the season, with the exception of Crestview. The painting of Blaisdell is nearly done and will be nice when completed.

The weather is also affecting the softball/baseball leagues, but we have hosted a number of successful tournaments thus far.

Fleet has completed the 2013 vehicle purchases and they have been assigned. The recommendation for mower purchases has been submitted to Mr. Knight.

Facilities/maintenance is keeping up with the community centers to keep them up and running for the upcoming summer season.

Ms. Kruse asks about the Domwood fields. Mr. Bertels states that the project is on hold, and that the boys and girls leagues have been informed that all of their fields will be available for the season.

Mr. Ogle asks Mr. Bertels what revenue is assigned to the Parks division. Mr. Bertels responds shelter revenues.

Mr. Ogle then asks what revenue is assigned to the Park Police division. Mr. Knight states the campground revenue.

Mr. Knight commends the Parks division staff for the tremendous amount of work that was completed at the Helen Hocker Theater and states that the ribbon-cutting ceremony had a great turn out.

Golf- Kerry Golden

Mr. Golden states that last week aeration was completed on all three golf courses. The staff did a great job with that project. Staff is now looking into fertilization schedules and is also mowing the greens every other day.

Lake Shawnee Golf Course has 12 events booked in the month ofMay and six ofthose events have at least 100 participants. At Cypress Ridge Golf Course there are 16 events booked and five ofthose events have 100 participants.

The golf equipment and the Lake Shawnee irrigation pump purchases have been approved. He commends Mr. Knight on the "white paper" report for the Golf Course Division.

Park Police - Mike Cope

Mr. Cope states that the campground is staffed and has been accepting reservations since April I, 2013. Staff was quite busy for the first couple of days due to the demand for reservations during the summer holidays.

After I2 years, the Park Police staff received new vehicles.

The water has been turned on at the campground for the summer season and he commends the Parks staff for their help in getting the campground ready.

Additional part-time staff is being hired to monitor the park system.

Mr. Weishaar states that the Long-Range Planning Committee is on stand-by to assist Mr. Knight with moving forward with the master plan.

Mr. Austin states that the Friends ofDomwood is hosting Operation Re-pitch on April20, 2013 at Domwood Park. The purpose of the event is to recycle used sports equipment for children at Domwood. He asks that if anyone wants to donate anything to the event that they bring it out to Domwood between I Oa.m - I p.m.

Mr. Reynolds would like to commend Teri Simpson for her work on the summer catalog.

Mr. Jackson states that the North Topeka Historic Neighborhood has received a long-term grant and that a number of people mentioned that a children's park is needed closer to the river.

Mr. Ogle would like to note that the City Council, the mayor and city managers are holding a neighborhood summit on April20, 20I3 from IOa.m- noon at the Ramada Inn ballroom, which is a community development effort.

Mr. Ogle would also like to commend the Parks stafffor all of their hard work at the Helen Hocker Theater.

Mr. Ogle states that the Women's fund of the Topeka Community Foundation has given a grant of $10,000 for the start-up costs, development of programs and hiring of counselors; to offer theater programs at community centers in order to have theater programs and participation opportunities available close to where the neighborhood children live. We are excited and appreciative of the Women's fund for that grant as part of the public/private partnership that is associated with it.

COMES NOW the Plaintiff, 66 Federal Credit Union, and for its cause action against the

Defendants and or each of them, states as follows:

1. 66 Federal Credit Union is and was at all times hereinafter mentioned, a credit union,

duly organized and existing according to law.

2. Defendants Patrick E. Mar ham and Barbara J. Markham, (hereinafter "Defendants"),

are the record title holders of the real property hereinafter described, subject to the mortgages, liens

and encumbrances hereinafter mentioned.

3. On or about October 25, 2004, Defendants did, for valuable consideration, execute

and deliver to 66 Federal Credit Union, a Promissory Note (hereinafter the "Note"). A copy of

said Note is attached hereto, made a part hereof, and marked Plaintiffs "Exhibit A".

4. To secure the obligations arising out of the Note, Defendants executed a Mortgage

dated October 25, 2004, by which they mortgaged to 66 Federal Credit Union all of the following

COMES NOW, Plaintiff, Bank of America, N.A., and for its cause of action against the

Defendants states as follows:

1. Plaintiff is a corporation duly organized and existing by virtue of law.

2. Venue is proper in this District by way of the subject matter, i.e., the foreclosure of a mortgage on

certain real estate located in the County of Shawnee, State of Kansas.

The Director of Parks and Recreation Department or designee may cancel a class, workshop, event, or services to be rendered under this agreement due to inclement weather. Either Party may terminate this agreement by providing 48 hours notice to the other party.

6. Contractor agrees that entertainers are allowed one 10 minute break during each one our played.

7. County shall not be required to purchase any insurance against loss or damage to any personal property of Contractor. Subject to the provisions of the Kansas Tort Claims Act (K.S.A. 75-6101 et seq.), the contractor shall bear the risk of any loss or damage to personal property of Contractor.

8. County assumes no liability for the acts of Contractor during the times the contractor is fulfilling this contract, and except for those liabilities covered by insurance policies otherwise maintained through the County, the Contractor shall hold the County harmless for any negligent or intentional acts or omissions preformed by the Contractor. Nothing contained herein shall be construed to hold Contractor in any capacity with the County other than that of an independent contractor.

9. Contractor agrees to not unlawfully discriminate against any person because of race, religion, creed, color, age, sex, disability, national origin or ancestry in the admission or access to, or treatment in any programs, activities, or events.

10. Contractor agrees to the following: a. Contractor shall comply with all state and federal laws, City of Topeka ordinances, Shawnee County

resolutions, rules and regulations, and any applicable County and Department of Parks and Recreation

policies.

b. Contractor shall also comply with the County's commitment to compliance with the Americans with Disabilities Act (ADA) of 1990. In the event that special accommodations are needed for an individual involved in the class or service being provided, the contractor will contact the program director for additional information.

11. Contractor agrees that absolutely no alcohol or unlawful drugs are allowed on the premises.

12. Contractors for youth activities up to and including the age of 15 years will be responsible for following the Department of Parks and Recreation Pick-up Policy which requires that the Contractor remain on site until all youth are picked up.

13. Contractor agrees to admit only performing members to programs. Friends or relatives may attend specified programs only if certified as chaperons by the program director.

14. Contractor agrees that this agreement shall not be assigned to any other person or entity without the prior written

approval of the County.

15. The parties agree that this is the entire agreement of the parties, supersedes any and all prior agreements and neither party shall rely upon any verbal representations, either express or implied not specifically stated in this agreement. The parties agree that this agreement shall not be amended or modified except by written agreement of both parties.

This contract shall not be considered accepted, approved or otherwise effective until the legally required signatures and

approvals have been given.

Once the agreement is fully executed, the original will be filed with the County Clerk, one (1) photo copy will be mailed to the contractor and each of the following will be provided a copy: the Parks and Recreation Director, and the originating staff member.

Following a public hearing, this resolution authorizes the issuance of Shawnee County, Kansas Health Care Facilities Refunding Revenue Bonds, Series 2013 in the estimated aggregate principal amount of $3,955,000 (Midland Care Connection, Inc. Project) (the "2013 Bonds") and the execution of a Trust Indenture and Lease Purchase Agreement, together with related documents. The 2013 Bond proceeds will be used to pay and redeem all of the County's Health Care Facilities Improvement and Refunding Bonds, Series 2009 (Midland Care Connection, Inc. Project) (the "2009 Bonds") thereby fulfilling and defeasing the underlying 2009 Bond covenants and effectuating a cost savings to Midland's debt service requirements.

The 2013 Bonds, pursuant to KSA. §12-1740 et seq., (the "Act") are special limited obligations payable solely from rents and revenues due from the Midland under the Lease Purchase Agreement authorized by this Resolution. Under the Act the 2013 Bonds do not constitute a debt of the County within the meaning of any constitutional or statutory provision and are not payable in any manner from any taxation.

Whereas, the Board of County Commissioners (the "Boarq~') of Shawnee County, Kansas (the "County") may, pursuant to KSA. §§12-1740 et seq., (the "Act''), issue it$ health care facilities revenue bonds and use the proceeds therefrom to acquire improvements such as buildings, building additions, equipment, furnishings and other betterments and lease. the same to a tenant for use therefore in the delivery of health care services; and

Whereas, Midland Care Connection, Inc., ("Midland'?) is (i) a not-for-profit corporation organized under and in good standing with the laws of the State of Kansas and (ii) an . "hempt organization" in accordance with Section 501(c){3) of the Internal Revenue Code of 1986, as amended, (the "Code'') and its purpose is to provide specialized health care services to patients and their families in the preparation and management of the end of life issues; and

Whereas, the Board,, pursuant to the Act, authorized t:llesale, issuance and delivery of $4,810,000 principal amount of Shawnee County, Kansas Health Care Facilities Refunding and Improvement Revenue Bonds, Series 2009 (the· "2009 Bonds'') with (i) a portion of the proceeds of the 2009 Bonds being used to refund and ptepay prior revenue bonds to effectuate an interest cost savings and (ii) a portion of the proceeds being used to improve the certain real estate and property thereon (the ''Project'') all under a Trust Indenture and Lease Purchase Agreement each dated as of May 15, 2009, and respectively executed and delivered by and between the County and Security Bank of Kansas City, Kansas City, Kansas, (the "Trustee''), and the County and Midland; and

Whereas, MitfuJ.nd, in accordance with the Act and Section 301 of the 2009 Trust Indenture, has instructed the County to call for redemption and payment the 2009 Bonds and has requested the County issue Shawnee County, Kansas Health Care Facilities Refunding Revenue Bonds, Series 2013 (Midland Care Connection Inc. Project) (the "2013 Bonds'') to effectuate the redemption and an interest cost saving to Midland; and

Whereas, the Project is on land owned by the County and is exempt from ad valorem taxation under KSA. §79-201, Ninth; and

Whereas, the Board, pursuant to the Act, finds that the proposed refunding of the 2009 Bonds and leasing the Project to Midland would promote economic growth and jobs in the County and the state; and

Whereas, on April29, 2013 the County caused to be published in the Topeka Metro News notice that the Board would conduct a public hearing on May 16, 2013 at 9:00 AM in the Chambers of the Board concerning the Board's intent to issue of the 2013 Bonds; and

WHEREAS, the hearing was conducted as published.

NOW, THEREFORE, BE IT RESOLVED BY THE GOVERNING BODY OF SHAWNEE COUNTY, KANSAS:

Section 1. Definition ofTerms. All terms and phrases not otherwise defined herein shall have the respective meanings set forth in the Indenture and Lease as supplemented or otherwise herein authorized.

Section 2. Authority to Cause the Project to be Leased. The County has published notice of its intent to issue the 2013 Bonds (which notice was published not less than 14 days prior to this date) and conducted a hearing thereon this date, thus, the County is hereby authorized to issue the 2013 Bonds and cause the Project to be leased to Midland as more particularly described in the Indenture and the Lease hereinafter authorized.

Section 3. Authorization of and Security for the Bonds. The County is hereby authorized and directed to issue its "Shawnee County, Kansas, Hospital Refunding Revenue Bonds, Series 2013 (Midland Care Connection, Inc. Project)" in the estimated aggregate principal amount $3,955,000 for the purpose of providing funds to redeem and pay the 2009 Bonds and effectuate an interest cost saving to Midland. The 2013 Bonds shall be dated and bear interest, shall mature and be payable at such times, shall be in such forms, shall be subject to redemption and payment prior to the maturity thereof, and shall be issued in the manner prescribed and subject to the provisions, covenants and agreements set forth in the Indenture. The 2013 Bonds shall be special limited obligations of the County payable solely from the Trust Estate under the Indenture, including revenues from the Lease of the Project. The 2013 Bonds shall not be general obligations of the County, nor constitute a pledge of the faith and credit of the County and shall not be payable in any manner by taxation.

Section 4. Authorization oflndenture. The County is hereby authorized to enter into a Trust Indenture with Security Bank of Kansas City, Kansas City, Kansas dated as of May 15, 2013 (the "Indenture"). The form of such document is deemed approved as evidenced by the Chairman's execution thereof, under which the County shall pledge to the Trustee, the Trust Estate as described in the Indenture, for the benefit of the owners of the 2013 Bonds on the terms and conditions set forth in the Indenture, as supplemented.

Section 5. Lease of the Project. The County shall cause the Project to be leased to the Midland pursuant to and in accordance with the provisions of the Lease Purchase Agreement dated as of May 15, 2013, all in the form as approved by the Chairman as is evidenced by his execution thereof.

Section 6. Approval of the Guaranty Agreement. The form of the Guaranty Agreement, to be dated as of its delivery dated, pursuant to which the Midland, guarantees to the Trustee, for the benefit of the owners of the, the full and prompt payment of the principal of, redemption premium, if any, and interest on said Bonds, is hereby approved.

Section 7. Authorization of Bond Purchase Agreement. The 2013 Bonds shall be sold and delivered to Central States Capital Markets, LLC, Wichita, Kansas acting as "Underwriter" (the Purchaser") upon the terms and subject to the provisions of the Bond Purchase Agreement.

Section 8. Execution of Bonds and Bond Documents. The Chairman of the County is hereby authorized and directed to execute the 2013 Bonds and deliver them to the Trustee for authentication on behalf of, and as the act and deed of the County in the manner provided by the Act and in the Indenture.

The Chairman, or member of the County's governing body is authorized by law to exercise the powers and duties of the Chairman in the Chairman's absence, is further authorized and directed to execute and deliver the such other documents on behalf of, and as the act and deed of the County, with such corrections or amendments thereto as the Chairman or other person lawfully acting in the absence of the Chairman may approve, which approval shall be evidenced by his or her execution thereof, and such other documents, certificates and instruments as may be necessary or desirable to carry out and comply with the purposes and intent of this Resolution. The County Clerk or the Deputy County Clerk of the County is hereby authorized and directed to attest the execution of the Bonds and such other documents, certificates and instruments as may be necessary or desirable to carry out the intent of this Resolution under the County's corporate seal.

Section 9. Ad Valorem Tax Exemption. The Project is presently exempt from ad valorem taxation under KSA. §79-201, Ninth, and it is the Midland's sole responsibility to comply with any federal, state or local statutory or legal requirements to maintain such exemption.

Section 10. Pledge of the Project. The County hereby pledges the Project including the Rental Payments under the Lease to the payment of the 2013 Bonds, in accotciance with KSA. §12-1744. The lien created by such pledge shall be discharged when all ofsaid bonds shall pe deemed to have been paid within the meaning of the applicable Indenture or supplement thereto.

Section 11. Further Authority. The<officials, officers, agents ancf.(:mployees of the County are hereby authorized and directed to take such action, expend such funds and execute such other documents, certificates and instruments as may be necessary or desirable. to carry out the proyisipus of this Resolution and to carry out and perform the duties of the County with respect to the 2013 Bonds as necessary to give effect to the transactions contemplated in this Resolution.

Section 12. EffectiveDate. This Resolution shall take effect from and after its passage by the Board.

Sedion 13~ Severability. If any section, paragraph, clause.~r provision of this Resolution shall for any reason b¢ held to. be invalid or unenforceable, the invalidity or unenforceability of such section, paragraph, clause or provision shall not affect any remaining provisions of this Resolution.

With the return of the High School Rodeo Finals to the Kansas Expocentre we have received a request from the association which oversees the promotion and production of the rodeo to replace the roping chute. This chute is part of the original livestock equipment package and has been repaired and refurbished several times. In addition to the chute, this request includes the purchase of a quantity of WW proprietary 4-way connector posts needed to complete the full rodeo set-up, which not only consists of the bucking chutes in Domer Arena but also an extensive set-up to hold and sort the stock in the Exercise Area. These, too, were part of the original livestock package and due to age and use the numbers have diminished below acceptable levels.

It is important to note that although these two items are being requested to facilitate the return of the Kansas High School Rodeo this is not the only event that they will serve. The 4-way posts will be used in every livestock event held in Domer Arena and the roping chute will also be used for team roping events held in the livestock facility and for the URA Rodeo held annually in the fall. Once they are put into service they will be used for a decade or more.

Capital Expenditure Requests for May 2013

• Purchase 25 WW Livestock Systems 4-way connecting posts for the High School Rodeo set-up - This request is necessary due to the reduced number of connecting posts in our WW inventory caused by age and deterioration over the years. The High School

Rodeo requires that most all of our WW inventory be set up, and these connector posts are proprietary equipment that allow one piece of inventory to be connected to the next. They are constructed of hollow pipe and oftentimes are set-up over a common t-post for stability. The original WW equipment was here when the Expo centre opened in 1987. This request is for the purchase of 25 WW 4-way connecting posts for the amount of $1,850.00, delivered to the Kansas Expocentre.

• Purchase of one new Priefert Competition Roping Chute - This request is the result of some safety concerns from the High School Rodeo producers about the WW roping chute we have used in the past. It, too, is a part of the original livestock system with which the facility opened. The original design had a place for an operator to sit on top of the unit, and a lever for the operator to open the chute. This lever sticks up in such a way as to be a hazard for the cowboy who's about to rope a steer because it sticks up about 18" above the chute, and is in the path of most right-handed cowboy's roping arms. This design has not been the norm for the past 15 years or so. This purchase would go a long way in updating our inventory and showing support for the return of the high school rodeo finals after a three year stint in Hutchinson, Ks. This request is to purchase a Priefert Competition Roping Chute for the amount of $1,960.76, including freight.

These requests combined reach the total amount of $3,810.76. The Kansas Expocentre Capital Expenditure fund has a current balance of $54,721.24. Approval of these requests will leave a balance of $50,910.48 in the account. These items have been presented to Matt Fletcher on the Capital Expenditure Committee and he verbalized his support for these request. The Kansas Expocentre Advisory Board was also polled by e-mail on these requests through Chair Mary Thomas and received unanimous support for approval.

Request to Fill Vacant Road Maintenance Staff Position

The Shawnee County Department of Public Works (SCDPW) requests authorization to fill a recently-vacated Road Maintenance position, and any subsequent openings that may result upon the filling of this position.

This position became vacant upon the termination of an employee for violating certain requirements set forth in the Shawnee County Human Resources Policy Manual. As a result of the vacancy, one of SCDPW's road crews will be understaffed.

It is recommended that authorization be granted to the Public Works Department to fill the vacancy.

Funding for this position is included in the adopted Public Works Road Maintenance Budget (Account No. 10PW126 50101).

Per K.S.A., 39-708c, the Secretary shall have the power and duty to determine

-general policies relating to all forms of social welfare which are administered or supervised by the Secretary. The Secretary has deemed it necessary, according to the above statute, to enter into an Agreement with the Provider for child care services. The Provider wishes to enter into an Agreement with the Secretary for such services. This Agreement does not result in employment of the Provider by the State of Kansas. The Provider remains an independent business. The State of Kansas makes no guarantee regarding utilization by eligible recipients or income which may be derived from this Agreement. The parties agree as follows:

g. Comply with all applicable child care provider statutes, regulations and policies. h. Provide parent/caretaker with tax ID number or social security number and EBT identification

' number. i. Respect a family's right to privacy. The disclosure of any information for any purpose not

directly connected with the Provider's responsibilities as an SRS enrolled child care provider is prohibited except on written consent of the parent, responsible adult, or upon the order of an appropriate court.

j. Providers authorize the use of their social security numbers in administration of SRS programs.

k. Abide by SRS Policy Statement of Discipline (see page 7). I. Providers are required to comply with all applicable State and Federal laws, statutes, and

regulations, such as, but not limited to, provision of the Americans With Disabilities Act. m. Use an SRS approved, written agreement with parents outlining rules and payment policies. If

payment policies are· changed, advise SRS provider enrollment staff for their approval. Provide parents with a signed copy of the agreement.

Section 7: Private Liability This Provider agrees not to bill SRS or otherwise attempt to collect payments from SRS for debts owed by an SRS child care recipient. This would include, but is not limited to, benefits transferred to the parent's child care account by SRS to assist with child care costs, or other charges incurred by the SRS recipient.

Section 8: Incorporation by Reference The provision found in Contractual Provision Attachment (DA 146-A) attached and executed by the parties to this Agreement, are incorporated in this Agreement and made a part of this Agreement. Provisions found in the Kansas Economic and Employment Support Manual are incorporated and made a part of this Agreement.

Section 9: Termination of Provider Agreement This agreement may be cancelled by either party by providing written notice at least thirty days in advance of the effective date of the termination. No reason need be given. The Provider shall not perform SRS child care services after the termination date.

Camp Director-Darlene Streeter D~rlene has worked for Shawnee County Parks and Recreation since 1997. She has been involved in summer camp as a counselor, manager, assistant director and director. Darlene is the director of the Creative Learning Adventures Preschool at Shawnee North Community Center. She is a graduate from Washburn University with a B.A. in Psychology. North Manager-Angel Friesen Angel began working with Shawnee County Parks and Recreation in 1997. Angel has been the Lake Manager since 2003. This is her fourth year at North. During the year, Angel is a preschool teacher at Shawnee North Community Center. Lake Manager- Kisha Thomas Kisha has worked for Shawnee County Parks and Recreation since 2006. Kisha has been the manager at the North camp and is now manager at the Lake camp.

Board of Commissioners approval is requested for a Parks & Recreation employee to travel out of state to Cleveland, Ohio to attend the 2013 Summer National Senior Games. The Summer National Senior Games will be held July 25 through 28, 2013.

One hundred forty (140) Kansas athletes, ages 50 and older, who have qualified from Kansas will be competing at the 2013 Summer National Senior Games. The Parks & Recreation employee, who is the Kansas Senior Olympics Director, will be the liaison between the athletes and national games.

The costs to attend this event may include taxi, parking, airfare, hotel, meals, and turnpike charges in accordance with County Code Section 10-214 Travel and Mileage Reimbursement Policy. The estimated cost to attend this event is $11 00. There is sufficient funding available in the Parks & Recreation Budget for this request. This request is identified in the Strategic Master Plan submitted with the annual budget.

Board of Commissioners approval is requested on the attached Emergency Purchase Form and invoice from Samco, Inc. This emergency purchase of services was for repairs to a cooling system at the courthouse.

On March 19, 2013, Samco, Inc. was performing a scheduled maintenance review and discovered a leak in the Liebert cooling system that cools the server room in Information Technology on the second floor. The system had a leak in one circuit on each Liebert. Repairs were made and the circuits were recharged with refrigerant. The total cost for the work was $5,626.12.

Emergency repair to the cooling system in the IT room of the Courthouse. The system was

receiving a routine service when it was discovered that two of the Liebert circuits has a leak and lost

refrigerant. Repairs were made to correct the leak and new refrigerant had to be installed to get the

system running properly. The room must be cooled to protect the electronic equipment that is there.
