A. INTRODUCTION

The Chief General Manager (Operations) on behalf of Bangalore Electricity Supply Company

Limited (BESCOM), invites tenders vide Enquiry No. BESCOM/CGM (Op)/DGM(Op-2)/BC-

5/10/2014-15/06-01-2015 for ‘New Innovative Structural Designs for Distribution

Context of the tender

1. BESCOM is committed to provide reliable power supply to its consumers in eight districts of

Karnataka. In Bengaluru, the need of approximately 48.64 Lakhs consumers is addressed by

a network comprising of 38941 DTCs (Distribution Transformer Centres). With increased

urbanization and widening of roads in Bengaluru, the footpaths are truncated and the DTCs

on footpath now occupy substantial space. There are 38941 transformers in BMAZ area, out

of which about 9321 transformers are on footpaths. Any metal parts at the DTCs like braces

cross arm or angles protruding outside may cause inconvenience to the public. BESCOM,

therefore, considering the safety of the public, intends to modify the structural design of the

DTCs.

2. BESCOM intends to obtain New Innovative designs for DTC Structures from firms which

have experience in design or development of electrical system and related civil structures.

The new designs are expected to ensure safety by positioning transformer and accessories at

an elevation, occupy minimal space on footpath, looking good, self-sustainable by generating

revenue by hosting space for advertisement and at the same time ensure ease of operations,

maintenance and repairs.

3. General information

3.1. The Interested eligible bidders may obtain further information from the office of the

Deputy General Manager – Operations 2, Corporate office, BESCOM, K.R.Circle,

Bangalore, Telephone No. 9480812457, Fax: 080-22352796.

3.2. Tender documents shall be submitted in a sealed hard copy to the competent authority

mentioned above before 4.00 p.m. on 09.03.2015.

3.3. A pre-bid conference shall be held on 04.02.2015 at 15:00 hrs. All the interested

bidders who require clarification on any aspect of this bid document, should send their

queries in writing at least three days before the pre-bid conference to:

3.4. Based on the outcomes of the pre-bid conference, at any time prior to the deadline for

submission of the technical proposal or extended date, if deemed necessary, BESCOM

reserves the right to add/modify/delete any portion of this document by issuing an

amendment.

3.5. Any bid received after the deadline prescribed for submission of Bids will be rejected.

3.6. Bids shall be accompanied by EMD as mentioned in EMD Clause.

3.7. Bids can be submitted upto 16:00 hrs. IST on 09.03.2015 and technical bids will be

opened on 10.03.2015 at 16:15 hrs. If the office happens to be closed on the last day of

the opening of the bids for any reason, the bids will be opened on the next working day

of the office at the same venue and time.

3.8. Financial bids will be opened after the technical evaluation of the designs.

3.9. The Bidders should study the Bid Form attached in Annexure 3 carefully & submit

along with the bid. Bid forms are not transferable.

3.10. It may be noted that quotations & offers sent through Telegraphic/Fax will not be

accepted.

3.11. The bidder should have sufficient experience in designing of electrical system and

related civil structures. The proof (Work completion or Work Award or Performance

Certificate etc.) of such experience should be attached in the Bid.

3.12. The designs submitted by the bidders should follow all the design requirements

mentioned in this bid document.

3.13. Bids shall be submitted in 2 parts viz. (i) Part I -Technical Bid (ii) Part II - Financial

Bid. The Part-I Technical and Part-II Financial bids shall be submitted in separate

sealed envelopes clearly super-scribing on the envelope “Part-I Technical Bid for

structural design of DTCs” & “Part-II Financial Bid for professional fee” respectively.

Both sealed envelopes, and EMD shall be covered in a bigger envelope which shall also

be sealed and duly super-scribed & must be sent to following address:

3.14. The bidder should furnish self-declaration stating that the firm/ consortium member

has not been blacklisted by any Electricity utility/Government agencies.

3.15. Bangalore Electricity Supply Company Limited reserves the right to reject any or all

the bids without assigning any reasons thereof and shall bear no liability whatsoever

consequent upon such a decision.

4. Eligibility Criteria

4.1. The bidding firms or bidders should have at least two similar work experiences for

design and development of civil structures. (Work Completion copy or Work Award

copy for each past experience should be attached)

4.2. Bidder should be registered with the “Council of Architecture” and should submit a

copy of certificate of registration along with the Technical bid document.

5. Scope of Work:

5.1. The scope of work can be divided into two parts

Submission of the design as per the requirements mentioned in the bid document

(Section 7)

Supervising the Construction of the demo pilot based on the design submitted.

5.2. The bidders are required to submit the design as per the requirements outlined in

Section 7, as part of technical bid. The bids will be evaluated on various parameters as

per the evaluation criteria mentioned in Section 22.2.

5.3. BESCOM shall select upto five agencies which are technically successful as per

conditions of this bid document. The selected agency will be required to demonstrate

the design by way of a pilot structure by providing drawings, co-ordinating, guiding

and supervising the works within one month of the award/ Letter of Intent for works

given to the selected agency for the pilot structure.

5.4. While BESCOM would pay for the material and labour cost required for the

construction of the pilot, the successful bidder is responsible for providing drawings,

co-ordinating, guiding and supervision for completion of the pilot construction.

5.5. The final evaluation would be done after the pilot has been completely executed. The

evaluation of Pilots would be done as per criteria mentioned in Clause 22.5.

5.6. The pilot(s) will be further evaluated and those which are techno-commercially viable

will be finally selected by BESCOM and the agency (or agencies) will be fully

rewarded as per their respective financial quote. The structural design submitted by the

bidder will henceforth be intellectual property of the BESCOM.

6. Earnest Money Deposit(EMD):

6.1. An Earnest money amount of Rs.10,000/- (Rupees Ten thousand only) in the form of

Demand Draft (in favour of “BESCOM”) shall be submitted along with the Technical

bid.

6.2. The bidder should also submit a Self-Declaration as per the format provided in

Annexure 4 along with the Technical bid.

6.3. Tenders without accompanying the EMD and Self-Declaration as per Annexure 4 will

be rejected. No correspondence will be entertained in this regard. EMD is payable

irrespective of any other permanent or other EMD already paid by the Bidder for any

other purpose. Any request for adjustment of amount due from BESCOM towards the

EMD will not be entertained.

6.4. The EMD shall be refunded to all the bidders including successful Bidders after the

successful Bidder executes the contract agreement within the prescribed time or if the

enquiry is dropped.

6.5. No interest or any other cost will be payable by BESCOM on the EMD.

6.6. Government/Quasi Government/Public Sector undertakings are not exempted from

furnishing the EMD.

SECTION – II

INSTRUCTION TO BIDDER

COMMERCIAL TERMS & CONDITION

7. Structural Design Requirements

The new structural design of the DTCs shall conform to the following requirements

7.1. Scalability

7.1.1. BESCOM has installed transformers of various ratings (15kVA, 25kVA, 63kVA,

100kVA, 250 kVA and 500 kVA) in the city of Bengaluru.

7.1.2. The design should be scalable to all the transformer ratings (15 KVA to 500

KVA). Typical dimension sketch for various ratings of Transformers has been

attached in the Annexure 6.

7.1.3. The structure should also be optimum in size without occupying much space on

the footpath.

7.1.4. It is advisable that the bidders should get themselves familiar with the existing

DTC structures in the city before submitting their bids

7.2. Safety

7.2.1. The design should ensure that the DTC does not restrict the movement of public

on footpath. The safety of public should be taken care of in the design. Design

should ensure that the public should not get in touch with any live parts of the

Distribution Transformer Centre.

7.2.2. The structure should ensure that a minimum clearance of 10 ft. is provided from

the ground for the safety of the public, for ensuring that pedestrian’s movement

is not hindered.

7.2.3. The structure should also ensure safe conditions to the workmen operating on the

DTC.

7.2.4. The structure should be resilient fireproof and durable.

7.3. Structural strength

7.3.1. The design should have the structural strength to host the transformer and

accessories (not limited to GOS switches, insulators, incoming lines and

outgoing lines, bushings etc.) and advertisement space.

7.3.2. The weights of various ratings of Distribution Transformers are mentioned in the

Annexure 2

7.4. Other considerations

7.4.1. Design of earthing should be as per relevant standards and supporting

calculations should also be submitted.

7.4.2. The transformer centre shall be designed to facilitate operations, maintenance,

inspection, cleaning and repairs on transformer and accessories. Proper access

and space for maintenance of transformer should be given in the design. The

Maintenance activities on transformer centre is mentioned in Annexure 1

7.4.3. All outdoor apparatus including bushing, insulators, etc. with their mountings

shall be designed so as to avoid pockets in which water can accumulate. All

connections and contacts of the equipments shall have requisite space for

operating within their technical limits without undue heating or any other mode

of malfunction.

7.5. Advertisement space

7.5.1. The design should ensure sufficient space for Advertisement/Hoardings on the

structure; such that revenue can be generated from the advertisement space or

Hoardings.

7.5.2. The design after incorporation of Advertisement/Hoarding should be aesthetic

and should consider its visual impact on streetscape.

7.5.3. The Advertisement design should follow the BBMP guidelines.

7.5.4. The design should be able to accommodate lighting based advertisement for

night time visibility.

8. Submission of bids

8.1. Bids shall be submitted in 2 parts viz.

(i) Part I - Technical Bid

(ii) Part II - Financial Bid.

(iii) EMD

The Part-I Technical and Part-II Financial bids shall be submitted in separate sealed

envelopes clearly superscribing on the envelope “Part-I Technical Bid for structural

design of DTCs” & “Part-II Financial Bid for professional fee”. Both sealed envelopes

and EMD shall be covered in a bigger envelope which shall also be sealed and duly

super-scribed & must be addressed to the Competent Authority.

8.2. Bidder should also submit a CD/DVD comprising of all the contents of the technical

bid.

8.3. The bigger envelope shall include

8.3.1. EMD along with Self-Declaration (Annexure 4)

8.3.2. Part I: Technical Bid

Design submission as per Clause 9.

Bid form (The Bid must contain the name, designation and places of business

of the person or persons making the Bid)

Write up about the Firm/Bidder highlighting the capabilities, credentials with

proof (Work Award, Work Completion Certificate, Performance Certificate

etc.), CVs of key personnel and other relevant information

Self-declaration stating that the firm/bidder has not been blacklisted by any

Electricity utility/Government agencies.

8.3.3. Part II: Financial Bid with Price Bid

8.4. Any Bid received after the dead line prescribed for submission of Bids will be rejected.

8.5. Further no modification or withdrawal of Bid shall be allowed after the dead line.

9. Submission of Design

The bidders should submit following as part of technical bid

AutoCAD Drawings of the structure providing as much details as required.

Pictures in JPEG format with isometric views.

Bill of material and costing for a typical 250 kVA DTC structure.

Calculations related to the strength of the design.

Explanations and drawings related to how the structure can be scaled based on the

transformer rating and presence of additional accessories.

Area of advertisement place available.

Additional write up on the features, advertisement space, operations and maintenance

access etc.

10. Financial bid

10.1. The bidder shall quote a consolidated cost in the Price Bid, for the sale of structural

design (along with all the rights of usage of the design, associated drawings,

calculations etc.) and supervision of the pilot.

10.2. The Price Bid (as per Annexure 5) shall be submitted in a sealed envelope clearly

superscribing - “Part-II Financial Bid for professional fee”

10.3. Any alteration in the rates etc. will not be allowed on any ground, such as mistake,

misunderstanding etc., after the Bid has been submitted.

10.4. The Bidder shall quote only in Indian Rupees inclusive all applicable taxes and duties.

11. Cost of Bidding

11.1. The Bidder shall bear all costs associated with the preparation & submission of their

bid, BESCOM will in no case be responsible or liable for those costs, regardless of the

conduct or out-come of the Bidding process.

11.2. The agency/bidder shall carry out a proof of concept demo for the new design, which

shall be operated by BESCOM line men, for their ease of operation and practical

adoption in the field and the same shall be approved by the committee. It is to be noted

that only financial bids of those, whose technical bid is accepted and technical design is

found to be suitable, are short listed and will be opened. Further, where technical bids /

designs are not accepted by the committee, the price bids of such bidders will not be

opened. The decision of MD, BESCOM is final.

12. Bidding Documents:

12.1. The bidding procedures & contract terms are prescribed in the Bidding documents

12.2. The Bidder is expected to examine all instructions, terms and specifications in the

Bidding documents. Failure to furnish all information required in the Bidding

documents or submission of a Bid not substantially responsive to the Bidding

documents in every respect will be at the Bidder’s risk & may result in the rejection of

the Bid.

13. Clarification on Bidding Documents:

13.1. A bidder requiring any clarifications regarding Bidding documents may notify the

Deputy General Manager (Operations-2), BESCOM, in writing/ by Fax/through e-mail

([email protected]). The Deputy General Manager (Operations-2), Corporate

Office, BESCOM will not respond to any request for clarification of the Bidding

documents, which is received after the deadline (04.02.2015) given.

13.2. The bidder is required to carefully examine the specifications and documents and fully

confirm himself as to all the conditions and matters which may, in any way, affect

supplies and services to be provided and/or the cost thereof. If the bidder finds

discrepancies or omissions in the specifications and documents or is in doubt as to the

true meaning of any part, he shall at once make a request for an interpretation/

clarification.

13.3. Verbal clarifications and information given by BESCOM or its employees or its

representatives shall not in any way be binding on BESCOM.

14. Amendments of Bidding Document:

14.1. At any time prior to the deadline for submission of Bids, BESCOM may, for any reason

whether at his initiative or in response to a clarification requested by a Bidder, modify

the Bidding documents by amendment.

14.2. In order to afford Bidders reasonable time to take the amendment into account in

preparing their Bids, The Company (BESCOM) may at its discretion extend the

deadline for submission of the Bids. The Information will be uploaded in the website

bescom.org. The bidders shall go through the updates before submitting their bids.

14.3. In the event of information furnished by the bidder is found to be false at any stage of

tendering, BESCOM at its discretion may take action against such bidders and may

forfeit the EMD/bid security and disqualify the offer of such bidder and black list the

firm/bidder.

15. Language of Bid:

15.1. The Bid prepared by the Bidder & all the correspondence & documents relating to the

Bid exchanged by the Bidder & the Engineer-in-charge shall be written in English

language. If the bidder furnishes any document other than English, Hindi or Kannada

then such document shall be translated to English duly certified by Notary.

16. Documents Comprising the Bid:

16.1. The bidder shall submit bid sheets inclusive of price schedules. Technical data

requirements etc., furnished in the bidding documents as specified in bid document.

16.2. Documentary evidences should be furnished to establish that the bidder meets the

qualifying requirements in accordance with clause 4 of Invitation to Bidders.

17. Information required with the Proposal

17.1. Oral statements made by the Bidder at any time regarding quality or arrangements of

the equipment or any other matter will not be considered.

17.2. Standard catalogue pages and other documents may be used by the Bidder in the Bid to

provide additional information and data as deemed necessary by the Bidder.

17.3. As regards the provision of the Bidding documents other than those listed in the Bid

document, in case the ‘Proposed information contradicts the Specification

requirements’, specifications requirements shall govern, unless otherwise brought out

clearly in the technical /Commercial deviation schedule, in the Bid.

17.4. No deviation whatsoever, in the following conditions of the Bidding documents is

permitted.

a) Validity of offer

b) EMD

c) Payment terms

d) Liquidated damages, Penalty for delay

e) Completion / commissioning period.

17.5. Bidders are advised that while making Bid proposals and quoting prices these

conditions may appropriately be taken into consideration. Bids with deviations on the

above will be disqualified.

18. Bid Form:

18.1. The Bidder shall complete the Bid Form, duly indicating the Cost of the design offered

by the bidder.

19. Taxes and Duties:

19.1. The prices quoted by the bidder shall be inclusive of all applicable taxes & duties

19.2. No payment separately towards taxes & duties other than the quoted price shall be

payable by the BESCOM.

19.3. However it may be noted that all taxes, duties, levies and other charges are to be

included in the unit / total contract price. BESCOM is not liable to pay any taxes,

duties, levies over and above the unit contract value for the design. BESCOM will

deduct Tax at Source as per applicable law from the proceeds payable to the bidder.

BESCOM shall not bear any liability in this regard but shall issue necessary TDS

Certificate in respect of such deductions made

19.4. As regards the Income Tax, Surcharge on Income Tax and any other Corporate Tax,

BESCOM shall not bear any Tax liability whatsoever. The Bidder shall be liable and

responsible for Payment of such Taxes as mandated under the provisions of the Law.

19.5. Before quoting, the Bidder shall ascertain from the concerned Tax Authorities of

Government of Karnataka, the applicability of Work Contract Tax, Service Tax etc. in

respect of this Package and include the same in the quoted Price. No separate Claim in

this regard will be entertained by BESCOM, as it is the responsibility of the Bidder to

pay all these Taxes.

20. Period of Validity of Bids:

20.1. Bids shall be kept valid for acceptance for a period of 180 days from the date of

opening of Bids, excluding the date of Bid opening. A Bid valid for a shorter period

shall be rejected by the BESCOM as non- responsive.

20.2. In exceptional circumstances, the BESCOM may solicit the Bidder’s consent to an

extension of the period of the validity. The request and the response there to shall be

made in writing. A Bidder may refuse the request, but while granting the request for

extension of validity the Bidder will not be permitted to modify his Bid.

21. Opening of the Bids and Preliminary Examination:

21.1. Deputy General Manager (Operations-2) with I/A staff will open the Bids on the

specified date & time.

21.2. Deputy General Manager (Operations-2) with I/A staff will examine the Bids to

determine whether they are complete, whether the Bidder satisfies the eligibility

criteria; whether required sureties have been furnished; whether the documents have

been properly signed and whether the Bids are generally in order.

22. Evaluation of the bids and evaluation criteria

22.1. A substantially responsive bid shall be one, which conforms basically to all the terms

and conditions of the bidding documents without deviations.

22.2. Technical Score

22.2.1. The designs received will be evaluated by a Technical Committee constituting of

the following members

1. Managing Director (BESCOM)

2. Director Technical (BESCOM)

3. CGM Operations (BESCOM)

4. CEE BMAZ(BESCOM)

5. GM QS&S(BESCOM)

6. GM Procurement(BESCOM)

22.2.2. The technical evaluation of designs shall be based on the following criteria:-

a. Safety & Convenience of public and workmen: (20 marks)

b. Structural integrity – (20 marks)

c. Ease of operations – (20 marks)

d. Aesthetics and ergonomics- (10 marks)

e. Ad space and revenue potential – (10 marks)

f. Cost as per Bill of materials (20 marks)

22.2.3. The marks secured based on evaluation of the Technical Bid as per the above

shall be the Technical Score (TS) of the Bidder for the bid being considered for

evaluation (“Technical Score”).

22.2.4. Only those Bidders who have secured Technical Score of 70 marks or above out

of 100 (as mentioned above in the table) shall be considered for further

evaluation.

22.3. The financial score

22.3.1. A financial score will be given to bidder with lowest consolidated cost and all

others are scored on pro-rata basis.

22.3.2. Financial Score of bidder (FS) = 100 x LP/ (QP), where LP is lowest price and

QP shall be quoted price by the bidder.

22.4. Evaluation of the bids

22.4.1. The weight given to Financial Score (FS) and Technical Score (TS) are 20% and

80% respectively. The Total Score S shall be, = FS x 20% + TS x 80%

22.4.2. BESCOM shall select up to 5 bidders of highest value of S (highest Total Score)

for the implementation of demo pilot. The bidder with highest score would be

called as H1, the bidder with second highest value H2, and so on.

22.5. Final evaluation of the pilots

22.5.1. The pilots will be re-evaluated by the Technical Committee on various aspects

for commercial and technical feasibility

22.5.2. BESCOM, after evaluating the pilots as per the evaluation criteria mentioned

above shall select one or more designs based on the techno-commercial

feasibility for the large scale implementation of the designs (a maximum of 3

designs)

22.6. BESCOM at its discretion can ask for any additional information free of cost from the

bidder which can help in the evaluation at the technical evaluation or the final

evaluation of the pilot.

23. Deviation in Completion Period:

23.1. No deviation is allowed in the construction period of pilot which shall be mentioned at

the time of awarding work in the Award letter. However no advantage shall be

available for the early completion of work. The right to levy liquidated damages for

delayed completion of work is reserved by BESCOM.

24. Deviation in Terms of Payment:

24.1. No deviation in the clauses of the terms of the payment shall be accepted. Bids offered

with different terms of payment are liable for rejection.

25. Notification of the Award:

25.1. Prior to the expiry of the period of Bid validity, BESCOM will notify the successful

Bidder in writing by registered letter or by e-mail to be confirmed in writing that his

Bid has been accepted.

25.2. Notwithstanding any of the clauses, the Company (BESCOM) reserves the right to

accept or reject any Bid and to annul the Bidding and reject all the Bids, at any time

prior to award of contract, without thereby incurring any liability to the affected Bidder

or Bidders, or any obligation to inform the affected Bidder/Bidders, of the grounds.

25.3. The final acceptance of the Bids will rest with the Company (BESCOM), which does

not bind itself to accept the lowest or any Bid without assigning any reason what so

ever.

25.4. The authority competent to accept the tender reserves the right to reject any or all

tenders or award contract only in part without assigning any reasons whatsoever.

Tenders not complying with any of the above requirements are liable for rejection at the

discretion of the Company (BESCOM)

25.5. The Bidders shall be presumed to have carefully examined the conditions and

specifications of work & to have fully acquainted themselves with all details at site,

locations, materials, geological formations, weather characteristics, labour conditions

etc., pertaining to the work.

25.6. The Bidder shall abide by the rules in force regarding Workman’s Compensation act.

SECTION III

CONDITIONS OF CONTRACT

26. Definition of Terms:

In these general conditions and specifications, the following expressions shall have the

meanings herein assigned to them, unless there is something in the subject or context

inconsistent with such meaning.

26.1. “BESCOM” or “Owner” shall mean the BANGALORE ELECTRICITY SUPPLY

COMPANY LIMITED, which has jurisdiction over the area of works and its successor

if any, hereafter states as the company.

26.2. "Contractor" or “Agency” or “Selected bidder” shall mean the tenderer/bidder whether

a firm, registered company, partnership or an individual, whose tender has been

accepted by BESCOM or by Officer duly authorized on behalf of BESCOM, and who

has entered into agreement with BESCOM for due fulfillment of the contract and shall

also include legal representatives, successors and assignees of the tenderer.

26.3. "Work or Works" shall mean the work or works set out and described in the Schedule

of prices, drawings and specifications and which the selected bidder has agreed to

execute under the terms of contract. It shall include all items of work, which unless

specifically excluded are necessary to execute the works as described,

26.4. "Contract and Contract Documents" shall mean and include the General conditions of

contract, Special Conditions, Specifications, Schedule of Prices, drawings and the

stamped agreement.

26.5. "Specifications" shall mean the specifications annexed and such other specifications

and the Schedule of drawings if any, as may be detailed and necessary due to particular

nature of works wherever applicable.

26.6. "Site" shall mean and include all the area in which operations in respect of the works

are carried out. These terms shall also include materials stacking yard and the area

where temporary structures are put up for installing any machinery etc.

26.7. "Month" shall mean a month as reckoned by the English Calendar.

26.8. Words used in singular shall also include the plural and vice versa where the context so

demands.

27. Payment

27.1. The agency or agencies whose design is finally selected after implementation of the

pilot will paid 100% of the quoted value after handing over all the technical details,

including drawings, modifications (if required), software files and any other document

as required by BESCOM.

28. Penalty for Delay in Execution of the Work:

28.1. During the execution of pilot, if there is delay attributable to the bidder, the penalty

shall be imposed, such penalty shall be ½% per week of delay or part there of subject to

a maximum of 10% of the quoted amount.

28.2. The period of continuance of delay beyond 4 weeks shall be at the discretion of the

Owner. If the agency engaged for executing the pilot work still fails to complete the

work within such extension period, due to reasons attributable to the agency, the bid

can be rejected. Penalties levied for (1) non-fulfillment of programme of works within

the stipulated period, (2) the number of days allowed beyond the stipulated period for

completing the work and will be deducted from the final payment.

28.3. The cumulative total amount of penalty shall be subject to a maximum of ten percent

(10%) of the contract value. BESCOM shall have every right to reject the bidder

without any liability if it crosses 10% of the quoted value and blacklisting of the firm.

29. Compliance with Instructions:

If the agency fails to work with diligence and expedition, or shall refuse or neglect to

comply with any reasonable orders given to him in writing by BESCOM in connection

with the work or contravenes the provisions of the bid, BESCOM may give “seven days”

Notice in writing to the agency, to make good the failure, neglect or contravention

complained of, and should the agency fail to comply with the notice within the specified

time from the date of service thereof in the case of a failure, neglect or contravention,

capable of being made good within that time or otherwise within such time as may be

reasonably necessary for making it good, then and in such case BESCOM can reject the

bid, forfeit the EMD and blacklist the bidder.

30. Force Majeure:

30.1. For the purposes of this contract “Force Majeure” means, an event which could not

reasonably have been avoided by a diligent party in the circumstances, which is beyond

the reasonable control of a party and which makes a party’s performance of its

responsibilities hereunder impossible or so impractical as reasonable to be considered

impossible in the circumstances and includes, but is not limited to, war, riots, civil

disorder, earthquake, storm, flood or other adverse weather conditions, strikes, lockouts

or other industrial action, electrical failure, confiscation or any other action by

Government Agencies.

30.2. Force Majeure shall not include any event, which is caused by the negligence or

intentional action of a party or such parties, sub-contractors or agents or employees, or

by a failure to observe good engineering practices.

30.3. Force Majeure shall not include insufficiency of funds of failure to make any payment

required hereunder.

31. Dispute

In the event of any dispute or difference arising under this contract agreement or that which

may arise in future will be solved by taking recourse to mutual settlement failing which this

shall refer the same to Chairman, BESCOM whose decision shall be final and binding on

both the parties to this contract. Further any unsettled dispute will be subject to appropriate

courts in Bangalore jurisdiction only. In case of any dispute between the Agency and the

engaged employees by the Agency, BESCOM will not be a party and this has to be settled by

the Agency itself at its own cost.
