A. TERMS AND CONDITIONS OF THE TENDER:

1. Purchase of Tender Document: As per S. No. 8 of DNIT. 1.1 The bidders downloading the tender document are required to submit the tender fee amount

through DD/ Banker‟s cheque/Cash along with their tender bid as per bid submission procedure, failing

which the tender bid shall be left archived unopened/ rejected. The DD/ banker‟s cheque shall be

drawn from any Nationalized/ Scheduled Bank in favour of “A.O. (Cash) O/o GMTD BSNL

BILASPUR ” and payable at BILASPUR. 1.2 The tender documents shall be issued free of cost to MSE bidders on production of requisite proof

in respect of valid certification from MSME for the tendered item. 1.3 Contract period is for one year with provision of extension for further one year or part thereof on same terms and conditions.

2. Bid Security/EMD:

2.1 The bidder shall furnish the bid EMD by Demand Draft/ Banker‟s cheque drawn in favour of

“A.O. (Cash), BSNL, O/o GMTD BILASPUR” and payable at BILASPUR .or FDR from a Nationalized /scheduled bank drawn in favour of “A.O. (Cash), BSNL, O/o GMTD BILASPUR” which should be valid for 180 days from the tender opening date.

2.2 The MSE units shall be exempted from submission of Bid Security deposit on production of requisite proof in respect of valid certification from MSME for the tendered item.

3. The tender document & all other documents establishing bidder‟s eligibility & qualifications are to be

submitted as per online submission details given in tender document. 4. Rates to be quoted by the tenderer in the prescribed format.

5. The bidder shall furnish a declaration in his tender bid that no addition / deletion / corrections have been made in

the downloaded tender document being submitted and it is identical to the tender document appearing on the website with amendments as uploaded by department. In case of discrepancy of bid submitted from the one uploaded by department, the bid will be rejected and a case of fraud will be registered with police.

6. Place of opening of Tender bids: Tenders will be opened online at AGM (NP-CFA), BSNL Near Agrasen

Chowk Bilaspur 495001 (Contact at 9424140800/ 9425534500).

7. A authorized representatives of bidders (i.e. vendor organization) can attend the tender opening event at the tender opening venue as given above .

8. Tender bids received after due time & date will not be accepted.

9. Incomplete, ambiguous, Conditional, unsealed tender bids are liable to be rejected.

10. The BSNL GMTD BILASPUR reserves the right to accept or reject any or all tender bids without assigning any reason and not bound to accept the lowest tender.

11. All computer generated documents should be duly signed/ attested by the bidder/ vendor organization.

12. In case the date of submission (opening) of bid is declared to be a holiday, the date of submission (opening) of bid will get shifted automatically to next working day at the same scheduled time. Any change in bid opening date due to any other unavoidable reason will be intimated to all the bidders separately.

13. The tenders which are not submitted in above mentioned manner will be rejected.

14. - Eligibility Conditions: On line submission i) PAN Card (In case of Partnership / Pvt Ltd firm PAN No of firm is required, in case of Proprietorship

firm PAN No of proprietor is to be enclosed). ii) Latest Income Tax Return. iii) The registration of the firm (Registration with Nagar Nigam/Gumasta/Department of Labour or

competent office in case of Proprietary firm & in case of Pvt. Ltd. Company/Partnership firm registration with Registrar of firms is required, or any other competent office).

iv) Authenticated copy of the partnership deed in case of partnership firm or copy of Memorandum and

Articles of Association in case of companies.

v) Original/Attested “Power of Attorney” in case a person other than the tenderer has signed the tender document or authorization certificate for signing the tender document from limited company/Govt./ PSU

vi Experience in Installation/Maintenance of 2G, 3G , 4G BTS & Mini Link in B.S.N.L./MTNL/PSU/Central/State Govt. during last 7 (Seven) financial years and current financial year

Firms having successfully completed similar works in BSNL/ DOT / MTNL / Central / State Govt. / PSU. during last Seven financial years and current financial year and up to date of NIT. i) Three similar successfully completed works, each costing not less than the amount equal to 40% of estimated cost put to tender. OR ii) Two similar successfully completed works, each costing not less than the amount equal to 60% of estimated cost put to tender. OR iii) One similar successfully completed works costing not less than the amount

equal to 80% of estimated cost put to tender

vii) Copy of EPF registration

viii) Copy of ESI registration If not available at the time of bid submission enclose a declaration

letter that it will be submitted at the time of agreement failing which EMD can be forfeited and party can be black listed from any tender in BSNL.

ix) Copy of GST Registration x) Valid MSE Certificate, if applicable.

xi) List of all Partner/Directors including their name(s), Director Identification Number(s) (DIN)

and address (es) along with contact telephone numbers of office and residence if applicable.

xii) Declaration regarding none of close relatives is employed in BSNL and declaration regarding not barred of firm and undertaking regarding payment insulation are to be filled & signed specifically as per tender document Section VII, VIIA and XII.

xiii) Average annual financial turn over during three years (2016-17, 2017-18 and 2018-19) should

be at least 30% of estimated cost put to tender. xiv) Intending bidders should have nationalized/scheduled bank solvency of 40% of Estimated

Cost of tender an attested copy by gazette officer/notary should be enclosed with the qualifying bid. Solvency certificate should not be older than one year from the date of NIT.

In conformity with said drawings, conditions of contract and specifications as may be ascertained in accordance with the schedule of prices attached herewith and made part of this Bid.

SECTION IV-A INSTRUCTIONS TO BIDDERS

A. INTRODUCTION: 1. DEFINITIONS a. BSNL : means Bharat Sanchar Nigam Limited and its successors. b. CMD : The CMD means CHIEF MANAGING DIRECTOR of BSNL and his successors. c. Department : The Department means the Department of Telecommunications / Department of Telecom Services

or any other Department under the Ministry of Communications, which invites the tender on behalf of the

President of India. All references of:

d. The SSA Head means the Head of SSA: GMTD BILASPUR and his successors.

e. The jurisdiction of The SSA Head: the jurisdiction of GMTD BILASPUR means BILASPUR SSA which

coincides geographically with Revenue Districts of Bilaspur, Mungeli,Korba and Naila. f. Representative of GMTD BILASPUR: Representative of GM TD BILASPUR means officer and staff for the

time being in BILASPUR SSA deputed by the GMTD BILASPUR for inspecting or supervising the work or

testing etc. g. Engineer - in - charge: the Engineer - in - charge means the Engineering Officer nominated by the BSNL to

supervise the work, under the contract, (Minimum Divisional Engineer level officer). h. Site Engineer: Site Engineer shall mean an SDE of the BSNL BILASPUR who may be placed by the GMTD

BILASPUR, (BILASPUR SSA) as in-charge of the work at site at any particular period of time. i. A/T Unit: A/T Unit shall be mean Acceptance and testing unit of the BSNL. j. A/T Officer: An officer authorized by GMTD BILASPUR to conduct A/T. k. Contract: The term contract means, the documents forming the tender and acceptance thereof and the formal

agreement executed between the competent authority on behalf of the BSNL and the contractor, together with the

documents refer.

l. Contractor: The contractor shall mean the individual, firm or company, enlisted with BSNL in accordance with

procedure for enlistment of contractor, whether incorporated or not, undertaking the works and shall include the

legal personal representative of such individual or the persons composing such firm or company, or the successors

of such firm or company and the incorporated or not, undertaking the works and shall include the legal personal

representative of such individual or the persons composing such firm or company, or the successors of such firm

or company and the Permitted assignees of such individual, firm or company. m. Work:The expression "work" shall unless there be something either in the subject or context repugnant to such

construction be construct and taken to mean the work by or by virtue of the contract contracted to be executed

whether temporary or permanent and whether original altered, substituted or additional.

n. Schedule(s): Schedule(s) referred to in these conditions shall mean the relevant schedule(s) or the standard

schedule of rates mentioned in the document. o. Site:The site shall mean the land / or other places on, into or through which work is to be executed under the

contract or any adjacent land, path or street through which, the work is to be executed under the contract or any

adjacent land, path or street which may be allotted or used for the purpose of carrying out the contract. p. Normal time or stipulated time: Normal time or stipulated time means time specified in the work order to

complete the work. q. Extension of Time: Extension of Time means the time granted by the BSNL to complete the work beyond the

normal time or stipulated time. r. Date of Commencement of work: Date of commencement of work means the date of actual commencement of

work or 7th day from the date of issue of work order, whichever is earlier. s. Due date of completion: Due date of completion shall be the date by which the work shall be completed at site

including clearance of site. t. Duration of completion of work: The duration of completion of work or completion time shall be time specified

in the work order plus extension of time granted, if any. u. Excepted risk: Excepted risk or risks due to war (whether declared or not), invasion, act of foreign enemies,

hostilities, civil war, rebellion, revolution, insurrection, military or usurped power, any acts of BSNL damages

from aircraft, acts of God, such as earthquake, lightening and unprecedented floods and other causes over which

the contractor has no control and the same having been accepted as such by the Accepting Authority or causes

solely due to use or occupation by the BSNL of the part of the work, in respect of which a certificate of completion

has been issued.

2. ELIGIBILITY OF BIDDERS:

The invitation of bids is open to all experienced contractors as per their eligibility mentioned in NIT of this tender document.

3. BID DOCUMENTS

3.1.2 Financial Bid

3.1.2.1 Financial Bid – Rates for Maintenance Works relating to BTS in SSA Bilaspur

3.2 The Bidder is expected to examine all instructions, forms, terms and specification in the bid documents. Failure to

furnish all information required as per the Bid Documents or submission of bids not substantially responsive to the Bid Documents in every respect will be at the bidder's risk and shall result in rejection of the bid.

4. QUERIES ON BID DOCUMENTS:

A prospective bidder, requiring any clarification of the Bid Document shall notify the BILASPUR SSA in writing or by fax or cable at the BILASPUR SSA's mailing address indicated in the invitation for Bids. The BILASPUR SSA shall respond in writing to any request for clarification of the Bid Documents, which it receives not later than 7 days prior to the date for the opening of the bids.

5. AMENDMENT OF BID DOCUMENTS

5.1 At any time, prior to the date for submission of bids, the BILASPUR SSA may, for reason whether

suo motto or in response to a clarification requested by a prospective Bidder, modify the bid

documents by amendments.

5.2 The amendments shall be notified in writing or by telex or FAX to all prospective bidders on the

address intimated at the time of purchase of bid document from the BILASPUR SSA and these

amendments will be binding on them.

5.3 In order to afford prospective bidders reasonable time to take the amendments into account in preparing

their bids, the BILASPUR SSA may, at its discretion, extend the deadline for the submission / opening of

bids suitably.

5.4 The amendment will be uploaded in web site 8. BID SECURITY: EARNEST MONEY DEPOSIT (EMD) 8.1 The bidder shall furnish, as part of his bid, a bid security (EMD) for an amount as per NIT. No interest shall be

paid by the BILASPUR SSA on the bid security for any period, what so ever.

8.2 The bid security is required to protect the BILASPUR SSA against the risk of bidders conduct, which would

warrant the security's forfeiture, pursuant to para 8.7.

8.3 Bid Security shall be paid in the form of Crossed Demand Draft / TDR issued by any nationalized bank, drawn

in favour of . Accounts Officer (Cash), GMTD BILASPUR, payable at BILASPUR.

8.4 A bid not secured in accordance with para 8.1 and para 8.3, It shall be rejected by the BILASPUR SSA

as non responsive. 8.5 The bid security of the unsuccessful bidder will be refunded as promptly as possible as but not later than 30

days after the expiry of the period of bid validity prescribed by the BSNL.

8.6 The successful bidder's bid security may be converted to part security deposit in accordance with Clause 3 of section V

8.6.1 Bid security of successful bidder will be refunded after completion of validity period and

submission of NOC 8.7 The bid security shall be forfeited; 8.7.1 If the bidder submitted false & forged certificate/documents 8.7.2 If a bidder withdraws his bid during the period of bid validity

specified in the bid document or 8.7.3 If the bidder makes any modifications in the terms and conditions of the tender before acceptance of the

tender, which are not acceptable to the BILASPUR SSA or 8.7.4 In case of a successful bidder, if the bidder fails:

(i) to sign the agreement in accordance with clause 25, or

(ii) to furnish Performance Security in accordance with clause 3 of section V

(iii) Fails to carry out the work within stipulated time limit. 8.7.5 If any of the information furnished by the tenderer is found incorrect at any point this contract, tender

is liable to be terminated without giving any notice and his bid security will be forfeited and tenderer will be black listed.

9. BID PRICES: 9.1 The bidder shall give the total a composite price inclusive of all taxes and levies in case of works to be

executed. The contractor shall be responsible for transporting the stores to be supplied by the BILASPUR SSA

Telecom Store or otherwise to execute the work under the contract, to site at his/their own cost. And therefore

no separate charges are payable on this account. The offer shall be firm in Indian Rupees.

9.2 Prices shall be quoted by the bidder for all works and for each section separately in the Section – XIII

which will be applicable for the contract. No violation will be allowed for these works.. 9.3 L 1 will be decided from party stands lowest in works mentioned in financial bid 9.4 The price quoted by the bidder shall remain fixed during the entire period of contract and shall not be subject to

variation on any account. A bid submitted with an adjustable price quotation will be treated as non-responsive and rejected.

9.4 Discount, if any, offered by the bidders shall not be considered unless they are specifically indicated in the

schedule of rates (financial Bid). Bidders desiring to offer discount shall therefore modify their offers suitably while quoting and shall quote clearly net price taking all such factors like Discount, free supply, etc. into account.

9.5 For the purpose of evaluation, the TEC will obtain the grand total by multiplying the rates quoted for different

items with the approximate quantities mentioned for those items in the financial bid. The lowest grand total

will be treated as L-1. 9.6 If there is any difference between the rates quoted in figures and words the rates quoted in words shall

be taken as final 10. PERIOD OF VALIDITY OF BIDS : 10.1 Bid shall remain valid for 240 day from date of opening of the bid (Qualifying Bid). A BID VALID FOR A

SHORTER PERIOD SHALL BE REJECTED BY THE BILASPUR SSA AS NON-RESPONSIVE. 10.2 The BILASPUR SSA reserves the right to request the lowest 3 bidders as per read out list on the opening day

to extend the bid validity for a period of further 120 days and the bidder has to necessarily extend the bid

validity.

Refusal to extend the bid validity will result in forfeiture of the bid security. A bidder accepting the request and

extending the bid validity will not be permitted to modify his bid. 11. SIGNING OF BID: 11.1 The bidder shall submit, as a part of his bid, the bid documents (in original) duly signed on each and every

page, establishing the conformity of his bid to the bid documents of all the works to be executed by the bidder

under the contract.

(Note: The tenderer is advised to keep a photocopy (at his own cost) of the bid documents for his own

reference.) 11.2 The bid shall contain no erasures or overwriting except as necessary to correct errors made by the bidder in

which case such corrections shall be signed with date by the person or persons signing the bid.

OR ii) Two similar successfully completed works, each costing not less than the amount equal to 60% of estimated cost put to tender. OR iii) One similar successfully completed works costing not less than the amount equal to 80% of estimated cost put to tender.

Documents not submitted accordingly 13 Financial envelopes shall contain: Electronic Form- financial bid along with Price Schedule

In this tender the bidder has to participate in https://etenders.gov.in/eprocure/app e-tender portal online. Some documents are to be submitted physically offline.

13.1. Offline submission:

The bidder shall submit the following documents offline to AGM (NP-CFA) O/o GMTD BSNL Bilaspur-495001 (Chhattisgarh). on or before the date & time of submission of bids specified in NIT, in a Sealed Envelope. The envelope shall bear (the project name), the Tender number and the words ‘DO NOT OPEN BEFORE’ Tender Fee as per NIT (Original copy). 1 EMD-Bid Security (Original copy). 2 Original Power of Attorney (If applicable)

NOTE: The Bidder has to upload the SELF ATTESTED Scanned copy of all above said documents during Online Bid-Submission also.

The envelope shall bear the tender number, name of work and the phrase: “Do Not Open Before (due date & time of opening of tender)

i) EMD – Bid security (original copy) as per DNIT ii) Cost of tender document as per DNIT

iii) Power of Attorney and authorization for executing the power of Attorney if applicable.

15 Any tender with conditions other than those specified in the tender document is liable to be summarily rejected. No modification by the contractor in any of the condition will be permitted after the tender is opened.

16 Tenders should be addressed to AGM (NP-CFA), BSNL, Near Agrasen Chowk BILASPUR

495001(C.G.) and submitted online before the closing (date & Time) of tender, as mentioned in DNIT. The tenderer is to be ensure the submission bids at the correct address and within time. The BSNL may, at its discretion, extend this deadline for the submission of bids by amending the Bid Documents in which case bidders previously subject to the deadline will thereafter be subjected to the extended deadline.

17. LATE BID Tender will not be accepted /received after the specified date and time notified by BSNL and the same shall be rejected/ left archived un opened. It is the sole responsibility of the tenderer that he should ensure timely submission of tender.

18. OPENING OF BID BY THE BSNL 18.1. The BSNL shall open the bid online in the presence of bidders or his authorized representatives who

choose the attend as schedule given in DNIT. The bidder’s representatives, who are present, shall sign an attendance register. The bidder shall submit authority letter to this effect before they are allowed to participate in the bid opening.

18.2. A maximum of one (1) representative for any bidder shall be authorized and permitted to attend the bid opening. Name of envelopes to be opened & information to be read out by Bid Opening Committee

The bids will be opened in 2 stages i.e. the techno-commercial bid shall be opened on the date of

tender opening given in NIT. The financial bid will not be opened on the Date of opening of techno commercial bids in this case & sealed financial bids will be handed over to AGM (NP-CFA), BSNL, Near Agrasen Chowk BILASPUR 495001(C.G.) for retention. Techno-commercial bids will be evaluated by Tender evaluation Committee & approved by competent authority. The financial bids of those bidders who are approved to be techno-commercially compliant by the competent authority, will be opened by TOC in front of techno commercially eligible bidders/ authorized representatives by sending them a suitable notice by sms/ telephone/ fax/ regd post.

(i) The date fixed for opening of bids, if subsequently declared as holiday by the BSNL, the revised date of schedule will be

notified. However, in absence of such notification, the bids will be opened on next working day, time and venue

remaining unaltered.

19.0 MODIFICATION AND WITHDRAWAL OF BIDS

19.1 The bidder may modify, revise or withdraw his bid after submission prior to deadline prescribed for submission of bid as per provisions of online portal.

19.2 The bidder‟s modification, revision or withdrawal shall have to be online and digitally authenticated. 19.3 No bid shall be modified subsequent to the deadline for submission of bids.

19.4 In case there is discrepancy in figures and words in the quote, the same shall be announced in the bid opening, but the quote in words shall prevail.

20. LATE BIDS: 20.1 Tenders will not be received after the specified time of closing of the tender and the same shall be rejected and

returned unopened to the bidder. It is the sole responsibility of the tenderer that he should ensure timely submission of tender.

21. PRELIMINARY EVALUATION:

21.1 BILASPUR SSA shall evaluate the bids to determine whether they are complete, whether any computational errors have been made, whether required sureties have been furnished, whether the documents have been properly signed and whether the bids are generally in order.

21.2 If there is discrepancy between words and figures, the amount in words shall prevail. If the Contractor

does not accept the correction of the errors, his bid shall be rejected.

21.3 Prior to the detailed evaluation, pursuant to clause 22, the BILASPUR SSA will determine the

substantial responsiveness of each bid to the bid document. For purpose of these clauses a substantially

responsive bid is one which conforms to all the terms and conditions of the bid documents without

deviations. The BILASPUR SSA's determination of bids' responsiveness is to be based on the contents of the

bid itself without recourse to extrinsic evidence. 21.4 A bid, determined as substantially non responsive will be rejected by the BILASPUR SSA and shall not

Sub sequent to the bid opening be made responsive by the bidder by correction of the non-conformity. 21.5 The BILASPUR SSA may waive any minor infirmity or non-conformity or irregularity in a bid which does not

constitute a material deviation, provided such waiver does not prejudice or affect the relative ranking of the

bidder. 22. EVALUATION AND COMPARISON OF SUBSTANTIALLY RESPONSIVE BIDS:

22.1 The BILASPUR SSA shall evaluate in detail and compare the bids previously determined to be substantially responsive pursuant to clause 18. 22.2 The evaluation and comparison of responsive bids shall be on lowest bid. 23. CONTACTING THE BILASPUR SSA:

23.1 Subject to cause 17 no bidder shall try to influence the BILASPUR SSA on any matter relating to its bid, from

the time of bid opening till the time the contract awarded.

23.2 Any effort by the bidder to modify his bid or influence the BILASPUR SSA in the bid evaluation or the

comparison award decisions shall result in the rejection of the bid.

24. AWARD OF CONTRACT:

24.1 The BILASPUR SSA shall consider award of contract only to those eligible bidders whose offers have been

found technically, commercially and financially acceptable. 24.2 The work against the tender is for one year's requirement and the terms and conditions of this tender shall be

operative for a period of one year from the date of signing of agreement between the BILASPUR SSA and the

contractor. 25. BILASPUR SSA 'S RIGHT TO VARY QUANTUM OF WORK:

The GMTD BILASPUR, at the time of award of work under the contract, or during contract period, reserves

the right to decrease or increase the work/cost by up to 25 % of the total quantum of work/cost specified in the

schedule of requirements without any change in the rates or other terms and conditions. 26. BILASPUR SSA'S RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS:

The GM TD BILASPUR reserves the right to accept or reject any bid and to annul the bidding process and

reject all bids, at any time prior to award of contract without assigning any reason what-so-ever and without

thereby incurring any liability to the affected bidder or bidders on the grounds for the BILASPUR SSA's

action. 27. ISSUE OF LETTER OF_INTENT: 27.1 The issue of letter of intent shall constitute the intention of the BILASPUR SSA to enter in to the contract with

the bidder. Letter of intent will be the Issued as offer to the successful bidder. 27.2 The bidder shall within 15 days of issue of letter of intent, give his acceptance along with Performance security

in conformity with cause 3 of section V, provided with the bid documents.

28. SIGNING OF AGREEMENT: 28.1 The signing of agreement shall constitute the award of contract on the bidder. The agreement with the

successful bidder shall be signed by the BSNL BILASPUR within a week, of submission of Performance

security deposit as per cause 3 of section v. 28.2 As soon as the tender is approved by the competent authority, the Bid Security deposited by the successful

bidder shall be compulsorily converted in to the part of Performance security deposit, which will be held by the

BILASPUR SSA till the completion of warranty period. Thus remaining amount of performance security if

any shall be deposited in form of DD/BGR/FDR before execution of agreement.

29. ANNULMENT OF AWARD:

Failure of the successful bidder to comply with the requirement of clause 27 shall constitute sufficient ground for the annulment of the award and forfeiture of the bid security, in which event; the BILASPUR SSA may make the award to any other bidder at the discretion of the BILASPUR SSA or call for new bids.

30. Tenderers who produce false information/certificates will be disqualified and the EMD will be forfeited and the name of such tender will be recommended for black listing in the Chhattisgarh Telecom circle. Any Bid received by the GMTD, Bharat Sanchar Nigam Limited, BILASPUR after the time specified shall be rejected and returned unopened to the bidder.

31 Validity Period :- One year from the date of agreement ,which may be extended for further one year or a part there of as per requirement without any change in the rates & other terms and conditions

or of the partnership deed, whichever is applicable as per Business Laws shall be attached. The tender document

shall be signed by all the partners in case of partnership firm or by all the directors in case of company or by their

duly authorized representative in which case, the certified copy of the authorization shall be submitted along with

the application. Such authorization shall be in the form of Power of Attorney.

The tenders which are not submitted in above mentioned manner will be rejected. Note: - Removal of beehive and bird nest for Maintenance Works relating to Tower and Antenna will be sole

responsibility of contractor.

2. EARNEST MONEY DEPOSIT –

1. Earnest Money Deposit as per NIT is to be paid through Cash / a crossed Demand Draft drawn on any nationalized bank in favour of Accounts Officer (Cash), BSNL.O/o G.M.T.D., BILASPUR

2. No interest is payable on the Earnest Money deposit. The Earnest Money deposit of unsuccessful tenderer will

be refunded within reasonable time after final decision of the tender, normally within six months from the date of opening of tender.

3. Earnest Money deposit is liable to be FORFEITED in case if tenderer a. Withdraws the tender offer before finalization of the same. b. fails to accept the offer if his / their tender is accepted. c. fails to pay the Security Deposit within the stipulated time. d. fails to execute the Agreement within stipulated time. e. fails to carry out the work within stipulated time limit. f. If the bidder submitted false & forged certificate/documents

3. SECURITY DEPOSIT –

i. Security deposit 10% of the estimated cost. E.M.D. deposited will be adjusted as a part of

SD. Security deposit will be paid by approved tenderer within 15 days of acceptance of tender in the shape

of cash / D.D. or FDR. / B.G. valid for 18 months issued by any Nationalized Bank Bank in favour of A.O.

(Cash), BSNL, O/o GMTD, BILASPUR.

ii. Performance Security deposit/Security deposit/Bid Security will not bear any interest for any period whatsoever.

iii. Security Deposit tendered in any form of Cash / Bank Guarantee or FDR shall be liable for

appropriation / adjustment against any liquidated damages for delayed execution or supply against carry

forward loss to the Department to which the contractor does not meet otherwise. If the contractor fails or

neglects to perform any of his obligation under the contract, it shall be lawful for the Govt. to forfeit

either whole or any part of the Security Deposit furnished by the Contractor, which does not amount to

imposing of penalty, after issuing 'SHOW-CAUSE NOTICE' which will be duly examined for final

decision by the competent authority and the decision conveyed to the Tenderer in writing.

iv. If the contractor duly performs and completes the contracts in all respects, the BSNL shall refund the Security

Deposit to the Contractor after deducting all costs and other expenses that the BSNL may have incurred for

making good any loss due to any action attributable to the contractor, which the BSNL is entitled to recover

from the contractor. S.D. will be refunded only after submission of No dues certificate from all concerned

involved.

v. In the event of failure of the tenderer to start the work as stipulated, the amount of Earnest Money and / or

initial security deposit shall stand forfeited and the acceptance of the tender shall be reconsidered and

revoked which will not amount to imposing of penalty.

vi. Any unclaimed Security Deposit(s) as due for refund to the contractor and remain unclaimed for three years

after its / their refund become(s) admissible (for instance after the contractor fulfils his contract) shall be

dealt with in accordance with the provisions contained in the rules of the B.S.N.L.

vii. Any unclaimed Security Deposit(s) as due for refund to the contractor and remain unclaimed for three years

after its / their refund become(s) admissible (for instance after the contractor fulfils his contract) shall be

dealt with in accordance with the provisions contained in the rules of the B.S.N.L.

viii. The "Bank Guarantee" is an „autonomous‟ contract and imposes an 'absolute obligation' on the bank in its

terms. As such the existence of disputes between the parties under this contract or a possibility of a

reference

of any dispute arising out of this contract to arbitration or of pendency of proceeding on such a reference has

absolutely no relevance to the obligation of the bank under the "Bank Guarantee". The concerned Bank is bound to pay without demur irrespective of the pendency of any arbitration proceedings.

ix. EMD of successful tender may be adjusted

x. Performance Security deposit :- 10 % amount will be deducted from each bill xi. SD,EMD and PSD shall only be refunded on verification of submission EPF, ESI, Labour

license, GST payment particular & other liable liabilities after submission of NOC

4. BRIEF DESCRIPTION OF WORKS :-

The works against the tender to be finalized and operated as Annual rate running contract will generally cover the activities mentioned in SECTION – IX.

5. VALIDITY PERIOD FOR ACCEPTANCE OF TENDER – 1. The tender would be valid for acceptance up to 240 days after opening of tender.

2. Approved tenders will remain valid for acceptance for a period of one year from the date of agreement. The

tenderers shall not be entitled to revoke or cancel his tender or to vary the tender submitted or in term thereof during this period of one year & extended period.

3. The validity period of approved tender may be further extended for three months or more by GMTD

BILASPUR under same rates, terms and conditions, if required by the department. 6. SIGNING OF CONTRACT AGREEMENT – 1. The successful tenderer shall be required to execute an agreement on a non-judicial stamp paper of Rs.100/-

(Rs. Hundred only) at his own cost and in the form specified by BILASPUR Telecom District. 2. In the event of failure of the tenderer to sign the agreement within 15 days of being called upon to do so or in

the event of his failure to start the work as stipulated, the amount of Earnest money and / or initial security deposit shall stand forfeited and the acceptance of the tender shall be reconsidered and revoked which shall not amount to imposing penalty.

7. OPENING OF E- TENDER –

The Tender will be opened in the office of AGM (NP-CFA) O/o GMTD BILASPUR in presence of authorized departmental officers and tenderers or their authorized representative bearing authority letter.

8. PAYING AUTHORITY;

Late tenders (i.e. tenders received after the specified time of opening), delayed tenders (i.e. tenders received

before the time of opening but after the due date and time of receipt of tenders) and post-tender offers should not be considered at all.

10. PENALTY CLAUSE – if the work not started from 07 days to the delay point of date , penalty should be levied at the rate of 1 % of the value of the work order per day up to 07 days, subject to a maximum of 10 (ten) percent of the cost of the work awarded.

If the work not completed in stipulated period of the work order, penalty mentioned as above are to be enforced

11. NEAR RELATIVE – 1. The contractor shall not be permitted to tender if any of his near relative is working as an officer or officials in

any capacity in C.G. Telecom Circle. He should submit an affidavit that no his / her / their near relation is employed in C.G. Telecom. Circle.

2. By the term 'near relative' is meant wife, husband, parents and grandparents, children and grand children,

brother and sister, uncles and aunts and cousins and their corresponding in-laws. 12. PAYMENT TERMS & CONDITIONS –

1 Payment will be made against the bills preferred by the contractor. The bills will be submitted in triplicate duly

pre-receipted to the representative / in-charge of the work by the contractor. The bills will be issued at the completion of one full work contained in the work order. Each bill must accompany (i) List showing the details of labourers / employees engaged. (ii) Duration of their engagement (iii) The amount of wages paid to such labourers / employees for the duration in question. (iv) Amount of E.P.F. contribution both employers and employees contribution for duration of engagement in question paid to E.P.F. authorities. (v) Copies to authenticated documents of payment of such contribution to EPF authorities and (vi) a declaration from the contractors regarding compliance of the condition of EPF Act, 1952.

2. A/T certificate should be attached with each bill if required. 10 % of the bill amount shall be deducted at the

time of payment from each bill as P.S.D., payment to the extent of only 90% shall be made and Income Tax or any other taxes at the rates applicable as per statutory requirement shall be deducted at the time of payment from each bill. Copies of authenticated documents of payments of EPF/ESI contribution paid for the last month should be

attached along with the current month bill.

GST may be added as per applicable rates in each running bills. GST no. is to be printed on top of the bills. GSTpayment challan should be attached along with bill

Copy of attendance register & wage slip must be submitted with bill Satisfactory performance certificate Proof of payment through RTGS

3. Payment will be made through account payee cheque payable through the nationalized banks at the head

quarters of the District Authority. The District Authority will not bear any collection charges.

4. Bank DD as per NIT drawn in favour of Accounts Officer (Cash), O/o GMTD BILASPUR should be

submitted by experienced tenderer along with the tender towards 'EARNEST MONEY' deposit. Failure to submit the Bank DD (in original) with tender documents will result in rejection. The earnest money of unsuccessful tenderers will be returned after finalization of tender. No interest will be paid for the period of retention. The tender should be accompanied by testimonials about work done.

5. The successful experienced tenderers will deposit the security as mentioned in Clause 3 of Section– V as FDR

/ Cash / DD or in the shape of Bank guarantee issued by any Nationalized Bank for execution of work. The Performance Security Deposit should be submitted within 15 days of acceptance of tender in this office. The currency of the same should remain valid for 18 months and to full satisfaction in all respects of the district authority.

6. Additional security deposit if found necessary as per the quantum of work may be asked for from the

successful tenderers. 7. The contractor has to submit the Bank guarantee issued by any Nationalized for the additional amounts within a

month if decided later on. 13. STANDARDS-

The under this contract shall conform to the standards mentioned in the technical Specifications.

14. PERFORMANCE SECURITY-

1. The proceeds of the performance security shall be payable to the department as compensation for any loss

resulting from tenderer‟s failure to complete its obligations under the contract.

2. Performance security,Bid Security and SD shall only be refunded on verification of all submitted. EPF, ESI,

Labour license, GSTpayment particular & other liable liabilities after submission of NOC 3. No interest will be paid to the contractor on the security deposit/Performance security/EMD

15. INSPECTION AND TESTS-

(i) The GMTD BILASPUR or his representative shall have the right to inspect and test the goods as per prescribed test schedules for their conformity to the specifications. The technical specifications attached to said tender specify what inspections and tests the GMTD BILASPUR or his representative requires and where they are to be conducted. When the GMTD BILASPUR decides to conduct such tests on the premises of the contractor or his subcontractor(s), all reasonable facilities and assistance like testing instruments and other test gadgets including access to drawings and production data shall be furnished to the inspectors at no charge to the GMTD BILASPUR or his representative.

(ii) Should any inspected or tested goods fails to conform to the specifications, the GMTD BILASPUR or his

representative may reject them and the contractor shall either replace the rejected goods or make all alternations necessary to meet specification requirements free of cost to the SSA BILASPUR.

(iii) If any goods or any part thereof, before it is taken over under clause is found defective or fails to fulfill the requirements of the contract, the GMTD BILASPUR or his representative shall give the contractor notice setting forth details of such defects or failure and the contractor shall make the defective equipment good, or alter the same to make it comply with the requirement of the contract forthwith and in any case with in a period not exceeding 3 (three) months of the initial report. These replacements shall be made by the contractor free of all charges at sites. Should it fail to do so with in this time, the GMTD BILASPUR reserves the discretion to reject and get the goods, which is defective or fails to fulfill the requirements of the contract. The cost of any such replacement made by the GMTD BILASPUR shall be recoverable from the contractor either by deducting from the amount payable to the contractor by adjustment in contract value or encashment of performance bank guarantee or in any other manner.

16. WARRANTY:- 1. The contractor shall warrant that stores to be supplied shall be new and free from all defects and faults in

material, workmanship and manufacture and shall be of the highest grade and consistent with the established and generally accepted standards for materials of the type ordered and shall perform in full conformity with the specifications and drawings. The contractor shall be responsible for any defects that may develop under the conditions provided by the contract and under proper use, arising from faulty materials, design or workmanship such as corrosion of the equipment, inadequate quantity of material to meet equipment requirements, inadequate contact protection, deficiencies in circuit design and / or otherwise and shall remedy such defects at his own cost when called upon to do so by the GMTD BILASPUR who shall state in writing in what respect stores are faulty. The contractor shall warrant that if the system deficiencies are noticed in operation of the system, then the corrective measures / assistance shall be supplied free of cost. This warranty

shall survive inspection or payment for, and acceptance of goods, but shall expire except in respect of complaints notified prior to such date 12 (twelve) months after the stores have been taken over under clause above.

2. If it becomes necessary for the contractor to replace or renew any defective portion/portions of the equipment under this clause, the provisions of the clause shall apply to the portion/portions of the equipment so replaces or renewed or until the end of the above mentioned period 12 (twelve) months, whichever may be later. If any defect is not remedied within a reasonable time, the GMTD BILASPUR may proceed to do the work at the contractor‟s risk and expenses, but without prejudice to any other rights, which the GMTD BILASPUR may have against the contractor in respect of such defects.

3. Replacement under warranty clause shall be made by the contractor free of all charges at site including freight,

insurance and other incidental charges. 17. SUITABILITY OF GOODS. 1. The equipment supplied under this contract shall conform to the standards prescribed in the technical

specifications in the said tender. The contractor shall indemnify the GMTD BILASPUR against all third party claims of infringement of patent, trademark or industrial design rights arising from use of the goods or any part thereof in Indian Telecom Network.

2. Modifications, if any, required to be incorporated after inspection and tests shall be made in the goods to be

supplied to make them fully compliant to the GMTD BILASPUR specifications. No extra cost shall be payable on this account by the GMTD BILASPUR.

18. MAINTENANCE, OPERATIONS AND USE OF GOODS-

The GMTD BILASPUR shall, except for force majeure or any other circumstances beyond control and normal wear and tear, keep the goods in good working serviceable condition, repair and replace all missing, damaged or broken parts provided that during warranty period, the contractor shall discharge all other responsibilities as indicated in clause above.

19. SUB CONTRACTS–

The contractor shall notify the GMTD BILASPUR in writing of all sub contracts awarded under this contract if not already specified in his bid. Such notification, in this original bid or later shall not relieve the contractor from any liability or obligation under the contract.

20. ADDITIONAL ALTERATION OF EQUIPMENT-

The contractor shall be entitled to add to or install additional machinery/goods/accessories for use along with or in conduction with the goods, or to alter or modify the whole or part of the goods taken. This will not in any way entitled the contractor to ask for a change in the terms and conditions of the purchase order.

21. SET OFF-

Any sum of money due and payable to the contractor (including security deposit refundable to him) under this

contract may be appropriated by the GMTD BILASPUR of the Govt. or any other person or persons contracting through the Govt. of India and set off the same against any claim of the GMTD BILASPUR or Govt. or such other person or persons for payment of a sum of money out of this contract or under any other contract made by the contracting with the GMTD BILASPUR or Govt. of such other person or persons contracting through the Govt. of India.

22. FORCE MAJEURE – 1. If at any time, during the continuance of this contract, the performance in whole or in part by either party, of

any obligation under this contract, shall be prevented or delayed by reason of any war, or hostility, acts of the

public enmity, civil commotion, sabotage, fires, floods, explosions, epidemics, quarantine restrictions, strikes, lookouts or acts of God (hereinafter referred to as events), provided notice of happenings, of any such eventuality is given by either party to the other within 21 days from the date of occurrence thereof, neither party shall, by reason of such event, be entitled to terminate

This contract nor shall either party shall have any such claims for damages against the other in respect of such non-performance or delay in performance, and deliveries under the contract shall be resumed as soon as practicable after such event may come to an end or cease to exist, and the decision of the GMTD BILASPUR as to whether the deliveries have been so resumed or not, shall be final and conclusive, provided further that if the performance, in whole or part of any obligation under this contract is prevented or delayed by reason of any such event for a period exceeding 60 days, either party may, at his option terminate the contract.

2. Provided also, that if the contract is terminated under this clause, the GMTD BILASPUR shall be at liberty to take over from the contractor, at a price to be fixed by the GMTD BILASPUR, which shall be final, all unused, undamaged and acceptable materials, bought out components and stores in the course of the manufacture in possession of the contractor at the time of such termination of such portions thereof, as the GMTD BILASPUR may deem fit, excepting such materials, bought out components and stores as the contractor may with the concurrence of the GMTD BILASPUR elect to retain.

23 ARBITRATION CLAUSE – (i) In the event of any question, dispute or difference arising under this agreement or in connection therewith except as

to matter the decision of which is specifically provided under this agreement the same shall be referred to sole arbitrator of the to be decided by G.M.T.D. BSNL BILASPUR or in case his designation is changed or his office is abolished then in such case to the sole arbitration of the officer for the time being entrusted whether in addition to the functions of the to be decided by G.M.T.D. BSNL BILASPUR or by whatever designations such officers may be called (hereinafter referred to as the said officer) and if the G.M.T.D. BSNL BILASPUR or the said officer. The agreement to appoint an arbitrator will be in accordance with the Arbitration and conciliation Act, 1996.

There will be no objection to any such appointment that the arbitrator is Government Servant or that he has to deal with the matter to which the agreement relates or that in the course of his duties as Government Servant he has expressed views on all or any of the matter under dispute. The award of the arbitrator shall be final and

binding on the parties. In the event of such arbitrator to whom the matter is originally referred, being transferred or vacating his office or being unable to act for any reasons whatsoever such to be decided by G.M.T.D. BSNL BILASPUR or the said officer shall appoint another person to act as arbitrator in accordance with terms of the agreement and the person so appointed shall be entitled to proceed from the stage at which it was left out by his predecessors.

(ii) The arbitrator may from time to time with the consent of parties enlarge the time for making and publishing the

award, subject to aforesaid Arbitration and Conciliation Act-1996 and the Rules made there under, any modification thereof for the time being in force shall be deemed to apply to the arbitration proceeding under this clause.

(iii) The venue of the arbitration proceeding shall be the office of to be decided by G.M.T.D BSNL BILASPUR

or such other palaces as the arbitrator may decide. 24 SPECIAL RIGHTS OF GMTD BILASPUR

1. In case of any dispute between the two contracting parties, the decision of the GMTD BILASPUR will be

final. 2. The GMTD BILASPUR is not bound to accept the lowest tender, and also reserves the right to reject any or all

the tenders so received without assigning any reason. 3. The General Manager Telecom. District, BILASPUR reserves the right to disqualify such bidders who have a

record of not meeting the contractual obligations against earlier contracts entered with the department. 4. The GMTD BILASPUR reserves the right to increase or decrease the duration and validity of the contract from

normal one-year duration and also reserves in the interest of the department. 5. The quantum of work may vary by 25% of the amount stated in the NIT of the document at the discretion of

competent authority in the interest of department. 6. In case of any dispute, case would be referred to the G.M. Telecom. District, BILASPUR or any other

authority looking after the duties / works of G.M. Telecom. District, BILASPUR and he would be the sole arbitrator. His decision would be final and binding on all cases.

7. The GMTD, BILASPUR reserves the right to award the works to more than one bidder, if required in the interest of the department.

8 Tenders with any condition including that of conditional / unconditional rebates shall be rejected forthwith. 9 All provisions of statutory acts enacted by the Govt. or other codal formalities issued by other statutory

bodies and local authorities from time to time shall be fulfilled complied at the cost of bidder/tenderer. 25 AWARD OF CONTRACT –

1. The G.M.T.D., BILASPUR reserves the right to award the work to more than one bidder. 2. The GMTD BILASPUR reserves the right at the time of award of contract or during contract period to increase

or decrease up to 25% of the quantity of Work and services specified in the schedule of requirements without any change in unit-wise price and other terms and conditions:

26 MISCELLANEOUS: 1 The contractor will have to make his own arrangement to carry out the work. 2 Contractors will be fully responsible for any damages caused while doing awarded work or any other incident

like theft etc. department in no way will be responsible for payment of any compensation for any damage, accident, theft claimed by the person at whose place work is carried out by the contractor.

3. Contractor will be responsible as per the labour laws for the labourers employed by him/them for any damage (temporary or permanent) caused to the labour while carrying out the work. The responsibility for payment of compensation to labour will be fully of the contractor. He will be responsible for any injury (temporary or permanent caused) to the labour while carrying out the work.

4. Contractor will be fully responsible & charges will be paid by him for any damages done to third party property or existing telecom network. He must take due care to avoid any damage to third party or the existing telecom network.

5. Individual work order will be issued by AGM (NP-CFA) O/o GMTD BILASPUR/DE concerned 6. The work has to be executed as per instructions of different field officers in BILASPUR Telecom District. 7. Schedule of work will be intimated by the concerned AGM (NP-CFA) O/o GMTD BILASPUR/DE concerned. 8. The contractor will have to make the arrangements for intimating the progress of the works awarded on weekly

basis. The contractor has also to make the arrangements for obtaining the work orders and instructions on daily basis from the in-charge of the work. The contractor will intimate the telephone number and address on which he/they or their representative can be contacted so that any important message or instruction can be passed on without fail.

9. The contractor has to provide the photo identity cards to the staff employed by him/them on his own cost, for carrying out the work. The identity cards are to be countersigned by the General Manager Telecom District, BILASPUR or the SDOs concerned of the area.

10. The contractor has to submit the list of the staff employed by him / them to the SSA BILASPUR. Any change

in the staff should be intimated to the S.D.O concerned & SSA BILASPUR 11. The contractor shall obtain a valid license under contractor labour (R&A) act. 1970 and to contract labour regulation

& abolition central rules 1971 and subsequent modification etc., in force at the commencement of the work and continue to have valid license till the completion of the work. Any failure to fulfill this requirement shall attract the penal provisions of this contract arising out of the resultant non-execution of the work.

12. The successful tenderer must produce valid income tax Return certificate before the work is awarded to him.

13. The labour below the age of 18 years shall not be employed on the work, as per labour laws. 14. The contractor shall comply with the provisions of the payment of wages Act. 1936, workman compensation

Act.1923. Industrial dispute Act. 1961 and the contractor (Labour regulations of abolition) Act 1970 or the modifications thereof or any law relating there of the rules are there under from time to time.

15. Any attempt for negotiation direct or indirect on the part of tenderer with the authority to whom he has submitted the tender or the authority who is competent finally to accept it after he has submitted his tender or endeavors to secure interest for actual or prospective tender or to influence by any means the acceptance of the particular tender will liable to be excluded from the consideration.

16. The quantity indicated in the tender is approximate only which may vary as per departmental requirement

in both side. 17. If necessary the GMTD BILASPUR would have full right to reject the order on the same rate, terms and

conditions. 18. Contractor will follow the labour rule.

19. The tenderer should sign on all the pages of tender documents. 20. Tender will be evaluated as a package for all their goods items given in the price schedule for the quality

mentioned inclusive of all taxes & levies. 21. The terms & condition of the provision of E.P.F. Misc provision act 1952 and Employees provident fund

scheme 1952 shall be full filled complied by the contractor in respect of labour/employees engaged by them. 27. ISSUE OF WORK ORDERS AND TIME UNIT:

I. The work orders shall be issued by the Divisional Engineer in-charge after examining the technical and planning

details of the works to be executed. Necessary detail estimate should be thoroughly checked for provisioning of stores,

cash before issuance of work order.

ii. If due to any reason partial work order is to be issued then the same shall be issued with the approval of an officer not below the rank of General Manager / or not below the rank of Director.

iii. The Divisional Engineer shall mention the time limit to execute the work order after seeing the quantum of

work and store availability position. iv. The BILASPUR SSA reserves the right to cancel or modify the scope of work stipulated to be carried out

against the work order in the event of change of plan necessitated on account of technical reasons or in the opinion of work order issuing authority or the head of SSA, the contractor is not executing the work at the required rate.

28 EXTENSION OF THE TIME :

1. General 1.1 In each work order, the work order issuing authority shall specify the time allowed for completion of work

consistent with the magnitude and urgency of work. The time allowed for carrying out the work is to be strictly observed by the contractor and shall be reckoned from seventh day from the date of issue of work order.

1.2 In as much as "the time being deemed to be the essence of contract", throughout the stipulated period of contract, the work is to be proceeded with all due diligence on the part of the contractor. 2

Application for Extension-of the Time and Sanction of Extension of Time (EOT): 2.1 There may be some hindrances, other than covered under force majeure, while execution of work and In such cases the contractor shall apply in writing in the presale Form (Part-A) to the engineer- in-charge for extension of time (EOT), on account of whim he desires such extension within three days of occurrence of hindrance. The Engineer-in-charge shall forward the request to the competent authority with his detailed -report and photocopy of the hindrance register, in the prescribed Form (Part-B) within three days of receipt of request from the contractor. The competent authority is empowered to grant extension of time for completion of work on certain conditions. He shall exercise such powers, if the following conditions are satisfied. 2.2 The application contains the ground(s), which hindered the contractor in execution of Work. 2.3 The Engineer-in-charge is of the opinion that the grounds shown for extension of time are reasonable. 2.4 The competent authority shall consider the request keeping all the facts and circumstances in view arid shall

grant extension of time, if in his opinion, there is reasonable and sufficient ground for granting such extension and the reasons for delay are not ascribable to the contractor.

2.5 The competent authority may also grant extension of time for completion of work in cases where reasons for delay are ascribable the contractor, but such extension of time shall be with LD charges as per cause dealing with penalty for delays in execution of works. The extension of time with LD charges shall be issued under the signature of JAG level Telecom. Officer competent to grant the extension of time.

2.6 The competent authority shall grant EOT with time period for completion of work expressly mentioned. The

sanction of the competent Authority of EOT shall be issued under the signature of the Engineer-in-charge. 2.7 If the competent authority is of the opinion that the grounds shown by the contractors are not reasonable and

sufficient and declines to grant the extension of time, the contractor cannot challenge the soundness of the opinion by reference to arbitration. The decision of the competent authority on period of extension of time or refusal for extension of time shall be final and binding on the contractor.

3 Grant of Extension of Time without Applications: 3.1 There are, at times, practical difficulties like non-availability of materials, delay in providing permissions/right

of way etc. reasons of which are ascribable to the BILASPUR SSA. In such cases, the Engineer-in-charge with the approval of competent authority to sanction EOT, may Issue extension of time suo moto without waiting for contractor to make an application for EOT. Entry of hindrances shall be made in the Hindrance Register. The BILASPUR SSA will, however, not be liable to the contractor for any losses or damages, costs, charges, or expenses that the contractor may in any way sustain/suffer due to delay in making the above available.

SECTION VI

SPECIAL CONDITIONS OF CONTRACT 1. GENERAL:

1.1 The work shall be accepted only after Acceptance Testing carried out by BSNL team, designated by the

BSNL, as per prescribed schedule and work/material passing the test successfully.

1.2 The BSNL BILASPUR reserves the right to disqualify such bidders who have a record of not meeting

contractual obligations against earlier contracts entered into with the BSNL BILASPUR.

1.3 The BSNL BILASPUR reserves the right to black list a bidder for a suitable period In case he falls to honour

his bid without sufficient grounds. 1.4 The BSNL BILASPUR reserves the right to counter offer price(s) against price(s) quoted by any bidder. 1.5 Any clarification issued by BSNL BILASPUR, in response to query raised by prospective bidders shall form

an integral part of bid documents and it may amount to amendment of relevant clauses of the bid documents. .

1.6 Tender will be evaluated as a single package of all the items given in the price schedule. 1.7 All work to be executed under the contract shall be executed under the direction and subject to the approval in all

respects of by the Divisional Engineer or Site Engineer In-charge of work site who shall be entitled to direct at what point or points and what manner they are to be commenced, and from the time to time carried on.

3.8 The work in each section may be split up between two or more contractors or accept any tender in part and

not entirely if considered expedient by the GMTD BILASPUR.

3.9 If the contractor shall desire an extension of time for completion of the work on the grounds of unavoidable

hindrance in execution of work or on any other ground he shall apply in writing to the Divisional Engineer within 3 days of the date of hindrance on account of which he desires such extension as aforesaid. In this regard the decision of (the SSA Head) shall be final.

3.10 If at any time after the commencement of the work, the BSNL BILASPUR may feel that execution of whole or part of work, as specified in the tender is not required to be carried out, then the BSNL BILASPUR shall give notice in writing of the fact to the contractor who shall have no claim. to any payment of compensation whatsoever on account of any profit or advantage which he might have derived in consequence of the full amount of the work not having been carried out neither shall he have any claim for compensation by reason of any alterations having been made in the original specifications, drawings, designs and instructions which shall instructions any curtailment of the work as originally contemplated.

1.11 Whenever any claims against the contractor for the payment of a sum of money arises out of or under the contract,

the BSNL BILASPUR shall be entitled to recover such sum by appropriating in part or whole the security deposit of the contractor, and to sell any BSNL promissory notes etc, forming the whole or part of such security or running I Anal bill pending against any contract with the BSNL BILASPUR In the event of the security being insufficient or if no security has been taken from the contractor , then the balance or the total sum recoverable as the case may be, shall be deducted from any sum then due or which at any time there after may become due to the contractor under this or any other contract with BSNL. Should this sum be not sufficient to rover the full amount recoverable the contract or shall pay to BSNL BILASPUR on demand the balance remaining due.

1.12 No official of Gazetted rank or other Gazetted officer employed in Engineering or administrative duties in an Engineering BSNL BILASPUR or any other BSNL BILASPUR of the BSNL of India is allowed to work as a contractor for a period of two years after his retirement from BSNL service without the previous

permission of BSNL of India. This contract is liable to be cancelled if either the contractor or any of his employees is found at any time to be such a person who hadn't obtained the permission of BSNL of India as aforesaid before submission of the engagement In the contractor's service as the case may be.

1.13 In the event of the contractor being, adjusted insolvent or going voluntarily into liquidation of having

received order or other order under insolvency act made against him or in the case of company, of the passing of any resolution, or making of any order for winding up whether voluntarily or otherwise, or in the event of the contractor failing to comply with any of the conditions herein specified. The GMTD BILASPUR shall have the power to terminate the contract without any notice.

1.14 Without prejudice to any of the rights or remedies under this contract, if the contractor dies, the (the GMTD

BILASPUR) on behalf of the President can terminate the contract without compensation to the contractor. However (GMTD BILASPUR) at his discretion may permit contractor's heirs to perform the duties or engagements of the contractor under the contract, in case of his death. In this regard the decision of (GMTD BILASPUR) shall be the final.

1.15 In the event of the contractor, winding up his Company on account of transfer or merger of his company with any other, the contractor shall make it one of the terms and Stipulations of the contract for the transfer of his properties and business, that such other person. or company, shall continue to perform the duties or engagement of the contractor under this contract and be subject to his liabilities there under.

1.16 Interpretation of the contract document: 1.16.1 The representative of (the GMTD BILASPUR) and the contractor shall in so far as possible by mutual

consultation, by to decide upon the meaning and intent of the contract document. In-case of disagreement the matter shall be referred to GMTD BILASPUR whose decision shall be final. Any change in the contract: documents shall be set forth in writing by the representative of the parties hereto. It shall be the contractor's responsibility to thoroughly familiarize all of his supervisory personnel with the contents of all the contract documents.

1.17 Notification: 1.17.1 The contractor shall give in writing to the proper person or authority with a copy to the Divisional Engineer such

notification as may be mandatory or necessary In connection with the commencement, suspension, resumption, performance and I or completion of the contracted work . All notice shall be given sufficiently in advance of the proposed operation to permit proper co-relation of activities and the contractor shall keep all proper persons or authorities involved and advised of the progress of operations through out the performance of the work and/or with such 'other Information and or supporting figure and data as may from time to time as directed or required.

1.18 Shut down on account of weather conditions : 1.18.1 The contractor shall not be entitled to any compensation whatsoever by reason of

suspension of the whole or any part of the work made necessary by the BSNL or deemed advisable on account of bad weather conditions or other force majeure conditions. .

2. STORES SUPPLIED BY THE BSNL BILASPUR: 2.1 At no point of time the contractor shall be issued stores of value more than the contractor's performance

security as per cause number 3 of section V. If at all the work requires more amount of materials to issue to the contractor, then the security shall suitably be revised before the issue of the store and the contractor will not have any objection to it.

2.2 The contractor shall transport (including loading and unloading) all stores Issued to him from GMTD BILASPUR Store, to the site of work at his own cost. The BSNL BILASPUR shall not pay any transportation charges to the contractor.

2.3 All materials supplied to the contractor the BSNL BILASPUR shall remain the absolute property of BSNL

BILASPUR and shell not removed from site of the work except for use in the work and shall be at all time open to

inspection by the Representative of (the GMTD BILASPUR). In-case the store and accessories are taken delivery of by the contractor and stored at the site office/store of the contractor such site office/store will also be treated "as site” for this purpose. Any stores remaining unused at the time of the abandonment, completion or determination of the contract shall be returned to the BSNL BILASPUR at a place informed to him the BSNL BILASPUR, failing which the cost of the unused materials shall be deducted from the contractor's Performance security or any of his pending bills or from any other security.

2.4 The contractor shall be responsible for the transportation of store, storage and safe custody of all material supplied to him by the BSNL BILASPUR, which in the contractor's custody whether, or not installed in the work. The contractor shall satisfy himself regularly the quantity and quality of the materials supplied to him and he will be responsible for any subsequent deterioration and discrepancy (inclusive of theft) in the quantity and quality of the materials.

2.5 The contractor shall submit a proper account every month of all the materials supplied to him by the BSNL

BILASPUR and those consumed for items of work any discrepancy of difference between the materials issued to the contractor and those consumed in the work as per the "BSNL BILASPUR calculation" (which shall be final) will be charged to the contractor or deducted from his bills at 1.5 times of prevailing standard price including freight, handling charges, storage charges etc.

2.6 The contractor shall ensure that only the required materials are issued to him. Upon completion of work, the

contractor shall return to the Govt. at the later designated store in good condition, free of charges, any unused. materials that were supplied by the BSNL BILASPUR

3. QUALITY OF WORK:

3.1 The BSNL BILASPUR shall be the final judge of the quality of the work and the satisfaction of the

BSNL BILASPUR in respect thereof set forth in the contract documents. Laxity or failure to enforce compliance

with the contract documents by the BSNL BILASPUR and 1 or its representative shall not manifest a change or

intent of waiver, the Intention being that, notwithstanding the same, the contractor shall be and remain responsible

for complete and proper compliance with the contract documents and the specification there in. The representative

of GMTD BILASPUR has the right to prohibit the use of men and any tools, and equipment which in his opinion do

not produce work or performance meet the requirement of the contract documents

4. TAXES AND DUTIES: 4.1 Contractor shall pay all rates, levies, fees royalties, taxes and duties payable or arising from out of, by virtue of

or in connection with and/or incidental to the contract or any of the obligations of the parties in terms of the contractor documents and / or in respect of the works or operations or any part thereof to be performed by the contractor and. the contractor shall indemnify and keep indemnified the BSNL BILASPUR from and against the same or any default by the contractor in the payment thereof. GSTas applicable will be paid by BSNL.

5. PROTECTION OF UNFORESEEN EVENT AND PROPERTY AND EXISTING FACILITIES: 5.1 The contractor is fully responsible for taking all possible safety precaution during preparation for and actual

performance of the works and for keeping the construction site in a reasonable safe condition. The contractor shall protect all life and property from damage or losses resulting from his construction operations and shall minimize the disturbance and inconvenience to the public.

5.2 The contractor shall be solely liable for all expense for and in respect of repairs and / or damage occasioned

by injury of or damage to such underground and above structures or other properties and under take to indemnify the BSNL BILASPUR from and against all actions, cause of actions, damages, claims and demands what-so-ever, either In law or in equity and all losses and damages and costs (inclusive between attorney and client), charges and expenses in connection therewith and / or incidental thereto.

5.3 The current market value of any commodities lost as a result of any damage to the aforesaid existing

facilities shall be paid by the contractor together with such additional sums necessary to liquidate the personal of

property damages, resulting there from. 6. LABOUR WELFARE MEASURES AND WORKMAN COMPENSATION:

6.1 Obtaining License before commencement of work :- The contractor shall obtain a valid labour license under the Contract labour (R&A) Act 1970 and the Contract: Labour (Regulation and Abolition) Central Rules 1971, before commencement of the work, and continue to have a valid license until the completion of work. The contractor shall also abide by the provisions of the child Labour (Prohibition and Regulation) Act 1986. Any failure to FULFILL this requirement shall attract the penal provisions of this contact arising out of the resultant non-execution of work. .

6.2 Contractors Labour Regulations: 6.2.1 Working Hours

6.2.1.1 Normally working hours of an employee should not exceed 9 hours a day. The working day shall be so arranged that Inclusive of Interval for rest, if an')(, it shall not spread over more than 12 hours on any day.

6.2.1.2 When a worker is made to work for more than 9 hours on any day or for more than 48 hours in any

week he shall be paid over time for the extra hours put in by him. .

6.2.1.3 Every worker shall be 'given a weekly holiday normally on a Sunday, in accordance with the previsions of Minimum Wages (Central) Rules 1960, as amended from time to time, Irrespective of whether such

worker Is governed by the Minimum Wages Act or not. . .

6.2.1.4 Where the minimum wages prescribed by the BSNL, under the Minimum wages Act,. .are not Inclusive of the wages for the weekly day of rest, the 'worker shall be entitled to rest day wages, at the rate applicable to the next preceding day, provided he has worked under the same contractor for a continuous period of not less than 6 days.

6.2.1.5 Where a contractor is permitted by the Engineer-in-O1arge to allow a worker to work on a normal

weekly holiday, he shall grant a substituted holiday to him for the whole day, on one of the five days, immediately before or after the normal weekly holiday, and pay wages to such worker for the work performed on the normal weekly holiday at the overtime rate.

7. Display of Notice Regarding Wages Etc.

The contractor shall, before he commences his work on contract, display and correctly maintain and continue to display and correctly maintain, In a dear and legible condition in conspicuous places on the work, notices in English and in local Indian languages spoken by the majority of the workers, giving the minimum rates of the wages fixed under Minimum Wages Act, the actual wages being paid, the hours of work for which such wage are earned, wages periods, dates of payments of wages and other relevant information.

7.1 Payment of Wages.

7.1.1 The contractor shall fix wage periods in respect of which wages shall be payable. 7.1.2 No wage period shall exceed one month.

7.1.3 The wages of every person employed as contract labour in an establishment or by a contractor,

where less than one thousand such persons are employed, shall be paid before the expiry of seventh day and in other cases before the expiry of tenth day after the last day of the wage period in respect of which the wages are payable.

7.1.4 Where the employment of any worker is terminated by or on behalf of the contractor, the wages

earned by him shall be paid before the expiry of the second working day from the date on which his employment is terminated.

7.1.5 All payment of wages shall be made on a working day at the work premises and during the working

time and on, a date notified In advance and in case the work Is completed before the expiry of the wage period, final payment shall be made within 48 hours of the last working day.

7.1.6 Wages due to every worker shall be paid to him direct or to other person authorized by him in this behalf.

7.1.7 All wages shall be paid in current coin or currency or in both.

7.1.8 Wages shall be paid without any deduction of any kind except those specified by the - Central BSNL

by general or special order in this behalf or permissible under the Payment of wages Act 1956.

7.1.9 A notice showing the wages 'period and the place and time of disbursement of wages shall, be displayed at the place of work and a copy sent by the contractor to the Engineer in-Charge under acknowledgement.

7.1.10 It shall be the duty of the contractor of to 'ensure the disbursement of wages in presence of the site Engineer or any other authorized representative of the Engineer-in-Charge who will be required to be present at the place and time of the disbursement of wages by the contractor to workmen.

7.1.11 The contractor shall obtain from the site Engineer or any other authorized representative of the Engineer-

in-Charge, as the case may be, a certificate under his signature at the end of the end of the entries in the "Register of wages" or the "Wage-cum-Muster Roll", as the case may be, In the following form:-

"Certified that the amount shown in the column No has been paid to the workman concerned in my presence on …… at"……

7.2 Fines and deductions which may be made from wages 7.2.1 The wages of a worker shall be paid to him without any deduction of any kind except the following

(a) Fines

(b) Deductions for absence from duty i.e. from the place or the places where by the terms of his employment he is

required to work. The amount of deduction shall be in proportion to the period for which he was absent. (c) Deductions for damage to or loss of goods expressly entrusted to the employed

person for 0JSt0dy, or for loss of money or any other deductions which he is required to account, where such damage or loss is directly attributable to his neglect or default.

(d) Deduction for recovery of advances or for adjustment of overpayment of wages, advances granted shall be entered in a register. (e) Any other deduction, which the Central BSNL may from time to time, allow.

7.2.2 No fines should be imposed on any worker save in respect of such acts and omissions on his part as have

been approved of by the Labour Commissioner.

7.2.3 No fine shall be imposed on a worker and no deduction for damage or loss shall be made from his wages

until the worker has been given an opportunity of showing cause against such fines or deductions.

7.2.4 Every fine shall be deemed to have been Imposed on the day of the act or omission in respect of which it was

imposed. 7.3 Labour records 7.3.1 The contractor shall maintain Register of Persons employed on work on contract in From XIV of the

contract Labour (R&A) Central Rules 1971.

7.3.2 The contractor shall maintain a Muster Roll register In respect of all workmen employed by him on the

work under Contract in Form XVI of the a. (R&A) Rules 1971.

7.3.3 The contractor shall maintain a Wage Register in respect of all workmen employed by him on the work

under contract in From XVII of the CL (R&A) Rules 1971.

7.3.4 Register of accidents - The contractor shall maintain a register of ATTNDNCE in such form as may be

convenient at the work place but the same shall include ,the following particulars:-

a) Full Particulars of the laborers who met with accident. b) Rate of wages c) Sex d) Age

k) Claim required to be paid under Workmen‟s Compensation Act. l) Date of payment of compensation. m) Amount paid with details of the person to whom the same was paid n) Authority by whom the compensation was assessed o) Remarks

7.3.5 The contractor shall maintain a Register of Fines in the Form XII of the a. (R&A) Rules 1971 the contractor

shall display in a good condition and in a conspicuous place of work the approved list of acts and emission for which fines can be imposed.

7.3.6 The contractor shall maintain a Register of deductions for damage or loss in Form XX of the a. (R&A)

Rules 1971. 7.3.7 The contractor shall maintain a Register of Advances in Form XXIV of the a. (R&A) Rules 1971. 7.3.8 The contractor shall maintain a Register of Overtime in Form XXIV of the a. (R&A) Rules 1971.

7.4 Attendance card-cum wage slip 7.4.1 The contractor shall issue an Attendance card cum wage slip to each workman employed by him. 7.4.2 The card shall be valid for each wage period, 7.4.3 The contractor shall mark the attendance of each workman on the card twice each day, once at the

commencement of the day and again after the rest interval, before he actually starts work. 7.4.4 he card shall remain in possession of the Worker during the wage period under referel1le.

7.4.5 The contractor shall complete the wage slip portion on the reverse of the card at least a day prior to the

disbursement of wages in respect of the wage period under reference.

7.4.6 The contractor shall obtain the signature or thumb Impression of the worker on the wage slip at the time of

disbursement of wages and retain the card with him. 7.5 Employment card

The contractor shall issue an Employment Card in the Form XIV of a. (R&A) Central Rules 1971 to each worker within three days of the employment of the worker.

7.6 Service certificate

On termination of employment for any reason whatsoever the contractor shall issue to the workman whose services have been terminated, a Service Certificate in the from XV of the a. (R&A) Central Rules 1971.

7.7 Preservation of labour records

The Labour records and records of Fines and deductions shall be preserved in original for a period of three years from the date of last entries made in them and shall be made available for inspection by the Engineer-in-charge or Labour Officer or any other officers authorized by the Ministry of Communication in this behalf.

7.8 Power of labour officer to make investigations or enquiry

The labour officer or any person authorized by the Central BSNL on their behalf shall have power to make enquiries with a view to ascertaining and enforcing due and proper observance of Fair Wage Causes and provisions of these Regulations. He shall investigate into any complaint regarding the default made by the contractor In regard to such revision.

7.9 Report of Investigating officer and action thereon

The Labour Officer or other persons authorized as aforesaid shall submit a report of result of his investigation or enquiry to the Engineer in-charge indicating the extent, if any, to which the default has been committed with a note that necessary deductions from the contractor's bill be made and the wages and other dues be paid to the labourers concerned. The Engineer in-charge shall arrange payments to the labour concerned Within. 45 days from the receipt of the report from the Labour Officer or the authorized officer as the case may be.

7.10 Inspection' of Books and Slips

The contractor shall allow inspection of all the prescribed labour records to any of his workers or to his agent at a convenient time and place after due notice is received or to the Labour Officer or any other person, authorized by the Central BSNL on his behalf.

7.11 Submission of Returns

The contractor shall submit periodical returns as may be specified from time to time.

7.12 Amendments

The Central BSNL may from time to time add to or amend the regulations and on any question as to the application/interpretation or effect of those regulations.

8. INSURANCE: 8.1 Without limiting any of his other obligations or liabilities, the contractor shall, at his own expense, take and

keep comprehensive insurance including third party risk for the plant, machinery, men, materials etc. brought to the site and for all the work during the execution. The contractor shall also take out workmen's compensations insurance as required by law and under take to indemnify and keep indemnified the BSNL from and against all manner of claims and demands and losses and damages and cost (including between attorney and client) charges and expenses that may arise in regard the same or that the BSNL may suffer or incur with respect to end / or incidental to the same. The contractor shall have to furnish originals and / or attested copies as required by the BSNL BILASPUR of the polices of insurance taken within 15 (fifteen) days of being called upon to do so together with all premium receipts and other papers related thereto which the department may require.

9. COMPUANCE WITH LAWS AND REGULATION: 9.1 During the performance of the works the contractor shall at his own cost and initiative fully comply with all

applicable laws of the land and with any and all applicable by-laws rules, regulations and orders and any other

provisions having the force of law made or promulgated or deemed to be made or promulgated by the BSNL,

BSNL agency or BSNL BILASPUR, municipal board, BSNL of other regulatory or Authorised body or persons

and shall provide all certificates of compliance therewith as may be required by such applicable law. By-laws,

Rules, Regulations, orders and / or provisions. The contractor shall assume full responsibility for the payment of

all contributions and pay roll taxes, as to its employees, servants or agents engaged in the performance of the work

specified in the contractor documents. If the contractor shall require any assignee or sub-contractor to sham any

portion of the work to be performed hereunder may be assigned, sub-leased or sub-contracted to comply with the

provisions of the clause and in this connection the contractor agrees as to undertake to save and hold the BSNL

harmless and indemnify ed from and against any/all penalties, actions, suits, losses and damages, claims and

demands and costs (inclusive between attorney and client) charges and expenses whatsoever arising out or

occasioned, indirectly or directly , by failure of the contractor or any assignee or sub-contractor to make full and

proper compliance with the said by-laws , Rules, Regulations, Laws and Order and provisions as aforesaid.

10. TOOLS AND PLANTS:

The contractor shall provide at his own cost all tools, plants appliances, implements etc. required for proper execution of works. The contractor shall also supply without charge the requisite number of persons with the means and materials. necessary for the purpose of setting out works, counting, weighing and assisting the measurements for examination at any time and from time to time. The contractor shall be responsible to make all arrangements, at his own cost for de-watering of trenches/ducts and de-gasification of the ducts before carrying out the work. The contractor shall also be responsible to make arrangements, at his own cost, for water required for carrying of works at sites including curing of CC/RCC works. Failing his so doing the same may be provided by the Engineer-in-d1arge at the expense of the contractor and the expenses shall be deducted from any money due to the contractor under this contract or otherwise.

10.1 Compliance of EPF Act - 1952

The contractor will have to fulfill / compliance of provision of EPF & misc. provisions Act - 1952 & employees provident fund scheme 1952 by the contractor in respect of Labours / Employees engaged by them. for performing the work in BSNL while submitting the claim of bills to wards works executed by him, he must accompany the

(i) List showing the details of Labours / employees engaged (ii) Duration of their engagement

(iii) The amount of wages paid to such Labours / employees for the duration in question. (iv) Amount of EPF contribution (both employees & employers) for the duration in question

(v) Copies of authenticated of payment of such contribution to EPF authority and a declaration from

the contractor regarding compliance of EPF Act – 1952

10.2 If contractor fails to compliance the EPF Act 1952 BSNL Shall deduct the EPF (Both Employees &

Employers) and deposited to EPF authority under BSNL EPF accounts.

SECTION - IX

SPECIFICATION & SCOPE OF WORK i) Hoisting of aviation light on tower fixture

ii) Aviation light , antenna, wave guide, male-female connector lightening spikes will be supplied by the BSNL. iii) All the stores mentioned above will be available in the GMTD BILASPUR store under whose jurisdiction work

is to be executed by the contractor.

iv) Necessary G.I. Nut bolt for above work to be supplied by contractor. All tools, rope, pulley machine for

tower work will be liability of contractor. (v) The work should be started within 03 days from the date of issue of work order.

(vi) The contractor shall be responsible for the security/safety of the material issued to him and will be accountable to

any loss or damage that may happen. The cost of the lost material will be recovered from the contractor as per the cost of the materials fixed by the BSNL. The engineer in charge will be the final authority in this regard.

(vii) The Engineer in charge shall have power to make any alteration and omissions/additions in design drawing

and specifications.

(viii) The extra store/material issued by the department which has not being used must be returned to the GMTD

store by contractor.

(ix) The contractor shall obtain a valid license under the contract labour (R&A) act1970 and contract labour

(R&A) Central rules 1971, before the commencement of the work and continue to have a valid license unit the completion of the work. No labour shall be employed in the limit of contentment.

2.0 SCOPE OF THE CONTRACT / VALIDITY OF OFFER:

2.1 The scope of work are expected to be taken up during the next one year at interval subject to the availability of material and as per the program of work drawn by B.S.N.L. will be valid for a period of one year from the date of acceptance.

2.2 The validity period of approved tender may be further extended for three months or more by GMTD

BILASPUR under same rates, terms and conditions, if required by the department.

2.3 The time allowed for carrying out the work as entered in the tender shall be strictly observed by the contractor and shall be deemed to be the essence of the contract. The work shall through out the stipulated period of the contract be proceeded with all due diligence and the contractor shall pay as compensation an amount as per the clauses 2.0 in this section.

2.4 The G.M.T.D. BILASPUR may without prejudice to his right against the contractor in respect of any

delay or inferior workmanship or otherwise to any claim to damage in respect of any breaches of the contract and without prejudice to any right or remedies under any of the provisions of this contract or otherwise and whether the date for completion has or has not lapsed by notice in writing absolutely terminate the contract any of the following cases.

i. If the contractor have been given by the AGM(NP-CFA) at BILASPUR a notice in writing to rectify, reconstruct or replace any defective work or that the work is being performed in any inefficient or otherwise in proper manner shall omit to comply with the requirement of such notice for a period of 7 days, there after if the contractor shall delay or suspend the execution of work so that either in judgments of the engineer in charge (which shall be final and bending) he will unable to secure completion of the work by the date of completion of he has already failed to complete work by that date.

ii. If the contractor being a company shall pass a resolution of the court shall make an order that

the company shall wound up or is a receiver or a manager on the behalf of the creditor shall be

appointed or if circumstances shall arise with entitle the court or creditor to appoint a receiver or a manager or which entitled the court winding of order.

iii. If the contractor commits a breach of any act of terms and conditions of the contract.

2.5 When the contractor has made him liable for action and under any of the clauses as aforesaid the

engineer in charge on the behalf of B.S.N.L. shall have powers.

i. To determine or rescind a contract as aforesaid (of which termination or rescission in writing

to the contract or under the act of engineer in charge shall be conclusive evidence) such determination or rescission, the security deposit of the contractor shall be liable to be forfeited and shall be absolutely at the disposal of the BSNL.

ii. To employ labour paid by the telecommunication and supply materials to be carried out the

work or any part of the work debiting the contractors with cost of labour and the price of the materials and crediting him with the value of work done in all respects in same manner and at the same rates as it has been carried out by the contractor under the terms of his contract. The certificate of the Divisional Engineer for the value of work done will be final and conclusive against the contractor and action shall only be taken after giving notice in writing to the contract.

iii. After giving notice to the contractor to measure up the work of the contractor and to take such

part there of as shall be unexecuted out of his hand to give it to another contractor to complete in which case any expenses which many be incurred in excess of the sum which have been paid to the original contractor. If the whole work had been executed by him shall be bone and paid by the original contractor and may be deducted from any money due to him by B.S.N.L. under this contract or any other account from his security deposit. In event of any one of more of the above courses adopted by Engineer-in-charge the contractor shall have no claim to compensation or loss.

2.6 The contractor will remain liable to pay compensation if action not taken under clause 1.5 above to take

possession of or require removal of or sale contractor plant.

2.6.1 If the contractor shall desire an extension of time completion for work on the grounds his having been

unavoidably hindered in its execution he shall apply in witting to the engineer in charge within 10 days of the date of hindrance. The opinion of the Engineer in charge should be necessary for the extension of time.

2.6.2 Within 10 days of the completion of the work the contractor shall give notice of such completion to the

engineer in charge and within 10/30 days of receipt of such notice the engineer shall inspect the work and furnish the contractor with a certificate of completion otherwise a provisional certificate indicate the defects to be rectified by the contractor and / or for which payment will be made at reduce rate but no certificate will be issued for the completion work.

2.7 A Measurement book will be maintained by the engineer in charge and all the relevant entries will be made into

this register/book. The completion certificate will be issued only after the completion of the measurement book for which the work order has been place

2.8 A/T to be carried by department with the help of contractor where ever necessary

2.9 The final payment will be made only after A/T is carried out (If applicable), but the unavoidable Departmental circumstances running bills may be paid after due deduction as mentioned in clause 12 of section V

3. Bill shall be submitted by the contractor to the AGM (NP-CFA) O/o G.M.T.D. BILASPUR in the following

manner.

i. The contractor shall submit all the bills in printed form to AGM (NP-CFA) O/o G.M.T.D.

BILASPUR and the charges in the bill shall always be entered at the rates specified in the tender or in the case of any extra work ordered in presence of those conditions mentioned in the tender for the extra work.

ii. The certificate of the completion of the work should be attached with the bills. iii. The bills should be submitted in triplicate bill book.

iv. The bills should be submitted along with the performance certificate from the officer in charge

of the work.

v. Payment to the contractor will be made only through cheque /DD to him or to his representative who furnishes the legally valid documents such as power of attorney.

vi It shall be the duty of the contractor of to 'ensure the disbursement of wages in presence of the site

Engineer or any other authorized representative of the Engineer-in-Charge who will be required to be present at the place and time of the disbursement of wages by the contractor to workmen.

vii. The contractor shall obtain from the site Engineer or any other authorized representative of the Engineer-in-Charge, as the case may be, a certificate under his signature at the end of the end of the entries in the "Register of wages" or the "Wage-cum-Muster Roll", as the case may be, In the following form:-

FORMAT OF AGREEMENT

shall unless excluded by or repugnant to the context, include its successors, heir, executors, administrative representative and assignee) of the one part & the BHARAT SANCHAR NIGAM LIMITED here in after referred to as the BSNL, of other part.

Where as the contractor has offered to enter into contract: with the said BSNL for the execution of

Maintenance Works relating to Tower and Antenna in BILASPUR, SSA vide NIT No. W- 1-1/NIT/Tender/GMTD-BIL/19-20/111 Dated ….. and Tender No. T-111/BTS-Mtc./Bil/19-20/… Dated …..-2019 on the terms and conditions herein contained and the rates approved by the BSNL (copy of Rates annexed) have been duly accepted and where as the contractor agreed to deposit the necessary security deposit in accordance with the provisions of the tender document and whereas no interest will be claimed on the security deposits.

Now these presents witness and it is hereby agreed and declared by and between the parties to these presents as follows.

1) The contractor shall, during the period of this contract that is to say from....................... to ..................... or

completion of allotted work for Rs ……….whichever is earlier or until this contract: shall be determined by such notice as is hereinafter mentioned, safely carryout, by means of labourers employed at his own expenses and by means of tools, implements and equipment etc. to be supplied by him to his labour at his own expenses, all exchange works and allied works as described in tender document, when the BSNL or GMTD BILASPUR or any other persons authorized by GMTD BILASPUR in that behalf require. It is understood by the contractor that the quantity of work mentioned on the schedule is likely to change as per actual requirements as demanded by exigencies of service.

2) The NIT (notice Inviting tender), Bid documents (Qualifying and Financial), letter of intent, approved

rates, annexed hereto and such other additional particulars, instructions, drawings, work orders as may be found requisite to be given during execution of the work shall be deemed and taken to be an integral part of the contract and shall also be deemed to be included in the expression "The Agreement" or "The Contract” wherever herein used.

3) The contractor shall also supply the requisite number of workmen with means & materials as well as

tools, appliances, machines, implements, vehicles for transportation, cartage etc. required for the proper execution of work within the time prescribed in the work orders.

4) The contractor hereby declares that nobody connected with or in the employment of the BSNL

BILASPUR/DTS is not/shall not ever be admitted as partner in the contract.

5) The contractor shall abide by the terms and conditions, rules, guidelines, construction practices, safety precautions etc. stipulated in the tender document including any correspondence between the contractor and the BSNL BILASPUR having bearing on execution of work and payments of work to be done under the contract.

6) Copies of authenticated documents of payments of EPF/ESI contribution paid for the last month should

be attached along with the current month bill. 7) Copy of Attendance register & wage slip also attached along with bill 8) The contractor shall provide all safety measures as per Government safety act. rules. BSNL will not entertain

any claim by way of compensation 9) The contractor shall have to follow all the labour laws

4. In case of difference between the rate quoted in words and Figures the rates quoted in words will prevail.

5. For the purpose of evaluation, the TEC will obtain the grand total by multiplying the rates quoted for different items with the approximate quantities mentioned for those items in the financial bid. The lowest grand total will be treated as L-1.

6. THE MATERIALS WILL BE MADE AVAILABLE AT SSA STORES BILASPUR

I/ We have read carefully the terms and conditions, technical aspects / matter guidance in

connection with this tender and accept all terms and conditions etc and assured that I/We have the

capacity / capability to comply the order within specified time.

We agree to abide by this Bid for a period of 240 days from the date of opening of qualifying bid

and it shall remain binding upon us and may be accepted at any time before the expiry of that period.
