TERMINATION AGREEMENT AND RELEASE ATTACHMENT 3

TERMINATION AGREEMENT AND RELEASE PAGE 1 OF 3

TERMINATION AGREEMENT AND RELEASE In consideration of the fact that I have voluntarily and of my own free elected to leave Nokia of America Corporation (hereafter referred to as “Nokia” or the “Company”) and accept the Enhanced Special Voluntary Termination Program (“SVTP”) payment, and that my employer Nokia has agreed to pay me the SVTP payment subject to the terms of the Enhanced SVTP, I acknowledge and agree to the following: 1. I have been told by Nokia, and I understand, that I may elect, at my option, to receive the SVTP payment, but

that my election to receive the SVTP payment is expressly conditioned upon: (A) my signing this Termination Agreement and Release after the termination of my employment from Nokia (“Termination Date”), (B) returning it, postmarked within ninety (90) calendar days after the Termination Date to the SVTP Coordinator at Nokia, 600 Mountain Avenue, Room 6C 418 Murray Hill, NJ 07974-0636, and (C) not revoking it within the seven-day revocation period (or fifteen days for employees residing in Minnesota) set forth under Paragraph 13, below.

2. I realize that there are various state and federal laws that govern my employment relationship with Nokia

which, among other things, prohibit employment discrimination on the basis of age, color, race, national origin, gender, sexual preference/orientation, marital status, national origin, mental or physical disability, religious affiliation or military or veteran status, and which prohibit unlawful retaliation. I acknowledge that these laws are enforced through the courts and agencies such as the Equal Employment Opportunity Commission, Department of Labor, Occupational Safety and Health Administration and state human rights agencies. Such laws include, but are not limited to, Title VII of the Civil Rights Act of 1964, the Age Discrimination in Employment Act, as amended, 42 U.S.C. Section 1981, the Older Worker Benefits Protection act, the Americans with Disabilities Act, as amended, the Genetic Information Non-Discrimination Act, the Sarbanes-Oxley Act of 2002, as amended, the Family and Medical Leave Act, the Uniform Services Employment and Re-Employment Rights Act, the Worker Adjustment and Retraining Notification Act, the Fair Labor Standards Act of 1938, the Equal Pay Act, the Lilly Ledbetter Fair Pay Act, the Conscientious Employee Protection Act, the Employee Retirement Income Security Act, and these state and local law counterparts, including those prohibiting discrimination on the basis of age and other protected classes. In consideration of the SVTP payment provided for in this Termination Agreement and Release, the sufficiency of which is hereby acknowledged, I intend to give up any and all rights I have or may have under these or any other laws with respect to my employment at Nokia and the termination of that employment. I also acknowledge that no Nokia entity, officer, employee, agent or representative has: (a) discriminated against me, (b) retaliated against me, and/or (c) otherwise acted unlawfully toward me.

3. On behalf of myself, my heirs, executors, administrators, successors, and assigns, I release and discharge

Nokia, its affiliates, subsidiaries, divisions, successors and assigns, each of their respective past and present officers, directors, employees, benefit plans, plan administrators, benefit claim and appeal committees, agents and attorneys, and the respective heirs, executors, administrators, successors and assigns of each of the foregoing (herein, separately and collectively referred to as the “Releasees”), from any and all claims (including claims for attorneys’ fees and costs), charges, grievances, and causes of action which I have, may have, or may allege to have up until the date I sign this Termination Agreement and Release. The released and discharged claims include, but are not limited to, claims arising out of my employment at Nokia or the termination of my employment from Nokia. The released and discharged claims also include those arising under federal, state, or local laws prohibiting any forms of discrimination, retaliation, violations of a collective bargaining agreement, and other theories. Section 1542 of the Civil Code of the State of California states:

A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the Release, which if known by him must have materially affected his settlement with the debtor.

TERMINATION AGREEMENT AND RELEASE ATTACHMENT 3

TERMINATION AGREEMENT AND RELEASE PAGE 2 OF 3

Notwithstanding the provisions of Section 1542 and similar laws of other states, and for the purpose of implementing a full and complete release and discharge of all Releases, I expressly acknowledge that this Termination Agreement and Release is intended to include not only claims that are known, anticipated or disclosed, but also claims that are unknown, unanticipated and undisclosed. However, I understand that I am not releasing any claims that may arise after I sign this Termination Agreement and Release.

4. On behalf of myself, my heirs, executors, administrators, successors, and assigns, I promise that no lawsuit,

claim or complaint will be filed or brought against any of the Releasees seeking personal recovery or personal injunctive relief relating the claims released and discharged under this Termination Agreement and Release, including but not limited to claims arising out of or related to my employment with Nokia and the termination of that employment. However, nothing contained in this Termination Agreement and Release shall prohibit me from bringing any action to enforce the terms of this Termination Agreement and Release. Furthermore, nothing contained in this Termination Agreement and Release limits my ability to file a charge or complaint with, or to participate in any investigation or proceeding by, the Equal Employment Opportunity Commission, the National Labor Relations Board, the Occupational Safety and Health Administration, the Securities and Exchange Commission, or any other federal, state or local governmental agency or commission (“Government Agencies”); however, I hereby waive any right to personal recovery (except as it may pertain to any award for information provided to the Securities and Exchange Commission) or personal injunctive relief in connection with any such charge or complaint against any Releasee. I further understand that this Termination Agreement and Release does not limit my ability to communicate with any Government Agencies, including providing documents or other information, so long as I do not disclose any attorney-client privileged information.

5. I expressly agree that I do not have any rights to re-employment, reinstatement or recall.

6. I understand that this Termination Agreement and Release in no way affects any rights I may have for any

vested benefits, if any, under the Nokia pension plan for occupational employees. 7. In addition, I agree to keep all proprietary Nokia information confidential and not to disclose it to any third

party in the future. As used in this Termination Agreement and Release, the term "proprietary Nokia information" includes, but is not limited to, technical, marketing, business, financial, personnel or other information which constitutes trade secret information or information not available to competitors of Nokia, the use or disclosure of which might reasonably be construed to be contrary to the interests of Nokia.

8. I have no knowledge of any wrongdoing involving improper or false claims against a federal or state

governmental agency, or other wrongdoing that involves me or other present or former employees of any Nokia entity.

9. I agree to cooperate with Nokia in its defense or preparation for any investigation, litigation, or other

proceeding by or against, or otherwise involving Nokia in any respect. Such cooperation includes complying with Nokia’s reasonable requests to participate in interviews, to review documents, records and other materials, or to testify or otherwise participate in the investigation or the proceedings. Nokia will compensate me for my reasonable travel and lodging expenses, but not for lost time or compensation from other employment.

10. I also agree that I will not at any time voluntarily make any statement, oral or written, which criticizes or is

disparaging of Nokia or its products, technical abilities, research, services, organizational structure, leadership, employees, and/or business and operational methods, including, but not limited to, communications with Nokia customers, suppliers or competitors. This paragraph does not prohibit accurate and truthful responses to compulsory legal process or testimony in legal proceedings. I will notify the Senior Vice President and Chief Legal Officer of Nokia promptly if served with any legal process calling for disclosure of information regarding Nokia.

11. I acknowledge that any tax liabilities and consequences that may result from my receipt of the SVTP payment is solely my responsibility, and I indemnify and hold the Company harmless from any liability for tax payments, tax withholdings, penalties, additions to tax, and/or interest which may result from my receipt of the SVTP payment. Further, I agree that the Company shall not be required to pay any further sum to me, or to any other person or entity, for any reason as part of this Termination Agreement and Release even if the tax liabilities and consequences to me are ultimately assessed in a fashion which I do not presently anticipate.

12. The construction, interpretation, and performance of this Termination Agreement and Release shall be

governed by the laws of the state in which I am working on the date of my termination from Nokia. 13. In the event that any one or more of the provisions contained in this Termination Agreement and Release

shall for any reason be held to be unenforceable in any respect under the law of any state or of the United States of America, such unenforceability shall not affect any other provisions of this Release, but, with respect only to that jurisdiction holding the provision to be unenforceable, this Release shall then be construed as if such unenforceable provision or provisions had never been contained herein.

14. I understand that, pursuant to the Older Workers Benefit Protection Act of 1990, I have the right and have

been advised to consult with an attorney before signing the Termination Agreement and Release, I have been given over forty-five (45) days to consider the Release before signing it, and I may revoke the Release within seven (7) calendar days after signing it (fifteen (15) calendar days if I reside in Minnesota). For revocation to be effective, written notice must be received by Nokia no later than the close of business on the seventh day after I sign this Termination Agreement and Release. I understand that this revocation can be made only by delivering the written notice of revocation to the SVTP Coordinator at Nokia, 600-700 Mountain Avenue, Room 6C 418, Murray Hill, NJ 07974-0636.

15. This Termination Agreement and Release contains the entire agreement between Nokia and me and fully

supersedes any and all prior agreement or understandings pertaining to the subject matter hereof. I represent and acknowledge that in executing this Termination Agreement and Release, I have not relied upon any representation or statement not set forth herein made by any of the Releasees or by any of the Releasees’ agents, representatives, or attorneys with regard to the subject matter of this Agreement.

THESE FREQUENTLY ASKED QUESTIONS (“FAQ’S”) AND ANSWERS PROVIDE GENERAL INFORMATION ABOUT NOKIA OF AMERICA CORPORATION’S (“NOKIA” OR “COMPANY”) ENHANCED SPECIAL VOLUNTARY TERMINATION PROGRAM (“ENHANCED SVTP”) AND RELATED BENEFITS FOR CERTAIN ELIGIBLE EMPLOYEES. THE ANSWERS PROVIDED HERE MAY BE CHANGED AT NOKIA’S DISCRETION AT ANY TIME, AND EMPLOYEES MAY OR MAY NOT BE NOTIFIED OF THE CHANGE(S) IN ADVANCE. THE CHANGE(S) MAY BE MINOR OR THEY COULD SIGNIFICANTLY DEVIATE FROM PAST OR CURRENT PRACTICES. THESE FAQ’S AND ANSWERS DO NOT CONSTITUTE A CONTRACT, EITHER EXPRESSED OR IMPLIED, AND THEY DO NOT CREATE ANY CONTRACTUAL RIGHTS. TO THE EXTENT THAT THERE IS ANY CONFLICT BETWEEN THE INFORMATION FURNISHED HERE AND ANY COLLECTIVE BARGAINING AGREEMENT OR EMPLOYEE BENEFIT PLAN, THE COLLECTIVE BARGAINING AGREEMENT AND/OR EMPLOYEE BENEFIT PLAN SHALL CONTROL.

General Questions

1. What is the Enhanced SVTP?

The Enhanced Special Voluntary Termination Program (“Enhanced SVTP”) is an enhanced special voluntary termination program agreed to by the Company and the Communications Workers of America (“CWA”) as part of the 2014 Installation Effects Agreement memorandum of understanding. The Enhanced SVTP applies to certain CWA-represented employees, as more fully explained below.

2. Who is eligible for the Enhanced SVTP?

You are eligible for the Enhanced SVTP and the benefits payable under the program if you are a Nokia CWA-represented employee: (i) who is covered by Installation Contract CWA-25 (excluding Communication Services Installers), (ii) who is actively employed by the Company (or are on an approved leave of absence with a guaranteed right of reinstatement); (iii) who has received a letter indicating there is currently a force surplus and that the Enhanced SVTP conditionally applies to you; (iv) whose election to participate in the program is accepted by the Company; and (v) who has timely signed and returned and not revoked a Termination Agreement and Release. Such employees are considered “Eligible Employees”.

Enhanced SVTP FAQ’s Attachment 4

Enhanced SVTP FAQ’s Page 2 of 10

3. If my election to participate in the Enhanced SVTP is accepted, what will I get?

Eligible Employees are eligible to receive a Five-Year Enhanced Transition Leave of Absence, Expanded and Enhanced Social Security Supplement, Special Pension Benefit, and Enhanced Pension Benefit of $20,000 subject to the claims and appeals process of the pension plan. In addition, Eligible Employees will be entitled to pay in lieu of any unused Paid Time Off for which they are eligible. These Enhanced SVTP benefits are in lieu of termination pay or other involuntary termination benefits or severance. Taxes and withholdings will apply.

4. If I am accepted for the Enhanced SVTP, when will my employment end?

If you are accepted for the Enhanced SVTP, your last day of employment is contained in your offer notification letter, unless delayed by the Company based on business needs. If your last day of employment is delayed, you will be notified in a separate letter.

5. If I am accepted for the Enhanced SVTP, will I be eligible to collect unemployment?

Each state has different eligibility criteria for unemployment compensation. Please contact your local unemployment office for additional information.

6. Even with the Enhanced Transition Leave of Absence provided in the Enhanced SVTP, I am still short a few weeks from becoming eligible for a service pension and retiree healthcare. Is there an option to apply for an additional Transitional Leave of Absence (TLA) so I can reach pension eligibility?

No. There is no additional TLA available under the Enhanced SVTP. The TLA under the Enhanced SVTP cannot be added to any other TLA. Even with the Enhanced Transition Leave of Absence some eligible employees will find that they are short by a few days, weeks or months from becoming eligible for a service pension.

7. Can I request a later off roll date under the Enhanced SVTP?

Employees may not unilaterally elect to extend their off-roll date. Under the agreement with the CWA, the Company may delay the off-roll date of select volunteers when, in the Company's discretion, the needs of the business would be adversely affected absent a delay. The intent of this delay is to provide a period of knowledge transfer of critical skills. The Company will not be making final decisions regarding delayed off roll dates until after the close of the Enhanced SVTP election window. At that time, the Company will assess the need to delay select individuals from those that have volunteered for the Enhanced SVTP.

8. I am currently receiving disability benefit payments; can I elect the Enhanced SVTP?

If you elect the Enhanced SVTP, active Eligible Employees on short-term disability will terminate from employment upon being cleared to return to work, or if a disability waiver is provided. Employees who are out on disability longer than the maximum allowed period are not eligible for this Enhanced SVTP.

Enhanced SVTP FAQ’s Attachment 4

Enhanced SVTP FAQ’s Page 3 of 10

9. If I have submitted my election form for the Enhanced SVTP and want to change my mind, how do I change my election?

You can change your election up to the close of the election window contained in your offer letter. To change your election, submit another election form with your name on it clearly stating that you are changing your decision. Please keep in mind that after the election window closes all decisions are irrevocable.

10. I am not eligible for retiree health care. If I elect the Enhanced SVTP, what should I expect regarding health care coverage?

Employees who leave the active payroll under the Enhanced SVTP will be eligible for continued coverage under the company’s medical and dental plans on the same basis as if actively employed (the employee is responsible for paying the monthly active rate contribution for the first 12 months of coverage, and the remaining 6-months of COBRA coverage will be billed at the COBRA rate).

Paid Time Off and Miscellaneous Questions

11. If I elect to take the Enhanced SVTP, will I be paid for my carryover paid time off and current year paid time off?

Eligible Employees who are accepted for the Enhanced SVTP will be paid in-lieu of any unused paid time off days, including any approved carryover days.

12. When can I expect to receive payment for my final week of work and any unused paid time off days?

You can expect to receive pay for unused paid time off within 30 days of your off-roll date. However, if your work state is one of 20 priority states, there is a state requirement regarding termination payments to be made within 72 hours. Pension and Social Security Supplement Questions

20. When can I expect to receive a pension estimate? All employees receiving this offer will be provided with an estimate of their regular pension and SPB/EPB benefits. The estimate will be mailed to the employee’s home address of record. Employees should allow approximately 5 business days from the date of this offer for receipt of the estimates.

21. If I am accepted for the Enhanced SVTP package, when can I expect to get my first pension check, and will that include the Special Pension Benefit (SPB) and the Enhanced Pension Benefit (EPB)?

Normally, if you submit your properly completed paperwork and supporting documentation within your 180- day election period, you can expect to receive your first pension check within a reasonable period of time. If you elect to waive the remainder of the 180-day election period (standard in all pension commencement packages), it will speed up the process (the decision of whether or not to waive the remainder of your election period should be carefully considered, and nothing in this document should be construed as encouraging you to do so). If you elect to immediately commence your pension benefit,

when you receive your first pension check, it will be retroactive to your first day off roll, as long as you submit your properly completed paperwork and supporting documentation within the 180-day election period. If you elect to take your SPB and/or EPB as an annuity, these monies will also be included in your pension check.

22. What is the Expanded and Enhanced Social Security Supplement? The Expanded and Enhanced Social Security Supplement is a supplemental payment that makes up for any age-related discount if you are eligible for a service pension and under the age of 55 as of your retirement date. The monthly payment is equal to the amount of the monthly benefit reduction resulting from the early commencement of your pension. These payments continue until the earlier of your attainment of age 62 or your death.

23. Will the Expanded and Enhanced Social Security Supplement come in my pension check or will it come as a separate check? The payment is included with the monthly pension check.

24. Can I delay commencing my pension? Yes. However, delaying your pension may have financial implications. You should consult a financial advisor and the pension plan to determine what is best in your situation.

25. Can I take my service pension as a lump sum? No, you cannot take a service pension as a lump sum.

26. Are taxes withheld from my monthly pension check? Yes, applicable taxes are withheld from the pension check.

27. If I am single at the time that I commence my pension and I marry in the future, will I be able to elect a joint and survivor annuity at the time that I get married? No. Once you elect to commence your pension benefit, you cannot change the payment form.

28. If I am not married at the time that I commence my service pension, but subsequently get married, would my spouse be eligible for the death benefit paid from the pension plan? Yes. The death benefit is payable to your lawful spouse at the time of death. Your lawful spouse must be living with you at the time of death (unless you and your spouse are separated due to your living in a nursing home or being hospitalized). Please refer to the pension plan for additional information or contact the Nokia Benefits Resource Center by calling 888-232-4111.

36. Will taxes be withheld from my SPB payment?

If you take the SPB as a cash lump sum payment, you will be required to pay taxes on the funds. However, if you elect to rollover the SPB to an IRA, the tax implications will vary depending upon how you are rolling it over. You should check with a qualified financial/tax professional for advice.

Also, Medicare-eligible participants who choose the UHC Traditional Indemnity option over the UHC Medicare Advantage PPO will pay an additional percentage of their pension for coverage, and this amount is subject to change in future years (for plan year 2019, the amount is 25% of pension for single coverage, and 50% of pension for family coverage).
