PUBLIC PRIVATE PARTNERSHIP AND SELECTED GOVERNMENT ASSETS FOR PRIVATIZATION

PRESENTLY, ERA INVESTMENTS HK LIMITED IS INVITING QUALIFIED JOINT VENTURER FOR THE

ACQUISITION BY PURCHASE OFTELEVISION IBC 13 LOCATED IN BROADCAST CITY, UP BALARA UNDER

THE FOLLWING SCHEME:

1. THE CAPITAL FUNDS SHALL BE PROVIDED BY ARAMEX INVESTMENTS,

2, THE FUNDS SHALL INCLUDE THE FOLLWING:[A- ACQUISITION PRICETO BE PAID TO THE PHILIPPINE

GOVERNMENT WHICH SHALL BE BASED ON PUBLIC BIDDING TO BE ADMINISTERED BY THE

PRIVATIZATION MANAGEMENT OFFICE [PMO]

3 FUNDS WILL ALSO BE PROVIDED FOR RENOVATIONS, IMPROVEMENTS AND ADDITIONAL FACILITIES TO

MAKE THE PROJECT VIABLE, COMPETITIVE AND PROFITABLE

4. FUNDS WILL BE PROVIDED FOR ONE YEAR OPERATING EXPENSES

2. THE JOINT VENTURER SHOULD BE PREQUALIFIED IN ORDER TO BE FUNDED BY THE ARAMEX

INVESTMENTS

3. THE VENTURER PREQUALIFICATION SHALL BE DONE BY A PHILIPPINE INDEPENDENT AUDITORS THAT

IS ENGAGED FOR THE PURPOSE TAKING INTO CONSIDERATIONS THE INTERNATIONAL STANDARDS OF

FINANCING, INCLUDING THE SO CALLED 100 POINTS IDENTIFICATION, ANDTHE FUNDERS PROTOCOL.

4. THE FUNDING ASSISTANCE TO THE JOINT VENTURER SHALL BE IN THE FORM OF LOAN OR

Minutes of the meeting of the Board of Directors, held on 9th DAY of APRIL, 2010. A special meeting of the Board of Directors of ERA INVESTMENT (HK) LIMITED (herein after referred to as the “COMPANY”) was duly held in accordance with the Articles of Association/ By- Laws/Articles of Incorporation of the Corporation, which has been recorded in the Minutes of the Book of the Corporation, at the company’s referenced address at which there was present a quorum, wherein the following resolutions were unanimously adopted, to wit:

SHALL BE AND HEREBY APPOINTED TO SERVE AS DIRECTOR, PROJECTS –

About us: The ERA-Aramex fund was organized right after president Noy Aquino III delivered his first state of the nation address on July

2010. There, the president called for a public private partnership and we responded accordingly by organizing a private fund. The fund was

initially organized as the President Noy Aquino III private development assistance fund.

Private funds in the amount of 10 billion Eurodollars was initially placed by ERA Investment HK limited and the ERA Global Securities of Spain with the Islamic Banking Institute as the fund convenor.

In a short time, other capitalists came in to join the funder’s consortium indicating renewed investors confidence in the Philippines with its

brand new government. Notable among the new entries is the renowned Barings capital of London. The name of the fund transformed into

many variations for some reasons; when Barings capital came in to join, the fund became to be known as ERA - Barings fund. Then the Aramex Investments of Hong Kong came in to join the group and the Fund came to be known as ERA-Aramex Funds. The ERA-Aramex

On current events in the Philippines, President Benigno Aquino III has this to say about

Funding that was arranged by the ERA GROUP amounting to €500 million for the

implementation of its biodiesel and power projects in Mindanao, Philippines.
