� Sovereign Metals Limited is an Australian publicly listed company primarily focussed on exploring for and developing natural flake graphite deposits in central Malawi.

� The Exclusive Prospecting Licence (EPL) covers an area of approximately 1 245km2 on the Lilongwe Plain in which the Malingunde project is located.

� McCourt is the applicant for the environmental authorisation for the Malingunde project.

� Studies undertaken to date indicate that the natural flake graphite deposit at Malingunde can yield ~ 44 000 tonnes of graphite concentrate per annum over an initial life-of-mine (LOM) of 17 years.

What is proposed?

The proposed Malingunde Project is located 15 km southwest of Lilongwe

Boma, and falls within the Lilongwe District of the Central Administrative Region

Graphite is used for the production of: � magnesia-carbon

bricks used in the steel industry

� rechargeable lithium-ion batteries for cell phones, laptops and electric vehicles


Location of the proposed Malingunde Project

- Project area will be ~ 300 �400 hectares in size

- 25 km from operating rail

- 20 km from a power station

- Near a potential water source

- Access to the proposed mine from Lilongwe is via the sealed section of the secondary road, S124, to Likuni and then the unsealed continuation of the S124 to the Kamuzu Dam turn-off

� Open pit mining with traditional excavator and haul trucks will be used to mine the ore

� No drilling and blasting will be required

� Pits will be a maximum of 25 m deep and 150 m wide

� Excavated ore will be transported to the processing plant for treatment (scrubbing and flotation)

� The processed product will be transported on truck for 26 km to Kanengo train station (north of Lilongwe Boma) from where it will be railed to Nacala port in Mozambique for export.

� Project Brief was completed and the Environmental Affairs Department (EAD) indicated in June 2017 that an ESIA is required in terms of Section 24 (1) of the Environmental Management Act (EMA).

� The Environmental Impact Assessment Guidelines (1997) published by the EAD identify projects for which an ESIA are mandatory in �List A� of the guidelines, which includes mining of minerals.

� McCourt will therefore be applying for environmental authorisation in respect of potential mining activities at Malingunde. The ESIA is undertaken in compliance with the Malawian legislation, the International Finance Corporation (IFC) Performance Standards and Equator Principles.

Status

Sovereign aims to complete all studies towards the end of 2018 to enable them to decide on whether the mine will be developed or not


To identify and assess likely environmental and social impacts, and propose appropriate mitigation and management measures, as well as monitoring protocols.

Purpose of the Meeting and Discussion Points

• Sovereign is conducting technical studies, which will culminate in a feasibility study, to determine the viability of developing the natural flake graphite deposit at Malingunde. Studies undertaken to date indicate that deposit at Malingunde can potentially yield ~ 44 000 tonnes of graphite concentrate per annum over an initial life-of-mine (LOM) of 17 years.

• Sovereign has completed an economic scoping study and is currently undertaking a pre-feasibility study.

• Sovereign has also commenced an ESIA process as required in terms of the Environment Management Act (EMA), (Act No 19 of 2017).

• The ESIA is conducted in phases (an environmental scoping and ESIA phase) and is currently in the environmental scoping phase. The ESR is the main deliverable of this phase.

• If the Project is proven to be viable, Sovereign aims to bring the Project into construction in 2019.

Conceptual Layout of the Malingunde Project

• Section 2(f) of the Environment Management Act (EMA), No. 19 of 2017 states that an ESIA is a legal requirement for any project that may significantly affect the environment and use of natural resources.

• The Environmental Impact Assessment Guidelines (1997) published by the EAD identify projects for which an ESIA are mandatory in ‘List A’ of the guidelines, which includes mining of minerals.

• In addition, the following will be considered:Ø Other relevant Malawian legislation, policies and standards. Ø In the absence of specific guidelines and standards under Malawi legislation,

good international industry practice (GIIP)Ø International guidelines and standards e.g. International Finance Corporation

Stakeholder Engagement (Section 5)

• Grievance mechanism – Appendix G of ESR – will be implemented during the ESIA phase.

As part of the social impact assessment and data collection for the resettlement action plan, consultation will be undertaken at household

level. This consultation will commence in late April 2018.

Recap: The Malingunde Graphite Project

- Sovereign is determining the viability of developing a graphite mine at Malingunde

- Malingunde Project is located 15 km southwest of Lilongwe Boma, and falls within the Lilongwe District of the Central Region

- Project area will be ~ 300 – 400 hectares in size

- Access to the Project is from Lilongwe via the sealed section of the secondary road, S124, to Likuni and then the unsealed continuation of the S124 to the Kamuzu Dam turn-off

- Located in proximity to the villages of Kumalindi (Chitsulo), Kubale and Ndumila

- Directly north of Kamuzu Dam II

• Sovereign is still undertaking exploration and conducting various technical studies to evaluate the viability of developing the Project at Malingunde.

• An economic scoping study was completed in mid-2017 and the pre-feasibility study (PFS) will be completed towards the end of August 2018, after which Sovereign will commence a definitive feasibility study (DFS).

• An environmental and social impact assessment (ESIA) process as required in terms of the Environment Management Act (No 19 of 2017) is underway.

• A decision on whether it is viable to develop a mine at Malingunde will only be taken around mid-2019 once the DFS and ESIA have been completed.

Various exploration programs have been undertaken by Sovereign in the Malingunde area over the last few years as part of the feasibility studies.

The following drilling activities are planned for the remainder of 2018 (from mid August onwards):

• Continued low impact “hand-auger” drilling to test for additional graphite mineralisation in the Malingunde and other areas across the Lilongwe Plain.

• Approximately four water monitoring boreholes in the area of the proposed tailings storage facility (TSF) (Kavuma area).

• Approximately fourteen “diamond core” holes for geotechnical studies in the location of the TSF, the proposed plant site, and the proposed open pit areas.

• Approximately eighty “air core” holes for continued definition of the graphite resource at Malingunde and to test for further graphite mineralisation at depth on other regional targets..

• Sovereign will rehabilitate disturbed ground to pre-disturbance conditions as per agreement with the Department of Mines and the landholders.

• Before drilling activities commence, Sovereign with the Department of Lands, the Department of Agriculture and the Lilongwe District Council will conduct crop and land disturbance assessments.

• Disturbance allowances will be paid to affected landholders before the drilling activities commence.

• Disturbance allowances will be based on compensation rates determined by the relevant government departments.

• Sovereign will proactively deal with any complaints during the 2018 fieldwork program as follows:

• Step 1: Complete a grievance form which will be logged in a grievance file for record-keeping purposes.

Grievance Mechanism

• Step 2: If the complaint cannot be dealt with immediately, the Sovereign representative will acknowledge receipt of a formal grievance in writing within three working days and state a probable date for resolving the grievance. If applicable, the Sovereign representative will provide a copy of the log form to the claimant.

Step 3: Grievances will be finalised within 30 days of receipt. If the Sovereign representative is unable to resolve the grievance, he/she will forward the grievance to the Sovereign Country Manager.

Resettlement Action Plan

• Should the Project proceed, resettlement of some communities may need to be undertaken.

• Resettlement planning is required before any resettlement can take place. (Required by Malawian legislation and international best practice, specifically the International Finance Corporation’s (IFC) Performance Standard 5: Land Acquisition and Involuntary Resettlement).

• Outcomes of resettlement planning activities are captured in a resettlement action plan (RAP) document, which is submitted to the Ministry of Lands, Housing and Urban Development for review, comment and approval.

• Before approving a project’s ESIA and granting environmental authorisation a RAP must be submitted.

The resettlement planning process for the project includes the following main activities:

• A baseline survey of the project area (April – June 2018).

• Consultation with households who may have to be resettled if the project continues, to discuss their preferences if they have to be resettled (August 2018).

• Submission of the baseline data to the Department of Valuation to calculate preliminary compensation rates for assets that may be lost as a result of resettlement (August 2018).

• Compilation of a draft RAP document and presentation of the document to stakeholders (end 2018).

• Submission of the RAP to the Ministry of Lands, Housing and Urban Development for comment and approval (end 2018).

Resettlement Planning Process

• Resettlement will only be undertaken if Sovereign decides to proceed with the project (approximately mid-2019), and once the RAP is approved

• Implementation can take a long time to complete, and will include the following steps (if approved):

• A verification survey by the Regional Department of Surveys and Valuation, to confirm the baseline information collected.

• Discussions with each household to confirm their assets, agree on the compensation package, and signing of a compensation certificate.

• Payment of compensation and preparation of a resettlement site (if relevant).• Physical resettlement and loss of access to assets such as agricultural fields.

• If resettlement is required, people will only move during 2020.

• Communities are encouraged to continue with their normal lives and activities, and cultivate their fields during the upcoming season.

• Not everyone who was surveyed from April to June 2018 may have to be resettled; the final Project design will aim to reduce resettlement as much as possible.
