Group, Avanti 1) Avanti was committed to speaking with NLG before concluding the negotiations for the acquisition of the property. Avanti understands that when the project operated in the past it was not a positive experience in the Nisga’a view. Avanti would like to at least get a sense of the degree of Nisga’a open mindedness to exploring the possibilities with Avanti. 2) The Nisga’a are open for business, economic development is a big priority to the extent that social and environmental considerations can be properly developed. The thought of mine development is quite concerning due to the legacy of the mine tailings issues, and the impact on social, cultural and economic considerations. It is important for both sides to listen and to express clearly the issues and concerns. NLG feels this meeting was good start; more discussions are needed. NLG will debrief leadership and endeavour to ensure they have an audience with the leadership. The technical and administration staff do not presuppose the leadership decisions. NLG will get back to Avanti.

1) Left another message for NLG requesting meeting confirmation.

28 E-mail 06/18/2008 NLG Avanti 1) Agreement that a followup meeting would be beneficial, especially in relation to on-land tailing sites. 2) Requesting a meeting with NLG is somewhat premature until there is a better picture of the proposed development. Would like to continue dialogue between CEO and Directors at NLG, and Avanti. 3) Informing officers about the potential development brought a negative response based on the predecessor proponent. 4) Will send prospective dates to meet.

449 Letter 07/21/2008 NLG to BC MEMPR 1) NLG requested BC MEMPR provide NLG with a copy of the M-10 permit mentioned in Avanti's 07/07/16 letter to BC MEMPR. NLG would like to provide their views on the proposed project.

333 Meeting 06/04/2009 NLG, Gitxsan Chief's Office

Indigenuity Consulting Group, Avanti

1) Avanti had sent NLG the Notice of Work for the Exploration Program for this summer, prior to sending it to MEMPR. Outlined various work opportunities and discussed the logistics for communication and training. Presented documentation that resulted from the review work associated with the ‘New Afton’ project that was permitted under the Mines Act. The combination of the Project Description and the Environmental Work Plan documents are the basis for the Terms of Reference. Avanti has prepared a brief Draft of a Terms of Reference for a Technical Working Group. Avanti will look at setting up an FTP site for the information. Avanti presented the draft plan for community engagement and conceptual-level Benefits Agreement. Logistics regarding NLG work plan and budget were also discussed. 2) NLG has no real concerns about the water license application for the possible camp site. It is NLG policy to respond directly government to government. However, they do not see any huge concerns and don’t anticipate communicating any major concerns to the BC government. NLG are not prepared to provide Avanti with a response until NLG is satisfied that this approach complies with the Chapter 10 approach. If consultants could review the project description and ensure the language dealing with NLG is the same as in the PEA that will be helpful.

114 E-mail 06/10/2009 NLG Avanti 1) Avanti provided a list of the actions items from the meeting. Also attached: (a) draft of possible language to be utilized in the NLG newsletter re: open houses and a copy of the letter sent to Skeena Native Development Society (SNDS) supporting potential training support; and (b) request for an update on timing and a response to BC MEMPR under the Notice of Work.

115 E-mail 06/10/2009 NLG Indigenuity Consulting Group, Avanti

1) NLG has not applied to Skeena Native Development Society (SNDS) for training or any other sources for training. A meeting has been scheduled to meet with the CEO of SNDS to update on potential future training needs. Avanti will provide a letter of support if and when NLG does apply for funding. NLG wants to ensure that once Nisga’a are successful they can move towards additional training and look towards building capacity to be prepared once the mine is ready to go. 2) NLG has entered into a Joint Venture with Bear Creek Group out of Terrace so they have the capacity to bid on Avanti's 2009 summer program.

116 E-mail 06/11/2009 NLG Indigenuity Consulting Group

1) Provided an update of the mineral tax revenue sharing policy. The BC Governments’ target date is to reach agreement in principle by September of this year on the revenue sharing formula. BC MEMPR's mandate follows revenue sharing principles that have been established by Cabinet. These principles are ’Cabinet confidential material’ so Avanti could not get them. Generally speaking, the mandate sets limits on the amount that can be shared and the revenue will be a share of the mineral tax only. Some key points of the revenue sharing framework include: must be a major project; must be new revenues; revenue sharing agreements are not legally required, but will count as accommodation; and sharing will only take place once a revenue stream is established (no front loading). 2) NLG asked for a link to the source for the information.

118 E-mail 06/16/2009 NLG Indigenuity Consulting Group

One document that may be of interest is a recently signed minerals consultation agreement between the Province and the Tk'emlups and Skeetchesn Bands. Also included an article from a Mining BC Report.

334 Meeting 07/15/2009 NLG Avanti 1) Notice of Work: (a) Holes have been added on the Patsy and Clary dumps to test the groundwater at the water/surface interface. Avanti would like to locate the holes along previously disturbed areas so the permit can be expedited. Hole at Site K would be a monitoring well. (b) Some logging may be required. (c) Limited shovel pits may be required to see the soil profile. (d) Avanti requested that NLG provide comments by 11/07/22, before the BC MEMPR representatives goes on holidays. NLG believes they can meet this deadline. 2) Consultation framework: (a) Discussion document rather than an agreement. (b) Avanti proposes to model it after the EA process. Mines Act process: (a) NLG would like to provide the environmental work plan, project description, draft TOR and framework document to their consultants for review. (b) Avanti would like agreement from NLG that they don’t object to the Mines Act process; NLG needs to review it first before they can provide this. May also need to speak to the NLG Executive. (c) Avanti offered to get confirmation from the government that it is basically the same as the BC EAO process. (d) BC EAO believes the project may be reviewable under the Mines Act. 3) Government consultation: Avanti would like to arrange a meeting with BC MEMPR and Aboriginal Affairs to set out expectations for government role in consultation. Community consultation: With the upcoming open houses, first portion would be NLG explaining the history of the process; second portion would be Avanti providing information on the project, followed by a question-and-answer session. 4) Run of River Project: (a) Avanti provided a broad overview. Would easily tie into transformer stations, power lines and submarine cables, which helps make the project viable. (b) Mine had not originally been designed to facilitate this, but with the creek requiring diversion it makes a power project a logical option. 5) Other First Nation consultation: (a) If Avanti proceeds with a roaster, the Tsimshian would likely also be engaged on the project. (b) Avanti relies on the Crown to determine if there are other claims in the area. 6) Benefits Agreement: (a) NLG requested further time to agree to further discussion on the agreement. (b) Discussion was held on various points of the agreement. (c) Avanti requested that NLG consultants be accountable for their consultation costs.

505 E-mail 08/08/2009 NLG Avanti 1) NLG asked Avanti not proceed with the letter to the BC EAO until such time as the NLG is able to respond to the materials tabled at the July meeting [see ROCs 0133 and 0334].

135 E-mail 08/10/2009 NLG Avanti 1) Avanti apologized for confusion around the Mines Act process request. Avanti was not asking NLG if they support or oppose the Mines Act process, but for permission to send a letter to the BC EAO so they can approve or deny Avanti's request that the project qualifies for the Mines Act process. Avanti will not proceed with the Mines Act route if NLG is opposed to it. This request was to proceed in parallel with an administrative action by the BC EAO while NLG evaluates the materials provided on 09/07/07. Avanti is still looking at September to decide which permitting route to proceed with. 2) Avanti requested an NLG contact regarding preparation for the September open houses.

138 Phone Call 09/02/2009 NLG Avanti 1) NLG appreciates Avanti's approach to the Mines Act issue, but they can't support the Mines Act permitting route for two reasons: (a) legacy issues associated with the old permit and the negative response it may receive from their constituents; and (b) BC MEMPR's lack of environmental expertise and objectivity in the EA required for the Major Mines Application under the Mines Act. 2) NLG would like to schedule the open houses on 09/10/14 and 15. Provided NLG contact for coordinating this. 3) NLG agreed that a meeting to address the Executive Council is appropriate and will get permission for this. The council meets on 09/09/28-29. 09/09/28 [see ROC0157; no further details available]. 508 Phone Call 10/05/2009 NLG Avanti 1) When the draft letter was prepared to send to the BC EAO, Avanti wanted to

give NLG the heads up that the letter was being sent and an explanation as to why the letter was being sent. Did not realize this would compromise relations with NLG. Avanti was acting in the best interests of the Project to crystallize an important business decision about permitting approvals that they do not control.

177 E-mail 10/06/2009 NLG Avanti 1) Provided to NLG a copy of the letter being sent to BC EAO requesting direction as to the process under which the proposed Kitsault Project will be reviewed by BC MEMPR [see ROC0197].

178 E-mail 10/06/2009 NLG Avanti 1) Avanti had advised NLG's lawyer yesterday that Avanti had drafted a letter they were considering sending to the BC EAO regarding the permitting process. NLG's lawyer was concerned that this would be sent when Avanti had assured them they would not embark on a permitting process that NLG did not agree with. 179 E-mail 10/07/2009 NLG Avanti 1) Avanti provided an explanation as to why the letter to the BC EAO regarding the Mines Act process is being sent. A copy of the letter was sent to NLG as a courtesy; it has not yet been sent but will be by 09/10/08. 2) The Avanti Board of Directors requested that the company’s permitting path be clarified - to ensure that Avanti has a clear permitting path forward in accordance with the law. Avanti does not believe that proceeding with the letter is prejudicial to the Nisga’a rights or interests. Just because Avanti is working in the best interests of the Project does not mean they cannot work constructively with the Nisga’a and should not result in insinuations that Avanti is acting improperly towards the Nisga’a. 3) Avanti has spent time since March 2009 reviewing the Mines Act process with NLG. Although NLG has expressed concerns about the environmental expertise of the BC EAO, Avanti did not, and believes there is a solution that works for both Avanti and Nisga’a. Avanti welcomes environmental expertise in the review process.

180 Letter 10/07/2009 NLG Avanti 1) NLG are cancelling information sessions because NLG are no longer able to give our citizens the assurances that NLG had intended. Avanti have made repeated assurances to NLG that Avanti would not embark on a permitting path that NLG could not support; however, NLG now understands the Board of Directors of Avanti does not support a process that would involve a joint NLG/Avanti decision not to proceed under the Act.

182 E-mail 10/08/2009 Nisga’a Nation Avanti 1) NLG will contact Avanti to discuss the 09/10/07 letter [see ROC0180] as soon as available [see also ROC0181].

219 Meeting 02/04/2010 NLG, Nisga’a Nation Indigenuity Consulting Group, Avanti

1) Avanti management has recommended to the Board that Avanti voluntarily opt in to the BC EAO process as it is more familiar and acceptable to the NLG and could possible harmonize with the requirements of CEAA. BC EAO requested that Avanti be very specific about the exploration phase activities in the application for a multi-year notice of work. 2) Nisga'a Nation discussed the previous misunderstandings and stated it is mutually important that NLG and Avanti have common understanding and agreement about the key milestones. 3) Avanti provided a project update regarding the prefeasibility study. NLG’s policy is not to respond until received through the formal system. (b) Provided a presentation on the five-year plan. (c) Greenwood Environmental will be responsible for managing the environmental aspects; remaining environmental work will be done by AMEC. 4) 10th Anniversary Project: (a) Avanti proposes to commission a totem pole, documenting the process for a photographic book. NLG is appreciative but it may not be possible at this time because it will trigger a cultural protocol of engaging a certain House with traditional authority over the site. NLG will provide other suggestions. 5) Budget: (a) NLG’s invoice for last year is almost ready. (b) Workplan for next year will be sent in advance of the next meeting. 6) Benefits Agreement: (a) Avanti understands NLG’s request to have a process separate from the EA one. (b) NLG will discuss to determine how the “table” will be set up. (c) NLG have discussed the preferred approach to the Section 11 Order; will need to consider and then respond. 7) Community Engagement: (a) Avanti requested that the community presentations be rescheduled to early June. (b) Avanti will send draft information to NLG for review. 8) Summer Camp and Work: (a) Camp and catering will be sole-sourced through NCG (Avanti’s commitment to preferential local hiring). 9) Communications: Nisga’a believe they are the only First Nations group with rights in the project area. BC EAO has included other First Nations because of the potential for shipping product in their territories. 10) Communications Protocol: (a) Current protocol is expired; NLG will draft a letter amending the term. 11) Next meeting set for 10/05/20 in Terrace.

258 Meeting 05/20/2010 NLG, Nisga’a Nation Indigenuity Consulting Group, Avanti, AMEC, Greenwood Environmental

1) New project team members were introduced. Avanti is still waiting for a decision on the Kitsault townsite litigation. Project description: (a) BC EAO and CEAA comments were incorporated; project description basically rewritten by AMEC except for the Nisga’a section. (b) No longer looking at a port facility or a camp near the water. Will keep the camp connected to the mill and have only the one location. 2) Tailings options: (a) Tailings site #5 is emerging as the preferred option. (b) There are fish in the lower habitat of the creek that will not be affected by the proposal, but they can’t migrate up Lime Creek because of the waterfall. (c) Mill and camp areas have been consolidated so there is only one point of water consumption and sewage treatment. (d) Project will not affect the Nass Watershed. 3) Road options: (a) The road option from Gitwinsihlkw (4 km left to construct) would reduce Nisga’a employee travel by 50 km/day. It is on Nisga’a lands. (b) Avanti suggests that Nisga’a would lead this project with Avanti funding it. (c) Bridge studies will be underway in June 2010. 4) Safety: NLG requested confirmation that BC Forestry and Range has been doing due diligence (they have). 5) EA schedule: (a) Schedule was outlined. (b) What is being assessed will be what the engineers design, not a concept. (c) Plan to provide the NLG with a copy of the draft AIR for review before the government review process. This will likely be in June. (d) Goal is to submit the EA application in Q1 2011. 6) Baseline studies: (a) Baseline studies are being updated. (b) Developing a human and environmental work plan. (c) AMEC is doing a gap analysis on the work provided by Rescan Environmental. (d) NLG environmental staff would like to review these documents and request adequate time to do so. (e) AMEC would like to have a true understanding of potential environmental impacts on the Nisga’a. Would like Nisga’a to provide input to the cultural perspective. (f) Would like to see NLG on the BC EAO Working Group for the Project. 7) Regulatory: (a) Concurrent permitting is challenging. (b) Currently looking at a harmonized review with the provincial government leading it. (c) Notice of Work permit received by NLG from BC MEMPR, but 6 weeks after Avanti provided it. (d) Preparation for exploration work is in progress, drilling expected to begin 10/06/04. (e) NLG will develop a work plan and budget once they have received the environmental assessment work plan. 8) Community presentation: NLG requests that they be given the opportunity to approve any working of communications going to the Nisga’a. 9) BC EAO site visit: Expect to have one at the end of June 2010.

1) Difference in catering price for the New Aiyansh open house; NLG requested info from Avanti on how to resolve this.

267 Letter 06/04/2010 NLG to BC MEMPR 1) NLG response to MEMPR’s 10/05/03 letter concerning Notice of Work A submitted by Avanti for mineral exploration work to be undertaken. The Nisga’a Nation is not opposed in principle to the work described in Notice of Work A that Avanti proposes to undertake in the current year. NLG takes the position that it would be that it would be inappropriate for MEMPR to consider the work proposed for 2011-2015.
