IICA – IFC Master Class for Women Directors/Business Leaders

In the 21st century, the key to better corporate governance lies with the relationships between boards and executives, in the social dynamics of board interaction, and in the competence, integrity, and constructive involvement of indi-vidual directors including the women. While the Companies Act 2013 and SEBI provisions makes efforts to encourage adoption of best practices, many of these aspects require prioritization at the level of companies. Encouraging women leadership and having balanced boards is one of them. To be effective, a board requires a diversity of skills, cultures, and views to make smart decisions with lasting impact. Research shows that a broad set of business benefits, such as improved financial performance and shareholder value, increased cus-tomer and employee satisfaction, rising investor confidence, and greater market knowledge and reputation, is associated with gender diversity on corporate boards. Research also indicates that more investment fund companies are including gender di-versity indicators among their criteria – a move that suggests investor confidence may improve with the addition of women to a company’s board. Still, while companies may express willingness to change and reform, they may not know what to do or how to do it.

The Indian Institute of Corporate Affairs

The Indian Institute of Corporate Affairs (IICA) has been established by the Ministry of Corporate Affairs (MCA), Government of India to act as a think-tank and a centre of excellence to support the growth of the corporate sector in India through an integrated and multi-disciplinary approach. IICA fulfils the training needs of officers of various administrative cadres including the Indian Corporate Law service and officials working across various ministries in government of India. As an MCA think-tank, IICA continues to successfully cater to the needs of large number of CPSE’s and private sector companies including MNC’s. The institute has experience training professionals ranging from Board Directors to middle and operational level executives. The expertise of the institute continues to be utilized by corporate India on various issues related to Corporate Affairs and Governance, E-Governance, Corporate Finance, Management, Strategy and Leadership among others.

Program Speakers

Brenda Bowman is an expert in adult learning, leadership-coaching and building the capacity of boards. Her innovative approaches link the experience of executives with the skills and knowledge they need to direct a thriving organization. Her trademark is a focus on the nexus between Emo-tional Intelligence and high levels of performance and leadership in the boardroom and executive teams. She has been a master trainer for the International Finance Corporation’s (IFC) Environment, Social and Governance team since 2007. She co-authored the IFC’s Board Leadership and Training Re-source Kit for the Nigerian Banking Sector, The Corporate Secretary’s Manual and the Women on Boards and in Business Leadership Program. She leads conferences and workshops throughout the world for bankers, entrepreneurs, leaders of Non-Government Organizations, government officials, corporate executives and boards of directors.

She specializes in building the capacity of training institutions, advising on sustainable business approaches to program development, the training of trainers and the development of materials to meet market needs. Brenda has directed capacity building programs in Africa for USAID, UNDP and the United States Peace Corps, specializ-ing in program management, and organizational development. She has also evaluated health and education programs for not-for-profit organizations. Her recent consultancies have focused on Women on Boards, Supportive Supervision, and a culture of Restorative Justice within large organizations. She holds a Bachelor of Education (B.Ed.) degree from Makerere University in Uganda and a Masters in Applied Linguis-

Loty Salazar is a Corporate Governance Officer at the International Finance Corporation (IFC), a member of the World Bank Group. She leads IFC’s Women on Boards and Corporate Leadership pro-gram, which aims to promote the business benefits associated with gender diversity in corporate boards and to widen the pool of women in senior management and board positions in developing and emerging markets. Loty is also the corporate governance gender representative in the Environ-ment, Social and Governance Department’s gender working group which supports implementation of the institution’s gender strategy. Additionally, as part of her work as a Knowledge Management and Communications Coordinator with IFC’s Corporate Governance Group, she also manages strategic communications, including me-dia relations and outreach and dissemination activities for the global team, and co-leads the media training program which aims to promote reporting on corporate governance issues.

Loty holds a Master’s Degree in International Development from George Washington University in Washington D.C and

a Bachelor’s Degree in International Relations and Economics.

Ms. Vladislava (Slava) Ryabota is a key member of IFC’s Corporate Governance Leadership Team and the center point of contact for both investment and advisory services for IFC in South Asia. She is based in Mumbai, India, since October 2013. Ms. Ryabota joined IFC in 1997 and worked in a number of corporate governance advisory projects and was covering investment operations in Europe and Central Asia. Ms. Ryabota specializes in assessment of corporate governance practices, board evaluation, family business governance, governance of funds and SMEs, and has been regu-larly providing trainings for directors and corporate secretaries. Ms. Slava graduated from the Law Faculty of Kyiv National Taras Shevchenko University in 1993.

She continued her education at Essex University, UK. She holds a PhD degree in mergers and acquisitions, and is a me-

diator accredited by the Centre for Effective Dispute Resolution in UK. She is a professional trainer and the author of a

number of books and articles on corporate governance, commercial law and mediation.
