Šta je biomasa u regulatornom (normativnom) smislu?

Zakon o šumama govori o biomasi samo u kontekstu definisanja šumskih proizvoda.

Zakon o poljoprivredi i ruralnom razvoju ne poznaje pojam biomase.

Zakon o poljoprivrednom zemljištu takođe nema definiciju biomase.

Zakon o energetici - biomasa je biorazgradivi deo proizvoda, otpada i ostataka biološkog porekla iz poljoprivrede (uključujući biljne i životinjske materije), šumarstva i povezanih industrija, kao i biorazgradivi deo industrijskog i komunalnog otpada.

Biomasa se kao pojam u našem regulatornom okviru koristi samo u oblasti energetike. Matični zakoni ili ne poznaju ovaj pojam ili ga koriste samo sporadično u kontekstu nekih drugih instituta.

What is the biomass in a regulatory (normative) sense?

The Forest Act mentions biomass only in the context of forest products.

The Agricultural and Rural Development Act does not recognize the notion of biomass.

The Agricultural Land Act does not have a definition of biomass neither.

Energy Act – biomass is the biodegradable part of products, waste and remnants of biological origins from agriculture (including crop and animal matter), forests and related industries as well as the biodegradable part of industrial and communal waste.

Biomass, in the Serbian regulatory framework, is to be found only in the field of energy. Other main sectoral laws either do not recognize it or use it for secondary purposes within the context of other legal concepts.

Prema poslednjim podacima iz Energetskog bilansa u ukupnoj potrošnji toplana prirodni gas učestvuje sa 74%, naftni derivati sa 14%, ugalj sa 11% a biomasa sa manje od 1%.

Biomasa se skoro uopšte ne koristi u sistemu javnog grejanja u Republici.Postojeći sistem javnog grejanja i, pogotovo, daljinskog grejanja, zasnovan na korišćenju mazuta i prirodnog gasa je teško održiv zbog visokih cena uvoznog goriva i teških posledica po životnu sredinu.Najveći broj javnih toplana je prezadužen budući da veliki broj korisnika nije u stanju da plaća ekonomsku cenu usluge daljinskog grejanja – „Niški scenario“.

Uvođenje biomase u sistem daljinskog grejanja u Srbiji sigurno nije rešenje za sve probleme sa kojima je ovaj sistem suočen ali je više nego dobar početak.

According to the most recent data from the Energy balances, in the total consumption of heating plants natural gas participates with 74%, oil derivate with 14%, coal with 11% and biomass less than 1%.

Biomass seems as not to be used at all in the public heating system of Serbia. The current system of public heating and, especially, of district heating, based on the use of fuel oil and natural gas is difficult to sustain due to the high prices of import oil and the grave consequences to the environment. Great amount of public district heating plants is overdue as a large number of consumers cannot afford to pay district heating services – “Niš scenario”.

The introduction of biomass to district heating in Serbia is surely not a solution to all the problems that are facing the system, but it could be a good start to achieving one.

Korišćenje biomase u energetske svrhe

Prema poslednjim podacima iz Energetskog bilansa u ukupnoj potrošnji

toplana prirodni gas učestvuje sa 74%, naftni derivati sa 14%, ugalj sa

11% a biomasa sa manje od 1%.

Biomasa se skoro uopšte ne koristi u sistemu javnog grejanja u Republici.

Postojeći sistem javnog grejanja i, pogotovo, daljinskog grejanja,

zasnovan na korišćenju mazuta i prirodnog gasa je teško održiv zbog

visokih cena uvoznog goriva i teških posledica po životnu sredinu.

Najveći broj javnih toplana je prezadužen budući da veliki broj korisnika

nije u stanju da plaća ekonomsku cenu usluge daljinskog grejanja – „Niški

scenario“.

Uvođenje biomase u sistem daljinskog grejanja u Srbiji sigurno nije

rešenje za sve probleme sa kojima je ovaj sistem suočen ali je više nego

dobar početak.

Jedinice lokalne samouprave i gradske toplane intenzivno razmatraju prelazak na korišćenje biomase kao pogonskog goriva, kao jedinog ili dopunskog energenta.

Dva aspekta prelaska:

1) Prilagođavanje grejne infrastrukture korišćenju biomase.2) Nabavka biomase.

Local self-governments and district heating plants are increasingly considering conversion to the use of biomass as a fuel source, either as supplementary or as dominant source of energy.

Two aspects of the conversion:

1) Adaptation of the heating infrastructure for the utilization of biomass.2) Procurement of biomass.

Dve odvojene transakcije, osim izuzetno.

Izuzetak bi bio javno-privatno partnerstvo – teško ostvarivo.

Prva transakcija je klasična javna nabavka kotla i prateće infrastrukture ili, eventualno, ESCO transakcija.

Kod ESCO transakcije treće lice nabavlja kotao o svom trošku i zatim dobija naknadu od javne toplane u iznosu jednakom ugovorenom procentu uštede koja je ostvarena investicijom.

Druga transakcija je ugovorni odnos između javne toplane i dobavljača šumske biomase.

Two distinct transactions.

The exemption would be the public-private partnership structure – difficult to achieve.

First transaction is an ordinary public procurement of boilers and accompanying infrastructure or, eventually, ESCO transactions.

In ESCO transactions, a third party procures the boilers at its own expenses and subsequently receives compensation from the district heating plant in the amount equal to the percentage of savings accomplished by the investment.

The second transaction is a contractual arrangement between the public heating plant and the supplier of forest biomass.

Nabavka biomase složeniji deo posla:

1) Nerazvijenost lanca snabdevanja.

2) Nepostojanje kredibilnih dobavljača koji mogu da garantuju kvantitet i kvalitet.

3) Sigurnost snabdevanja.

4) Usklađenost sa Zakonom o javnim nabavkama.

The procurement of biomass seems to be the more complex part of the undertaking:

1) Undeveloped chain of supply.

2) Non-existence of credible suppliers guaranteeing quality and quantity.

3) Security of supply.

4) Compliance with the Public Procurement Act.

Gradske toplane su skoro isključivo organizovane kao javna komunalna preduzeća.

Obavezne su da primenjuju Zakon o javnim nabavkama prilikom nabavke dobara.

Zakon o javnim nabavkama je dobrim delom usaglašen sa EU direktivama o javnim nabavkama iz 2004.

Definicija naručioca:1) državni organ, organ autonomne pokrajine i organ lokalne samouprave;2) pravno lice osnovano u cilju zadovoljavanja potreba u opštem interesu, koje nemaju

industrijski ili trgovinski karakter, ukoliko je ispunjen neki od sledećih uslova:(1) da se više od 50 % finansira iz sredstava naručioca;(2) da nadzor nad radom tog pravnog lica vrši naručilac;(3) da više od polovine članova organa nadzora ili organa upravljanja tog pravnog

lica imenuje naručilac.

District heating plants are exclusively structured as local public enterprises.

Obligated to apply the Public Procurement Act to the procurement of goods.

Public Procurement Act is, for the most part, in line with the EU Directive on Public Procurement of 2004.

Definition of contracting authority:1) State entity, entity of the autonomous province or entity of the local government.2) legal entity established for performing activities of common interest, without

commercial or industrial purposes, if any of the following conditions are met:(1) Over 50% is financed from the contracting authorities funds;(2) Contracting authority supervises the operation of that legal entity;(3) More than half of members of that legal entity’s managing body are representatives

of the contracting authority.

Posebna pravila za naručioce koji obavljaju određene delatnosti u oblasti energetike.

Naručioci u oblasti energetike su:1) naručilac iz člana 2. ovog zakona koji obavlja delatnost u oblasti vodoprivrede,

energetike, saobraćaja i poštanskih usluga, kada sprovodi nabavku za potrebe obavljanja tih delatnosti;

2) lice koje obavlja delatnost u oblasti vodoprivrede, energetike, saobraćaja i poštanskih usluga, na osnovu isključivih ili posebnih prava, kada sprovodi nabavku za potrebe obavljanja tih delatnosti;

3) javno preduzeće koje obavlja delatnost u oblasti vodoprivrede, energetike, saobraćaja i poštanskih usluga, kada sprovodi nabavku za potrebe obavljanja tih delatnosti.

Posebno su regulisane sledeće nabavke:1) istraživanje ili vađenje nafte i gasa, istraživanje ili iskopavanje uglja i ostalih mineralnih

sirovina i drugih čvrstih goriva;2) izgradnja ili upravljanje objektima i mrežama u cilju pružanja usluga korisnicima u

vezi sa proizvodnjom, transportom, prenosom ili distribucijom električne energije, gasa i toplotne energije;

3) snabdevanje tih mreža električnom, toplotnom energijom i gasom.

Special rules for the contracting authority performing activities in the field of energy.

Contracting authorities from the field of energy are:1) Contracting authority from Article 2 of this law that performs activities in the field of

water management, energy, traffic and mail services, when performing procurements for conducting these activities ;

2) Entity that performs activities in the field of water management, energy, traffic and mail services, when performing procurement for conducting these activities;

3) Public enterprise that performs activities in the field of water management, energy, traffic and mail services when performing procurements for conducting these activities.

The following procurements are specifically regulated:1) The exploration or extraction of oil and gas, exploration or extraction of coal and

other raw minerals and other solid fuels;2) Construction or management of infrastructure and networks providing services to

consumers related to production, transport, transmission or distribution of electrical energy, gas or heating energy;

3) The supply of these networks with electrical, heating energy or gas.

Član 122 sadrži izuzetke od primene Zakona o javnim nabavkama:

Kada naručilac koji se bavi delatnošću iz člana 119. stav 1. ovog zakona nabavlja:(1) energiju ili(2) gorivo za proizvodnju energije;Nema definicije goriva u Zakonu o javnim nabavkama.Nema definicije goriva u Zakonu o energetici.

Article 122 stipulates the exceptions from the application of the Public Procurement Act:

When the contracting authority conducts economic activities prescribed in Article 199 (1) of this law procures:(1) energy or(2) fuel for energy production;No definition of fuel in the Public Procurement ActNo definition of fuel in the Energy Act

Rečnik javne nabavke sadrži pojam „gorivo“ i pojam nižeg reda „goriva na bazi drveta“. Iz ovoga bi sledilo da šumska biomasa spada u gorivo, te da važi izuzetak od primene Zakona o javnim nabavkama.

Međutim, zabunu unosi to što Rečnik javne nabavke sadrži i posebne pojmove „drva za ogrev“, „drvnog otpada“ i „drvnih ostataka“ u okviru pojma “proizvodi šumarstva i seče drva”.

Zakon o energetici koristi pojam „energent“ u koji, između ostalog, spadaju i obnovljivi izvori energije u koje, po zakonu spada i biomasa. Ovaj pojam bi se mogao tumačiti kao sinonim pojma “gorivo”.

U tumačenju odredbe člana 119 trebalo bi poći od toga šta je svrha za koju se nabavlja biomasa. Budući da se ona nabavlja za proizvodnju toplotne energije i da se koristi kao gorivo, logično je da se na takvu nabavku od strane javnih toplana ne primenjuju odredbe Zakona o javnim nabavkama.

Poželjno bi bilo pribaviti pozitivno mišljenje Uprave za javne nabavke na ovakvo tumačenje odredbi Zakona o javnim nabavkama.

The Vocabulary of Public Procurements contains the term “fuel” and a secondary term “wood-based fuel”. It seems, therefore, that forest biomass belongs to the category of “fuel”, and that the exemptions from the application of the Public Procurement Act are applicable.

However, the Vocabulary of public procurements turns to be confusing as it contains specific terms as “firewood”, “wooden waste” and “wooden remnants” within the notion of “product of woods and wood cutting”.

The Energy Act uses the term “energy sources”, which, inter alia, includes the term renewable energy sources and which, according to law, includes biomass.

The interpretation of Article 119 should be based on the purpose of the biomass procurement. Having in mind that biomass is procured for the production of heating energy and that it is used as fuel, it seems logical that for such procurement district heating plants should be exempted from the application of the rules of the Public Procurement Act.

It is desirable to obtain a positive opinion from the Public Procurement office on this interpretation of the rules of the Public Procurement Act.

Ako su ove nabavke izuzete od primene Zakona o javnim nabavkama kao što smo zaključili u ranijem izlaganju postavlja se pitanje koja pravila i norme treba slediti u sprovođenju ove nabavke od strane javnih toplana.

Primena načela Zakona o javnim nabavkama (efikasnost i ekonomičnost, konkurencija, transparentnost, jednakost, konflikt interesa…).

Primena posebnih normi iz pravilnika o postupku javne nabavke kod naručioca a za nabavke na koje se ne primenjuje zakon o javnim nabavkama.

Usvajanje plana javnih nabavki koji uključuje i nabavke na koje se ne primenjuje Zakon o javnim nabavkama.

If the biomass procurement is exempted from the application of the Public Procurement Act, the impending question is what rules and provisions should be followed for this kind of procurements by the districting heating plants.

The application of principles of the Public Procurement Act (efficiency and cost-effectiveness, competition, transparency, equality, conflict of interests…).

The application of special norms from the contracting authorities’ rulebook on the public procurement procedure – the rules applicable to procurements to which the Public Procurement Act is not applicable.

Adoption of the public procurement plan that has to include procurements to which the Public Procurements Act does not apply.

Mogućnost shodne primene koncepta okvirnog sporazuma iz Zakona o javnim nabavkama.

„Okvirni sporazum je sporazum između jednog ili više naručilaca i jednog ili više dobavljača, čija je svrha utvrđivanje uslova ugovora koji će se dodeljivati tokom određenog perioda, a koji se odnose na cene i, gde je to prikladno, na količine“

Okvirni sporazum nije posebna vrsta postupka javne nabavke.

Okvirni sporazum nije ugovor o javnoj nabavci. Gledajte na okvirni sporazum kao na opšte uslove pod kojima tokom određenog vremenskog perioda (najviše dve, odnosno tri godine po ZJN) naručilac ima pravo da zahteva isporuku određenog dobra odnosno pružanje određene usluge zaključenjem jednog ili više pojedinačnih ugovora.

Smanjuje se administrativno opterećenje, skraćuje se vreme sprovođenja postupka, obaveza se ne preuzima dok se ne zaključi pojedinačni ugovor.

The possibility of utilizing the concept of framework agreement from the Public Procurements Act.

“A framework agreement is an agreement between or more contracting authorities and one or more suppliers, the purpose of which is to determine the terms of public procurement contract, such as prices, and if appropriate, the quantities”

Framework agreement is not a special public procurement procedure.

Framework agreement is not a public procurement contract but an agreement between parties on the conditions for conclusion of a public procurement contract during a certain period of time (two years upmost, respectively three years in accordance with the Public Procurement Act).

The administrative burden is being reduced, the procurement period is shortened, the obligations are not assumed by the contracting authority until the specific procurement agreement is signed.

Jedan dobavljač ili više dobavljača?

Prednosti jednog dobavljača:- Efikasnost postupka ugovaranja i administriranja.- Prenošenje određenih rizika na dobavljača.- Mogućnost boljeg garantovanja za ispunjenje obaveze (ekonomski jači prodavac).

Prednosti više dobavljača:- Disperzija rizika na više malih i manjih ugovora.- Povoljan efekat na lokalnu ekonomiju.

Hibridno rešenje:- Okupljanje više dobavljača pod jedan konzorcijum ili udruženje ili logistički centar za

biomasu (agregator).- Ostvarivanje prednosti oba modela.

One or more suppliers?

Advantages of the single supplier option:- Efficient contracting procedure and contract administration.- Transfer of certain risks to the supplier.- Achieving better performance guarantees fulfillment of contractual obligations (from

economically stronger seller).

Advantages of more suppliers:- Risks dispersion to a number of smaller contractual agreements.- Beneficial impact on the local economy.

Hybrid solution:- Gathering of more suppliers under a consortium or association or within the biomass

logistics and trade center (aggregator).- Achieving the benefits of both models.

Trajanje ugovora o nabavci biomase. Jednogodišnji ili dugoročni ugovor?

Značajna pitanja kod ugovaranja nabavke biomase.

Ugovor treba detaljno da odredi svrhu nabavke biomase navođenjem detalja procesa i tehnologije sagorevanja biomase.Čl 479 Zakona o obligacionim odnosima (ZOO) - Materijalni nedostatak ispunjenja postoji „…ako stvar nema potrebna svojstva za naročitu upotrebu za koju je kupac nabavlja, a koja je bila poznata prodavcu, ili mu je morala biti poznata“.

Ugovor mora da sadrži detaljnu tehničku specifikaciju biomase koja se nabavlja (vlažnost, veličina, vrsta itd.) ali i dogovoreni način za proveru specifikacije prilikom isporuke. Posledica nesaobraznosti prema ZOO može da bude odbijanje prijema isporuke, ugovorna kazna, aktiviranje garancije i naknada štete i, na kraju, raskid ugovora.

Skladištenje biomase- Skladištenje u prostorijama prodavca o trošku prodavca (skladištenje uključeno u

cenu).- Rizik raspoloživosti biomase u skladištu onda kad je potrebna i u traženoj količini.- Rizik slučajne propasti i osiguranje (toplana kao dopunsko osigurano lice).- Skladištenje u prostorijama kupca (specifikacije treba da uzmu u obzir ovo pitanje).

Major contractual issues for the procurement of biomass.

The contractual arrangement should provide the purpose of procurement of biomass by clarifying in detail the technology and process of biomass combustion. According to Art. 479 of the Obligations Act – A defect shall exist when “…the goods do not have the properties required for the specific purpose intended by the buyer as a reason for acquiring them, which purpose was known, or should have been known, to the seller”.

The contract should contain detailed technical specification of the biomass to be procured (humidity, size, type etc.) and the agreed testing procedure to confirm the conformity of the goods in the course of delivery. Under the Obligations Act, the consequence of non-conformity could be non-acceptance of the goods, contractual penalty, activation of warranty and compensation for damages and, ultimately, the termination of the contract.

Biomass storage- Storage in the premises of the supplier at the expense of the supplier (the storage

included in the price).- Availability risk of the required quantity of biomass in the storage at a specific time.- Risk of accidental loss and insurance (heating plant as the additionally insured entity).- Storage in the premises of the contracting authority (specifications should be taken

into account).

Značajna pitanja kod ugovaranja nabavke biomase.

Pitanje transporta biomase i prelaska rizika sa prodavca na kupca.- Transport biomase do toplane odnosno do skladišta uključen u cenu.- Rizik propasti na prodavcu do trenutka isporuke.- Osiguranje obaveza prodavca; Toplana kao dopunsko osigurano lice.

Sredstvo obezbeđenja ispunjenja- Bankarska garancija – bezuslovna i na prvi poziv.- Iznos pokrića - dovoljan da pokrije troškove naručioca u obezbeđivanju rezervnog

snabdevanja- Nepouzdanost menice.- Realna sredstva obezbeđenja

Cena- Po količini ili po energetskoj vrednosti (kada je ovo drugo moguće i da li time prestaje

potreba da se insistira na specifikaciji).- Indeksiranje cene (naročito kod dugoročnih i okvirnih ugovora o snabdevanju).- Uzmi ili plati koncept (take or pay) (ne bi trebalo prihvatiti kao obavezu ako ne postoje

smeštajni kapaciteti).

Major contractual issues for the procurement of biomass.

The issue of biomass transport and the associated transfer of risk from the supplier to the buyer.- Transport of biomass to the heating plant or storage facility should be included in the

price.- Risk of loss should be borne by the supplier until delivery.- Insuring the supplier’s obligations; Heating plant as the additionally insured entity.

Performance securities- Bank guarantee – unconditional and on-demand.- Insured sum - sufficient to cover the expenses of the contracting authority (heating

plant) in securing the reserve supply.- Unreliability of promissory note.- Securities in rem.

Price considerations- Based on quantity delivered or on the energy produced (when the second option is

available and whether the need for specifications ceases in that case).- Price indexation (especially for long-term and framework supply agreements).- Take or pay concept (should be taken as contractual obligation if no storage capacities

are available).

Zaključcin Postoji podregulisanost korišćenja biomase u svrhe daljinskog grejanja, ali to ne sme

biti prepreka u realizaciji projekta.

n Zakon o javnim nabavkama se ne primenjuje ali primenjiva su njegova načela, te određene administrativne procedure.

n Uloga agregatora (BLTC) može biti ključna u realizaciji projekta.

n Potrebno je formiranje zajedničke najbolje prakse za nabavku biomase od strane javnih toplana kroz razmenu iskustava i pripremu zajedničkih dokumenata za sprovođenje nabavke, uključujući i standardnih ugovora.

Conclusionn The current under-regulation on the utilization of biomass for heating purposes

should not be an obstacle in the realization of the project.

n The Public Procurement Act is not applicable but its principles are, including certain administrative procedures.

n The role of aggregator (BLTC) could be the key for successful realization of the project.

n It is necessary to develop a common best practice for the procurement of biomass by the district heating plants through the sharing of experience and know-how and the preparation of joint documents for the implementation of the procurement, including the drafting of standardized contract models.
