OnJune11,2018,PTC,agloballeaderinassistingcompaniesto“reinventthewaytheydesign,manufacture,operate,andservicethingsinandforasmart,connectedworld”,and RockwellAutomation,“theworld’slargestcompanydedicatedtoindustrialautomationandinformation”,announcedthattheyhaveenteredintoadefinitiveagreementforastrategicpartnershipthatisexpectedto“accelerategrowthforbothcompaniesandenablethemtobethepartnerofchoiceforcustomersaroundtheworldwhowanttotransformtheirphysicaloperationswithdigitaltechnology”.

Accordingtothepressreleaseissuedonthatdate,“aspartofthepartnership, RockwellAutomation willmakea $1billion equityinvestmentinPTC,andRockwellAutomation’sChairmanandCEO, BlakeMoret,willjoinPTC’sboardofdirectorseffectivewiththeclosingoftheequitytransaction”.

Thepressreleasewentontostatethat,“Thepartnershipleveragesbothcompanies’resources,technologies,industryexpertise,andmarketpresence,andwillincludetechnicalcollaborationacrosstheorganizationsaswellasjointglobalgo-to-marketinitiatives.Inparticular,PTCand RockwellAutomation haveagreedtoaligntheirrespectivesmartfactorytechnologiesandcombinePTC’saward-winningThingWorx©IoT,Kepware© industrialconnectivity,andVuforia© augmentedreality(AR)platformswithRockwellAutomation’sbest-in-classFactoryTalk© MES,FactoryTalkAnalytics,andIndustrialAutomationplatforms.Theresultwillbeanunmatchedintegratedinformationsolutionthatwillenablecustomerstoachieveincreasedproductivity,heightenedplantefficiency,reducedoperationalrisk,andbettersysteminteroperability”.

B. TheMarket’sTakeonthePTC-RockwellAutomationStrategicPartnership

Themarket’stakeonthethePTC-RockwellAutomationstrategicpartnership,atleastduringthefirstmonthsincetheannouncement,hasbeengenerallypositive(asisthisAnalyst’stake),althoughtheremaystillbesomehesitationtogloballypositionthepartnershipasthe“nextbestthing”foreithertheIoTorthetwoglobalcompaniesinvolved.

Forexample,accordingtoindependentanalystfirm,CIMdata,whichbillsitselfas“theleaderinPLMeducation,research,andstrategicmanagementconsulting,“althoughRockwellAutomationhadrevenuesofUS$6.3billionin2017,PTC,aPLMleaderwith2017revenuesof[only]$1.2billion,haspursuedtheInternetofThings(IoT)opportunitymoreaggressivelythantheirPLMpeers[includingRockwellAutomation]”.

Nonetheless,CIMdatastill“believesthisrelationshipshouldprovidebothcompanies’customersnewexpertisetoimprovetheirmanufacturingcapabilitiesandefficiencies.IntegratingRockwellAutomation’sindustrialcontrolandsoftwaretechnologyanddomainproficiencieswithPTC’sThingWorxandothertechnologysolutionswillprovideindustrialenterprisesabetterabilitytocapitalizeonthecapabilitiesoftheIndustrialIoT.Itwillalsoalloweachcompanytospendmoretimefocusingontheirstrengths,whichshouldhelpbothcompaniesbringmoretechnologyandexpertisetothecombinedofferingovertime”.

But,theresearchfirmcontinues,“aswithanypartnership,timewilltellifthetwocompanieswillsucceed.However,unlikemanypartnershipannouncements,thisoneincludesa$1billionpricetag,whichraisesthestakesforbothpartiesandthevisibilityofthepartnershiparoundtheworld.CIMdatalooksforwardtolearningmoreatPTC’supcomingLiveWorxeventandfromourjointclients.Assuch,bystatingits“belief”inthismanner,itappearsthatCIMdataishopefulforapositiveoutcome,buthasclearlyadopted– atleastintheshortterm– a“waitandsee”outlook.

Financialanalystfirm,ZacksEquityResearch,alsobelievesthatthePTC- RockwellAutomationpartnershipisgenerallypositive,althoughitsanalysts’postsalsoreflectsomewhatofa“waitandsee”perspectiveaswell.Still,theanalystfirmcitesthatthemainreasonforwhyitbelieves“PTCisastrategicfitforRockwellAutomation”isthat,“Notably,RockwellAutomationremainsfocusedtoincreaseinvestmentsforexpandingthevalueofTheConnectedEnterprise(CE)&Integrationofsoftwarewithotherdesigntools&Scalableanalytics”.

“TheindustrialautomationtechnologycompanyselectedPTCasthelatter’sinnovativesolutionwillextendthevalueofCEandhelpstrengthencustomerrelationships,”andthatthebestwaytodosoisforbothcompaniesto”leveragetheirrespectivesmartfactorytechnologiesbycombiningPTC’sThingWorxIoT,Kepwareindustrialconnectivity,andVuforiaARplatformswithRockwellAutomation’sFactoryTalkMES,FactoryTalkAnalyticsandIndustrialAutomationplatforms.Thispartnershipwillalsoincludejointsalesandmarketinginitiativesaroundtheworld.”

CRNmagazineconcurswithmuchoftheopinionsofZacksEquityResearchanalystsbystatingthatitbelievesthepartnership“willactas‘ForceMultiplier’forpartnersellingopportunities”.BasedonaninterviewconductedbyCRNeditor,DylanMartin,withDonBusiek,PTC’sVicePresidentofCorporateStrategy,onthedaytheannouncementwasmade,BusiekclaimedthatPTCchannelpartners“areexpectedtoreceivesignificantnewsellingopportunitiesthankstotheindustrialsoftwarevendor'snewstrategicpartnershipwithRockwellAutomation”andthat"Thefeedback'sbeenuniversallypositive.Everyoneviewsthisasawin-win.”

InitialresultsappeartovalidateBusiek’sclaimas,accordingtoCRN,theannouncementitselfprompted“PTC'sstockpricetoreachanall-timehighMonday[i.e.,June11,2018]inits29yearsasapubliccompany”.CRNfurtherreportedthat,“TheannouncementcomesasPTC'sInternetofThingsbusiness remainsthecompany'sfastest-growingbusiness,withrelatedsalesgrowing33percentyearoveryearinthesecondquarterto[US]$29million”.

Busiekfurthersupportedthepartnershipbysayingthat,“ForPTC'schannelpartners,thedealmeansachancetoincreasethenumberofverticalstheysellinto,aswellasthenumberofproducts,becausethepartnershipopenspartnerstoRockwell'scustomerbase,domainexpertiseandproductoffering”.HealsowentontoproclaimhowPTCwouldbenefitfromthealliancebystating,“NowallofasuddenwehaveRockwell's35,000livecustomersasprospectstosellintoit.Thatdoesn’tapplyjusttoourdirectsalesteambutalsoourpartnerecosystem”.

ThismayallbegoodnewsforexistingandfuturePTCcustomersasechoedbyElainaShekter,CMOofEPAMSystems,aPTCpartnerandNo.31onCRN's2018SolutionProvider500,who,inaCRNinterview,welcomedtheannouncementbyreflectingthat,“Thestrategicalliancebetweenourpartner,PTC,andRockwellAutomation,isexcitingnews,expandingourIoTpartnerecosystemtocovernewdomainsandverticals.We’llbeabletosupportthebroaderreachofPTCthroughourfullend-to-endIoTservicecapabilities,industrialdesignandinfrastructure,middlewareandintegrationcapabilities."

Manyofthefieldservicesegment’sindependentanalysts,industryexpertsandBloggershavealsoweighedinontheannouncement– again,inamainlypositiveway,albeit withsomepotentialreservations.Forexample,industryanalystandcomsultant,JoeBarkai,proclaimsthatwiththePTC-RockwellAutomationpartnershipontheforefront,“aneweraofPLMcompetitionbegins.”

ThebasisofBarkai’sproclamationisthat,“Astheindustrialsectorcontinuestotransitiontopervasivedigitalization,theIndustrialInternetofThings,andIndustry4.0,thedemandforprovencapabilitiesinInternetofThingstechnology,automationplanningandsimulation,andmanufacturingoperationsmanagementisgrowingrapidly.AlthoughPTCwasearlytomarketwiththehighly-publicizedacquisitionsofIoTtechnologyprovidersAxeda,ThingWorx,andKepware,therelativelackofastrongbrandanddeepexpertiseinindustrialautomationtemperedmarketadoption”.

Barkaibaseshisopiniononhisbeliefthat“PTC’slargestcompetitorssawbettersuccess”andthat“Siemens,inparticular,recognizedtheimminentdigitaltransformationofthemanufacturingindustryandhasbeenmovingdeliberate[sic]andwithlittlefanfaretofulfilltheneed,buildinguponitsstrongbrandanddeepindustrialautomationexpertisethatcoverthegamutfromindustrialautomationhardwaretoadvancedplanningandsimulation”.

Engineering.comalsoagreeswithHeppelmanninthat,“thestrategicalliancewithRockwellisonlyoneofseveralindicatorsofPTC’sprogressinrecentyears.PTC’sIoT,IIoT,AR,PLMandCADareashavedevelopedsuccessfully,andcombinedwithanewbusinessmodel– subscriptionsinsteadofperpetuallicensing– thecompanyisapproachingapointwherethingscanchangeinadramaticway.TheRockwelldealplaysasignificantrole.AutomationmayverywellbethecriticalcomponentPTCneedstoestablishacompletecompetitivesolution.Butthereisadifferencebetweenanengagement,asitcanbecharacterizednow,anda‘marriage’”.

C. SFG℠’sTakeonthePTC-RockwellAutomationStrategicPartnership

TherearemanyaspectstothePTC-RockwellAutomationpartnershipthataregenerallypositive,withonlyafewpotentialredflagsthatmaypotentiallybecomesomewhatproblematicdowntheroad.Basically,itwillalldependontheabilityofbothorganizationstoexecuteeffectively,andinsyncwithoneanother.

“Whileitappearsthat[PTC’s]acquisitionshavelargelybeenverysuccessful(e.g.,wherewouldthecompanybeifithadnotacquiredThingWorx?),

itstrackrecordofpartnershipshasnotbeennearlyasgood.”- BillPollock,StrategiesForGrowth℠

Admittedly,PTChasnotalwayshadgreatsuccesswithitspartnershipsoverthepastseveralyears.Whileitappearsthatitsacquisitionshavelargelybeenverysuccessful(e.g.,wherewouldthecompanybeifithadnotacquiredThingWorx?),itstrackrecordofpartnershipshasnotbeennearlyasgood– althoughithasnotalwaysbeenPTC’sfault(e.g.,therelativefallofGEasaglobalmanufacturingandservicesleader,etc.).

Forexample,thecompany’sstrategicpartnershipwithServiceMax(i.e.,pre-acquisitionbyGEDigital)appearedtostartoutwell,withPTCtakingchargeoftheServiceLifecycleManagement(SLM),ProductLifecycleManagement(PLM)andApplicationLifecycleManagement(ALM)componentsofthebusiness,andServiceMaxfocusingonFieldServiceManagement(FSM).PTCdiditspartbyleavingtheFSMsideofthebusinessprimarilytoServiceMax;however,ServiceMax,onceacquiredbyGEDigital,becamemoreofan“unknownquantity”intermsofitsstrategicdirectionandpathforward.PTC’sstrategicpartnershipwithGEDigitaljustseemedtocomplicatemattersevenmoreand,whilethetwoorganizationsstillmaintainsomesemblanceoftheiroriginalpartnership,thedaysofcollaboratingwithoneanotherhavelongsincebeengone.Parentcompany,GE’sfinancialproblemshaveessentiallyputadeathknellonthepartnership.

WhilePTC’spartnershipwithGEDigitalseemstostillhavesomepotential,muchofthelusterhasprobablybeenstrippedawayasaresultofthecompany’snewpartnershipwithRockwellAutomation.Nevertheless,thesituationmaystillbesomewhatvolatileasGEDigitalhassinceacquiredServiceMax,andparentcompany,GE,hasnotyetshownthatitcanweatherthestormahead– theremaybemanymoreproblemsaheadforGE,andonewouldthinkthatallofthesepotential“disturbances”mayultimatelyhavesomekindofnegativeimpactonthecompanyanditsGEDigitalsubsidiary(includingServiceMax).

Whilenotexactlyamergeroracquisitionbetweenthetwocompanies,thereareenoughmerger-typeattributesthateachorganizationcanbenefitfrom– butwithouthavingtorelinquishcontroloftheirrespectiveproprietaryIP,orcustomerandtechnologybases.Forexample:

• Eachcompanycanutilizeitsownresources;in-housetechnologies;professionalservicesandconsultingcapabilities;salesandmarketingskills;andIntellectualProperty(IP)toreachouttothemarketplaceandestablishin-depthcustomerrelationships;

• Bothcompaniescancollaborate,wherenecessaryand/ordesirable,tosharetheircapabilitiesandexpertiseindevelopingnewbusiness,penetratingnew(tothem)industrysegments,selling/upselling/cross-sellingtheirownandeachother’sproductsandservices,etc.;

• Thetwocompaniescanbenefitfromacash-richenvironmentwheretherewilllikelybeeconomiesofscalewithrespecttonewtechnologydevelopment,jointResearchandDevelopment(R&D),productandserviceportfolioenhancement,newproductandservicedevelopment,etc.;and

• Thetwocompanies,together,canexplorenewwaystobringtheIoTandIIoTtothemarketplace,onanexpandedindustrysegmentbasis,therebycontinuingtheirrespectiveevangelicalapproachestotheIoT,ArtificialIntelligence(AI)andAugmentedReality(AR),etc.

Bytakingadvantageofthese“new”benefits,PTCandRockwellAutomationwillnowbeabletoworktogether,pooltheirexpertiseandresources,andworktowardbuildinganewportfolioofIoT-drivenofferingsrangingfromintegratedsmartfactories,tosmartcities,andeverythingelsein-between.

Ultimately,thepartnershipsthatPTCcultivatedwithServiceMaxandGEDigitaldidnotprovidethecompanywitheitherthereach,ortheoutreach,itwanted.Eachofthesedealsultimatelybecametooone-sided– orno-sidedatall!ThisiswherethepartnershipwithRockwellAutomationwillbedifferent:itisnotmerelyatechnologyalliance,norisitstrictlyafinancialpartnership– itisapartnershipsteepedintechnology,businessdevelopment,salesandmarketing,andproductenhancementcollaboration,wherebothpartiesarelikelytoturnouttobewinners!
