Ethics is understanding the difference between what is right to do and what you have the right to do. The former Chief Financial Officer of Enron Corp. will discuss his own story, and he will describe how he made such profound mistakes.

When is it acceptable to engage in a transaction that technically complies with the rules, but that may be misleading? Can a transaction that technically complies with the rules be considered unethical or illegal? Is it ever appropriate to depart from GAAP or IFRS? Mr. Fastow will cite examples of such transactions at major companies, he will discuss the rationalizations made by executives to justify their decisions, and he will discuss examples of how these decisions can cause great harm to stakeholders. He will make suggestions of questions that Regulators, Auditors, Fraud Examiners, and Directors might ask in order to ensure that their companies not only follow the rules, but also uphold the principles behind them.

Pro forma “policies” and “controls” are no longer sufficient to insulate a company from the liabilities associated with questionable behavior. Artificial intelligence now provides remarkably effective, unobtrusive, and real-time software tools that identify an organizations’ culture and compliance weaknesses, enabling corporate counsel to identify problems before they become lawsuits and enforcement actions. Mr. Fastow will review several such AI tools, including one that identified FCPA, accounting fraud, asset misappropriation, and sexual misconduct violations that were not caught by normal compliance procedures.

Roy also runs a part-time solo practice that focuses on legal marketing ethics.

Piper KermanPiper Kerman is the author of the memoir Orange is the New Black: My Year in a Women’s Prison from Spiegel & Grau. Mara Kimmel, PhD, JDDr. Mara Kimmel has a long career in Alaskan public policy focused on issues of rights and justice. She has been on faculty at the Seattle University School of Law Anchorage campus, the department of Political Science at the University of Alaska Anchorage and served as the Walter J. Hickel Professor of Strategic Development and Entrepreneurship at Alaska Pacific University. She is an affiliate faculty member at the Institute for Social and Economic Research at UAA and a Senior Fellow at the Institute of the North. Mara is currently First Lady of the Municipality of Anchorage where she is involved with several city initiatives focused on equity, resilience and combatting human trafficking.

SPEAKERSChief District Judge Timothy M. BurgessJudge Burgess was appointed to the United States District Court for the District of Alaska by President George W. Bush. He was confirmed by the Senate in December 2005, and began his judicial duties in January 2006. He became Chief Judge for the District of Alaska in January 2016.

Erwin ChemerinskyErwin Chemerinsky became the 13th Dean of Berkeley Law on July 1, 2017, when he joined the faculty as the Jesse H. Choper Distinguished Professor of Law.Prior to assuming this position, from 2008-2017, he was the founding Dean and Distinguished Professor of Law, and Raymond Pryke Professor of First Amendment Law, at University of California, Irvine School of Law, with a joint appointment in Political Science.

Rich CurtnerFederal Defender for the District of Alaska has been a public defender for 40 years. Rich Curtner moved to Alaska in 1987. He spent the first five years in Alaska at the Public Defender Agency in Palmer. He joined the Federal Defender Office in 1992. After a year in private practice and a short term back at the State Public Defender Office as Training Director, in 1996 he was appointed by the Ninth Circuit Court of Appeals as the Federal Defender for Alaska.

Andrew S. FastowMr. Fastow was the Chief Financial Officer of Enron Corp. from 1998 – 2001. In 2004, he pled guilty to two counts of securities fraud, and was sentenced to six years in federal prison. He completed his sentence in 2011, and now lives with his family in Houston, Texas. Mr. Fastow currently consults with directors, attorneys, and hedge funds on how best to identify potentially critical finance, accounting, compensation, and cultural issues. He is also a principal of KeenCorp, an artificial intelligence software company.

Nelson PageNelson became Bar Counsel for the Alaska State Bar in 2017. He served on the Board of Governors of the Alaska Bar from 2013-2016 and was president of the Board in 2015-16. He is a frequent speaker on ethics issues.

Chief Justice Craig StowersAppointed to the Alaska Superior Court in Anchorage in 2004 by Governor Frank Murkowski, and appointed to the Alaska Supreme Court by Governor Sean Parnell in 2009. Elected Chief Justice for a three-year term commencing July 1, 2015.

Cynthia StroutCynthia Strout has practiced law, primarily criminal defense, in Alaska for more than 30 years. She grew up in Bangor, Maine and graduated from Northeastern University School of Law in 1981. Her practice consists of the defense of primarily major felonies. She is past President of the Alaska Association of Criminal Defense Lawyers.

SPEAKERSLaurie L. LevensonLevenson is Professor of Law and David W. Burcham Chair in Ethical Advocacy. She joined the Loyola faculty in 1989 and served as Loyola’s associate dean for academic affairs from 1996-99. She has been a visiting professor at UCLA School of Law and a D&L Straus distinguished visiting professor at Pepperdine University School of Law. Professor Levenson currently leads the following programs at Loyola Law School: Capital Habeas Litigation Clinic, The Fidler Institute annual symposium, and the Project for the Innocent. She received her AB, Stanford University, and her JD, University of California Los Angeles.
