The Preliminaries document will be deemed to form part of this
Bill and all relevant items shall be incorporated in the total

It is the tenderer's own responsibility to acquant himself with the
conditions laid down in these documents.
The tenderer to price for all Preliminaries as felt necessary to
execute the works.

3 SPECIFIC AND SPECIAL PRELIMINARIES H2 0
3 2004/01/01 This Bill of Quantities is subject to re-measurements. All Item 1
budgetary allowances and or contingencies will be seen as
Employer's allowances and will be omitted in part or in full
according to the Quantity Surveyor's discretion
3 2005/01/01 Site instructions issued on site are to be recorded in triplicate in Item 1
a site instruction book which is to be provided and maintained
on site by the contractor.
Copies of all instructions will be distributed by the Principal
Agnet whose responsibility it is to distribute copies of the
documents to the author and other interested parties.
3 2006/01/01 Where in the opinion of the Quantity Surveyor any extra work Item 1
cannot properly be measured or valued, the Contractor will be
allowed daywork prices therefore calculated upon the costs
defined hereunder together with the stated percentages. The
total thus arrived at shall be used as a guideline only for
compensation for performing such work.
The cost to the Contractor or Sub-contractor of materials, being
the nett cost (at current market prices) actually paid for such
materials after the deduction of cash discounts or if materials
are supplied from the Contractor's or Sub-Contractor's stock
then the cost of such materials shall be based upon the current
market price plus the cost of delivery to site: to which nett cost
10 (ten) percent thereof shall be added.
The cost of labour to the Contractor or Sub-Contractor, being
all items of direct cost of labour actually remunerated to the
workmen concerned which shall include the cost of all
allowances in terms of the Industrial Conciliation Act (where
applicable) or any other wage determination applying in the
area or any other charge or expense which is normally binding
as well as all statutory levies to education and training funds as
may be applicable relating to the class of labour concerned at
the time when and in the area where the daywork is executed:
to which labour costs 75 percent in respect of shopfitting, wall
and floor tiling, mosaic work and electrical work, 60 percent in
respect of plumbing, plastering, joinery and stone masonry and
40 percent in respect of painting and decorating, general
builders work and any other trade not specified herein, shall be
added.
Hourly base rates for labour shall be the current market rates
for labour based upon standard working hours and shall be
applied in respect of the time spent by workers directly engaged
on the particular dayworks including any operators operating
mechanical plant and transport and erecting and dismantling
other plant.
If a claim is made that individual workmen have been paid
wages and allowances in excess of the minimum legalized
rates, then proof must be furnished that such workmen had
been so paid prior to the commencement of the extra work
referred to.
Other direct cost, being any related direct costs such as
mechanical plant and transport, other than costs of material
and labour and shall be the nett cost thereof whithout any
percentage added.
The above percentages shall cover Head Office charges; Site
Staff including Site Supervision; Third Party and Contractor's
Public Liability Insurance; Contractor's Workmen's
Compensation and Unemployment Insurance Fund
Contributions; use, repair and sharpening of non-mechanical
hand tools; use of erected scaffolding, staging, trestles and the
like; use of tarpaulins, protective clothing, artificial lighting,
safety and welfare facilities, storage and the like as may be
available on the site; and profit.
Supporting vouchers reflecting the time spent and materials
used each day shall be delivered for verification to the Quantity
Surveyor not later than the day following that on which the Work
was actually carried out. Should the Contractor fail to submit
the vouchers within this time, the Quantity Surveyor shall
determine a fair price for the Work.
5 2007/01/01 The Contractor shall within 14 (fourteen) days of award of Item 1
Contract or receipt of necessary drawings as applicable ensure
as far as is considered practical, fair and reasonable by the
Principal Agent that all materials to be used in the Works will be
available on Site as and when required and shall, on discovery
of any delays in the supply of these materials, inform the
Principal Agent of such delays in writing.
The Contractor shall if requested to do so supply the Principal
Agent with a list of orders and confirmed delivery dates for all
materials within 14 (fourteen) days of award of the Contract or
receipt of necessary drawings as applicable.
The Contractor shall however be responsible for delays in all
materials not listed, and no application for an extension of time
for the completion of the Works based on non availability and/or
only partial availability of these unlisted materials will be
granted.
The Contractor shall immediately notify the Principal Agent of
receiving notification of delays in supply of materials as
contained in the above submitted list. Failure to comply will
exclude the Contractor from claiming any extensions of time to
the Contract Period.
6 2008/01/01 The Employer shall have the right to employ other Contractors, Item 1
(hereinafter referred to as "Direct Contractors") to execute any
special or other Works whether contained in this Contract or
not, concurrently or overlapping with the work being executed
under this Contract.
In addition, the Employer shall have the right to send on to the
Works any furniture, furnishings, fixtures and fittings, etc. and
have same installed by his own employee or by direct
Contractors.
The Contractor shall not be entitled to any percentage, profit or
discount on the value of any work executed by "Direct
Contractors" but shall nevertheless allow these Direct
Contractors and the Employer's employees to have access to
the Works, allocate reasonable space in the building for the
storage of their materials, tools and equipment, and liaise with
and co-ordinate the work of and "attend upon" such Direct
Contractors as necessary all to the satisfaction of the Principal
Agent.
The Contractor shall allow the Direct Contractors, etc. to use,
free of charge, the latrine accommodation and water and power
supply on the Site, and shall not in any way hinder, disrupt or
prevent the execution of their work.
The Contractor is to allow for any costs in connection with
providing access for, interfacing with and co-ordinating and
"attending upon" (as defined in Clause 9 of the Preliminaries)
such direct Contractors, etc. and for the use of the facilities
stated above and no additional claim will be entertained due to
the presence of the Works of such Direct Contractors.
The provision of Clause 22 (work by direct contractors) of the
Principal Building Agreement shall apply to such Direct
Contractors.
6 2009/01/01 The Contractor shall be held fully responsible and bear all costs Item 1
arising out of any incorrect interpretation of drawings.
7 2010/01/01 Simultaneously with the presentation of the programme in Item 1
terms of Clause 4.2 of the Preliminaries, the Contractor shall
submit a proposed "Schedule of Information Required" to the
Principal Agent concerned, indicating dates upon which
information and details are required and the dates on which
Selected Sub-Contractors are to be appointed in relation to the
building programme. Such dates are to take cognisance of
lead times and commissioning periods.
The Schedule of Information required shall be directly related to
the agreed Construction Programme and shall not contain any
requirements which are, in the Principal Agent's opinion,
unreasonable or premature.
The proposed Schedule of Information Required will be
circulated by the Principal Agent to all Professional Consultants
for consideration and approval. The Schedule as may be
amended and finally agreed upon will then become the
Schedule for the Contract.
Thereafter timeous advance notice is to be given by the
Contractor of further detailed information or drawings which are
required on site.
7 2011/01/01 The contractor shall ensure that any leakage of the building or Item 1
any failure of any waterproofing used in the building or any
damage caused to the building by reason of any such leakage
or waterproofing failure occuring within thirty six (36) months of
final completion date, shall be made good at no cost to the
Employer. The Contractor shall also at its own cost procure the
issue of a ten (10) year guarantee against leakages and
waterproof failure in favour of the Developer, by the Contractor
or its subcontractors, if applicable.
Nothing contained in this clause or elsewhere in this agreement
will detract from or in any manner prejudice any right or remedy
which the Owner may have with regard to latent defects.
8 2012/01/01 The standard of workmanship and the quality of materials Item 1
utilised throughout this Contract are to be the best of their
respective kinds and to the Architect's approval. The word
"best" shall be taken in it's ordinary English sense despite any
trade custom to the contrary.
Any work which in the opinion of the Principal Agent is not of
the highest standard or which the Principal Agent condemns as
failing to conform to the Contract will be rejected and will be
required to be removed and the work re-done at the
Contractor's expense. In the absence of detailed descriptions
for any item or items, the latest applicable South African
Standard Specification, or where such does not exist then the
latest applicable British Standard Specification shall be taken to
apply.
Properly skilled workmen are to be employed for all skilled
work. Any persons employed on the Works who is, in the
opinion of the Architect, incompetent or who shall act in an
improper manner, may be discharged by the Principal Agent
and shall not again be employed on the Works.
8 2013/01/01 The Contractor will be responsible to obtain the neccessary Item 1
occupation certificate from the relevant authorities. No practical
completion or completion certificates and/or final payment
certificates and/or retention will be issued under any
circumstances prior to the contractor obtaining the legal
occupational certificate.
Where, in the opinion of the Principal Agent, the first practical
completion list exceeds 20 items, the contractor may be liable
for all travelling time and cost of future site inspections for the
Principal Agent and all other relevant Agents, due to the
location of the project. This measure has been included in the
contractual documentation to avoid premature practical
completion inspections ("snagging"). The contractor thus, has
to ensure that the works have reached a realistic state of
practical completion (Clause 24.2, 24.3), before notifying the
Principal Agent to inspect the works.
If Practical Completion is not deemed to be achieved by
Principal Agent on the 2nd site inspection for Practical
Completion, each subsequent visit including the day on which
Practical Completion is deemed to be achieved, the Contractor
will be charged R500 per hour for the Principal Agent including
travel time to and from the site, and will be additionally charged
for all travel and related costs for the site visit. The same
applies to Works Completion.
9 2014/01/01 At completion the Contractor shall leave the Works secure with Item 1
all accesses locked. The Contractor shall account for and hand
over to the Employer all keys, properly labelled, with itemised
schedule to be signed by the Employer as receipt.
9 2015/01/01 The Contractor shall obtain and hand over to the Principal Item 1
Agent on practical completion all operating and maintenance
instruction manuals data, as built drawings or instructions
required by the Principal Agent or provided by the
manufacturers, suppliers or Sub-Contractors.
9 2016/01/01 The contractor is to comply with the requirements of the Item 1
Occupational Health and Safety Act 1993 (Act 85 of 1993) and
Construction Regulations 2003 published in Government
Gazette R101 published 28 July 2003.
Furthermore the Contractor is to indemnify the Employer
against any claims in this regard.
9 2017/01/01 The contractor shall at all times strictly exclude all Item 1
un-authorised persons from the works
No workmen or labourers are to be allowed under any
circumstances to sleep or deposit any kit on the premises. The
contractor must provide any necessary independent shelter or
shed required for any labourer or watchman left on the site.
Furthermore the contractor shall take measures necessary to
ensure that no workmen are allowed into the building at any
time after practical completion without the specific permission
of the principal agent.
All workmen must wear an identification card at all times with
personal and company details to the principal agent's approval.

10 2018/01/01 Various existing services including but not limited to water, Item 1
sewer, telephone, data and electrical are present in the existing
building. The Contractor shall make all necessary allowances
for all deviations and protection of all known services.
The contractor shall be solely responsible for ensuring that
every necessary precaution is taken to protect all existing
services from any damage. The contractor shall furthermore
ensure that no services are cut off to any of the areas during
deviations and the like. Should this, however, not be possible
then the contractor shall timeously notify the principal agent of
this so that arrangements may be made with the employer for
identification as to when such work may be executed.

10 2019/01/01 Notwithstanding anything to the contrary contained herein, the Item 1
principal agent at all times reserves the right to direct the order
in which the various parts of the contract are to be executed.
The contractor shall give priority to any individual section or
portion of the works that, in the opinion of the principal agent,
required to be expedited.
Should the contractor and/or principal agent be of the opinion
that such instruction warrants a revision to the contract
programme, then the provisions of Clause B4.2.6 hereof shall
apply
Should it appear, in the principal agents opinion, that work in
any area is not being executed in accordance with the
requirements of the programme, the contractor shall provide
additional manpower and resources and shall work additional
overtime and do everything else required to bring the work back
to programme to the satisfaction of the principal agent

11 2020/01/01 Should overtime be required to be worked for any reason Item 1
whatsoever, the costs of such overtime are to be borne by the
contractor unless the principal agent has specifically authorized
in writing, prior to the execution thereof, that costs for such
overtime are to be borne by the employer.
Should it appear, in the principal agents opinion, that work in
any area is not being executed in accordance with the
requirements of the Programme, the contractor shall provide
additional manpower and resources and shall work additional
overtime and do everything else required to bring the work back
to programme to the satisfaction of the principal agent

11 2021/01/01 All rights of publication of articles in the media, together with Item 1
any advertising relating to, or in any way connected with this
project shall vest in the employer.
The contractor together with his sub-contractors shall not,
without the written consent of the employer, cause any
statement or advertisement to be printed, screened or aired by
the media.
