Lease Agreement
This deed of service Agreement is entered on February 8, 2012 between Netlink Software Group Private
Limited having their registered address as E-7/738, Arera Colony, Bhopal, Madhya Pradesh, India acting
through R.S. Shrivastava, Director (hereinafter refered to as lessor which shall mean and include his
heirs, administrators, legal representatives, executors and assigns) of the one part.
AND
Karvy Data Management Services Limited, having their regisitered address at Road No.10, Banjara Hills,
Hyderabad 500 034 acting through V Mahesh, Managing Director (hereinafter referred to as Lessee of
the second part)
The consideration of the rent hereinafter reserved and all the covenants and conditions hereinafter
contained to be observed and performed on the part of the Lessee, the lessor hereby grant lease of
Assets listed below and situated as the premises given below:
List of Assets:
I. Top Floor, Jyoti Complex, MP Nagar comprising of a total area of approx 500 sqft, along withwork stations, light fixtures, computers, UPS back up, electricity and water.
The lessee hereby covenants with the lessor as follows:
Period of Lease: This deed shall commence on date of occupation and shall continue for
minimum period of three (3) Months.
Extension: The period may be extended upon mutual consent with Lessor and Lessee.
Rent: That the lesee shall pay a monthly rent of Rs. 3,000/- (Rs. Three thousand only) or part
there off for the period occupied in the said proportion, for each seat rented out. The rent
shall be inclusive of premises, work station, electricity charges, computers, one server, LAN
connections to the computers, repairs and maintenance, is excluding service tax and other
taxes.
The rent shall be paid in advance for the following month.
That the said equipments rented out belong to Netlink Software Group Private Limited
having their registered office at E-7/738, Arera Colony, Bhopal, Madhya Pradesh, India.
Restriction on Subleting etc: The lessee shall not sublet, assign or otherwise part with the
possession in part or whole of assets in favour of any other person/ persons or company.

Open Inspection: That the lessess shall at all reasonable times during the continuation of the
term of permit the lessor, his agents/ assigns to enter the demised premises to inspect and
view the state and condition thereof.
Handover of assets: That the lessee undertakes to handover vacant peaceful possession of
the assets to the lessor at the end of aforesaid lease period.
The Lessor hereby Covenants with the lessee as follows:
1. Payment of Taxes etc.: That the lessor shall pay all taxes, license, fees and any charge ofwhatever character assessed, levied, charged and imposed by or payable to any law full
authority in respect of assets.
2. No disturbance for the lessee: That the lessee shall peacefully and quietly hold andenjoy the demised assets during t lease period without any disturbance by the lessor.
3. The lessee shall not effect any damages to the property and/or the assets leased out.
Provided always it is hereby mutually agreed as follows:
The contract can be terminated upon giving a notice of one (1) months. The notice has to be in writing.
Arbitration: that all the arbitration relating to dispute will be settled in Bhopal.
USE of Assets: That the lessee shall use the assets for lawful purposes.
In witness whereof both the parties have subscribed to their respective hands today on the day, month
and year aforementioned.
