“ANNEXURE-A”

SCOPE OF WORK AND GENERAL INSTRUCTIONS TO BIDDERS

1. The H.P. Power Corporation Limited requires the services of reputed, well established

and financially sound Manpower Service Providers to provide services of 10 (Ten)

numbers Junior Officer (Finance & Accounts), 2 (Two) numbers Junior Officer

(Environment), and 2 (Two) numbers Junior Officer (Geology) on contractual

emoluments basis for day to day official work at its HQ and various project sites as per

the requirement. The detailed criteria of educational qualification, number of personnel

required, order of preference, age, remuneration and experience etc. are described in

Annexure-“B”.

2. The contract for providing the aforesaid manpower is likely to commence from 1st April,

2015 and would continue till 31st March, 2016. The period of the contract may be further

extended beyond 31st March, 2016 provided the requirement of the HPPCL for

manpower persist at that time or may be curtailed/terminated before 31st March, 2016

owing to deficiency in service or substandard quality of manpower deployed by the

selected Manpower Service Provider or induction of regular manpower in HPPCL or

because of any other change in the HPPCL requirements. The HPPCL, however,

reserves the right to terminate this initial contract at any time after giving one month’s

notice to the selected Manpower Service Provider.

3. The interested Manpower Service Providers may submit with the Technical bid document

complete in all respects with cost of tender document of Rs. 1000/- (Rs. one thousand)-

only in the form of DD, an Earnest Money Deposit (EMD) of Rs.50,000/- (Rs. Fifty

Thousand) only through DD drawn in favour of HP Power Corporation Limited, Shimla

and other requisite documents by 23.02.2015 before 02:00 PM in the O/o Dy. General

Manager (P&A), HPPCL, Corporate Office, Himfed Bhawan, Panjri (Below Old

MLAs Qtrs.), Tutikandi, Shimla-171005.

4. The bid has been invited under two bid system i.e. Technical Bid and Financial Bid. The

interested Manpower Service Providers/ Agencies are advised to submit two (2) separate

sealed envelopes superscribing separately therein “Technical or Financial bid for

providing manpower services in HPPCL”. Both sealed envelopes should be kept in a

third sealed envelope superscribing therein that “Bids for providing manpower on

outsourcing basis to HPPCL”. The date and time of opening of the Technical bids will

be on 23.02.2015 at 03:00 PM in the aforesaid office. Only technically qualified bidder

shall be called for next meeting of opening of Financial Bids for which the date, time and

venue will be intimated to the qualified agencies separately.

5. The minimum eligibility criterion for Technical bids as well as Financial bids shall be as

under (Attested copies of relevant document in this regard should also be attached in

the bid document): (i) The cost of bid document for Rs. 1000/- (Rs. One thousand)- only and Earnest

deposited along with bid document in the form of DD drawn in favour of HP

Power Corporation Limited at Shimla.

(ii) The Manpower Service Provider/ Agency/ Company/Society should have

minimum three years experience in providing manpower services consecutively

in the at least three Government departments / Public sectors (Central or State) /

Private limited company at the time of submission of the bid.

(iii) The Manpower Service Provider/ Agency/ Company/Society should be registered

with Employees Provident Fund Organization and Employees State Insurance

Corporation.

(iv) The Income Tax Return of the Manpower Service Provider/ Agency/

Company/Society for last 3 years should be enclosed with the Technical bid

document.

(v) The Manpower Service Provider/ Agency/ Company/Society should be

registration under Contract Labour (Regulation & Abolition) Act, 1970 or any

other relevant Acts.

(vi) The Manpower Service Provider/ Agency/ Company/Society should have to

submit certified copies of statement of EPF deposited for latest six months in

respect of the employees presently engaged by him in different Govt.

departments/ PSUs (State or Central)/ Private Limited Company etc.

(vii) The Manpower Service Provider/ Agency/ Company/Society should have TAN/

PAN number registered in its name.

(viii) The Manpower Service Provider/ Agency/ Company/Society shall have valid

service tax registration number.

(ix) Copy of terms & conditions in bid documents for providing manpower as at

Annexure-“E” duly signed at each page by the bidder or his authorized signatory

in token of acceptance of the terms & conditions of contract.

(x) The Manpower Service Provider/ Agency/ Company/Society should have

minimum ten (10) lacs Financial Turnover per annum.

6. The successful bidder will have to deposit a Performance Security Deposit of one

month’s salary/ remuneration of total deployed persons in the form of Bank Guarantee

from any Nationalized/ Commercial Bank drawn in favour of HP Power Corporation

Limited, Shimla shall remain valid for a period of 60 days from the date of completion of

contract. In case the contract is further extended beyond their initial period, the Bank

Guarantee will have to be accordingly renewed by the successful bidder.

7. The tendering Manpower Service Providers are required to enclose photocopies of the

documents mentioned here in above at clause (5), duly attested/ certified by Group “A”

Gazetted Officers of the State Governments/Central Government, along with the bid

documents, failing which their bids shall be summarily/out rightly rejected and will not

be considered any further.

8. The conditional bids shall not be considered and will be out-rightly rejected at the first

instance.

9. All entries in the tender form should be legible and filled clearly. If the space for

furnishing information is insufficient, a separate sheet duly signed by the authorized

signatory may be attached. No overwriting or cutting is permitted in the Financial Bid

Form. In such cases, the bid shall be summarily rejected. However the cutting, if any, in

the Technical Bid application must be signed by the person authorized to sign these

bids. All pages of the bid shall be signed by the bidder or his authorized representative.

10. The Technical Bids shall be opened by the committee on the scheduled date and time in

the office room of Dy. General Manager (P&A), HPPCL, Himfed Bhawan, Panjri,

Below Old MLA’s Quarters, Tutikandi, Shimla-171005 in the presence of the

authorized representative of the Manpower Service Providers, if any, who wish to be

present on the spot at that time.

11. The Bid Opening & Evaluation Committee or the competent authority of HPPCL, if

situation otherwise arises, the HPPCL may call the lowest evaluated bidder, if required,

for discussions along with supporting documents in respect of the service charges

offered by the bidders.

12. The prospective bidders, if required may seek clarification in writing at least seven days

before submission of bid in respect of Clause (ii) of “Annexure-B” of the bid

document. A pre-bid meeting will be held before one week from the date of opening of

Technical bid in the O/o Dy. General Manager, HPPCL, Himfed Bhawan, Panjri, Below

Old MLA’s Quarters, Tutikandi, Shimla-171005.

13. Annexure A, B, C, D and E shall also form the part of agreement.

14. The Competent Authority of the HPPCL reserves the right to annulment of any or all

bids without assigning any reason.

i. As per the provisions of Employment Exchanges (Compulsory Notification of Vacancies) Act, 1959, the vacancies are to be notified to the Employment Exchanges in the State.

ii. The candidates belonging to Project Affected Families with documentary proof and Reserved Categories, if apply for the above posts to Service Provider, he may get relaxation up to 5% marks in minimum prescribed educational qualification as per HPPCL rules. Relaxation in age and qualification and preference may be given to deserving personnel who have successfully completed Apprenticeship in HPPCL. For considering candidates belonging to Project Affected Family, preference shall be as per HPPCL, R&R Policy.

iii. The candidates belonging to Project Affected Families/ Areas shall get relaxation of 5 years in upper age limit.

iv. Only Bonafide Himachali candidates are eligible for this benefit. v. The applicant should have passed the requisite educational/ professional

qualification and should be in possession of final mark sheet on the closing date of submission of bid document.

vi. The TA/DA to candidates engaged on outsourcing basis shall be admissible while on tour as per entitlement at par with other such categories in HPPCL.

vii. The Officers so engaged shall be posted anywhere in HP where HPPCL Projects are located as per requirement of HPPCL.

viii. Preference may be given to the candidates who have already worked in power sector in the relevant field. The bio-data with relevant documents of a recommended or selected candidate as per requirement of HPPCL may also be sent to HPPCL prior to their joining in HPPCL for proper verification.

Annexure-“E”

TERMS & CONDITIONS FOR PROVIDING MANPOWER ON OUTSOURCE BASIS

1. The Agreement shall commence from 01.04.2015 and shall continue till

31.03.2016 unless it is curtailed or terminated for breach of contract

etc. or change in requirements. The Agreement shall automatically lapse

on last date of 31.03.2016 unless extended further by the mutual

consent of the Manpower Service Provider and the competent authority

of HPPCL.

2. The agreement may be extended, on the same terms and condition or

with some additions/deletions/modification, for a further specific period

mutually agreed upon by the Manpower Service Provider and the

competent authority of HPPCL.

3. The Manpower Service Provider shall not be allowed to transfer, assign,

pledge or subcontract its rights and liabilities under this Agreement to

any other agency or organization by whatever name be called without

the prior written consent of the HPPCL.

4. The Authority reserves the right to terminate the Agreement during

initial period also after giving one month’s notice to the Manpower

Service Provider.

5. The persons deployed shall be required to report for work at 10.00 AM to

the concerned Head of Department/ Head of Project or such other

Officer as may have been kept in charge of the Office Establishment of

the office concerned and would leave at 5:00 PM and may also require to

work occasionally beyond 5:00 PM for which he would not be paid any

extra remuneration. In case, the person deployed remains absent on a

particular day or comes late/leaves early on three occasions,

proportionate deduction from the remuneration/ leave for one day will

be deducted.

6. In case of termination of this Agreement in its expiry or otherwise, the

persons deployed by the Manpower Service Provider shall not be entitled

to and shall have no claim for any absorption in regular or other

capacity. The person deployed shall not claim any benefit or

compensation or regularization of deployment with office under the

provision of Rules and Acts. Undertaking from the person deployed to

this effect shall required to be submitted by the Manpower Service

Provider.

7. The Manpower Service Provider must be registered with the concerned

Govt. Authorities, i.e. Labour Commissioner, Provident Fund

Authorities, Employees State Insurance Corporation & other statutory

authorities etc. and copies of the respective registrations should be

submitted. The Manpower Service Provider shall comply with all the

legal requirements for obtaining License under Contract Labour

(Regulations and Abolition) Act, 1970 if any, at his own part and cost.

8. The Manpower Service Provider shall provide a substitute well in time if

there occurs any probability of the person leaving the job due to his/her

own personal or other reasons. The payment in respect of the

overlapping period of the substitute shall be the responsibility of the

Manpower Service Provider. The Manpower Service Provider shall be

responsible for contributions towards Provident Fund and Employees

State Insurance, wherever applicable.

9. The Person deployed by the Manpower Service Provider should have

good police records and no criminal case should be pending against

them. The Manpower Service Provider shall be responsible for any act of

indiscipline on the part of the person deployed.

10. The Manpower Service Provider shall be consider as Principal Employer

for all intent and purpose in respect of the person(s) deployed by him

under this Contract. The entire financial liability in respect of Manpower

deployed in the HPPCL shall be that of the Manpower Service Provider

and HPPCL or its office shall no way be liable for the same. It will be the

responsibility of the Manpower Service Provider to pay to the person

deployed a sum not less than the minimum rate quoted in the financial

bid. If at any point of the time it is found that the agency is either paying

to the candidate less remuneration or not paying monthly remuneration

or other emoluments, the agreement shall be terminated and EMD &

Performance Security Deposit shall be forfeited.

11. The payment of remuneration to the Manpower has to be made through

bank account only. The Manpower Service Provider shall be responsible

for the payment of remunerations & other deductions/ contributions to

the persons deployed by the Manpower Service Provider and shall raise

the bill, in triplicate, along with copy of attendance sheet/ copies of

challan of EPF/ ESI deductions of previous month.

12. The payment to Manpower deployed shall be as far as possible made

before 7th day of the succeeding month but not later 10th day of that

month for which HPPCL and its concerned offices will submit the

attendance verification certificate to Manpower Service Provider before

3rd day of the succeeding month or as soon as possible.

13. The Manpower Service Provider shall be solely responsible for the

redressal of grievances or resolution of disputes relating to persons

deployed. The HPPCL in no way, be responsible for settlement of such

issues whatsoever.

14. The HPPCL shall not be responsible for any financial loss or any injury

caused to any person deployed by the Manpower Service Provider in the

course of their performing the functions/ duties and Manpower Service

Provider may compensate for such losses as per rules.

15. The person deployed by the Manpower Service Provider shall neither

claim nor shall be entitled to pay, perks and other facilities admissible to

regular/ contractual employee of HPPCL.

16. The deployed manpower shall be entitled for 12 days Casual Leave

alongwith normal holidays in a calendar year. Maternity leave is

applicable as per benefit of the Maternity Benefit Act.,1961 and the same

can be claimed by Service Provider from HPPCL.

17. The person deployed shall not claim any benefits or compensation or

regularization of deployment with office under the provision of Rules and

Acts. Undertaking from the person deployed to this effect shall required

to be submitted by the Manpower Service Provider while deploying the

manpower.

18. The person deployed should preferably be Bonafide Himachali

candidate well versed with culture, customs and geography of the State.

19. The person deployed should be polite, cordial and efficient while

handling the assigned work and their actions should promote goodwill

and enhance the image of the HPPCL and its project offices where

he/she deployed.

20. The persons deployed shall, during the course of their work be privy to

certain qualified documents and information which they are not

supposed to divulge to third parties. Breach of this condition shall make

the Manpower Service Provider as well as the person deployed liable for

panel action under the applicable laws besides, action for breach of

contract or damages.

21. The Manpower Service Provider shall be responsible for compliance of

all statutory provisions relating to payment of minimum

remunerations/wages & other statutory obligations in respect of the

persons deployed by it in the HPPCL. HPPCL shall have no liability in

this regard.

22. The Manpower Service Provider shall also be liable for depositing copies

of all contributions, taxes, charges, levies, Cess etc. on account of

service rendered by it or through its personnel to the HPPCL or the office

concerned to the tax collection authorities, from time to time, as per

rules and regulations in the matter. Attested copies of such documents

shall be furnished to the HPPCL.

23. The Manpower Service Provider shall maintain all statutory registers

under the law and shall produce the same, on demand, to the authority

of GoHP, HPPCL and its concerned offices under the law.

24. The tax deduction at source (TDS) shall be done as per the provision of

Income Tax Act, as amended from time to time by the Govt./Authority.

The certificate to this effect shall be provided by the HPPCL.

25. In case, the Manpower Service Provider fails to comply with any liability

under appropriate Law and as a result thereof, the HPPCL or the office

concerned is put to and loss/ obligation, monetary or otherwise, the

HPPCL and its concerned office will be entailed to get itself reimbursed

out of the outstanding bills or the Performance Security Deposit of the

Manpower Service Provider, to the extent to the loss or obligation in

monetary terms.

26. Agreement is liable to be terminated because of non-performance,

deviation of terms & conditions of contract, non-payment of

remunerations of employed person and non-payment of statutory dues.

The HPPCL will have no liability towards non-payment of remuneration

to the person employed by the Manpower Service Provider and the

outstanding statutory dues of the Manpower Service Provider to

statutory dues of the Manpower Service Provider to statutory authorities.

If any loss or damage is caused to the HPPCL or its concerned office by

the person deployed, the same shall be recovered from unpaid bills or

adjusted from the Performance Security Deposit.

27. The Technical Bid should be accompanied with an Earnest Money

Deposit (EMD) refundable without interest in the form of Demand Draft

drawn in favour of HPPCL, Shimla failing which the bid shall be rejected

out rightly.

28. The EMD in respect of the agencies which do not qualify the Technical

Bid/ Financial Bid shall be returned to them without any interest. The

EMD in respect of successful bidder shall be refunded after submission

of Performance Security Deposit and Execution of the Contract

Agreement. In case the successful bidder, if the agency fails to deploy

the required manpower against the initial requirement within 30 days

from the date of placing the order, the provisions under clause 30 here

under shall apply.

29. The successful Bidder will have to deposit a Performance Security

Deposit of one month’s remunerations of the total deployed persons in

the form of Bank Guarantee from any nationalized/ commercial bank

drawn in favour of H.P. Power Corporation Limited, Shimla before the

award of the contract. Failure on the part of successful bidder to deposit

Performance Security for the execution of contract shall liable to

forfeiture of EMD amount. In case, the contract if further extended

beyond the initial period, the Bank Guarantee will have to be accordingly

renewed by the successful Bidder. The amount of Performance Security

Deposit is to be determined by the authority taking into account the

contractual obligation of the Manpower Service Provider. Performance

Security Shall remain valid for a period of sixty days from the date of

completion of contract.

30. In case of breach of any terms and conditions attached to this

agreement, the Performance Security Deposit of the Manpower Service

Provider shall be liable to be forfeited besides annulment of the

Agreement.

31. In the event of any dispute arising in respect of the clauses of the

Agreement the same shall be resolved amicably, failing which the

dispute shall be referred to the Director (Personnel), HPPCL for his

decision and the same shall be binding on all parties.

32. All dispute shall be under the jurisdiction of the court at Shimla.

33. Selection of competent personnel will be carried out by the Manpower

Service Provider, however, a representative of the HPPCL, if needed can

be associated by the Manpower Service Provider during the interview. If

any of the personnel provided by the Manpower Service Providers is not

found competent to discharge the duties effectively / efficiently. The

Manpower Service Provider shall be liable to provide substitute, which

shall be provided by him/ her within 15 days from the receipt of such

notice of disengagement of such particular manpower from HPPCL.

34. The successful Bidder will enter into an Agreement within 30 days after

issuance of the award letter with Director (Personnel), HPPCL, Himfed

Bhawan, Panjri (Below Old MLAs Qtrs.), Tutikandi, Shimla- 171005 for

supply of suitable eligible and qualified manpower as per requirement of

the HPPCL on the above terms and conditions.
