PITTSBURGH AND COMMONWEALTH OF PENNSYLVANIA BUILDING CODES AND

REGULATIONS. UNLESS SPECIFICALLY STATED OTHERWISE, THE MOST RECENT

EDITION OF ALL CODES AND STANDARDS APPLY.

2. ARCHITECT/ENGINEER SHALL BE PROVIDED ALL NECESSARY ACCESS TO THE WORK

DURING REPAIRS.

3. CONSTRUCTION SHALL BE THOROUGHLY COORDINATED WITH OWNER'S

REPRESENTATIVE AS TO NOT CONFLICT WITH OR UNEXPECTEDLY INTERFERE WITH

OPERATIONS.

4. THE CONTRACTOR SHALL VERIFY ALL EXISTING CONDITIONS AT THE JOB BEFORE

STARTING THE WORK AND SHALL IMMEDIATELY NOTIFY THE ARCHITECT/ENGINEER OF

ANY DISCREPANCIES, OMISSIONS, OR UNANTICIPATED CONDITIONS NOT ADDRESSED

BY THE DRAWINGS OR SPECIFICATIONS WHICH MAY AFFECT THE SCOPE OF THE

WORK. NO REPAIR WORK IMPACTED BY THE NOTED CONDITIONS SHALL BE

PERFORMED UNLESS APPROVED IN ADVANCE BY THE ARCHITECT/ENGINEER.

5. THE CONTRACTOR SHALL BE SOLELY RESPONSIBLE FOR ALL MEANS AND METHODS

OF CONSTRUCTION.

6. THE CONTRACTOR SHALL FURNISH ALL LABOR, MATERIALS, AND EQUIPMENT AS

THE EXTENT OF ALL REPAIR AREAS ARE SUBJECT TO FINAL APPROVAL AND QUANTITY

9. THE CONTRACTOR SHALL PROVIDE PROTECTIVE BARRIERS, FENCES, WALKWAY

10. THE CONTRACTOR SHALL NOT UNREASONABLY ENCUMBER THE SITE WITH MATERIALS

OR EQUIPMENT. THE MATERIALS AND EQUIPMENT SHALL BE CONTAINED WITHIN THE

AREAS INDICATED IN THE CONTRACT DOCUMENTS OR BY THE DIRECTION OF THE

OWNER OR ARCHITECT/ENGINEER. DO NOT LOAD THE STRUCTURE WITH WEIGHT

THAT WILL ENDANGER THE STRUCTURE. CONTRACTOR SHALL ASSUME FULL

RESPONSIBILITY FOR THE PROTECTION AND SAFEKEEPING OF PRODUCTS STORED ON

PREMISE.

11. THE CONTRACTOR SHALL PROTECT SURROUNDING BUILDING ELEMENTS AND

PROPERTY FROM DAMAGE AND ACCUMULATION OF DEBRIS.

12. THE CONTRACTOR SHALL REPAIR AT HIS /HER COST ANY PORTIONS OF THE BUILDING

THAT ARE DAMAGED AS A RESULT OF PERFORMANCE OF THE REPAIR WORK.

13. THE CONTRACTOR SHALL REMOVE AND REINSTALL ANY BUILDING ELEMENT AS

NECESSARY TO ACCESS WORK, UNLESS NOTED OTHERWISE.

14. THE CONTRACTOR SHALL DAILY EXECUTE CLEANING TO ENSURE THAT THE ADJACENT

BUILDING, GROUNDS, AND PUBLIC AREAS ARE MAINTAINED FREE FROM

ACCUMULATIONS OF WASTE MATERIALS AND DEBRIS TO PREVENT BLOWING DUST.

15. REFERENCE SPECIFICATION SECTIONS FOR ALL REPAIR PROCEDURES AND

MATERIALS. THE DRAWINGS AND SPECIFICATIONS ARE TO BE TAKEN IN THEIR

ENTIRETY AND AS A WHOLE. IF A DISCREPANCY IS FOUND BETWEEN THE DRAWINGS

AND SPECIFICATIONS, THE ARCHITECT/ENGINEER SHALL HAVE THE OPTION AS TO

WHICH GOVERNS.

16. THE CONTRACTOR SHALL PROVIDE PRODUCT SUBMITTALS, MATERIAL, SHOP

AGREEMENT BETWEEN OWNER AND CONTRACTOR

ARTICLE 1 THE CONTRACT DOCUMENTS

The Contract Documents consist of this Agreement, Conditions of the Contract (General, Special, Supplementary and other Conditions), Addenda issued prior to execution of this Agreement, the Construction Documents, and other documents identified in the Contract Documents or Modifications or Amendments issued after execution of this Agreement or repeated herein. The Contract Documents represent the entire and integrated agreement between the parties hereto and supersede prior negotiations, representations or agreements, either written or oral. An enumeration of the Contract Documents is contained in Article 9 hereof.

ARTICLE 2 THE WORK OF THIS CONTRACT

2.1 Contractor shall provide the management, supervision, labor, materials and equipment for the

timely execution of the Work in accordance with the Contract Documents. Due to the fact Contractor is posting the Labor and Materialmen's Payment Bond for the Work to be performed, no mechanics' or materialman's lien or claim or other lien or claim of any kind whatsoever, pursuant to Section 301 of the Mechanics' Lien Law or otherwise, shall ever be filed or maintained against the Project, or any improvement thereon, by any Subcontractor or Sub-subcontractor (as such terms are defined below) for any Work done or services performed or labor or materials furnished under the Subcontract for the demolition, erection, construction, alteration or repair of any Improvements, or for any other debts due to any Subcontractor or Sub-subcontractor or any other claimant acting by, through or under any such parties arising out of the performance of this Contract.

2.2 Definitions:

"Subcontractor" means one who by contract with the contractor, (each a "Subcontract"), express or implied, erects, constructs, alters or repairs an improvement or any part thereof; or furnishes labor, skill or superintendence thereto; or supplies or hauls materials, fixtures, machinery or equipment reasonably necessary for and actually used, or any or all of the foregoing, whether as superintendent, builder or materialmen.

"Sub-subcontractor" means one who by contract with a Subcontractor (each, a "Sub-subcontract"), express or implied, erects, constructs, alters or repairs an improvement or any part thereof; or furnishes labor, skill or superintendence thereto; or supplies or hauls materials, fixtures, machinery or equipment reasonably necessary for and actually used, or any or all of the foregoing, whether as superintendent, builder or materialmen.

2.3 Contractor agrees that all Subcontracts entered into by Contractor shall (i) contain a provision

requiring the Subcontractor to execute and deliver to Contractor a Waiver of Liens within ten (10) days of the execution of the Subcontract, or prior to the commencement of any Work by the Subcontractor, whichever is earlier, and all other waivers/releases, including but not limited to any and all conditional and unconditional lien waivers, as requested by Contractor or Owner; (ii) contain a provision stating that in the event the Subcontractor obtains a lien, whether under the mechanics' lien laws or otherwise, against the property or improvements of the Owner, the Subcontractor agrees that any such lien shall be subordinate to the lien, right, title and terms of any loan, lien right or interest of any lender utilized by Owner in connection with the any and all financing Owner may procure and that such subordination shall be self-operative and effective without execution and delivery of any further instrument but agrees to execute and deliver such other documents, in form and substance satisfactory to the Owner's lender, in order to implement and confirm such subordination; and (iii) contain a provision whereby the Subcontractor agrees to insert provisions (i) and (ii) above in Sub-subcontracts with all Sub-subcontractors.

2.4 Contractor agrees to keep an updated a list of all Subcontractors and Sub-subcontractors and

agrees to provide Owner’s Representative a copy of such list upon request.

ARTICLE 3 TIME OF COMMENCEMENT AND COMPLETION

3.1 The date of commencement shall be the date made effective by a Notice to Proceed issued by

Owner.

3.2 Unless otherwise instructed by Owner, Contractor shall begin the Work within thirty days of the effective date of the Notice to Proceed and complete the Work to the satisfaction and approval, in every respect, of Owner in accordance with the specific dates and schedules and subject to the terms and conditions set forth in the Contract Documents.

3.3 TIME IS OF THE ESSENCE for the Project and this Agreement. Project construction must begin on November 18, 2019 and must be completed by February 14, 2020. If Project construction is not completed by February 14, 2020 then Contractor will be assessed liquidated damages as follows:

3.3.1 If not completed by 11:59 PM EST on February 14, 2020 - $10,000 liquidated damages;

3.3.2 If not completed by 11:59 PM EST on February 15, 2020 - $10,000 liquidated damages;

3.3.3 If not completed by 11:59 PM EST on February 16, 2020 - $10,000 liquidated damages;

3.3.4 If not completed by 11:59 PM EST on February 17, 2020 until date of completion - $30,000 liquidated damages, per day from February 17, 2020 until date of completion.

3.3.5 Liquidated damages will be assessed per calendar day, cumulatively, until the date of completion of Project construction. Total of liquidated damages will be deducted from Contractor’s final payment and, if necessary, recovered in any other manner permitted under Pennsylvania law.

3.4 This Agreement may be terminated as provided in the General Conditions.

ARTICLE 4 CONTRACT SUM

4.1 Owner shall pay Contractor in current funds for Contractor’s satisfactory performance of the

Contract the Contract Sum of ______________ ($_______), subject to additions and deductions as provided in the Contract Documents.

4.2 The Contract Sum is based upon the alternates identified in Appendix A, if any, which are described more fully in the Contract Documents and are hereby accepted by Owner. Allowances and Unit prices, if any, that are included in the Contract Sum are identified in Appendix B.

4.3 The Contract Sum includes all Federal, State, County, Municipal and other taxes imposed by law and based upon labor, services, materials, equipment or other items acquired, performed, furnished or used for and in connection with the Work, including but not limited to sales, use and personal property taxes payable by or levied or assessed against Owner or Contractor.

ARTICLE 5 PROGRESS PAYMENTS

5.1 Based upon Applications for Payment submitted by Contractor to the Owner’s Representative,

and upon Project Applications and Certificates for Payment issued by the Owner’s Representative and Architect, Owner shall make progress payments on account of the Contract Sum to Contractor as provided below and elsewhere in the Contract Documents. All payment requests must be approved by and recommended for payment by Owner’s Representative and Owner’s Managing Agent for the Facility.

5.2 Each Application for Payment shall include, among other things, a certification by the Contractor that states that the Contractor has collected and is in possession of all Conditional and Unconditional Waivers of Liens and Releases from all Subcontractors and Sub-subcontractors and a representation that the Contractor has (a) obtained and timely filed all Waivers of Liens from Subcontractors and (b) obtained from each Subcontractor and is maintaining original Waivers of Liens duly executed by all Sub-subcontractors. Contractor further agrees, that upon request by Owner’s Representative, to deliver executed copies of all such Waivers of Liens and Conditional and Unconditional Waivers of Liens and Releases.

5.3 The period covered by each Application for Payment shall be one calendar month ending on the last day of the month. Provided an Application for Payment is submitted to the Owner’s Representative not later than the 5th day of a month, Owner shall make payment to Contractor no later than the 15th day of the following month.

5.4 The first Application for Payment submitted by Contractor to the Owner’s Representative shall include fully executed originals of the "Conditional Waiver of Liens and Release," in the form

attached, as executed by the Contractor, and as executed by each Subcontractor and Sub-subcontractor that is to receive payment pursuant to the Application for Payment. Contractor agrees that Owner has no obligation to make payment until Owner has received all such fully executed originals, and has the right to withhold payment on any Application for Payment, and/or on Final Payment, in whole or in part, until such time as Contractor provides all such fully executed originals.

Each subsequent Application for Payment submitted by Contractor to the Owner’s Representative shall include (a) fully executed originals of the "Unconditional Waiver of Liens and Release" in the form attached, as executed by Contractor, and as executed by each Subcontractor and Sub-subcontractor that was to receive payment pursuant to the prior Application for Payment, and (b) current and fully executed originals of the "Conditional Waiver of Liens and Release" in the form attached, as executed by the Contractor, and as executed by each Subcontractor and Sub-subcontractor that is to receive payment pursuant to the current Application for Payment. Contractor agrees that Owner has no obligation to make payment until Owner has received all such fully executed originals, and has the right to withhold payment on any Application for Payment, and/or on Final Payment, in whole or in part, until such time as Contractor provides all such fully executed originals.

In addition, Contractor shall, upon request by Owner’s Representative, verify in a Contractor's Payment Affidavit, in the form attached hereto, that all labor and materials furnished by Contractor for the Work, including all applicable taxes, have been paid by Contractor up to Contractor's preceding Application for Payment. Contractor shall also furnish, as a further condition to receipt of any amounts requested in an Application for Payment, any and all other documents and information with regard to such Application for Payment as Owner may request and in such form as Owner requires.

Failure to provide any of the foregoing documentation or waivers, including without limitation copies of the timely-filed Waivers of Liens for all Subcontractors and Sub-subcontractors, and the originals of all Conditional and Unconditional waivers from Contractor and all Subcontractors and Sub-subcontractors, is a material breach of this Contract and Owner may withhold payment on any progress payment, and/or on Final Payment, in whole or in part, until receipt of the same. Contractor agrees to maintain copies of all such foregoing documentation, waivers and releases. Owner shall have the right to inspect all such documentation, waivers and releases and Contractor shall provide Owner with copies of the same upon Owner's request.

5.5 Each Application for Payment shall be based upon the Schedule of Values submitted by Contractor in accordance with the Contract Documents. The Schedule of Values shall allocate the entire Contract Sum among the various portions of the Work and be prepared in such form and supported by such data to substantiate its accuracy as the Owner’s Representative or Architect may require. This schedule, unless objected to by the Owner’s Representative, Owner’s Managing Agent for the Facility or Architect, shall be used as a basis for reviewing Contractor’s Applications for Payment.

5.6 Applications for Payment shall indicate the percentage of completion of each portion of the Work as of the end of the period covered by the Application for Payment.

5.7 Subject to the provisions of the Contract Documents, the amount of each progress payment shall be computed as follows:

5.7.1 Take that portion of the Contract Sum properly allocable to completed Work as determined by multiplying the percentage completion of each portion of the Work by the share of the total Contract Sum allocated to that portion of the Work in the Schedule of Values, less applicable retainage. Pending final determination of cost to Owner of Changes in the Work, amounts not in dispute may be included as provided in the General Conditions;

5.7.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and suitably stored at the site for subsequent incorporation in the completed construction (or, if

approved in advance by Owner, suitably stored off the site at a location agreed upon in writing), less applicable retainage;

5.7.3 Subtract the aggregate of previous payments made by Owner; and

5.7.4 Subtract amounts, if any, for which the Owner’s Representative, Owner’s Managing Agent for the Facility or Architect has withheld or nullified an approval of payment as provided in the General Conditions.

5.8 From each progress payment, 10% will be deducted and retained by Owner, and the remainder will be paid to Contractor. After 50% of Contractor’s Work at the Work Site is completed, upon request of Contractor and at sole discretion of Owner and Owner’s Managing Agent for the Facility, deductions may be made on the remaining progress payments at the rate of 0% with the qualifications listed in Article 42 of the General Conditions.

ARTICLE 6 FINAL PAYMENT

6.1 Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by

Owner to Contractor when (1) the Contract has been fully performed by Contractor to the satisfaction of Owner, except for other requirements, if any, which necessarily survive final payment; and (2) Contractor, in exchange for final payment, personally delivers a final Application for Payment to Owner, which shall include a fully executed original of the Unconditional Waiver of Liens and Release for Final Payment in the form attached hereto as executed by Contractor, and fully executed originals of the Conditional Waiver of Liens and Release for Final Payment in the form attached as executed by each Subcontractor and each Sub-subcontractor to receive payment thereunder; and (3) a final Application for Payment and all of its attachments have been approved by and recommended for payment by the Owner’s Representative, Owner’s Managing Agent for the Facility, Architect and accepted by Owner. Final payment shall be made by Owner not more than 45 days after the approval of the Application for Payment and its attachments. Failure to provide any of the foregoing lien waivers is a material breach of this Contract and Owner may withhold Final Payment, in whole or in part, until receipt of the same. Upon final payment to Contractor, Contractor shall, within 30 days of final payment, obtain and deliver fully executed originals of the Unconditional Waivers of Liens and Releases for Final Payment as executed by all Subcontractors and Sub-subcontractors that received payment from the final payment. In the alternative to any of the foregoing, the procedures for final payment shall be determined by Owner, in Owner's sole discretion, in any other manner permitted under Pennsylvania law.

ARTICLE 7 NO LIENS

7.1 Contractor agrees, in connection with the Labor and Materialmen's Payment Bond, to (i) execute and file, or authorize Owner to file in the Prothonotary's Office of Allegheny County, a Waiver of Liens (Prime Contractor-Bonded Job) in the form attached hereto; and (ii) obtain and file in the Prothonotary's Office of Allegheny County, at no cost to Owner, Waivers of Liens in the form attached hereto, from all Subcontractors within ten (10) days of the execution of the applicable Subcontract, or before such Subcontractor commences work on the Project, whichever is earlier. Within three (3) days of filing the Subcontractors' Waivers of Liens in the Prothonotary's Office, Contractor shall deliver to Owner’s Representative copies of the filed and fully executed Waivers of Liens from each Subcontractor. Contractor agrees to collect from each Subcontractor all original Waivers of Liens duly executed by Sub-subcontractors and shall deliver the same to Owner upon demand.

7.2 Contractor will not at any time suffer or permit any lien, attachment or other encumbrance to be placed upon or remain upon the building, premises or real estate into or upon which any work is done or materials are furnished under the Contract Documents. Until it is removed, any such lien,

attachment, or other encumbrance or claims of any third party shall entitle Owner to withhold payment otherwise owing under or by virtue of this Contract in an amount equal to two times the amount of such lien, attachment, encumbrance or claim, and in the event that same is not removed, Owner may remove the same at the expense, including legal fees, of Contractor.

7.3 Notwithstanding anything contained herein to the contrary, Contractor may not receive any payment on account of Work performed by a Subcontractor or Sub-subcontractor, unless it has provided to Owner a duly executed and filed Waiver of Liens from such Subcontractors and Sub-subcontractors as required herein as well as any other waivers/releases, including but not limited to Conditional and Unconditional Waivers of Liens and Releases, from such Subcontractors or Sub-subcontractors, as may be requested by Owner.

7.4 Notwithstanding anything contained herein to the contrary, Contractor agrees to defend,

indemnify and hold harmless the Indemnitees, as defined in the General Conditions, from any all claims, lawsuits, demands and causes of action by any Subcontractor, Sub-subcontractor, supplier, vendor, materialmen, or labor supplier in sub-tier Subcontractors of Contractor on the Project. This indemnity applies to all costs or expenses incurred by the Indemnitees, including all reasonable attorneys' fees; and that it has no knowledge of any facts tending to support or give rise to any bona fide right to file or threaten the filing of any lien claim or lien against the Project or Premises. This indemnification obligation includes, without limitation, the obligation to zealously pursue the defeat of any lien claim as filed or threatened, and the removal of any lien asserted against the Property or the Improvements, where such threatened or filed lien claim and/or lien is in contravention of this Contract. This undertaking will be made entirely at Contractor's sole cost and expense, and the Owner's only obligation shall be to reasonably cooperate and provide any information required for fulfillment of this obligation.

7.5 In the event the Contractor obtains a lien against the property or the improvements comprising

the Project, whether under the mechanics' lien laws or otherwise, the undersigned agrees that any such lien shall be subordinate to the lien, right, title and terms of any loan, lien right or interest of any lender utilized by Owner in connection with the any and all financing Owner may procure. Such subordination shall be self-operative and effective without execution and delivery of any further instrument. Notwithstanding the foregoing, the undersigned agrees to execute and deliver such other documents, in form and substance satisfactory to the Owner's lender, in order to implement and confirm such subordination.

ARTICLE 8

MISCELLANEOUS 8.1 This Agreement shall be interpreted in accordance with the laws of the Commonwealth of

Pennsylvania. Terms that are capitalized in this Agreement shall have the meanings identified in the General Conditions or other applicable Contract Documents.
