The National Gallery of Victoria invites you to participate in the 2019 Architecture Commission Design Competition.

This is a two-stage annual design competition open to teams led by a registered architect. Teams can include Australian and international members and may bring together various design and broader creative disciplines to propose a project that explores new terrain for an architecture commission – from a conceptual, material or formal sense. The Gallery encourages a collaborative and multi-disciplinary design approach.

An anonymous Stage One calls for high level design proposals, of which up to five will be chosen to proceed to a paid Stage Two.

This document contains the Brief and the Conditions. Attachments include Site Information and a Submission Form.

The NGV Architecture Commission

Introduction

DesignandarchitecturehasbecomeanimportantpartoftheNGV’sthinkingacrossallaspectsandplatformsoftheinstitution.Inrecognitionofthiscentralrolefordesign and architecture our long-term design strategy informsanambitiousprogramofexhibitions,programsandcommissions.

TheNGVArchitectureCommissionoffersauniqueopportunity for any Australian architect to propose a compellingdesignideaforpresentationwithinoneofAustralia’s great civic and cultural spaces – the Grollo EquisetGardenatNGVInternational.

ThroughthiscompetitionweencouragearchitectsacrossAustraliatogetinvolvedandsubmitevocativeand compelling proposals for a temporary architectural interventionwhichconnectswithouraudiencesandcommunicatestheideals,ambitionsandvaluesofarchitecturewithinthepublicrealm.

Commissioning Architecture

Architectureincreasinglydisplaysacuriositytoexplorenewthresholdsofpractice,knowledge,skillsandengagement.InthebackyardofAustralia’sbusiestgallery,theNGVArchitectureCommissionoffersauniqueopportunity,toenablegoodideastobecomeareality,andthroughdoingso,to create new ways for architecture to engage with people.

TheCommissionisanopeninvitationforouraudiencestolook afresh at and to physically engage with architecture up close–asatactileexperiencethatislessaboutthetraditionsofbuildingthanitisaboutthepotentialofexperimentation.

Itisanarchitecture-ledconversation,whereabroadspectrumofaudiencescaninteract,participate,examine,communicate,thinkandfeel.Weinvitedesignproposalsthatcreateopportunitiestoopenthemindtonewideas,ortostopandreflect,bringingtogetherideasandmaterialsthatpresent new trajectories of architecture.

1. Scope2019marksthefifthyearoftheNGVArchitectureCommission(theCommission),whichinvitesarchitect-ledmulti-disciplinaryteamsto propose ideas for an architectural commission within theNGV’sGrolloEquisetGarden(theGarden)overthesummerof2019/20.Whiletitledanarchitecturecommission,theambitionoftheCommissionistoofferanopportunityforarchitecturetobeenactedandexperiencedinthebroadestsense.TothisendtheGalleryencouragesproposalsthatpromotecollaborativethinking,demonstratingthecapacityofarchitecture,design,andotherformsofcreativepracticetoconvergeinwaysthatactivelyengage the community.

Competitorsareinvitedtoactivatethegardenwithanengagingtemporarystructureorinstallation.Designproposalscouldfulfilvariousrolesincludingaperformancespace,aworkofspeculativearchitecture,alandscapeintervention,aplacedesignedforplayfulinteraction,oranimmersivespaceforreflection.Thesuccessfulconceptshouldbecapableofperformingmultiplefunctions,witha‘defaultsetting’thatselfactivatesthroughaudienceparticipation.

TheNGVgardenisauniqueculturalandcivicspaceintheheartofMelbourne,yetitisalsoasculpturegardenbuiltonaroofdeckstructure,andassuchpresentsaparticularsetofchallenges–spatiallyandtechnically.Assuchthecommissionisexpectedtodeliveracompellingresponsetothesitewhilealsoutilisinglowimpactdesignandconstructionmethodologiesthatintelligentlyrespondtothesitecondition.

2. Project Understanding• TheProjectisatemporaryinstallation;however,itmustbe

sufficientlydurabletosustainuseandinteractionbylargeaudience,foruptosixmonths;

• TheprimaryambitionfortheProjectistoproduceanevocativearchitecturalinterventionthatmaybeexpressedinspatial,material,temporaland/orelectronicform;

• ItisnotintendednorrequiredthattheProjecthasalifebeyonditsinstallationintheGarden.ThismakesitimperativethattheProjectstrivesforexcellenceinrelationtoenvironmentalsustainabilityduringconstruction,useandpost-use;

• Anyrequirementswithinthefinaldesign,forelementssuchasfurniture,fixtures,lightingandsound,mustbetakenintoaccount,andcarefullyconsidered,withinthedesignconcept;

• The intended use of the Project is not predetermined andwillvaryinresponsetothewinningdesign.Whiletheproject may provide shelter or take the form of a venue orenclosure,thisisnotarequirementofthecommission;

• TheProjectisnotintended,norrequiredasaspacefortheformaldeliveryofevents.Therefore,itistheGallery’spreferencethataudienceparticipationoractivationisapproachedasanintegralaspectofthedesignidea;

• TheProjectistobelocatedwithintheGrolloEquisetGardenatNGVInternationalandassuchthesculptures,trees(andtheirroots),andpermanentfeaturesofthegardenmustremainunaltered.Similarly,thefireegresswithinthegardenshouldremainunaltered;

• TheGalleryiscommittedtouniversalaccessibilitywithinitsculturalprogram.Competitorsarethereforeencouragedtodesignforuniversalaccess;

• Asthesiteisaroofdeckwithsignificantsub-surfaceservicesandshallowcoverage,thedesignoftheProjectshouldstriveforalightweightstructuralsolution.Largefootingsorsub-surfaceelementsshouldbeminimised;and,

• ThedesignoftheProjectmustobserveanyloadingconstraintsoftheexistingsite.

3. The SiteTheGardenislocatedattherearoftheNGVInternationalonStKildaRoad,Melbourne.TheNGVandoriginalgardenwasdesignedbyrenownedMelbourneArchitectRoyGroundsandopenedtothepublicin1967.

TheGardenunderwentasignificantredesignadecadeago,atthetimeoftheNGV’srenovationsbythearchitectMarioBelliniincollaborationwithMetier3.Refurbishmentswereintendedtoprovideanaccessible,relaxing,yetvibrantgarden.Workbeganin2006andtheGarden,includingitschildren’splayground,andwas reopened in 2006.

TheGardenincludesapproximately2,500squaremetresofdrought-resistantKikuyugrassandapproximately600squaremetresofhonedbluestonepaving.

Competitorsarestronglyadvisedtocarefullyconsiderthelimitationsofthesiteasaroofdeckstructure,withlimitedcapacitytoaccommodatesub-surfaceelementssuchasfootings.

WaterisasignificantfeatureoftheGarden.Rainwateriscollectedfromtheroofanddrainsintofivemoatsaroundthegallery,oneofwhichissituatedintheGarden.Thisinturnisusedtowaterthelawnandplanting.

AnothersignificantelementoftheGardenisthecollectionofseveral major sculptures that are located throughout the Garden.

The Garden provides a peaceful and engaging space for visitors totaketimeoutwhenvisitingthegallery.Visitorsrepresentawiderangeofdemographics,fromchildrenandparents,toteenagerslollingonthegrassorworkersenjoyingalunchtimerefuge.

DESIGN BRIEF

TheGardenalsoprovidesaspecialambianceforeveningeventsandactivities,hostingarangeofpublicprograms,entertainmentandsummeractivities.ItisintendedthattheCommissionengageswithandextendsthisexistingprogram,bothformalandinformal,activatingtheGardenasanextensionoftheNGV’sexhibitionsandeventsprogram.

ClimateTheGardenispronetostrongcrosswindsandsignificanttemperatures in the summer due to direct overhead and westernsun.Whileitisnotarequirementthatdesignpropositionsformanenclosure,whereappropriatetothedesignproposal,Competitorsareaskedtoconsiderthecapacityoftheirdesigntorespondcreativelytothesummerweatherpatterns,andthecapacityoftheCommissiontomitigatesuchweatherimpacts on the Garden.

4. Budget and deliveryAprojectbudget(ProjectBudget)isup$250,000,forthedelivery of the Commission. This amount is to include all aspectsoftheCommission’sdelivery,includingallmaterials,services(withtheexceptionoftheWinner’sfees,whicharefundedseparately)andlicensing,asrequired.

TotheextentthattheCommissioninvolvesprototyping,modelmakingorpre-fabrication,suchcostsmaybeincludedwithintheProjectBudget,subjecttoClientapproval.

TheClientwillcontractacontractor,indiscussionwiththeWinner,todelivertheCommission.TheWinnerisexpectedtoworkcloselywiththecontractor,toensureasuccessfultranslationofdesignintenttobuiltoutcome.ForafullprogrammescheduleseeAttachment1.

ThebudgetfortheProjectismodest,requiringathoughtfulandsitespecificdesign,tomaximisedeploymentoftheavailableresources.CompetitorsarethereforeencouragedtoexplorefabricationandinstallationmethodsandmaterialoptionsthatmaximisetheCommission’sopportunitywithinthegivenbudget.

Whenconsideringthecombinedfactorsofhighwind-loading,limitedanchorpointsandfootings,highvisitortrafficnumbersandmodestbudget,Competitorsareencouragedtocarefullyconsidertheviabilityoftheirproposal,optimizingtheefficiencyofinstallation,sothatastrongconceptualideaisunderpinnedbyarigorousfabricationandinstallationproposal.

5. Installation

The Garden is an important part of the NGV’s programmedspaceandassuch,theNGVencouragesCompetitorstoconsiderinstallationprocessesthatcauseminimaldisruptiontotheGardenanditsusers.CompetitorsarealsoaskedtoconsiderthetimeconstraintsassociatedwiththeCommission,whichhasarelativelytightscheduleforbothinstallationandde-installation.

Installationworksmusttakecaretoavoidimpactonexistingtrees(andtheirroots),undergroundservicesand/or structural loads that may threaten the integrity of the Garden’sfoundations.Forfurtherinformation,pleaseseeSiteinformation.

6. InvitationTheNGVinvitesarchitect-ledteams,toparticipateintheNationalGalleryofVictoriaArchitectureCommissionCompetition(TheCompetition).

TheCompetitionisatwo-stagedesigncompetitionthatwillberunconsistentwithbestpractice.TheCompetitionseekscompellingdesignproposalsthatwilldeliveradistinctivenewcommission for the Garden in 2019.

7. CompetitionobjectivesTheobjectivesoftheCompetitionare:

• DevelopanunderstandingofarangeofoptionsandapproachestowhattheCommissionmightbein2019;

• SelectaCompetitorwithadesignproposalthatisbothmostresonantandinspiring,whilealsobeingviablewithintheconstraintsofthisbrief;

• Achieveahighlevelofassuranceregardingbuildabilitywithintheavailablebudget;

• Achieveahighlevelofassuranceregardingcostestimates,asaresultofboth;

> Ahighlevelcostestimate(inStageTwo),confirmingthatthedesignproposalcanbeaccommodatedwithintheestimatedbudgetfortheproject(theProject);and,> AsufficientlydetaileddesignresponsethatallowstheProjectAdvisorandEngineeringAdvisor(see

clause 9) to independently verify the high level costestimate;and,

• Developsupportingmaterialasrequiredtocommunicate the proposal and the competition processtothepublic.

9. CompetitionJuryTheJurywillberesponsibleforselectingShortlistedCompetitorsfromStageOneSubmissionsand,attheconclusionoftheCompetition,selecttheNominatedWinner,alongwithaReserveWinner,intheeventthattheNominatedWinnerforanyreasonfailstosigntheContracttofulfilrequiredservicesduring Design Development.

TheJury’sevaluationinbothStageOneandStageTwomustbeundertakeninaccordancewiththeEvaluationCriteriaclause12.d.TheJurymaynotconsideranySubmissioniftheCompetitorisassessedbytheCompetitionAdvisor(inconsultationwiththeClient)tobeineligibleorotherwisedisqualifiedinaccordancewiththeseConditions.

AlldecisionsbytheJuryontheselectionoftheShortlistedCompetitorsandtheWinnerandHighlyCommendeddesignswillbefinal.

Document2DesignBriefandConditions:This document sets out the Client’s design intent for the design proposalsandintroducestheCompetitionrequirements,processesand procedures.

Document4SubmissionForm:ThisformmustbecompletedandsuppliedalongwithyourStageOnesubmission.

c. RegistrationThoseeligibletoregistermaydosoonlyonce,andeachRegistrantmaylodgeonlyonesubmission.ToregisterfortheCompetition,CompetitorsaretocompletetheonlineRegistrationformandsubmittotheCompetitionAdvisor,inaccordancewithRegistrationforminstructions.

RegistrationclosesoneweekpriortoStageOnecloses,asperTimetable.NoRegistrationswillbeacceptedafterthistime.Within48hoursofreceiptofacompliantRegistrationformtheCompetitionAdvisorwillissuearegistrationnumber(RegistrationNumber),whichmustbeusedonyourentrysubmissionasoutlinedinclause14.

d. ApplicationofCompetitionConditionsByLodgingacompliantSubmission,allCompetitorsarelegallyboundbytheCompetitionConditions.TheCompetitionDocuments,andtheinformationcontainedinthem,mustbeusedinaccordancewiththeseCompetitionConditions.

TheseCompetitionConditionsapplyto:• TheCompetitionDocumentsidentifiedinclause12andany

otherinformationobtained,receivedormadeavailableinconnectionwiththeCompetitionincludinganyrevisionsoraddenda;

• AllaspectsoftheCompetitionprocessasoutlinedinthisdocumentandallrelateddocuments;and,

• Allcommunications(includinganybriefings,presentations,meetingsornegotiations)relatingtotheCompetition.

IfaCompetitorfailstocomplywithanyoftherequirements,processesandproceduresoftheCompetitionConditions,theCompetitormaybedisqualifiedfromtheCompetition.

e. DisqualificationTheCompetitionAdvisormaydisqualifyanyCompetitororRegistrantthatfailstocomplywiththeConditions,includingasaconsequenceofthefollowing:• Submissionlodgementaftertheclosingtimeorisotherwise

lodgedcontrarytolodgementconditionsasspecifiedinclause15;

• SubmissiondoesnotsubstantiallyaddressTheBrief;• StageOneSubmissiondiscloses,directlyorbyinference,

theidentityoftheCompetitor;• Submissionisdeemedlikelytocauseoffencetothepublic;• Competitordoesnotsubmitmaterialsasconsistentwith

deliverablesasitemisedinclause14;• CompetitorimproperlyattemptstoinfluencetheJury;• Competitorcommunicatesdirectlywithanymemberof

theJuryorAdvisorsforthepurposesofseekingunequaladvantage;and,

• Competitoractsaredeemedtonegativelyimpacttheintegrityofthecompetition.

InconsideringdisqualificationtheCompetitionAdvisorwillconsulttheClientandtheProbityAdvisor.TheCompetitionAdvisorwillnotifytheCompetitorinwritingintheeventofdisqualification.ThedecisionoftheCompetitionAdvisorwillbefinalandnofurthercommunicationwillbeundertakenbytheCompetitionAdvisor.

f. WithdrawalofSubmissionACompetitorwhowishestowithdrawaSubmissionmustprovidetheCompetitionAdvisorwithwrittennoticeofitswithdrawal.ConfirmationofthewithdrawaloftheCompetitor’sSubmissionmaytakeupto48hourstoprocess.

g. AnonymityStageOneoftheCompetitionwillbeconductedasananonymouscompetitiveprocess.RegistrantsandCompetitorsareresponsibleformaintainingtheanonymityoftheirparticipationinStageOne,andinparticularfortheSubmissioncomplyingwithDeliverablerequirementsinclause13inrelationto anonymity.

12. TheCompetitionProcessThefollowingisasummaryoftheprocessthatwillbefollowedinconductingthisCompetition.• TheCompetitionisatwostageopendesigncompetition;• StageOneoftheCompetitionwillbeconductedasan

anonymouscompetitiveprocess;• Competitorsaretoprovidehigh-leveldesignconceptsin

Stage One;• AJurywillevaluateallsubmissionsandselectuptofive

CompetitorstoparticipateintoStageTwo;• AmaximumoffiveshortlistedCompetitorswillbeinvited

to develop their proposals to a higher level of designdevelopmentinStageTwo;

h. FeesandPrizesShortlistedCompetitorsinStageTwowillreceivea$5,000exGSThonorarium,paidas50%uponcommencementofStageTwo,and50%uponlodgingacompliantStageTwosubmission.TheNGVwillacceptthedecisionoftheJuryandundertakestoengagetheWinnerforthedeliveryofdesignservicesfortheCommission,pendingContractagreement.

Afeeof$20,000exGSTwillbepaidtotheWinner,asfollows:• 50%oncompletionofDesignDevelopment• 50%oncompletionoftheproject

i. NotificationofawardandexhibitionCompetitorswillbenotifiedbytheNGVofthenameoftheWinnerinaccordancewiththeTimetable.AllCompetitorsubmissionswillberetainedbytheNGV.TheNGVreservestherighttopublish,exhibitorotherwiseuseSubmissionswithincommunicationsrelatedtothiscommission.

j. The NGV’s right not to proceed with ProjectTheNGVreservestheright,initsabsolutediscretion,tonotenterintotheContractwithanyCompetitor(includingtheWinner),tonotproceedwiththeSubmissionoftheWinnerandtonotproceedwithanyProjectinrelationtotheCompetitionforanyreason.

k. ContractTheNGVmay,initsabsolutediscretion,determinetoproceedwiththeProject,atwhichtimetheNGVmayenterintotheContractwiththeWinner,intheformsetoutinthecontractAttachment2(theContract).

TheWinneracknowledgesandagreesthatitwillimmediatelyuponwrittennotificationbytheNGV,executetheContract.Italsoacknowledgesthatitmayberequiredtomodifyandamend their proposed design within Design Development and Construction.

• AttheendofStageTwotheJurywillselectaNominatedWinner,aswellasaReserveWinner;

• Pendingtheagreementofterms,theNominatedWinnerwillbecontractedtodeliverallnecessarydesignservicestocompletetheCommission.AfeeofwillbepaidtotheWinneroncompletionoftheCommission,inaccordancewithClause13.h;and

contextoftheavailablebudget,thesite’slimitationsandopportunities;and,

6. Understandingofthesite,itsform,scaleandcontext.

TheJurywillbeguidedinitsassessmentofCriteria5bythetechnicaladvisors(TechnicalAdvisors).

f. Communications&CorrespondenceAllquestionsrelatedtotheCompetitionConditionsorBriefmustbesubmittedinaccordancewithclause12g.Withtheexceptionofprobityconcernsorcomplaints,whichwillbemanagedinaccordancewithclause17d,allcommunicationsinrelationtothisCompetitionmustbeaddressedinwritingtotheCompetitionAdvisor.

UndernocircumstancesarecommunicationstobedirectedtotheNGV,theJurymembersoranyotherAdvisor.

g. CompetitionQuestionsQuestionstoclarifymatterswithintheConditionsandBrief(CompetitionQuestions)maybeaskedwithintheQuestionperiodasidentifiedinAttachment1.AllrequestsforinformationorclarificationregardingtheCompetitionshouldbesubmittedto:NGV@citylab.com.auCompetitionQuestionssubmittedbyothermeanswillnotbeaccepted.

PleasenotethatquestionsandresponseswillbereleasedtootherRegistrantsinStageone,andCompetitorsinStageTwo,andshouldthereforenotincludeproprietaryorconfidentialinformation.TheNGVandtheCompetitionAdvisorwillnotbeliabletoaCompetitorforpublishingsuchinformation.TheCompetitorreleasesandindemnifiestheNGVandtheCompetitionAdvisorfrom,andagainst,anylossordamagethattheymaysufferasaresultofthepublicationofanyproprietaryorconfidentialinformationreleasedbytheNGVortheCompetitionAdvisor.

Everyeffortwillbemadetoprocessquestionspromptly.

13. StageOneandStageTwoDeliverablesa. StageOneDesignDeliverablesThe competitor’s Registration Number must appear on the bottom right of each panel. Markings that reveal the Competitor’s identity are not permitted and may be grounds for disqualification.

Subjecttotheseconditionsabove,SubmissionslodgedaftertheclosingtimemayberecordedbytheCompetitionAdvisor.IntheeventthataSubmissionisdisqualifiedduetolatereceipt,theCompetitionAdvisorwillnotifytheRegistrantorCompetitor in writing.

ASubmissionwillbedeemedlodged,whenitisreceivedbytheCompetitionAdvisor.ThedeterminationbytheCompetitionAdvisorofaSubmission’slatereceipt,andwhetheritisaccepted,isbasedontheaboveconsiderationsandisfinal.

15. AbandonmentTheNGVreservestherightandpower,initsabsolutediscretion,toabandontheCompetitionatanytime.

16. TheIntegrityoftheCompetitionThesuccessoftheCompetitionrequiresallCompetitorstoadheretostrictstandardsofbehaviourthroughouttheprocess.ItisimperativethattheprobityoftheprocessismaintainedandthatallCompetitorsaretreatedequallyandhavethesameopportunitytoparticipateintheCompetition.

TheCompetitoracknowledgesandagrees,asaconditionofitsparticipationintheCompetition:• tocomplywiththeseCompetitionConditions;• toactatalltimesconsistentlywiththeabovegoverning

principlesandnottoengageinactivitiesorbehaviourwhichbring,orwhichhavethepotentialtobring,anypartoftheCompetitionintodisreputeorsoastocompromise

theprobity,integrityorequalityoftheCompetition;• nottoseekfromtheNGVoritsAdvisorsorJurypreferential

treatmentorconsiderationorpreferentialaccesstoinformation,assistanceoradvicewithrespecttoanypartoftheCompetition;

• nottoseekaccessto,disclose,publishorotherwisemisuseconfidentialinformationobtained,receivedormadeavailablefromtheNGVorpertainingtoanyotherCompetitor;

• nottoimproperlyinterferewiththeconsiderationofanySubmission,thepreparationormakingofanyreport,recommendationordecisionoftheJuryinrelationtoanypartoftheCompetition;

• not to improperly interfere with the NGV’s decision as towhethertoproceedwithanyProject;and

• tocooperatefullywiththeClientincluding,byprovidingrelevantinformation,toenableanynecessaryinvestigationsrelatingtopotentialbreachesoftheseCompetitionConditions.

17. UnauthorisedcommunicationsCommunications(includingpromotionalactivities)byCompetitors,theJury,oranyAdvisorsengagedbytheNGVforthepurposesoftheCompetitionarenotpermittedduringtheCompetitioninrelationtotheCompetition.

Competitorsmustnototherwiseengageinanyactivitiesthatmaybeperceivedas,orthatmayhavetheeffectof,influencingtheoutcomesoftheCompetitioninanyway.CommunicationswithanypersoninrelationtotheCompetitionotherthaninaccordancewiththeCompetitionConditionsmayleadtodisqualificationoftheCompetitor.

a. Anti-lobbying,improperassistanceandsolicitationRegistrantsandCompetitorsareprohibitedfromengagingeitherdirectlyorindirectlyinlobbyingactivitiesorimproper

interferenceoftheJuryortheNGV,orengaginginanyactivitiesthatarelikelytogiverisetotheperceptionthattheyhaveengagedinlobbyingactivitiesorimproperinterferencewithrespecttotheCompetition.

RegistrantsandCompetitorsmustnotseekorobtaintheassistanceoftheJury,ortheCompetitionAdvisororAdvisorsengagedbytheNGVforthepurposeoftheCompetitioninthepreparationoftheirSubmission.

b. ConfidentialityofNGVinformationTheSiteInformationandanyinformationprovidedtoRegistrantsandCompetitorsisconfidentialunlessanduntiltheNGVdecidesthatitmaybereleasedtothepublic.

RegistrantsandCompetitorsmustnotmakeorencourage,publiccommentinrelationtoitsSubmission,itsparticipationintheCompetitionoranyothermatterorthingrelevanttotheCompetitionwithoutthepriorwrittenconsentoftheCompetitionAdvisor.

c. ConfidentialityofSubmissionsAsaCompetitor’sSubmissionmaycontaininformationthatmaycauseharmtothatCompetitorifdisclosedtoanotherCompetitororgenerally,aswellasinformationthatmayifdisclosedexposethatCompetitorunreasonablytodisadvantage,theNGVandtheCompetitionAdvisorwillmaintaintheconfidentialityofCompetitorsandSubmissionsinaccordancewiththeseConditions.TheNGVandCompetitionAdvisorwillmaintaintheconfidentialityofallCompetitorsuntiltheannouncementofStageTwoshortlistedCompetitors,oratthediscretionoftheNGV,untiltheWinnerisannounced.

d. ComplaintsTheNGViscommittedtoensuringthattheCompetitionworksequallyandfairlyforallparties.Anycomplaintaboutthe

Competitionmustbesubmittedinwritingimmediatelyuponthecauseofthecomplaintarisingorbecomingknown.ThiscomplaintmustbesenttotheCompetitionAdvisor:[email protected]

Thewrittencomplainmustsetout:• thebasisforthecomplaint(specifyingtheissuesinvolved);• howthesubjectofthecomplaint(andthespecificissues)

affectsthepersonororganisationmakingthecomplaint;• anyrelevantbackgroundinformation;and• theoutcomedesiredbytheCompetitormakingthecomplaint.

18. Intellectual Propertya. Ownership of Intellectual Property Rights

TheseCompetitionConditionsdonotaffecttheownershipofanyIntellectualPropertyRightsinanySubmission.b. WarrantiesandIndemnityByenteringtheCompetition,eachCompetitor:• warrantsthat:

theCompetitorowns(orhastherighttoexercise)theIntellectualPropertyRightsineachSubmission,suchthattheCompetitorisabletogranttheIntellectualPropertyRightslicencesmentionedbelow;and

theuse,copyingorotherexploitationbytheNGVoranythirdpartyoftheCompetitor’sSubmissioninaccordancewiththeseCompetitionConditionswillnotbreachanylawsorinfringetherightsofanyperson(includingwithoutlimitationwithrespecttoprivacy,confidentiality,IntellectualPropertyRights,moralrightsordefamation);and

• indemnifiestheNGVagainstallloss,damageorcostsarisingfromabreachoftheabovewarranty.

• topublishthenamesoftheWinnerandHighlyCommendedattheconclusionofthecompetition.

• nottoenterintoContractwithanyCompetitor,tonotproceedwiththeWinner’sSubmissionandnottoproceedwithanyProjectinrelationtotheCompetition;

• toreplacemembersandtonominateadditionalmemberstotheJury,intheNGV’sabsolutediscretion,includingintheeventofoneormorenominatedJurymembersbeingunabletocontinuetoactorforanyotherreasonatthediscretionoftheNGVatanytime;and,

• ToterminatetheContractduringDesignDevelopment,ifintheopinionoftheNGVtheWinnerfailstoundertaketherequirementsasoutlinedintheContract.

20. LiabilityCostsanddisbursementsAllcostsanddisbursementsincurredbyCompetitorsinparticipatingintheCompetition,thepreparationandlodgementofaSubmissionarethesoleresponsibilityoftheRegistrantandCompetitor.

TheNGVwillnotberesponsiblefor,norpayfor,anyexpenseorlossthatmaybeincurredbytheRegistrantorCompetitorinrelationtotheparticipatingintheCompetitionandpreparationorlodgementofaSubmission.

TheNGVwillhavenoliabilityarisingoutoforinrespectoforinconnectionwiththeseCompetitionConditions.

c. UseofSubmissionsforpurposesoftheCompetitionByenteringtheCompetitioneachCompetitor:• acknowledgesthattheNGVwillhavetherighttoexhibit,

photograph,archive,electronicallystore,duplicateorrecordallSubmissionswithoutfeeorrestriction;

• grantstheNGVaworld-wide,royaltyfree,non-exclusive,perpetual,freelytransferable,sub-licensable(witharighttosub-license)andirrevocablelicencetouse,edit,andreproducetheCompetitor’sSubmissioninanywayforthepurposesofconductingorpromotingtheCompetition,includingcommunicationtothepublicoftheCompetitor’sSubmission.Thereisnofeeorcostforthislicence;

• acknowledgesthattheCompetitor’sSubmissionandnamemaybemadepubliclyavailablebytheNGVandmaybeaccessibletothepublictoview;and

• warrantsthatitisabletoconferontheNGVthelicencesspecifiedintheseCompetitionConditionsand,forthispurpose,hasobtainedanynecessarylicencesfromthirdparties.

d. Proceed with the Project.If the NGV determines to proceed with the Project within 12 monthsoftheWinnerbeingannounced,theWinnermustimmediatelyexecutetheContract.ThepurposeoftheProjectwillbetoconstructaproposeddesigncorrespondingtotheWinner’sSubmission.TheContractissetoutinAttachment2

19. The NGV reserves the rightTheNGVreservestheright,initsabsolutediscretion:• toabandontheCompetition,andnottopayany

compensationiftheCompetitionisabandoned;• fortheJurytoselectthewinningdesign,andtheNGVto

proceedtoenterintotheContractwiththeWinner,eveniftheWinner’sSubmissiondoesnotsatisfyoneormoreoftheEvaluationCriteria;

• tochangeanyinformationin,ortoissueaddendaor

ThisincludesanyrightwhichtheRegistrantorCompetitorhasinrespectofanyallegedmisrepresentationormisleadingordeceptiveconductonthepartoftheNGVinprovidingCompetitionInformationortheinvolvementofapersonwiththeCompetitionorinconnectionwiththepreparationandlodgementofaSubmission.

TheRegistrantandCompetitorreleases,andindemnifiesondemand,theNGVfromandagainstanyclaim,liabilityorloss(includinganyclaimmadeby,orliabilityto,athirdparty)theNGVsufferorincurarisingoutoforinrespectoforinconnectionwiththeseCompetitionConditionsortheCompetitionandincluding:• totheextentpermittedbylaw,anyrightwhichthe

RegistrantorCompetitorhasinrespectofanyallegedmisrepresentationormisleadingordeceptiveconductonthepartoftheNGVpartiesinprovidingCompetitionInformationortheinvolvementofapersonwiththeCompetitionorinconnectionwiththelodgementofaSubmission;

• TheNGVexercisingorfailingtoexercise,inwholeorinpart,itsrightsundertheseCompetitionConditions;or

• anyactoromissionoftheNGV,Jury,CompetitionAdvisororanyotherAdvisortotheNGVinrelationtotheCompetition.

CONDITIONS

DefinitionsClient means the National Gallery of VictoriaCommission means the 2018 NGV Architecture Commission Competition means the NGV Architecture Commission Competition. Competition Questions means questions supplied by Registrants or Competitors.Competition Documents means the documents set out in clause 11b.Competitor means a Registrant who has lodged a Submission. Competition Information means any information directly or indirectly disclosed on behalf of NGV to the Registrant or Competitor that is directly connected to the Competition.Timetable means the Competition timetable set out in Attachment 1. Contract means the contract in the form set out in Attachment 2. Cost Estimate means an estimate of costs for all materials and services associated with the delivery of the Project. Design Brief means the design intent as outlined by the proponent within this document.Design Development means a period as outlined in attachment 1, during which the construction methodology to deliver the Project is to be defined, assessed, costed and determined to be viable. Evaluation Criteria means the evaluation criteria set out in clause 12e. Garden means the Grollo Equiset Garden at NGV International. Intellectual Property Rights means all intellectual property rights throughout the world, including copyright, trade mark, design, patent and circuit layout rights and all other intellectual property rights, whether registered or unregistered and registrable or not.Nominated Winner means the Stage Two Competitor that the Jury nominates to be the winner. The Nominated Winner will automatically be the Winner, upon be successfully contracted. Project means the construction and full delivery of the NGV Architecture Commission 2018. Project Budget means the total budget for the project as outlined in clause 4.Registrant means a person who registers to participate as a Competitor in the Competition. Registration Number means the number supplied to all compliant Registrants upon registering to participate in the Competition.Reserve Winner means a Stage Two Competitor selected to be the winner, in the event that, for any reason, the Nominated Winner fails to be contracted. Shortlisted Competitors means a Competitor whose Stage One Submission is selected by the Jury to participate in the Competition.Stage One means the first stage of the Competition.Stage Two means the second stage of the Competition.Submission means all documents, designs, drawings, works and materials submitted as part of or in relation to the Competition.Winner means the Shortlisted Competitor selected by the Jury to be awarded the first prize, who is subsequently contracted.
