The Town of Adams is issuing this Request for Expressions of Interest (RFEI) for the reuse orredevelopment of the former Memorial School Building, located at 30 Columbia Street (Route 8) inAdams, Massachusetts. The former Memorial School building property will be vacated at the end ofJune 2012. The Town is interested in making the vacated property available for reuse orredevelopment by interested organization(s) or individual(s). This will not be a public opening.
The RFEI will be available from the Town Administrators Office, Adams Town Hall, 8 Park Street,
Adams, MA 01220 beginning on February 7, 2012. It will also be available for download from theTown of Adams website at www.adams.town.ma.us
Responses to the RFEI must be returned to the Town Administrators Office at 8 Park Street, 2 ndFloor, Adams, MA 01220 no later than April 20, 2012 by 3:00 PM. Responses to the RFEI receivedafter this date and time will not be accepted. In the case where Town Hall is closed for weatherrelated or some other emergency related circumstance, then submittals shall be due the next daywhen Town Hall reopens for business, no later than 3:00 PM on that day. The Town shall not incurany costs for the preparation of the submitted proposals for the Towns review.
The Town of Adams presents this RFEI in the solicitation of use/reuse ideas and implementationstrategies for the former Adams Memorial School Building property. Parties with an interest in using
the property are encouraged to respond to this RFEI.
The Town of Adams will not consider the information submitted through the RFEI to be binding on therespondent or the Town. There will be a site tour of the Memorial School Building, 30 ColumbiaStreet, Adams, MA on Thursday, February 23, 2012 at 11:00 AM. All interested parties shall meetat the Memorial School using the Valley Street entrance.
The purpose of the RFEI is to:
1) Determine potential uses for the property;2) Gauge the level of interest in the property and identify potential parties who will
ultimately lease or purchase the property.
The Town of Adams is seeking all viable expressions of interest. If an appropriate use/reuse can beidentified, the Town would consider granting a short-term rental, long-term lease, or sale of theproperty.

Transportation
Car Travel: The Massachusetts Turnpike (I-90) provides Interstate highway access about 23miles south of Adams in Lee. Route 2, about five miles north of Adams, provides east-westaccess to I-91 and Boston to the east and I-87 in Albany to the west. Regional routes that runthrough Adams include state Routes 8 and 116. Route 8 extends from the Vermont borderthrough North Adams and Adams to Pittsfield to the south. Route 7, which parallels Route 8
and runs in a north-south direction, connects Berkshire County with Bennington, Vermont tothe north and Litchfield County, Connecticut to the south.
Air Travel: Local airports are: North Adams Harriman-West Airport (15 minutes via auto),Pittsfield Airport (30 minutes), Albany (NY) International Airport (90 minutes) and Bradley (CT)International Airport (90 minutes). Albany and Bradley are served by most major airlines.
Rail Travel: Guilford Transportation runs a rail line east/west with a north/south commercialfreight rail spur from the Adams Corporate Park through North Adams. Amtrak and Conrailoffer passenger service, running east/west through Pittsfield.
Bus Travel:Bus transportation is available in Adams from the Berkshire Regional Transit
Authority (BRTA), which delivers fixed route bus service along Route 8, connecting Adams tothe other communities spanning Berkshire County from Great Barrington to Williamstown.Several bus stops are located within the downtown.
Tourism and Downtown Adams
Tourists come to the Adams area for fall foliage, bicycling, hiking, X-country skiing, and historicattractions. Adams is home to Mount Greylock, the state's highest peak and one of the toptourist attractions in Berkshire County, and Greylock Glen situated on the eastern flank of themountain. Combined, these public lands boast extensive walking and hiking trails, along withbiking trails and cross-country and backcountry skiing. The Thunderbolt Ski Run, abackcountry ski race in Adams on Mount Greylock, is expanding into an annual event with
increasing attendance and associated activities. The Ashuwillticook Rail Trail, a regionalrecreational path planned to traverse the entire length of Berkshire County, currently ends atHoosac Street in the downtown at the Adams Visitors Center. Federal funding was recentlysecured to continue the Trail another 1.2 miles to Lime Street in Adams. Adams and NorthAdams officials are working to secure funding for the remaining two miles to continue the Trailto Route 8A in North Adams.
The Adams Events Planning Committee, which works with local merchants and civicorganizations, continues to develop an increasingly varied schedule of downtown events. TheSusan B. Anthony Celebration is a week full of events like the Street Fair and the Pedal & PlodRace (foot and bike). Other standards like Movies under the Starsand the Summer ConcertSeries on Thursday nights creates a solid list of activities in the downtown for both residents
and visitors throughout the summer months.
The Town is working hard to further develop its outdoor recreational assets and tourismopportunities, increasing the number of visitors to Adams and encouraging private investmentin the community. Greylock Glen is an essential project for the Town in its efforts to becomethe recreational tourism destination in Berkshire County. The Town of Adams is thedesignated developer for the Greylock Glen Outdoor Recreation & Environmental EducationCenter, a four-season resort proposed to include high quality lodging and conference facilities,a campground (tent sites and cabins), a performing arts amphitheater, an environmental

education center with exhibit and classroom space, and a multi-use trails system incorporatinga Nordic ski center.
The Towns concept plan for the Greylock Glen project was developed in collaboration with theMassachusetts College of Liberal Arts (MCLA), the Massachusetts Museum of ContemporaryArt (MASS MoCA), Massachusetts Audubon, and the Appalachian Mountain Club (AMC).Specifically, the proposed $50 million Glen project will expand the local and regional economy
by: i) establishing Adams as a destination for outdoor recreation and environmental education;ii) expanding the Towns and the regions visitor services and attractions; iii) connecting theTown more meaningfully to cultural institutions within the Berkshires and the creativeeconomy; and iv) building a strong customer base for downtown merchants in Adams andbusinesses throughout the region.
Berkshire Tourism
Berkshire County is a four-season tourism destination that boasts a range of historical,cultural, recreational and artistic offerings. The Berkshires Americas Premier CulturalResort boasts an extensive assortment of tourist attractions and has continued to be a
destination for people from Boston, New York, and around the world. Over two million peopletravel to the Berkshires each year, with the bulk of the visitors coming in the summer and fallmonths. Berkshire County has become a haven for summer residents who are attracted to thecultural offerings, appealing climate, and clean environment. Williamstown is a short 20minutes from Adams and boasts the Williamstown Film Festival and historic Williams College.Williamstown is also home to the renowned Sterling and Francine Clark Art Institute with itsoutstanding Renoir, Degas and Monet collections.
In North Adams, the recent development of the Massachusetts Museum of Contemporary Art(MASS MoCA) has become a focal point for visitors. MASS MoCA is one of the largestcenters for contemporary arts in the United States. This multi-disciplinary arts showcase ishoused on a 13-acre campus of renovated 19th century factory buildings, with more than
100,000 square feet of exhibition space, including a single gallery as long as a football field.MASS MoCA also offers a variety of performances in its outdoor and indoor theatres, includingthe New York City Ballet and other internationally-renowned performers. Last year, over100,000 people visited the MASS MoCA galleries, and another 20,000 people attended theperformance events.
Colleges / Schools
The Massachusetts College of Liberal Arts (MCLA) in North Adams, a public liberal artsresidential college, provides a diverse spectrum of offerings to its 1,730 undergraduatestudents. Williams College, founded in 1791 and located in Williamstown near the Vermontborder, is a private four-year liberal arts college that is consistently ranked in the top five liberal
arts colleges in the nation. Berkshire Community College, located in Pittsfield, is a public non-residential community college with over 2,400 students. There are a total of 18 post-secondary colleges in the region.
In addition, there are several private preparatory schools in the area, and the new regionalcharter school located in downtown Adams.

Submittal Content Requirements
Proposals shall generally adhere to the order in this section. Proposals should include thefollowing:
1. Respondent Information
a. Respondent Description
i. Respondents name, mailing address, and current legal status(nonprofit, corporation, partnership, sole proprietor, etc.);
ii. Principal officer(s) authorized to negotiate with the Town;iii. If more than one entity will be involved in the reuse project, identify all
key participants on the team including potential investors and proposedlending institutions. Provide an organization chart showing teammembers and indicating the responsibility of team members. Identifythe principal-in-charge of the proposed project and project manager(s)from the Responding entity.
iv. Contact persons name, title, phone number, fax number, and e-mail
address.
b. Respondent Experience and Capabilities
i. Description of previous projects comparable in scope with the reuseproposal, to include project names, locations, types of projects (sizesand uses), nature of involvement both from a financial standpoint andfrom a management / implementation standpoint, dates of completion,and references;
ii. At least five (5) references with contact names and telephone numbers.
c. Respondent History, Financial Position and Abilities
i. Description of the history of the responding entity, other non-relateddevelopment work undertaken successfully, unique skills, and/ormarkets in which the entity has particular skill or ability;
ii. Financial information that will show the relative financial strength of theRespondent, its ability to finance projects of a similar scale, and itssuccess in the implementation of similar public/private ventures.
2. Project Narrative
a. Written Description of the Reuse Concept
Provide a narrative description of the proposed reuse or redevelopment project,noting its overall concept, proposed uses, approximate square feet of each use,portion of the school building to be used, hours of operation, etc. Describe inconcise terms the anticipated final product that will be delivered. Includecomments on the feasibility of operating and maintaining the school building orportion of the building to be involved, and the desired timing of proposedimprovements. Include a description of the proposed projects relationship toTown goals as reflected in this RFEI and the Adams Downtown DevelopmentPlanand any proposed features that can be a unique asset to the Town in this

location. Also the narrative should explain whether the Respondent intends topurchase the building or enter into a long-term lease.
b. Project Schedule
Respondent shall submit as part of the Expression of Interest a timetable ofanticipated completion dates for project milestones (Project Schedule). The
Project Schedule should list each step in the reuse or redevelopment processthrough project completion and when the facility will be fully operational;
3. Financial Information
a. Financing
Demonstrate financial capacity to undertake the proposed development such asfilings or audited financial reports or a description of the size and financingstructure of recent projects.
i. Provide evidence of ability to secure sufficient equity and financing to
implement the proposed project and demonstrated experience infinancing lodging development projects of this scale;
ii. Identify the intended sources of funds to be invested in the proposeddevelopment and any public financial assistance or other supportneeded to carry out the project.
b. Relationship to Town of Adams
i. Proposed site utilization, purchase or lease, proposed terms andschedules;
ii. Any special conditions that the Respondent may wish to propose or askthe Town to provide as part of the final Lease Agreement;
iii. Identification of opportunities for the enhancement of locally-basedenterprise or the creation of jobs for existing residents of the downtowncommunity.
