PRINCIPAL CONTRACT

(Regarding supply service of consultant of planning environment management)

Packages: CV-A1d: Corridor 1 (km 62.0 to km 116.0)

CV-A1e: Corridor 1 (km 116.0 km 128.4)

- Pursuant to the civil law 33/2005/QH11 dated June 14th 2005 of National Assembly of

the Socialist Republic of Viet Nam.- Based on capacity and fact demand of the parties.

The two sides agreed to sign a contract in principle with thefollowing terms:

Article I: CONTENT OF THE CONTRACT

The Party B agrees to be consultant of planning environment management and

supervision the implementation for the Party A (in case of winner in bidding) for the

package CV-A1d NDTDP: Conrridor 1 (km62.0 to km116.0) end CV-a1e-NDTDP: Conrridor 1 (km116.0 to km128,4) under the Northern Delta TransportDevelopment Project, and plan shall be accepted by the employer and supervisor.

Article II: SITE AND IMPLEMENTATION SCHEDULE

- Site: In the construction site of the package CV-A1d NDTDP: Conrridor 1(km62.0 to km116.0) end CV-a1e-NDTDP: Conrridor 1 (km116.0 tokm128,4) under the Northern Delta Transport Development Project.

- Schedule: As requested of the Party A

Article III: PRICE AND METHOD OF PAYMENT

- The unit of construction materials shall be stated in the economic contract when the

Party A is winner of the package CV-A1d NDTDP: Conrridor 1 (km62.0 tokm116.0) end CV-a1e-NDTDP: Conrridor 1 (km116.0 to km128,4) andimplements the construction.

- Payment shall be based on the fact volumes received and delivered and inspection

records signed by both sides

- Method of payment: By cash or account transfer

Article IV: RESPONSIBILITIES OF THE PARTIES

1. Responsibilities of the Party A

- To report to the Party B the time of implementation of the contract,signing the contract with Party B before 10 days and supplying fullydocuments of the package.

- To monitor the Part B during implementation of the contract;inspecting the payment and liquidation the contract for the party Bafter the Party B finishs the works and contract for the Party Aaccepted by the employer.

2. Responsibilities of the Party B- To supply fully documents and other documents relative with theability, material quality to the Party A when required;

- To be legally responsible for supplying signed materials ;

- To fully and independently active to human, equipments, time forsupplying the materials as the signed contract with the Party A;

- When the Party A wins the bid, both Parties will sign the contract asbasis for the Party B to produce, import quantities of material ensuringthe reported schedule from the Party A.

Article IV: GENERAL TERMS

Two both sides agreed with this principal contract to be base for supplying geotextile

materials ensuring the types, quality, payment. Every detailed terms shall be agreed andsigned in the economic contract when the Party A wins the bid.

This contract comes into effect on the signed date and shall be finished when the Party A

fail the bid, or in the case of liquidating the principal contract for signing economic

contract.

This contract made into 05 (five) sets with the same value, the Party A keeps 03 sets, the

Party B keeps 02 sets.
