· The Firm recently carried out on behalf of Financial Services Limited and Siziba International Limited the Due Diligence of both United Securities Limited and Access Investment and Securities Limited prior to their bid for the purchase of both companies.· Representing the Computer Warehouse Group and Diamond Bank Plc in several debt recovery actions.· Represented a major stock broking firm in a Securities and Exchange Commission (SEC) proceeding that resulted in the cancellation of a debt portfolio of N3.4 Billion Naira owed a major commercial bank and also a return of the shares held as collateral in their respective contributions.· Advised AEP Italia Slr on equity financing and distribution of shares in its Nigeria Subsidiary AEP Ticketing Solutions Nigeria Limited. · Representation of AEP Ticketing Solutions Nigeria Limited in its bid for the e-ticketing and contactless solution aspect of a $640 Million African Development Bank sponsored project.

· Advised AEP Italia Slr (Europe's foremost e-ticketing and contactless solution company) and Kernelsphere Technologies Limited (the Nigeria subsidiary of Kernelsphere Technologies, India) on labour and tax matters as well as interface with relevant regulatory bodies.· Represented Clients in Tax matters against the Lagos State Government and the Federal Inland Revenue on issues of VAT and PAYE payments.

BANKING AND FINANCEWe have considerable experience in Loans Documentation, Debt Recovery and Restructuring having been involved in several multi million naira loan transactions.

A few of our transactions include the Legal Advisory, Consultancy and Documentation of a N 250 Million overdraft facility from Guaranty Trust Bank Plc and a N 250 Million Facility from Unity Bank Plc for a Stock Broking Firm, Capital Market advisory on investments worth over $7M . · The Firm is currently spear-heading the entry of an Italian Logistics Company with first-in-class ticketing solutions, into the Nigerian Transportation Market.· Successfully defended a courier company in a Multi-Million Naira action instituted at the High Court of the FCT, in an action for loss of goods in transit ferried by a third party airliner were the court had to consider the applicability of the Warsaw Convention in resolving the culpability of the third party.· The firm routinely represents the foremost Nigerian Airline to defend claims arising from passenger flight operations, cargo flight operations, delays & cancellations in various courts in Nigeria.

The Firms Real Estate practice group comprises of Solicitors with depth in Estate Management who have garnered an understanding of the property market and its supervising laws and have deployed such understanding in several high value Real Estate transactions involving the firm. Recently, the Firm was involved in the negotiation and purchase of the Bright Star Plaza in Jabi, Abuja, a Multi-Billion Naira shopping mall with about 250 Units located at Abuja's commercial district.

· Advised Bright Star Realties Plc; a Real Estate Development Company in Abuja in the financing and structuring of funds for the development of its 6-block Multi Billion Naira Shopping Mall in the Federal Capital Territory.

A recent key feature of the Litigation profile of the firm was the judgment execution efforts on behalf of the Asset Management Corporation of Nigeria on one of the Multi-Billion judgments obtained by the Corporation, amongst other litigations services rendered for the Corporation. RECENT EXPERIENCE

· Represented the Asset Management Corporation of Nigeria (AMCON) in securing judicial enforcement on recovered bank assets.· Instituted a N1.4 Billion action against GSK Nigeria and GSK UK in the Federal High Court, Ikeja and successfully defended the court's jurisdiction to hear the matter against GSK UK. · Successfully represented the Asset Management Corporation of Nigeria (AMCON) in several commercial disputes and enforcement of Terms of Settlement.· Instituting recovery of debt actions on behalf of the Asset Management Corporation of Nigeria (AMCON) against defaulting bank debtors.· Successfully represented one of the Directors of the Nigerian Stock Exchange in a matter instituted by the Securities and Exchange Commission (SEC) against him and 25 others. We filed a Motion that led to the discontinuance of the entire case.

· Employee representation for wrongful termination instituted against a Telecommunication service provider at the National Industrial Court, Lagos.· The firm was recently engaged to pursue a multi-million naira wrongful termination case on behalf of a former Director of a Tier 1 Telecom Company in Nigeria.

REGULATORY/GOVERNMENT RELATIONSWe offer advisory services to local and foreign clients on business entry requirements in Nigeria. Our services cover advice in the following areas: Compliance Procedure and Practice, Immigration and Expatriate Quotas, Licenses and Permits, Products Registration, Relationship with Government Agencies including; Corporate Affairs Commission, Securities and Exchange Commission, Nigerian Stock Exchange, Central Bank of Nigeria, Standard Organizations of Nigeria, Department of Petroleum Resources, Environmental Protection Agency, National Investment Promotion Commission and Stamp Duties Commissioners.
