ORDER PLACEMENTPurchase orders should be faxed. In the event a verbal purchase order is taken it is the customer’s responsibility to review the order acknowledgement for accuracy.

I NVOICI NGPayment is due no less than 30 days from the date of invoicing unless otherwise stated in the terms portion of the invoice. Statements are not issued. All payments should be made directly from the invoice.

TERMSPayment terms are net 30 days, unless otherwise stated on invoice.

SH I PPI NGOrders are shipped prepaid via FedEx Ground if under 150 lbs. Orders over 150 Lbs. are shipped via Old Dominion or FedEx Freight. Upon receipt of shipped goods, please inspect the shipment promptly for damages, shortages and correct identity of product. Shipping errors that are our fault will be promptly replaced or authorized for return and credit, at our option, along with our apology for any inconvenience. Claims must be submitted within 30 days of shipment.

ORDERSBy submitting an order to supplier, Buyer agrees to be subject to these Terms and Conditions of Sale in their entirety. All orders must be bona fide commitments showing definite prices and quantities and mutually agreed shipping dates. No term or condition of Buyer’s order additional to or different from these Terms and Conditions shall become part of the contract unless explicitly agreed to in writing by Supplier. Retention by Buyer of any products delivered by Supplier, or payment by Buyer of any invoice rendered hereunder, shall be conclusively deemed acceptance of these Terms and Conditions.

CATALOG ERRORSAlthough all information in Karebac® catalogs and quotes is carefully checked for accuracy, errors may occasionally occur and therefore are subject to appropriate corrections. Karebac® regrets any inconvenience.

STATEMENT OF WARRANTY Karebac warrants that its products, when correctly used under normal operating conditions, will be free from defects in material and work-manship. Karebac® makes no other warranties, expressed or implied, of merchantability, fitness for a particular purpose, or otherwise. Liability of damages for any cause, including negligence, with respect to this sale is limited to replacement of the product by Karebac®, at its sole election. This remedy is exclusive. In no event shall Karebac® be liable for any incidental or consequential damages, including loss of profits.

RETU RN POLICYYou must contact us within 5 days of delivery for return authorization, material must be returned within 15 days of delivery of your order. Mate-rial returned without written authorization or past the deadline will not be refunded. We will charge a restocking fee that will be the greater of $20 or 10%. Any rejection or revocation of acceptance shall set forth with particu-larity the nature and extent of the claimed nonconformity or defect upon which the rejection or revocation of acceptance purports to be based.

PAYMENT OPTIONSFor your convenience, domestic companies and institutions may use MasterCard, VISA, American Express or purchase orders (terms: net 30 days) as a payment method. TAXES Karebac’s® unit prices do not include any federal, State or local sales, use, excise, property or other such taxes which may be applicable to this transaction., the goods themselves or any services performed by Seller in connection with this transaction. All such taxes shall be paid by Buyer. All New York state customers must provide Karebac® with their New York State Tax ID / FEIN.

TERMS OF PAYMENTEach shipment shall be a separate transaction and Buyer will be invoiced on date of dispatch. Unless otherwise stated on Supplier’s invoice, terms of payment shall be net thirty (30) days from date of invoice. Supplier may, in its sole discretion, determine at any time that Buyer’s financial condition requires payment in advance, and, if such requirement is not met, may cancel the order or any part thereof and receive reasonable cancellation fees. If Buyer fails to pay any payment due hereunder when due, Supplier may recover, in addition to the payment, interest thereon at the rate of 1.5% per month where lawful, otherwise the maximum lawful monthly interest rate, and reasonable attorney’s fees.

COLLECTIONSIn the event any collection activity is required on your account, you agree to pay Karebac® all costs of collection, including fees of collection agencies, returned check charges, and reasonable attorneys’ fees equal to twenty-five (25) percent of the outstanding balance. In the event your account has not been paid within ninety days, you agree to pay Karebac® interest charges at the rate of eighteen (18) percent per annum or the highest rate permitted by law, whichever is lower.

U N-COLLECTABLE CH ECKIn the event a check is returned by the customer’s bank as un-collectable, there shall be a charge of $25.00 per check returned IN ADDITION to any other charges that may be incurred. All legal, court costs, and service charges incurred in collecting payment will be an expense of and chargedto the purchaser. All accounts are payable on the following basis: Net 30 days. Delinquent after 40 days. Management reserves the right (which may be exercised solely at the discretion of Karebac®) to withhold shipment of orders to customers whose account remain unpaid forty (40) days after invoicing. Upon an account becoming delinquent, a 1.5% per month interest rate shall be imposed on the unpaid balance (through the date of payment) as is standard with the industry.

FORCE MA J EU RESeller is not liable for any damages due to delivery delays of failure to perform any of its obligations to Buyer because of circumstances beyond the reasonable control of Seller. Such events of Force Majeure include, but are not limited to, accidents, acts of God, strikes, labor disputes, acts of regulations passed by governmental agencies, fires, floods, or failure of one of Seller’s carriers or suppliers to perform their obligations to Seller.

GOVERN I NG LAWAll terms and conditions related to this transaction shall be governed by, and interpreted in accordance with, the laws of the State of New York.

LIMITATION OF LIABI LITY AN D BUYER I N DEMN ITY

IN NO EVENT, REGARDLESS OF THE FORM OF ACTION, SHALL SUPPLIER BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL LOSSES OR DAM-

AGES ARISING OUT OF THE SALE OF ITS PRODUCTS TO BUYER OR ARISING OUT OF ANYTHING DONE IN CONNECTION WITH THE CONTRACT, INCLUDING, BUT NOT

LIMITED TO, LOSSES OR DAMAGES ARISING OUT OF CLAIMS FOR LOSS OF USE, BUSINESS, GOODWILL, OR PROFITS, AND CLAIMS ARISING OUT OF THIRD PARTY AC-

TIONS, REGARDLESS OF WHETHER SUCH THIRD PARTY ACTIONS, OR ANY OTHER CLAIMS, LOSSES, OR DAMAGES, WERE REASONABLY FORESEEABLE TO BUYER OR
