REPORT OF THE MANAGING COMMITTEEOF THE VADODARA BRANCH OF WIRC OF ICAI FOR YEAR 2019-2020

The Vadodara Branch of the Western India Regional Council of the Ins�tute of CharteredAccountants of India is pleased to present its 53rd Annual report of Managing Commi�ee forthe period from 1st June 2019 to 31st May 2020 and the accounts for the financial yearended on 31st March, 2020.

Since last several years, Vadodara Branch has been consistently acknowledged as one of theBest Performing Branch by the ICAI. A number of ac�vi�es are undertaken round the yearfor the benefit of its members and students at large. Involvement from members as well asstudents had remained encouraging throughout the year.

At the same �me we also wish to place on record our sincere apprecia�on and gra�tude tothe following persons who have made it possible to conduct various ac�vi�es of the Branch:

INDEPENDENT AUDITOR’S REPORTTo the Council of the Institute of Chartered Accountants of India

Report on the Audit of the Financial StatementsOpinionWe have audited the financial statements of Vadodara Branch of the Institute of CharteredAccountants of India (“the Branch”), which comprise the Balance Sheet as at March 31st

2020, the Statement of Income and Expenditure and Cash Flow Statement for the year thenended, and notes to the financial statements, including a summary of significant accountingpolicies.In our opinion, and to the best of our information and according to the explanations given tous, the accompanying financial statements are prepared in all material respects inaccordance with the Chartered Accountants Act, 1949, and give a true and fair view inconformity with the accounting principles generally accepted in India of the state of affairs ofthe Branch/ Decentralised Office / Regional Council as at March 31, 2020, its surplus andits cash flows for the year then ended.Basis for OpinionWe conducted our audit in accordance with the Standards on Auditing (SAs) issued by theInstitute of Chartered Accountants of India. Our responsibilities under those standards arefurther described in the Auditor’s Responsibilities for the Audit of the Financial Statementssection of our report. We are independent of the Institute in accordance with the Code ofEthics issued by the Institute of Chartered Accountants of India and we have fulfilled ourother ethical responsibilities in accordance with the Code of Ethics. We believe that the auditevidence we have obtained is sufficient and appropriate to provide a basis for our opinion.Responsibilities of Management for the Financial StatementsManagement is responsible for the preparation of these financial statements in accordancewith the Chartered Accountants Act,1949 that give a true and fair view of the state of affairs,financial performance and cash flows of the Branch in accordance with the accountingprinciples generally accepted in India, including the Accounting Standards issued by theInstitute of Chartered Accountants of India. This responsibility also includes maintenance ofadequate accounting records for safeguarding of the assets of the Institute and forpreventing and detecting frauds and other irregularities; selection and application ofappropriate accounting policies; making judgments and estimates that are reasonable andprudent; and design, implementation and maintenance of adequate internal financialcontrols that were operating effectively for ensuring the accuracy and completeness of theaccounting records, relevant to the preparation and presentation of the financial statementsthat give a true and fair view and are free from material misstatement, whether due to fraudor error.In preparing the financial statements, the management is responsible for assessing theInstitute’s ability to continue as a going concern, disclosing, as applicable, matters related togoing concern and using the going concern basis of accounting unless the managementeither intends to liquidate the Institute or to cease operations, or has no realistic alternative

but to do so.The management is responsible for overseeing the Institute’s financial reporting process.Auditor’s Responsibilities for the Audit of the Financial StatementsOur objectives are to obtain reasonable assurance about whether the financial statementsas a whole are free from material misstatement, whether due to fraud or error, and to issuean auditor’s report that includes our opinion. Reasonable assurance is a high level ofassurance, but is not a guarantee that an audit conducted in accordance with SAs willalways detect a material misstatement when it exists. Misstatements can arise from fraud orerror and are considered material if, individually or in the aggregate, they could reasonablybe expected to influence the economic decisions of users taken on the basis of thesefinancial statements.As part of an audit in accordance with SAs, we exercise professional judgment and maintainprofessional skepticism throughout the audit. We also:

• Identify and assess the risks of material misstatement of the financial statements,whether due to fraud or error, design and perform audit procedures responsive to thoserisks, and obtain audit evidence that is sufficient and appropriate to provide a basis forour opinion. The risk of not detecting a material misstatement resulting from fraud ishigher than for one resulting from error, as fraud may involve collusion, forgery,intentional omissions, misrepresentations, or the override of internal control.

• Obtain an understanding of internal control relevant to the audit in order to design auditprocedures that are appropriate in the circumstances, but not for the purpose ofexpressing an opinion on the effectiveness of the Institute’s internal control.

• Evaluate the appropriateness of accounting policies used and the reasonableness ofaccounting estimates and related disclosures made by the management.

• Conclude on the appropriateness of the management’s use of the going concern basisof accounting and, based on the audit evidence obtained, whether a material uncertaintyexists related to events or conditions that may cast significant doubt on the Institute’sability to continue as a going concern. If we conclude that a material uncertainty exists,we are required to draw attention in our auditor’s report to the related disclosures in thefinancial statements or, if such disclosures are inadequate, to modify our opinion. Ourconclusions are based on the audit evidence obtained up to the date of our auditor’sreport. However, future events or conditions may cause the Institute to cease tocontinue as a going concern.

• Evaluate the overall presentation, structure and content of the financial statements,including the disclosures, and whether the financial statements represent the underlyingtransactions and events in a manner that achieves fair presentation.

We communicate with the management regarding, among other matters, the planned scopeand timing of the audit and significant audit findings, including any significant deficiencies ininternal control that we identify during our audit.We also provide the management with a statement that we have complied with relevantethical requirements regarding independence, and to communicate with them all
