2019 Annual General Meeting – Director Election Package Our Board of Directors: Overview The Ajax Pickering Board of Trade (APBOT), overseen by the Board of Directors, continues its long history of successfully empowering the business community through networking, education, and advocacy.

The APBOT’s Board of Directors represents a cross-section of businesses and organizations in the community. Serving on the APBOT’s Board of Directors is considered an honour and an excellent opportunity to assist the APBOT in defining and reaching its objectives. All Directors are expected to commit substantial time and effort to give the proper attention to their responsibilities, which include attending at monthly Board of Directors meetings, attending at multiple APBOT events, and being active in one or more APBOT Committees. Further, all Directors are expected to work constructively and harmoniously with the Board of Directors, staff, members, and volunteers. We are proud to have many leaders in the community serve on our Board of Directors.

Our Board of Directors: Ideal Directors for 2020 In order to ensure we have an ideal Board of Directors, it is important that we have diverse representation, skills, and abilities. In particular, it is ideal to have diversity in regards to: 1) geographic location (to ensure representation of both Ajax and Pickering); 2) industry and organizational size; 3) skills and experience; 4) ability to contribute. Further, it is important to ensure that we have Directors for necessary executive positions and committee positions.

For 2020, the following Directors will be returning:

We are also pleased to continue to have our municipal advisors from the Town of Ajax and the City of Pickering.

We have 6 spots open for the 2020 Board of Directors and the Bylaws require no less than 3 spots to be filled.

The Governance Committee has specifically identified the need for directors willing to commit to be an executive (Secretary, Vice President, President, and Chair). To that

end, the Governance Committee is recommending the re-election of Christine Ashton, so she may serve as the 2020 Chair, and Analiese St. Aubin, so she may serve as the 2020 Vice President. Further, the Governance Committee recommends the strong consideration of any other candidate prepared to serve as an executive officer (e.g. 2020 Secretary, 2021 Vice Chair, etc.).

The Governance Committee has also specifically identified the need for directors with experience and the willingness to serve on the Governance Committee and the HR Committee.

Finally, the Governance Committee has also specifically identified the need for directors with backgrounds in sectors not currently represented.

Our Board of Directors: Election Process Our Bylaws require an open election for our directors. At the AGM on December 12, 2019, all members will be able to vote in regard to the 2020 director nominees.

You may vote for up to 6 of the director nominees. There is no minimum number of director nominees that you must vote for. For a nominee to be elected as a director, the nominee must receive no less than 1/3 of the votes. In the event that more nominees than there are positions open receive 1/3 of the votes, then the positions will be filled based on highest total votes.

Each member is entitled to only one vote. As such, if your organization has a single membership, your organization is only entitled to one vote (even if you have multiple individuals who attend at the AGM). If you wish to proxy your vote to another member, you will be required to complete the proxy form and it will need to be turned in at the time of voting. The proxy form is available HERE. Christine Ashton, Wilson Vukelich LLP

Christine resides in Pickering and is a partner with Wilson Vukelich LLP, a full-service firm in Markham and a leader in business and tax

law. Christine’s practice is devoted to the areas of labour and employment law, tax litigation and related litigation.

Christine is an active member of various committees, boards, and associations. Christine regularly moderates and speaks at events, including those held by the Ontario Bar Association, the Professional Engineers Ontario, the Ajax Pickering Board of Trade, and the Oshawa Chamber of Commerce. In 2018 and 2019, Christine served as the President of the Ajax Pickering Board of Trade and also sat on the HR Committee, the Governance Committee, and the Government Relations Committee. In her role as President, Christine was pleased to volunteer her time and skills to the APBOT, including supporting the transition to our new Executive Director and successfully advocating for various policy initiatives at the 2018 Canadian Chamber of Commerce AGM and the 2018 and 2019 Ontario Chamber of Commerce AGM.

Christine is seeking re-election so that she may return as Chair of the Board of Directors. It is her hope that she can continue to support making APBOT an even stronger leader of businesses in the Region and beyond.

Stephen Barry, John R. Williams Commercial Realty

Commercial Real Estate in Durham Region has been Steve's primary business focus for the past five years. As a first-ever recipient of the "Business Person of the Year Award" from the Ajax-Pickering Board of Trade and past Chairman of the Spark Angels Network which helps fund local start-ups, he's very well connected to the community. For over ten years Steve owned and operated Sure fit a local business supplying home decor good throughout North

American source internationally and manufacturing locally while employing over 100 people in Ajax. His background includes Property Management, Development and Condo Conversion along with extensive knowledge in Retail, Manufacturing, and Warehousing. Long-time residents of Ajax, Steve, and family are very active in the community and its local charitable events.

Talia Lane, Matheis Financial Group

Talia Lane is the Director of Marketing and Business Initiatives for Matheis Financial Group, located in Pickering, and has been with the company for 15 years. For 20 years Talia has been involved with Communications, Media and Social Media, Marketing, Promotional and Event Planning in various companies from Magazine to Wireless Tech. Her current role at Matheis Financial Group involves increased

office management duties, marketing initiatives in the group benefits and pension side of the business, as well as corporate financials, payroll, accounts payable and receivable, procurement and policy development. Twice annually Talia organizes and executes a charity softball tournament with all proceeds being donated to The Raphael Chang Memorial Canadian Tire Jumpstart Fund. Talia has been a long-standing supporter of the Ajax Pickering Board of Trade Events, Expos and Learning Sessions and feels that it’s time to become a Director and utilize her skills to further help the organization she is proud to be a member of.

Jessica Rhynas, Hilton Garden Inn Toronto/Ajax

Jessica Rhynas grew up in Pickering and has been working in Sales at the Hilton Garden Inn Ajax for over 3 years. Jessica has attended various APBOT events and is interested in being more involved to help support and grow the community. She is a graduate of the Event Management program at Durham College and has 5+ years experience in planning and executing events. Jessica is dedicated to the communities of Ajax and Pickering and

hopes to contribute to their success.

Pauline Smiley, Livewell Pathway Healthcare Services Pauline is an entrepreneur who operates two businesses in the Durham Region and is also a resident of Ajax. She is one of 3 partners of Livewell Pathway Healthcare Services which is a healthcare/homecare business with head office in Pickering and a second location in Mississauga. Pauline is also the sole owner of a mortgage brokerage company known as Livewell Mortgage Plus which is also located in Pickering. She has previously served as a member of the Board of

Directors for Desjardins Credit Union where Pauline worked in a senior management position. In that role she attended weekly board meetings, participated in discussions, brought items or ideas to the table and made recommendations. Pauline was a voting Director for a non-for-profit organization known as The Potter’s House for more than 10 years. In that role she chaired board meetings and actively participated in discussions and decision making. Both Ajax and Pickering municipalities are experiencing a growing number of entrepreneurs who are between the ages of 18 -30. There is also a vibrant community

of business owners from minority groups. Pauline would like to help APBOT in attracting members from these unique demographics.

Analiese St. Aubin, Ontario Power Generation

Analiese is the Manager of Corporate Relations at Ontario Power Generation’s (OPG) Pickering Nuclear station.

She brings more than 20 years of communications experience with both large organizations and not-for-profit organization to her role on the board. Her background includes executive communications, strategic communications planning, marketing communications and social media planning.

She is active in the community, working closely with many community and charitable organizations in the Durham Region. She is also active on the Board of Trade’s Government Relations Committee and Health and Wellness Committee.
