*Opening Season Drawing Rules*
Deer DrawingMembers are required to hunt ONLY the lease drawn. Lease switching is NOTallowed after drawing. If you are not able to hunt, the booking must becanceled at least 6 days in advance. Members failing to hunt or failing tocancel in less than 6 days will forfeit draw privileges for the following year. Thedeer draw is for the entire weekend and members should not cancel off thelease if they fill their tag before the 2 day hunt is over. The lease will remainbooked for the members that started the hunt.
Quail DrawingMembers are required to hunt ONLY the lease drawn. The rule remains thesame as the Deer Drawing but the cancellation period is 2 days and the penaltyfor failure to hunt or cancel is the same.
2016 ASSOCIATE & DAY GUEST PASS REGULATION
1. Associate and day guest pass memberships are offered in three categories, 1) DeerAssociate, Deer day guest pass, 2)Quail Associate, Quail day guest pass, and 3)Turkeyday guest pass. These are separate classes of membership and can not be used forcrossing species of hunting other than Turkey. An example is a member with QuailAssociate or Quail day guest pass could not hunt deer; he would have to have a DeerAssociate or Deer day guest pass also. Both Quail and Deer Associate memberships mayhunt Turkey.
2. Quail Associate or Quail day guest pass memberships permit a club member to take oneguest daily for the purpose of upland bird hunting, including quail, pheasant, dove, andturkey. Deer Associate or Deer day guest pass memberships permit a club member to takeone guest daily for the purpose of hunting deer and turkey.
3. Associate memberships and day guest passes are not valid on the opening two days of theseason, i.e., Oklahoma-Kansas-Texas quail, spring turkey, fall turkey, dove, deer-gun, deer-muzzle loading or deer-bow season Club members may not apply for opening seasondrawing using the associate membership or day guest pass.
4. Bookings for associate guests or guest pass guests are treated in the same manner as aregular membership. The club member must book using member name for the guest andsign out for that guest. The guest name must be provided on the Hunt Report. All gameharvested by the guest shall be reported on the website where the booking was made. Aguest booked on a lease occupies one slot available for hunters on that lease. Cancellation of prior bookings shall be required in the same manner as club member.
5. The club member shall be responsible for the guest and the behavior of that guest at alltimes they are on the lease. The club member shall accompany the guest at all times theguest is on the lease. Club rules apply to all guests.
6. Quail/Deer Associate memberships shall not be used by the same guest more than 4hunting days. The intention of the Associate membership was not to replace a full huntingclub membership with an Associate membership. The use by the same guest more than 4hunting days shall be determined to be an abuse of the purpose of the Associatemembership. If it is determined that abuses of this purpose occur, a renewal of suchprivileges will not be extended.
7. Each year, prior to making available the sale of Associate/Day Guest Pass memberships,the ESC board of directors shall determine the cost and quantity of the memberships. TheESC board of directors shall approve the applicants for the membership.
Associate Membership/Guest Pass Purpose Statement
The ESC established the Associate Membership, Deer Associate Membership , and GuestPasses to allow a limited number of Club members to take a guest for the purpose of uplandbird hunting, turkey and deer hunting. Club members should understand that the huntingneeds of the full club are primary to the extent that rules violations or abuses ofAssociate/Guest pass privileges will not be tolerated and that renewal of such privileges arenot automatic or guaranteed. Associate Memberships and Guest Passes can not be used to
take an existing hunting club member as your guest and doing so will result in revocation ofhunting club privileges for the remaining portion of the hunting season.
STANDARD LEASE RULES
1. There will be no shooting within 150 yards of any occupied house on or near the Premises.
2. Lessee will remove all trash and litter which Lessee brings on the Premises, includingspent shotgun hulls. The cleaning of birds on the lease is prohibited unless the feathers andentrails are bagged and removed from the lease.
3. All gates will be left in the position in which the Lessee finds them unless the Lessorsindicate otherwise. Lessee will not affix locks to gates without the prior consent of Lessors.
4. Lessee will endeavor to be aware of the location of livestock on the Premises and notengage in any activity likely to harm such livestock.
5. Lessee will respect all property of the Lessors and will not use any buildings, motorvehicles or other equipment on the Premises without the prior consent of the Lessors and theLease Committee.
6. Lessee will be conscious of the danger of fire on the Premises and observe all reasonablesafety precautions to protect against such danger. Lessee will not camp overnight on thePremises. Lessee will not employ fires for cooking, camping or other purposes while on thePremises. Lessee will be conscious of the fire hazards posed by motor vehicles being drivenover dry brush and will exercise reasonable precautions in regard to same.
7. Lessee will not drink beer, intoxicating beverages or use illegal drugs while on thePremises, nor will Lessee use the Premises while in an intoxicated state.
8. In order to assist Lessors in the prudent management and protection of Lessors’ propertylocated on the Premises, Lessee will endeavor to promptly notify Lessors of problems,damage or other unusual matters which Lessee may discover while on the Premises, such astrespassers, vandalism and injured or loose livestock.
9. The use of the Premises by Lessee is limited to the members of Lessee’s Hunting Club andno member of the club will bring guests to hunt on the Premises, unless that member is inpossession of membership permitting a guest.. Lessee’s members will conduct themselvesin a sportsmanlike manner while on the Premises.
10. Lessee will schedule use of the Premises by its members in such a manner to avoid (a) adangerous concentration of hunters present on the Premises at any one time and (b) theover-hunting of any species of wild game. Such scheduling will permit approximately four (4)hunters per one thousand (1,000) acres.
11. Lessors shall be free from all liabilities and claims for damages for or by any reasonof any injury to Lessee or Lessee’s members or the property of Lessee or Lessee’s members,from any cause or causes whatsoever while on the Premises during the term of this lease oroccasioned by any use of the Premises or any activity carried on by Lessee or Lessee’smembers in connection with the use of the Premises, and Lessee agrees to indemnity andsave harmless Lessors from all liabilities on account of or by reason of any such injuries or
claims however occurring.
12. Lessors and Lessee recognize that all matters of importance to either or both cannot beanticipated and provided for in this Lease and that, to ensure the good relations amongthemselves and the proper use of the Premises, they will cooperate with one another in allreasonable ways.

GENERAL RULES & REGULATIONS
1. All members shall have in their possession the current Edmond Sportsmen’s Club(ESC) membership card while on Club property. All members shall display the membership card and drivers license to any other member, Lessor, State Game Ranger, or Federal Wildlife Officer upon demand. All autos shall display a valid parking permit while on ESC leases.
2. Except Associate Members, or members holding Day Guest Passes, guestsare not allowed to hunt on any ESC lease. However, ESC members may host anon member guest under the age of 16 during the annual Oklahoma Youth Huntfor quail, turkey and deer, and non-hunting guest under 16 years or over 65 yearsof age on leases except during primitive arms and rifle deer seasons. Only oneyouth guest hunter per adult member is allowed and must be under the directcontrol of the adult member. Guest of members for fishing purposes are limitedto direct family members, i.e.:grandchildren, children, and children’s spouses. Noother guests shall be allowed to be on lease property even for non huntingpurposes.
3. Grandparents are permitted to take a grandchild under the age of 18 for thepurpose of hunting deer, turkey, quail and dove. Grandchildren are not permittedon opening 2 days of the season, except for dove season. Only one gun shall beused between the grandparent and grandchild and the grandchild must be underthe direct control of the grandparent member. Grandchildren must be bookedprior to hunting. Only one grandchild per adult member allowed on lease at thesame time.
4. All members shall have in their possession all necessary State, Federal orother permits, tags, or licenses for the hunting or fishing they are participating inand shall comply with all laws and regulations governing same.
5. All members shall comply with any special rules imposed by Lessor asoutlined in the lease agreements entered into by the said owner and ESC. (Seelease cover sheet for proper information concerning any particular lease)
6. All members shall be courteous to the lease owners, their family andemployees and shall comply with any reasonable request which may be made bythe Lessor due to circumstances that may occur on the lease at that time.Maintaining good relations with the Lessor is the responsibility of every member.
7. All members will remove all trash and litter which they bring on the leases. Thecleaning of birds on the property is prohibited unless the feathers and entrails arebagged and removed from the premises.
8. Gates on the leases shall be left in the position in which a member finds themupon entering or leaving the property unless the Lessor indicates otherwise.
9. The leases of the ESC are for recreational purposes only. No commercial usesuch as commercial day-hunting or commercial dog training is allowed.
10. Entry to leased premises shall be made through existing gates only. Nohunting is allowed from vehicles either on interior lease roads or public roads onor adjacent to the leased premises. Vehicular traffic is limited to existing roads onthe leases.
ATV RULES
11. The use of ATV/UTV or any other type of motorized vehicle may be used onestablished roads. The use of any motorized vehicle may NOT BE USED OFFROADS for the purpose of quail hunting unless previously approved in writing bythe ESC board of directors. Individuals must submit a written request to the ESCboard of directors to operate ATV/UTV off established roads. The board will notifythe member in writing if permission is granted and is only valid for use in theseason the request is granted and must be applied for each year thereafter. Unless otherwise stated, ATV/UTV may be used off established roads for thepurpose of retrieving downed deer and for the placement or removal of treestands. No scouting on ATV/UTV’S or any other type of motorized vehicle isallowed. Regardless of how this rule is described, additional restrictions on anyparticular Lease Cover Sheet will take precedence over the rule. Do not assumethat you may apply this rule without first checking the Lease Cover Sheet beforedriving off road.
12. All members shall follow the procedures for booking a hunt on a lease. Nomember shall visit any lease during an open hunting season without previouslybooking each visit. This rule includes visiting any lease for the purpose ofhunting, scouting, sightseeing, fishing, etc.
ORIENTATION REQUIREMENT
13. All members are required to attend an orientation seminar each year eitheronline or in person. All members failing to attend the seminar are subject toforfeiture of hunting/fishing privileges. During any open hunting season, noHunting Club Member may visit for any purpose any ESC lease before attendingthe orientation seminar. General members are not allowed on hunting propertyduring any open hunting season after October 1. “Fishing only” leases are open toall members and family members of club members year round.
14. Members will not drink beer, other intoxicating beverages or use illegal drugswhile on the leases, nor will members use the leases while in an intoxicated state.
15. Members shall conduct themselves in an ethical manner and shall display thequalities and behavior befitting a sportsman, i.e., one who treats nature, the fishand game pursued, and all encountered in the conduct of sport with fairness,respect and dignity.
16. All members shall abide by the ESC rules and regulations and the terms ofeach lease.
TRESPASSING NOTICE
17. Trespass on neighboring property owners will not be tolerated. Violations ofthis nature will be considered major violations of club and ethical rules of conduct,and may result in the immediate dismissal of the club member from the club withno refund of dues paid.
DEER SEASON LEASE CLOSURE
18. Certain ESC leases will be closed during deer-gun season to all hunting exceptdeer hunting. During the closed period, members shall not: 1) visit these leasesexcept for the purpose of hunting deer; b) hunt or take any game except deer; andc) bring or permit any other member to have bird dogs on these leases, either invehicles or otherwise.
FILING A COMPLAINT
19. Members who wish to make a complaint regarding the violation of Club rulesand regulations must notify a member of the Ethics Committee and fully fill out,date, sign and submit a complaint form to the Ethics Committee. Forms may beobtained from any member of the Ethics Committee. The President-Elect is thechairman of the Ethics Committee.
DEPENDENT MEMBERSHIP
20. Dependents are defined as children, 20 years of age and younger. Adults mustbecome Hunting Club members to hunt lease land when they become 21 years ofage. Dependents must be listed on the primary membership and carry anappropriate membership card.
VOTING REQUIREMENTS
21. TO BE ELIGIBLE FOR THE OPENING DAY DRAWINGS, ALL HUNTING CLUBMEMBERS, REGARDLESS OF RESIDENCE, (IN STATE OR OUT OF STATE), MUSTPARTICIPATE IN ALL ELECTION VOTING AND ANY OTHER BUSINESS WHEREVOTING IS REQUIRED.The board of directors shall make available voting methods as follows:
1. E-MAIL VOTING2. MAIL-IN ABSENTEE BALLOT3. IN-PERSON VOTING AT SCHEDULED MEETING
22. It will be the sole responsibility of the club member to notify the secretary ofany changes in e-mail and mailing address changes. Failure to provide a current e-mail address will result in not receiving ballots for voting.
ATTENTION DEER HUNTERS
23. The Edmond Sportsmen’s Club has taken a deer trophy conservation approachto the harvesting of bucks. We are asking everyone to only harvest 8 point bucksor greater. With the quality of the land we lease, this will produce quality bucks. ESC would encourage the harvest of doe’s. Many of our leases are in danger ofover population if we don’t begin to reduce the deer population.
24. Deer stands placed by the club members must have the member’s name andphone number attached to the stand and be visible from ground level. Stands thatare not marked will be assumed to have been place by trespassers and are subjectto removal and disposal.
25. When a member’s equipment is located on club property, it is everyone’sresponsibility to not disturb the equipment. Any member found disturbing anycamera, blind, feeder etc. may be subject to disciplinary action by the club.
26. Deer hunters will have 2 weeks after the drawing to select their huntinglocations on the lease drawn for muzzle loader season and until November 1, forrifle season. Hunters will have a priority of a hunting location based upon theirorder of draw. The first hunter drawn will have first choice, second draw next andetc. Members failing to establish a hunting location prior to the times listed abovewill no longer have a priority status for the selection of hunting location and will goto the bottom of the priority list.
27. The person higher in rank of the priority will be responsible to notify the personfollowing them as to their preference of hunting location.
28. Due to the very limited hunter availability to receive Kansas Deer Permits, theboard of directors will not guarantee that we will make available any lease for thepurpose of Kansas deer hunting. We may however, make available on a sub-leasebasis only, trespass privileges to hunt Kansas deer when it is available.
ATTENTION QUAIL HUNTERS
29. Kansas, Texas and Oklahoma quail/pheasant hunting is limited to a maximumof 3 times to any one lease. A member may only hunt quail/pheasant one timeduring any calendar month (October, November, December, January, February) onany particular lease, not exceeding the 3 time limit per season. This rule does notapply to the Johnson Quail Lease. The rule limiting one time per calendar month isaltered for the Johnson Quail Lease to read 2-2day hunts not in the same calendarmonth per season. This only applies to the Johnson Quail Lease. All other leasesfollow the original rule.
2016 BOOKING A HUNT
1. Members may book a hunt by logging onto the club’s website at www.eschunting.org.
2. Members may book a hunt six days in advance of any day occurring after the opening two days of a hunting season.
3. Opening two days of most seasons are booked thru a drawing held in September orother date as necessary and the spots remaining after the drawing will be available six daysin advance as with any regular booking.
4. Quail Hunters may only be booked for two days in advance, unless one of the hunting
days has already started. Deer /Turkey hunters may only be booked for four days inadvance, unless one of the hunting days has already started.
EXAMPLE: Bill is booked Monday and Tuesday of next week for quail. If Bill wants to bookWednesday he would not be able to book until the hunting day on Monday has alreadybegun. The same scenario would be true for deer hunting except to book the fifth day inadvance the first day must have already begun.
5. Dove hunting must be booked. Book dove hunts using the quail lease number for anyparticular property. Dove season bookings will not be counted against the quail limitationsfor hunting a lease.
6. All leases will be booked for the entire day. Unless you are booked on a lease, you arenot to be on the lease. Bookings may be canceled if done prior to the date of the scheduledhunt. A scheduled hunt can not be cancelled after the start of the hunting day unless themember contacts the Treasurer, Secretary or Leasing Agent. Those members haveadministrative privileges for the web site and are able to cancel the hunt. Members areallowed to hunt 2 or more leases on the same day providing that you book the second leaseduring the day of the hunt. It is still against club rules to book in advance more than onelease on any given date.
7. If a member will not be hunting a reserved lease, the member must cancel the hunt thruthe online booking program. Every member is responsible for either attending a bookedhunt or canceling the hunt . During deer and turkey season, members who are alsoreserved on the lease should be notified by the canceling member that they will not be thereto hunt. This will allow the remaining hunters to adjust their hunting location if desired.
8. Each member must report all game harvested or wounded and lost. Reports of theharvest must be done on the booking website Reporting tab. The booking program will notallow future bookings if you fail to report your harvest withing 7 days of the hunt, this samerule applies for guests/family members of the primary members.
9. For all types of hunting, a member may reserve a lease for herself or himself and any
other member, provided that the member has the LOGIN NAME and PASSWORD of eachmember to be booked. Every member booked on a lease, regardless of who made thereservation, is responsible for ensuring compliance with the Club’s rules and procedures,including, but not limited to, those rules applying to cancellation of reservations.
10. If you have questions regarding a lease or the Club’s rules and procedures, contact anESC director, officer or member of the Lease or Ethics Committee as appropriate.
SPECIAL LEASE CLOSINGS DEER AND QUAIL SEASON OVERLAP
1. Leases that allow both quail and deer hunting will be CLOSED to quail huntingon both Saturday and Sunday for the 3 weeks that quail and deer seasonsoverlap. Booking will not be available for quail hunting on these dates.
2. On weekdays only, Quail hunting will be allowed between the hours of 9 a.m.and 4 p.m. on these leases.
3. QUAIL HUNTERS MUST NOT ARRIVE ON THE LEASE BEFORE 9 A.M. ANDMUST HAVE DEPARTED PRIOR TO 4 P.M. OR ETHICS VIOLATIONS CAN BEFILED.
4. You must book for deer hunting and you must also book for quail hunting ifyou are going to hunt both species of game on the same actual property on thesame date. This will require the booking of both the quail and deer lease numbersfor the particular lease. It is the responsibility of the hunter to book the properlease number. Improperly booked hunts will result in rules violations. Do notbook a quail lease number and intend to deer hunt, etc.
5. Various combination leases will be closed to quail hunting during the deer rifleseason. If a lease does not appear on the website booking service, it is closed.Several leases in Texas and Kansas will be closed during the season by contractwith the landowner to allow for the landowner to have deer hunters present.
6. For safety reasons, check to see if someone else is hunting the lease at thesame time you intend to hunt and know where they are going to be on the lease.A deer hunter could be hunting early morning and later be quail hunting on thesame lease.
Duck Hunting Rules
A. Blind Selection/Utilization
a. All Oklahoma State and Federal waterfowl hunting rules apply
b. If applicable, duck blinds will NOT be permanently assigned
c. Standard lease booking rules apply (need to refine this but basically no hunting
more than two days in a row)
d. All associate passes are valid when booking duck leases
e. Associates must hunt with their respective hunt club member
f. Maximum number of hunters is limited to no more than three (3) hunters. This will
NOT be exceeded for any reason
g. Upon completion of a hunt, remove all items including decoys, chairs/stools,
portable blinds, empty shotgun hulls, trash
h. Do not clean birds on the premises
B. Hunting Schedule
a. Multiple studies have shown birds must be given an adequate opportunity to feed
and rest, free of pressure. They learn the rules real fast. By cutting off shooting at
a certain time, they’ll show up shortly after to eat and relax. This will aid in
keeping them using the field. By regulating shooting pressure, we will help to
ensure waterfowl presence throughout the entire season.

b. All shooting must cease and all hunters are to vacate the premises as soon as
possible after the conclusion of each hunt.
c. During non-hunting days, no member may be on the lease.
d. NO MEMBER WILL BE ALLOWED ON THE PROPERTIES AFTER 12:00
NOON, starting one week before the opening of any waterfowl season and
lasting through the waterfowl season.
BY-LAWS
of
EDMOND SPORTSMEN’S CLUB, LTD.
ARTICLE I- NAME
The name of this organization shall be the Edmond
Sportsmen’s Club, Ltd.
ARTICLE II- PURPOSES
The purposes for which this Corporation is formed are
as follows: This is a nonprofit corporation organized and
operated exclusively for the charitable, scientific,
literary, recreational and educational purposes of
encouraging, promoting, fostering and providing for the following:
(1) The propagation, preservation, protection and conservation of game birds, water fowl, fish and
wildlife;
(2) The establishment, recognition, development and display of those characteristics of honesty,
skill, good fellowship, self-discipline, team
play and self-reliance which are the essentials of good sportsmanship;
(3) The establishment, development, preservation, protection of and participation in hunting,
fishing, skeet shooting, trap shooting, rifle
shooting, pistol shooting, bait casting, boating
and other lawful sports;
(4) The acquisition by the Corporation by purchase, deed, gift, will, bequest, lease, devise, or otherwise, both real and personal property, and
to hold, improve, encumber, manage, sell, lease,
sublease and otherwise dispose of the same, and
to transact all business necessary, proper,
advisable, desirable, or convenient in carrying
out the purposes of this Corporation.
ARTICLE III - MEMBERSHIP
Any citizen of the United States 21 years of age or older may
become a member of this organization by vote of the Board of
Directors and upon payment of the membership fee and first years’ dues.
ARTICLE IV - CLASSES OF MEMBERSHIP
The classifications of membership in the Edmond Sportsmen’s Club, Ltd., shall be as follows:
(a) Founding Member. All qualified applicants may become Founding Members of the Edmond Sportsmen’s Club, Ltd. upon
payment of the membership fee of $175.00 and the first year’s
dues. Applications for Founding Members shall be accepted until June 30, 1985, thereafter, no further applications for this
class of membership shall be accepted. All founding members
shall be entitled to vote at all meetings of the Edmond
Sportsmen’s Club, Ltd. All Founding Members shall be entitled to
membership in a special club, as hereinafter defined, of their
choice and shall not be required to pay more than 50% of the
yearly special assessment for such Special Club. This reduced
rate for one Special Club shall not be subject to amendment. The
membership fee shall include the first year’s discounted special
assessment for the special club selected by the member. Any
member of a Founding Member’s immediate household shall be
entitled to all privileges attributable to this class of membership including the Special Club, selected by the Founding
Member in whose name the membership is issued.
(b) Charter Member: All qualified applicants may become Charter Members of the Edmond Sportsmen’s Club, Ltd. upon payment of the
membership fee of $250.00 and the first year’s dues. Applications
for Charter members shall be accepted from July 1, 1985 through June 30, 1986. All charter members shall be entitled to vote at
all meetings of the Edmond Sportsmen’s Club, Ltd. All Charter
Members shall be entitled to membership in one Special Club, as
hereinafter defined, of their choice and shall not be required
to pay more than 75% of the yearly special assessment of such
special club. This reduced rate for one Special Club shall not be subject to amendment. The membership fee shall include the
first year’s discounted special assessment for the special club
selected by the member. Any member of a Charter Member’s
immediate household shall be entitled to all privileges
attributable to this class of membership as selected by the
Charter Member in whose name the membership is issued.
(c) Member: All qualified applicants may be accepted as members of the Edmond Sportsmen’s Club, Ltd. upon payment of the current
membership fee and first year’s dues. Members of this class shall
be entitled to vote at all meetings of the Edmond Sportsmen’s
Club, Ltd. Only the member in whose name the membership is
issued and his or her spouse and dependent children shall be entitled to use the club facilities with membership privileges.
(d) Hunting Club Membership: Any member of the Edmond Sportsmen’s Club, Ltd., whether a Founding Member, Charter Member
or Member shall be entitled to apply for membership in the
Hunting Club created under these by-laws.
(e) Special Membership Class: By vote, the Board of Directors may establish a special membership class to address specific
situations as the may occur.
(f) Associate Membership: Any member of the Edmond Sportsmen’s Club, LTD., Hunting Club shall be entitled to sponsor one (1)
Associate Membership. Seven Associate Memberships will be issued for the 1991-92 hunting season through October 15, 1991 on a
first come, first serve basis at an annual fee of not less than $500.00 each. Any memberships remaining after October 15, 1991
will be issued at $750.00 each for the 1991-92 hunting season.
The annual fee and number of Associate Memberships shall be
reviewed annually by the Board of Directors and adjusted accordingly, but not more often than once each year. Associate
Membership fees shall be used to purchase additional hunting leases.
Each Associate Membership shall entitle the sponsor to bring one
guest daily for the purpose of upland game bird and or deer
hunting on the leases of the Edmond Sportsmen’s Club, LTD. All
Associate Memberships shall be subject to the following
provisions.
(1) Each guest shall be the responsibility of the sponsor and must be accompanied by the sponsor at all times. Guests must
abide by all Federal and State laws as well as all rules of the
Edmond Sportsmen’s Club, LTD., including all special lease
provisions.
(2) All guests must be registered by name at the time a hunt is booked. Only sponsors may book a hunt.
(3) No guests shall be booked for “Opening Day” hunts.
(4) Associate Memberships carry no voting privileges.
(5) Sponsors are responsible for the actions of their guests and if infractions occur, sponsors will be subject to penalties
recommended by the Ethics Committee of the Edmond Sportsmen’s
Club, LTD., which may include revocation of the Associate
Membership and/or the Sponsor’s Membership.
ARTICLE V - DUES
(a) The member’s annual dues to the club shall be $30.00 dollars payable not later than April 1st of each year. Dues shall be
reviewed annually by the Board of Directors and adjusted
accordingly by vote of the membership.
(b) No member of the club in arrears shall be eligible to vote or to enjoy any of the privileges or benefits offered by the
club.
ARTICLE VI - MEETINGS
(a) Annual Meeting: The annual meeting of the club shall be held during the month March in each year for the purpose of electing
officers and directors. If the annual meeting shall not take
place at the time fixed, it shall be held within a reasonable
time thereafter, and the officers shall hold over until their successors shall have been elected. The president shall report
to the membership the status of the club and shall preside at
such meeting.
(b) Board of Directors Meetings: A meeting of the Board of
Directors for the transaction of ordinary business shall be held
monthly at a time and place to be decided by the Board of
Directors and posted on the Club’s Web page.
(c) Special Meeting: A special meeting of the club may be held at any time upon the call of the President or upon the call of
the Board of Directors, or upon demand in writing, stating the
object of the proposed meeting, and signed by not less than 20%
of the members entitled to vote. Notice of the time, place and
object of any special meeting shall be posted on the Club’s Web
page and or given all officers and members in good standing in
writing by United States mail not less than seven days prior to the date fixed for the holding of the meeting. The place of such
special meeting shall be fixed by the President.
(d) Quorum: Defined as members present and votes received by
mail, E-mail or absentee ballot.
ARTICLE VII - OFFICERS
(a) The existing officers of the Edmond Sportsmen’s Club, Ltd. as
named below shall remain in office until the first annual meeting of the club in 1986 at which time they may be re-elected or new officers elected as hereinafter provided. The initial
officers of the Edmond Sportsmen’s Club are: President, Joe
Staley; President-Elect, Cliff Lyle; Secretary, Don Alley; Treasurer, Rick Smith. The President-Elect shall be President in 1986 and all other officers shall be elected in the manner
hereinafter set forth.
(b) The officers of this club shall be a President, President-Elect, Secretary, and Treasurer who along with the immediate
past President, shall constitute the Executive Committee. They shall be elected by a majority vote of the members in good
standing at the annual meeting of the club. They shall hold
office for two years, or until their successors are elected.
(c) The Executive Committee shall exercise such authority as granted by the Board of Directors over the activities of the
club and shall have the authority to enter into contracts. All contracts shall be approved by the Board of Directors prior to
execution by the Executive Committee.
(d) Resignation of any officer may be accepted by a majority vote of the remaining members of the Board of Directors.
(e) A vacancy in the Executive Committee may be filled by a majority vote of the Board of Directors. However, if more than
one vacancy exists a special meeting of the club shall be
called and new officers shall be elected to fill the vacancies
until the date of the next annual meeting as provided above.
ARTICLE VIII - DUTIES OF OFFICERS
(a) President. The President shall preside at all meetings of the club and of the Board of Directors. He shall be a member ex-officio of all regular and special committees, and shall
perform all such other duties as usually pertain to this office.
(b) President-Elect. The President-Elect shall perform the duties of the President in his absence or at his request and
shall become President when the current President leaves office.
(c) Secretary. The Secretary shall notify the members of The Board of Directors of all meetings and shall notify all members of special and annual meetings, as required in Article VI. The Secretary shall keep a true record of all meetings of the Board of Directors and of the club and have the custody of the books and papers of the club, except the Treasurer’s books of account and shall perform all such other duties as usually pertain to this office
(d) The Treasurer shall have charge of all funds of the club and place the same in such bank or banks as may be approved by the
Board of Directors. Such, money shall only be withdrawn by check for the payment of such bills as shall have been approved by the
Board of Directors or Executive Committee where necessary. The
Treasurer shall keep an accurate account of all his transactions
and render a detailed report with vouchers at any meeting of the
Board of Directors when requested and an annual report to the
organization at its annual meeting. The Treasurer shall collect
membership fees and first year’s dues from prospective members upon certification of qualification by the Membership Committee
and shall certify to the Secretary the receipt of same. The
Treasurer shall be responsible for the maintenance of membership
records and issuance of membership identification cards.
ARTICLE IX - BOARD OF DIRECTORS
(a) The existing directors of the Edmond Sportsmen’s Club, Ltd. as named below shall remain in office until the first annual
meeting of the club in 1986 at which time they may be re-
elected or new directors elected as hereinafter provided. The initial directors of the Edmond Sportsmen’s Club are: Al Baker,
Joe Brooks, J. D. Colbert, Robert Houseman, John Keller,
Richard Prouty, J. Randall Robinson, Ellis Nunn and Carl
Catania.
(b) The Board of Directors shall be composed of the officers and nine directors of the club, elected by majority vote of the membership at the annual meeting in the manner hereinafter set
forth. The initial Board of Directors to be elected at the
First Annual Meeting shall be composed of three Directors to
serve for a term of three years each; three Directors to serve
for a term of two years each and three Directors to serve for a
term of one year each. Thereafter, three Directors shall be elected, at each annual meeting to serve for a term of three
years each. However, should any director leave office during
his term, The Board of Directors shall appoint a replacement.
(c) The duties of the Board of Directors shall be to see that the purposes for which the Edmond Sportsmen’s Club, Ltd. was
formed are effectuated and shall be responsible for the general
management of the Club. The Board shall plan the activities and future development of the club and set such managerial policies
as are deemed necessary.
(d) The Board of Directors shall approve all contracts which obligate the club.
(e) The Board of Directors shall form such committees as it deems necessary to promote the purposes for which the club was
formed and to explore methods to increase the benefits of
membership in the club for the members. The President shall
nominate an individual to serve as committee chairman which
nominee shall be approved by majority vote of the Board of
Directors. Any committee chairman may be removed by majority
vote of the Board of Directors. The initial committees shall be
as follows:
1. Hunting 2. Fishing 3. Membership 4. Ethics 5. Habitat 6. Lease
(f) Each committee shall be responsible for promulgating rules and regulations for the use of club facilities within the
committee’s specific area of interest. Such rules shall be
submitted to the Board of Directors for approval and the
Executive Committee shall enforce such rules.
(g) The Ethics Committee shall be chaired by the President Elect who shall convene his committee as necessary.
(h) Any officer or director who fails to attend three consecutive Board of Directors meetings without good cause
shall be replaced. The Secretary or other officer shall notify
the Board of the attendance record of the officer in question
and the reasons if given for that person’s failure to attend.
The Board shall determine whether the officer or director shall be removed or allowed to continue. Such officer or director
shall only be removed by majority vote of the Board of
Directors.
ARTICLE X - SUSPENSION OR EXPULSION
(a) Any officer may be removed by a two thirds vote of the members in good standing present at any special meeting called
for this purpose. No vote on suspension or removal may be taken
unless at least thirty days’ notice in writing by certified mail shall have been given to the officer of the reasons for his
removal and of the time and place of the special meeting at
which such vote on his removal is to be taken. At such special
meeting the officer shall be given a full hearing. This
paragraph shall not affect the power of the Board of Directors
to remove an officer for failure to attend three consecutive regular meetings as set forth in Article IX (h).
(b) Any member may be suspended or expelled from the club for any cause deemed sufficient by the Board of Directors by a two
thirds affirmative vote of the members of the Board of Directors
present at any regular or special meeting of the Board of
Directors. No vote on expulsion may be taken unless at least
thirty days’ notice by certified mail shall have been given to the member of the charges preferred and of the time and place of the
meeting of The Board of Directors at which such charges wil1
be considered. At such meeting the member under charges will be
accorded a full hearing. Any member may be temporarily suspended
without prior notice by a majority vote of the directors.
(c) Charges against any officer or member may be preferred by
any member in good standing. They shall be in writing clearly stating the facts relied upon and accompanied by all affidavits
or exhibits which are to be used in their support. Such charges
shall be filed with the Ethics Committee Chairman, who will
immediately notify the President. The President will call a
meeting of the Board of Directors to hear the charges. The
Secretary will give at least fifteen days’ notice by certified mail of the meeting to each member of the Board of Directors and
to the accuser, which notice shall be in writing and will
provide a true copy of the charges and of the supporting
affidavits and a list of exhibits.
(d) Any member suspended or expelled by the Board of Directors may appeal to the full membership of The Club. Such appeal shall
be made in writing to the Ethics Committee Chairman who will
notify the President. The President will call a special meeting
of The Club for the purpose of acting on the appeal. The
Secretary shall give at least fifteen days’ notice in writing to all members of the club in good standing stating the date, time
and place, and reason for such special meeting. At the meeting
of the full club the Secretary will read the original charges,
the supporting affidavits, and will read or display the
accompanying exhibits, and will read the minutes of the special
meeting of the Board of Directors at which the charges were
heard and action taken. A full hearing will be given the accuser
and the accused. A vote will be taken by ballot of the members
in good standing present and a two-thirds vote shall be required to reverse the action of the Board of Directors.
(e) Any member who is expelled from the club shall forfeit all membership fees, special club assessments and dues previously
paid.
(f) The following shall be grounds for suspension or expulsion from membership:
(1) Disregard for the safety of others,
(2) Failure to pay dues,
(3) Violations of the rules of the club,
(4) Violation of any state or federal fish and game laws,
(5) Any action deemed a violation of club ethics.
ARTICLE XI - INDEMNIFICATION
(a) The Edmond Sportsmen’s Club, Ltd. (hereinafter “the club”) shall indemnify any person who was or is a party or is
threatened to be made a party to any threatened, pending or
completed action, suit or proceeding, whether civil, criminal,
administrative or investigative (other than action by or in the
right of the club) by reason of the fact that he is or was a
director, officer, employee or agent of the, club, or is or was serving at the request of the club as a director, officer,
employee or agent of another corporation, partnership, joint
venture, trust or other enterprise, against expenses (including
attorneys’ fees), judgments, fines and amounts paid in settlement actually and reasonably incurred by him in connection with such
action, suit or proceeding if he acted in good faith and in a manner he reasonably believed to be in or not opposed to the
best interests of the club, and, with respect to any criminal
action or proceeding, had no reasonable cause to believe his
conduct was unlawful. The termination of any action, suit or
proceeding by judgment, order, settlement, conviction, or upon a
plea of nolo contendere or its equivalent shall not, of itself, create a presumption that the person did not act in good faith
and in a manner which he reasonably believed to be in or not opposed to the best interests of the club, and, with respect to
any criminal action or proceeding, had reasonable cause to
believe that his conduct was unlawful.
(b) The club shall indemnify any person who was or is a party or is threatened to be made a party to any threatened, pending or completed action or suit by or in the right of the club to
procure a judgment in its favor by reason of the fact that he is
or was a director, officer, employee or agent of the club, or is
or was serving at the request of the club as a director,
officer, employee or agent of another corporation, partnership,
joint venture, trust or other enterprise against expenses (including attorneys’ fees) actually and reasonably incurred by him in connection with the defense or settlement of such action
or suit if he acted in good faith and in a manner he reasonably
believed to be in or not opposed to the best interests of the
club and except that no indemnification shall be made in respect
of any claim, issue or matter as to which such person shall have been adjudged to be liable for negligence or misconduct in the
performance of his duty to the club unless and only to the
extent that the district court or the court in which such action
or suit was brought shall determine upon application that,
despite the adjudication of liability but in view of all the
circumstances of the case, such person is fairly and reasonably entitled to indemnity for such expenses which the district court
or such other court shall deem proper.
(c) To the extent that a director, officer, employee or agent of the club has been successful on the merits or otherwise in
defense of any action, suit or proceeding referred to in
subsections (a) and (b), or in defense of any claim, issue or
matter therein, he shall be indemnified against expenses
(including attorneys’ fees) actually and reasonably incurred by him in connection therewith.
(d) Any indemnification under subsections (a) and (b) (unless ordered by a court) shall be made by the club only as authorized in the specific case upon a determination that indemnification
of the director, officer, employee or agent is proper in the
circumstances because he has met the applicable standard of
conduct set forth in subsections (a) and (b). Such
determinations shall be made (1) by the board of directors by a
majority vote of a quorum consisting of directors who were not parties to such action, suit or proceeding, (2) if such a quorum
is not obtainable, or, even if obtainable a quorum of
disinterested directors so directs, by independent legal counsel
in a written opinion, or (3) by the members.
(e) Expenses incurred in defending a civil or criminal action, suit or proceeding may be paid by the club in advance of the
final disposition of such action, suit or Proceeding as
authorized by the board of directors in the specific case upon
the receipt of an undertaking by or on behalf of the director, officer, employee or agent to repay such amount unless it shall
ultimately be determined that he is entitled to be indemnified
by the club as authorized in this section.
(f) The indemnification provided by this section shall not be deemed exclusive of any other rights to which those seeking
indemnification may be entitled under any bylaw, agreement, vote
of members or disinterested directors or otherwise, both as to action in his official capacity and as to action in another
capacity while holding such office, and shall continue as to a
person who has ceased to be a director, officer, employee or
agent and shall inure to the benefit of the heirs, executors and
administrators of such a person.
(g) The club shall have power to purchase and maintain insurance on behalf of any person who is or was a director, officer,
employee or agent of the club, or is or was serving at the
request of the club as a director, officer, employee or agent of
another corporation, partnership, joint venture, trust or other
enterprise against any liability asserted against him and
incurred by him in any such capacity, or arising out of his
status as such, whether or not the club would have the power to
indemnify him against such liability under the provisions of
this section.
ARTICLE XII - AMENDMENTS
Any proposed Amendments of these by-laws may be introduced by
any voting member of the club at any regular meeting or special
meeting called for the purpose. Provided, however, any such
proposed amendment must be sent to each club member by United
States mail at least fifteen days previous to the meeting and
the secretary shall certify that all members were sent a copy of the proposed amendment. The member proposing such amendment
shall be responsible for the costs of mailing and preparation of
the proposal unless such proposal shall be submitted by the
Board of Directors in which case the club shall bear such
expense. Members may vote on the proposed amendment by return
mail received, not less than three days prior to the meeting at which the proposal will be considered and a two-thirds vote of the voting members shall be necessary to approve such amendment
whether such votes be cast by mail or by those in attendance at
the meeting
