1.0 Welcome

Welcome to GPDA 2015!

Last year marked an exciting year for the program; we made some significant changes in order

to better align with what you, our members, are really looking for in this association. After a

successful inaugural year of the new format, we are very excited about continuing to raise the

bar and bring our partnership into the future.

As an independent dealer and a member of GPDA you can expect the highest dedication from

the Xylem team. Together with our distribution network, we are here to work with you to ensure

that not only does the Goulds Water Technology brand maintain its reputation for quality and

excellence, but that you are able to more easily achieve your objectives for your business.

Through the many benefits provided to you in this association - tools, training, and rewards, to

name a few - you can expect to rely on the GPDA throughout the year to help you succeed.

Many of you are long-time members - thank you for your commitment and continued support.

2.0 Overview of Program and BenefitsThe Goulds Water Technology Professional Dealers Association (GPDA) is a program offered to qualified dealers in support of their business and to reward their loyalty to the Goulds Water Technology brand. To qualify for membership a minimum purchase of three (3) pumps is required. This minimum purchase will earn a welcome gift and eligibility for an extended warranty on select products.

To maintain membership in the GPDA, a member must remain in Good Standing which means the member must abide by the Internet Sales Policy as well as any other policies. Xylem reserves the right to update this and any other policy at its sole discretion. The Internet Sales Policy prohibits sales through the internet as outlined in its entirety below:

Internet Sales Policy Marketing and information exchange regarding Xylem products is allowed through the internet. Conducting sales transactions through the internet is NOT allowed. This type of marketing and selling ensures the type of product support, including proper installation, that needs to go along with the sale of Xylem products covered in the GPDA. Xylem reserves the right to exercise enforcement, including revoking GPDA membership, of any member that sells Xylem products directly to end users through the internet.

2.1 Points & StatusIf one elects to participate, the association provides benefits in addition to the welcome gift and extended warranty in correlation to a member’s status. Status is

based on three levels and is achieved through earning points by purchasing Goulds Water Technology products or participating in select point-earning activities. Detailed information on how to achieve each level can be found in Figure 1.0. Detailed information on how to earn points through product purchases can be found in Figure 1.1. Point-earning activities are identified upon promotion of each activity throughout the year.

Points and status are tracked through our electronic registration tools, available for mobile devices as well as online. Members must have access to these tools, either directly or through their participating distributor, in order to achieve status in the program and take advantage of these additional benefits.

Once a status is achieved the member will maintain that status for the remainder of the calendar year and the entire subsequent calendar year, as long as they make the minimum qualifying purchase in the subsequent year and remain in good standing. For example, if a member earns 40,000 points and reaches Bronze status in June of 2015, that member will keep Bronze status for the remainder of 2015 and all of 2016, as long as they maintain their membership with the minimum qualifying purchase in 2016. That same member would then have to earn at least 40,000 points in 2016 to keep Bronze status in 2017, and so on.

Points used to calculate status levels are reset every January 1st.

2.2 Benefit DescriptionsAll benefits are described below. Refer to Figure 1.2 for details on which benefits are available to which status levels.

Extended Warranty – The warranty on eligible products is extended exclusively for members. Warranty can be retained by the member or passed on as value added packages to end users to increase sales.

Membership Plaque – A plaque is provided with available spaces to showcase the longevity of one’s membership. Plaque provided in the first year, thereafter a year bar will be provided to add to the plaque upon membership renewal.

Customer Referrals – Members are listed on the Goulds Water Technology website in a search function that allows consumers who come to the manufacturer’s site to find and identify the GPDA dealer closest to them.

Annual Dealer Event – Hosted by the distribution network, an annual event combining news, training and networking.

Educational Support – Up to (14) $1,000 scholarships are available to dependents of members and members’ employees.

Rewards Program – Various rewards are provided upon registering eligible purchases and activities through the mobile app or website.

eNewsletter – Electronic newsletter with the latest product and company news, as well as business tools, tips and resources, short stories, and other relevant content to encourage and enable a successful partnership.

Members-only website – This exclusive online resource center provides easy access to all of the benefits of membership and appropriate content to aid in members’ overall business efforts.

First Access to New Product Information – Through the eNewsletter and exclusive, members-only website, members receive first access to new product information to remain on the cutting edge and have a leg-up on members’ competition.

On-demand training Videos – Access to on-demand training videos through the members-only website and Mobile Toolkit.

Goulds Water Technology Brand Asset Toolkit – Helpful web content (i.e. optimized product descriptions, photos, etc.) that can be used to populate a member’s website.

Access to Homeowner-focused Sales Tools – Access to materials developed specifically in regards to the homeowner.

Mobile Toolkit – All the materials available through membership in one centralized location that is optimized for access via mobile devices.

MyAdExpress – Tool with templates of ads and marketing materials that can be easily customized with member business information and used electronically or for printing.

Loaner Program – Access to borrow from Xylem’s inventory of Goulds Water Technology display equipment.

Local PR Support – Localized public relations support to earn coverage for members’ businesses, events or promotions.

3.0 Benefit PoliciesDue to the nature of the benefit or the way in which the benefit is managed by Xylem, some benefits require internet access and the use of an email address. Upon providing an email address to Xylem for use in GPDA, members consent to being contacted by Xylem via email for any and all communications related to the program and their membership. Other communication preferences can be updated in the member’s profile on the members-only website.

3.1 Extended WarrantyStandard vs. Extended WarrantyFor a complete and full statement of the warranty refer to the product literature or gpda.info. Xylem reserves the right to change the warranty in our sole discretion. The difference between the standard warranty and the extended warranty available exclusively to members is outlined below. Reference Figure 2.0 for an overview of the warranty periods.

In residential applications, 4” Goulds Water Technology submersible pumps (½ – 7½ HP) with CentriPro motors and CentriPro Control Boxes have a Standard Warranty of 3 years from installation or 42 months from date code for manufacturer’s defects. The Extended

Warranty offers GPDA dealers 5 years from installation or 60 months from date code.

Aquavar SOLO VFD controllers, have a Standard Warranty of 2 years from installation or 30 months from date code with an Extended Warranty of 3 years from installation and 42 months from date code.

Goulds Water Technology submersible sump, effluent, and sewage pumps, and CentriPro® controls, have a Standard Warranty of one year from installation or 18 months from date code for manufacturer’s defects. The Extended Warranty is 3 years from installation and 42 months from date code for Premium Products and 2 years from installation and 30 months from date code on Standard Products in residential applications.

How Does It Work?To receive the extended warranty a member simply:

1. Services the customer

2. Replaces the pump, motor or controller

3. Returns the defective product to their distributor

(Optional) Extended Warranty can be sold to customersMembers may choose to sell a “product only” or “product and labor coverage” Protection Plan to residential customers, or include it free as part of their value-added package. This Protection Plan is a contract between the GPDA member and customer. The Extended Warranty from the manufacturer is to the

GPDA dealer only. As any protection plan is a contract between the member and the customer, and not underwritten by the manufacturer, the member creates and manages any and all documentation required.

For the convenience of GPDA members, certificates outlining a sample Protection Plan are available online. For blank copies visit gpda.info and download the PDF versions. To print a certificate with specific details filled in, visit ecom.xyleminc.com. To use this option members must log into their ecom account, click on “Dealer Extended Warranty Option” and enter the information as indicated on the screen. Aside from “certificate type,” all fields are optional. No validity checking is done. After entering the data members click “create new” to view a screen with the created Protection Plan and have the option of clicking “printable form” to access a printer-friendly version.

While online at ecom.xyleminc.com members have access to a secure database to store Protection Plan installation information for access at their convenience. This database is for documentation retrieval only and does not constitute any contracts with the manufacturers of the product listed.

Figure 2.1 and Figure 2.2 illustrate sample Protection Plan certificates. Use of these certificates is for information only and does not constitute manufacturer involvement in Protection Plans. Any Protection Plans provided are solely between the member dealer and their respective customer. The Extended Warranty from the manufacturer is to the GPDA dealer only.

Frequently Asked Questions about the Extended WarrantyWhat product does the Warranty cover?

» All 4” Goulds Water Technology submersible pumps, ½ – 7½ HP, with CentriPro motors and CentriPro controls in residential applications. ½ – 7½ HP CentriPro motors must be installed with Goulds Water Technology water ends and with CentriPro Aquavar Solo™ controllers or CentriPro control boxes to qualify. CentriPro Aquavar Solo™ controllers must be installed with Goulds Water Technology water ends and 4” CentriPro motors to be eligible. Premium Submersible Wastewater Products: 3885, 3886 and 3887 are covered under the 3-year extended warranty. Standard Submersible Wastewater Products: All other sump, effluent and sewage products are covered under the 2-year extended warranty.

What does the Warranty cover? » Goulds Water Technology Warranty covers

manufacturing defects only; labor is not covered.

Do I have to be a GPDA dealer to qualify for the Extended Warranty?

» Yes. You must be registered in GPDA within the year of installation and registered every year between installation and failure.

How much is the optional Protection Plan worth? » Members determine the value based on their

contract with the customer and the current regional market value of the product and services provided by the member in the Protection Plan. A Protection Plan is a contract between the GPDA member who installs the product and the purchaser; it is not underwritten by the manufacturer in any way.

Does Goulds Water Technology pay labor for failures that occur within the Warranty period?

» No. Goulds Water Technology’s Standard and Extended Warranty cover product replacement only.

What are the limitations? » The Goulds Water Technology Warranty covers

4” Goulds submersible pumps, ½ – 7½ HP, with CentriPro motors and CentriPro controls from manufacturer’s defects. The Goulds Water Technology Warranty also covers specified standard and premium products from manufacturer’s defects. Other system components or consequential damages are not covered. Misuse and labor are not covered. Installations other than residential are not covered.

Are other system components covered? » No. The Warranty covers replacing the Goulds

Water Technology pumps, CentriPro motors and CentriPro controls only.

Will Goulds Water Technology honor warranties direct to the purchaser?

» No. The Warranty is to the GPDA member dealer only. If used, the optional purchaser’s Protection Plan is a contract between the purchaser and the dealer who installed the system and is not underwritten by the manufacturer.

3.2 Customer ReferralsConsumers today are doing more and more via the internet and mobile devices. When a consumer visits the Goulds Water Technology manufacturer’s website looking for information all inquiries are referred to the appropriate member for follow-up. If a consumer calls, the manufacturer’s customer service department refers them to the closest GPDA dealer to them. If more than one dealer is in the caller’s area the customer service team gives them all the listings.

If a member opts to include an email address for leads in his/her member profile on gpda.info then the consumer also has the option of contacting the dealer directly via our website to get more information. Leads obtained this way are sent to the dealer via email only.

To receive referrals members must provide current contact information.

3.3 Educational SupportXylem awards up to fourteen $1,000 scholarships to dependents of GPDA member dealers and their employees. Applicants must currently be high school seniors intending to start a two- or four-year college, vocational, technical or trade school program. Completed applications must be accompanied by copy of the student’s high school transcript, including class rank and SAT/ACT scores where applicable. Applications can be found online at gpda.info.

Applications must be submitted online by June 1, 2015. Incomplete applications or those submitted by any means other than the online application form will not be considered.

3.4 Rewards ProgramGPDA members can redeem points earned towards status for reward items. As purchases are registered, the corresponding number of points is added to the member’s account. Upon obtaining enough points to select a reward, the reward becomes available to the member through the mobile registration application and in their account on the GPDA members-only website. If the member wishes to redeem the number of points specified for one of the qualifying rewards, a selection is made, the points are deducted from the member’s account, and the reward is sent.

Members reserve the right to bank their points in an effort to earn higher-level rewards at their sole discretion. Status is calculated based on points earned in the current calendar year and therefore redeeming points does not have an effect on status levels. Members earn points during the calendar year (Jan. 1 - Dec. 31) and can redeem those points for rewards until Jan 31st of the following year. Any points that are not redeemed for rewards by January 31, 2016 are forfeited and the member will not receive any compensation for unused points.

Points have no monetary value and cannot be redeemed for cash or product credit.

Xylem reserves the right to make changes at any time and without prior notice. The most up-to-date listing of available rewards and their corresponding point value can be found on the members-only website, gpda.info.

(Optional) Xylem Stock Purchase Plan RewardOne of the rewards available through the Rewards Program is the Xylem Stock Purchase Plan. Depending on the number of points redeemed, members may elect to receive one or more shares of Xylem Inc. (XYL) common stock as their reward. This reward is available to U.S. dealers only.

In order to receive this reward, members will be required to complete certification paperwork which includes providing complete contact information, including a phone number and an email address, as well as their complete social security number.

Shareholder InformationTo improve communications between companies and their shareholders, the Securities and Exchange Commission has adopted Rule 14b-1(c) which allows companies to communicate directly with non-objecting beneficial owners. Under this Rule, unless you object, Wells Fargo will be required to provide your name, address and share balance to the company whose security you own. The Rule prohibits companies from using this information for any purpose other than communicating directly with non-objecting beneficial owners.

Members must notify us in writing to object to the disclosure of this information.

Account StatementsIf Xylem pays a dividend, a summary account statement showing all year-to-date transactions will be mailed by Wells Fargo to each Participant as soon as practicable following each dividend payment date. If no dividends are paid by Xylem, a summary account statement showing all year-to-date transaction activity will be mailed to Participants on an annual basis, usually in January, reflecting the preceding year’s activity. Participants may also request a statement for their

account at any time by calling Wells Fargo’s toll-free number or by viewing their account online directly from Wells Fargo’s website at www.shareowneronline.com. Participants should retain these statements for their records.

Corporate Actions, Distribution of Stock Dividends/Stock SplitsAny share dividends or split shares distributed by Xylem on shares that are held in a Plan account will be added to the Participant’s existing Plan account. This will include all whole and fractional shares. In addition, any share dividends or split shares distributed on participating shares that are not held in a Plan account but are registered in the name of the Participant will also be added to the Participant’s existing Plan account.

Tax ReportingGenerally, Wells Fargo is required to report to both the Participant and the U.S. Internal Revenue Service information regarding dividend amounts paid by Xylem as well as any proceeds a Participant received from the sale of the shares, rights or other securities. The tax consequences of participating in the Plan can vary depending on each Participant’s tax situation. Accordingly, each Participant is responsible for determining the tax effect of Plan participation and should consult with their tax advisor with respect to the current and proposed federal, state, local, foreign and other tax laws.

LiabilityNeither Xylem nor Wells Fargo will be liable for any losses or liability howsoever incurred by Participants arising from, related to or in connection with the administration of the Plan or actions or non-actions with respect to the Plan (including by way of example and not by way of limitation any losses or claim of liability arising from (i) the failure to terminate a Participant’s account, sell shares in the Plan or invest optional cash investments or dividends without prior receipt of proper documentation and instructions; (ii) the prices at which shares are purchased or sold for the Participant’s account, the timing of such purchases and sales, and the fluctuation of prices of the shares (a) between the receipt of cash or dividends for investment and such

investment, (b) between the receipt of instructions to sell and such sale and (c) after the purchase and sale of shares, and (iii) the transfer of shares from Participant’s account to a broker pursuant to the Profile Program of The Depository Trust Company) except for such losses and liabilities caused by the gross negligence or willful misconduct of Wells Fargo or Xylem and Participant shall indemnify and hold harmless Wells Fargo or Xylem from all losses and liabilities incurred by Wells Fargo or Xylem (including losses and liabilities arising from disputes with Participant) other than those caused by Wells Fargo’s or Xylem’s gross negligence or willful misconduct. In no event shall Wells Fargo or Xylem be liable for special, consequential or punitive damages (other than those caused by their gross negligence or willful misconduct) or losses due to forces beyond its control (including by way of example and not by way of limitation strikes, work stoppages, acts of war or terrorism, insurrection, revolution, nuclear or natural catastrophes or acts of God, and interruptions, loss or malfunctions of utilities, communications or computer (software and hardware services)).

Xylem and Wells Fargo reserve the right to modify the Plan including the right to terminate the Plan upon notice to Plan Participants. In addition, Xylem and Wells Fargo reserve the right to interpret and regulate the Plan as it deems necessary or desirable in connection with its operation.

3.5 MyAdExpressMembers who qualify for Bronze status receive access to the Goulds Water Technology MyAdExpress tool. This tool provides the capability to customize marketing collateral with the member’s business information, including any business logo, and then download electronic copies of the customized materials and/or submit an order for commercial printing. Note: Xylem does not cover the cost of printing any materials created using this tool. The availability of using Xylem’s commercial printer does not constitute agreement to pay printing costs in whole or in part.

3.6 Loaner ProgramMembers who qualify for Bronze status receive access to the Goulds Water Technology Loaner Program. This program allows for members to borrow display equipment and materials from the Goulds Water Technology inventory and use it during their presence at events. Members work with their GWT Sales Manager to request use of materials and confirm availability of materials for the dates requested.

There is no rental fee to borrow the materials. Xylem covers the cost of shipping materials to the member at the specified location. The member is then responsible for any and all costs associated with returning the materials to Xylem’s storage facility.

Here’s how it works.1. Member reviews the inventory of items in the loaner

program and decides what they need

2. Member contacts their local Goulds Water Technology sales manager and places a request to borrow those items.

3. The GWT sales manager will confirm if the items are available for the requested time and, if so, place the order.

4. Xylem arranges and pays to ship the items to the member at the location specified.

5. Upon receipt, the member is responsible for taking care of the items. Members will be held liable for any damage to equipment and materials occurring during rental.

6. When finished, the member arranges and pays for return shipment of the items to the specified Xylem storage facility.

A credit card authorization may be required upon rental but will not be charged unless (a) the equipment/materials are not returned or are returned with missing items, or (b) the items are returned damaged. Upon either of the two instances above the member will be charged for the cost of repair or replacement of the affected item(s).

UPDATE YOUR PROFILE: This information is pre-populated into customizable marketing materials, so you’ll want to make sure it’s accurate before creating a custom piece.

UPLOAD YOUR LOGO: Each customizable document includes a space to insert your logo. This logo must be uploaded into your My Uploads folder, located in the My Content section of the site.

LOCATE THE ASSETS: Click on the Asset Library link in the main navigation. Select a folder on the left (highlighted in the graphic) to locate and preview the assets before you download.
