2. PROJECT BACKGROUND a) Location of Delivery 

Delivery of construction materials and supplies to be FOB to either the:   PWSAC Anchorage Distribution Center   6148 Neilsen Way   Anchorage, Alaska 99518 

         or 

  Lynden Transport   202 Industry Road   Cordova, Alaska 99574  

Deliver of construction equipment to be loaded on PWSAC’s landing Craft to be FOB to either the: 

  North Fill Boat Ramp   Cordova, Alaska         or   Smitty’s Cove Boat Ramp   Whittier, Alaska    

b) Budget PWSAC  has  not  established  a  Maximum  Allowable  Price  for  the  adult  salmon  fishway construction  and  accessories.   However,  to maximize  the  use  of  available  funds  and  provide overall  value,  Proposers  are  encouraged  to propose betterments  and  cost  efficiencies  to  the project.  

c) Completion Schedule Time  is of  the essence with  this project  as  the  adult pink  salmon will begin  to  return  to  the hatchery  in  late  July  and  the  egg  collection  period will  begin  in  late August.    Therefore,  the project schedule is as follows:   

Project Start Date: on or before June 1, 2014. 

Substantial Completion: by July 15, 2014, to avoid late penalties. 

Final Completion: by August 1, 2014, to avoid late penalties.  

3. PROCUREMENT PROCESS a) General 

PWSAC  has  elected  to  proceed  with  a  competitive  bid  process  with  an  open  invitation  to interested firms to submit proposals.

b) Method of Contracting PWSAC will  enter  into  an  Independent  Contractor Agreement with  the  successful  bidder.   A sample agreement is included within the RFP document.  The  successful  bidder  shall  submit  electronic  files  of  shop  drawings  of  the  material  to  be furnished.    Shop  drawings  shall  include  plans,  elevations,  sections,  and  details  of  metal fabrications  and  their  connections,  anchorage  and  accessory  items.   No work  shall  begin  on fabrications until PWSAC approves the shop drawings submitted.  

c) Selection Process and Schedule Proposals must be received not later than 4:00 p.m. (AKDT) on March 28, 2014, via email to the contact person below:

 Proposals  shall  be  evaluated  based  on  price,  responsiveness,  and  the  qualifications  of  the bidder.   Contracts will be awarded to the  lowest responsive and qualified bidder.   PWSAC will determine whether a bidder is qualified based on: 

a) The skill and experience demonstrated by the bidder in timely performing contracts of a similar nature; 

b) The bidder’s record for honesty and integrity; and c) The bidder’s capacity to perform  in terms of facilities, equipment, bonding, personnel, 

and financial capability. 

PWSAC will provide an Intent to Award statement to all of the responsive bidders no later than 1:00 p.m. (AKDT) on April 4, 2014.  PWSAC may reject all bids or proposals submitted for procurement if PWSAC determines it is in the best interest of the Corporation. 

 4. PROPOSAL REQUIREMENTS 

The Proposer shall submit the following: a) Cover Letter 

Identify the firm and provide a list of all professionals, and subcontractors (if applicable).  

b) References Provide a minimum of two (2) owner references from previous similar construction projects that the Proposer and its professionals have completed.  Include contact information for the project owners.  

c) Schedule  Provide a milestone schedule indicating the start and completion of the construction project.  

d) Price Proposal Proposals shall include a separate itemized amount for each of the major construction elements (i.e.  cement,  aggregate,  rebar,  excavation,  formwork,  pouring,  equipment  costs,  raceway accessories costs, etc.).

GENERAL STRUCTURAL NOTES

THESE NOTES SHALL APPLY UNLESS SHOWN/INDICATED OTHERWISE ELSEWHERE IN

THE STRUCTURAL DRAWINGS.

GENERAL

1. ALL MATERIALS AND CONSTRUCTION SHALL CONFORM TO THE 2009 EDITION OF

THE INTERNATIONAL BUILDING CODE (I.B.C.).

2. CONTRACTOR SHALL VERIFY ALL EXISTING CONDITIONS AND DIMENSIONS

BEFORE STARTING WORK. DIMENSIONS OF (E) CONSTRUCTION WHERE

SHOWN ON THESE DRAWINGS ARE NOMINAL AND SHOULD BE FIELD VERIFIED.

SHOULD CONDITIONS EXIST WHICH ARE CONTRARY TO THOSE SHOWN ON

PLANS, THE ENGINEER SHALL BE NOTIFIED IN WRITING BEFORE PROCEEDING

WITH WORK.

3. CONTRACTOR SHALL VERIFY ALL EXISTING CONDITIONS AND DIMENSIONS

BEFORE STARTING WORK. SHOULD CONDITIONS EXIST WHICH ARE

CONTRARY TO THOSE SHOWN ON PLANS, THE ENGINEER SHALL BE

NOTIFIED IN WRITING BEFORE PROCEEDING WITH WORK.

4. IT SHALL BE THE RESPONSIBILITY OF THE CONTRACTOR TO ENSURE THAT

ALL ITEMS OF WORK ARE ADEQUATELY BRACED AND SHORED DURING

CONSTRUCTION.

5. UNLESS DETAILED, SPECIFIED, OR INDICATED OTHERWISE, CONSTRUCTION

SHALL BE AS INDICATED IN THE APPLICABLE TYPICAL DETAILS AND THESE

GENERAL NOTES. TYPICAL DETAILS ARE MEANT TO APPLY EVEN THOUGH

NOT REFERENCED AT SPECIFIC LOCATIONS ON DRAWINGS WHERE THE OCCUR.

6. THE CONTRACT DRAWINGS AND SPECIFICATIONS REPRESENT THE FINISHED

STRUCTURE. THEY DO NOT INDICATE THE METHOD OF CONSTRUCTION. THE

CONTRACTOR SHALL PROVIDE ALL MEASURES NECESSARY TO PROTECT THE

STRUCTURE, WORKERS AND PEDESTRIANS DURING CONSTRUCTION. SUCH

MEASURES SHALL INCLUDE, BUT NOT BE LIMITED TO BRACING, SHORING

FOR LOADS DUE TO CONSTRUCTION EQUIPMENT, TEMPORARY STRUCTURES,

AND PARTIALLY COMPLETED WORK, ETC. OBSERVATION VISITS TO THE

SITE BY THE ENGINEER SHALL NOT BE CONSIDERED AS INSPECTION OF

SUCH ITEMS.

7. DIMENSIONS SHALL TAKE PRECEDENCE OVER SCALES SHOWN ON DRAWINGS.

8. ALL WORK SHALL CONFORM TO THE PLANS AND SPECIFICATIONS IN ALL

RESPECTS AND SHALL BE SUBJECT TO APPROVAL BY THE ENGINEER.

9. ASSUMED DESIGN SOIL BEARING VALUE IS 3000 PSF AS PRESCRIBED IN

TABLE 1806.2 OF THE 2009 IBC. ASSUMED SOIL TYPE GW/GP (SANDY GRAVEL

AND/OR GRAVEL). THESE ASSUMED VALUES SHALL BE VERIFIED BY ACTUAL FIELD

TESTING BY THE PROJECT GEOTECHNICAL ENGINEER.

10. THE OWNER SHALL VERIFY LOCATION OF ALL SITE UTILITIES PRIOR TO

STARTING WORK, BOTH ABOVE GROUND AND BELOW GROUND, WHICH MAY BE

IMPACTED BY THE WORK SHOWN ON THESE DRAWINGS. ANY CONFLICTS SHALL

BE BROUGHT TO THE ATTENTION OF THE ENGINEER.

11. ALL ITEMS SHOWN ON THESE PLANS ARE NEW UNLESS NOTED (E), EXIST.

OR EXISTING.

REINFORCING NOTES

1. REINFORCEMENT FOR CONCRETE SHALL BE DEFORMED BARS

CONFORMING TO A.S.T.M. SPECIFICATION A615 (A706/A706M FOR

WELDED REINFORCING). GRADE 60 STEEL SHALL BE USED EXCEPT THAT

#3 BARS AND SMALLER MAY BE GRADE 40 STEEL.

2. ALL REINFORCEMENT, ANCHOR BOLTS, AND OTHER ANCHORAGES PLACED IN

CONCRETE SHALL BE ACCURATELY PLACED AND POSITIVELY

SECURED AND SUPPORTED BY CONCRETE BLOCKS, METAL CHAIRS, SPACERS,

OR METAL HANGERS, AND SHALL BE IN POSITION BEFORE CONCRETE

PLACING OR GROUTING IS BEGUN. DETAILING AND PLACING OF BARS

SHALL CONFORM TO THE A.C.I. MANUAL OF STANDARD PRACTICES.

3. BARS SPECIFIED AS "CONTINUOUS" SHALL EXTEND THE FULL LENGTH OF

THE MEMBER CONTAINING THEM.

CONCRETE NOTES

1. ALL CONCRETE SHALL HAVE A MINIMUM ULTIMATE COMPRESSIVE

STRENGTH OF 3000 PSI AT 28 DAYS. SPECIAL INSPECTION IS

NOT REQUIRED (DESIGN COMPRESSIVE STRENGTH IS 2500 PSI).

AGGREGATES SHALL CONFORM TO A.S.T.M. C33.

2. CEMENT FOR CONCRETE SHALL BE TYPE V PORTLAND CEMENT CONFORMING

TO A.S.T.M. C150. TYPES I OR II CEMENT MAY BE USED IF SOIL

SULFATE LEVELS AS DETERMINED BY A GEOTECHNICAL ENGINEER ARE

SUFFICIENTLY LOW.

3. CONCRETE COVER FOR REINFORCING BARS SHALL BE:

CAST AGAINST AND PERMANENTLY EXPOSED TO EARTH = 3"

EXPOSED TO EARTH OR WEATHER: NO. 6 THROUGH NO. 18 BARS = 2"

NO. 5 BARS, W31 OR D31 WIRE, AND SMALLER = 1 1/2"

NOT EXPOSED TO WEATHER OR IN CONTACT WITH THE GROUND:

SLABS, WALLS, JOISTS: NO. 14 AND NO. 18 BARS = 1 1/2"

BEAMS, COLUMNS: PRIMARY REINFORCEMENT, TIES, STIRRUPS,

SPIRALS = 1 1/2"

4. DRYPACK SHALL BE 1 PART CEMENT AND 3 PARTS SAND (BY VOLUME).

5. NO PIPES OR DUCTS SHALL BE PLACED IN STRUCTURAL CONCRETE UNLESS

SPECIFICALLY DETAILED.

6. THE LOCATION OF ALL CONSTRUCTION JOINTS NOT SPECIFICALLY NOTED OR

SHOWN SHALL BE APPROVED BY THE STRUCTURAL ENGINEER.

CONCRETE NOTES CONT.

7. ALL NEW CONCRETE SHALL BE CURED BY SPRAYING WITH A LIQUID CURING COMPOUND.

8. LIQUID CURING COMPOUND SHALL BE APPLIED IN ACCORDANCE WITH THE

MANUFACTURER'S PRINTED INSTRUCTIONS AT A MAXIMUM COVERAGE RATE OF 200

SQUARE FEET PER GALLON AND IN SUCH A MANNER AS TO COVER THE SURFACE WITH

A UNIFORM FILM WHICH WILL SEAL THOROUGHLY.

9. WHEN USING THE CURING COMPOUND, CARE SHALL BE EXERCISED TO AVOID DAMAGE

TO THE SEAL DURING THE 7-DAY CURING PERIOD. SHOULD THE SEAL BE DAMAGED OR

BROKEN BEFORE THE EXPIRATION OF THE CURING PERIOD, THE BREAK SHALL BE

REPAIRED IMMEDIATELY BY THE APPLICATION OF ADDITIONAL CURING COMPOUND

OVER THE DAMAGED PORTION.

10. WHEREVER CURING COMPOUND MAY HAVE BEEN APPLIED BY MISTAKE TO SURFACES

AGAINST WHICH CONCRETE SUBSEQUENTLY IS TO BE PLACED AND TO WHICH IT IS TO

ADHERE, SAID COMPOUND SHALL BE ENTIRELY REMOVED BY WET SANDBLASTING JUST

PRIOR TO THE PLACING OF NEW CONCRETE.

11. CURING COMPOUND SHALL BE APPLIED AS SOON AS THE CONCRETE HAS HARDENED

12. PRIOR TO FINAL ACCEPTANCE OF THE WORK, ALL VISIBLE TRACES OF CURING

COMPOUND SHALL BE REMOVED FROM ALL SURFACES IN SUCH A MANNER THAT DOES

NOT DAMAGE SURFACE FINISH.

13. AS AN ALTERNATIVE TO CURING COMPOUND, NEW CONCRETE MAY BE MOIST CURED BY

COVERING THE CONCRETE WITH POLYETHYLENE SHEETS FOR AT LEAST 7 DAYS. ALL

EDGES OF POLYETHYLENE SHEETS SHALL BE SEALED. THE CONCRETE SHALL BE KEPT

MOIST WITH A FOG NOZZLE FOR THE ENTIRE CURING PERIOD.

13. SLAB CONTROL JOINTS SHALL BE 1/8" WIDE CONTINUOUS SAW CUT AT DEPTH EQUAL

TO 1/4 THE SLAB THICKNESS. FILL JOINT WITH ELASTOMERIC JOINT SEALANT.

13. EXCEPT AS OTHERWISE REQUIRED, EXPOSED CONCRETE CORNERS AND EDGES SHALL

HAVE 3/4" CHAMFERS.

CAST-IN-PLACE ANCHOR BOLTS

1. CAST-IN-PLACE ANCHORS SHALL CONFORM TO ASTM F1554 GR.36 OR BETTER,

UNLESS NOTED OTHERWISE.

2. LOCATE ANCHORS BASED ON THE ENGINEERED METAL BUILDING ANCHOR ROD

SETTING PLAN.

ENGINEERED METAL BUILDING

1. THE ENGINEERED METAL BUILDING SHALL BE DESIGNED BY METAL BUILDING,

SUPPLIER. THIS INCLUDES THE LATERAL LOAD RESISTING SYSTEM AND ALL PERTINENT

COMPONENTS AND CLADDING.

2. TETRA TECH IS NOT RESPONSIBLE FOR THE DESIGN OF ANY ASPECT OF THESE BUILDING

OTHER THAN THEIR FOUNDATION SYSTEMS. THE ENGINEERED METAL BUILDING

REGISTERED DESIGN PROFESSIONAL SHALL SUBMIT ALL DRAWINGS TO THE

CONTRACTOR TO ENSURE CORRECT ANCHOR ROD PLACEMENT.

STAINLESS STEEL TYPE 316 MEETING THE DIMENSIONAL REQUIREMENTS OF ASTM F436.

HOLES FOR BOLTS IN ALUMINUM SHALL BE OF SAME DIAMETER AS BOLT +1/16" MAXIMUM

UNLESS OTHERWISE NOTED.

3. WHERE ALUMINUM IS IN CONTACT WITH CONCRETE OR MASONRY SURFACES, CONTACT

SURFACES SHALL BE COATED TO CREATE A DIELECTRIC SEPARATION.

4. ALL WELDING SHALL CONFORM TO THE LATEST EDITION OF THE AMERICAN WELDING

SOCIETY AWS D1.2, STRUCTURAL WELDING CODE FOR ALUMINUM. ALL WELDING SHALL BE

PERFORMED BY A CERTIFIED WELDER IN A BUILDING DEPARTMENT APPROVED SHOP.

WELD FILLER MATERIAL SHALL BE ALLOY 5356. ALTERNATIVELY FOR MATERIALS LESS

THAN OR EQUAL TO 3/8" THICK, WELD FILLER MAY BE ALLOY 4043.

5. MATERIAL MAY BE SHEARED, SAWED, CUT WITH A ROUTER OR ARC CUT. ALL EDGES WHICH

HAVE BEEN CUT BY THE ARC PROCESS SHALL BE PLANED TO REMOVE EDGE CRACKS.

CUT EDGES SHALL BE TRUE AND SMOOTH, AND FREE FROM EXCESSIVE BURRS OR

RAGGED BREAKS. RE-ENTRANT CUTS SHALL BE AVOIDED WHEREVER POSSIBLE. IF USED

THEY SHALL BE FILLETED BY DRILLING PRIOR TO CUTTING. OXYGEN CUTTING OF

INDEPENDENT CONTRACTOR AGREEMENT This Independent Contractor Agreement (“Agreement”), Made this ___th day of ________, between ____________ (“Contractor”) and Prince William Sound Aquaculture Corporation, of PO Box 1110, Cordova, Alaska 99574 (“PWSAC”) (collectively the “Parties”). Now, therefore, the Parties agree as follows:

1. NOT AN EMPLOYEE AND NO RELATIONSHIP. Contractor agrees to work with PWSAC as an independent contractor and not as an employee. None of the employees of the Contractor shall be employees of PWSAC. The relationship between Parties shall be that of client and independent contractor.

2. CONSTRUCTION SERVICES AND WORK. Contractor agrees to perform the work at PWSAC’s Cannery Creek Hatchery (CCH) as set forth and specified in Exhibits ____ and all attachments thereto (the “Scope of Work Documents”) (the “Hatchery Work”). The Contractor covenants that it is familiar with the scope of work, drawings, and plans referenced in the Scope of Work Documents and that the Hatchery Work is capable of construction and completion under these terms. PWSAC shall not be responsible for any inadequacy of the drawings or specifications in the Scope of Work Documents.

3. TIME OF COMMENCEMENT AND COMPLETION. The Hatchery Work to be performed under this Agreement shall be commenced on or before June 1, 2014, substantially completed by July 15, 2014 (the “Completion Time”), and finally completed by August 1, 2014. Time is of the essence in this Agreement and Contractor acknowledges that PWSAC will suffer specific and consequential damages should the Hatchery Work not be completed as set forth, and when set forth, in this Agreement.

4. EXPERTISE AND WARRANTY. Contractor represents that Contractor has

specific experience and expertise in the areas encompassing the Hatchery Work. Contractor shall perform all Hatchery Work in a workmanlike and professional manner and to the satisfaction of PWSAC. Contractor covenants with PWSAC to furnish its best skill and judgment and to cooperate to further the interests of PWSAC. Contractor further covenants and warrants that all work performed

under this Agreement will conform with all current applicable laws, building codes, and ordinances and will meet or exceed best practices standards in every respect.

5. APPLICABLE CODES, STANDARDS, REGULATIONS. Throughout the Scope of Work Documents, codes, ordinances, regulations, and industry standards that govern the Hatchery Work may be referenced as a guide to the Contractor. However, any reference to codes, ordinances, regulations, and industry standards within the Scope of Work Documents are not to be considered all-inclusive. It is the Contractor’s responsibility to ensure all applicable codes, ordinances, regulations, and industry standards are ascertained and complied with. Unless otherwise noted, all editions referenced in this Agreement and the Scope of Work Documents are the latest edition current and in force at the time of this Agreement

a. Except where the Scope of Work Documents include other requirements, applicable construction industry standards have the same force and effect as if bound or copied directly into the this Agreement and the Scope of Work Documents. Such standards are made a part of this Agreement and the Scope of Work Documents.

b. Each entity engaged in design and construction of the Hatchery Work is required to be familiar with industry standards applicable to its design or construction activity. Copies of applicable standards are not bound with the Scope of Work Documents.

c. Where compliance with two or more codes, ordinances, regulations and/or

standards is required, and/or there are conflicting requirements, the stricter code, ordinance, regulation, and/or standard shall prevail.

d. The code and regulatory agencies having jurisdiction over the work

include, but are not limited to the following:

• The City of Cordova Alaska • The State of Alaska

It is the Contractor’s responsibility to ascertain and comply with any and all pertinent laws, codes, and regulations, including those not listed above.

6. LICENSE AND BONDING. Contractor shall provide a performance bond and a

labor and materials bond, in an amount equal to the estimated project cost set forth above. Contractor shall provide proof of all bonding as required of contractors by the State of Alaska. Contractor License No. is ______. Contractor’s bond is _____ deposit ID. No. ________.

7. COMPENSATION. PWSAC shall pay Contractor a stipulated lump sum

inclusive of labor and construction materials FOB ______________ of $___________. OR PWSAC shall pay Contractor on a time and materials basis for the Hatchery Work.

a. The hourly rate for the on-site Hatchery Work will be paid at the rate of $____ per hour per contractor employee. Contractor needs prior approval from PWSAC to exceed ____ hours based on the schedule referenced in Exhibit A.

b. The hourly equipment and labor rates for the loading the Alaska Marine Lines landing craft and PWSAC’s landing craft in Cordova will be paid at the rate schedule referenced in Exhibit A.

c. PWSAC shall provide room and board (three meals per day) while the

Contractor is on-site and engaged in the Hatchery Work.

8. INVOICES AND PAYMENT.

a. Contractor will submit invoices to PWSAC as work is completed and

accepted by PWSAC. Contractor shall be paid within fifteen (15) days following receipt of invoice by PWSAC, unless PWSAC disputes the invoice in writing to Contractor, or unless PWSAC asserts in writing that the work is defective or otherwise not in accord with the terms of this Agreement.

b. Nonpayment of an invoice, or any dispute regarding an invoice and/or sufficiency of work performed by the Contractor, shall not constitute grounds for Contractor to stop work or otherwise cease performance of all its obligations under this Agreement.

c. No invoice payment, nor any partial or entire use or occupancy of the

Hatchery Work by PWSAC, shall constitute an acceptance of any work that is not in accordance with this Agreement.

d. Contractor warrants and guarantees that title to all work, materials, and

equipment covered by an invoice, is free and clear of all liens, claims, security interests or encumbrances, hereinafter referred to as "liens"; that title to all work, materials, and equipment covered by an invoice will pass to PWSAC free of all liens upon receipt of payment; and that no work, materials, or equipment covered by an invoice will have been acquired by the Contractor, or by any other person performing the work at the site or furnishing materials and equipment for the Hatchery Work, subject to an agreement under which an interest therein or an encumbrance thereon is retained by the seller or otherwise imposed by the Contractor or such other person.

e. Upon receipt of written notice that the Hatchery Work is complete and

ready for final inspection and acceptance, and upon receipt of a final invoice, PWSAC will promptly make such inspection and, when it finds the Hatchery Work acceptable under this Agreement and the Agreement fully performed, it will authorize final payment. However, final payment shall not be made until either releases have been provided by all laborers, suppliers, and subcontractors, or, if applicable, 16 days after recordation of the notice of final completion with notice to all parties who have supplied work or materials to the project.

f. The final payment shall not become due until the Contractor submits to

PWSAC: (1) an Affidavit that all payrolls, bills for materials and equipment, and other indebtedness connected with the Hatchery Work for which PWSAC or its property might in any way be responsible, have been paid or otherwise satisfied: (2) consent of surety, if any, to final payment; and (3) if required by PWSAC, other data establishing payment or

satisfaction of all such obligations, such as receipts, releases, and waivers of liens arising out of the Agreement, to the extent and in such form as may be designated by PWSAC. If any subcontractor refuses to furnish a release or waiver required by PWSAC, the Contractor may furnish a bond satisfactory to PWSAC to indemnify it against any such lien. If any such lien remains unsatisfied after all payments are made, the Contractor shall refund to PWSAC all moneys that the latter may be compelled to pay in discharging such lien, including all costs and reasonable attorney’s fees.

g. The making of final payment shall constitute a waiver of all claims by

PWSAC except those arising from: (1) unsettled liens; (2) faulty or defective work; (3) failure of the Hatchery Work to comply with the requirements of this Agreement; (4) terms of any special guarantees required by the Agreement; or (5) warranties provided by the Agreement.

h. The acceptance of final payment shall constitute a waiver of all claims by

the Contractor except those previously made in writing and still unsettled.

9. CHANGES IN WORK. PWSAC, without invalidating the Contract, may order changes in the work consisting of additions, deletions, or modifications, and the Completion Time being adjusted accordingly, if necessary. All such changes in the work shall be authorized by written change order signed by the PWSAC Representative. The Completion Time may only be altered by change order. The cost or credit to PWSAC from a change in the work shall be determined by mutual agreement.

10. COMMUNICATION AND REQUESTS FOR INFORMATION.

a. Communication and Coordination

i. Communication and correspondence shall be between the designated Contractor’s Representative and PWSAC’s Representative.

ii. Communications between subcontractors of any tier, suppliers, and vendors with PWSAC shall be through PWSAC’s Representative, however, subcontractors of any tier, suppliers, and vendors will endeavor to not contact PWSAC’s Representative unless necessary.

iii. Contractor shall communicate questions or request clarification from PWSAC regarding the Hatchery Work only by using a Request for Information (RFI) form as set forth below. Failure to use an RFI form waives all claims related to any question or need for clarification of the Scope of Work Documents and/or Hatchery Work.

b. Requests for Information (RFI). When design and/or construction conditions require additional information, clarification or verification by the Contractor, a written RFI must to be submitted as follows:

i. RFI form shall be submitted to PWSAC’s Representative for approval prior to the start of construction and/or the element of the Hatchery Work that is the subject of the RFI; and

ii. Any Subcontractor RFI must be routed through Contractor and be transmitted to PWSAC’s Representative on the Contractor’s RFI form.

11. ACCOUNTING RECORDS. The Contractor shall check all materials,

equipment, and labor entering into the Hatchery Work and shall keep such full and detailed accounts as may be necessary for proper financial management under this Agreement, and the system shall be satisfactory to PWSAC. PWSAC shall be afforded access to all the Contractor’s records, books, correspondence, instructions, drawings, receipts, vouchers, memoranda, and similar data relating to this Agreement, and the Contractor shall preserve all such records for a period of three years after the final payment.

12. SUBCONTRACTORS. Contractor has agreed to perform the Hatchery Work without the use of subcontractors and shall not employ any subcontractors and sub-subcontractors unless agreed-to in writing advance by PWSAC. OR Contractor shall not employ any subcontractors and sub-subcontractors unless agreed-to in advance by PWSAC. Contractor shall enter into a written agreement

with each subcontractor that shall require the subcontractor to be bound to the Contractor by the terms of this Agreement and assume toward the Contractor all the obligations and responsibilities, including the responsibility to warrant all work free of liens, and the responsibility for the safety of the subcontractor’s work, which the Contractor, by the terms of this Agreement, owes PWSAC. Each subcontractor agreement shall preserve and protect PWSAC’s rights under this Agreement with respect to the work to be performed by the subcontractor so that the subcontracting thereof will not prejudice PWSAC’s rights, and shall name PWSAC as an intended beneficiary to preserve PWSAC’s rights against the subcontractor. Contractor shall ensure that each subcontractor complies with all applicable laws, codes, and regulations and performs work that meets or exceeds best practices standards. Contractor independently warrants all work performed by any subcontractor and shall defend, indemnify, and hold harmless PWSAC and its agents and employees from and against all demands, claims, damages, losses, and expenses including interest, costs, and attorneys' fees arising out of or resulting from the subcontracting agreement and the performance of the subcontractor’s work, regardless of whether these demands, claims, damages, losses, and expenses are caused in part by a party indemnified hereunder.

13. LICENSES AND EXPENSES. Contractor shall supply and pay all expenses

incidental to Contractor’s business, shall provide all labor and materials, and shall supply all necessary utilities, obtain all permits and licenses, pay all sales, consumer, or use taxes required by law, and otherwise undertake all other duties and responsibilities set out herein.

14. INSURANCE.

a. Contractor agrees to obtain and maintain all necessary licenses, certificates, and insurances for the conduct of its business and in all other ways, to fully comply with all applicable state and federal laws, rules, and regulations. Contractor shall provide PWSAC with copies of its Alaska business license and proof of required insurance set forth herein before Contractor commences any work.

b. The insurance coverage required under this Agreement shall be: (1)

workman’s compensation as required by Alaska law; and (2) general liability insurance as required by AS 08.18 with coverage up to $1,000,000

with Contractor including PWSAC as an additional insured on this general liability policy. The above policies shall not be canceled or altered during the term of this Agreement until at least thirty days’ prior written notice has been given to PWSAC.

15. WORKERS’ COMPENSATION. Contractor understands and agrees that

PWSAC shall not provide any workers’ compensation insurance for Contractor or any of Contractor's employees. All obligations for complying with workers’ compensation requirements for Contractor and its employees shall be the sole responsibility of Contractor.

16. CONTROL. Contractor will operate a minimum of 10 hours per day six (6) days

a week (Monday-Saturday) while at the hatchery site. The Contractor may operate additional daily hours and/or days at the Contractor’s discretion consistent and in conformance with this Agreement. While on any PWSAC property or facilities, including hatchery grounds, Contractor and crew shall abide by the rules and regulations governing PWSAC hatchery employees as referenced in Exhibit A.

17. RECORDS AND REPORTING REQUIREMENTS. Contractor shall provide

PWSAC with reports of services provided to PWSAC every 7 days. Such records shall be the sole property of PWSAC. Contractor is not invited or required to attend staff meetings of PWSAC and its employees. All materials purchased by Contractor for PWSAC under this Agreement shall be and remain the property of PWSAC, provided that the compensation due to Contractor has been paid in full by PWSAC.

18. OTHER CONTRACTS. Contractor is free to contract for similar services and

provide such services to other individuals and businesses without the consent of PWSAC, expressed or implied. It is understood and agreed by the parties that the subject engagement is non-exclusive, and Contractor is free to simultaneously accept other engagements from any other clients, provided such work shall not interfere with the timely completion of this Agreement, or result in a conflict of interest.

19. NO FRINGE BENEFITS. Contractor acknowledges that Contractor and its

employees shall not be entitled to any of the benefits provided by PWSAC to its

employees including sick leave, vacation, retirement, or pension contributions, or health and accident insurance coverage.

20. TRAVEL EXPENSES. PWSAC shall provide mobilization and demobilization transportation for Contractor’s tools, equipment, materials, and employees from Cordova to the hatchery site. PWSAC shall provide transportation/shipment of construction materials (as defined in Exhibit A) from Cordova to the hatchery site. During the construction period, PWSAC may provide Contractor’s employee(s) transportation between Cordova and the hatchery site on a space available basis, at no cost to the Contractor.

21. TAX PAYMENTS. Contractor shall provide the necessary IRS identification

number(s) to PWSAC before commencement of any work. PWSAC shall provide a Form 1099 for amounts paid to Contractor during the tax year. Contractor shall comply with all federal and state tax laws.

22. RISK OF LOSS. The risk of loss in the Contractor’s business shall be borne

entirely by Contractor.

23. TERM AND TERMINATION.

a. The term of this Agreement shall be _______. If this Agreement is terminated prior to the end of its term, Contractor shall only be entitled to payment for work completed in accord with this Agreement and shall have no claim to any consequential damages, including lost profits.

b. If the Contractor defaults by failing to correct defective work or failing to supply materials or equipment in accordance with this Agreement, PWSAC, without any prejudice to any other remedy it may have, may order the Contractor to stop the work, or any portion thereof, until the cause for such order has been eliminated.

c. If the Contractor defaults or otherwise neglects to carry out the work in

accordance with this Agreement or fails to perform any provision of this Agreement, PWSAC may terminate this Agreement. Without prejudice to any other remedies it may have, PWSAC may also remedy any deficiencies after seven days’ written notice to the Contractor. In such case an

appropriate change order shall be issued deducting from the payments then or thereafter due the Contractor the cost of correcting such deficiencies. If the payments then or thereafter due the Contractor are not sufficient to cover such amount, the Contractor shall pay the difference to PWSAC.

d. If the Contractor is adjudged a bankrupt, or if it makes a general assignment

for the benefit of his creditors, or if a receiver is appointed on account of its insolvency, or if it persistently or repeatedly refuses or fails, except in cases for which extension of time is provided, to supply enough properly skilled workmen or proper materials, or if it fails to make prompt payment to subcontractors or for materials or labor, or persistently disregards laws, ordinances, rules, regulations or orders of any public authority having jurisdiction, or otherwise is guilty of a material violation of a provision of this Agreement, then PWSAC may, without prejudice to any right or remedy it may have, and after giving the Contractor and its surety, if any, seven days’ written notice, terminate the engagement of the Contractor and take possession of the site and of all materials, equipment, tools, construction equipment, and machinery thereon owned by the Contractor and may finish the work by whatever method PWSAC may deem expedient. In such case the Contractor shall not be entitled to receive any further payment until the work is finished.

e. If PWSAC terminates the Contract, it shall pay the Contractor for any valid

unpaid invoices for work completed in accord with this Agreement. The Contractor shall, as a condition of receiving the payments referred to in this Agreement, execute and deliver all such papers and take all such steps, including the legal assignment of its contractual rights as PWSAC may require for the purpose of fully vesting in it the rights and benefits of the Contractor under such obligations or commitments. None of this, however, shall prevent PWSAC from deductions and set-offs for any damages caused by Contractor’s breach.

24. CONFIDENTIALITY. Information provided or made available to Contractor by

PWSAC as a result of Contractor performing services for PWSAC is confidential and sensitive, and is the property of PWSAC. Contractor shall not at any time, either directly or indirectly, disclose or communicate any information concerning any matters relating to the business of PWSAC.

25. INDEMNIFICATION.

a. The Contractor shall defend, indemnify and hold harmless PWSAC and its

agents and employees from and against all demands, claims, damages, losses, and expenses including interest, costs, and attorneys' fees arising out of or resulting from the performance of the Work, regardless of whether these demands, claims, damages, losses, and expenses are caused in part by a party indemnified hereunder. The Contractor need not indemnify PWSAC for PWSAC’s sole negligence and comparative fault principles will apply.

b. In any and all claims against PWSAC or any of its agents or employees by

any employee of the Contractor, any subcontractor, anyone directly or indirectly employed by any of them or anyone for whose acts any of them may be liable, the indemnification obligation under this Paragraph shall not be limited in any way by any limitation on the amount or type of damages, compensation, or benefits payable by or for the Contractor or any subcontractor under workmen’s compensation acts, disability benefit acts, or other employee benefit acts.

26. HEALTH, SAFETY, AND ENVIRONMENTAL ACTIVITIES. Contractor

shall conduct its business in a healthy and environmentally safe manner. PWSAC reserves the right to audit Contractor’s activities and provide recommendation, and assistance to assure compliance with applicable health, safety, and environmental laws, rules, and regulations.

27. LAW. This Agreement shall be governed by the laws of the State of Alaska.

28. ASSIGNMENT. This Agreement shall not be assigned by operation of law or

through negotiated agreement by the Contractor without the written permission of PWSAC. However, Contractor may delegate performance of the services required under this Agreement to its qualified employees as long as Contractor adequately hires, supervises, and compensates such employees in accord with the terms of this Agreement.

29. ENTIRE AGREEMENT. This Agreement contains all the terms and conditions agreed to by the parties. This Agreement shall be modified only by written amendment signed by both parties.

30. RULES OF CONSTRUCTION. The rule of strict construction of a document

against the drafter is waived in partial consideration for the other covenants contained herein, and all parties to this Agreement recognize that they have been represented by separate counsel or have been afforded that opportunity in this transaction, and all the terms and conditions have been negotiated at arm’s length.

31. HEADINGS. The headings in this Agreement are for reference only and do not

affect the interpretation of the Agreement.

32. NOTICES. All notices under this Agreement shall be sent in writing to the Parties’ designated representatives as follows:
