1. Exhibitors, exhibits1.1 Are admitted as exhibitors manufacturers,

importers, exporters, representatives,vendors that provide services and productsthat comply with the topics of the attendedevent. Exhibits must be summarized andassigned in groups of products in the F2form.

1.2 Exhibitors are responsible for the accuracyof the information supplied in order to sell acreation (image, description, materials used,size, price), and shall comply with theapplicable Romanian regulations onindustrial and intellectual property protectionof their exhibits.

1.3 The exhibitor must obtain the permitprovided by the law for the products/goods and services presented. The exhibitorhas the obligation to provide the proof thathe has the permit requested by Romanianlow, at the date the Application Contract wassigned, as well as when required by anycontrol bodies. Selling products andservices is allowed only according with theRomanian laws. The exhibitor is responsiblefor the truthfulness of the informationsupplied and the actions taken, as well asfor compliance with the Romanian low. Noillegal or special treatment items/goods areallowed.

1.4 If the exhibitors are participants,producers/sellers/suppliers of restaurantservices/food and/or live animals(regardless of the arrangement or how theirgoods are exhibited and sold), they mustmeet the following minimum requirements atthe events held within ROmExPO ExhibitionCentre:a) they must have supporting documentsfor: their right to supply restaurant services,the origin of the goods or animals on sale,as well as the certificates/licencesnecessary for carrying out the activity to beconducted at the respective event;b) they must comply with the requirementsregarding veterinary operating conditionsand food safety at animal and non-animalorigin food fairs held in the City ofBucharest;c) they must only sell products that arecompliant with quality certificates, observingthe applicable regulations

1.5 Participation in fairs and exhibitionsorganized by ROmExPO is based onSpecial Conditions and General andTechnical Conditions that are part of thiscontract and can be found atwww.romexpo.ro/en/tehnical-guidelines/.

1.6 The exhibits and/or any other materialsnecessary for the exhibitor during theexhibition will be sent exclusively on behalfof the main exhibitor inscribed at the event,clearly mentioning the location - Hall/Standno. and all the details of thecorrespondence. Romexpo is notresponsable for the receipt, taking over orguarding the exhibitor’s items, not being therecipient. The exhibitor is solely responsiblefor the merchandise sent and/or received bycorrespondence during the event, on thespot (address Romexpo Exhibition Center),and undertakes to have a representative atthe time of delivery and/or pickup ofparcels/exhibits/materials, without beingable to issue any claim to Romexpo.

2. Registration and participation2.1. The exhibitor shall fill in and submit the

Application Contract until the 1st of October2019. After this date, applications will bereceived only if there is any available spaceleft. Afterwards, ROmExPO will send thelocation proposal, together with theproforma invoice. Depending on thetechnical possibilities, the assigned areaand the exhibiting space configuration, thelocation proposal may suffer changes. Theorganizer reserves the right to refuseapplications. The organizer will inform, inwriting, until the 25th of October 2019 thefinal assigned space and correspondingproforma invoice.

2.2. Space allocation will be made according tothe pavilion’s sectorization, requested area,fidelity and application date, and exhibitorsmust observe the space that is assigned toeach of them.

2.3 If ROmExPO cannot provide the requiredspace it will provide alternatives. Areaallocated by mutual agreement may vary tothe one requested, or participation may berefused by the organizer, if it deems suchmeasure to be necessary and useful for thepurposes of the event.

2.4. Exhibitors shall observe the space assignedand contracted, without exceeding its limits.

.2.5 Registration fee includes: companyregistration in the official fair catalogue, 1copy of the catalogue, online invitations forfree access, general maintenance services,pedestrian passes, appearance in the list ofexhibitors published on the website,introduction of the dates in our informationsystem for visitors.

2.6 Confirmation of exhibitor's rented space willbe the payment of 30% of the invoice withinthe date stipulated and informingROmExPO of the payment. The remaining70% of the invoice value will be paid until thedate mentioned on the invoice.

2.7 If the exhibitor fails to pay 30% from theinvoice within the date stipulated, the rentalspace reservation is annulled.

2.8 Confirmation of the stand project by theexhibitor will be made within 5 days after thewritten notice sent by the organizer.

2.9 The exhibitor has the obligation to take therented space and the equipment by signinga report, and to deliver them back at the endof the exhibition in the same goodconditions. In case of any damages, thesewill be mentioned in the report, signed byboth parties. The exhibitor undertakes thepayment of their value, based on the invoiceissued by ROmExPO.

2.10 For additional services, the Exhibitor fill inthe order forms, posted on the exhibition’swebsite, these forms being part of theApplication Contract, and such additionalservices will be provided for a fee as far aspossible.

2.11 ROmExPO will not grant access toexhibitors within the allocated area if theyhave not fully paid the issued invoices.Exhibitors undertake that their activity willnot, in any way, affect or block the commonspaces within the ROmExPO ExhibitionCentre.

2.12 In order to obtain entry visa to Romania,Romexpo SA- is not in any way involved in the visaformalities and issuing the letters to theNational Immigration Office/National VisaCenter;- no commitment to complete a letter ofguarantee that results will ensure that thecosts of removal, where companyrepresentatives do not leave Romania untilthe date on which ceases stay rightestablished through visa;- if they will not receive a visa, return ofmoney paid will be made only pursuant tothe terms of the General Conditions ofParticipation and Technical, part of theApplication Contract.

3. Withdrawal from the fairIf after concluding the contract and thepayment the exhibitor cancels participationthen:

l 30% of the total paid amount will be retainedif exhibitor cancels within 60-45 days beforethe fair’s opening;

l 50% of the total paid amount will be retainedif exhibitor cancels within 44-30 days beforethe fair’s opening;

l 70% of the total paid amount will be retainedif exhibitor cancels within 29-15 days beforethe fair’s opening;

l 100% of the total paid amount will beretained if exhibitor cancels within less than15 days before the fair’s opening.If the exhibitor cancels the participation inthe terms mentioned above, the amountalready paid by the exhibitor will be retainedunder the title of, damages for pecuniaryand moral damages according to the aboveterms.

4. Terms and payment4.1 For rented space with standard stand

construction according to art.2.4.2 For customized stand construction: 30%

within 10 days from the date of the projectand price offer confirmation, and theremaining 70% within maximum 10 daysbefore the beginning of the event.

4.3 If the exhibitor does not pay the remaining70% of the customized contracting stand, hewill lose the 30% deposit paid and the standconstruction will not be executed.

4.4 Payment of the invoice stipulated in art. 4.1,4.2 and 4.3 will be made by bank transferbefore taking over the stand (in advance) inone of the following bank account:

4.5 The payment for the services ordered duringof the construction/ dismantling period andduring the event is made at the cash deskonly with credit card or cash. The bank charges and commissions are onexhibitor’s account.

5. Program5.1 Access program for exhibitors:l During the construction / development of the

stands, 04.12-05.12.2019, exhibitor'spersonnel access will be permitted dailybetween 8:00 a.m. and 8:00 p.m. for fittingwith a third party or with own personnel. Forfitting by ROmExPO, the access will bepermited during 04.12-05.12.2019 between8:00 a.m. and 8:00 p.m. Removing theexhibits or stand dismantling may start on08.12.2019, between 16.00-20.00, and from09.12-10.12.2019 between 8:00 a.m. and8:00 p.m

l During the exhibition, the access for theexhibitor's personnel will be permitted dailybetween 8:00 a.m. and 6:30 p.m., andbetween 8:00 a.m. to 8:00 p.m. on the08.12.2019.

l The exhibitors have the obligation to strictlyrespect the exhibition timetable and not toleave the rented stand unattended until theend of the event.

l If a stand is unclaimed until 6:00 p.m. on05.12.2019, the last day for construction, itwill be allocated to other companies andROmExPO will consider that the exhibitorhas canceled the participation.

l Each exhibitor will receive, in accordancewith the area allocated, pedestrian accesscards for the whole period of the event. Theexhibitor will also benefit of free of chargepedestrian passes during the constructionand dismantling period.

l On all access cards it will be mentioned thename of the exhibiting company. Cards arenot transferable. ROmExPO reserves allrights to retain any card that is not usedproperly.

l Exhibitor's cars have no access within theExhibition Center during the fair and duringconstruction and dismantling. The cars willbe parked in the parking space provided toall exhibitors. During the construction anddismantling period only vehicles withmerchandise for the exhibitors stand willhave access to the pavilion or exhibitionarea. They will be evacuated from the areaon the last day of the arrangement of thestands, no later than 8:00 p.m. Thesevehicles also have daily access to supplythe stand during the exhibition from 6:00p.m. to 6:30 p.m. to supply the stands. Afterthis, they will have to leave the area.

5.2 Access program for visitors:l Between 06.12.2019 and 07.12.2019 from

10:00 a.m. to 6:00 p.m.l In the last day, on the 08.12.2019, from

10:00 a.m. to 4:00 p.m.

6. Sublease6.1 The exhibitor can conclude a sublease with

another person or company, named co-exhibitor that will exhibit in the same spaceas the exhibitor, with its own exhibits andbrands.

6.2 The exhibitor has to inform the co-exhibitorabout the general conditions and technicalparticipation valid in Romexpo ExhibitionCenter, and the special conditions ofparticipation.

6.3 The exhibitor is responsible for fulfilling theobligations stipulated in the technicalconditions for participation in RomexpoExhibitions Center by the co-exhibitor. Thefailure of the co-exhibitor to fulfill theobligations stipulated in the technicalconditions for participation in the RomexpoExhibition Centre attracts the exhibitorobligation to pay damages to ROmExPO forthe caused damage.

6.4 The exhibitor has the obligation to registerco-exhibitors filling in the F3 form, in order toobtain ROmExPO’s approval and the co-exhibitors must express their agreement ongeneral conditions of technical acceptanceand participation in the Romexpo ExhibitionCentre, as well as these special conditionsof participation.

6.5 Co-exhibitor has the same conditions as themain exhibitor. If co-exhibitor is notregistered, the main exhibitor will pay asurcharge of 100 Euro + VAT/companycompared to the rate in the form F3.

6.6 In accordance with regulations admission,co-exhibitors may be introduced in thecatalogue with their company information ifthe full rates related have been paid andrequired documents have been received bythe specified deadline (see Form F3).

6.7 For the participation of a co-exhibitor aregistration charge of 100 EUR/co-exhibitor+ VAT is to be paid. This charge includes the following:

l The introduction of co-exhibitor in the eventcatalogue

l Introducing in the visitors informationsystem

l A free copy of the official catalogue of theexhibition

l 2 free pedestrian access cards

7. Advertising within the Exhibition Center7.1 Exposure and distribution of leaflets and

promotional materials is free within thesurface rented by the exhibitor (own stand).This activity can be made outside the standonly by payment, by completing the S12Form.

7.2 Advertising is restricted to the promotion ofexhibitor products, will not violate the legalprovisions and will not have political orideological character. Comparativeadvertising is not allowed. The organizerhas the right to remove, without exhibitor'sagreement, markings, advertising and otherforms of advertising made inside or outsidetheir own stand, if it considers that they arenot in accordance with the Romanianlegislation, the participation conditions or if itbothers other exhibitors.

7.3 ROmExPO reserves the right to prohibit thedisplay or distribution of advertisingmaterials that could arise to the offense ofother exhibitors and will take measures thatwill seize all stocks of advertising materialsduring the event.

7.4 Advertising in optical media, mobile, sound(up to 55 dB at the most) is allowed only ifexhibitors do not bother neighbors and donot cover the sound of Pavilions (radio ads,etc.). In violations of these provisions,ROmExPO reserves the right to interfereand stop the advertising transmission, andthe exhibitor undertakes to indemnifyROmExPO for any damage caused as aresult of its failure to comply with the legalprovisions on limit values of noise indicatorsand environmental protection.

7.5 Exhibitors will have to comply with theProvisions of Copyright, in accordance withLaw 8/1996 on copyright and related rights

7.6. The organization of the events inside thebooth are allowed with the prior agreementof Romexpo, only if it does not disturb theneighboring exhibitors, does not cover thesound from the pavilions (radioannouncements etc.) and also only if itrespects the maximum admissible limits(max.55 dB). Otherwise, ROmExPOreserves the right to intervene and to stopthe event organization, includingdisconnection of the power supply.

8. Security. Liability8.1 ROmExPO provides general daily security

outside the pavilion and its outdoor areawithout being held responsible for the safetyof products on display. Property and personalinsurance is recommended. This can bedone by specialized companies at thenecessary fees.

8.2 In case of any theft, the exhibitor mustreclaim the incident at The Police Office.

8.3 Exhibitor is responsible for the security ofgoods during the daily schedule, inaccordance with art. 5.1.

8.4 Exhibitors will comply with fire preventionlaws, laws that help prevent work accidentsand those referring to possible damagescaused on the territory of RomexpoExhibition Center by visitors or exhibitors,according to the Romanian Civil Code andGeneral and Technical Conditions.

8.5 Smoking within indoor areas is strictlyprohibited. Smoking is permitted only inspecially designated outdoor areas.

9. Insurance / Liability9.1 ROmExPO has no obligation to exercise

proper care of Exhibitor’s products, objects(machinery, etc.) and personnel.Exhibitor/Co-exhibitor is fully responsible forits exhibits, materials and equipment, duringthe mounting, dismounting and also theexhibition period.

9.2 The exhibitor/Co-exhibitor will be the onlyresponsible for the integrity of the goodstransported throughout the handling andtransport; any deficiencies/damage will berepaired at their expense.

It is excluded any liability for damageproduced by organizer to the exhibitor or co-exhibitor, during the mounting, dismountingand also the exhibition period. It is notexcluded ROmExPO’s liability for damagescaused intentionally or due to grossnegligence.

9.3 The exhibitor is fully responsible for anydirect and/or indirect damages caused by itsnegligence, exhibitor’s staff, servants, or thirdparties acting for or on behalf of the exhibitor.

9.4 ROmExPO recommend property insuranceor personal insurance. This can be done byspecialized companies, paying thenecessary fees.

9.5 ROmExPO is exempt from liability for anypotential interruptions in power, heat or watersupply for reasons attributable to therespective utility service providers(ELECTRICA, ENEL, APANOVA, RADET, etc.)

10. Intern authority10.1 ROmExPO has full authority on the

exhibitions held in the Exhibition Center,from the beginning of construction perioduntil the end of dismantling period.ROmExPO reserves the right to issueinstructions. ROmExPO reserves the rightto make audio/video records within theexhibition area, in order to be used forpromotion purposes and, to denyparticipation or to even evacuate any spaceif it deems this to be necessary and usefulfor the purposes of the activity conducted.

11. Force Majeure11.1 Force majeure, agreed as being that event

that is unpredictable and unavoidable,occurred after the conclusion of the contractand that prevents the party or parties to fulfillthe obligations assumed by contract, isexempting from liability the party thatinvokes it, from a claim under the lawconditions. The case of force majeure shallbe communicated by the interested partywithin 2 (two) days of its appearance andwill be confirmed by official documentsauthenticated by the Chamber of Commerceand Industry of Romania.

11.2 Documentary evidence proving theexistence of force majeure will be presentedto the other party within 5 (five) days fromthe date they are issued by the Chamber ofCommerce and Industry of Romania.

11.3 Termination of a force majeure event,confirmed by the Chamber of Commerceand Industry of Romania, will be immediatelycommunicated to the interested party.

11.4 Parties undertake to make all possibleefforts to limit the temporal effects of forcemajeure. A trade fair can be canceled or thedate of opening/ closing can be postponedin case of force majeure. The organizer willinform exhibitors in five days from theappearance date of force majeure.

12. Termination of ContractThis contract terminates in any of thefollowing cases, with no other formalities:

a) on expiry of the contract, unless the partiesdecide in writing to extend it;

b) at the request of either party, unable toperform his duties;

c) by mutual writing agreement;d) in the case of force majeure, longer than

one day, which prevent achieving the objectof the contract, unless the parties agreeotherwise;

e) if either party fail to fulfill its obligations andmore than 2 (two) days;

f) mutual agreement, at the request of a party,by noticing the other for 5 (five) days.ROmExPO reserves the right to terminatethe Application Contract in the event inwhich it finds that the licences, permits,information and/or insurance policiessupplied by the Exhibitor are inaccurate,incomplete and/or in the event in which theagreed circumstances have changed.The termination of the Application Contractdoes not extinguish any payment obligationsdue and payable.

13. Addendum to the contractmodification of this contract is signed only bywritten addendum between contracting parties.

14. Litigation14.1 Any dispute arising from or in connection to

the contract herein, including the onesrelated to its conclusion, execution ortermination, shall be settled by theInternational Court of CommercialArbitration attached to the RomanianChamber of Commerce and Industry,according to the current Rules of ArbitralProcedure of the International Court ofCommercial Arbitration, published in theOfficial Journal of Romania, Part I..

15 Miscellaneous15.1 These Special Conditions are to be

completed with the Technical and GeneralConditions of Fairs and Exhibitions Center,according to the Directive 2008/8/EC with itsmodifications applied starting with01.07.2011, and the Directive 2006/112ECfrom the 28.11.2006, regarding the commonsystems of value added tax.

15.2 This Application Contract, together with theThe General, Technical and ParticipationTerms of ROmExPO S.A., as a part of thisdocument, represent the will of the Partiesand replaces any verbal or writtenunderstanding between the Parties madebefore or after signing the document. Bothparties declare and warrant that they havefull authority to sign this Contract and toperform the obligations hereunder. If any ofthe clauses above is rendered null or void,for whatever reason, this will not affect thevalidity of the other clauses. At thisApplication Contract will be added the F1-F6Annexes and S1-S17 Forms that are part ofthe present contract.
