1 Special Contracts Partnership Act A partnership is a legal relationship between 2 or more persons for the purpose of carrying on a business with a view to profit. Persons who have agreed into partnership with one another are called individually ‘partners’ and collectively ‘firm’ and the name under which their business is carried on is called the ‘firm name’. Essential elements of partnership are Association Min 2 & max 20 for non banking business (10 for banking). Agreement.     Theownershipofthegoodsremainswiththepledgor.Itisonlyaqualifiedpropertythatpassestothepledgee.Forexample,ifAborrows50KfromBandkeepshergoldornamentsassecurity,acontractofpledgearises.Here,AisthepledgorandBisthepledgee.Pledgeisdifferentfromsalesasinapledgeonlypossessionspasssestotheotherparty.Butinacontractofsale,bothpossessionandownershipofthepropertyistransferredtothebuyer.Inapledge,thefirstpartyretainstheownershipoftheproperty,whilethesecondpartytakespossessionofthepropertyuntilthetermsofthecontractaresatisfied.Ifthetermsofthecontractarenotmet,thesecondpartycansellthepropertytosatisfyhisdebt.ANyexcessprofitfromthesalemustbepaidtothedebtororfirstparty.Butifthesaledoesnotmeettheamountofthedebt,thenlegalactionmaybeinitiatedagainstthepledger.Thepledgedpropertymustbeinthepossessionofthepledgee.Thiscanbeeitherbythepledgeesactualphysicalpossessionorbyconstructivepossession.Whileinactualpossession,thegoodsareheldbypledgee&inconstructivepossessionthepledgeehassomecontroloverthepropertywhichoccurswhenactualpossessionisimpossible.

    Mortgage of Goods (490) Amortgageisaveryoldmethodofsecuringpaymentofindebtedness.Initssimplestform,itinvolvesthetransferofthedebtorstitleorinterestinapropertytothecreditorontheconditionthatthetitleorinterestwillbereconveyedtothedebtorwhenthedebtispaid.Mortgageistheformalagreementmadebetweentheparties,underwhichthedebtorisreferredtoasthemortgagorandthecreditorthemortgagee.

    Contractsofhirearecommoninbusiness,particularlyinthebuildingandconstructionindustrywhereequipmentsuchascranes,excavators,andscaffoldingareoftenhired.Othercommoncontractsofhireareforthehireofcars.Theimpliedtermsaresimilartothoseforthesupplyofgoods.Thereisalsoanimpliedrighttotransferpossessionfortheagreedperiodofhire.Thetermsrelatetothestateofthegoodsatthebeginningofthehiringandforareasonabletimeafterwards.Itdoesnotimposeadutyonthesuppliertomaintainandrepairthegoods,butthismaybeprovidedforexpresslyinthehirecontract.Ahirepurchasecontractiswherethehireragreestohiregoodsforafixedperiodoftimeandisgiventheoptiontopurchasethegoodsforanominalsumattheendofthatperiodoftime.Newcarsareoftenpurchasedbyconsumersunderahirepurchaseagreement.Thecarthatthecustomerdesiresissoldbythegaragetoafinancecompany.Thiscompanythenentersintoahirepurchaseagreementwiththecustomer.Thecarisinfacthiredbythecustomerforanumberofyearsinreturnforamonthlypayment.Thefinalinstalmentisthenominalsumtopurchasethecar,andownershipofthecaristhenpassedfromthefinancecompanytothecustomer.
