Gentlemen:

Chevron Nigeria Limited ("COMPANY") is pleased to invite your company ("CONTRACTOR") to submit a Technical bid for the INSPECTION AND NON-DESTRUCTIVE TESTING (NDT) SERVICES.

The Scope of work which is further detailed in Exhibit A shall cover provision of equipment, testing devices tools, consumables materials, transport, skilled, qualified and certified personnel, supervision and every item of expense necessary for the rendering of Inspection and Non-Destructive Testing (NDT) Services to COMPANY, 24 hrs per day, 7 days per week. All work shall be carried out consistent with COMPANY’s safety and environmental policies as detailed in the Technical Bid package.

CONTRACTOR will perform the services for the joint venture between COMPANY and the Nigerian National Petroleum Corporation (“NNPC”). It is required that no bidder should quote any price howsoever in the technical bid package. Therefore, bidder should note that if any part of bidder’s technical bid contains prices or Commercial values, bidder will be disqualified.

Your response to this invitation will enable COMPANY / NNPC JV evaluation of your technical capability for the provision of the services. In the event of a successful technical proposal and approval by COMPANY and the Nigerian National Petroleum Corporation (NNPC), COMPANY would proceed with the next stage of commercial tender. Notwithstanding your technical bid submittal, please note that COMPANY is neither committed nor obligated to include your company on any bid list for the commercial tender or award any form of contract to your company and / or your associated companies, subcontractors or agents for the performance of the work.

The due date for submitting the technical bid proposal is APRIL 21, 2014. BIDDERS shall submit Tender Proposals using the Nipex portal; refer to the attached ‘Chevron Nipex Instruction to Bidder’ in Instructions to Bidder section. Tender Packages must be uploaded / received on Nipex no later than 16:00 noon on the due date to receive consideration.

This invitation to bid is extended subject to the following conditions: approval of technical bid proposal by NNPC; COMPANY does not obligate itself to accept any proposal; and COMPANY retains the right to reject any and all bids for any reason with no obligation whatsoever. All costs and expenses associated with preparation of bids shall be for CONTRACTOR's account. If none of the bid proposals received can meet all of the work requirements as indicated in the bid package, COMPANY retains the right to re-bid.

As a further condition precedent to acceptance of your proposal, CONTRACTOR is required to be registered with the Department of Petroleum Resources of the Federal Republic of Nigeria and CONTRACTOR shall furnish COMPANY with suitable evidence thereof when submitting its bid.

If this Invitation to Bid has been extended to you and your foreign/domestic affiliate or joint venture partner, both entities are required to submit a joint technical bid proposal and to become parties and signatories to any subsequent bid or contract if applicable.

INSTRUCTIONS TO BIDDERS

1. INTRODUCTION

Chevron Nigeria Limited, a Nigerian company, (hereinafter “COMPANY”), is issuing this Invitation to Tender (ITT) Bid No. FAC-2014-CW1045093 for the INSPECTION AND NON-DESTRUCTIVE TESTING (NDT) SERVICES (hereinafter “Work”) FOR THE ONSHORE, OFFSHORE, CONSTRUCTION AND ESCRAVOS GAS TO LIQUID (EGTL) facilities in its Escravos Terminal Area, Delta State, Nigeria.

This ITT defines COMPANY’s minimum requirements for executing the Work, and constitutes the Technical Bid phase of the bidding process.

BIDDER will review all exhibits which contain instructions and minimum requirements for the Work.

2. BID ACKNOWLEDGEMENT

5. BID LANGUAGE

Bids and supporting documentation shall be written in the English language.

6. BID SUBMITTAL

Bids shall be submitted through NipeX.

7. COMMUNICATIONS

All Communications during the Bid Period from COMPANY to Bidders shall be numbered sequentially. The last date for receipt of Bidder’s queries is indicated in Bid Time Table. COMPANY will not reply to queries received from Bidders after that date.

8. OPENING AND EVALUATION OF THE BIDS

BIDDER’s Technical Bid will be opened and carefully evaluated by COMPANY and Partner. Only those BIDDERS meeting COMPANY’s minimum Technical Requirements and approved by COMPANY’s partner will be invited to submit a commercial bid.

IT IS REQUIRED THAT NO BIDDER SHOULD QUOTE ANY PRICES HOWSOEVER IN THE TECHNICAL BID PACKAGE. THEREFORE, BIDDER SHOULD NOTE THAT IF ANY PART OF BIDDER’S TECHNICAL BID CONTAINS PRICES OR COMMERCIAL VALUES, BIDDER WILL BE DISQUALIFIED.

9. BID VALIDITY

Bids must be firm and shall remain valid for three hundred and sixty five days (365) after the Bid Due Date.

10. BIDDER SELECTION

COMPANY reserves the right to select the successful Bidder on the basis of the Bidder’s qualifications, as determined by the sole judgment of COMPANY’s and Partner’s Technical Review Committee.

COMPANY may reject bids which are incomplete, or do not contain all the information and documents required by COMPANY.

COMPANY reserves the right to reject any and all Bids without giving reasons thereto, and without incurring any liability to any Bidder.

11. GENERAL REQUIREMENTS

Submission of a bid is entirely the prerogative of the BIDDER. BIDDER shall be responsible for all costs associated with BIDDER’s bid preparation, and all activities relating to the bid including clarifications. COMPANY will not contribute towards the expenses of compiling any bid nor be responsible for any losses.

BIDDER should ensure that adequate information is presented with its bid to provide for thorough and complete evaluation by COMPANY. Incomplete, ambiguous or vague bids may be rejected.

Bids may not be considered complete and compliant unless all requested information is submitted, and all instructions have been followed.

By submitting a Technical Bid response to COMPANY, BIDDER makes the following representations:

BIDDER has read and studied all of the Bid Documents supplied by COMPANY, along with all specified governing codes, standards, rules and regulations, and is proficiently knowledgeable of their content.

BIDDER is deemed to be aware of all applicable laws and regulations regarding the importation of materials, equipment and services into Nigeria, and the provision of

expatriate personnel, if required. BIDDER is reminded to make full inquiries concerning all local laws, regulations, practices and conditions that might affect its performance of the Work as envisaged in the Contract.

BIDDER understands that its services are to be provided within schedule and specifications to the satisfaction of COMPANY. COMPANY reserves the right to accept or reject all parts of BIDDER’s works upon their conformance to all specified requirements under the Contract.

BIDDER understands the level of workmanship required and its responsibilities as defined by the Bid Documents.

11.1 Confidentiality

The Bid Documents are to be regarded as confidential and may not be reproduced in whole or in part or disclosed other than for the purpose of preparing the BIDDER’s bid.BIDDER shall not make any public announcements relating to the Provision of the Services (Work) without the prior written consent of COMPANY.

11.2 Study of the Bid Documents

BIDDER shall examine COMPANY’s Bid Documents and obtain all information required to enable it to submit its bid.

BIDDER shall furthermore satisfy itself with regard to the extent and nature of the Work and the nature of the conditions under which the Work will be carried out. BIDDER must also make itself aware of the conditions affecting the supply of labor, staff, materials, and equipment and any other matter which may affect its bid and take these fully into account.

11.3 Commissions and Fees

BIDDER must ensure that they, their personnel and/or representatives do not pay any commission or fee or grant any loan or rebate or favor to any COMPANY personnel, COMPANY affiliates or any government or public international organization, including any officer, employee or affiliate of any government department, agency or instrumentality, nor provide such personnel with gifts or entertainment irrespective of cost or value, nor enter into any business arrangement with such personnel either as individuals or as representatives of anyone. A breach of any of these conditions will disqualify BIDDER.

11.4 Pre-Bid Meeting

COMPANY shall host a pre-bid meeting with all BIDDERs to allow a forum for COMPANY to clarify COMPANY’s intent, and for BIDDERs to raise any issues. COMPANY will advise the meeting particulars under cover of a separate communication. COMPANY will forward pertinent written clarifications and any additional information given that is pertinent to all BIDDERS shall be communicated uniformly to all BIDDERS.

11.5 Bid Clarification Meeting

After the technical bids have been opened and reviewed, COMPANY may require clarification or discussions with BIDDER to finalize the technical evaluation. Clarification meetings may be required with BIDDER and BIDDER’s proposed partners. Meetings may be held at COMPANY’s offices in Lagos, Port-Harcourt or Warri, Nigeria. BIDDER’s proposed key personnel shall attend these meetings.

Each party shall bear their own costs related to such visits.

12. PREPARATION AND SUBMISSION OF TECHNICAL BIDS

12.1 Technical Bid Acknowledgement

BIDDER shall acknowledge review and understanding of the Technical Bid by notifying COMPANY using the “Form of Acknowledgement” (provided in Section 13) by scanning and e-mailing to the contact in Article 7, Communications.

Bids must be signed by a person duly authorized to do so and evidence of such authorization shall accompany the bid. Where bids are submitted in a partnership of two (2) or more companies, evidence of such signatory authorization to bind all parties forming the Partnership,

Joint Venture or Consortium shall be provided.

BIDDER shall sign its bid with the exact name of the contracting entity. If the contracting entity is:

12.2 Technical Bid Information

The following section specifies the information requested by COMPANY to be included in Technical Bid.

BIDDER is requested to compile and submit the requested information to COMPANY in exactly the form and content, including sections, section titles, and sub-headings, as described herein.

The various details, plans and procedures requested in this appendix shall be sufficiently developed to provide COMPANY with a level of understanding that BIDDER has:

Reviewed COMPANY Bid Documents and is aware of the Contract with particular emphasis on the Scope, Technical and Commercial Requirements and has determined methods/measures to implement said requirements

Performed sufficient internal analysis of BIDDER relationships with BIDDER’s other alliance members, partners and major subcontractors and associated capabilities/facilities, if applicable.

BIDDER SHOULD NOTE THAT IF ANY PART OF BIDDER’S TECHNICAL BID CONTAINS PRICES, BIDDER WILL BE DISQUALIFIED.

TECHNICAL PROPOSAL

The details of the work scope, schedules, safety and equipment pre-mob check-list can be found in Exhibit A – Scope of Work while technical requirements and specifications can be found in Exhibit F – Attachments F1 to F2.

To qualify for consideration, CONTRACTOR is required to supply relevant documentation as requested. Failure to provide all the required information will lead to disqualification of CONTRACTOR’s bid.

SECTION 0 – EXCEPTIONS AND QUALIFICATIONS

COMPANY wishes to receive technical bids that fully comply with COMPANY’s Invitation to Tender and COMPANY’s Bid Documents. However, in the event that BIDDER can not comply with this requirement, BIDDER shall advise any and all BIDDER exceptions in this section, and this section only.

COMPANY deems that BIDDER accepts and will comply with all elements of COMPANY’s requirements if no exceptions are submitted in this Section 0.

IT IS COMPANY’S INTENTION THAT ALL EXCEPTIONS ARE RESOLVED PRIOR TO COMPANY OPENING AND EVALUATING COMMERCIAL BIDS.

a) Exceptions to COMPANY Technical Requirements

Proposed exceptions to COMPANY Technical Requirements detailed in the Technical ITT and Exhibits shall be listed in the “INSPECTION AND NON-DESTRUCTIVE TESTING (NDT) SERVICES-ITT-Forms Section 0.a - Exceptions to COMPANY Technical Requirements” and submitted to COMPANY.

Only those exceptions proposed in the “INSPECTION AND NON-DESTRUCTIVE TESTING (NDT) SERVICES - 2014-ITT-Forms Section 0.a - Exceptions to COMPANY Technical Requirements” will be considered by COMPANY, and if accepted by COMPANY, incorporated into Contract. Exceptions or clarifications otherwise included in Bidder’s technical bid shall not be considered or accepted by COMPANY. BIDDER shall refer to the paragraph, section number and page involved, and shall set out and explain the precise nature of, and reason for, the proposed exception from COMPANY’s Technical Requirements

b) Exceptions to COMPANY ContractBIDDER is expected to accept all the terms and conditions in the Construction Service Contract (terms and conditions) in order to merit further consideration. However, any proposed exceptions from the attached Construction Service Contract (terms and conditions) shall be listed in the “INSPECTION AND NON-DESTRUCTIVE TESTING (NDT) SERVICES -2014-ITT-Forms, Section 0.b - Exceptions to COMPANY Contract”, and submitted in CONTRACTOR’S Tender. BIDDER shall refer to the article and section number, paragraph and page involved, and shall set out and explain the precise nature of, and reason for, the proposed qualification or deviation from COMPANY’s express requirements.

Only those exceptions proposed in the “INSPECTION AND NON-DESTRUCTIVE TESTING (NDT) SERVICES- 2014-ITT-Forms, Section 0.b - Exceptions to COMPANY Contract” will be considered by COMPANY, and if accepted by COMPANY, incorporated into Contract.

Exceptions otherwise included in Technical bid shall not be considered or accepted by COMPANY.

SECTION 1 – BIDDER DETAILS

BIDDER shall provide the following:

a) Incorporation of Bidding Entity - BIDDER shall provide copies of certification and date of incorporation or registration of bidding entity (i.e. private company, partnership, joint venture, limited company, etc.).

b) Power of Attorney for Bid - BIDDER shall provide copies of Power of Attorney for Bid signatory confirming authority to bind the bidding entity to fulfillment of commitments contained in its Bid to perform the Work.

c) Articles of Association - BIDDER shall provide copies of the Articles of Association for Joint Ventures, Consortia or other partnerships including statements of joint and several liabilities.

d) Intellectual Property - BIDDER shall advise COMPANY of any patents, proprietary information, licenses, royalties, or other intellectual property that will be included in the Work or are required to execute or complete the Work.

e) BIDDER shall advise COMPANY of its proposed strategy to deal with intellectual property issues related to the Work. BIDDER shall provide COMPANY with adequate assurances that BIDDER owns or has obtained all necessary patents, licenses, and the like, and that BIDDER has conducted the appropriate searches in the relevant jurisdictions regarding any potential infringement issues.

f) Partnership Agreement - Provide a copy of duly endorsed partnership agreement if BIDDER will submit bids as consortia or JV, and any MOU. This provision does not apply if Bidder does not have JV partners.

SECTION 2 - CURRENT AND PROJECTED WORKLOAD

Provide a detailed listing of Bidder’s current and projected (6 months) project schedule and scope. Provide a detailed listing of current manpower by discipline provided.

In this section, BIDDER shall provide a comprehensive description of an execution plan for the contract services.

The execution planning document requested represents COMPANY’s expected minimum content for BIDDER’s technical bid. It is not expected that plans submitted for the technical bid be in the detail required during execution of the Work. BIDDER’s technical bid should, however, clearly demonstrate that its execution planning has been developed sufficiently to ensure compliance with the Commercial & Technical requirements and to represent an execution strategy that supports the bid.

a) BIDDER shall submit its organization charts depicting the overall CONTRACTOR organization. BIDDER’s submittal shall describe the titles, authority, and responsibilities of all key positions and the approximate numbers by trade, profession or title of all other resources.

b) BIDDER is required to provide the names of its key resources under its employment or it intends to employ on a full time, dedicated basis in the positions identified in its organization chart, their primary work location (COMPANY’S yard, project site etc) and the name of the line manager who they will report to. The professional qualification and details of the resources to be used to perform this service will be provided by Contractor to Company. Such details shall include:

BIDDER is required to advise how it proposes to commit to these noted resources. BIDDER shall refer to Exhibit J, Attachment J-1 for detail information on COMPANY expectation on key resources for the work.

SECTION 5 – CONTRACTOR’S/BIDDER’S FACILITIES AND EQUIPMENT

Bidder shall provide details of all facilities and equipment proposed for the performance of the Work in Nigeria in Exhibit J, Attachment J-2. BIDDER shall refer to Attachment J-2 for guidance. The data will become an attachment to the Contract, once vetted and approved by COMPANY.

The details shall include, but not limited to, the following:

a) BIDDER shall prepare a list of all equipment, Instrument, plant planned to be utilized for the inspection and Non-Destructive Testing Services, stating equipment name, description, capacity, quantity etc.

b) BIDDERS shall prepare a list of inspection equipments in stock at BIDDERS yard. List shall include quantity, type, etc.

c) Any other facility, plant and equipment not considered above but which BIDDER considered importance to satisfy the project intent captured in Exhibit A – Scope of Work.

Bidder is advised that the BIDDER’S facilities and equipment shall be subject to inspection by COMPANY as part of the technical bid process.

SECTION 6 – TEMPORARY FACILITIES PLAN

Bidder shall submit a copy of its Temporary Facilities Plan with the BID package with which it proposes to perform the Services. BIDDER shall refer to COMPANY provided Exhibit H – Temporary Facilities prior to development of this plan.

SECTION 7 – NIGERIAN CONTENT

COMPANY requires execution of this Contract maximizing the utilization of Nigerian goods and services and in general be in compliance with Federal Government Policy on Nigerian Content.

COMPANY’s Nigerian Content mission is to promote and optimize:

Nigerian Content as defined in the Nigerian Oil and Gas Industry Content Development Act means “the quantum of composite value added to, or created in the Nigerian economy by a systematic development of capacity and capabilities through the deliberate utilization of Nigerian human, material resources and services in the Nigerian oil and gas industry”.

For the purpose of this Contract, Nigerian Content is defined by COMPANY as “That service, activity or good that is wholly or substantially of Nigerian origin, is capable of providing meaningful development and/or whose procurement and utilization in COMPANY project will have an eventual multiplier effect on the economy”. It should be value added to or created in the Nigerian economy.

Bidder shall submit a Nigerian Content Plan. On Contract award, this plan will become an Attachment to the contract and therefore be binding on the CONTRACTOR. As a minimum the Nigerian Content Plan shall address the following:

i. Demonstrate that the entity is a Nigerian Registered Company, or Nigerian Registered Company as the contracting entity in genuine alliance or joint venture with foreign company with details on scope and responsibilities of parties for this work. Such companies must show evidence of joint venture binding agreement duly signed by the CEO of both companies including evidence or plans of physical operational presence and set-up in Nigeria.

ii. Provide a Nigerian Content Plan providing a detailed description of the role, work scope, man-hours and responsibilities of all Nigerian companies and personnel that would be involved in executing the work. Also provide details of Nigerian Content focal point or manager. Provide strategies for achieving the Nigerian content requirements as stated in the Nigerian Content Act of 2010, increasing the Nigerian Workforce during the contract including evidence of Nigerian Content for the last three (3) years.

iii. Provide evidence of domiciliation of project management and procurement centers in Nigeria with physical addresses (not P.O. Box).

iv. Furnish details of company ownership and share holding structure. Also submit clear photocopies of your CAC Forms CO2 and CO7.

v. Provide evidence that all transportation services and shop painting shall be performed by Nigerian Companies.

vi. State proposed total scope of work to be conducted by Nigerian personnel (whether contracted directly or under subcontract agreements) with names and addresses including evidences of well equipped offices and workshop; attach past experience of such patronage.

vii. Location of in-country facilities (Equipment, storage, workshops, repair & maintenance facilities and, testing facilities).

viii. Provide evidence of what percentage of your key management positions is held by Nigerians and what percentage of the total work force are Nigerians. Also, show overall percentage of work to be performed by Nigerian resources relative to total work volume.

ix. Contractor must be willing and able to provide evidence of maximization of made in Nigeria goods and services.

x. Provide details on any other Nigerian Content initiative your company is involved in.

Bidder shall complete the required information in “INSPECTION AND NON-DESTRUCTIVE TESTING (NDT) SERVICES – 2014- ITT Forms: Section 7”

SECTION 8 - SITE SECURITY

In this section, BIDDER shall provide a preliminary site security plan in accordance with Exhibit G – Security Requirement with the TENDER package and the detailed plan developed and submitted 30days after contract award.

BIDDER site security plan shall contain the following details:

Contractor security plan for offsite facilities (storage, lay-down, marshalling etc) Contractor security plan for Escravos marine staging area and Escravos work area ( address the

following items below) Security Organization Plan, noting staffing levels and reporting relations during normal security

conditions (>Level 3). Control and Movement of personnel, including sub-contractors, to and from their respective

work location. Monitoring of personnel including sub-contractors and company project personnel. Security for onsite storage, and lay-down areas. Security for onsite and offsite docks, transport and storage vessels. Initial reaction plans for: strikes, civil unrest, kidnapping, seizure of equipment and intrusion by

unauthorized personnel of perimeter fencing. Plans for lockdown situation Plan to secure critical facilities Medical emergency (crowd control and emergency personnel access). Communication systems: radio integration with CNL Security, HF Radio, telephone – intra-

project, inter-project, Nigeria, International. Exit strategy.

In this section, BIDDER should describe its plan to comply with the Nigerian Local Community Content as it relates to Community Engagement as detailed in Exhibit I. A preliminary plan shall be submitted with the Bid Package with the detailed plan submitted 30days after Contract Award.

BIDDER preliminary engagement plan with sections on Project Background, Local Community Man-power Plan and Contracts/Subcontracts shall have the contracting and subcontracting plan detail the contractor’s strategy and scope of subcontracting to community contractor (both skilled and unskilled).

BIDDER shall provide estimate for man-hours for each of the contract stated above.

BIDDER shall describe BIDDER’s previous experience within the past three (3) years in performing work similar to that specified in COMPANY’s Bid Documents. BIDDER shall include name of Operators and contact personnel that Company can contact to verify the information provided.

As a minimum, the following information should be provided:

a) The number of years that BIDDER has been involved with work similar to that specified in the bid package.

b) A list of similar completed projects/contracts. The list will be provided in two parts, if applicable, e.g. contractor has performed work in locations outside Nigeria: i) The first part will be a list of completed contracts in Nigeria by BIDDER as a single company or its consortia/JV partners.ii) The second part will be a list of completed contracts in other countries by BIDDER or its consortia/JV partners, if applicable.

c) Each list shall include the name of the customer and client’s contact, the name of the project, location, duration to include start year and when finished.

d) Evidence to indicate BIDDER’s experience working together as Consortia or JV partnership on previous / ongoing projects, if applicable.

COMPANY’s consider a vast experience in Inspection and Non-Destructive Testing (NDT) Services is important for this project. BIDDER shall therefore provide a clear evidence of this in its BID Package.

BIDDER shall provide evidence of experience in previous jobs done for COMPANY. BIDDER shall indicate the number of jobs, the safety and completion schedule (plan versus actual) with the percentage completion as at planned date.

SECTION 13 - FINANCIAL DETAILS

If BIDDER is submitting bid as consortia, JV, etc., each company MUST provide separate financial information for each company.

BIDDER shall provide the following:

i. Annual Report/Audited accountsBIDDER shall provide copies of the last three (3) years’ (2010/2011/2014) certified annual report/audited accounts (for all Consortium members as and if applicable).

If the three latest annual reports are not available, BIDDER should enclose a copy of the quarterly accounts/Bi-annual accounts and/or the budget for present year.

If BIDDER is a subsidiary Company, the appropriate group accounts for the same periods shall also be enclosed.

BIDDER shall advise details of any outstanding indebtedness or unsecured loans or debts or trading losses not reported within the financial reports.

ii. Tax ClearanceBIDDER shall provide its Nigerian Tax Clearance Certificates for 2010, 2011 and 2014, where applicable in line with audited accounts.

iii. Banker’s DetailsBIDDER shall provide details of BIDDER’s bankers (including details of each Consortium member’s and/or Joint Venture Partner’s and/or Partner’s bankers, as applicable).

iv. Other Supporting EvidenceBIDDER shall provide details of any other evidence of financial support or financial capability, if applicable.

v. VAT Certification. BIDDER shall provide a current VAT Certificate and evidence of VAT remittances.

In this section, BIDDER shall provide a current copy of BIDDER’s D.P.R. Permit/Certificate from the Department of Petroleum Resources in the applicable category or categories for execution of this Work. Bidding Consortia, Joint Ventures or Partnerships not listed on the DPR Permit as a single entity shall submit individual Permit for each Consortium/Joint Venture/Partnership member.

SECTION 15 – CERTIFICATE OF INSURANCE

Bidder to provide a confirmation that, in the event of award of a Contract, contractor will provide evidence of insurance in accordance with the Contract. Insurance coverage provided shall comply with Nigeria Insurance Act of 2003 and NAICOM directives.
