8 The Company has applied to the Central Government for their approval for the excess remuneration of `. 84.77 lacs paid to its working Directors for the financial years 2008-11. The approval of the Central Government is awaited
9 The Company has during the quarter issued 26,730 No. of Shares to its employees in accordance with the PVR ESOP Schemes 2008
10 The Company has challenged amendments in the provision of levy of the Service Tax w.e.f June 1, 2007 in the Finance Act2010 before Honourable High Court of Delhi. The said Court has granted the Company an interim injunction and has stayed payment of Service Tax by the Company
11 The Consolidated and Standalone Results have been reviewed by the Audit Committee and approved by the Board of Directors
at their meeting held on 8 th August, 2011. The financial results of PVR Limited (Standalone) have been subjected to limited review by the Statutory Auditors in terms of Clause 41 of the Listing Agreement.

For the purpose of analysis, overall performance of the Exhibition business has been analyzed below after incorporating
the results of the company’s 100% subsidiary CR Retail Malls India Pvt Ltd which operated the Phoenix mill property in
Mumbai till 17th May, 2011. PVR has sold his entire shareholding in CRR and has entered into a lease agreement with
CRR to continue to operate the multiplex property on a long term lease basis.

In comparison with corresponding quarter last year, Q1 2010-11 was a relatively better quarter for the cinema exhibition
industry. The Footfalls and revenues during the quarter witnessed a robust growth on account of good performance of
major blockbusters like “ Ready”, “ Double Dhamaal”, “ Hangover II” “ Dum Maaro Dum” , “ Pyaar ka Punchnama” etc

The operating performance has been analyzed by making a like to like comparison between properties which were
operational during the corresponding period of the previous year (classified as “Comparable Properties”), properties
which were not operational during the corresponding period of previous year (classified as “Non Comparable Properties”)
and new properties which commenced operations during the quarter (classified as “New Properties”)
For the quarter under review LDA Lucknow has been categorized under New/Non Comparable Properties. Two properties
of PVR namely Mahagun & Oppulent are on Franchise/ Management basis which have been categorized under
“Franchise Cinemas”
Footfalls & Occupancy
• We entertained approx 5.5 million patrons during Q1, FY 2011-12, higher by 9% from Q1, FY 2010-11
• The Footfalls & occupancy across our exhibition circuit during the quarter ended June 2012 was as under

Despite the occupancy being maintained at the same level there is a increase in Footfalls YOY on account of increase in
average no of shows across the cinema circuit from 5.53 in Q1, FY 2010-11 to 5.75 in Q1, 2011-12

Average Ticket Price (ATP)
• The average ticket prices in the quarter under review grew by 4% over corresponding period of previous year due to
increase in ticket pricing effected last year
• Overall ATP for Q1, FY 2011-12 witnessed a growth of 3% over Q1, FY 2010-11 (From Rs 157 to Rs 162)
• The ATP across our exhibition circuit during the quarter ended June 2011 were as under
Average F&B Realization (SPH)
• The average F & B realization grew at a robust rate of 8% across comparable properties in the quarter ended
June 2011 over the corresponding period of previous year.
• Overall SPH for Q1, FY 2011-12 witnessed an increase of 7% as compared to Q1, FY 2010-11
• The Spend per Head across our cinema circuit during the quarter ended June 2011 was as under:

Advertising income during the quarter under review was Rs.1299 lakhs as compared to Rs 1127 lakhs during the
corresponding quarter of previous year, higher by 15%

PVR Blu-O
PVR Blu-O is a 51:49 JV between PVR Ltd and Major Cineplex Group Plc based out of Thailand. Presently
operates India’s largest bowling alley center in Ambience Mall, Gurgaon. For Q1, FY 2011-12, the subsidiary
grossed an income of Rs 400 lacs, EBITDA of 153 lakh delivering EBITDA margin of 38% and PAT of Rs 83 lacs.
PVR Pictures
Overall revenues for the quarter under review was impacted on account of poor performance of PVR own production
“3 They Bhai” at the box office. As a result the company incurred a loss of Rs 370 lacs at PAT level during Q1, 2011-
12
The distribution will be the key focus area for the company in FY 2011-12 and will continue to entertain the viewers.
The company has an excellent pipeline for Hollywood films for distribution in FY 2011-12 with diverse genres.
On the production side the company has 1 project “Shanghai” under production. The movie is directed by Dibakar
Banerjee starring Abhay Deol and Emran Hashmi and is expected to release in FY 2011-12.

New Properties added during the quarter
Subsequent to the quarter under review the company has added one more property in Celebration Mall, Udaipur
having 4 screens and 1,150 seats. With the opening of this multiplex, the company now operates with 146 screens at
34 locations across 19 cities.
PVR Pictures becomes 100% subsidiary of PVR Ltd
On 5th July, 2011 PVR Ltd had bought the remaining 40% equity share capital of PVR Pictures from JP Morgan
Mauritius Holdings and ICICI Ventures. Subsequent to the above purchase, PVR Pictures has now become a wholly
owned subsidiary of the Company.
Buy Back of Shares
Pursuant to the buyback of shares approved by the Board of Directors, the Company has till 5th August, 2011 purchased
1,083,073 number of equity shares. The revised paid up equity share capital of the Company now stands at 26,093,029
shares.
