1. RFQ PURPOSE
The intent of this Request for Qualifications (“RFQ”) is to establish pool of qualified firms who will be
invited by the College to submit a Proposal in response to future Requests for Proposals (RFPs) for Professional Engineering services. As the need for a service is identified, the College will draft an RFP for
the service and invite the pool of qualified firms to submit Proposals in response to the RFP.
Since all firms in the pool will have already been determined to be qualified to provide the service, the
Proposal receiving the best score based on an evaluation of price and other factors in response to
the RFP, will be recommended for contract award. Contract awards $17,500 and greater will require
College Board of Trustees approval. In no event should the awarded qualified firm initiate any work
until receipt of a fully executed purchase order from the College.
Notwithstanding the establishment of a pool of qualified firms for these professional services, the College
reserves the right to publicly bid for a professional service when it is determined to be in the best interest of
the College to do so.
2. DESCRIPTION OF PROFESSIONAL SERVICES
Mechanical, Electrical, Plumbing, Fire Protection Engineering Services
Provide equipment analysis, schematic design, design development, contract documentation,
contractor bid documents, permitting, bidding administration, contract administration, preparation
of engineering studies and reports, attendance at meetings and general consultation services.
Civil Engineering Services
Provide site analysis, infrastructure assessment, parking analysis, traffic studies/engineering,
earthwork and utility designs, geotechnical services including subsurface analysis, soil boring
analysis, preparation of studies and reports, attendance at meetings and general consultation
service.
Structural Engineering Services
Provide structural analysis for foundations and building structures, preparations of studies and
reports, attendance at meetings and general consultation services.
Environmental Services
Provide environmental assessments and impact statements, analysis of wetland delineation,
permitting from various regulatory agencies, meeting attendance and general consultation services.
Commissioning Services
Provide commissioning plans, review existing design documentation and basis of
designs, prepare and evaluate commissioning checklists, review construction installations
for compliance with design intent and commissioning requirements, make
recommendations as necessary, and attend meetings, providing services consistent with
the general procedures established by the Building Commissioning Association.

3. STANDARD CONTRACT TERMS
All professional services contracts awarded following limited competition among firms qualified under this
RFQ to submit Submissions shall include the following terms and conditions:
(a) INSURANCE
Prior to commencing work under the contract, the firm shall furnish the College with a certificate of insurance
as evidence that it has procured the insurance coverage required herein. The firm must give the College a
thirty-day (30-day) notice of cancellation, non-renewal or change in insurance coverage.
The firm must provide and maintain the following minimum limits of insurance coverage during the period of
performance required under the contract:
Professional Liability: One million ($1,000,000) errors and omissions/malpractice per occurrence.
Workers Compensation and Employers Liability: Statutory coverage for New Jersey
$100,000 employer’s Liability; Broad Form All-States Endorsement
General Liability: $1,000,000 per occurrence. The College shall be named as additional insured with
respect to general liability.
Auto Liability: $1,000,000 per occurrence/$1,000,000.00 aggregate. This coverage is required if the
operation of any vehicle is required in the performance of the services detailed herein (including but
not limited to the use of a vehicle to make any on-site visits).
(b) INDEMNIFICATION
The awarded firm shall defend, indemnify and hold harmless the College, its officers, agents and employees
from any and all claims costs of any nature whether for personal injury, property damage or other liability
arising out of or in any way connected with the firm’s negligent acts or omissions under this agreement.
(c) LIABILITY-COPYRIGHT
The vendor shall hold and save the College, its officers, agents, servants and employees, harmless from liability
of any nature or kind for or on account of the use of any copyrighted or uncopyrighted composition, secret
process, patented, or unpatented invention, article or appliance furnished or used in the performance of this
contract.

(d) ACCIDENTS, INJURIES, DAMAGES, AND CONTRACTOR'S INSURANCE
If it becomes necessary for the vendor, either as principal or by agent or employee, to enter upon the premises
or property of the College in order to construct, erect, inspect, make delivery or remove property hereunder,
the vendor hereby covenants and agrees to take use, provide and make all proper, necessary and sufficient
precaution, safeguards and protections against the occurrence of happenings of any accidents, injuries,
damages or hurt to any person or property during the progress of the work herein covered, and to be responsible
for, and to indemnify and save harmless the College from the payment of all sums of money by reason of all,
or any, such accidents, injuries, damages or hurt that may happen or occur upon or about such work and all
fines, penalties and loss incurred for or by reason of the violation of any city or borough ordinance regulation,
or the laws of the State, or the United States, while the said work is in progress.
The firm shall purchase and maintain such insurance as will protect the contractor from claims set forth below
which may arise out of or result from the firms operations under the contract, whether such operations be by
the contractor or by any subcontractor or by anyone for whose acts any of them may be liable:
(a) claims under Workmen's Compensation Disability Act;
(b) claims for damages because of bodily injury, occupational sickness or disease, or death of the
contractor's employees, and claims insured by usual personal injury liability coverage;
(c) claims for damages because of bodily injury, sickness or disease, or death of any person other than
the firm’s employees, and claims insured by usual personal injury liability coverage; and
(d) claims for damages because of injury to or destruction of tangible property, including loss of use
resulting there from.
The successful firm shall secure and protect the owner from any liability or damage whatsoever for injury
(including death), to any persons or property. Limits of insurance are as set forth previously in this RFQ. The
firm shall, during the period of the contract, maintain liability insurance in a sufficient amount to protect
themselves from any liability damage for injury (including death) to any of their employees and/or to other
person, including any liability or damage which may arise by virtue of any statute or law now in force or which
may hereafter be enacted. All insurance policies are to be issued by companies authorized to do business under
the laws of the State of New Jersey.
Firms shall at all times hold and save harmless the College and its agents, representatives, and employees of
the College against any and all suits, claims, costs, charges and expenses by reason of any damages or claims
for damages, arising from negligence of firm, his agents, representatives and employees.
The successful Firm shall furnish a Certificate of Insurance showing all of the above coverage’s and limits of
protection from claims for property damage which may arise from operations under the contract, whether such
operation be by himself or by any subcontractor or anyone directly or indirectly employed by either of them,
equal to amount of cost for replacement or satisfactory repairs.
(e) TRANSFER OF BUSINESS
It is understood by all parties that if, during the life of the contract, the firm disposes of his business by sale,
transfer or by any means to another party; all obligations are transferred to such purchaser. In this event, the
new owner(s) will be required to submit a Performance Bond in the amount of the open balance of the contract
or order

(f) PREVAILING WAGE ACT
The New Jersey prevailing rate of wages on public contracts shall govern in accordance with the Prevailing
Wage Act, Chapter 150, Laws of 1963. A copy of the current prevailing wage rate is available on the State of
New Jersey’s web site. The firm's signature on this RFQ response is his guarantee that neither he nor any
subcontractors he might employ to perform the work covered by this RFQ response are listed or are on record
in the Office of the Commissioner of the Department of Labor and Industry as one who has failed to pay
prevailing wages in accordance with the provisions of this Act.
(g) EQUAL OPPORTUNITY FOR INDIVIDUALS WITH DISABILITY
The Contractor and the County College do hereby agree that the provisions of Title II of the Americans With
Disabilities Act of 1990 (the "ACT") (42 U.S.C. S12101 et seq.), which prohibits discrimination on the basis
of disability by public entities in all services, programs, and activities provided or made available by public
entities, and the rules and regulations promulgated pursuant thereunto, are made a part of this contract. In
providing any aid, benefit, or service on behalf of the County College pursuant to this contract, the contractor
agrees that the performance shall be in strict compliance with the Act. In the event that the contractor, its
agents, servants, employees, or subcontractors violate or are alleged to have violated the Act during the
performance of this contract, the contractor shall defend the County College in any action or administrative
proceeding commenced pursuant to this Act. The contractor shall indemnify, protect, and save harmless the
County College, its agents, servants, and employees from and against any and all suits, claims, losses, demands,
or damages of whatever kind or nature arising out of or claimed to arise out of the alleged violation.
The contractor shall, at its own expense, appear, defend, and pay any and all charges for legal services and any
and all costs and other expenses arising from such action or administrative proceeding or incurred in
connection therewith. In any and all complaints brought pursuant to the County College's grievance procedure.
If any action or administrative proceeding results in an award of damages against the County College or if the
County College incurs any expense to cure a violation of the ADA which has been brought pursuant of its
grievance procedure, the contractor shall satisfy and discharge the same at its own expense.
The County College shall, as soon as practicable after a claim has been made against it, give written notice
thereof to the contractor along with full and complete particulars of the claim. If any action or administrative
proceedings is brought against the County College shall
expeditiously forward or have forwarded to the contract every demand, complaint, notice, summons, pleading,
or other process received by the County College or its representatives.
It is expressly agreed and understood that any approval by the County College of the services provided by the
contractor pursuant to this contract will not relieve the contractor of the obligation to comply with the Act and
to defend, indemnify, protect, and save harmless the County College pursuant to this paragraph.
(h) COST LIABILITY
The College assumes no responsibility or liability for costs incurred by firms prior to the award of a contract
or purchase order.
(i) FIRM’S GUARANTEE
By submitting a Submission in response to the RFQ and to any future RFP related to this RFQ, the firm
covenants and agrees that it has satisfied itself from its own investigation of the conditions to be met, that it
fully understands its obligations and that it will not make any claim for, or have right to, cancellation or relief
without penalty of the contract because of any misunderstanding or lack of information.

(j) CANCELLATION
The College reserves the right to cancel in whole or in part or any awarded contract in the event of a failure by
the contractor to deliver the materials and/or services as required and/or the failure to furnish materials and/or
services as specified.
In case of rejection or non-delivery, the College may procure the articles or services from other sources and
hold the contractor responsible for any excess cost occasioned thereby.
(k) MODIFICATION AND WAIVER
No modification or amendment to these terms and conditions and no waiver of the provisions or conditions
shall be valid unless in writing and signed by the duly authorized representatives of the College and the
contractor.
(l) SUBCONTRACTING
Subcontracting is only permitted if the qualified firm’s Submission in response to the RFQ identified a
subcontractor and provided the subcontractor’s experience and expertise. In such event, the qualified firm’s
response to an RFP must identify the work to be subcontracted and the contractual arrangements made with
respect to such work. The qualified firm shall be as fully responsible to the College for the acts and omissions
of the subcontractor and of all persons employed by them, as he is for the acts and omissions of persons directly
employed by him.
It shall be understood that the approval by the College of a subcontractor does not relieve the qualified firm of
the responsibility of complying with the terms and conditions and the specifications or any awarded contract.
(m) ASSIGNMENT
The firm is prohibited from assigning, transferring, conveying, subletting, or otherwise disposing of any
awarded contract or its rights, title or interest therein, or its power to execute such contract, to any other person,
company or corporation without the previous consent and approval in writing by the College.
If the firm shall, without such previous written consent, assign, transfer, convey, sublet or otherwise dispose
of an awarded contract in whole or in part or of its right, title or interest therein, or any of the monies to become
due there under to any person, firm or corporation, the contract may, at the option of the College, be revoked
and annulled, and the College thereupon relieved and discharged from any and all liability and obligations
growing out of the same to the firm and to his assignee or transferee.
(n) TERMINATION OF CONTRACT
The College reserves the right to terminate any contact entered into as a result of this RFQ provided written
notice has been given by the College to the contractor at least 30 days prior to such proposed termination date,
unless otherwise specified. The College may terminate the contract immediately in the event of a material
breach of contract.
(o) INSPECTION AND ACCEPTANCE
The College shall receive all reports and other contract deliverables subject to the right of review and rejection.
Reports and other contract deliverables which are not in in accordance with the College's specifications will
be rejected. Payment for reports and other contract deliverables prior to review shall not constitute acceptance
thereof and is without prejudice to any and all claims which the College may have against firm.

(p) METHOD OF AWARD
After Submissions received from qualified firms in response to future RFPs that may be issued are opened,
the College shall award the contract to the firm scoring the best on the evaluation of all submissions in
response to the RFP. Any contract awarded shall be predicated on the availability of sufficient funds to
complete the project.
(q) TAXES
Submissions submitted by qualified firms in response to future RFPs not include any state or local sales or use
tax.
(r) AUTHORITY OF OCEAN COUNTY COLLEGE
With respect to all questions concerning the interpretation of specifications, the acceptability, quality of
materials of items furnished and work performed, the classification of material, the execution of the work and
the determination of payment due or to become due, the decision of Ocean County College, Board of Trustees,
shall be final and binding.
(s) LEGAL INTERPRETATION
Any Contract resulting from this RFQ response shall be interpreted in accordance with the laws of New Jersey.
(t) LEGAL CHALLENGES
The RFQ and all subsequent RFPs are governed by the County College Contracts Law N.J.S.A. 18A:25.1 et
seq., and that any legal challenges to the bidding process, the award or non-award of a contract, or the rejection
of any RFQ response, must be pursued before the Board of Trustees in accordance with P.L. 1994 Ch. 48, Sec.
6(f). The challenge or objection must be presented by filing a petition with the secretary of the Board of
Trustees within ten (10) calendar days of the decision to award or not award a contract. Proceedings on the
petition shall be governed by the Rules Governing Hearings Before the Board of Trustees of Ocean County
College, which rules may be obtained at the Office of the President.
It is further agreed and understood that the County College assumes no obligation to indemnify or save
harmless the contractor, its agents, servants, employees and subcontractors for any claim which may arise out
of their performance of this Agreement. Furthermore, the contractor expressly understands and agrees that the
provisions of this indemnification clause shall in no way limit the contractor's obligations assumed in this
Agreement, nor shall they be construed to relieve the contractor form any liability, nor preclude the County
College from taking any other actions available to it under any other provisions of the Agreement or otherwise
at law.
(u) COMPLIANCE - LAWS
The firm shall be expected know and shall strictly comply with all national, state or county laws and city or
town ordinances, codes and regulations in a manner affecting the conduct of the work. The contractor shall
indemnify and save harmless Ocean County College and all Officers, Agents and Servants thereof, against any
claim or liability arising from or based upon the violation of any such laws, ordinances, regulations, orders or
decrees, whether by the firm or by the firm’s employees. The apparent omission of any reference made to
code and law requirements does not release the firm from responsibility to comply with these requirements.

(v) COMPLIANCE - STATE LAWS
It is agreed and understood that this RFQ and any contracts awarded as a result of this RFQ shall be governed
and construed and the rights and obligations of the parties hereto shall be determined in accordance with the
laws of the State of New Jersey.
4. INSTRUCTIONS
The College is not responsible for any expenses incurred by any firm in preparing and submitting a Submission
in response to this RFQ. All Submissions shall provide a straightforward, concise delineation of the firm’s
capabilities to satisfy requirements of this RFQ. Emphasis should be on completeness and clarity of content.
All Submissions shall be made with typewriter or pen and ink on the forms provided. Submittals showing any
erasure alteration must be initialed by the firm in ink. Failure to sign and give all information requested in the
RFQ may result in the Submission being rejected.

To assure consistency, Submissions must conform to the following format:

The following explains what is expected to be included in each Section of your Submission:
SECTION A – SCOPE OF SERVICES
Provide a narrative approach which describes your firm’s ability to provide the professional service
that your firm is seeking to be qualified for. Use the list provided do delineate which Engineering
specialties your firm is capable of providing
SECTION B – RESUMES AND EXPERIENCE
1. Name and address of your firm, and any sub-consultant firm(s) which make up your professional team,
and the corporate officer authorized to execute agreements.
2. Briefly describe your firm, and any sub-consultant firm(s) which make up your professional team,
including: history, ownership, organizational structure, location of its management, and licenses to do
business in the State of New Jersey.
3. Provide your firm’s office location that will service the College and describe in general your firm’s
local service capacities.

4. Provide and identify the names, experience, qualifications, and applicable licenses held by the
individual who will be primarily responsible for servicing the College and any other firm members or
sub-consultants, with specialized skills that would be assigned to service the College. Individuals must
be New Jersey licensed professionals in their respective areas of practice.
5. Specifically list all experience with the College and/or experience with other similar entities.
6. Provide a listing of references from County/Community Colleges and other New Jersey State and
private College clients with which you have similar contracts; include the name, address and telephone
number of a contact person for each reference.
7. Provide a statement of assurance to effect that your firm is not currently in violation of any regulatory
rules and regulations that may have an impact on your firm’s operations.
*In the event the firm is determined to be qualified and an individual named by the firm in response to this
Section is thereafter not available, the firm must immediately advise the College. The firm must thereafter
propose a substitute. Such substitute must have credentials comparable or superior to the individual being
substituted for in order for the firm to remain a qualified firm.

Firms concluded to be qualified must supply all affidavits, agreements, certificates, statements, authorizations,
and other assurances or documents of compliance which the College may require including, but not limited to,
evidence of Affirmative Action compliance and a completed Vendor Information Form (see Exhibit A). For
contracts $17,500 and greater, the qualified firm awarded the professional services contract must complete the
Business Entity Disclosure Certification and the C.271 Political Contribution Disclosure Form (see Exhibit
A).
SECTION D– OTHER INFORMATION
This Section is an opportunity for your firm to provide any additional data and information relating to your
firm’s qualifications that you feel are important for the College to consider.
SECTION E - CERTIFICATIONS
Include all applicable certifications, for example, Certification of Authorization from Board of Professional
Engineers and Surveyors and/or Board of Architects.

APPROVAL CRITERIA
The College intends to qualify firms for each professional service for which qualifications are being
solicited. The evaluation criteria to be used in evaluating the qualifications of firms submitting Submissions
shall include:
A. Qualifications and experience of the professional who will have primary
responsibility for any awarded professional services contract.
B. Qualifications and experience of other firm members who will have involvement any
awarded professional services contract.
C. Qualifications and experience of the firm in providing similar services to other public
bodies, with special emphasis on experience in New Jersey.
D. Thoroughness and completeness of the firm’s Submission.
E. Any licenses for the prescribed service.

When acquiring certain goods and services, Ocean County College must comply with New
Jersey “Pay-to-Play” Rules and Regulations (P.L. 2004, Chapter 19 as amended by P.L. 2005,

The following is statutory text related to the terms and citations used in the Business Entity Disclosure
Certification form.
“Local Unit Pay-To-Play Law” (P.L. 2004, c.19, as amended by P.L. 2005, c.51)
19:44A-20.6 Certain contributions deemed as contributions by business entity. 5. When a business entity is a natural person, a contribution by that person's spouse or child, residing therewith, shall be deemed to be a contribution by the business entity. When a business entity is other than a natural
person, a contribution by any person or other business entity having an interest therein shall be deemed to be a
contribution by the business entity.
19:44A-20.7 Definitions relative to certain campaign contributions. 6. As used in sections 2 through 12 of this act:
“business entity" means any natural or legal person, business corporation, professional services corporation,
limited liability company, partnership, limited partnership, business trust, association or any other legal
commercial entity organized under the laws of this State or of any other state or foreign jurisdiction;
“interest" means the ownership or control of more than 10% of the profits or assets of a business entity or 10%
of the stock in the case of a business entity that is a corporation for profit, as appropriate;

The New Jersey Campaign Contributions and Expenditures Reporting Act (N.J.S.A. 19:44A-1 et seq.)
19:44A-3 Definitions. In pertinent part…
p. The term "political party committee" means the State committee of a political party, as organized pursuant to
R.S.19:5-4, any county committee of a political party, as organized pursuant to R.S.19:5-3, or any municipal
committee of a political party, as organized pursuant to R.S.19:5-2.
q. The term "candidate committee" means a committee established pursuant to subsection a. of section 9 of
P.L.1973, c.83 (C.19:44A-9) for the purpose of receiving contributions and making expenditures.
r. the term "joint candidates committee" means a committee established pursuant to subsection a. of section 9 of
P.L.1973, c.83 (C.19:44A-9) by at least two candidates for the same elective public offices in the same election
in a legislative district, county, municipality or school district, but not more candidates than the total number of
the same elective public offices to be filled in that election, for the purpose of receiving contributions and
making expenditures. For the purpose of this subsection: …; the offices of member of the board of chosen
freeholders and county executive shall be deemed to be the same elective public offices in a county; and the
offices of mayor and member of the municipal governing body shall be deemed to be the same elective public
offices in a municipality.
19:44A-8 and 16 Contributions, expenditures, reports, requirements. While the provisions of this section are too extensive to reprint here, the following is deemed to be the pertinent part affecting amounts of contributions:
“The $300 limit established in this subsection shall remain as stated in this subsection without further
adjustment by the commission in the manner prescribed by section 22 of P.L.1993, c.65 (C.19:44A-7.2)

C. 271 POLITICAL CONTRIBUTION DISCLOSURE FORM
Vendor Instructions
Business entities (contractors) receiving contracts from a public agency that are NOT awarded pursuant to
a “fair and open” process (defined at N.J.S.A. 19:44A-20.7) are subject to the provisions of P.L. 2005, c.
271, s.2 (N.J.S.A. 19:44A-20.26). This law provides that 10 days prior to the award of such a contract, the contractor shall disclose contributions to:
any State, county, or municipal committee of a political party
any legislative leadership committee*
any continuing political committee (a.k.a., political action committee)
any candidate committee of a candidate for, or holder of, an elective office:
o of the public entity awarding the contract
o of that county in which that public entity is located
o of another public entity within that county
o or of a legislative district in which that public entity is located or, when the public entity is a county, of any legislative district which includes all or part of the county
The disclosure must list reportable contributions to any of the committees that exceed $300 per election
cycle that were made during the 12 months prior to award of the contract. See N.J.S.A. 19:44A-8 and
19:44A-16 for more details on reportable contributions.
N.J.S.A. 19:44A-20.26 itemizes the parties from whom contributions must be disclosed when a business
entity is not a natural person. This includes the following:
individuals with an “interest” ownership or control of more than 10% of the profits or assets
of a business entity or 10% of the stock in the case of a business entity that is a corporation
for profit
all principals, partners, officers, or directors of the business entity or their spouses
any subsidiaries directly or indirectly controlled by the business entity
IRS Code Section 527 New Jersey based organizations, directly or indirectly controlled by
the business entity and filing as continuing political committees, (PACs).
When the business entity is a natural person, “a contribution by that person’s spouse or child, residing
therewith, shall be deemed to be a contribution by the business entity.” [N.J.S.A. 19:44A-20.26(b)] The
contributor must be listed on the disclosure.
Any business entity that fails to comply with the disclosure provisions shall be subject to a fine imposed
by ELEC in an amount to be determined by the Commission which may be based upon the amount that
the business entity failed to report.
The enclosed list of agencies is provided to assist the contractor in identifying those public agencies whose
elected official and/or candidate campaign committees are affected by the disclosure requirement. It is the
contractor’s responsibility to identify the specific committees to which contributions may have been made
and need to be disclosed. The disclosed information may exceed the minimum requirement.
The enclosed form, a content-consistent facsimile, or an electronic data file containing the required details
(along with a signed cover sheet) may be used as the contractor’s submission and is disclosable to the
public under the Open Public Records Act.
The contractor must also complete the attached Stockholder Disclosure Certification. This will assist the
agency in meeting its obligations under the law. NOTE: This section does not apply to Board of
Education contracts.
* N.J.S.A. 19:44A-3(s): “The term "legislative leadership committee" means a committee established, authorized to
be established, or designated by the President of the Senate, the Minority Leader of the Senate, the Speaker of the
General Assembly or the Minority Leader of the General Assembly pursuant to section 16 of P.L.1993, c.65
