As of June 2011, a total of 817 registered SE companies were listed in the the ETUI’s
European Company Database (ECDB), 66 more than at the time of the previous
update (March 2011). Meanwhile, one company in the UK has been removed from
the national register and two German SEs (one of them was ‘normal’) were
transformed. In addition to the already registered companies, the ECDB currently
provides information on 14 planned SEs.
In January and February quite a few normal SEs were registered, but only three new
SEs (2 German and 1 Hungarian) were added to the category after March 2011.
Five more – earlier registered – Czech SEs were also moved to the ‘normal’
category. The number of ‘normal’ companies is currently 183 (two – previously
normal – companies were moved to other categories).
The number of UFO companies again increased the most, largely due to the
establishment and activation of shelf companies in the Czech Republic. Two new
shelf producers have appeared on the market recently, so the growth will probably
continue. The number of SE companies in the Czech Republic is currently 443 (59
more than three months ago).
Summarising the current numbers (March 2011 figures in brackets), there are:
817 (751) established SEs, of which:
• 183 (178) normal;
• 90 (87) empty;
• 458 (413) UFO (including 71 Micro SEs);
• 86 (73) shelf.

Definition of the categories:
Normal SE: A normal SE is an SE with operations and more than five employees
(five is the minimum threshold for an entitlement to participation rights in the EU).
Empty SE: An empty SE is an SE with operations, but without employees.
Shelf SE: A shelf company is an ‘off the shelf’ company, one which was not set up
for a specific purpose but is available and generally can be bought by anyone who
wants it. These SEs have neither operations nor employees.
UFO SE: A UFO SE is probably operating. Although some information is available
from the commercial register and the Supplement to the Official Journal, no
information on numbers of employees or agreements on employee involvement is
available. The ‘UFO’ category includes ‘Micro SEs’ (a ‘micro’ SE is an SE with five or
fewer employees).

According to the available information, Gebr. Pfeiffer SE has employees only in
Germany. Since they did not have participation rights before the merger the
agreement provides rights similar to the German standard rules on
information/consultation, but does not grant participation rights.
LISEGA SE had employees in three countries before conversion, but it did not reach
500 in Germany. Therefore information/consultation rights were ensured by the
negotiations of the special negotiation body (SNB) but the board preserved its three
seats, without employee representatives.
No SNB was set up in the case of CER Cargo Holding SE.

‘UFOs’ (total 458):
In the past three months the number of ‘UFO’ companies has continued to increase.
In addition to the ‘activated’ (sold) shelf companies, forty (40) recently established
SEs were categorised as ‘UFO’. The most were registered in the Czech Republic
(35), three in Slovakia, one in the Netherlands and one in Germany.

This does not mean that these SEs do not have business activities or employees, but
they have no visible signs of operation (for example, a homepage) and it is difficult to
find detailed information about them. National registers often provide only very basic
data (for example, name and place of registration) and TED often does not even list
them.
The ‘UFO’ category also includes ‘Micro SEs’. The total number of ‘Micro SE’ is 71.

‘Shelf’ companies (total 86):
The Czech SE ‘factories’ have been active in the past three months. The absolute
number of Czech shelfs is 56, thirteen more than in March, 2011. The general trend
did not change: some of the shelf SEs have been ‘on the shelf’ for a long time, but
many companies are still sold fairly quickly (within one year of establishment).
The companies producing shelfs by creating subsidiaries in the Czech Republic
(Slovakia) and Germany remain almost the same. However their activity is not
equally intensive.
In Germany, Foratis AG has not created shelfs recently and Blitzstart Holding AG
also established only two SEs (‘Blitz’ companies) since March.
In the Czech Republic, Euromater SE (Společnosti Online s.r.o.) and Europea Capital
SE (SMART Office & Companies, s.r.o.) seem the most ‘productive’ ones. CHAMR

Soffice SE have also registered shelfs in the past three months. Quick Start Europea
SE has not been active in this field recently. Two new players appeared on the ‘shelf’
market: EUREMAD SE (former Bogota SE) (‘EUREMAD’ companies) and C-firmy
Europe S.E. (‘EUROXAN’ companies).

Since 1 March 2011, nineteen (19) companies have been established by activating a
shelf company: seventeen (17) in the Czech Republic and only two (2) SEs in

Germany. Since 2004, at least 308 companies3 – originally set up as shelfs, by way
of subsidiary – have been activated in total.
Information on activated shelfs is rare: neither TED nor national registers provide
data on them.
In Germany, the number of companies which have become ‘normal’4 after activation
basically has been the same for nine months. However, still in only four cases has it
been proved that there were some sort of negotiations on employee involvement.

‘Planned’ SEs (total 14):
This category includes companies in which the official transformation process has
already started; for example, the annual meeting of shareholders has approved the
transformation plan and/or an SNB has been established and the company’s
intention has been made public. Some of the companies are still involved in this
process and some have been on the list for a long time.5 In some of these cases, the
intention is still alive (for example, Nordea) and thus the companies are still listed as
‘planned’. Two companies REpower Systems AG and Puma AG have finished
negotiations but they have not yet been registered.

but has not yet carried out the transfer process.
