2 Employmentcompensationawards

3 Employmentrestrictivecovenants

5 Property

6 Legaldefence

a) Acriminalinvestigationand/orenquiryby:i) thepoliceii) ahealth&safetyauthorityoriii) otherbodywiththepowertoprosecutewhereitissuspectedthatanoffencemayhavebeencommittedthatcouldleadtotheinsuredbeingprosecuted.

b) Anoffenceorallegedoffencewhichleadstotheinsuredbeingprosecutedinacourtofcriminaljurisdiction.

c) Amotorprosecutionbroughtagainstyourdirectorsand/orpartnersthatarisesfromtheuseofanyvehicleforpersonal,socialordomesticpurposesortocommutetoorfromtheirplaceofwork.

9 Lossofearnings

Theinsured’sabsencefromworktoattendcourt,tribunal,arbitration,regulatoryproceedingsoraprofessionalbody’sdisciplinaryhearingattherequestoftheappointedadvisororwhilstonjuryservicewhichresultsinlossofearnings.

WhatisnotcoveredunderInsuredevent9Anysumwhichcanberecoveredfromthecourtortribunal.

10 Employees’extraprotection

Atyourrequesta) wherecivilproceedingsareissuedagainstyour

employee:i) forunlawfuldiscrimination;orii) intheircapacityasatrusteeofapensionfund

setupforthebenefitofyouremployees;b) whereaninsuredoramemberoftheirfamily

suffersphysicalbodilyinjuryordeathasaresultofasuddenevent

c) aclaimarisingfrompersonalidentitythefttargetedatyourdirectorsand/orpartners.

11 Crisiscommunication

Followinganeventwhichcausesyourbusinesssignificantadversepublicityorreputationaldamagewhichislikelytohaveawidespreadfinancialimpactonyourbusiness,wewilla) liaisewithyouandyoursolicitor(whetherthe

solicitorisanappointedadvisorunderthispolicy,oractsonyourbehalfunderanyotherpolicy),todraftamediastatementorpressreleaseand/or

b) preparecommunicationforyourstaff/customers/suppliersand/oratelephoneorwebsitescriptorsocialmediamessagingand/or

7 Compliance&regulationa) ReceiptofaStatutoryNoticethatimposesterms

11. Thepaymentoffines,penaltiesorcompensationawardedagainsttheinsured(exceptascoveredunderInsuredevent2

Employmentcompensationawardsor7d)orcostsawardedagainsttheinsuredbyacourtofcriminaljurisdiction.Policyconditions

Wheretheinsurer’sriskisaffectedbytheinsured’sfailuretokeeptotheseconditionstheinsurercancancelthispolicy,refuseaclaimorwithdrawfromanongoingclaim.Theinsureralsoreservestherighttoclaimbacklegalcosts&expensesfromtheinsuredifthishappens.1. Theinsured’sresponsibilities

Aninsuredmust:a) tellusimmediatelyofanythingthatmaymakeitmorecostlyordifficultfortheappointedadvisortoresolvetheclaimin

yourfavourb) cooperatefullywithus,givetheappointedadvisoranyinstructionswerequire,andkeepthemupdatedwithprogressof

theclaimandnothinderthemc) takereasonablestepstoclaimbacklegalcosts&expensesand,whererecovered,paythemtotheinsurerd) keeplegalcosts&expensesaslowaspossiblee) allowtheinsureratanytimetotakeoverandconductintheinsured’sname,anyclaim.

2. Freedomtochooseanappointedadvisor

a) Incertaincircumstancesassetoutin2.b)belowtheinsuredmaychooseanappointedadvisor.Inallothercasesnosuchrightexistsandweshallchoosetheappointedadvisor.

b) If:i) weagreetostartproceedingsorproceedingsareissuedagainstaninsured,orii) thereisaconflictofinteresttheinsuredmaychooseaqualifiedappointedadvisorexceptwheretheinsured’sclaimistobedealtwithbytheEmploymentTribunalorsmallclaimscourtwhereweshallalwayschoosetheappointedadvisor.

c) Wheretheinsuredwishestoexercisetherighttochoose,theinsuredmustwritetouswiththeirpreferredrepresentative’scontactdetails.Wheretheinsuredchoosestousetheirpreferredrepresentative,theinsurerwillnotpaymorethanweagreetopayasolicitorfromourpanel.(Ourpanelsolicitorfirmsarechosenwithcareandweagreespecialtermswiththemincludingrateswhichmaybelowerthanthoseavailablefromotherfirms.)

d) Iftheinsureddismissestheappointedadvisorwithoutgoodreason,orwithdrawsfromtheclaimwithoutourwrittenagreement,oriftheappointedadvisorrefuseswithgoodreasontocontinueactingforaninsured,coverwillendimmediately.

4. Settlementa) Theinsurercansettletheclaimbypayingthereasonablevalueoftheinsured’sclaim.b) Theinsuredmustnotnegotiate,settletheclaimoragreetopaylegalcosts&expenseswithoutourwrittenagreement.c) Iftheinsuredrefusestosettletheclaimfollowingadvicetodosofromtheappointedadvisortheinsurerreservesthe

righttorefusetopayfurtherlegalcosts&expenses.

5. Barrister’sopinion

Wemayrequiretheinsuredtoobtainandpayforanopinionfromabarristerifadisputearisesregardingthemeritsorvalueoftheclaim.Iftheopinionsupportstheinsured,thentheinsurerwillreimbursethereasonablecostsofthatopinion.Ifthatopinionconflictswithadviceobtainedbyus,thentheinsurerwillpayforafinalopinionwhichshallbebindingontheinsuredandus.Thisdoesnotaffecttheinsured’srightunderCondition6below.

6. ArbitrationIfanydisputebetweentheinsuredandusarisesfromthispolicy,theinsuredcanmakeacomplainttousasdescribedonthebackpageofthispolicyandwewilltrytoresolvethematter.Ifweareunabletosatisfytheinsured’sconcernsandthemattercanbedealtwithbytheFinancialOmbudsmanServicetheinsuredcanaskthemtoarbitrateoverthecomplaint.IfthedisputecannotbedealtwithbytheFinancialOmbudsmanService,itcanbereferredforindependentarbitrationtoaqualifiedpersonagreeduponbybothparties.Theloserofthedisputeshallbeliabletopaythecostsincurred.IfwefailtoagreeonasuitablepersontoarbitratethematterwewillaskthePresidentoftherelevantLawSocietytonominate.ThearbitrationshallbesubjecttotheArbitrationActsandthearbitrator’sdecisionshallbebindingontheparties.

7. OtherinsuranceTheinsurerwillnotpaymorethantheirfairshare(rateableproportion)foranyclaimcoveredbyanotherpolicy,oranyclaimthatwouldhavebeencoveredbyanyotherpolicyifthispolicydidnotexist.

8. Fraudulentclaimsandclaimstaintedbydishonestya) Iftheinsuredmakesanyclaimwhichisfraudulentorfalse,thepolicyshallbecomevoidandallbenefitunderitwillbe

lost.b) Aninsuredshallatalltimesbeentirelytruthfulandopeninanyevidence,disclosureorstatementtheygiveandshallact

withcompletehonestyandintegritythroughout.Where,onthebalanceofprobabilitiesandhavingconsideredcarefullyallthefactsoftheclaim,itappearsthattheinsuredhasbreachedthisconditionandthatthebreachhas:i) affectedourassessmentofreasonableprospectsofsuccess,and/orii) prejudicedanypartoftheoutcomeoftheinsured’sclaimtheinsurershallhavenoliabilityforlegalcosts&expenses.

9. Cancellation

a) Youmaycancelthepolicywithin14daysofthedateofissueofthispolicywithafullrefundofyourpremiumpaidunless:i) youhavenotifiedaclaimwhichhasbeenorissubsequentlyacceptedunderthispolicyinwhichcasenoreturnof

premiumshallbeallowed.ii) thepolicycommencementdatehasalreadybeenreached,inwhichcasetheinsurershallrefundpartofthepremiumfor

theunexpiredtermyourbrokermaychargeyouafeeforcancellingyourinsurance

b) Youmaycancelthispolicyatanytimebycontactingus.Theinsurerwillrefundpartofthepremiumfortheremainingperiodofinsuranceunlessyouhavenotifiedaclaimwhichhasbeenorissubsequentlyacceptedunderthispolicyinwhichcasenoreturnofpremiumshallbeallowed.Yourbrokermaychargeyouacancellationfeeforcancellingyourinsurance

c) Wherethereisavalidreasonfordoingso,theinsurerhastherighttocancelthepolicyatanytimebygivingatleast21days‘writtennoticetoyou.Theinsurerwillrefundpartofthepremiumfortheunexpiredterm.Wewillsetoutthereasonforcancellationinwriting.Validreasonsmayincludebutarenotlimitedto:i) whereyoufailtoco-operatewithorprovideinformationtousortheappointedadvisorinawaythatmateriallyaffects

ourabilitytoprocessaclaim,orourabilitytodefendtheinsurer’sinterests,ii) whereyouusethreateningorabusivebehaviourorlanguage,orintimidateorbullyourstafforsuppliers,iii) wherewereasonablysuspectfraud.

d) Theinsurermayalsocancelthepolicyandrefundthepremiumfortheremainingperiodofinsuranceifatanytimeyou:i) enterintoavoluntaryarrangementoradeedofarrangementorii) becomebankrupt,areplacedintoadministration,receivershiporliquidationiii) haveyouraffairsorpropertyinthecareorcontrolofareceiveroradministrator.

Theinsureralsoreservestherighttowithdrawfromanyclaiminthecircumstancesnotedin9c)and9d).

10. Actsofparliament,statutoryinstruments,civilprocedurerules&jurisdictionAlllegalinstrumentsandrulesreferredtowithinthepolicyshallincludeequivalentlegislationinScotland,NorthernIreland,theIsleofManandtheChannelIslandsandanysubsequentamendmentorreplacementlegislation.Thispolicywillbegovernedby
